2006-2016 : en dix ans nous avons vu grandir de nombreuses entreprises sociales. Ce qui paraissait un pari « fou » se révèle aujourd’hui une vraie réalité avec de nombreux projets se développant pour répondre aux enjeux sociaux croissants dans notre société. Et alors que nous découvrions la notion de patience (les américains parlent de « patient capital ») si antinomique avec notre monde actuel, nous avons appris que le temps leur
permettait de se structurer, de trouver les bons compromis pour répondre aux enjeux sociaux tout en recherchant la rentabilité, seul moyen de pérenniser leurs projets. Nous sommes heureux de voir cette dynamique au sein de notre portefeuille. Merci aux actionnaires qui nous ont soutenus depuis le début, à ceux qui nous ont rejoints en route et nous l’espérons aux très nombreux quinousrejoindront,d’avoirfaitconfiance à ces entrepreneurs « fous » et à leurs équipes car ce sont eux qui au quotidien agissent pour que notre monde soit meilleur. Nous sommes trèsfiersd’avoirpulesrencontrer,delessoutenir et de les accompagner grâce au soutien actif du Comité d’Investissement.

2006-2016: in ten years we have seen many social enterprises grow. What initially seemed to be a «crazy» bet has now become a reality with many projects growing to answer the increasing social challenges of our society.
And as we were discovering the notion of patience (Americans talk of «patient capital») so contradictory to our current world, we have learnt that time allowed for companies to structure themselves, to find the right compromise to answer social challenges while seeking profitability, the only way to sustain their projects. We are happy to see this dynamic within our portfolio. We thank our shareholders, who have supported us since the start, those who joined us along the way and hopefully those many who will join us in the future, to have trusted these «crazy» entrepreneurs and their teams. They are the ones working every day to make our world a better place. We are proud to have met them, to support and mentor them with the active involvement of our Investment Committee.

Le développement des entreprises sociales s’est encore accéléré en 2016. Phitrust, qui a été un précurseur innovant dans l’organisation de leur financement,aaccompagnécetteannéecemouvement avec la création du fonds Phitrust Partenaires Europe. Ces nouvelles ressources ontpermisdefinancerdenouveauxprojets,
notamment avec une ambition européenne, tout en suivant les besoins de croissance des projets en cours.
Le Comité d’Investissement a pu ainsi répondre aux attentes des entreprises en restant très attentif à l’impact solidaire ou environnemental de leur projet. Je tiens à remercier très chaleureusement les membres du Comité d’Investissement pour leur implication dans la sélection des projets qui leur sont soumis, avec des analyses approfondies menées par l’équipe de Phitrust, et pour le temps qu’ils consacrent à l’accompagnement des dirigeants. Cet accompagnement est une dimension très importante de la démarche de Phitrust Partenaires qui participe ainsi à la structuration et à la croissance des sociétés pour en accroître l’impact social, en respectant les nécessaires équilibres économiques.
The development of social enterprises accelerated in 2016. Phitrust, which was an
innovating pioneer in organizing their financing, accompanied this growth this year with the creation of the investment company Phitrust Partenaires Europe. These new resources enabled to finance new projects, in particular with a European ambition, while keeping up with the growing financial needs of current projects.
As a result, the Investment Committee was able to meet the expectations of companies while remaining very attentive to their social or environmental impact. I would like to extend my warmest thanks to the members of the Investment Committee for their involvement in the selection of the projects submitted to them, with in-depth analysis carried out by the Phitrust team and for the time they devote to accompanying the entrepreneurs. This support is a very important dimension of Phitrust Partenaires’ approach, as it contributes to the structuring and growth of these companies in order to increase their social impact, while respecting the necessary economic balances.

Avec les investisseurs et entrepreneurs venus du « privé », actionnaires et membres du Comité d’Investissement, nous essayons d’apporter aux entrepreneurs qui ont un double objectif sociétal et financier les outils mis en œuvre par les sociétés de capital risque, « la Venture Philanthropy ». Nous sommes persuadés que ces outils et l’accompagnement par des dirigeants et entrepreneurs sont nécessaires pour les aider à structurer, développer et pérenniser leur projet social.
Alongside the investors and entrepreneurs stemming from the private sector (shareholders and members of our Investment Committee), we aim to provide entrepreneurs that have both social and financial goals with the necessary tools implemented by venture capital companies, ie “Venture Philanthropy”. We are convinced that these tools, and the support provided by the aforementioned investors and entrepreneurs are necessary to help structure, develop and ensure the sustainability of these social objectives.

Un suivi et une analyse entreprise par entrepriseA tailored approach to monitoring each investeeNous avons retenu une approche pragmatique, entreprise par entreprise, pour analyser au plus près l’impact de chaque activité. Pourchaqueentreprise,nousdéfinissons au moment de l’investissement, des critères quantitatifs qui témoignent de l’impact social, de l’impact environnemental, et de la gouvernance. Ces critères sont établis avec l’entrepreneur qui s’engage à nous en communiquer un reporting annuel. Pour chacun decescritères,unobjectifà5ansestétabli, qui nous permet de mesurer sa performance au cours de notre investissement. Nous analysons ainsi annuellement pour chaque entreprise l’évolution de son impact social, de son impact environnemental et de sa gouvernance. Une analyse complétée par une analyse qualitative. Cette analyse par entreprise nous permet de guider notre accompagnement et de favoriser, dans les cas de réinvestissement, les entreprises qui ont amélioré leur impact.We chose a pragmatic approach, on a case by case basis, to closely analyse the impact of each activity. For each investee, we define at the moment of the first investment specific quantitative indicators that reflect the social and environmental impact as well as the governance of the company. These key performance indicators are chosen alongside the entrepreneur, who agrees to report annually as to their evolution. A 5 year objective is defined for each indicator, allowing us to measure the performance throughout our investment period. An annual assessment for each investee is thus undertaken in relation to its social and environmental impact and governance, which is completed by a qualitative analysis.This tailored approach allows us to better guide our non-financial support and to promote, in the case of a reinvestment, investees that have improved their impact.

The overall social and environmental performance of the portfolio is assessed each year, based on the individual reports provided by each investee, enabling us to follow the evolution of this performance. This monitoring allows to us to readjust – if needed – our investment strategy, which emphasizes social impact objectives while also requiring economic viability.The assessment of the social and environmental impact enables us to identify a “social and environmental return on investment” for each Phitrust Partenaires investee which, alongside an analysis of each investee’s financial performance, enables us to have an overall assessment of the strategies being implemented across the portfolio.

On PurposePhitrustaccompagnedepuissacréationenFranceen2014l’associationOn Purpose, qui gère un programme de leadership ayant pour but de former de jeunes professionnels souhaitant utiliser les opportunités de l’entreprise pour générer un impact positif sur la société. D’une durée d’un an à temps plein et rémunéré, le Programme Associé combine formation, coaching, mentoring et expérience professionnelle, grâce à deux missions de 6 mois en entreprise (associant approches sociales/environnementalesetcommerciales).Fin2016,48associésavaientintégréleprogramme,38entreprisesaccueillidesmissionsetlessortiesdespremièrespromotionssontéloquentes:94%sedirigentversl’ESS ausenslargedont77%dèslafinduprogramme.Since its creation in France in 2014, Phitrust has supported the association On Purpose, which manages a leadership program aimed at training young professionals wishing to use their experience in private companies to generate a positive impact on society. For a year, the Associate Program combines two professional experiences with 6-month full-time and paid missions in a company (mixing social/environmental and commercial approaches), as well as training, coaching and mentoring. By the end of 2016, 48 partners had joined the program, 38 companies had hosted missions and the results of the first promotions were eloquent: 94% moved towards the Social Economy at large among which 77% as soon as the program was over.
HomeblokLe Fonds de dotation Phitrust accompagne depuis 2012 l’association La Varappe dans son projet de transformation de containeurs maritimes findevieenbureauxetlogements,efficacesentermesénergétiques,modulables et transportables, rapidement réalisables et à un coût de revient inférieur au marché de la construction traditionnelle.En2015cetteinitiativeapermisdecréerl’entreprised’insertionHomeblok,devenue un acteur de référence dans la transformation de containeurs en logement d’urgence, dont l’effectif est de 10 permanents et 12 salariés en insertion. Au vu des premiers résultats, l’association a décidé en 2016 delancerunprogrammedeR&Dafindeproposerunprocessdefabrication innovant relevant d’un principe industriel en améliorant et optimisant la performance énergétique. Ce programme doit permettre d’asseoir l’activité de l’entreprise d’insertion en répondant aux exigences du marché du logement d’urgence.The Phitrust Endowment Fund supports since 2012 the association La Varappe in its project to transform old shipping containers into energy efficient, modular and movable offices and housing units. They are fast to make and less costly compared to traditional construction. In 2015, this initiative led to the creation of the company Homeblok (which hires long-term unemployed people and helps them get back into the job market), which is now a key player in the sector of container transformation for emergency housing. It has 10 full-time staff and 12 staff with contracts supporting their return to employment. Considering the first results, the association decided in 2016 to launch an R&D program in order to improve the construction process and improve the energy efficiency of the buildings built. This program should allow to strengthen the activity of Homeblok while supplying the growing market for emergency housing.

Since 2007, Phitrust Partenaires has invested 1 000 K€ in this company. Phitrust Partenaires has mentored La Varappe in its internal growth, by connecting the company with Schneider Electric’s fund SEEA (which invested in one of its subsidiaries). In addition, Phitrust supported the management in the structuring of the governance and the creation of an employee shareholding scheme. In 2015 Phitrust Partenaires worked closely with La Varappe to help structure its new phase of external growth, enabling the company to successfully acquire BRT, a work reintegration company based in Dijon, thereby doubling its size.

Their Audit Committee, supervises and controls the management of the companies by auditing the companies’ accounts and suggesting necessary portfolio write-offs in conjunction with the auditor (PwC).

Les Comités d’Investissement présidés par Guy Portmann rassemblent des actionnaires de Phitrust Partenaires et Phitrust Partenaires Europe, professionnels reconnus du monde économique marchand, qui ont ou ont eu des responsabilités opérationnelles dans des sociétés françaises et internationales. Les Comités se prononcent régulièrement sur l’opportunité de poursuivre l’étude des dossiers d’investissement qui leur ont été soumis après une première validation par l’équipe d’analystes de Phitrust. Après un audit complet de l’entreprise et après avoir rencontré l’entrepreneur, les Comités décident de chaque investissement dans un souci de concilier viabilité économique et impact social, tout en assurant une cohérence du portefeuille dans son ensemble. En 2016, une attention particulière a été portée sur la sélection de nouveaux projets, tout en assurant l’accompagnement aux entreprises de notre portefeuille, plusieurs d’entre elles abordant une nouvelle phase de croissance. Ce travail est réalisé en lien permanent avec les équipes de Phitrust pour l’analyse et le suivi des projets.
The Investment Committees of Phitrust Partenaires and Phitrust Partenaires Europe, both presided by Guy Portmann, gather the shareholders of Phitrust Partenaires who are recognised professionals from the business world who have held positions of operational responsibility in French and international companies. The committees regularly consider whether or not to continue due diligence on potential investments submitted by the Phitrust team. Following a comprehensive audit of the company and an in-person meeting with the entrepreneur, the committee makes an investment decision, taking care to reconcile economic viability and social impact while ensuring coherence across the portfolio. A particular focus in 2016 was spent on the selection of new projects, while continuing to provide support to portfolio companies, several of which are moving into a new phase of growth. This analysis and mentoring work is carried out in liaison with Phitrust’s team.

La duplication de modèles dans de nouvelles régions, les négociations pour d’éventuelles fusions ou acquisitions ont été l’occasion d’un accompagnement dynamique de l’équipe Phitrust et des membres de son Comité d’Investissement.
In 2016, several of Phitrust Partenaires’ investees embarked on new phases of growth, enabling them to enhance their social impact objectives, marked by the replication of business models in new regions, or negotiations for potential mergers or acquisitions. 2016 was a year in which a high-level of non-financial support was provided to investees by the Phitrust team and its Investment Committee.

Dix ans après la 2nde Conférence annuelle organisée au Sénat, c’est à l’initiative de Phitrust que les membres français de l’EVPA ont organisé la 12ème édition à Paris, à la Maison de la Chimie puis lors d’une réception au Quai d‘Orsay. L’événement fut un grand succès avecunrecorddeparticipants(525)venantd’Europe, d’Asie et d’Afrique, le lancement d’une démarche Corporate, avec de nouveaux membres français comme Renault, Danone ou Engie (qui rejoignent Shell, BMW, C&A, Ikea, Vodaphone, Siemens, Bosch, BBVA, Google.. ) ainsi qu’un échange consacré aux fondations réunissantplusde50participantseuropéens et asiatiques. La Conférence a été notamment sponsorisée par la Fondation de France et France Active (fonds d’investissement solidaire), nouveaux membres de l’association.L’association fédère les opérateurs européens « de la venture philanthropy » souhaitant mettre en œuvre les outils d’accompagnement, de suivi et de mesure d’impact nécessaires pour permettre aux projets sociaux de se développer. L’EVPA s’est donnée les moyens de répondre à ces enjeux en proposant des outils de formation à ces nouvelles pratiques et de professionnalisation, avec notamment un pôle derecherche«knowledgecenter »reconnuaujourd’hui en Europe et en Asie, où une association « sœur » Asian Venture Philanthropy Network s’est constituée.Phitrust, un de ses membres fondateurs, accompagne depuis l’origine l’EVPA en participant activement à sa gouvernance (avec Olivier de Guerre, puis Xavier Thauron, comme représentant de la France au Conseil d’administration), aux différents groupes de travail ainsi qu’aux différentes séquences de formation de l’association.
Ten years after the 2nd Annual Conference in the Senate, the French members of EVPA organized on Phitrust’s initiative the 12th edition in Paris, at the Maison de la Chimie and then at the Quai Orsay for a reception. The event was a great success with a record number of participants (525) from Europe, Asia and Africa, the launching of a corporate approach, with new French members such as Renault, Danone and Engie (joining Shell, BMW, C&A, Ikea, Vodaphone, Siemens, Bosch, BBVA, Google ..) and a meeting dedicated to foundations with more than 50 participants from Europe and Asia. Among the sponsors were Fondation de France and France Active (French state social investment fund), new French members.
The association gathers European “venture philanthropy operators” who wish to bring to social projects tools for mentoring, follow up and impact measurement which are necessary for scaling up. The EVPA has given itself the means to meet these challenges by proposing training tools for these new technics among those the knowledge center, which is now recognized In Europe and Asia, where the Asian Venture Philanthropy Network is growing.
Phitrust, one of its founding members, has supported EVPA since its start by actively participating in its governance (with Olivier de Guerre, then Xavier Thauron, serving on the board as representative of France), in the various working groups and the different training sessions of the association.

La société a payé des intérêts à hauteur de 15 426€.
Au31décembre,68%denotreportefeuilleétaitinvestiencapitalet32%sousformededette,sachantquenotreobjectifestdefinancerentre40et60%desentreprisespardeladette.Letaux moyen de nos prêts à nos participations est restéstable,prochede4,4%annuel.Lesrevenus d’intérêts perçus sont ainsi en croissance relative. À noter, la société a perçu en 2016 son premier dividende de la société Etic ainsi que ses premiers coupons d’obligations convertibles des sociétés Swiss Fresh Water et Optima-La Varappe et a continué à percevoir des dividendes d’Ethical Property Europe et de MicroFranchise Solidaire.
Les provisions prises sur le portefeuille sont liéesauxrisquesidentifiésaujourd’huisurnotreparticipation dans la société Cameroun Breuvages. Il est important de noter que la politique de valorisation des participations de la société valorise comptablement les plus-values sur nos participations uniquement après une cession, tout en provisionnant les risques éventuelsdèsqu’ilssontidentifiésainsiquelespertes réalisées sur les participations du portefeuille. Cette politique prudente nous amène à constater des moins-values potentielles sans réévaluer les plus-values éventuelles non réalisées du portefeuille. Ilestaussiimportantdenoterqu’au31décembre2016,55%denotreportefeuille
français (capital, dette, titres) était couvert par une garantie BPI France (auparavant Oséo) à hauteurde50ou70%.Encalculantlesréévaluations potentielles avec le Comité des risques, le Conseil de la société a constaté qu’à ce jour notre portefeuille est en valeur d’actif au moins égal à son coût d’investissement. Le Conseil a décidé de garder comme prix de souscription la valeur nominale pour notre augmentation de capital en cours.
Les charges opérationnelles sont principalement des charges de gestion de la société d’analyse et de suivi des participations de l’équipe Phitrust, les autres dépenses (juridique, marketing, documentation...) restent en ligne avec les prévisions. Le résultat courant avant impôtestàfin2016enpertede204345€(pourunepertede678 496,3€en2015)avecunobjectif d’être positif à terme avec les revenus anticipés du portefeuille une fois les augmentations de capital en cours réalisées.
Ces résultats, en ligne avec nos prévisions, sont directement liés à la constitution du portefeuille etànotrestratégiedefinancementdesociétésen phase de croissance, sociétés n’ayant pas encore atteint pour la plupart l’équilibre d’exploitation.
Phitrust Partenaires closed its 2016 fiscal year with a 388 445 € loss, lower than in 2015, due to a significant decrease in the cost of risk (loss on the portfolio limited to 6 400 € in 2016, versus 186 000 € in 2015), a slight decrease in the company’s management fees and, above all, a sharp increase in portfolio income, 164 769,62€, or more than 2.5% of the invested portfolio at the end of 2016 (especially thanks to the interests on the convertible bonds disbursed at the end of 2015).The company paid 15 426 € in interest.
As of December 31st, 68% of our portfolio was invested in equity and 32% in debt, with an average annual interest rate of 4.4%. Our objective is to finance between 40 and 60% of our portfolio through debt instruments.
Interest revenues continue its relative growth, with Phitrust receiving its first dividends in 2016 from its investment in Etic and continuing to receive dividends from Ethical Property Europe, Swiss Fresh Water, Optima-La Varrape, Ethical Property Europe and Microfinance Solidaire.
Portfolio write-offs are tied to identiy potential risks of losses related to our investment in Cameroun Breuvages. It is important to note that our policy on valuation is to take into account any write-offs on an annual basis, but to only take into account projected capital gains from our portfolio holdings at the time of sale. It is also important to note that on 31 December 2016, 55% of our French investments (capital, debt, bonds) were covered through an insurance contract with BPI France (formerly Oséo), for either 50% or 70% of each investment. In calculating the potential revaluations with the Risk Committee, Phitrust’s Executive Board found that the asset value of our existing portfolio was at least equal to the cost of its investment. The Board thus decided to maintain the share price at nominal value for the capital raise underway.
Operating expenses are mainly linked to the analysis and portfolio monitoring undertaken by the Phitrust Partenaires team, with all other expenses (legal, marketing, publication…) in line with forecasts. Profit before tax at the end of 2016 is a loss of 204 345 € (for a loss of 678 496,3 € in 2015) and should become positive through revenues generated by the portfolio subsequent to these capital raises.
These results, in line with our forecasts, are linked to our strategy of funding growing businesses who, for the most part, have not yet achieved operational break-even.

Phitrust Partenaires supported DSE since 2010: we supported the senior executive team with practical tools such as cash flow management, project cost control, recruitment issues, quality control and delivery of valued services for their international franchise network. In addition Phitrust Partenaires served on the board of directors of the company and actively participated in discussions on strategy and innovation, short and long term business planning and financial controlling. During our 6 years investment period we supported DSE in its launch of its third pillar of innovative participatory exhibitions «Dialogue with Time», the opening of Dialogue exhibitions in China and the stabilization of its unique network of franchisees around the world. We see our exit in 2016 with the full reimbursement of the debt before its expiration and complete payment of all interest as a success story to celebrate in the social venture investment sector.

Olivier established Phitrust in 2003, in order to offer families, foundations and institutional investors strategies for investing in responsibly in both listed and unlisted companies. He has a wealth of experience in asset management, particularly for Indosuez and Crédit Suisse. He serves on the Board of Finansol and Admical in France and the Alain and Marie Philippson Foundation in Belgium.
