SECTION-I Introduction & Background

1. Introduction

Pakistan Tourism Development Corporation (PTDC)hereby invites Expression of

Interest from firms/companies/Joint Ventures that are interested in bidding to

acquire selected PTDC motel sites located in Gilgit-Baltistan on Lease-basis.

PTDC is offering an opportunity to private investors to utilize PTDC properties on

lease-basis according to the highest and best commercial use, suggested to

them by PTDC in order to maximize the return on investment for the private

investor. One party will be allowed to apply for maximum 2 properties being

advertised under this round of pre-qualification.

The said motels are located at prominent places of attractive tourist destinations

of Pakistan having facilities such as rooms, lawns, parks, access roads and they

have historically generated significant revenue in shape of room charges,

utilities and service charges from tourists availing these facilities. These locations

possess additional land/ space for adding more buildings/ infrastructure facilities

and the partner may go for additional facilities in eco-friendly manner without

disturbing the original structure of existing buildings with the prior approval of

PTDC.

2. General

Pakistan Tourism Development Corporation (PTDC), issues this Pre-qualification

Document to applicants interested in bidding to acquire these attractive

locations of PTDC Motels on lease-basis. Lease term proposed for this project is

initially 20 years, with the option of review and extension of another similar

period, subject to performance of the lessee in the first phase and subject to

terms agreed in the Lease Agreement. PTDC is looking for companies or JV’s

that meet the minimum requirement set out here forth and will grant RFP to the

applicants that score the minimum qualifying marks, based on scoring criteria

in Section III of this document.

3. Property wise Details of Selected PTDC Locations to be Leased Out

3.1 PTDC Motel Gilgit

Gilgit Baltistan, a region located in the northern mountainous territory covers an area

of 70,416 sq. kms. It is home to five of the world’s fourteen mountains taller than 8,000

meters and boasts the base camp for K2, the world’s second tallest mountain.

Tourism in Gilgit has seen staggering growth in past 5 years, with numbers doubling

each year for domestic tourists and foreign tourism (reporting a CAGR of 18%

between 2015 and 2019). There is a daily direct flight from Islamabad to Gilgit. Visitors

are typically trekkers and tourists that stay in Gilgit as a stop-over destination to travel

further up north. The average length of stay for most tourists is one day, after which

they move to other destinations nearby. Some of these locations where visitors prefer

to travel from Gilgit are Hunza, Karimabad, Attabad Lake, and Khunjerab Pass.

PTDC Motel Gilgit is located on the main

Badar Road opposite Chinar Bagh. It is one of

the only hotels in Gilgit located at a distance

of 900 meters from Gilgit Airport. The hotel is

built on an 11 Kanal plot, with a covered area

of 31,292 Sq. Ft. The structure consists of four

buildings; one ground floor structure and

three ground+1 structures.

The hotel is a 3-star development with a total

supply of 44 rooms (25 standard, 15 Deluxe

and 4 staff rooms) and parking space for 8-10

cars. PTDC Gilgit is well known for its scenic

views of snow-covered mountains and open

spaces of lawns and garden for outdoor

activities. Other amenities existing at PTDC

Gilgit are a restaurant, meeting room,

conference room, and a reception area.

3.2 PTDC Land at Gilgit

PTDC Land Gilgit (land with foundation

built) is located on the main Gilgit Road

opposite Family Park Gilgit. The plot

measures 8 Kanal and 5 Marla. The

boundary wall and foundation within

the covered area of 7500 sq.ft has

been built.

3.3 PTDC Motel Sost

Sost is a village town located on the Karakorum Highway connecting Pakistan with

China. It is the last town inside Pakistan before the Pak-China border through

Khunjerab Pass. It is also the location of a dry

port which serves as a major storage point for

exports and imports to and from China.

Sost is considered a logistics and storage hub

where visitors consist of businessmen, traders,

and some tourists. It has also garnered a

higher potential as a trade destination due to

its importance in the China Pakistan

Economic Corridor (CPEC) trade route as a

starting destination within Pakistan. Owing to

its rising importance, many hotels are now

under construction within the Sost vicinity.

PTDC Sost has been one of the most trusted

hotels within Sost for tourists and businessmen and has earned positive reviews from

visitors. It is built on an 8 Kanal plot (physically

verified) with a total covered area of 18,182

Sq. Ft. (covered area measurements have

been provided by PTDC and have not been

physically verified) and contains parking

space for up to 6 to 7 cars. It has four

structures on the plot in total, three of which

are ground floor structures and a single

ground +1 structure.

The overall supply of hotels in the region is

very limited and estimated to be at 200 rooms

with and upcoming supply of approximately

30 rooms. PTDC Sost is considered a 3-star development with a total of 24 rooms, all

of which are standard quality. Major strong points for PTDC Sost are its terrace seating

space, restaurant, reception, open gardens and location along the main highway.

3.4 PTDC Motel Hunza

Hunza is the prime tourist destination in the Gilgit Baltistan region and is home to

prominent destinations such as the Attabad Lake, Passu Cones, Hunza Lake, and Altit

Fort.

Visitors travelling to Hunza are trekkers,

vacationers, and corporate travelers on

business retreats arranged by their

organizations. A significant portion of the

overall hotel supply in Hunza consists of 3-star

hotels which are in high demand due to the

growing number of tourists flocking to Hunza

in the summers. The typical length of stay for

tourists is 2-3 days, as visitors travel to multiple

destinations within Hunza during their stay.

PTDC Hunza is located on the main

Karakoram Highway and enjoys good

visibility from the main road. It is built on a 25

Kanal and 3 Marla with having the total

covered area 19,135 Sq. Ft. (as per details

shared by PTDC which have not been

physically verified). The parking space can

accommodate approximately 9 cars. It has a

total of four structures developed on the plot

with two being only ground floor structures

and the remaining two being ground + 1

structures. These structures combined

contain a total of 30 rooms (16 Standard and

12 deluxe and 2 staff rooms).

PTDC Hunza is considered a 3-star development. Other amenities at PTDC Hunza

include a restaurant, reception, conference room, and a garden for open air seating

to enjoy the weather and scenic view of mountains.

3.5 PTDC Motel Gupis

Gupis Valley is situated within the Ghizer district in Gilgit Baltistan province and is

considered a stop-over for people travelling to different valleys such as Phander and

Yasin Valley. It is located about 21 kms away

from Gilgit city or a 3.5-hour drive. Currently,

the road leading to Gupis is in rough

condition with bad road patches slowing

down travel time.

The main attractions around Gupis are limited

with Khalti Lake being the only destination for

fishing and camping.

PTDC Gupis is located on the main Gilgit-

Chitral Road opposite Ghizar River, with a

walking distance of ~15 minutes to the Khalti

Lake. The distance from the Gilgit Airport to

the PTDC Gupis is 118 km. The hotel is built on

a 16 Kanal and 7 Marla plot, with a total

covered area 12,290 Sq. Ft. (measurements

have been provided by PTDC and have not

been physically verified). The motel consists

of four ground structures. Two buildings

contain the guest rooms, one contains the

store/staff room, and the largest houses the

restaurant, reception, and kitchen area.

The hotel can be classified as a 2-star

development with a total supply of 12 rooms

(standard), with parking space for 6-9 cars.

PTDC Gupis is well known for its scenic views

of Khalti Lake and Valley and open spaces for outdoor activities. Other

amenities/facilities at PTDC Gupis motel are restaurant, storeroom, generator room,

conference rooms, open lawn, and reception area.

3.6 PTDC Motel Phander

Phander Valley is located ~60 km from Gupis or ~128 kms from main Gilgit city.

The average length of stay at this destination is one day, where tourists visit nearby

attractions such as Phander Lake, Phander Valley, Shandur Pass and Shandur

National Park. The property provides visitors with a scenic view of the Phander Lake.

PTDC Phander is built on a 17 Kanal and 6 Marla, with a total covered area 13,591

Sq. Ft. (measurements have been provided by PTDC and have not been physically

verified). The parking lot has space for up to 5 to 8 cars. There are five structures on

the plot in total, all of which are ground floor structures.

PTDC Phander is a development with a total of

12 standard rooms. Major strong points for

PTDC Phander are the views of Phander lake

and valley, as well as it’s restaurant, open

gardens, and location along the main

Shandur-Chitral Road. Other amenities existing

at PTDC Phander are a staff room/store room,

generator room, and a reception area.

3.7 PTDC Land Nultar

Nultar Valley has seen immense growth in the

flow of tourists in the past four years because

of increased awareness of this scenic spot.

Zero-Point in Nultar provides a complete view

of Nultar valley and the adjacent mountain

range of Karakorum. Other destinations

where tourists prefer to visit include Nultar

Lake, Satrangi Lake, and Blue Lake.

Sports activities are organized by PAF during

the winter season from December to

February which attract both local and

foreign skiers.

On-going construction of hotels, schools and

an army mess have increased its importance

and diverted attention towards it not only as

a tourist destination but as a settlement as

well.

Nultar valley is located around 50 km from

Gilgit city with a travel time of 2.5 hrs. PTDC

Nultar land is located on the mountain and

enjoys good visibility. It is a 30 Kanal plot

(measurements have been provided by

PTDC and have not been physically verified).

Further, there is no clear demarcation of the

plot with only its approximate location known

near the ski slope in Nultar Valley.

3.8 PTDC Land Thilchi

PTDC Thilchi land is located in between

Jaglot and Raikot Bridge. From Chillas, the

land parcel is ~70 kms away and a drive

time of 2.5 hours if conditions are perfect for

travelling and land sliding has not occurred.

It can be considered as a stop-over for

people travelling to Gilgit by road as the city

is located around ~65 kms from Thilchi and

takes about 1.5-hr to reach.

The land parcel is an 8 Kanal plot

(measurements have been provided by

PTDC and have not been physically

verified). The plot has not been demarcated

with only its approximate location known.

PWD rest house is situated next to the plot

along the Karakorum Highway. A police

check-post is also located in front of the

property.

Land sliding is frequent during the monsoon

season and the police check-post is used

to inform incoming visitors and stop their

flow further to the affected area.

3.9 PTDC Skardu

Skardu is one of the most scenic locations in the Gilgit Baltistan region and some

major attractions include the Karpocho Fort, Kachura Lakes and Shigar Fort. It is also

a major stop-over for reaching destinations

further up north.

Skardu also has its own airport which

according to the latest available figures, saw

over 49,000 arrivals in 2018-19. Direct flights

can be availed from Islamabad and Lahore,

with flights from Karachi to Skardu expected

to begin soon. Hence, tourism prospects are

bright as accessibility improves. Visitors who

usually travel to Skardu are trekkers, bikers,

vacationers, and corporate travelers. Most

of the travelers use Skardu as a base camp

from where they travel to destinations up

north and then return to catch early morning

flights. On average, the length of stay for

tourists in Skardu is between 2-3 days.

PTDC Skardu is situated near Skardu Bazar on

Hameed Garh Road around 17 kms from the

airport. It is built on a 30 Kanal 14 Marla plot

with a covered area of ~28,103 Sq. Ft. and

has ample parking space for 15 – 20 cars. The

structure consists of four buildings, three of

which are only ground floor structures

whereas one is a G+1 building. The hotel has

a total of 28 rooms (14 deluxe and 14

standard). Some major amenities include a restaurant capable of seating up to 50

customers, a conference room, open gardens, and a museum showcasing K2

expeditions. The museum will not be forming part of the lease arrangement and will

at all times be managed separately by PTDC. The lessee shall ensure to safeguard

the mountainage heritage museum during the tenancy of lease period.

The hotel is considered as a 3-star development and boasts scenic views along the

bank of the Indus River. Due to the growing tourism potential in Skardu, the total

number of rooms is expected to increase by ~70 as many hotels have already

developed their grey structures.

3.10 PTDC Khaplu

Khaplu is a major tourist spot for vacationers as well as a stop-over destination for

trekkers traveling to their base camps at peaks like K2, Mashebrum and K12 etc. Some

tourist destinations near Khaplu include the

Chaqchan Mosque, Kharfaq Lake, and

Khaplu Fort.

Tourism in Khaplu is expected to increase as

connectivity improves. The flights from

Skardu will have a direct impact on tourists

flocking to Khaplu as well. Visitors traveling

to Khaplu include bikers, trekkers,

vacationers, and corporate travelers.

Majority of the hotels existing in Khaplu are

either 1-star or 2-star, however, a 4-star hotel

also exists in the overall supply. The average

length of stay for tourists in Khaplu is 2- 3

days.

PTDC Khaplu is situated near the passport

office on Tuktuk Road. The structure is built

on an 12 Kanal and 15 Marla plot with a

covered area of ~12822 Sq. Ft. and has

parking space available for up to 10 cars.

The structure consists of four buildings built

from stone, all of which are ground floor

buildings, housing a total of 12 of standard

quality rooms. Major amenities include a

spacious restaurant able to host 20 – 30

customers and a large garden area.

The hotel is a 3-star development situated

along the Shyok River and provides scenic views to visitors. As tourism picks up in the

region, Khaplu is expected to become a major tourist destination for vacationers

traveling up north.

3.11 PTDC Astak

Astak is a relatively remote location situated alongside the Indus River half-way

between Skardu – Gilgit Road. It is a pit stop for tourists traveling between this route

as no other development can be found

along this road.

The Skardu – Gilgit Road has a length of

approximately 200 KM and can take up

to 4 hours to complete the journey.

Astak Nala is situated in between this

road and makes for a strong pit stop as

all travelers would be moving along this

road.

PTDC Astak is built on a plot of 11 Kanal

and 18 Marla with covered area of

3,932 sq. ft. (measurements have been

provided by PTDC and have not been

physically verified). The site has a

parking space that can accommodate

up to 10 cars. The structure of the hotel

consists of an lower ground + ground

structure with a total of 4 rooms with two

servant rooms. Furthermore, the

structure also includes a restaurant

which can seat up to 15 visitors.

As road infrastructure improves, and

tourism rises in the Gilgit Baltistan region,

PTDC Astak can serve as an ideal pit-

stop for travelers.

3.12 PTDC Motel Sadpara

Sadpara Lake is located 24 kms from

Skardu city and is one of the major

attractions in the outskirts of Skardu city.

The Sadpara Lake is the sole source of

freshwater to Skardu. In addition, the

Sadpara Dam produces electricity for

Skardu City and nearby villages. It is

situated at an elevation of 8,650 ft.

above sea level. The lake itself occupies

an approximate area of 2.5 sq. kms.

Sadpara is a gateway to Deosai Planes

which is one of the main attractions in

north of Pakistan. Sadpara is also famous

for its mountain climbers specially Ali

Sadpara who is a national hero of

Pakistan. Sadpara Lake can be

approached from Skardu with a travel

time of 30 – 40 minutes and on the way

to Sadpara there is a cluster of hotel

accommodations, two of which are

located along the lake. Travelers usually

spend a night’s stay in Skardu near

Sadpara Lake while on the way to

Deosai Planes.

PTDC Motel Sadpara is situated on the

bank of Sadpara Lake. It is built on a 30

Kanal plot with a covered area of ~13580 sq. ft. and has ample parking space for 20

– 30 cars. The structure consists of three blocks wherein the main block contains the

kitchen, restaurant, reception, and washroom. Whereas the second block contains

the staff room. In addition, the accommodation block consists of 6 sub-blocks each

having 2 rooms. The motel has a total of 12 rooms, one restaurant, one staff room

block, a helipad, parking, lawn, and kitchen. The motel is considered as a 3-star

development and boasts scenic views along the bank of the Sadpara Lake. Due to

announcement of direct flights from Lahore to Skardu city and with the

development/rehabilitation of roads, it is expected to further attract tourism, and this

will benefit the tourism industry in the area.

3.13 PTDC Motel Rama Lake Astore

Rama Lake is situated on a

mountainous region at an elevation of

11,505 ft. above sea level, located on

the eastern slopes of the Nanga

Parbat massif in the Gilgit-Baltistan

region of northern Pakistan. Rama

Lake is a small lake in Astore Valley

Gilgit-Baltistan, Pakistan. Astore Valley

is known for its meadows and pastures.

Opposite PTDC Motel Rama Lake is a polo

ground. PTDC Rama Lake is built on a land

parcel of 21 Kanal, with a total covered

area 13,295 Sq. Ft. (measurements have

been provided by PTDC and have not been

physically verified) with parking space for 4-

6 cars. The development consists of 12

rooms, all on the ground floor. In addition,

the property has a restaurant, reception

area, kitchen, staff room and lawn.

3.14 PTDC Land – Mera Tanolian Housing Society Pir Chanasi

Muzaffarabad is a popular tourist

hub which is almost 84 kms away

from Islamabad. The city of

Muzaffarabad is at an elevation of

737 meters and is known for popular

tourist destinations such as: Red Fort,

Neelum River, Jhelum River, Dhani

Waterfall, Kashmir Abshar and Pir

Chanasi. The city has an airport as

well which has been non-operational

since the earthquake of 2005.

Muzaffarabad is a major stop-over

for tourists moving further north to

destinations such as Naran,

Batakundi, Babusar, Chilas and Gilgit

etc.

The land parcel is of 8 Kanal which is

located parallel to the Pir Chanasi

Road near PTV Robocasting Center

near Mera Tanolian Housing Scheme.

The land is vacant and is at a

depression of 10 - 30 ft. from Pir

Chanasi Road. The property gives a

complete view of main Muzaffarabad city and is located on way to Pir Chanasai

which is one of the major tourist attractions of Muzaffarabad. There is a huge

potential for development of upscale hotel establishment as most of hotel market

towards Pir Chanasai comprises of low to mid-end hotel establishments.

3.15 PTDC Land Banjosa, Rawalakot

Banjosa Lake is an artificial lake located at a height of 1,981 meters approximately

18 kms from the city of Rawalakot via

Metaled Road. The lake is centrally

located within dense and beautiful

pine forests. The lake is one of the

most popular tourist destinations and

is visited by tourists all year long.

Apart from Banjosa Lake, Rawalakot

is famous for popular tourist

destinations such as Toli Peer,

Poonch River, Tatta Pani and

Nergola Waterfall.

PTDC Motel Banjosa is situated on

the Khai-Gala-Pallandari Road

which leads to the Banjosa Lake. The

property size is 9 Kanal with a

covered area of 3,500 sq. ft. and has

ample parking space for 3-5 cars.

The structure consists of 4 rooms, a

lobby, dining area, kitchen, store,

lawn and open an area. Numerous

other developments such as SCO

Guest House Chotta Gala, Kamran

Hotel and General Store Banjosa

Lake, AJK Tourism Guest House

Chotta Gala are located nearby PTDC Banjosa, each having 10 rooms on average

and an occupancy of around 60% during peak season.The property is presently

under the possession of Governemnt of AJK,Department of Tourism.The leasing

process will be finalized in consultation with Department of Tourism, AJK.

SECTION-II

Information / Instructions To The Applicants

1. Signing of Application & Number of Copies

The Applicant shall prepare the documents comprising the information

required in the Prequalification Document and clearly mark it “ORIGINAL”. The

original of the application shall be typed or written in indelible ink and each

page shall be signed by a person duly authorized to sign on behalf of the

Applicant. The Applicant shall submit 1 hard copy and 1 soft copy of the signed

application in addition to the original application and clearly mark them as

“COPY”. In the event of any discrepancy between the original and the copy,

the original shall prevail.

2. Cost of Application

The Applicant shall bear all costs associated with the preparation and

submission of its application. The PTDC will in no case be responsible or liable

for these costs, regardless of the conduct or outcome of the prequalification

process by the PTDC.

3. Language of Application

The application as well as all correspondence and documents relating to the

prequalification exchanged by the Applicant and the PTDC, shall be written in

English language. Supporting documents and printed literature that are part

of the application shall also be in the same language.

4. Clarification of Pre-Qualification Document

An Applicant requiring any clarification of the Prequalification Document shall

contact PTDC’s official email that is [email protected]. PTDC will respond by

email to any request for clarification provided that such request is received no

later than five (5) days prior to the deadline for submission of applications. The

PTDC shall upload its response to all queries on the official website of PTDC,

www.tourism.gov.pk., including a description of the inquiry but without

identifying its source. PTDC reserves the right to amend the Pre-qualification

Document as a result of a clarification if deemed appropriate and

communicate the same to all applicants by email.

5. Amendment of Prequalification Document

At any time prior to the deadline for submission of applications, PTDC may

amend the Prequalification Document by Issuing addendum /

Corrigendum. Any addendum / Corrigendum issued shall be part of the

Prequalification Document and shall be communicated in writing or by Email

to all who have obtained the Prequalification Document. The

addendum/corrigendum shall also be uploaded on the website of PTDC and PPRA for

information of all concerned.

6. Letter of Application

The applicant shall submit Application form along with the documentary

evidences / information required as per Appendix-A. This form shall be

completed without any alteration to its format and shall be duly signed by the

authorized representative of the bidder.

7. Joint Venture

a. Joint Venture Agreement

International Applicants may submit a Pre-qualification Application in a Joint

Venture with a Pakistani firm. For local applicants, JV or joint bid is allowed

only on the condition that the number of parties partnering for this purpose

are not more than two, and the lead party should be clearly mentioned along

with role of both parties. The lead party in this case will be evaluated against

the eligibility criteria in Section III of this document, and the other party will be

evaluated based on their role and expertise in the consortium.

Prequalification Document shall be signed by all the members in the Joint

Venture. Joint Venture Agreement entered into by the members shall be

submitted with the Prequalification Document as per Appendix-B.

a. Lead Member

One of the members who is responsible for performing the key function in

executing major component of the proposed contract shall be nominated as

Lead member during the Pre-qualification and bidding period and in the

event of a successful bid, during contract execution. The Lead Member shall

be authorized to incur liabilities and receive instructions for and on behalf of

any and all members of Joint venture. This authorization shall be evidenced

by submitting a power of attorney signed by legally authorized signatories of

all the members of the Joint Venture as per Appendix-C.

b. Joint and Several Liability

All members of the Joint Venture shall be legally liable, jointly and severally,

during the pre-qualification and bidding period, and in the event of a

successful bid, during contract execution.

8. Submission of Pre-Qualification Application

Application for Prequalification (One original and two copies (01 hard &01

soft)) must be received in sealed envelopes to be delivered by hand or

through registered mail on or before the closing date as mentioned in the

advertisement in the name and address as stated below:

9. Late Submission of Pre-Qualification Applications:

The pre-qualification application which is received after the closing date and

time as mentioned at Sr. # 8 of Section-II for submission of applications shall not

be entertained.

10. Lack of Information

Failure of an applicant to provide comprehensive and accurate information

that is essential for the PTDC’s evaluation of the applicant’s prequalification or

to provide timely clarification or substantiation of the information supplied may

result in disqualification of the applicant and same shall be communicated to

the respective bidder.

11. Updating Pre-qualification Information

Pre-qualified Applicants shall inform the PTDC of any material change in

information that might affect their qualification status. Applicants shall be

required to update key pre- qualification information at the time of bidding.

Prior to award of contract, the bidder of most advantageous bid will be

required to confirm its continued qualified status in a post-qualification review

process as deemed appropriate by the PTDC.

12. Only one Application

An Applicant shall submit only one application in the same Prequalification

process, either individually as an Applicant or as a member of a Joint venture.

An Applicant who submits, or participates in, more than one application will

cause all the applications in which the Applicant has participated to be

disqualified.

13. Fraud &Corruption:

The PTDC requires that Applicants under this Prequalification process, observe

the highest standards of ethics during this prequalification and further

processing.

In pursuit of this policy, the PTDC defines for the purposes of this provision, the

terms set forth below:

i. “corrupt practice” means the offering, giving, receiving, or soliciting,

directly or indirectly, of anything of value to influence the action of a

public official in the prequalification process or in contract execution;

ii. “fraudulent practice” means a misrepresentation or omission of facts in

order to influence the prequalification;

iii. “collusive practice” means a scheme or arrangement between two or

more Applicants, with or without the knowledge of the PTDC, designed to

establish artificial data/ information; and

iv. “coercive practice” means harming or threatening to harm, directly or

indirectly, persons or their property to influence their participation in the

prequalification process;

The PTDC will reject an application for prequalification if it determined that the

Applicant recommended for award has, directly or through an agent,

engaged in corrupt, fraudulent, collusive or coercive practices; and

PTDC will sanction a firm or individual, including declaring them ineligible, either

indefinitely or for a stated period of time for prequalification if it at any time

determines that they have, directly or through an agent, engaged, in corrupt,

fraudulent, collusive or coercive practices.

14. No Conflict

Applicant and all parties constituting the Applicant shall not have a conflict of

interest. Applicants shall be considered to have a conflict of interest if,

i. such applicant and any other applicant have common controlling

shareholders or other ownership interest; provided that this qualification

shall not apply in cases where the direct or indirect shareholding in an

applicant or a constituent thereof in the other applicant(s) is less than 1%

of its paid up and subscribed capital; or

ii. a constituent of such applicant is also a constituent of another applicant;

or

iii. such applicant has a relationship with another applicant, directly or

through common third parties, that puts them in a position to have access

to each other’s’ information about, or to influence the Prequalification of

either or each of the other applicant; or

iv. such applicant has participated as a consultant to the Client in the

preparation of any documents, design or technical specifications of the

Project: or

v. such applicant or the subscribers of the applicant firm has any member

who is in active employment of the PTDC or its subsidiary companies or

who is a member of the Board of Directors of PTDC or its subsidiary

companies.

vi. Confirmation to the above clauses shall be provided by the bidder in the

form of an Affidavit for No Conflict, stated as Form PQ-9 in the Annexure

below.

15. Confidentiality

Information relating to the examination, clarification, evaluation and

recommendation for the applicant shall not be disclosed to any person who is

not officially concerned with the process or is not an Advisor in relation to, or

matters arising out of, or concerning the Prequalification Process. The PTDC will

treat all information, submitted as part of the Prequalification application, in

confidence and will require all those who have access to such material to treat

the same in confidence.

16. PTDC’s Right

The PTDC reserves the right to take the following actions, and shall not be liable

for any such actions:

i. Amend the scope of work, if required while adhering to the Principles of

Procurement as per Rule 4 of the Public Procurement Rules, 2004 during

the prequalification process.

ii. Cancel the pre-qualification process and reject all applications as per

provisions of Rule 33 of Public Procurement Rules, 2004.

Eligibility & Evaluation Criteria

1. Eligibility Criteria

The applicants fulfilling the following basic eligibility criteria shall only be

considered for further evaluation (relevant documents to be attached):

i. Legal Requirements:

1.1. Applicant in Pakistan should be a registered company according to the

laws of Pakistan, with a history of operations of at least 3 years under the

same name and legal status. International bidders will not be allowed to

bid without a local partner or representative with demonstratable

experience of the sector and credentials.

1.1. Applications by international developers to be dealt according to the

laws of Pakistan applicable for foreign investment.

1.2. Local applicants should be tax payers of Pakistan and should submit their

tax payment history of past 3 years. In case of JV, tax statements for both

members of the consortium will be needed. In case of international

consortium, tax payment status of the local partner will be evaluated as

a local bidder which will require tax payment history of past 3 years.

1.3. Applicant should provide undertakings in the form of Affidavit on a stamp

paper of Rupees 20 of the following:

a. Not being blacklisted by any entity or government department in

Pakistan. In case of JV undertaking by both parties will be necessary.

b. Not a defaulter of any bank in Pakistan. In case of JV undertaking by

both parties will be necessary.

ii. Commercial Requirements:

2.1. Having demonstratable experience of operating and managing a similar

project in the hospitality industry for at least three years prior to the date

of submission of EOI.

2.2. Experience to include management and operations of other hotel

projects with at least 50 rooms or above, in one project or collectively in

multiple locations.

2.3. Demonstratable experience of managing and operating food and

beverage related activities including; room service and restaurant

management, with a capacity of at least more than 25 covers in a single

restaurant.

2.4. Experience of handling and management of banquet facilities and

corporate events within the project.

2.5. Have knowledge and capability of safety and health standards of

Pakistan applicable to the hotel industry.

2.6. Have knowledge of tourism industry of Pakistan and the dynamics of

seasonality in this business, especially in the context of the northern areas

of Pakistan.

2.7. In case of JV, requirements 2.1 to 2.6 will be applicable to the lead

member in the two party consortium.

iii. Financial Requirements: (To become eligible)

3.1. Audited financial statements of the company operating the hotel

business, for at least 3 years prior to the date of submission of this EOI,

3.2. Having an annual turnover of at least PKR 30 Mn from the existing hotel

business as discussed in the commercial requirements above,

3.3. Have sound financial stability with a current account ratio of at least 1.5

in the last two years of business, as stated in the audited financial

statements submitted by the interested party.

3.4. Interested parties should demonstrate source of funds, if investment in

PTDC properties is being made directly by the sponsors/owners.

Note: In case of JV, the financial soundness criteria will have to be met by

both members of the consortium, as per requirement in Sub Category A:

Financial Soundness mentioned below in Paragraph 2: Qualification

Criteria.

2. Qualification Criteria

Pre-Qualification will be based on applicant’s meeting the following

qualification criteria regarding their financial soundness, firm’s experience and

quality of its personnel & equipment and other relevant information as

demonstrated by the applicant’s response in the Pre-Qualification Forms and

necessary documentary evidences for validating and confirming the

information required in the following criteria and forms.

Pre-qualification status shall be decided on the basis of Pass/Fail Criteria.

No compromise shall be made on minimum requirements of 50% marks in each

category and an overall minimum of 70% marks as a total shall be required to

pre-qualify.

In case of JV, marks will be awarded to each member of the consortium, based

on the proposed role of each member in the consortium. For example the lead

member will state clearly in the application if any attribute in the qualification

criteria, other than the one mentioned in Sub Category A: Financial Soundness

in Paragraph 2: Qualification Criteria, will be evaluated for the other member

in the consortium who is not declared as the lead in the application for pre-

qualification. The lead member will clearly state which attribute of the

qualification criteria will be met by which member of the consortium and

provide a rationale for doing so in the cover letter of the pre-qualification

application as well as in the letter of association between the JV members.

Criteria, sub-criteria and marking system for the evaluation of applicants shall

be as under:

Any application submitted without fulfilling entirely the legal requirements

mentioned in Section II/Paragraph 1/Sub Para 1) containing Legal

requirements shall be considered invalid for evaluation and scoring.

SUB CATEGORY A: FINANCIAL SOUNDNESS

For financial soundness, audited financial statements for last three financial

years shall be submitted. No marks shall be given if audited financial statements

or Bank statements of last three financial years are not attached.

In case of Joint Venture (JV),

(i) All members combined are required to meet the given criteria of financial

soundness,

(ii) Lead Member must meet at least 70% of the qualifying scores for financial

soundness; and,

(iii) Each JV member (other than lead member) must meet at least 20% of the

qualifying scores.

THIS AGREEMENT FOR HIRING OF SUB-CONTRACTOR (hereinafter called the “Agreement”)

A. PRINCIPAL:

1. the General Contractor shall be responsible and liable for all services to be provided

2. The Parties shall enter into a detailed Sub-Contract Agreement, in case of award of works which shall include but not limited to detailed scope of Sub-Contracted services to be performed by the Sub-Contractor, payment mechanism and other terms and conditions as agreed between the parties.

3. PTDC shall not be responsible for any payment or any other obligation arising from any arrangement or agreement between the General Contractor and the Sub-Contractor in accordance with the provisions of this Agreement.
