2 PRODUCT LIST

Conditions of Sale1. Quotations.The acceptance of any quotation includes the acceptance ofthe following terms and conditions except in so far as any ofthem have been varied or are inconsistent with the quotation.Quotations do not constitute an offer, are for information onlyand not binding until an order has been accepted by theSeller in writing. The Seller reserves the right to revisequoted prices.

2. Description.The descriptions and illustrations contained in anycatalogues, price lists and other advertising material areintended merely to present a general idea of the goodsdescribed therein and none of these shall form part of anycontract.

Note: Some items are included in “The Oxoid Manual” and“International Product List” and not the Price List. Theseitems are not available in Australia at present or areprohibited by quarantine; therefor, when ordering pleaserefer to the Price List. Some of these items could beavailable on an “indent only” basis.

3. PricesAll Australian prices are quoted ex stock and are submittedwithout obligation and subject to change without notice.

All export prices are quoted F.O.B. Standard exportpackaging is included where this is deemed necessary byus. The Seller reserves the right to increase the price fromthat advised in the acknowledgment of the order, if suchincrease is due to any change in Government regulations, orany other cause beyond the Sellers reasonable control.

Any costs incurred on account of delays, interruptions orsuspension of work due to any act or omission of the Buyershall be added to the price.

All Items purchased (including handling charges), will besubject to a 10% Goods and Services Charge (GST).

4. DeliveryDelivery shall be deemed to be effected:(i) On receipt of signed copies of dispatch notes.(ii) Save as provided in subclause (iii) below when the goods have been collected from theSeller’s works or have remained uncollected for a period of 7days after the agreed date of collection, or (iv) Subject to prior written agreement by the Seller when:Goods have been delivered at the address agreed betweenSeller and the Buyer, or (v) All risks in relation to the goods will pass to the Buyerupon delivery in accordance with these conditions unlessotherwise agreed in writing by the Seller and the Buyer.

Please note that unless otherwise advised, we alwaysdispatch by the most economical means, taking due accountof the life, storage and use of the product concerned.

5. Failure to Make or Take Delivery (i) Dates given for dispatch / and or delivery are given ingood faith and the Seller will use reasonable endeavours todispatch or deliver on such date.(ii) Not withstanding the foregoing the Seller shall not beliable for late dispatch or delivery howsoever caused, norshall failure to dispatch be deemed to be in breach of contract.(iii) If the Buyer or his consignee fail to take delivery of thegoods or any part thereof on the dates and at the placesagreed the Seller will be entitled to cancel such delivery andall other outstanding deliveries and to charge the Buyer withany loss suffered.

6. Notifiications(i) All claims for damage to or partial loss of goods in transitshall be submitted in writing to both the Carrier and the Sellerwithin 5 days of delivery.(ii) All claims for non-delivery of the whole or any part of anyconsignment must be submitted in writing to the Carrier andthe Seller within 10 days of the Sellers invoice or advice notein the case of deliveries within Australia and within 28 days inthe case of deliveries outside Australia, or such longer periodas agreed in writing between the parties.(iii) The Seller shall not be liable for loss or damage to thegoods after delivery as defiined in condition 4 above.

In the absence of notifiication of claim within the timesmentioned above the goods shall be deemed to have beendelivered in accordance with the contract.

7. PackagesContainers in which the goods are delivered are non-returnable unless otherwise described. Containers whichare advised as returnable will be charged by the Seller butwill be credited in full if returned to the Seller carriage paid ingood condition within 60 days of delivery.

8. Descriptions and Warranties(i) The description of the goods specifiied by the Seller shalbe the basis of each invoice.(ii) In the event of a claim by the Buyer that the descriptioncannot be agreed or the goods are otherwise defectivethrough faulty materials or workmanship by the Seller, thenthe Seller must be notifiied in writing within 28 days odelivery.(iii) No such claim as is mentioned in (ii) will be acceptedunless and until the Seller has had reasonable opportunity tosatisfy itself that the Buyer’s claim is proved to the Seller’ssatisfaction.(iv) The Seller warrants that the goods delivered to the Buyershall be of merchantable quality and shall comply with thedescription referred to in the contract. The Seller’s liability is

limited to the price of the goods proved to be defective andfor this purpose the price shall be deemed to be the invoicedprice of the goods. The Seller shall be entitled to replacesuch goods upon the terms hereof in full settlement of it’sliability.(v) All recommendations and advice given by the Seller , itsservants or agents to the Buyer as to the mode of using thegoods are given without liability on the part of the Seller andno responsibility will be accepted by the Seller for any injury,loss or damage whatsoever or howsoever arising directly orindirectly from use of the goods.(vi) Save as herein expressly provided the Seller accepts noliability on behalf of itself, its servants or agents for any loss,damage costs or compensation howsoever caused whichthe Buyer may suffer or for which the Buyer may becomeliable arising out of or in connection with or as a result of thesupply of goods or failure to supply goods by the Seller.

9. Returns of Goods SuppliedEvery effort will be made to exchange or credit Oxoid goodsin a manner which will be fair and just to our customers.

However, in pursuing this policy certain conditions must beadhered to. Return of goods for exchange or credit will beallowed only if they comply with the following conditions:

1. Claims regarding broken or damaged goods must bemade immediately on receipt.

2. The product must appear in the current Oxoid Price List.3. The product must not have been purchased at specialdiscount rates or have been a bulk buy or special formula.Items purchased at special rates can only be credited at thesame rate.4. The product must be in its original unopened containerand the label should not have been removed or otherwisetampered with.5. Dated products are not accepted for credit under normalcircumstances.6. Indent items especially procured for customers are notnormally returnable.

Products returned are subject to our valuation withoutrecourse. We reserve the right to destroy any goods whichare unfiit or unsafe for sale.

Exceptions to the above are:

(a) Goods which are faulty or damaged when received by thecustomer and where the responsibility lies with Oxoid.(b) Goods supplied in error directly by Oxoid.

In both (a) and (b), any claims should be made within 10days of receipt of the goods.

10. Procedure for Returns All claims should fiirst be referred to Oxoid and are subjet toapproval under the conditions outlined above. No goods maybe returned without the Seller’s consent being given in writing.

Freight charged for the return of the goods is to be paid bythe consigner except in the case of exceptions as above, orshould Oxoid recall a product. Packing list number and datemust be supplied.

11. Force MajeureIf by reason of fiire, accidents, war, strikes, lockouts, riotscivil commotion Government prohibition or restriction of anyother cause (whether or not of the same nature as theforegoing) beyond the reasonable control of either of theparties the Seller is prevented from or delayed or hindered,in effecting dispatch or making delivery of the goods or anypart thereof at the times or places stated for delivery then areasonable extension of time shall be granted or ifappropriate delivery abandoned without penalty. In anyevent the Seller shall not be liable in any way for loss ordamage arising directly or indirectly through or inconsequence of any such events or happenings.

12. Terms(i) Terms of payment for delivery to Australian customers are

net cash within 30 days of the date of invoice.(ii) Terms for deliveries to customers outside Australia are:

(a) cash against delivery of shipping documents, or(b) shipment against irrevocable Letter of Credit,confirmed for payment in Australian Dollars by anAustralian Clearing Bank, or(c) Bill of Exchange accepted by approved customers.(d) All payments are due in Australian Dollars.

(iii)The right is reserved (without prejudice to any otherremedy) to cancel any uncompleted order or to suspenddelivery in the event of any of the Buyer’s commitments notbeing met, or if the Seller is of the opinion that the buyer isnot in a position to meet such commitments.(iv) The Seller reserves the right to levy an interest charge of8.5% per month for any account remaining unpaid after 30days from the date payment is due hereunder.

13. DefaultShould default be made by the Buyer in paying any sum dueunder any contract as and when it becomes due or if theBuyer should commit an act of bankruptcy or enter intoliquidation or if a Receiver of the Buyer’s assets be appointedor any arrangement or composition be made with creditorsthen the Seller may at its sole discretion without notice inwriting suspend or terminate any contract then in being so faras any further goods remain to be delivered withoutprejudice to any claim or right the Seller may otherwise makeor exercise.

14. Retention of Title(i) The property in any goods supplied by the Seller to the

Buyer shall remain with the Seller until those goods are paid for.(ii) Furthermore, the property in any such goods will continueto remain with the Seller until the Buyer has paid to the Sellerall sums due to the Seller from the Buyer on any otheraccount whatsoever provided always: the Buyer may unlessand until he receives notice from the Seller to the contrary sellsuch goods but only in the ordinary course of the Buyer’sbusiness and only to an independent third party in an armslength bona fiide transaction at full market value or a propetrade discount. Save as aforesaid the Buyer shall not sellcharge or otherwise dispose of any goods belonging to theSeller or of any interest in such goods and unless and untilsuch goods are sold as aforesaid by the Buyer the Seller mayat any time require the Buyer to deliver up the goods to the Seller.(iii) The Buyer shall account to the Seller for the proceeds ofsale or otherwise of the goods, whether tangible orintangible, including proceeds separate from any monies orproperty of the Buyer and third parties, and, in the case oftangible proceeds, properly stored, protected and insured.(iv) Until such time as the property in the goods passes to theBuyer, the Buyer shall hold the goods as the Seller’s fiiduciaragent and bailee, and shall keep the goods separate fromthose of the Buyer and third parties and properly stored,protected and insured and identifiied as the Seller’s property.

15. Patents(i) In the event of any claim being made against the Buyer inrespect of infringement or alleged infringement of LettersPatent Registered design or similar right relating to theSeller’s goods supplied to the Buyer then the Buyer shallnotify the Seller immediately and the Seller shall be at libertywith the Buyer’s assistance, if required, but at the Seller’sexpense to conduct all negotiations in the Buyer’s name forthe settlement of the same or any litigation which may arisetherefrom. Subject to such notifiication and providd that nosuch goods or any part thereof shall be used for any purposeother than that for which the Seller shall supply them theSeller will indemnify the Buyer in respect of any sumexceeding the total contract price.(ii) Where goods are at the Buyer’s request made andsupplied by the Seller other than to the Seller’s ownspecifiication the Seller accepts no liability for infringement oalleged infringement of any Letters Patent registered designor similar right in respect thereof and the Buyer will indemnifythe Seller against any such claims.(iii) So far as concerns goods supplied other than of theSeller’s own manufacture the Buyer will be entitled only tosuch indemnity in respect of infringement or allegedinfringement of Letters Patent Registered Design or similarright as the Seller may obtain from the Seller’s supplier andprovided that the Seller is not called upon to bear any liabilityor expense greater than the amount recovered from theSeller’s supplier.(iv) The Buyer shall do nothing which would or might vitiateany policy of insurance or insurance cover which the Buyermay have in relation to such infringement, and this indemnityshall not apply to the extent that the Buyer recovers any sumsunder such policy or cover(which the Buyer shall use its bestendeavours to do).(v) Without prejudice to any duty of the Buyer at common law,the Seller shall be entitled to require the Buyer to take suchsteps as the Seller may reasonably require to mitigate orreduce any such loss, damages, costs or expenses for whichthe Seller is liable to indemnify the Buyer under this clause.

16. WarrantiesThe Buyer shall not make any representation or warrantyconcerning the goods more extensive than or inconsistentwith the warranties set out in condition 8 (iv) herein and shallnot incur any liability therefor to any other party for the Seller.

17. CancellationDefects in quality or quantity of any of the goods deliveredshall not be a ground for cancellation of the remainder of anyorder for the goods.

18. IndemnityThe Buyer shall indemnify, defend and hold harmless theSeller from all losses, claims, demands, damages, costs andliabilities to which the Seller may become subject in so far asthey arise out of:(i) any breach or alleged breach by the Buyer of any

obligations under this agreement, or(ii) the Buyers mishandling of the goods, or(iii) any negligent act or omission by the Buyer or its

employees, agents or subcontractors.

19. Governing LawThe interpretation and purpose of any contract and of theseconditions will be governed by Australia Law.

20. Product Recall.In the event of a recall of any of the products bygovernmental agency or authority of competent jurisdictionor if a recall is considered necessary by the manufacturerand Oxoid Australia, such recall may be notifiied to the Buyeby telephone, fax or mail and the Buyer shall use bestendeavours to promptly implement and administer the recallin a manner which is appropriate and reasonable under thecircumstances and in conformity with accepted tradepractises. In the event that a recall is required because anyof the products fail to conform with any productspecifiications or at the express request of the manufactureand Oxoid Australia, then Oxoid Australia shall reimburse theBuyer for the price of all products. In the event that a recallis required as a result of the Buyer’s breach or allegedbreach of its obligations hereunder, all costs and expensesincurred in connection therefore shall be borne by the Buyer.

The Oxoid Listeria Rapid Test enables food manufacturers to detect the presence of Listeria organisms in their products or processing equipment in less than halfthe time taken by traditional methods.The test protocol has been developed to coincide conveniently with the working hours of the laboratory, providing a clear result two days after the sample has beenreceived.Enrichment Broth SystemCulture of the test sample is in two sequential enrichments, taking 42 hours. Any Listeria organisms present in the food or environmental sample are selectivelyenriched using growth conditions which are optimal for flagella expression.Antigen ExtractionThe second enrichment medium is heated at 80°C for 20 minutes to extract the flagella antigen.Listeria DeviceThe Listeria Device contains monoclonal antibodies specific to the B flagella antigen, that is common in most Listeria species.The extracted antigen is added onto a pad in the Sample window. This contains blue latex labelled with antibody. The extract rehydrates the complex and the specificantigen reacts, if present, with the antibody.The complex moves through the pad by capillary action to a test strip. A further reaction between antigen/latex complex and the fixed antibody results in a blue linein the Result window.The device also provides an integral Control window.

The Oxoid Salmonella Rapid Test is for the presumptive detection of motile salmonellae in raw food materials, finished food products and factoryenvironmental samples.Traditional methods generally take between 3 and 5 days compared to the Oxoid Salmonella Rapid Test which provides results within 42 hours. In extensive trialsthe test has proved accurate, reliable and easy to use across a wide range of foodstuffs.Salmonella Rapid Test Elective Medium (SRTEM-CM857)A selective enrichment broth medium specifically formulated for use with the Oxoid Salmonella Rapid Test. When made up according to directions, the double strengthbroth is ready for immediate use.Salmonella Rapid Test (FT201)The Salmonella Rapid Test comprises a unique culture vessel housing two tubes, each tube contains a lower selective medium and an upper indicator medium.Tube A contains modified Rappaport-Vassiliadis and Lysine Iron Cystine Neutral Red, whilst Tube B contains Lysine Iron Desoxycholate and modified Brilliant Green.Once the culture vessel is prepared by rehydration of the media, an aliquot of sample is added. Diagnostic DiscsOxoid Diagnostic Discs are now supplied in single cartridge form (the same packaging as for antimicrobial susceptibility discs). Consequently, theymay be used in the Oxoid Disc Dispensing System.

Diagnostic Discs should be stored at 2 to 8°C. They may also be stored in the freezer (–20°C).
