1 INTRODUCTION 1.1 Singapore Airlines (SIA) is seeking a publisher(s) to produce “Priority” and “Lifestyle

Privileges” (LP) publications. Priority magazine and the LP booklet are exclusively distributed to KrisFlyer’s elite PPS Club members, high net worth SIA customers who travel primarily in premium classes.

1.2 Priority magazine is in English and features editorial relating to tourism, leisure and any interesting lifestyle-related articles as well as information on SIA’s products, services and news, LP is in English and provides listings of special exclusive privileges and benefits to PPS Club members. These listings are to be sourced by the successful publisher.

1.3 The successful publisher(s) will also supply electronic versions of Priority and LP. These may include, but are not limited to e-magazines/e-books which will be uploaded on the Singapore Airlines website and to be made exclusively available to PPS Club members via the mobile app in future.

1.4 The contract period for both publications is for a two year period, from 01 October 2018

to 30 September 2020, with an option to extend further for a year, up to 30 September 2021, at the same terms. The option to extend is solely at SIA’s discretion.

1.5 The successful publisher(s) will enter a contract for the period engaged for contract publication(s), the terms of which shall be broadly consistent with the terms stated in this document and the proposals presented by the publisher that are accepted by Singapore Airlines. Other contract conditions will relate to required specific performance measures, including, inter alia, delivery and liquidated damages for delays.

1.6 The successful publisher(s) will work with the incumbent publisher to ensure a smooth handover prior to the publication of the Q1 Jan-Mar 2019 issue of Priority magazine and the Apr-Sep 2019 LP booklet.

1.7 As long as the successful publisher(s) remains the publishing agent of Priority magazine and LP booklet, it must obtain Singapore Airlines’ consent to bid for or accept work involving the production of the inflight magazine or website of any other airline that is a competitor to SIA or any of its subsidiaries.

2 INVITATION TO BID 2.1 Publishers are invited to quote for:

a) Publication and supply of Priority Magazine (quarterly issue), including advertising sales

b) Publication and supply of Lifestyle Privileges booklet (half-yearly issue) including advertising sales

c) Publication and supply of both the above publications, including advertising sales

SIA reserves the right to award in full or the parts, based on preceding paragraph.

2.2 Publishers must submit a proposal based on a model where Singapore Airlines is not required to provide any financial outlay. SIA will not bear any costs or losses in the event that the publications generate zero or negative revenue. SIA will not contribute any revenue towards the production of Priority and LP.

2.3 All publication and production costs of the magazine will be borne by the successful publisher, including delivery to SIA stipulated locations in Singapore and the electronic versions of both publications. The cost of production (which includes technical

requirements and maintenance for the e-books, editorial work, printing and stock photographs for the editorials and where required, photographs for SIA proprietary pages) should be deducted from the advertising and listing revenue generated through advertisement sales or through other means.

2.4 Interested publishers are invited to submit their written proposals in accordance to Section 8 of this document. Shortlisted candidates will be invited to present and elaborate on their proposals to SIA, in accordance to section 9 of this document, after which they would be evaluated for selection.

2.5 To achieve these objectives, interested publishers should respond in the indicated format,

answering all the required sections and clearly indicate any assumptions used or exceptions made in responding. Respondents will be evaluated based on the written submissions and any oral presentations, if required.

2.6 For the initial submission, the publisher is required to submit samples of their proposed content, design and layout for Priority magazine and Lifestyle Privileges Booklet. This may include: a) Proposed content pillars/sections for Priority magazine and Lifestyle Privileges b) Proposed new design for Priority magazine and Lifestyle Privileges.

2.7 Shortlisted candidates will be required to present their strategy, content and revenue

proposals for Priority and LP to members of Singapore Airlines’ Loyalty Marketing Department. Details of requirements will be shared with the shortlisted candidates.

2.8 Interested publishers must read and agree to Annex B – General Terms and Conditions of Tender and complete and submit Annex A – Pricing Schedule, Annex C – Vendor Profile Matrix, Annex D - Suppliers’ Code of Conduct and Annex E – Interested Party Declaration, Declaration of Participation By Relatives/Associated Companies.

2.9 Requests for copies of Priority magazine and LP booklet should be made in writing to: [email protected]. One copy each will be provided to each publisher upon request.

2.10 Questions regarding this tender or queries on this document must be addressed by e-mail to: [email protected], and be received by 26 March 2018.

2.11 No telephone queries or requests will be accepted in relation to this tender document. Any query and the answer to it will be provided to all parties which have, at the time of the question being answered, indicated their interest in submitting proposals. However, the identity of the publisher asking the question and any other commercially confidential matter will not be identified to other publishers.

2.12 Four sets of the response documents are required. For easy identification, the cover of

the documents (including the envelopes) must be clearly marked with either “ORIGINAL” or “COPY”.

In addition, two sets of thumb drives containing soft copies of submission should be prepared. We ask that all submissions be in Excel, Powerpoint, or Word format for all documents. Please ensure that materials submitted can be viewed on a standard Windows PC with Microsoft Office 2016. The thumb drives should be labelled with the project name, “Singapore Airlines Priority magazine and LP booklet RFP”.

2.13 The documents and samples shall be submitted in sealed envelopes must be received by Singapore Airlines by 12 noon, 13 April 2018 (Singapore time), by:

3 PUBLISHER REQUIREMENTS 3.1 The successful publisher shall at its own expense, assist Singapore Airlines to obtain all

necessary consents, licenses, permits, registrations and authorisations (whether in respect of publication of any material or otherwise) from the relevant government departments or other persons or companies concerned in respect of both publications.

3.2 The successful publisher will be responsible for the editorial content of Priority magazine and LP booklet, but Singapore Airlines retains a veto over any proposed content and the right to suggest editorial topics and other content, as well as revisions or amendments to any articles produced by the editorial team.

3.3 The successful publisher must ensure that the quality and content of both publications are of a high standard and comparable to international publications of a similar nature.

3.4 Obtaining appropriate usage rights for articles, photographs and other intellectual property for the hardcopy of Priority magazine and LP booklet will be the sole responsibility of the successful publisher. The contract will require indemnification of Singapore Airlines against claims for unauthorised use of intellectual property.

3.5 The successful publisher will organise and attend regular editorial planning and review

meetings. An editorial schedule, detailing the planned content for Priority magazine for at least the next six months, will be presented by the successful publisher and discussed at the regular editorial planning and review meetings with Singapore Airlines. Therefore, publishers must have, or commit to establish, at least three months prior to production, an office in Singapore with sales and editorial staff to attend such meetings.

3.6 The successful publisher will canvass and sell all advertisement space in Priority

magazine and LP booklet – both in Singapore and overseas (the contract will allow for the appointment of sales representatives), the collection of advertising revenues, and payment of appropriate commissions to media representatives and advertising agencies. All sales costs will be borne by the publisher. The successful publisher would be required to take over advertising media secured by the incumbent publisher based on contracted terms and conditions.

3.7 While the successful publisher will have day-to-day responsibility for the advertising content of Priority magazine and LP booklet, including obtaining materials from advertisers and liaising directly with these suppliers on layouts, Singapore Airlines will provide guidelines on the types of advertiser or advertisement that would not be acceptable and will retain the right to refuse any advertiser or advertisement it broadly deems offensive, inappropriate or not in keeping with the airline’s brand values and customer tastes. Any advertisements or listings for products and services which contravene Government and industry guidelines/policies must not be accepted by the successful publisher. Advertisements and listings from other airlines (except when secured by SIA) should also be rejected.

3.8 The successful publisher shall be responsible for all costs of production for the publications of the magazines and booklets, including delivery to SIA stipulated locations in Singapore and the electronic versions of both productions. The cost of production (which includes technical requirements and maintenance for the e-books, editorial work, printing and stock photographs for the editorials and where required, photographs for SIA proprietary pages) should be deducted from the advertising and listing revenue obtained.

3.9 The successful publisher will be responsible for invoicing, and will also provide Singapore Airlines with production costs and advertising sales figures for Priority magazine and LP booklet on a quarterly and half yearly basis, declaring all discounts given, commissions paid to media representatives, advertising agencies or other parties, and the rates for foreign currency exchanges, where any occur.

3.10 The successful publisher will be responsible to recover any bad debts from its

advertisers, including but not limited to commencing legal proceedings at their own expense.

3.11 The successful publisher will publish a rate card for prospective advertisers annually.

While such published rates will not prevent discounts being offered, the commercial imperative for such discounts must be briefly explained in the quarterly sales reports. A general discretion to allow discounts will be provided, but extensive discounts or discounts over an extended period may be offered only after consultation with and approval of the airline, especially if an ongoing premium placement in the magazine at substantially reduced rates is proposed.

3.12 Singapore Airlines reserves the right to audit all accounts relating to the revenue derived

from advertisements in Priority magazine and LP booklet, provided Singapore Airlines provides reasonable notice of its intention to do so.

3.13 The successful publisher must have the requisite skills and experience to supply

electronic versions of Priority and LP in the form of e-magazines/e-books, according to specifications stipulated by SIA, for uploading onto the SIA website and mobile application.

3.14 If the editorial content, photographs and ads in Priority magazine has to be reproduced

for a different medium (for example, the Inflight Entertainment System, KrisWorld), the successful publisher will assist in the process and obtain the relevant copyright.

3.15 The successful publisher shall deliver between 35,000 to 60,000 copies of each issue of Priority magazine and 35,000 to 60,000 copies of each issue of LP at no cost. Priority and LP shall be packed in multiples of a standard quantity in cartons and delivered to any SIA location in Singapore by the following dates: Schedules in year 2019 and 2020 Priority magazines Issue Delivery Date January 10th December previous year April 10th March July 10th July October 10th September

LP Booklets Issue Delivery Date October 10th December previous year April 10th June

Electronic/digital versions of both publications must be made available to members for download online and/or be made accessible through the Singapore Airlines mobile app.

4 KEY PERFORMANCE INDICATORS 4.1 Singapore Airlines will use the following Key Performance Indicators (KPI) to assess the

successful publisher’s performance during the duration of the agreement:

a) Error-free reporting in the monthly advertising billing reports submitted to the airline

b) Accuracy in advertising bookings and clear communication to vendors and SIA c) Timely payment of advertising revenue to SIA d) Advertising revenue performance for Priority magazine and LP booklet e) Active participation in awards f) Accuracy and quality of editorial content and production g) Good time management with regards to the editorial and production timeline h) Quality of personnel assigned to our account.

4.2 The successful publisher shall ensure content accuracy and quality of the publications. In

the event that an error is discovered and vendor is the sole and exclusive cause of the error, SIA reserves the right to impose the service fee deductions in accordance to the schedule below.

5 CONTENT SPECIFICATIONS FOR PRIORITY AND LIFESTYLE PRIVILEGES

PRIORITY 5.1 Priority magazine provides information on SIA products, services and latest news, and

should also feature editorials related to luxury/premium travel, leisure and lifestyle trends and/or activities. The topics will include all or some of the following: Mandatory: a) Travel b) Sports & Leisure c) Food & Beverage Optional: d) Health e) Luxury f) Other optional features can be proposed by the successful publisher

5.2 Each issue consists of a minimum of 48 pages not exceeding 80 pages (content, listings

and advertisements) and has 4 pages (cover). Advertising pages must not exceed 40% of the remaining pages. Any increase in pages will be subject to the approval of SIA and the 60/40 editorial/advertising ratio is to be maintained.

5.3 SIA reserves the right to use up to 25% of each issue of Priority magazine for SIA/PPS news, features, SIA proprietary advertisements, other advertisements that SIA may secure, or any other purposes as deemed fit by SIA. SIA will determine whether the editorial/advertising pages are placed on the right or the left hand side of the magazine. The materials will be provided by SIA to the Supplier at least 30 calendar days before the date of publication of the relevant issue. The successful publisher will provide the copywriting for this section based on the materials supplied by SIA, where required. In the event that SIA is not able to provide such materials, SIA may use these pages for other purposes at no charge.

5.4 In relation to clause 4.3 above on the allocation of pages for SIA’s use, SIA reserves the right to exercise sole discretion to enter direct negotiations and arrangements with advertisers or a third party agency. The advertising revenue generated from such deals between SIA and the advertiser/third party agency belongs to SIA solely and will not be subject to revenue sharing with the supplier.

5.5 SIA will be entitled to make revisions and amendments to the editorial copy and layout, which the successful publisher must accept. The successful publisher must allow for at least 3 rounds of revisions by SIA. All final editorial copy and all photographs therein will be subject to approval by Singapore Airlines Loyalty Marketing Department before publication.

5.6 SIA will reserve the right to reproduce any articles, photos, maps and illustrations, created by the successful publisher for Priority magazine, in any other medium or platform.

5.7 SIA will reserve the right to revise these content specifications, including the content categories, from time to time. The successful publisher will be consulted, and reasonable notice will be given, if any of the specifications is revised.

LIFESTYLE PRIVILEGES

5.8 The LP publication consists of a minimum of 48 pages not exceeding 68 pages of content

and listings and 4 pages for the cover. Approximately 4-8 pages are reserved for introduction, separator pages, index and the remaining 44-64 pages are listings of special and exclusive privileges and discounts offered to PPS Club members. At least 8 complimentary pages must be reserved for SIA selected suppliers if SIA so requires, or could be used for any other purposes as deemed fit by SIA. Advertisements are allowed as long as they are appropriate. Any increase in pages will be subject to the approval of SIA.

5.9 The successful publisher will provide the copywriting and design for cover, introduction, separator pages and indexes as well as coordinating the listing layouts.

5.10 SIA will have full control over the editorial policy and aims of LP, and will be entitled to make revisions and amendments to editorial copy and layout that the successful publisher must accept. The successful publisher must allow for at least 3 rounds of revision by SIA. All editorial copy and photographs will be subject to SIA’s approval before publication.

5.11 When sourcing for listing suppliers, the successful publisher must bear in mind the locations of these suppliers. At least 50% of the addresses listed must cover major cities where the PPS members are likely to travel besides Singapore, including but not limited to the following:

a) Regional – Kuala Lumpur, Bangkok, Jakarta, Denpasar, Manila b) Asia – Hong Kong, Beijing, Shanghai, New Delhi, Bombay, Tokyo, Seoul c) Europe – London, Paris, Amsterdam, Frankfurt, Zurich d) Australia and New Zealand – Perth, Sydney, Melbourne, Brisbane, Adelaide,

Auckland, Christchurch e) USA – New York, Los Angeles, San Francisco

The successful publisher may also source for other locations.

5.12 LP provides listings of special privileges and benefits to the PPS Club members. These listings are to be sourced by the successful publisher. The listings will include, but not limited to the following categories:

a) Accommodation b) Beauty & Wellness c) Home & Living d) Shopping e) Travel Services f) Wine & Dine

The successful publisher may also source for other categories.

5.13 The successful publisher will conduct quarterly audits on suppliers participating in LP and the audit reports will be submitted to SIA on the 15th of the subsequent month after the end of quarter, i.e. 15th April, 15th July, 15th October and 15th January. The successful publisher will select ten (10) suppliers randomly for each audit, and the suppliers must not be repeated in each year. There must be physical audit of participating overseas establishments at least twice a year. For suppliers that do not pass the audit, the successful publisher must take follow-up action and report back to SIA within 1 month after the audit.

5.14 Singapore Airlines reserves the right to revise these content specifications, including the

content categories, from time to time. The successful publisher will be consulted, and reasonable notice will be given, if any of the specifications is revised.

6 PRINTING SPECIFICATIONS FOR PRIORITY AND LIFESTYLE PRIVILEGES

PRIORITY

6.2 Publishers are welcomed to suggest alternate specifications in their proposal, Singapore Airlines reserves the right to revise these specifications, including the number of pages, from time to time. The successful publisher must therefore allow for an increase of no more than 10% of the number of pages. The successful publisher will be consulted, and reasonable notice will be given, if any of the specifications is revised.

Publishers are welcome to make alternative recommendations for the production schedule for Priority and LP.

7 OVERVIEW OF MILESTONE ACTIVITIES

7.1 The tender proceedings shall be conducted based on the following schedule. Late submissions will not be entertained.

8 WRITTEN PROPOSAL REQUIREMENTS 8.1 This section of the RFP document will comprise of four components and it is mandatory

for the agency to provide a response to all the required sections, including “N.A.” if not applicable.

8.2 All costs incurred in preparation of proposals will be borne by the publisher. Any stamp duty payable on the contract will be paid by the successful publisher.

8.3 If the publisher has his/her own terms and conditions for publishing Priority magazine or

LP booklet, this must be specified in the proposal. Publishers must also state if they are unable to fulfill one or more of the responsibilities set out in the job scope.

8.4 CREDENTIALS

8.4.1 Credentials including an outline of the history, size, and key corporate identity of the

proponent and scope of existing contract work, including any inflight or premium customer segment magazines currently produced for other airlines.

8.5 EDITORIAL STRATEGY FOR PRIORITY MAGAZINE AND LP PRIVILEGES

8.5.1 Being the airline’s publication for PPS Club members, Priority carries with it the prestige

and image of an airline that has established a reputation for product innovation, premium service excellence and prudent financial management. It is important that the successful publisher consistently reflects this image in the magazine’s editorial values and production quality.

8.5.2 The current editorial content of the magazine covers luxury/premium travel, leisure and

lifestyle. The interested publisher must propose editorial content and style that is consistent and relevant to PPS Club members.

8.5.3 The publisher is required to submit samples of their proposed design and layout for Priority magazine and Lifestyle Privileges Booklet. This may include c) Proposed content for existing Priority magazine and Lifestyle Privileges d) Proposed new design for Priority magazine and Lifestyle Privileges

8.5.4 The publisher must state the required production timelines to achieve quarterly publication and delivery to Singapore Airlines in good time to distribute the magazines to members just prior to the beginning of the calendar month. For reference, Priority magazines are usually ready for distribution from the 10th of the preceding month i.e the January-March issue should be printed by 10th December.

8.6 MEDIA SALES STRATEGY TO INCREASE ADVERTISING REVENUE

8.6.1 Publishers must include his/her assessment of the advertising potential for the magazine.

Publishers should also come up with a proposal on how to increase advertising revenue through themed supplements and working with advertising partners to come up with sponsored exclusive events for PPS Club members.

8.6.2 SIA is also open to other proposals from the publisher on increasing advertising revenue. 8.7 PRICING SCHEDULE 8.7.1 Interested publishers should complete Annex A – Pricing Schedule which covers the

following:

8.7.2 Publishers are required to quote for production costs for the period of the Contract. The costs of production quoted should not change during the contracted period. Publishers are also required to provide quotations for both FSC and non-FSC certified paper as options for SIA’s consideration to print Priority and Lifestyle Privileges.

8.7.3 Publishers are required to provide the indicative advertisement rates and discounts as well as expected advertisement and listing billings. Forecasts of advertising revenue (and other revenue, if applicable) based on the criteria in this RFP document must be stated.

8.7.4 Publishers are also required to propose a net-revenue-sharing formula (i.e advertising and listing revenue remaining after deduction of production costs of the publications, volume discounts and agency commission. Total commission to agency/agent(s) shall not exceed 15%).

8.7.5 Publishers are also required to quote a minimum guaranteed revenue to SIA on an annual basis. This is revenue guaranteed to SIA after deducting all costs incurred in the production of the magazines and booklets, including the electronic versions.

8.7.6 At least 10% of the proposed remuneration must be conditional upon meeting of performance KPIs covering quality of content produced, media sales revenue, account servicing and any other value-added service given to SIA and group airlines.

8.7.7 Where production prices are quoted, the pricing shall be exclusive of any Goods and Services Tax (GST). For non-Singapore companies, any liability for the payment of any value-added or consumption taxes must be specified.

8.7.8 The publisher must quote in Singapore Dollars and the local currency of their home country. Singapore publishers are must quote in Singapore Dollars only.

9 PRESENTATION REQUIREMENTS FOR SHORTLISTED PUBLISHERS 9.1 Following the submission of written proposals, a further shortlist will be made for

publishers required to present.

9.2 All publishers shortlisted for presentations will be allocated a maximum of 2 hours for the presentation. The programme will be as follows:

9.3 Please note that all presentations should be in response to the written proposal requirements given in Section 8.

NOTE: Hard and soft copies of the presentation documents should also be submitted on the day of the presentation.

10 ACCEPTANCE OF PROPOSALS 10.1 Singapore Airlines reserves the right to accept the whole or part of the proposal, to select

one or more publishers or to select no publisher at all. Publishers should note that Singapore Airlines is not under obligation to accept the lowest-priced bidder.

10.2 Please do not provide gifts or items of commercial value with proposals. Doing so will

result in proposals being disqualified. 10.3 Proposals will be treated as commercially confidential and will not be disclosed to other

parties except as required by law or judicial order. 10.4 All parties will be notified of the outcome of their submissions. However, only short-listed

companies will be invited to present their proposals to a selection panel, scheduled in the first week of May 2018. Any appointment of a publisher, and contracting of the publisher, is scheduled to take place by or before August 2018.

10.5 The publisher represents and warrants that it is in compliance with all laws of those

countries in which it operates, including all anti-corruption and anti-bribery laws, and will remain in compliance with all such laws. The publisher further represents and warrants that it has not made, authorized or offered to make payments, gifts or other transfers of value, directly or indirectly, to any government official or private person in order to (1) improperly influence any act, decision or failure to act by that official or person, (2) improperly induce that official or person to use his or her influence with a government or business entity to affect any act or decision by such government or entity or (3) secure any improper advantage.

10.6 The publisher agrees that should it learn or have reason to know of any payment, gift or other transfer of value, directly or indirectly, to any government official or private person that would violate any anti-corruption or anti-bribery law, it shall immediately disclose such activity to Singapore Airlines. If, after consultation by all Singapore Airlines and the publisher, any concern cannot be resolved in the good faith and reasonable judgment of Singapore Airlines, then Singapore Airlines, on written notice to the publisher, may exclude the publisher from being considered.

10.7 Singapore Airlines shall have the right to disqualify the publisher and its proposal if the publisher breaches this, or any other, representation, warranty or undertaking set forth under the terms and conditions of this tender exercise.
