In continuation to our letter dated 20th

May, 2020, we wish to inform you that the Board of

Directors at its meeting held today at 3:30 p.m. and concluded at 5:30 p.m. have approved the

Audited Financial Results (Standalone and Consolidated) of the Company for the year ended

31st March, 2020.

Accordingly, in terms of Regulation 33 of the SEBI (Listing Obligations and Disclosure

Requirements) Regulations, 2015, we enclose herewith:

(i) Audited Financial Results (Standalone and Consolidated) for the year ended

31st March, 2020; and

(ii) Statutory Auditors Report on the Audited Financial Results (Standalone and Consolidated)

for the year ended 31st March, 2020.

The report of Price Waterhouse Chartered Accountants LLP, the Statutory Auditors of the

Company, is with unmodified opinion with respect to the Audited Financial Results (Standalone

and Consolidated) for the year ended 31st March, 2020.

Further, in order to conserve resources, the Board of Directors has not recommended any further

dividend for the year ended 31st March, 2020 and therefore the interim dividend of Rs. 3.20

(160%) per equity share of Rs 2/- each, which was declared on 12th

February, 2020, has been

confirmed as the final dividend for the year ended 31st March, 2020.
