1. Public Session Call to Order The Board President (Dennis Jordan) called the meeting to order at 5:02 p.m. The meeting was held in the Margaret M. Randolph Board Room on the Merced College Campus in Merced.

2. Hearing of the Public An opportunity was provided for members of the public to address the Board on matters of general district business. Student Trustee Johnson introduced the new Student Trustee, Katie Morrill, who will be seated in the fall. Cody Camacho introduced himself as the ASMC President-Elect.

3. Closed Session Items The Board President referenced the item to be presented during closed session then closed the meeting to the public. The closed session items are listed below.

5. Hearing of the Public An opportunity was provided for members of the public to address the Board on matters of general district business. Joanne Schultz shared the first book which was produced by Merced College print services. Keith Law introduced Patrick Mitchell as the new MCFA President. Patrick Mitchell thanked Keith Law for his work in MCFA and said he looks forward to working with the Board and Administration. Keith Law and Cherie Davis discussed the student survey regarding Higher One.

7. Presentations a. April Student of the Month

Professor Karen Fritz introduced Professor Kathy Kanemoto and Joseph Newman.

Professor Kathy Kanemoto praised Mr. Newman for his success. Mr. Newman thanked his family and the college for their support. He thanked his professors for their guidance.

b. Student of the Year Professor Karen Fritz introduced Professor Judy Rose and Cynthia Cook. Professor Rose presented the Student of Year award to Cynthia Cook and highlighted her accomplishments. Ms. Cook expressed her appreciation for being given this award. She thanked her family and everyone who supported her through her time at Merced College.

c. Sabbatical Report Dr. Kistler introduced Professor Cary Yanagi.

Professor Yanagi provided a report on his sabbatical leave.

d. Part-Time Faculty Appreciation Month Professor Keith Law provided a presentation for part-time faculty appreciation month.

10. To the Board for Discussions and/or Action

a. Second Reading of Board Policy and Administrative Procedure 2470/3300 –

Access to Public Records Dr.Taylor stated this item was first brought to the Board at the April 1, 2014, meeting.

MSC (Hicks/McCabe) to approve Board Policy and Administrative Procedure 3300 – Access to Public Records. Trustee Hicks voted aye. The student advisory vote was aye.

b. Board Meeting Schedule for Summer 2014 Dr. Taylor said traditionally the June meeting is moved to the third Tuesday of the month and that no meeting is held in July.

MSC (Hicks/McCabe) to approve the proposed Board meeting schedule for summer 2014. Trustee Hicks voted aye. The student advisory vote was aye.

c. Resolution Declaring Intention to License Property Dr. Taylor explained the need for this resolution in declaring intention to license property for the purpose of pasturing livestock. If approved a timeline for accepting proposals and bringing them to the Board will be developed.

MSC (McCabe/Upton) to approve resolution 14-82 to declare intention to license property. Trustee Hicks voted aye. The student advisory vote was aye.

d. Ratification of No-Cost Change Order for Proposition 39 Energy Project Los Banos Campus Lighting Retrofit Dr. Schultz said the type of lighting to be used needs to be changed and what is proposed is the same or better as the original with no cost to the District.

MSC (Hicks/McCabe) to ratify the no-cost change order for the Los Banos lighting retrofit. Trustee Hicks voted aye. The student advisory vote was aye.

e. Request to Issue TRAN for 2014-15 Dr. Schultz explained how a TRAN works and its use. MSC (Upton/Arzamendi) to approve resolution 14-81 authorizing the issuance of 2014-15 tax and revenue anticipation note and participation in the Community College League of California cash flow financing program. Trustee Hicks voted aye. The student advisory vote was aye.

11. To the Board for Information a. First Reading of Board Policies and Administrative Procedures

Dr. Taylor gave a brief review of each policy and procedure. The policies will come back to the Board at the next meeting for their approval.

12. Reports a. From Academic Senate

Dee Sigismond updated the Board on activities of the Academic Senate.

b. From Faculty Association Keith Law had nothing to report.

c. From Classified Senate Charlene Reed thanked everyone who participated in last month’s Classified Staff Development Day.

d. From CSEA Ramon Avila, Jr., announced CSEA week May 19 through 23 and invited the Board to attend the BBQ lunch to be held that week.

e. From Management Team Karyn Dower provided an update on the activities of the Management Association.

f. From Board Members Trustee Gutierrez congratulated the Student of the Month and Student of the Year. He thanked Professor Yanagi for his sabbatical report. He congratulated the part-time faculty honored tonight. He announced the students of the week at the Los Banos campus for the past month. He looks forward to attending a Rotary lunch in Los Banos.

Trustee Lashbrook has been touched by those who have reached out to her since her father passed away. She thanked everyone for their hard work. Trustee McCabe had no report. Trustee Hicks thanked everyone for the invitations to the various events and the information provided tonight. He acknowledged the students here from Los Banos. Trustee Upton heard the workshop last Thursday was excellent. The Athletic Hall of Fame dinner was very uplifting. She thanked everyone for their presentations tonight and congratulated the Student of the Month and Student of the Year. Trustee Arzamendi thanked everyone for being at the meeting tonight. He congratulated the Student of the Month and the Student of the Year. He echoed the comments regarding the workshop last week and the Athletic Hall of Fame dinner. He thanked Janique for her dedication and advocacy during her time as Student Trustee. Student Trustee Johnson announced she will be getting married in October. She thanked everyone for their support during her time as Student Trustee and for making her experience so wonderful. Trustee Jordan thanked Janique for her hard work and dedication. He expressed appreciation for all of the staff at Merced College.

g. Superintendent’s Report Dr. Taylor brought the Board’s attention to the list of upcoming events and mentioned other events not listed. He reviewed some items happening on

the state level. He gave an update on District activities and accomplishments.

13. Future Discussion Items from Board Members Trustee Hicks would like to have a standing agenda item for Los Banos students to provide an update. Trustee Gutierrez would like to discuss Merced College teams and organizations being able to use facilities free of charge. Trustee Lashbrook would like to ensure the update on Higher One is on a future agenda.

There was no action taken in the second closed session.

4. Approval of Memorandum of Understanding on Salary Placements for Part-time Faculty with MCFA Chapter 770 MSC (Hicks/Upton) to approve the memorandum of understanding on salary placements for part-time faculty with MCFA Chapter 770. Trustees Hicks, Jordan, Upton, Gutierrez, McCabe, and Arzamendi voted aye.

5. Resolution to Honor May 19 Through 23, 2014, as CSEA Week MSC (Arzamendi/Gutierrez) to approve Resolution 14-83 honoring CSEA week for May 19 through 23, 2014. Trustees Hicks, Jordan, Upton, Gutierrez, McCabe, and Arzamendi voted aye.

Item: The Proposed 2014-15 Tentative Budget Presented By: Joanne Schultz For: Information Action X Background Information The 2014-15 Tentative Budget that is being presented to you tonight is the first official review of the District’s various Funds. The information being presented impacts all District Funds but focuses primarily on the General Fund. The Unrestricted General Fund; oftentimes, referred to as the operating budget, is based on the information presented in the Governor’s January Budget, the May Revise and the Chancellor’s Office 2013-14 First Period Principal Apportionment, referred to as the P1. The Restricted General Fund is composed of the Board Designated, College Work Study, Categorical Projects Funds. Other District Funds include Bond Redemption, Child Development, Merced Farm, Capital Projects, Bond Construction, Bookstore, Retiree Health Benefits, Associated Students of Merced College (ASMC), and Student Financial Aid. 2014-15 State Budget - Impact to Community Colleges Based on the Governor’s May Revision, the state budget will include the following items: 0.85% COLA to the unrestricted general state apportionment

2.75% increase in funding for enrollment restoration/access

Reduce system-wide apportionment payment deferrals to zero

$100 million dollar increase to the Student Success and Support Program

$50 million dollar increase to Economic and Workforce Development Program, to

improve student success in career technical education

$148 million for Scheduled Maintenance, with no funding for Instructional Equipment

$6 million for increased technology infrastructure $42.4 million to offset decreases in property tax and student fees

State Budget – Impact on Merced College Based on the information provided in the proposed state budget, the May Revise and the First Period Apportionment Report, the Administration has developed a Tentative Budget for 2014-15. This information is tentative and will be refined as the Legislature and the Governor work towards an eventual state budget. Highlights and the assumptions used to develop the Tentative Budget are as follows: Revenue: • FTES to be budgeted in 2014-15 has been adjusted for the First Period

Apportionment Report (May Revision), and based on the Governor’s May Revision. **Estimated total computational revenue has been adjusted upward 3.6% in the Unrestricted General Fund. In addition, P1 includes a total deficit factor of 4.4% - however, all but 1% is projected to be guaranteed with RDA backfill funding. Final budget will contain figures from P2 and Apportionment workload adjustments.

• Education Protection Account (EPA) funding is anticipated to remain at the same level as 2013-14, $6.5 million. An accounting of how the 2013-14 funds were spent will be presented to the Board at a later date.

• Since 2012-13, the District has opted to receive State Mandated Cost

reimbursements based on FTES. The District is choosing this option again for 2014-15 and is including $275,000 in the Tentative Budget. In addition, based on a recent audit conducted by the State Controller’s Office, the District is anticipating receiving approximately $200,000 for prior year mandated cost reimbursement claims. This revenue will not be included in the budget until the state provides a definitive timeframe for payment.

• The Tentative budget assesses a 1% deficit factor against state apportionment revenue, for a reduction of $499,906

• A Cost of Living Adjustment (COLA) is budgeted at 0.85%, or $410,154

• 2.75% increase in funding for enrollment restoration/access, $1,326,970

• The Part-time Faculty Compensation is budgeted based on unspent dollars received in 2013-14, plus additional funds to be received in 2014-15.

• Nonresident tuition rates will remain level at $208 per unit. It is anticipated that the number of out-of-state athletes will remain level as the athletic programs remain unchanged.

Expenditures:

• In an effort to generate savings in previous years, the District has removed or excluded certain items from the budget. Many of these items were intended to be temporary or one-time savings and need to be restored in the budget to some extent. The Tentative Budget does not include any amount of restoral, however, these items will continue to be reviewed for possible inclusion in the Final Budget.

• The full-time faculty obligation is projected to be 167.6 FTEF. For Fall 2014, the District is projected to have 180 FTEF.

• Five faculty positions are currently vacant and are not projected to be filled in 2014-15. As a result, these positions are not included in the Tentative Budget. These vacancies will generate a savings of approximately $477,390.

• Health benefits for SISC medical rates will change as follows:

o 9.52% increase for Medical, an additional cost of $452,469 o Dental and Vision rates will remain the same as 2013-14.

• The PERS rate will increase by 2.8%, from 11.442% to 11.771%, for an

additional cost of $28,496.

• The STRS rate is projected to increase by 7.6%, from 8.25% to 8.88%, for an additional cost of $112,921.

• The District’s contribution rate for State Unemployment Insurance will remain the

same as 2013-14, 0.05%. As in 2013-14, the District will incur an additional Local Experience Charge (LEC) against benefits paid to former employees. The LEC is calculated annually and is determined based on the District’s reserve ratio. The LEC rate is 10% and is estimated to result in an additional cost of $20,000 for 2014-15.

• Rate adjustments for Workers Comp, liability, property and auto physical damage insurance are currently unknown, therefore, no cost estimate is included

• Salaries have been adjusted for step and column increases including 2014-15

longevity bonuses.

• All retirees, including employees that have filed intent to retire, have been

budgeted in the Retiree Health Benefits.

• SISC medical benefit rates vary depending upon the age and number of dependents for each retired employee. On average, rate adjustments were relatively similar to those for active employees, resulting in an additional cost of $165,846.

• Rates for student insurance are projected to decrease by approximately 1%.

• District will continue funding the EOPS program’s match at the 2008-09 Required District Contribution calculation amount of $231,166; although, the Required District Contribution calculation remains at $165,194.

• In prior years, the District has provided unrestricted general fund support to the following categorical programs: Matriculation/Student Success and Support Program (SSSP), DSPS, EOPS and CalWorks. The 2013-14 state budget included additional funding for each of these programs, therefore, the amount of general fund support was reduced accordingly. The additional state funding in 2013-14 for SSSP, DSPS and CalWorks exceeded the prior general fund contribution. As a result, the general fund support for these programs was reduced to zero. EOPS received a reduced level of general fund support in the amount of $76,002. At this time it is unknown if EOPS will receive additional funding in 2014-15. Therefore, the level of support is anticipated to remain at the 2013-14 level.

• Maintenance agreements are projected to increase by $97,327.

• The approved Planned Expenditures and Resource Allocation items for 2014-15 have not been finalized and no cost estimates are included.

• Net savings related to the 2013-14 SERP program are projected to be $391,218.

Net savings related to the 2012-13 SERP program are projected to be $420,934.

• District salary savings of $900,000 and benefit savings of approximately $1.5

million are included for 2014-15.

• Vacation payouts to management and classified employees are included in the budget at an estimated cost of $95,000.

• Sets aside $100,000 in contingency funds for unanticipated costs that arise during the fiscal year

• Projects energy savings of approximately $34,000

• The state has allocated $300 million for Adult Education, however, it is unknown

at this time how much would be allocated to community colleges. Therefore, the Tentative Budget does not include any anticipated revenue for this item. Funding is not expected until 2015-16.

• The Governor intends to provide an additional $100 million for SSSP. This is in

addition to the funding received in 2013-14 and would result in approximately $940,000 in total program funding. The projected match requirement is 3 to 1 (District to State dollars) for 2013-14 funding and 2 to 1 for 2014-15 funding. This would require approximately $2.3 million of District resources. However, the match relative to the projected 2014-15 funding will not be included in the budget until applicable expenditures can be identified.

• The Governor’s January budget included $175 million for a 50/50 split between

the Scheduled Maintenance and Instructional Equipment programs. The Governor’s May Revision reduces the funding to $148 million, with the entire allocation for Scheduled Maintenance ($1,150,000). In addition, a local match will not be required for 2014-15.

Reserves: • For purposes of the Tentative Budget, the ending balance for 2013-14 is

estimated at $5,164,217, or 9.9%. This projection will continue to change as we move closer to the end of the fiscal year.

• The District is projecting a 2014-15 ending balance of $4,387,048, or 8.1%.

• The Board Reserve will be budgeted at 6 percent of the anticipated expenditures.

ADMINISTRATIVE PROCEDURE 2710 Conflict of Interest References:

Government Code Sections 87105 and 87200-87210; Title 2 Sections 18700 et seq.; and as listed below

Incompatible Activities (Government Code Sections 1126 and 1099) Board members and employees shall not engage in any employment or activity that is inconsistent with, incompatible with, in conflict with or inimical to the Board member’s duties as an officer of the District. A Board member shall not simultaneously hold two public offices that are incompatible. When two offices are incompatible, a Board member shall be deemed to have forfeited the first office upon acceding to the second. Financial Interest (Government Code Sections 1090 et seq.) Board members and employees shall not be financially interested in any contract made by the Board or in any contract they make in their capacity as members of the Board or as employees. A Board member shall not be considered to be financially interested in a contract if his/her interest meets the definitions contained in applicable law (Government Code Section 1091.5). A Board member shall not be deemed to be financially interested in a contract if he/she has only a remote interest in the contract and if the remote interest is disclosed during a Board meeting and noted in the official board minutes. The affected Board member shall not vote or debate on the matter or attempt to influence any other member of the Board to enter into the contract. Remote interests are specified in Government Code Section 1091(b); they include, but are not limited to, the interest of a parent in the earnings of his or her minor child. No Employment Allowed (Education Code Section 72103(b)) An employee of the District may not be sworn in as an elected or appointed member of the Governing Board unless and until he/she resigns as an employee. If the employee does not resign, the employment will automatically terminate upon being sworn into office. This provision does not apply to an individual who is usually employed in an occupation other than teaching and who also is, at the time of election to the Board, employed part time by the District to teach no more than one course per semester or quarter in the subject matter of that individual’s occupation (Education Code Section 72103(b)). Financial Interest in a Decision (Government Code Sections 87100 et seq.) If a Board member or employee determines that he/she has a financial interest in a decision, as described in Government Code Section 87103, this determination shall be disclosed and made part of the Board’s official minutes. In the case of an employee, this announcement shall be made in writing and submitted to the Board. of the matter is concluded unless the matter is placed on the agenda reserved for uncontested matters. A Board member may, however, discuss the issue during the time the general public speaks on the issue.

Gifts (Government Code Section 89503) Board members and any employees who manage public investments shall not accept from any single source in any calendar year any gifts in excess of the prevailing gift limitation specified in law. Designated employees shall not accept from any single source in any calendar year any gifts in excess of the prevailing gift limitation specified in law if the employee would be required to report the receipt of income or gifts from that source on his/her statement of economic interests. The above limitations on gifts do not apply to wedding gifts and gifts exchanged between individuals on birthdays, holidays and other similar occasions, provided that the gifts exchanged are not substantially disproportionate in value. Gifts of travel and related lodging and subsistence shall be subject to the above limitations except as described in Government Code Section 89506. A gift of travel does not include travel provided by the District for Board members and designated employees. Board members and any employees who manage public investments shall not accept any honorarium, which is defined as any payment made in consideration for any speech given, article published, or attendance at any public or private gathering (Government Code Sections 89501 and 89502). Designated employees shall not accept any honorarium that is defined as any payment made in consideration for any speech given, article published, or attendance at any public or private gathering, if the employee would be required to report the receipt of income or gifts from that source on his/her statement of economic interests. The term “honorarium” does not include:

• Earned income for personal services customarily provided in connection with a bona fide business, trade, or profession unless the sole or predominant activity of the business, trade or profession is making speeches.

• Any honorarium that is not used and, within 30 days after receipt, is either returned to the donor or delivered to the District for donation into the general fund without being claimed as a deduction from income tax purposes.

BOARD POLICY 2710 CONFLICT OF INTEREST Reference: Government Code Sections 1090, et seq.; 1126; 87200, et seq.; Title 2, Sections 18730 et seq. Administrative Procedure 2712

Board members shall not be financially interested in any contract made by the Board or in any contract they make in their capacity as board members. Board members shall avoid conflicts of interest, or its appearance, between their obligations to the District and private business or personal commitments and relationships. A board member shall not be considered to be financially interested in a contract if his or her interest is limited to those interests defined as remote under Government Code Section 1091 or is limited to interests defined by Government Code Section 1091.5. A board member who has a remote interest in any contract considered by the Board shall disclose his or her interest during a board meeting and have the disclosure noted in the official board minutes. The board member shall not vote or debate on the matter or attempt to influence any other board member to enter into the contract. A board member shall not engage in any employment or activity that is inconsistent with, incompatible with, in conflict with or inimical to his or her duties as an officer of the district. A board member shall not simultaneously hold two public offices that are incompatible. Upon leaving the board, former members shall not, for a period of one year act as an attorney, agent or otherwise represent for compensation others appearing before the board. In compliance with law and regulation, the Superintendent/President shall establish administrative procedures to provide for disclosure of assets of income of board members who may be affected by their official actions, and prevent members from making or participating in the making of board decisions which may foreseeably have a material effect on their financial interest. Board members and all designated employees identified by Administrative Procedure 2712 shall file statements of economic interest with the filing officer identified by the administrative procedures. Merced Campus: Virtual Desktop Infrastructure Equipment Presented By: Joanne Schultz For: Information Action X Background Information Proposition 39, the California Clean Energy Jobs Act, passed on November 6, 2012. SB 73 establishes that eleven percent of the funds deposited annually into the Clean Energy Job Creation Fund be allocated to the California Community College Chancellor’s Office to be made available to community college districts for energy efficiency upgrades and clean energy installations. On May 14, 2013, the Board of Trustees was advised about the passage of Proposition 39, the California Clean Energy Jobs Act. Administration worked closely with Merced Irrigation District and Pacific Gas and Electric Representatives to identify potential Proposition 39 projects. Whenever possible, Proposition 39 funding was offset by any allowable utility rebates, which provided additional funding for projects. Merced Community College District applied for and was approved for energy project funding in the amount of $279,143. Merced College received this funding on February 18, 2014. One of the approved projects was for Virtual Desktop Equipment for the Merced Campus. As required by Public Contract Code 20651, Administration conducted a competitive bidding for equipment and formal requests for bids were issued (Bid #2014-02) and advertised through the Merced Sun Star. Below are details of this project:

Project Budget Virtual Desktop Equipment (69 units) - A virtual desktop is an individual user’s interface in a virtualized environment. The virtualized desktop is stored on a remote server rather than local. The benefits of desktop virtualization include:

• Cost savings because resources can be shared and allocated on an as-needed basis.

• More efficient use of resources and energy. • Improved data integrity because backup is centralized. • Centralized administration. • Fewer compatibility issues.

A public bid opening took place on Friday, May 30, 2014 at 2:00 p.m. and the project will deliver all equipment by Tuesday, June 30, 2014, as set forth in the Notice to Proceed. Merced Community College District Five-Year Construction Plan Summary What is the Five-Year Construction Plan? The Five-Year Construction Plan communicates to the State Legislature, through state control agencies, the capital outlay needs of a community college district over the next five years. It also serves as the base of capital outlay applications by delineating capacity to load ratios for five categories of space defined in Title V of the California Administrative Code: lecture, laboratory, office, library, and audio-visual/TV (media). The plan essentially merges five components into a “logical” and measurable statement of the District’s projected needs: educational plan statements, inventory of existing space, enrollments, FTE instructional staff, and projected facility projects. Initial Project Proposal (IPP) The purpose of the IPP is to introduce the concept and impact on space intended by each project proposal, so that effort can be made to determine which projects should continue into more detailed planning and development. Merced Community College District staff will not be resubmitting the Vocational Complex Renovation/Expansion IPP this year. Final Project Proposal (FPP) The FPP establishes the project justification, final scope and estimated costs for implementation of all acquisition, infrastructure, facility and systems projects. The District’s Agriculture and Industrial Technology Complex FPP has been approved for funding through the next California State Bond. Preliminary Plans (PP) The Preliminary Plans is a more detailed development of the project plans and involves the completion of environmental requirements and preparation, submission, and approval of preliminary plans by the Chancellor’s Office and State Public Works Board. Working Drawings (WD) Working Drawings, also known as “construction documents”, involves translation of the design documents by the architect, engineer, or other design professional into construction drawings and detailed specifications for use by the contractor for the construction project. Construction (C) and Equipment (E) Construction and Equipment are the last two funding cycles of a project.

Agricultural Science and Industrial Technology Complex Project This project is for the construction of a new Agriculture Science and Industrial Technology Complex in response to changing education and technical training requirements of persons entering and continuing employment in the agriculture and industrial technology sectors of Merced County and Statewide economy. Complementing the existing “dirty labs” for these programs, this project provides uniquely different “clean” technology oriented labs, which can be utilized for classes in agriculture business, animal science, electronics, mechanized agriculture, plant science and for college/industry collaboration. MERCED COLLEGE CLASSIFIED SENATE

CONSTITUTION

ARTICLE I. Name

The Merced College Classified staff hereby forms the Merced College Classified Senate.

ARTICLE II. Objective

The purpose of this organization is to provide a vehicle by which the classified staff is able to fully participate in the goals and mission of the college. It shall be the function of the classified Senate to participate in the governance of Merced Community College; to actively collect, evaluate and disseminate information for the classified staff; and to represent those non-bargaining interests before and on any governance or college committee.

ARTICLE III. Membership

The membership of the Senate shall include 15 members of the classified staff of the College District. Members may consist of full-time or part-time permanent staff, which are not administrators or certificated, as defined by Education Code Section 45104; 88003 and Merced Community College District Board Policy 4600.

ARTICLE IV. Officers

The Classified Senate Officers shall consist of President, Vice-President, Secretary, and Treasurer. These officers shall comprise the EXECUTIVE COMMITTEE whose primary function is to expedite the business of the Classified Senate. Duties and responsibilities shall be ascribed in the Bylaws and expanded as seen necessary by the Senate.

ARTICLE V. Duty of Officers

Duties of officers, committee chairs, and committee members shall be ascribed in the Bylaws and expanded as seen necessary by the Senate.

ARTICLE VI. Meetings

The regular meetings of the Senate shall be held each month from August to May inclusive unless otherwise ordered by the Classified Senate.

Committees

The Senate shall have standing and ad hoc committees. Standing committees shall be permanent and conduct the business of the senate. Ad hoc committees shall be established by the president for special purposes and shall be of short duration. The President shall be an ex-officio member of all committees, except the Nominating Committee.

ARTICLE VIII. Parliamentary Authority

The rules contained in the current edition of Robert’s Rules of Order – Newly Revised shall govern the Senate in all cases to which they are applicable and in which they are not inconsistent with the Bylaws and any special rules of order the Senate may adopt.

ARTICLE IX. Amendments

Any classified staff member may recommend to the Senate, in writing, a proposed amendment to the Constitution. IX 1. Amendments to this Constitution may be put to a vote of the classified staff when meeting one or more of the following criteria:

A. A two-thirds vote of the Classified Senate present. B. A petition signed by not less than ten percent of the staff employees. C. The President of the College following his/her determination that some

portion(s) of the Constitution are at variance with the California State Law or the adopted rules and policies of the Trustees of the College District.

IX 2. Proposed amendments to this Constitution shall be presented to all classified employees at least ten working days before said amendment proposal is put to a vote. To be adopted, a proposed amendment must receive a simple majority of votes cast.

Additions to and/or changes in the Bylaws may be effected by the Executive Committee upon approval of a majority of the Senate body. The Bylaws and Constitution will be reviewed annually.

ARTICLE X. Elections

MERCED COLLEGE CLASSIFIED SENATE

Bylaw I. Senate Membership Section 1. The Classified Senate in accordance with its Constitution shall be an established organization promoting the interests of the classified staff at Merced College. Members of the Classified Senate shall be elected, the electorate being defined as those employees who are classified staff of the College District. All classified

Senate members shall follow the “Institutional Code of Ethics” BP/AP 3050, Appendix 1, attached to these Bylaws.

Section 2. Thirteen senators shall be elected, eleven from geographical and numerically balanced areas, designated sectors, and two senators at large. Geographical areas will be reviewed and adjusted by a senate committee and ratified by the senate once a year prior to the annual election. Section 3. All senators shall serve two-year terms. Terms shall begin on the day of the last general meeting of the academic year (May). Approximately one-half of the membership of the senate shall be elected each spring semester by the elections process outlined in Bylaw III Elections.

A. Duties and responsibilities of Senators and Senators At-Large (Alternates) 1. Attend regular Senate meetings and sign roll sheet 2. Serve on at least one shared governance committee, sign roll sheet,

report back to Senate at the Senate meeting. 3. Ratify all appointments made by the Senate President. 4. Poll Constituencies on items designated by the Senate. 5. Report constituencies’ concerns to the Senate. 6. Perform other duties as required.

Section 4. Vacancies and Recalls A. Recalls

1. Any elected official of the Classified Senate may be removed from office by a 2/3 majority of votes cast within his/her area.

2. Any elected official of the Classified Senate may be removed from office by a 2/3 vote of no confidence by the members of the Classified Senate.

B. Vacancies 1. A Senator will notify the Senate of his/her resignation in writing. 2. The resignation will be publicly accepted at the next scheduled Senate

meeting. 3. In the event of a vacancy of the senate, the Classified Senate may, at

their option: a. Choose to elect a replacement according to the regular election

procedure; b. Authorize the president to appoint a classified staff member to fill

the vacant senate position; c. Decide to leave the seat vacant until the next regular election;

Section 5. Duties and responsibilities of the classified senators shall include, but not be limited to, Article II of the Classified Senate Constitution. Bylaw II. Executive Committee (officers) Section 1. The Executive Committee shall be comprised of the President, Vice President, and Secretary/Treasurer. Section 2. Elections and Term of Office The Executive Committee members shall be nominated and elected by the Senate body during the first meeting at which the newly elected Senators assume office in May (see Bylaw 1, Section 3). Terms shall be one year, with a limit of two consecutive terms. Section 3. Duties and responsibilities

A. Duties of the President shall include, but not be limited to, the following: 1. Serve as official representative of the Classified Senate in all venues. 2. Be responsible for all required reports and recommendations.

3. Chair and facilitate all regular Senate meetings. 4. Administer and maintain the affairs of the Classified Senate between

meetings. 5. Serve as ex-officio member of all Senate committees. 6. Chair of Executive Committee. 7. Serve on college committees requiring the Classified Senate President

and other committees as time allows. 8. Meet regularly with the Superintendent/President. 9. Prepare and present retiree resolutions.

B. Duties of Vice President 1. Assume duties of President during the President’s absence, at the request

of the President or for the unexpired term in the event the President cannot serve.

2. Serve as coordinator of committee chairs. 3. Report on current status of committees activities to Executive

Committee and Senate in the absence of the Committee Chair. 4. Chair of the Nominations Committee and Chief Election Officer for all

Senate elections. 5. Perform those duties delegated by the President.

C. Duties of the Secretary/Treasurer 1. Assume duties of president in absence of President and Vice President in

regards to facilitating meetings. 2. Serve as official documentarian/historian of Classified Senate. 3. Shall be responsible for finances of the Classified Senate and all reports

pertaining thereto. 4. Be responsible for Senate correspondence and the dissemination of

information to all classified senators and staff. 5. Assume responsibility of recording all minutes of Classified Senate and

Executive Committee and distribution of such. 6. Monitor legislative information pertaining to college finances in general,

and classified staff in particular, and report on same to the Senate. 7. Be responsible for attendance roll and all records of the Classified

Senate. 8. Monitor and amend geographical employee roster via the Personnel

Office twice a year: immediately prior to annual elections, and 6 months thereafter.

9. Perform other duties as necessary. as delegated by the President or assigned by the Classified Senate.

Section 4. Executive Committee Functions A. The Executive Committee shall meet the week prior to the Senate meetings. B. The duties of the Executive Committee shall include, but not be limited to:

1. Develop agenda for Classified Senate meetings. 2. Review report/request from all other sources to determine if they should

be placed on the agenda. 3. Call special meetings of the Senate if necessary. 4. Authorize and approve expenditures.

Section 5. Vacancies and Removal from Office

A. Vacancies shall be consistent with Bylaw 1.4.B.1. and B.2.

B. A member of the Executive Council may be removed from office consistent with Bylaw 1.4.A.2.

Bylaw III. Elections Election procedures shall be developed by the Classified Senate for yearly elections as outlined in the Constitution and Bylaws guidelines. An Elections Committee shall be appointed each year by the vice-president, chief election officer, and shall carry out the responsibilities and procedures in “Guidelines for Elections,” Appendix 3, attached to these Bylaws. Bylaw IV. Meetings Section 1. Meetings shall be open to the public and governed by Robert’s Rules of Order

as stated in Article VIII of the Constitution. Section 2. Meetings shall take place once a month from August to May inclusive pursuant to Article VI of the Constitution. Meetings shall be set on an academic calendar in conjunction with the Board of Trustee meeting to optimize flow of information. Section 3. A quorum shall be established as 51% of the Senate body. A lack of a quorum shall constitute discussion without action. Section 4. “Code of Conduct for Senate meetings,” Appendix 2, attached to these Bylaws. Section 5. A Classified Senate agenda shall consist of, but not be limited to:

Code of Conduct Bylaw V. Committees “Committees,” Appendix 4, attached to these Bylaws Section 1. Standing Committees of the Senate

A. Standing Committees shall be permanent and established or dissolved by the Executive committee and ratified by the Senate.

B. The Executive Committee shall establish the purpose of each Standing Committee, which will be clearly stated in the minutes.

C. The Senate President shall appoint the Standing Committee Chairs. Committee members shall not be limited to members of the Senate. A minimum number on any one standing committee shall be three.

D. Committee membership shall not exceed the duration of the president’s term. Any appointee can be removed by a simple majority vote of the Executive Committee.

E. Standing committees shall meet a minimum of four (4) times a year unless otherwise specified by the Executive Committee and ratified by the Senate.

F. The Chair shall report committee activities at the regularly scheduled Senate meeting and to the Vice President of the Senate upon request by the same.

G. Standing committees include but are not limited to: 1. Appointments Committee.

A. Requests and recommendations for classified staff appointments on campus-wide college governance committees may be made to the Appointments Committee or the Classified Senate President who will submit said request and recommendation to the Appointment Committee for approval.

B. The Appointments Committee shall make Committee member appointments unless unable to do so due to time constraints. In such circumstances, the Classified Senate President may make the appointment.

Bylaw VI. Amendments Section 1. Recommendations

Suggestions for amendment to these bylaws can be made by submitting a written request to the Executive Committee a minimum of 10 days prior to the next Senate meeting. The Executive Committee shall place all amendments recommendations on the next Senate agenda for discussion. Amendments to the bylaws shall be made with a simple majority vote of a Senate quorum.

Section 2. Action Upon no action by the Senate on a suggested bylaw amendment, the amendment may be resubmitted as an agenda item upon receipt by the President of a petition with 15 classified staff signatures. Updated 6-2-14

Code of Conduct

1. Be punctual, respect time limits for agenda items, and plan to stay for the entire meeting.

Guidelines for Elections

A. General Election Procedures 1. The Classified staff shall elect Senators from each Sector. 2. Elections shall be conducted during the spring semester of each school year. 3. Elections and balloting for Senators, Senators At-Large, and Senate officers shall be under

the supervision of the Elections Committee. 4. Elections shall be completed prior to April 30 each year.

B. Election of Segment Senators

1. Each spring prior to March 1, the Elections Committee will direct that an election for Senators be held in each sector needing representation on the following year.

2. Election as a sector Senator shall be by a simple majority of all ballots received from that sector’s members.

3. During the May meeting, the Senators-elect shall be installed. 4. Any elected official of the Classified Senate may be removed from office by a 2/3

majority of votes cast within his/her area. (Section 4.A.1.) 5. Any elected official of the Classified Senate may be removed from office by a 2/3 vote of

no confidence by the members of the Classified Senate. (Section 4.A.2.)

C. Election of Senators At-Large 1. Senators At-Large shall be elected by written ballot of all full and part-time classified

staff. 2. Nominations shall come from the Elections Committee or from any Senator during the

March Senate meeting. 3. Election as a Senator At-Large shall be by a simple majority of all written ballots received

from the classified staff as a whole. 4. Any elected official of the Classified Senate may be removed from office by a 2/3

majority of votes cast within his/her area. (Section 4.A.1.) 5. Any elected official of the Classified Senate may be removed from office by a 2/3 vote of

D. Confirmation of Vice President 1. After the installation of the Senators-Elect in May, the newly constituted Senate shall

confirm the Vice President as President. The President-Elect will begin the duties of President as of August 1.

3. The results of the vote shall be announced immediately.

E. Election of the Executive Committee 1. Any Senator of the Classified Senate shall be eligible for election as an officer.

• The Director is retiring. • The Internet Services Specialist (Web Master) is retiring. • The new position from the reorganization is not yet filled. • The technical side of online education has been permanently assigned to ITS. • There are two major projects that need immediate attention:

o SQL migration o Roll out of over 300 computers, lap tops, and Virtual Desktop

Infrastructure (VDI) units. • There is a backlog of projects that if implemented, will streamline workflow and

increase efficiency across campus. • And at the same time provide cost savings.

Because the impact that all of these changes will have on workload and where the gaps will be is difficult to discern, a temporary structure has been put into place to in order to allow time to complete projects and assess needed resources before a permanent structure is put in place: The temporary structure will:

• Provide more even oversight • Integrate the Distance Education staff • Hire three classified vacancies • Complete the critical projects • Develop project plans and implementation timelines for the backlog of projects • Provide enough flexibility to plan for the future

Summary of the transition plan:

• Incorporate the Director’s job description into the job descriptions of the Network manager and the Database manager and adjust salaries appropriately on an interim basis.

• Divide the staff reporting lines. • To assist with critical projects: continue the Network Technician reclassification

and add student help • Bring in outside help to develop, plan, and implement backlogged projects

This temporary plan will ensure a successful transition, implement critical projects and allow time to do strategic visioning for the future of ITS and the college.

Item: Quarterly Financial Status Report, 2013-14 Fiscal Year; Quarter Ended March 31, 2014 Presented By: Joanne Schultz For: Information X Action Background Information Title 5 of the California Code of Regulations (CCR), Section 58310 requires districts to prepare and submit a quarterly report on forms provided by the Chancellor’s Office. The information on this report is for the events known as of March 31, 2014. The following is a brief summary of the highlights of the report. The highlights include the following: The projected 2013-14 expenditures (Line B.1) is the expenditure budget for the

Unrestricted General Fund and does not reflect any possible budget savings that will occur.

The District’s unrestricted reserves (Line F.1) are currently in excess of the

Board’s designated six-percent reserve. The annualized attendance for credit and noncredit FTES (Line G.1) is currently

being projected at 9,557. The District’s cash (Line H.1) has been sufficient as to not interfere with its ability

to conduct the business of the District.

In Section IV. Unrestricted General Fund Revenue, Expenditure and Fund Balance, the actual total revenue (Line I.3) and expenditures (line J.3) are both slightly less than expected.

In Section V, the District is reporting that it did not settle any employee contracts

during this quarter.

In Section VII, Does the District have significant fiscal problems that must be addressed? This year? No, the District is not reporting any significant fiscal problems that must be addressed. Next year? The District is reporting that the passage of propositions 30 and 39 has significantly improved the state’s financial outlook. The Governor’s 2014-15 proposed budget includes additional funding for the community college system as well as the elimination of all payment deferrals. It is further reported that the District still has a structural budget gap that must be addressed. The District will continue to identify areas of revenue enhancements and budget savings to balance the budget.

The passage of propositions 30 and 39 has significantly improved the state's financial outlook. As a result, the Governor's proposed 2014-15 budget includes additional funding for community colleges as well as the eliminiation of all payment deferrals. Additional funding and improved cash flows are welcome news for the community college system, including Merced College. However, this news is tempered by the reality that the District is still facing a structural budget gap. Although the budget deficit is improving, there is still much work to be done. Through the budget development process, the District will continue to identify areas of potential revenue enhancements and budget savings to further improve the District budget.

For: Information X Action Background Information Pursuant to Education Code Section 15278, the District established the Citizens’ Bond Oversight Committee at a Board of Trustees Meeting held on February 4, 2003, in order to satisfy the accountability requirements of Proposition 39. The Board of Trustees adopted the Citizens’ Oversight Committee Bylaws, setting forth the duties and rights of the Committee, at a meeting held on June 17, 2003. The Board of Trustees approved the current committee membership at its April 5, 2011 Meeting. The role of the Citizens’ Oversight Committee is to inform the public concerning the District’s expenditure of revenues received from the sale of bonds, authorized by the voters in the county primary election of November 2002. To satisfy one of the requirements of Proposition 39, the Bond Oversight Committee prepares and distributes an annual report. This annual report is for the fiscal year 2012-13 and reflects expenditures through June 30, 2013. Recommended/Requested Action This item is presented as information.
