The M Street Journal Radio's Journal of Record NEW YORK NASHVILLE JACOR SMA'S 6,300 STATIONS. . . In a deal giving Jacor inventory on over 6,300 stations, it dropped approximately $165 million to buy all of the outstanding shares of the Premiere Radio Networks at $18 per share -- $13.50 in cash and the rest in Jacor common stock. Premiere barters 52 different programs and station services to over 6,300 radio stations. This, on top of Jacor's $50 million cash purchase of E.F.M. Media last week, which syndicates Rush Limbaugh and Dr. Dean Edell. Premiere's management will stay in place. To tie these new acquisitions together, Randy Michaels spent $11 million for NSN Network, the Colorado -based provider of satellite services for stations. NSN will be used as a communications link for Jacor's stations, clients, and networks. CHICAGO BOARD OF TRADE. If you thought it was hard to keep track of the Chancellor /Evergreen Media holdings in the past, you're in for a treat this week. The ownership landscape in Chicago will completely change as Chancellor takes Gannett Radio out of the business, but spins two of its r-Urrent Chicago properties to Bonneville, one to Douglas Broadcasting, and one other to Crawford Broadcasting. Bonneville and Susquehanna will pick up new stations from Chancellor in San Francisco. All of the details are on page ten. Morgan Media, Inc.'s WAUB(AM) in Auburn, NY was ordered to show cause why the license for the station should not be revoked. The station was off the air for one year and returned to air on February 7, 1997 pursuant to an LMA -to -buy between Morgan and Auburn Broadcasting, Inc. The Commission concluded that this was indicative of Morgan's capability and intent to expeditiously resume broadcast operations and is qualified to remain the licensee for the station.

License renewals were granted for Central States Network, LP's WTAX(AM)/ WDBR(FM) in Springfield, IL and WVAX(AM) /WYXY(FM) in Lincoln, IL, despite a Petition to Deny filed by The Rainbow -PUSH Action Network against the first two stations. The renewal applications were considered together since the stations are commonly owned and operated. The stations were ordered to pay a Notice of Apparent Liability For Forfeiture in the amount of $8,000 for inconsistent recruitment efforts and are subject to reporting conditions through 1999. Saga Communications of IL, Inc. is the proposed assignee of the stations.

As a result of their silent status at 12:01am February 9, 1997, the following AM station license's have expired: KAIN, Vidalia, LA; KCLS, Flagstaff, AZ; KDEW, Dewitt, AR; KFAS, Casa Grande, AZ; KHAT, Lincoln, NE; KTYN, Minot, ND; WAYB, Waynesboro, VA; WHIA, Dawson, GA; WHRF, Bel Air, MD; WHSY, Hattiesburg, MS; WLVN, Brantley, AL; WMFL, Monticello, FL; WRHX, Herndon, VA; WSRR, Washington, NJ; WTOX, Lincoln, ME; WTSS, Scranton, PA; and WUWU, Cordele, GA. In addition, FM stations KHUG, Rocky Ford, CO and WAZE, Dawson, GA and non -commercial KBDY in St. Louis, MO have also expired. All pending applications associated with these stations have been dismissed by the Commission as moot. As a result of the expirations, AM, commercial FM, non -commercial FM and translator applications for newly- vacant allotments may be filed in accordance with the Commission's current requirements. For further info, call Glenn Greisman at (202) 418 -2772.

The renewal application for EZ Communications Inc's WEZB(FM) in New Orleans was granted this week. A Petition to Deny filed by Kathleen and Glenn Benfield and others claiming the station had broadcast obscene and indecent programming in 1995 and 1996. The Petitioners contended that the station broadcasted programming advocating the legalization of marijuana, attacks religious creeds and contains racial epithets and stereotypes among others. After reviewing tapes of "The Howard Stern Show" and "Love Phones," the Commission concluded the content does appear to be actionably indecent and issued a Notice of Apparent Liability for $12,000 concerning six separate broadcasts, but found no other violations that would prohibit renewal of the station's license.

The newly formed Chancellor Media, a combination of Chancellor Communications and Evergreen Media is taking Gannett Radio out of the business by spending $340 million for the five stations Gannett has left, then spinning $205 million worth of properties to Bonneville. Chancellor will pick up urban oldies WGCI and urban WGCI -FM, Chicago; CHR KHKS, Denton, TX (Dallas); and country combo KKBQ (AM), Houston and KKBQ -FM, Pasadena, TX from Gannett. It will then sell off modern AC WLUP -FM and hot AC WPNT, Chicago (which is yet to be purchased from Century Media) and classical KDFC -FM, San Francisco to Bonneville. Paul Leonard from Star Media Group brokered the Bonneville deal.

There are two other stations Chancellor is also selling in Chicago. First, urban WEJM to Douglas Broadcasting for $7.5 million, which will combo with ethnic WVVX, Highland Park, IL; religion WNDZ, Portage, IN; and motivational WYPA. Second, urban WEJM -FM, Lansing, IL will go to Crawford Broadcasting for $14.8 million to combo with religion /black gospel WYCA, Hammond, IN.

In a separate transaction, Susquehanna Radio Corp. is buying the facility of KYLD, San Francisco from Evergreen to combine with sports /talk KNBR and the progressive simulcast of KFOG and KFFG, Los Altos, CA. Evergreen will keep the intellectual property (calls and format) and move them to the frequency currently occupied by KSAN -FM. KSAN's country format will disappear. Bill Steding of Star Media Group brokered the $44 million deal.

Here's how things look when the dust settles: Chancellor's holdings in Chicago will be WGCI -AM & FM, AC WLIT -FM (which it's buying from Viacom), jazz WNUA, talk /sports WMVP, and rocker WRCX. In Dallas, KHKS and religion KSKY, Balch Springs, TX. In Houston, news -talk KTRH and classic rock KLOL, along with KKBQ -AM & FM. In San Francisco, classical AM KDFC; hot AC KIOI; jazz KKSF; urban KMEL; dance KSAN -FM (KYLD); 70's oldies KBGG; and standards KABL and country oldies KNEW, Oakland.

For Bonneville: In Chicago, WLUP -FM, WPNT and modern AC WTMX, Skokie, IL. In San Francisco, KDFC -FM with soft AC combo KOIT -AM & FM newly acquired talker KPIX -FM.

Chancellor is also selling classical WFLN -FM, Philadelphia to Greater Media for $41.8 million. The deal will give Greater Media three stations in that market with classic rocker WMGK and standards WPEN. Chancellor has yet to buy the station from Secret Communications.

In the Riverside /San Bernardino market, American Radio Systems is buying country combo KFRG, San Bernardino and KXFG, Sun City, CA for a total of $60 million from Amaturo Group of California. Amaturo keeps soft AC KXEZ, Riverside.

Woodbridge, VA (Washington, D.C.), for $105 million. The new Chancellor Media was required to spin -off the two stations to meet FCC ownership limit requirements after the merger of the companies and the subsequent purchase of Viacom's radio stations. The deal gives ABC second FM's in each market. In Detroit, it owns news -talk WJR and new rock WHYT. In Washington, news -talk WMAL and hot AC WRQX.

WASHINGTON THIS WEEK

Group Communications, Inc.'s KRGQ in West Valley City, UT was granted a Motion for Summary Decision and will keep its license after being ordered by the Commission to show cause why the station's license should not be revoked. The station was silent until Feb. 1, 1997, and withc t authority for seven months. Turns out, Group had timely filed a request to remain silent but the request had not been acted on by the Commission.

The Commission is taking commments on whether it should take comments. On the Internet, that is. The FCC has proposed to allow electronic comments to be filed in FCC rulemaking proceedings via the World Wide Web and electronic mail. The Commission also seeks comment on whether these electronic filing procedures should apply to comments or pleadings concerning preliminary steps such as petitions for rulemaking, notice of inquiry proceedings, petitions for reconsideration and responsive comments or pleadings filed in notice and comment rulemakings other than broadcast allotment proceedings. Current rules require the filing of multiple copies of formal comments to the Secretary, with separate copies submitted to the FCC copy contractor, but if comments are filed electronically, parties need only to submit one copy. The Commission tentatively concluded that the primary mechanism for electronic filing should be a World Wide Web page form, through which parties may upload their comments directly into a database or input brief comments directly. The Web page would allow parties to use the same system to search for and download comments filed in a proceeding. In addition, comments are encouraged on the feasibility and desirability of other media, such as CD -ROMs and dial -up bulletin board systems, how the filing date and time should be established, how page limits can be specified, which file formats should be accepted and whether the Commission needs any additional requirements to ensure security and authenticity of submissions. For further info, call Laurence Schecker, Office of General Counsel, at (202) 418 -1720.

CASH, STATIONS, AND STOCK . . . American Radio Systems and EXCL Communications have proposed one of the more complex deals of the year. ARS gives up jazz KSSJ, Shingle Springs (Sacramento) and the license and facilities of soft AC KBAY, San Jose in exchange for EXCL's progressive -jazz KINK -FM, Portland and the license and facilities of Spanish KBRG. ARS also gets $2 million cash and 150,000 shares of common stock in Latin Communications, EXCL's parent. In the Bay Area, this triggers a three -headed format shift: the Spanish soft AC format and KBRG calls move to KBAY on 100.3 MHz. K -Bay's soft AC format and calls will move to ARS' KUFX, Gilroy, CA, on 94.5 MHz. KUFX's classic rock format and calls move to KBRG's old frequency at 104.9 MHz. Peter Handy of Star Media Group brokered the deal, which is valued at $120 million. ARS will now hold five FM's in Portland with new rock KBBT -FM, Banks, OR; jazz KKJZ, Lake Oswego, OR; country KUPL -AM & FM; and rocker KUFO. EXCL improves its position in Sacramento where it owns Spanish KRCX, Roseville, CA.

THE 700 CLUB. . . Jacor Communications bought a second AM in Salt Lake City, notably on the same 700 KHz frequency as its flagship, WLW, Cincinnati. It will spend $1.2 million for General Broadcasting's easy listening KFAM, North Salt Lake. Hal Gore and John Pierce from Force Communications did the deal. Jacor owns six other stations in Salt Lake: rocker KURR, Bountiful; country KKAT, Ogden; CHR KZHT, Provo; and talk KALL and oldies KODJ, both Salt Lake City, and LMA's country KBKK, Spanish Fork.

WASHINGTON THIS WEER The Commission granted a permanent request for waiver and application for assignment of Nos, Inc's WNOZ in Aguadilla, PR to Concilio Mision Cristiana Fuente De Agua Viva, Inc. Concilio Mision is the licensee of independent UHF TV station WQHA in Aguada.

Requests for waiver of the Commission's one -to -a market rule, filed by H & P Radio Birmingham, LLC, to permit common ownership of WDBB(TV), Bessemer, AL; WBHJ(FM) and WTNW(AM), Tuscaloosa, AL and WBHK(FM), Warrior, AL were granted this week. The Commission also granted applications to assign WBHJ(FM) and WTNW(AM) from Alabama Universal Corporation to H & P and WBHK(FM) from North South Broadasting Company, LLC to H & P.

An application for review filed by Thomas Simon was denied by the Commission. Simon requested the review of a renewal grant application of Capital Communication's WMCZ in Millbrook, AL. Simon also filed an application for review, with Richard Boone, against the renewal grant of Sunshine 16 Radio Network, Inc.'s WXVI -AM in Montgomery, AL which was also denied.

ELSEWHERE Jacor has also announced it will sell four stations to JS Communications, a partnership of Bill Stakelin and Terry Jacobs. For $23 million, JS will get talk KCBQ, San Diego; oldies WXLY -FM, North Charleston and country WEZL, Charleston, SC; and new rock WXZZ, Georgetown, KY, in the Lexington market. The KCBQ sale was announced last month. Stakelin and Jacobs are former Regent Communications execs.

Capstar Broadcasting Partners is planning to spin -off a couple of stations in the Columbia, SC market that it recently announced it's buying. The deal to purchase classic rock WMFX, St. Andrews, SC; CHR WNOK; and urban -oldies WOIC, Columbia from Emerald City Radio Partners, LP moves ahead as planned, but Capstar will spin WMFX and WOIC to Clear Channel Communications, which will combine the two with urban WWDM, Sumter, SC and rocker WARQ, Columbia. Randall Jeffery, Sr. and George Otwell handled the deal for Capstar.

Capstar will also spend $70 million for Scott Knight's Knight Quality Stations. The eight station group includes soft AC WEZF, Burlington, VT; news -talk WGIR and rocker WGIR -FM, Manchester, NH; sports WTMN and rock WHEB, Portsmouth, NH; new rock WXHT, York Center, ME (also Portsmouth); and talk WTAG and soft AC WSRS, both Worcester, MA. Knight will keep his recent purchases in the Virgin Islands -- news -talk WVWI and urban AC WWKS.

NEW YORK NASHVILLE JACOR'S DEAL -A -DAY PLAN. It was a press release a day this week from Randy Michaels' Jacor Communications, which bought eleven stations and two traffic reporting services in eight separate transactions. The deals range from markets as big as Los Angeles all the way down to Sandusky, OH and Cheyenne, WY. Jacor's count is up to 140 stations in 30 markets.

In Cleveland, Secret Communications is giving up talk & sports WTAM and AC WLTF to Jacor for $23.9 million cash and 750,000 shares of Jacor stock, making the deal worth approximately $45 million. WTAM is a 50,000 watt, clear channel station, a favorite buy of Jacor's. Bill Steding of Star Media Group brokered the deal for Secret. On the non -station side, Jacor will spend $16 million for Airtraffic Communications in Los Angeles and Airwatch Communications in San Diego. The two companies provide traffic reports to radio and television station in their respective markets. The deal gives the company even more spots to sell in Southern California. Kalil & Co. was the broker. For tho other Jacor purchases, see page ten.

WASHINGTON THIS WEEK Several stations have been canceled and call letters deleted this week by the Commission. WTYS in Marianna, FL, under the care of William Dunkle, Receiver was canceled for failure to file a renewal application. Mr. Dunkle says he is working to get the license reinstated.

McWhorter Communications Corp.'s WCEF in Ripley, WV was canceled on April 22. According to the FCC, the license expired Oct 1, 1981. Also canceled was Broadcasting Corp. of Virginia's WTJZ, Newport News. After reviewing the public notice, we believe both stations were inadvertently deleted due to an FCC error. Both confirm they're on the air and each is investigating the cancellation.

The Commission granted a permanent waiver of its one -to -a- market rule and application for assignment of license for Sunnyside Communications, Inc.'s WAVG in Louisville, KY to Pulitzer Broadcasting Company. Pulitzer owns WLKY(TV) there.

WASHINGTON THIS WEEK (cont'd) Roger L. Hoppe, II was denied a petition for consideration of a previously denied counterproposal requesting the allotment of 100.7 A at Honor, MI. Hoppe filed a one -step application upgrade and requested the application also be accepted as a counterproposal by substituting 100.7 C2 for 100.1 A at Bear Lake, MI. Hoppe claimed there was no usable site for 100.7 at Honor, MI. The application was given an incorrect file number and rejected as untimely filed. Although the Commission reviewed the argument and believes the application was in fact timely filed, it is Commission policy that a modification of a license to upgrade facilities to a superior channel does not provide as great a public service benefit as that of a new primary service.

The Commission took another step in Gerard Turro's fight to keep a translator on the air in New Jersey that is allegedly feeding programming to another station. In this order, the FCC consolidated issues in the proceeding, which include renewal applications of Gerard Turro for FM translators in Fort Lee, NJ and Pomona, NY; a petition to deny the license renewals for these translators filed by Universal Broadcasting of New York, Inc, licensee of WVNJ in Oakland, NJ; an opposition pleading filed by Turro; the construction permit of Monticello Mountaintop Broadcasting, Inc. for operating WJUX, Monticello, NY; and information that Turro and Monticello may have willfully and repeatedly violated the Commission's Rules and made deliberate misrepresentations and /or lacked candor to the Commission. The FCC dismissed a request to assign the license of translator stations in Fort Lee, NJ, and Pomona, NY, to Stephen M. Gansler, proposed trustee of the Gerard A. Turro Trust. The Commission has told Mountaintop Broadcasting's WJUX to show cause why the CP for the station should not be revoked. Applications filed to assign the translator licenses to Press Broadcasting Co., a petition to deny the transfer, and a license to cover for WJUX's facilities will also be held in abeyance pending the outcome of this proceeding. The parties have 20 days from receipt of the Order to file a written appearance stating that they will appear at the hearing and present evidence. If Turro fails to file an appearance, the renewal application will be dismissed. If Monticello fails to file an appearance, the right to a hearing shall be deemed as waived.

ELSEWHERE Here are Jacor's other purchases this week: In Salt Lake City, it's buying its SMA partner, Garcia Broadcasting's country KBKK, Spanish Fork, UT for $4.5 million cash. It owns talk KALL; oldies KODJ; CHR KZHT, Provo; country KKAT, Ogden; and rocker KURR, Bountiful.

Buena Ventura Communications' children's station on 850 KHz in Thousand Oaks, CA (Oxnard- Ventura) is now in the hands of Jacor. KAHS has a construction permit to increase to 25,000 watts days and 1000 watts nights. It paid $400,000 for the station, which serves Oxnard- Ventura.

In the Sandusky, OH market, Allur Communications will sell standards WLEC and hot AC WCPZ, Sandusky, for $7.65 million. The two stations help Jacor fill holes between Toledo and Cleveland along Interstate 80. In Toledo, it owns talk WSPD, CHR WVKS, rock WIOT, standards WCWA, and soft AC WRVF.

It filled in a big hole in its Wyoming efforts, buying Magic City Media's four Cheyenne stations. It's getting talker KGAB, Orchard Valley, WY; country KOLZ, and classic rock KIGN, and soft AC KLEN from Magic City Media, Inc. Jacor will spend a total of $5.5 million on the package.

In the Boise market, it's buying two stations that John Lynch's Lartigue Multimedia Systems just purchased. Lartigue just closed on AC KCIX, Garden City and soft AC KXLT, Eagle for $7.56 million, but will now spin them to Jacor for $8 million. Jacor already owns news -talk KIDO, oldies KLTB, and classic rock KARO, Caldwell, ID.

The first billion dollar group becomes a reality as Hicks Muse Tate & Furst will combine Gulfstar and Capstar, according to Inside Radio. Both companies are owned by Hicks Muse. The deal will create a 229 station group valued over $1 billion. Steve Hicks will continue to run the company.

Odyssey Communications has decided to enter Chicago with its "ring- the -market" strategy. It will spend $9.5 million to get Douglas Broadcasting's ethnic /variety WVVX, Highland Park, IL and $1.1 million for DMR Media's AC WJDK, Morris, IL. Both stations broadcast on 103.1 MHz. Odyssey currently owns three stations ringing New York on 107.1 broadcasting country, and three in Los Angeles on 107.1 MHz doing modern rock. No word yet on format plans for Chicago.

ELSEWHERE (cont'd) Crawford Broadcasting is buying Greater Media's only AM in Detroit for $3.15 million cash. Crawford gets WLLZ, Monroe, which airs a mix of oldies, Spanish, and sports. It will combine the station with religion WEXL, Royal Oak, MI and religion WMUZ, Detroit. Glenn Serafin of Serafin Brothers brokered the deal.

Alfredo Alonso's Mega Broadcasting is buying its third big market AM for $1.75 million. It's WBDN, Brandon, FL covering the Tampa market. WBDN is in receivership. The LMA has begun, with WBDN now doing a Spanish tropical format.

Susquehanna Radio Corp. is buying Pacific FM, Inc.'s regional Mexican KOFY, San Mateo in the Bay area. Pacific FM will keep urban oldies KDIA (AM) and KOFY -TV. No mention of what will happen to KOFY's LMA of Spanish oldies KAZA, Gilroy, CA. Susquehanna recently announced its purchase of the facilities of Evergreen's dance KYLD. Kalil & Company brokered the deal.

Norm Feuer's Triathlon Broadcasting Company is spinning three stations it just bought in Little Rock to Clear Channel Communications for $20 million. Two of the stations, country combo KSSN and KMVK, Benton, AR were purchased from Southern Skies Corp., while the third, oldies KOLL, Maumelle, AR was purchased from Multi - Market Radio. Clear Channel already owns country KDDK, Jacksonville, AR and rock KMJX, Conway, AR, as well as KLRT -TV.

Clear Channel also announced it will buy classic rock WMFX, St. Andrews, SC and urban oldies /talk WOIC in the Columbia, SC market from Emerald City Radio Partners for $5.5 million. The station will combo with urban WWDM, Sumter SC and rock WARQ. Emerald City will apparently keep CHR WNOK, which wasn't mentioned in the deal.

Gary Fisher's Equity Communications is spending $500,000 cash for Joseph Powers' new rock outlet WDOX, Wildwood Crest, NJ, which serves both the Cape May and Atlantic City, NJ markets. Equity owns CHR WAYV, Atlantic City, WZZP (a

constrcution permit on 107.3 MHz in Atlantic City), and is in an SMA with Press Broadcasting's WBSS -FM.

Children's Broadcasting Corp. bought another top market affiliate this week. It will pay $1 million in stock for Bonneville's KIDR, Phoenix. The station has been airing the children's format since 1992.

Jacor's KUDL, Kansas City got hit with a below- the -line listing for asking listeners to "unashamedly. . .identify KUDL as the station you listen to. . ." if they are asked to participate in a research project. The comments were sent out in the "Dan and Glo Fax" on January 22, 1997.

The Arbitron Company says it will not produce a Spring 1997 Radio Local Market Report for the flooded market of Grand Forks, ND -MN. The Fall 1997 survey is the next scheduled Arbitron survey for Grand Forks. Arbitron added Grand Forks to the Fall survey for the first time just this year. The company will not charge stations in the market for the book and plans to make a donation to the flood relief fund for the area.
