Flexjet growth attracts new owners to invest $5.2bn for largest aircraft order in its history

After 18 successful years as Bombardier’s fractional jet ownership division, Flexjet an-nounced a definitive agreement for its purchase by a group led by Directional Aviation Capital through a newly-formed entity, Flexjet, LLC. With support from its new inves-tors, Flexjet is placing the largest private aviation order in its history valued at ap-proximately $5.2bn for up to 245 Bom-bardier business jets. The transaction for the sale of Flexjet is expected to close by the end of the year. The firm order includes 85 business jets, featuring next generation Challenger 350, Challenger 605 and Learjet 75 jets, and the high-ly anticipated Learjet 85 aircraft. The agreement also includes options for an additional 160 business jets. Fractional shares are now available, with some air-craft deliveries beginning in 2014. This development emerges during a momentous period of growth for Flexjet, which is report-ing a 96% increase of new fractional and jet card sales in January to June 2013 compared to the same period in 2012. In the first six months of this year, sales of new fractional shares increased a notable 112%, while new jet card sales grew a solid 68%.

Air Canada completes transfer of Embraer 175 regional jets to Sky Regional

Air Canada successfully completed the trans-fer of all 15 of its Embraer 175 aircraft, the smallest jet aircraft in Air Canada’s fleet, to Sky Regional to operate the aircraft on behalf of Air Canada under the capacity purchase agreement between the parties. Sky Regional now operates 20 aircraft on behalf of Air Canada, under this agreement. Sky Regional has been an Air Canada Express partner since May 2011, operating service between Billy Bishop Toronto City Airport and Montreal Trudeau Airport with a fleet of Bombardier Dash 8 Q400 turboprop aircraft.

AgustaWestland signs agreement for 20 helicopters

AgustaWestland appointed Sino-US of China as an official non-exclusive distributor for AgustaWestland civil helicopters in China, ex-cluding Hong Kong and Macau. The relevant distributorship agreement was signed during an official ceremony held at China Helicopter International Exhibition in Tianjin (5th – 8th September) and includes orders for twenty helicopters comprising AW119Ke single en-gine, GrandNew light twin, AW169 light in-termediate, AW139 intermediate and AW189 8 ton class twin engine helicopters. The order, whose preliminary commitment was signed at Paris Air Show last June for 15 helicopters, is thus strengthened by adding another 5 units, bringing the value to over €170m.

Airbus booked a total of 10 orders in August, its second-slowest month to date in 2013, and now has a total of 942 gross orders (902 net) for the year. The airframer also celebrated its 8,000 over-all delivery last month, with the handover of an A320 to AirAsia’s In-donesian unit. AirAsia is the A320 family’s largest custom-er, with a total of 475 A320s in the CEO and NEO range on order. Airbus delivered 47 aircraft during August, bring-ing the year’s tally so far to 394 jetliners received by 83 customers - an 8% rise over the same eight-month period in 2013.

August was also relatively slow for Boeing. Of the16 orders taken during the month, fully 13 were for widebody jetliners. China’s Xiamen Airlines purchased six 787-8 Dreamliners, while an unidentified customer booked seven 777-300ERs. It now has 896 orders for the first eight months of 2013, well up on last year’s total of 736 for the same period. Deliveries were also well up, with 56 aircraft handed over to 36 customers in August, compared to 48 in August 2012. Fully 18 of its deliveries were widebody jets, including 10 787-8 Dreamliners. For the year to date, Boeing’s total deliveries of 414 outstrip last year’s tally of 380.

Tailwind Capital remarkets seven air-craft on behalf of Goldman Sachs

Tailwind Capital successfully sold seven aircraft to an undisclosed buyer as part of its exclu-sive remarketing mandate for Goldman Sachs (New York). The transaction included five Bombardier CRJ-200 regional jets and two Boeing 737-400s, which are currently operat-ed by US operators Atlantic Southeast Airlines and Alaska Airlines, respectively. These aircraft were originally acquired by Goldman Sachs as part of a larger portfolio purchase.

Boeing delivers first 767 Freighter to FedEx Express

Boeing and FedEx Express, an operating company of FedEx Corp. (FDX), celebrated the delivery of the Memphis, Tenn.-based express shipping company’s first 767-300 Freighter. The delivery supports the FedEx strategy to modernize its fleet with more ef-ficient freighters.

Doric’s portfolio rises to 36 aircraft under management

Doric’s aviation portfolio now comprises 36 aircraft valued at $6.1bn. On August 29th, 2013, Doric took its 19th Airbus A380 under management. The superjumbo with the man-ufacturer’s serial number (MSN) 132 was ac-quired by DNA Alpha Limited, a wholly owned subsidiary of Doric Nimrod Air Three Limited (DNA3). The A380 is leased to Emirates for a period of 12 years. MSN 132 is the first of four aircraft financed by the aircraft investment company DNA3, which was first listed on the London Stock Exchange on 2 July 2013. The remaining three superjumbos are scheduled for delivery by the end of 2013.

Bombardier CSeries aircraft awarded Transport Canada Flight Test Permit

Bombardier Aerospace released that the first CSeries aircraft – Flight Test Vehicle 1 (FTV1) – has successfully obtained Transport Cana-da’s Flight Test Permit, thereby clearing the way for its maiden flight, expected in the coming weeks. This follows a series of pre-flight tests including low-speed taxi runs. FTV1 will now proceed with high-speed taxi runs whereby the aircraft simulates speeds for flight take-off.

Delta Air Lines selects GE’s CF6-80E and CFM56-5B engines to power Airbus aircraft

Delta Air Lines selected GE’s newly enhanced CF6-80E1 engines to power its recently ordered 10 Airbus A330-300 aircraft. Along with the engine selection, Delta Air Lines and GE have also signed a long-term OnPoint solution services agreement for the CF6-80E1 engines. The engine and OnPoint solution agreement are valued at up to $1.4bn over the life of the agree-ment. Furthermore Delta has selected CFM Interna-tional’s CFM56-5B engines to power 30 firm A321ceo (current engine option) air-craft. The agreement is val-ued at more than $850m at list price, including spare engines and a suite of mate-rial support agreements for the new fleet. The materials agreements provide for the comprehensive repair and replacement of life-limited and non-life limited parts for the CFM56-5B engines. The agreements also provide Delta with technical data for component repairs and engine overhaul to assist their operations.

UTC Aerospace Systems se-lected by Aeroflot to provide wheels and carbon brakes on 737NG fleet

UTC Aerospace Systems was selected by Aeroflot, Russia’s flagship airline, to supply the wheels and carbon brakes for its new fleet of 50 Boeing 737-800 Next Generation aircraft. UTC Aerospace Systems will provide the equipment through its Wheels & Brakes business in Troy, Ohio. The first aircraft is scheduled for delivery in September, 2013.

Pratt & Whitney signs exclusive maintenance agreement with Transaero Airlines

Pratt & Whitney signed an exclusive eight-year maintenance services agree-ment with Transaero Airlines to pro-vide engine overhaul services on the airline’s fleet of PW4000-112 engines. The agreement is expected to be worth approximately $55m over its life. Un-der the terms of the agreement, Pratt & Whitney will provide engine overhaul services for 11 Transaero PW4000-112 engines, which will help the airline re-duce engine overhaul costs and turna-round time thanks to the Pratt & Whit-ney network’s extensive capabilities and value-focused, customer-tailored solutions. Engine overhauls will be performed at Eagle Services Asia, Pratt & Whitney’s Singapore-based engine overhaul facility, which is the compa-ny’s center of excellence for PW4000 engine overhaul.

AgustaWestland and Russian Helicopters sign Heads of Agree-ment for new helicopter

Russian Helicopters and AgustaWe-stland signed a Heads of Agreement at the MAKS 2013 air show defining the joint design and development programme for a new 2.5-tonne class single-engine helicopter. The prelimi-nary assessment of the helicopter’s technical design and commercial op-portunities is expected to be com-pleted in the next few months. The programme, first announced by the partners in summer 2012, is intended to be shared on a 50/50 basis, with the new helicopter being designed for the worldwide market and a wide range of applications.

Aviation Technical Services (ATS) announced the signing of a longterm service agreement with JetBlue Airways, based in Long Island City, New York. The agreement includes provisions for ATS to supply maintenance and modification services to JetBlue over a three-year period.

Sikorsky and Changhe sign agreement For S-76D cabin production in China

Sikorsky Aircraft and Changhe Aircraft In-dustries Corp. signed an agreement for Changhe to produce S-76D commercial hel-icopter cabins for Sikorsky. The agreement was signed during the China Helicopter Ex-position, with Chairman Yu Feng, Changhe Aircraft Industry Group and Senior Vice Pres-ident, Operations, Shane Eddy represent-ing Sikorsky Aircraft. The S-76D helicopter is Sikorsky’s newest aircraft. Changhe had previously provided cabins for the predeces-sor S-76C++ helicopter, under an agree-ment signed by the two companies in 2007. Changhe will now serve as a second source for S-76D cabins, with deliveries scheduled to begin in 2016 and production volume based on market demand. Aerodochody in the Czech Republic also supplies the cabins.

Dynamic Precision Group acquires eight manufacturing facilities from Unison Engine Components

Global alternative asset manager The Carlyle Group reported that its portfolio company

Dynamic Precision Group signed an agree-ment to acquire eight aerospace component fabrication and machining facilities located on three sites in the U.S., Canada and the UK, which design, manufacture and inte-grate components and systems for aircraft engines and airframes from Unison Engine Components, a subsidiary of GE Aviation. The transaction is expected to close by year end and terms were not disclosed. The ac-quired facilities provide precision manufac-turing capabilities for commercial, military and gas turbine engine components to a blue-chip customer base worldwide. The sites, which employ 825 people, are located in Manchester, CT; Burnley, Lancashire, UK; and Orillia, Ontario, Canada.

Turbomeca enhances proximity sup-port in China, with new Technical Support Center

Turbomeca opened the new Turbomeca Technical Center in Tianjin. This new Center is dedicated to Arrius, Arriel and Makila en-gines operated in the area. In this Center, the qualified Turbomeca team will provide sup-port of technical intervention to all operators in China. It will also perform maintenance for Arrius 2, Arriel 2 and Makila 1&2 engines, operated by Governmental and police op-erators, which represented the third of Tur-bomeca engines fleet in China.

Turbomeca and Zodiac Hydraulics sign 15-year contract

Turbomeca (Safran) and Zodiac Hydraulics signed a contract worth €75m for a period of 15 years. This contract concerns the sup-ply of hydro-mechanical equipment dedi-cated to the control systems of Turbomeca turboshaft engines.

FL Technics launches CF34-3 maintenance services

FL Technics, a global provider of integrated aircraft maintenance, repair and overhaul services, is further extending the list of its engine management services and recently introduced a brand new CF34-3 engine support package. The company has already agreed upon cooperation with a CIS-based carrier according to which it will provide comprehensive MRO support for the carri-er‘s CF34-3 engines powering its Bombar-dier CRJ200 fleet. The first set of engines has already reached FL Technics for the scheduled maintenance and repair works. Amongst other services, FL Technics spe-cialists will conduct fan blade repair and replacement, foreign object damage (FOD) compressor repair, NDT testing, HPT modules replacement, as well as other maintenance works. The CF34-3 engine support services are to be provided both on-wing and during Shop Visits. FL Technics now provides support for CF34-3 engines

Rolls-Royce and Safran complete sale of RTM322 helicopter engine programme to Turbomeca

Rolls-Royce completed the sale of its 50% shareholding and interest in the RTM322 helicopter engine programme to Turbomeca (a Safran company), for which it has received a cash consideration of €293m. Turbomeca now assumes full responsibility for man-aging the design, production and support of the RTM322 engine, which powers the Apache, EH101 Merlin and NH90 helicop-ters. Rolls-Royce will progressively transfer its operational responsibilities in the engine pro-gramme to Turbomeca over a multi-year pe-

riod. During this transfer period Rolls-Royce will provide full assistance to Turbomeca to ensure all RTM322 customers continue to re-ceive effective support.

BOC Aviation reports first-half net profit of $163m

BOC Aviation’s unaudited net profit after tax for the first six months to June 30th, 2013 was $163m, 57% higher than the same period last year. During the first half, the company – which has been consistently profitable since it was founded in November 1993 – also exceeded $1bn in cumulative net profit after tax since Bank of China (BOC) acquired the Company in December 2006. As of June 30th, 2013, BOC Aviation’s total assets had increased to US$9.9bn after paying a dividend of $113m for the first time to the Bank of China Group. Cash stood at $680m, and debt-to-equity was 4:1. As of June 30th, 2013, BOC Aviation had a fleet of 223 modern aircraft flying with more than 50 airlines worldwide, comprising 198 owned and 25 managed aircraft, as well as 16 aircraft on committed purchase and leaseback with airlines. There were 30 new deliveries during the first half, including 10 aircraft on purchase and leaseback agreements, a record for a six-month period.

Marshall Aerospace and Defence Group acquires Beechcraft’s Euro-pean MRO business, Hawker Beech-craft Ltd

Marshall Aerospace and Defence Group (Marshall ADG) announced the purchase of Beechcraft’s flagship European MRO busi-ness, Hawker Beechcraft Limited. At its Broughton location in the UK, the site, also known as Hawker Beechcraft Services Ches-ter, has provided a full range of maintenance, modification, paint and upgrade services to owners of Hawker and Beechcraft aircraft for over 50 years. The business will be known as ‘Marshall Aviation Services.’ Announcing the deal, which was signed on 30th August 2013, Steve Fitz-Gerald, CEO of Marshall ADG comments: “We are committed to a strategy of building our civil aerospace busi-ness and I am delighted that Hawker Beech-craft Limited has become part of Marshall Aviation Services. Erickson Air-Crane closes acquisition of Air Amazonia

Erickson Air-Crane Incorporated announced the completion of its previously announced acquisition of Air Amazonia Serviços Aero-nauticos Ltda. (“Air Amazonia”) and certain related assets from HRT Participações em Petróleo S.A. (“HRT”). The final terms of the acquisition, which provides Erickson with a five-year aerial services agreement (includ-ing annual renewals) with minimum revenue of $29m per year and significant operating infrastructure in Brazil, including six new air-craft, two ground facilities, 59 new employ-ees, and repair station certification, were un-changed from those described in the July 22, 2013 announcement of the definitive agree-ment. In addition, Erickson will have a right of first refusal to purchase any or all of HRT’s remaining eight aircraft over the next twelve months as well as the right of first refusal on all helicopter services in Brazil from HRT.

Air Seychelles registers solid performance for second quarter and first half of 2013

Air Seychelles reported a strong second quarter and half-year financial performance, reflecting continued solid growth and success in its turnaround strategy. In Q2, the national carrier of the Republic of Seychelles posted total revenues of US$26.03m (up from $10.87m in 2012), a significant in-crease of 139%. Total rev-enues for the first half of 2013 reached US$42.05m (2012: $18.76m), up by 124%. Q2 passenger reve-nues came in at US$17.5m (up from $7.1m in 2012), a significant increase of 146%. • LiveTV, a wholly owned subsidiary of JetBlue Airways, re-ceived a Supplemental Type Certificate (STC) for Airbus 320 air-craft from the Federal Avia-tion Administration (FAA) for the first-of-its-kind Ka-band system, a satellite-based inflight connectivity and streaming entertain-ment solution, paving the road for next generation commercial inflight broad-band. LiveTV provides sys-tem design, certification, installation and turnkey support services including line maintenance to airline customers and expects to roll out this product on three additional aircraft types by the end of the year.

• IFE Services renewed its in-flight entertainment partnership with South African Airways and will supply Africa’s largest airline with top movies from Hollywood, Africa, Asia and other regions plus a broad mix of comedy, kids, nature, lifestyle, arts, business and sports TV programmes. The leading content service provider will also provide informational videos, idents and other original proud-citon work when required. As well as managing IFE content acquisi-tion and supply, IFE Services will take care of the airline’s digital file management requirements.

• JetBlue Airways signed a contract with Aviation Technical Services (ATS) for the Washington state-based company to install

super-fast next-generation Ka-band satellite Wi-Fi technology on JetBlue’s fleet of Airbus A320 aircraft. The agreement covers up to 130 A320 aircraft at ATS’s maintenance facility in Everett, Wash. Additional Ka-band installations will be accomplished at JetBlue’s LiveTV subsid-iary in Orlando. The technology was designed by LiveTV, which will be conducting training and technical support to ATS to ensure a qual-ity installation. All Airbus A320 installations are expected to be completed by the end of 2014.

• In other news, IFE Services, signed a partnership agreement with Betria Interactive to bring its new FlightPath3D Moving Map and Destination ‘geotainment’ service to the global airline industry. The FlightPath3D solution is a fully integrated in-flight moving mapping service for airline passengers to enjoy in-flight. The service includes a flight preview ‘auto-play’ script broadcast during aircraft boarding, an in-seat interactive 3D map application with detailed satellite imagery and integrated street maps. This next generation product suite is enhanced by a new destination guide information service that updates relevant point-of-interest information periodically for an airline’s destination cities. In August this year, Betria Interactive announced Norwegian as their launch FlightPath3D customer.

• Delta Air Lines reported op-erating performance for August 2013. System traffic increased 2.7% compared to the same period in 2012, while capacity increased 3.3%. System load factor for the month was slightly down by 0.5 points to 87.3%.

• Finnair traffic rose by 12.3% and the overall capacity grew 6.4% year-on-year. Passenger load factor improved by 4.5 points and was 85.2%.

• Air Canada reported a record system load factor in August of

89.5%, versus 87.9% in Au-gust 2012 an increase of 1.6 points. System traffic increased 4.7% on a system-wide capac-ity increase of 2.9%.

• Ryanair released that August traffic increased by 1% year over year while the load fac-tor increased 1.0 point to 89% compared to the same period in 2012.

• Norwegian released that traffic for the month of August was up 30%, while capacity was up 31%. The load factor

was 79.2%, down 1.2 points when compared to the same month last year.

• US Airways announced its August and year-to-date 2013 traffic results with traffic increase of 6.3% versus August 2012, while capacity was up 5.6%. Load factor was a record 87.9% for the month of August, up 0.6 points versus August 2012.

• Alaska reported an 8.1% in-crease in traffic on a 9.2% in-crease in capacity compared to August 2012. This resulted in a

0.9 point decrease in load fac-tor to 88.0%.

• Horizon reported a 0.8% increase in August traffic on a 2.5% decrease in capacity com-pared to August 2012. This re-sulted in a 2.8 point increase in load factor to an August record of 85.5%.

• WestJet announced August 2013 traffic results with a load factor of 87.9%. Traffic in-creased 11.5% year-over-year, and capacity grew 12.8% over the same period.

MONTHLY TRAFFIC STATISTICS - AUGUST

Dallas Aeronautical Services (DAS) Brazil recently announced they are expanding into a new facility in São José dos Campos, Brazil. DAS Brazil will begin operating in the new fa-cility starting in the first half of 2014. A subsidi-ary or Dallas Aeronautical Services, DAS Brazil specializes in the production, repair and over-haul of composites, structures and assemblies. The new facility will be utilized to better serve the business aircraft market in South America. Operating in 70,000 ft² of space, DAS Brazil will be located in the Technical Park at São José dos Campos, Universidade Vale do Paraíba (UniVap). In addition to the initial investment by the company, the project is being supported by Invest San Paulo and the UniVap.

The Federal Aviation Administration (FAA) has extended Lockheed Martin’s work pro-viding flight planning and safety support to pilots under the Automated Flight Service Stations (AFSS) contract. The contract option period begins October 1st with a total value of $221m over two years. Since 2005, Lock-

CPI Aerostructures was selected by Spirit AeroSystems to manufacture structural assem-blies for four CH-53K heavy lift helicopter System Demonstration Test Articles (SDTA). Spirit will produce the four additional SDTA cockpit and cabin components of the CH-53K for its prime contractor Sikorsky Aircraft. CPI Aero will manufacture step platform assemblies and cabin rack assemblies. Delivery will occur in 2014 and 2015. In May 2013, the US Navy funded four CH-53K demonstration aircraft that will be used for op-erational evaluation purposes. CPI Aero’s contract with Spirit includes firm requirements for approximately $1m for the demonstration aircraft. The Navy program of record calls for the production of 196 aircraft, with initial operating capability targeted for 2019.

Embraer Defense & Security delivers first modernized A-1 fighter jet to Brazilian Air Force

Embraer Defense & Security held the delivery ceremony, for the first modernized A-1 (A-1M) fighter jet to the Brazilian Air Force (FAB) at its industrial plant in Gavião Peix-oto, in outstate São Paulo. O A-1M program provides for refurbishing and modern-izing 43 subsonic AMX jets, 16 of which are already at the Company’s facilities. The A-1M jet has the capability of performing air-to-ground attack, bombing, tactical air support and reconnaissance missions. The modernized FAB airplanes will receive new systems for navigation, weaponry, oxygen generation, multimode radar, and electron-ic countermeasures. This equipment, along with structural refurbishment, will allow these jets to continue operating until 2025.

Boeing projects a demand for 5,580 new airplanes in China over the next 20 years valued at $780bn. The company’s annual China Current Market Outlook forecasts the country’s fleet to triple in size over the next two decades.

“Thanks to strong economic growth and increased access to air travel, we project China traffic to grow at nearly 7% each year,” said Randy Tinseth, vice president of Marketing, Boeing Commercial Airplanes. Tourism in China and intra-Asia travel will help spur a strong demand for single-aisle airplanes, with total deliveries in that segment reaching 3,900 through 2032.

Tinseth said both the Next-Generation 737 and the new 737 MAX offer significant advantages in improved capabilities, fuel efficiency and maintenance costs, as well as enhanced environmental per-formance.

Long-haul international traffic to and from China is forecasted to grow at an annual rate of 7.2%. The international growth is prima-rily driven by anticipated passenger traffic between China and North America, Europe, the Middle East, Oceania and Africa. This growth in the long-haul segment is expected to result in demand for an ad-ditional 1,440 new fuel-efficient widebodies.
