This contract entered into this 1st day of July 2009 by EBSCO Industries, Inc., d/b/a EBSCO Infonnation Services hereinafter called the "Contractor" and Commonwealth of Virginia, Virginia Polytechnic Institute and State University called "Virginia Tech."
WITNESSETH that the Contractor and Virginia Tech, in consideration of the mutual covenants, promises and agreements herein contained, agree as follows:
SCOPE OF CONTRACT: The Contractor shall provide Continuations Services to Virginia Tech as set forth in the Contract Documents.
PERIOD OF CONTRACT: From July 1, 2009 through June 30, 2014.
COMPENSATION AND METHOD OF PAYMENT: in accordance with the contract documents.
The Contractor shall be paid by Virginia Tech
CONTRACT DOCUMENT: The contract documents shall consist of this signed contract, Request for Proposal (RFP) number 0007943 dated March 12, 2009, the proposal submitted by the Contractor dated March 26, 2009 and Attachment 1, all of which contract documents are incorporated herein.

I. PURPOSE:
The purpose of this Request for Proposal (RFP) is to solicit sealed proposals to establish a contract or contracts through competitive negotiations for Continuations Services for Virginia Polytechnic Institute and State University (Virginia Tech), an agency of the Commonwealth of Virginia.
II. CONTRACT PERIOD:
The term of this contract is for five (5) years, or as negotiated. There will be an option for two (2) one year renewals, or as negotiated.
III. BACKGROUND:
The University Libraries at Virginia Tech serve a student body of more than 26,000 through multiple service locations on the local campus and other campuses throughout the Commonwealth of Virginia. The University Libraries consists of the Carol M. Newman Library and three branches: Art+ Architecture, Veterinary Medicine, and the Northern Virginia Graduate Center. The UL is a member of the Association of Research Libraries.
In the university's fiscal year 2007/2008, the University Libraries' continuations expeditures were approxiroately $5,423,000. Materials allocations are likely to change during the course of the intended contract. Virginia Tech reserves the right to increase or decrease the amount as actual need and funding require.
IV. EVA BUSINESS-TO-GOVERNMENT ELECTRONIC PROCUREMENT SYSTEM:
The eVA Internet electronic procurement solution streamlines and automates government purchasing activities within the Commonwealth of Virginia. Virginia Tech, and other state agencies and institutions, have been directed by the Governor to maximize the use of this system in the procurement of goods and services. We are, therefore, requesting that your firm register as a trading partner within the eVA system.
There are registration fees and transaction fees involved with the use of eVA. These fees must be considered in the provision of quotes, bids and price proposals offered to Virginia Tech. Failure to register within the eVA system may result in the quote, bid or proposal from your firm being rejected and the award made to another vendor who is registered in the eVA system.
Registration in the eVA system is accomplished on-line. Your fmn must provide the necessary information. Please visit the eVA website portal at http://www.eva.virginla.gov/register/vendorreg.htm and register both with eVA and Ariba. This process needs to be completed before Virginia Tech can issue your firm a Purchase Order or contract. If your fmn conducts business from multiple geographic locations, please register these locations in your initial registration.

V. CONTRACTPARTICIPATION:
1t is the intent of this solicitation and resulting contract to allow for cooperative procurement. Accordingly, any public body, public or private health or educational institutions, or Virginia Tech's affiliated corporations and/or partnerships may access any resulting contract if authorized by the contractor.
Participation in this cooperative procurement is strictly voluntary. If authorized by the Contractor, the resultant contract may be extended to the entities indicated above to purchase at contract prices in accordance with contract terms. The Contractor shall notify Virginia Tech in writing of any such entities accessing the contract. No modification of this contract or execution of a separate contract is required to participate. The Contractor will provide semi-annual usage reports for all entities accessing the Contract. Participating entities shall place their own orders directly with the Contractor and shall fully and independently administer their use of the contract to include contractual disputes, invoicing and payments without direct administration from Virginia Tech. Virginia Tech shall not be held liable for any costs or damages incurred by any other participating entity as a result of any authorization
by the Contractor to extend the contract. It is understood and agreed that Virginia Tech is not responsible for the acts or omissions of any entity, and will not be considered in default of the contract no matter the circumstances.
Use of this contract does not preclude any participating entity from using other contracts or competitive processes as the need may be.
VI. STATEMENT OF NEEDS:
A. General
The contractor shall service print and electronic periodicals, serials, publishers' series, online databases and other electronic resources, and continuing titles (hereafter together referred to as Continuations) for Virginia Tech's University Libraries. Service shall include the provision of all continuations, renewals and new orders, cancellations, handling of claims and regular invoicing.
B. Customer Service
1. The Contractor shall assign a specific in-house account representative who handles the Virginia Tech orders, cancellations, claims, requests for reports, invoicing questions, etc. The in-house representative shall respond via e-mail, telephone, and/or fax to all inquiries within two (2) business days, e-mail preferred. A Contractor's representative shall visit Virginia tech, upon request, to discuss service to Virginia Tech's account and other continuations management issues.
2. The Contractor shall provide toJJ-free telephone numbers, fax numbers, and e-mail addresses for all staff assigned to Virginia Tech's account.
3. The Contractor shall maintain accurate and current records of Virginia Tech's active continuations orders in the Contractor's online catalog and subscription management database.
C. Orders
1. The Contractor shall process and confmn new orders within ten (I 0) working days of receipt from Virginia Tech. Orders and payments to publishers shall be released to publishers within ten (10) days of receipt of a new order and three (3) months before the expiration date of renewed subscriptions.
2. The first issue of a new order should be delivored to Virginia Tech within eight (8) weeks for North American publishers and ten (I 0) weeks for other publishers, or when Virginia Tech has designated that the next volume should begin.
3. The Contractor shall accept new orders from Virginia Tech at any time during the year. These orders shall be merged into the next main renewal invoice.
4. Virginia Tech will specifY the beginning issue and/or start date of a new subscription order. Unless otherwise indicated, the latest edition published is to be supplied.
5. The Contractor shall accept subscription orders on the annual renewal list I invoice as automatic renewals to run until forbid unless lined off of the annual renewal list invoice or otherwise cancelled.
6. The Contractor shall provide special and priority handling of rush orders.
7. If part of the paid subscription, all indexes, supplementary numbers, and added volumes shall be serviced automatically as part of the subscription. The Contractor should notify Virginia Tech of supplementary items not included as part of the subscription, and indicate handling procedures for the same.
8. If unable to supply a title, the Contractor shall notify Virginia Tech within thirty (30) days for North American publishers and forty-five (45) days for other publishers.

9. Order substitutions or additions of titles shall not be permitted unless expressly authorized by Virginia Tech on a title-by-title basis.
I 0. The Contractor shall alert Virginia Tech for the presence of any license agreements before placing the order with the publisher.
II. The Contractor shall provide a common expiration date of December 31 unless otherwise indicated by the library or publisher.
12. On the Order Invoice the Contractor shall include assigned fund codes, the University Libraries' order record number, and publisher identification numbers for each title.
13. The Contractor shall alert Virginia Tech to the possibility of online availability, any changes in the current online availability, and changes made to pricing models.
D. Renewals
I. The Contractor shall notify Virginia Tech of price increases over $500 or 100% price increases from the base price on the last renewal invoice before the order is placed with the publisher.
2. The Contractor shall supply a print list of all subscribed titles for renewal, listing fund codes, order number, renewal date, the University Libraries' order record number, and estimated price.
3. Virginia Tech reserves the right to line off titles on the annual renewal list I invoice in order to prevent them from being renewed for the subsequent renewal period.
4. On the renewal list, the Contractor shall alert Virginia Tech to any changes in a title's format that may impact availability.
E. Claims
I. The Contractor shall provide a flexible, fast, and effective online claims service with reporting and reclaiming assistance features. Virginia Tech may claim missing issues through the Contractor or directly from the publisher.
2. Virginia Tech will submit claims to the Contractor by telephone, e-mail, fax, letter, and/or Contractor's online claiming module.
3. The Contractor shall submit claims to the publisher withiu five (5) working days of receipt from Virginia Tech.
4. The Contractor shall notify Virgiuia Tech of the status of all outstanding claims via a monthly report. The Contractor shall also respond to individual requests for claims status via e-mail, fax, or telephone.
5. On claims for missing issues submitted by Virginia Tech within the publisher's specified time period, the Contractor shall secure replacements free of charge or provide a credit to cover the cost for purchasing the missing issues.
F. Cancellations
I. The Contractor shall cancel iudividual titles at any time duriug the subscription year when notified by Virginia Tech.
2. The effective date of cancellation will be determined by Virginia Tech, except in the case of publishers' restrictions.

3. The Cpntractor shall acknowledge receipt of Virginia Tech's cancellation notice via e-mail, letter, or regular report. Cancelled titles shall be deleted from further renewal listings and invoices. Cancelled titles shall automatically be deleted from the next main renewal invoice list.
4. The Contractor shall request refunds of any unexpired portions of orders. Refund credits for the full amounts refunded by the publishers shall be refunded to Virginia Tech.
5. Virginia Tech reserves the right to cancel any renewal that has increased from the base price on the last renewal invoice over $500 or has a 1 00% price increase from the base price on the last renewal invoice even if not advised of price increase before the renewal is placed with the publisher.
G. Reports
I. The Contractor shall make the monthly report data available online and, upon request, in print. These monthly reports to include, but not be limited to, the following:
Price increase alerts Format changes I format options Ceased publications Suspended publications Publication delays Publishing frequency changes Publisher changes Title changes Title mergers and splits New volumes Titles and issues claimed Titles that the Contractor can no longer supply Membership or combination subscription changes Titles recently cancelled by Virginia Tech Electronic availability (for new orders only)
2. The Contractor should supply fiscal and collection management reports free of charge as requested. The Contractor should make this fiscal and collection management report data available online. These reports to include, but not be limited to, the following:
Average total service charge Individual service charges Subscriptions listed by Library of Congress classification or title Total expenditures by subject classification Number of claims submitted Number of claims resolved List of membership and combination titles Complete records of all fmancial transactions processed for the Libraries Current titles on order, in alphabetical sequence, title prices and current price adjustments, frequencies, quantities, invoice identification and unique library-specified codes
3. The Contractor shall regularly notifY Virginia Tech of the availability of supplementary materials related to subscriptions, i.e. supplements and special issues not included in the main subscription.
4. The Contractor should provide custom fiscal and collection management reports in a timely manner as requested by Virginia Tech. Reports should be provided in electronic spreadsheet format.
H. Shipments

2. Virginia Tech shall not be held responsible for shipments lost in transit or otherwise not received. The Contractor shall provide replacement copies at no charge for defective, mutilated, or damaged issues, or those that are not delivered within publisher policies.
I. Pricing
I. Virginia Tech reserves the right to obtain supporting documentation on prices from the Contractor at any time during the contract period.
J. Invoicing
I. The following information shall appear on each invoice:
Name and address of the Contractor Library bill-to address Library ship-to address Account number assigned by the Contractor Library purchase order number for each title Contractor title number University Libraries' order record number Title (include a breakdown of titles which are parts of memberships, combinations, or series) Publisher Frequency Indication as to whether title is new, a renewal, transfer, or additional copy order Number of copies being ordered for each subscription ISSN Period covered (inclusive dates) Volume number (beginning with new title) Current published price Service charge, if any Shipping and handling fees Summary page detailing total prices, total additional charges (if any), and net total Library fund code designation supplied by Virginia Tech Format
2. Supplemental Invoices. The Contractor shall supply monthly supplementary invoices for titles on which the publisher price exceeded the originally billed price with reasons for additional charges. The supplementary invoice shall also include any credits to Virginia Tech's account that result from overcharges, cancellations or cessations of a subscription.
3. Separate Invoices. The Contractor should supply separate invoices as requested by Virginia Tech.
4. The Contractor shall supply invoices in electronic format to the attention of:

5. The Contractor shall supply one(!) print copy of all invoices and one (1) print copy of annual renewal list I invoice to the address provided in H. 1.

7. The Contractor shall issue a check to Virginia Tech for all outstanding credits at the end of the contract period.
K. Online Support
1. The Contractor shall provide Virginia Tech with the administrative and technical support to perform online subscription management operations including, but not limited to, direct transmission of online orders, electronic claiming, and report generation.
2. The Contractor shall provide Virginia Tech with the ability to search the Contractor's online catalog and subscription management database to determine availability, cost, and other variables prior to placement of an order. The Contractor should provide training on how to use the database at no cost to Virginia Tech.
3. The Contractor shall provide Virginia Tech with account, invoice, and payment information electronically.
L. Other
1. Virginia Tech reserves the right to inspect the facilities of the Contractor at anytime during the contract period.
2. Upon request, the Contractor should provide Virginia Tech with trial access to future continuations management services and modules and other related peripheral services as they are developed.
Vll. PROPOSAL PREPARATION AND SUBMISSION:
A. General Requirements
1. RFP Response: In order to be considered for selection, Offerors must submit a complete response to this RFP. One original and five copies of each proposal must be submitted to:

Reference the Opening Date and Hour, and RFP Number in the lower left hand corner of the return envelope or package.
No other distribution of the proposals shall be made by the Offeror.
2. Proposal Preparation
a. Proposals shall be signed by an authorized representative of the Offeror. All information requested should be submitted. Failure to submit all information requested may result in Virginia Tech requiring prompt submission of missing information and/or giving a lowered evaluation of the proposal. Proposals which are substantially incomplete or lack key information may be rejected by Virginia Tech at its discretion. Mandatory requirements are those required by law or regulation or are such that they cannot be waived and are not subject to negotiation.
b. Proposals should be prepared simply and economically providing a straightforward, concise description of capabilities to satisfY the requirements of the RFP. Emphasis should be on completeness and clarity of content.
c. Proposals should be organized in the order in which the requirements are presented in the RFP. All pages of the proposal should be numbered. Each paragraph in the proposal should reference the paragraph number of the corresponding section of the RFP. 1t is also helpful to cite the paragraph number, sub letter, and repeat the text of the requirement as it appears in the RFP. If a response covers more than one page, the paragraph number and sub letter should be repeated at the top of the next page. The proposal should contain a table of contents which cross references the RFP requirements. Information which the offeror desires to present that does not fall within any of the requirements of the RFP should be inserted at an appropriate place or be attached at the end of the proposal and designated as additional material. Proposals that are not organized in this manner risk elimination from consideration if the evaluators are unable to fmd where the RFP requirements are specifically addressed.
d. Each copy of the proposal should be bound in a single volume where practical. All documentation submitted with the proposal should be bound in that single volume.
e. Ownership of aU data, material and documentation originated and prepared for Virginia Tech pursuant to the RFP shall belong exclusively to Virginia Tech and be subject to public inspection in accordance with the Virginia Freedom of Information Act. Trade secrets or proprietary information submitted by an Offeror .shall not be subject to public disclosure under the Virginia Freedom of Information Act. However, to prevent disclosure the Offeror must invoke the protections of Section 2.2-4342F of the Code of Virginia, in writing, either before or at the time the data or other materials is submitted. The written request must specifically identifY the data or other materials to be protected and state the reasons why protection is necessary. The proprietary or trade secret material submitted must be identified by some distinct method such as highlighting or underlining and must indicate only the specific words, figures, or paragraphs that constitute trade secret or proprietary information. The classification of an entire proposal document, line item prices and/or total proposal prices as proprietary or trade secrets is not acceptable and may result in rejection of the proposal.
3. Oral Presentation: Offerors who submit a proposal in response to this RFP may be required to give an oral presentation of their proposal to Virginia Tech. This will provide an opportunity for the Offeror to clarity or elaborate on the proposal but will in no way change the original proposal. Virginia Tech will schedule the time and location of these presentations. Oral presentations are an option of Virginia Tech and may not be conducted. Therefore, proposals should be complete.
B. Specific Requirements
Proposals should be as thorough and detailed as possible so that Virginia Tech may properly evaluate your capabilities to provide the required services. Offerors are required to submit the following information/items as a complete proposal:
I. Ability to Provide Services:
a. Provide a brief narrative statement (bullet points) describing the level of experience in providing similar services as described herein.
b. Identify your ability to provide and service various type and formats of continuations materials and subscriptions by checking in the appropriate field in Attachment C.
c. Describe your ability to provide and service continuations subscriptions from domestic and non-U.S. publishers; commercial and noncommercial publishers; be sure to mention exceptions and exclusions.
d. Provide evidence of fmancial stability for at least the last two years of the firm's operation to include credit rating.

e. Provide a brief description (bullet points) of the key individuals who would be assigned to any resulting contract, including contact information and experience.
f. Provide a brief narrative statement (bullet points) describing specific plans for providing the proposed service, including how and when the services will be perfonned.
g. Provide a narrative statement (bullet points) or statistical reports describing internal quality control procedures.
h. Provide sample invoices.
2. Pricing and Payments:
a. Provide pricing for all continuations as listed in Attachment D.
b. Comment on your willingness to hold pricing firm through the initial five-year contract period and all subsequent renewals.
c. Describe any terms and/or discounts applicable for one-line invoice payments, prepayments, deposit accounts, and other payment options.
d. Provide a brief narrative outlining how Virginia Tech's prepayment and/or current subscription payments are insured or otherwise protected. .
e. Provide a schedule of the payment, invoicing, and renewal cycle.
3. Reports:
a. Provide samples of all standard reports available as outlined in Section VI, G I and G2.
b. Indicate any applicable policies, such as cost or advance time, required for preparation of customized or nonstandard reports.
c. Provide an overview of the features of the subscription management database.
4. Four (4) recent references, either educational or governmental, for whom you have provided the type of services described herein. Include the date(s) the services were furnished, the client name, address and the name and phone number of the individual Virginia Tech has your permission to contact.
5. Small, Women-owned and Minority-owned Business (SWAM) Utilization:
If your business can not be classified as Small, Women-owned, or Minority-owned, describe your plan for utilizing SWAM businesses if awarded a contract. Describe your ability to provide statistical reporting on actual SWAM subcontracting when requested. If your firm or any business that you plan to subcontract with can be classified as SWAM, but has not been certified by the Virginia Department of Minority Business Enterprise, it is expected that the certification process will be initiated no later than the time of the award.
6. The return of the General Information Form and addenda, if any, signed and filled out as required.

Selection shall be made of two or more offerors deemed to be fully qualified and best suited among those submitting proposals on the basis of the evaluation factors included in the Request for Proposal, including price, if so stated in the Request for Proposal. Negotiations shall then be conducted with the offerors so selected. Price shall be considered, but need not be the sole determining factor. After negotiations have been conducted with each offeror so selected, Virginia Tech shall select the offeror which, in its opinion, has made the best proposal, and shall award the contract to that offeror. Virginia Tech may cancel this Request for Proposal or reject proposals at any time prior to an award. Should Virginia Tech determine in writing and in its sole discretion that only one offeror has made the best proposal, a contract may be negotiated and awarded to that offeror. The award document will be a contract incorporating by reference all the requirements, terms and conditions of this solicitation and the Contractor's proposal as negotiated. See Attachment B for sample contract form.
Virginia Tech reserves the .right to award more than one contract as a result of this solicitation.
IX. ADDENDUM:
Any ADDENDUM issued for this solicitation may be accessed at http://www.purch.vt.edu/html.docs!bids.php. Since a paper copy of the addendum will not be mailed to you, we encourage you to check the web site regularly.
X. CONTRACT ADMINISTRATION:
A. Ladd Brown, Head of Acquisitions, University Libraries, at Virginia Tech or hislber designee, shall be identified as the Contract Administrator and shall use all powers under the contract to enforce its faithful performance.
B. The Contract Administrator, or his/her designee, shall determine the amount, quantity, acceptability, fitness of all aspects of the services and shall decide all other questions in connection with the services. The Contract Administrator, or his/her designee, shall not have authority to approve changes in the services which alter the concept or which call for an extension of time for this contract. Any modifications made must be authorized by the Virginia Tech Purchasing Department through a written amendment to the contract.
XI. TERMS AND CONDITIONS:
This solicitation and any resulting contract/purchase order shall be governed by the attached terms and conditions.

Special Terms and Conditions
I. AUDIT: The Contractor hereby agrees to retain all books, records, and other documents relative to this contract for five (5) years after final payment, or until audited by the Commonwealth of Virginia, whichever is sooner. Virginia Tech, its authorized agents, and/or the State auditors shall have full access and the right to examine any of said materials during said period.
2. AVAILABILITY OF FUNDS: It is understood and agreed between the parties herein that Virginia Tech shall be bound hereunder only to the extent of the funds available or which may hereafter become available for the purpose of this agreement.
3. CANCELLATION OF CONTRACT: Virginia Tech reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon 60 days written notice to the Contractor. In the event the initial contract period is for more than 12 months, the resulting contract may be terminated by either party, without penalty, after the initial 12 months of the contract period upon 60 days written notice to the other party. Any contract cancellation notice shall not relieve the Contractor of the obligation to deliver and/or perform on all outstanding orders issued prior to the effective date of cancellation.
4. CONTRACT DOCUMENTS: The contract entered into by the parties shall consist of the Request for Proposal including all modifications thereof, the proposal submitted by the Contractor, the written results of negotiations, the Commonwealth Standard Contract Form, all of which shall be referred to collectively as the Contract Documents.
5. IDENTIFICATION OF PROPOSAL ENVELOPE: If a special envelope is not furnished, or if return in the special envelope is not possible, the signed proposal should be returned in a separate envelope or package, sealed and addressed as follows: VIRGINIA POLYTECHNIC INSTITUTE AND STATE UNIVERSITY Purchasing Department (0333) 270 Southgate Center Blacksburg, VA 24061 Reference the opening date and hour, and RFP Number in the lower left corner of the envelope or package. If a proposal not contained in the special envelope is mailed, the Offeror takes the risk that the envelope, even if marked as described above, may be inadvertently opened and the information compromised which may cause the proposal to be disqualified. No other correspondence or other proposals should be placed in the envelope. Proposals may be hand delivered to the Virginia Tech Purchasing Department.
6. INDEPENDENT CONTRACTOR: The contractor shall not be an employee of Virginia Tech, but shall be an independent contractor. Nothing in this agreement shall be construed as authority for the contractor to make commitments which shall bind Virginia Tech, or to otherwise act on behalf of Virginia Tech, except as Virginia Tech may expressly authorize in writing.
7. INSURANCE: By signing and submitting a proposal under this solicitation, the Offeror certifies that if awarded the contract, it will have the following insurance coverages at the time the work commences. Additionally, it will maintain these during the entire term of the contract and that all insurance coverages will be provided by insurance companies authorized to sell insurance in Virginia by the Virginia State Corporation Commission. During the period of the contract, Virginia Tech reserves the right to require the Contractor to furnish certificates of insurance for the coverage required. INSURANCE COVERAGES AND LIMITS REQUIRED: A. Worker's Compensation - Statutory requirements and benefits. B. Employers Liability- $100,000.00 C. General Liability - $500,000.00 combined single limit. Virginia Tech and the Commonwealth of Virginia shall be
named as an additional insured with respect to goods/services being procured. This coverage is to include Premises/Operations Liability, Products and Completed Operations Coverage, Independent Contractor's Liability, Owner's and Contractor's Protective Liability and Personal Injury Liability.
D. Automobile Liability- $500,000.00

The contractor agrees to be responsible for, indemnifY, defend and hold harmless Virginia Tech, its officers, agents and employees from the payment of all sums of money by reason of any claim against them arising out of any and all occurrences resulting in bodily or mental injury or property damage that may happen to occur in connection with and during the performance of the contract, including but not limited to claims under the Worker's Compensation Act The contractor agrees that it will, at all times, after the completion of the work, be responsible for, indemnifY, defend and hold harmless Virginia Tech, its officers, agents and employees from all liabilities resulting from bodily or mental injury or property damage directly or indirectly arising out of the performance or nonperformance of the contract

EBSCO has been fortunate to serve many Association of Research Libraries, and we hope we will be able to continue to serve the Libraries of Virginia Tech.
Many of our services have originated from listening to our customers' comments concerning the future of libraries. We know there are many challenges facing libraries today and our development staff is hard at work to assist libraries in dealing with the purchase and management of their electronic content through development and continued enhancements of our Web-based services.

Continuations Services
Statement of Needs
General The contractor shall service print and electronic periodicals, serials, publishers' series, online databases and other electronic resources, and continuing titles {hereafter together referred to as Continuations) for Virginia Tech's University Libraries. Service shall include the provision of all continuations, renewals and new orders, cancellations, handling of claims and regular invoicing.
EBSCO Information Services, will, if selected service print and electronic periodicals, serials, publisher's series, online databases and other electronic resources, and continuing titles for Virginia Tech's University Libraries. Our service will include the provisions of all continuations, renewals and new orders, cancellations, handling of claims and regular invoicing as set forth in Section VI, subsection A. through subsection L.
Specific Requirements Proposals should be as thorough and detailed as possible so that Virginia Tech may properly evaluate your capabilities to provide the required services. Offerors are required to submit the following information/items as a complete proposal:
1. Ability to Provide Services:
a) Provide a brief narrative statement {bullet points) describing the level of experience in providing similar services as described herein.
•!• For more than 65 years, EBSCO has been a provider of subscription services and today we are the world's largest subscription agent. As a privately held company, we reinvest our profits to better our business rather than focus on satisfying shareholders.
•!• EBSCO Information Services employs approximately 2,100 people who serve libraries worldwide from 32 offices in 23 countries on six continents. The EBSCO Regional Offices are connected through our international data communications network. Six ofthese offices are in the United States and are geographically dispersed to be near
customers to provide personal service. Each office supports a staff of field sales and service professionals.
•!• Most of the libraries served by the Birmingham Office are college/university, academic or academic medical libraries. These include 20 of the 21 Association of Research Libraries and 32 of the 38 medical school libraries located in the Southeast.
•!• As the leading subscription agent, our responsibility is to stay at the forefront of the industry. We do this by engineering services and products to simplify the management of our customers' subscription collections while continuing to provide the outstanding personal service for which we have traditionally been known. Throughout this overview you will find references to personal representatives who will service the library's account.
•!• For the past ten years, EBSCO, along with our customers, has experienced a significant change in the nature of our business. In 1999, less than 12% percent of the orders we processed included an electronic component. Today more than 65% percent of the orders we send to publishers each year include an electronic component.
•!• EBSCO focuses our services on assisting customers with their format of preference. We offer a wide range of services for managing the electronic format. EBSCONET, our online serials management tool, incorporates the tracking of activation and registration for electronic journals and provides an automated alerting service forejournal changes. We have added more than 50 data elements to the title file detailing publisher registration requirements and licensing terms and conditions. We have automated e-journal package renewals that recognizes the terms and conditions of each customer's publisher contract. Our customer service representatives receive intensive training on the handling of issues for electronic content. While EBSCO maintains our traditional print services like ordering, claiming, and paying publishers, we have refined those services and expanded on our role in the serials supply chain to incorporate thee-journal services needed by our customers. In addition, EBSCOhost provides access to more than 100 full-text and secondary reference databases, and offers a variety of customization features.
b) Identify your ability to provide and service various type and formats of continuations materials and subscriptions by checking in the appropriate field in Attachment C.

c) Describe your ability to provide and service continuations subscriptions from domestic and non-U.S. publishers; commercial and noncommercial publishers; be sure to mention exceptions and exclusions.

EBSCO Information Services has the ability to order any title published anywhere in the world in any format, except where restricted by the publisher. EBSCO's title database contains information on more than 300,000 title listings, including more than 25,000 electronic journals.
EBSCO will manage all types of publications including but not limited to those listed in Attachment C unless a given publisher has a policy of not selling through subscription agencies or unless the publisher has a history of not supplying requested materials.
d) Provide evidence of financial stability for at least the last two years ofthe firm's operation to include credit rating.
EBSCO is a privately owned company, not publicly traded; therefore our financials are not publicly accessible. EBSCO is ranked in the top 200 of the Forbes list of the 500 largest privately owned companies in the United States and it carries a SAl rating from
Dun & Bradstreet, the highest in the industry. We are able to provide a financial stability package (letters from our independent auditors) in response to your financial disclosure request. If you should require additional financial information, it can be provided if a Virginia Tech representative is willing to sign a letter of confidentiality regarding this information. See Section 4.
e) Provide a brief description (bullet points) of the key individuals who would be assigned to any resulting contract, including contact information and experience.
The Birmingham office employs a staff of 84 dedicated professionals. There are 36 Customer Service Representatives; many have more than ten years of experience. EBSCO clients receive additional support from our field staff of 12 professionals who average more than 15 years of industry experience. Three of our field staff have their M LS degrees.
Vice President/General Manager-Ree Sherer Ree became the General Manager of the Southeast Regional office in June of 1990. Initially as the General Manager of EBSCO's Publisher Services Department and
Director of Academic Publisher Relations, he dealt primarily with the serials concerns of publishers. As Vice President/General Manager of EBSCO's Southeast Regional Office, most of his contacts are now with librarian. More than 26 years in the library industry has given him a broad perspective on the unique concerns of librarians, publishers and vendors.
Ree is involved in all aspects of delivering electronic journal information and
overseeing the entry of online journal orders on behalf of customers. He is a member oft he administrative management team responsible for designing customer reports and testing new online journal services with selected beta sites

Sales Manager-Mary Sue Hoyle Mary Sue is the Sales Manager and Assistant Vice President of the Birmingham Regional Office. She began at EBSCO in 1992. Her duties as Sales Manager are to ensure proper training and guidance for Field Representatives from the Southeast office; she also provides help with all customers in the Southeast territory regarding our products and services.
Mary Sue is well informed about the services and features of EBSCO Online and the order and access procedures for online journals. She is familiar with the licensing assistance EBSCO provides libraries in her region and she is a familiar speaker at workshops and seminars on the issues surrounding electronic journals. Account Services Manager-Merrill Smith Merrill is the Account Services Manager assigned to the Virginia Tech account. She has been with EBSCO for twelve years, is a degreed librarian, and is your consultant paid by EBSCO to personally assist with any serials needs.
Merrill will provide training on EBSCO systems as needed and will troubleshoot issues with the Libraries' accounts should they arrive. Merrill is well-versed on
subscription issues, including those with e-journals, publishers' bundled packages, and on EBSCO's services for serials management. She is available to visit the library as needed or to facilitate communication between the Libraries and the EBSCO office and/or service centers. Merrill can be contacted by email at

Sales Representative-Steve O'Dell Steve has been with EBSCO for over five years and in the library industry since 2000. He is knowledgeable about all aspects of EBSCO Information Services including
electronic journals, e-resource access and management tools and databases. Steve will conduct presentations and demonstrations on a regular basis. He will oversee and assist the library throughout the contract period as well as visit the library to
discuss serials management reports, refine the services, and assist as needed. Living within his territory makes it geographically possible to visit clients on a regular basis. Customer Service-Pam Zedaker, Manager Pam joined EBSCO in November of 1985 and has worked in a number of areas, including User Services and Publisher Services. She has served as a customer service

manager at EBSCO for more than 17 years, and her diverse experience in working with both publishers and customers gives her a broad understanding of the subscription industry from the publisher, vendor and customer viewpoints.
Pam is responsible for a staff of 36 highly qualified dedicated personnel. This department provides all necessary service on orders after they have been placed with the publishers. Each customer of EBSCO is assigned a personal customer service representative who is familiar with their account and who works with the publishers on their behalf. The customer service representative personally handles any problems concerning orders, delivery, claims, renewals, invoices, credits and any other aspects that pertain to the libraries' accounts. Order Processing-Stephanie Bigbee, Manager Order Processing receives all orders and sets up handling procedures based on
individual customer requirements. Each account is put into our computer with billing and shipping addresses, special requirements, specific summary report needs and any other requirements. Experienced personnel receive and code orders, working online with our title file of more than 300,000 publications. They are provided with the most current information on prices, frequency, publication status and publisher information. Stephanie has been with EBSCO since 1996. Accounts Receivable-Carolyn Etress, Manager Carolyn is the Manager of the Accounts Receivable department. Accounts Receivable is responsible for the collection of all outstanding invoices generated from the EBSCO Southeast Regional Office. Our online cash accounting system allows us to post all monies daily to accounts, ensuring the most up-to-date
information. Follow-ups are done 30 days from the date of invoice. Statements of accounts are generated on a monthly basis. A/R is also responsible for deposit account maintenance and prepayment activities. Carolyn has been with EBSCO since 2002. Customer Service Representative-Dellene Winslett Dellene Winslett is the Customer Service Representative assigned to personally
handle any questions concerning orders, delivery, claims, renewals, e-journal access and troubleshooting, management reports, invoices, credits and any other aspects that pertain to your account.
Dellene has worked with libraries comparable to the Virginia Tech Libraries for over 33 years and is experienced in providing assistance with questions regarding electronic subscriptions. She has access to all EBSCO data concerning electronic journals and can quickly provide information regarding available versions and

combinations as well as price. Dellene also has access to invoice and order history records and can quickly locate information about a customer's electronic subscriptions.

f) Provide a brief narrative statement (bullet points) describing specific plans for providing the proposed service, including how and when the services will be performed.
•!• EBSCO Information Services plans to provide library subscriptions for the Virginia Tech Libraries using dedicated customer service staff working under the structure of the Regional Office in Birmingham, Alabama, which is supported by the three primary service centers at International Headquarters described below. EBSCO currently serves many academic, medical and corporate libraries with their print and electronic subscription needs. Our commitment to adapt new technologies to our service is evidenced by our electronic journal services, licensing assistance program, and the linking capabilities between online journals and aggregated full text databases and other service providers.
•!• A team of specialists in the Southeast Regional Office will be responsible for handling all aspects of Virginia Tech's accounts including, ordering, claiming, ejournal activation and troubleshooting, adjustments, renewals, invoicing and payment.
•!• Support for all EBSCO Regional Office services is provided through three primary service centers at International Headquarters in Birmingham, Alabama.
Title Information Department The Title Information Department (TID) has more than 65 experienced individuals monitoring all information for domestic and non-domestic serials listed in EBSCO's title database. It contains bibliographic and pricing data on more than 300,000 title listings, including 25,000 electronic journals. All formats and media are included. With the support ofTID, the Southeast Regional Office is in a position to respond immediately to inquiries and to offer the most complete, current subscription information available. Virginia Tech can take advantage of the data gather by TID via EBSCONET, our online subscription management system.
• Publisher Services Department

Publisher Services (PS) maintains relationships with over 79,000 publishers around the world to ensure prompt and accurate order entry, payment and customer service. The 100 employees in Publisher Services interact with publishers on behalf of all EBSCO offices and serves as a central point of contact for publishers worldwide. Their many responsibilities include maintaining all checks and orders to publishers to provide proof of payment when necessary; providing a customer service representative for each Regional Office to assist with publisher inquiries and handling cancellations and refunds from publishers.
Information Systems and Services Information Systems and Services (ISS) is responsible for the day to day infrastructure support and for developing creative and innovation solutions to support customers, publishers and staff. ISS employs more than 300 staff members, with many highly trained computer
professionals in key areas. ISS's many departments (Quality Assurance, Web Development, Technical Support, and Network Control, to name a few) work as a team and are integral parts in providing the service that the Virginia Tech Libraries receive.
•!• EBSCO's in-house training team offers continuing Web-based training that is available at no charge to any library staff member. EBSCO's toll-free telephone
number is {800) 633-4604. Access to EBSCONET, our online communications system, is free of charge for all staff assigned to the Libraries' accounts.

•!• EBSCO's Quality Control procedures begin as soon as a pro forma order is created for a new account.
•!• In order to make the pro forma as accurate as possible, EBSCO's Quality Control Department reviews each title on the pro forma against the current vendor's renewal list or invoice to ensure the accuracy of the title selected, volume
information and expiration date.

•!• Pam Zedaker, Customer Service Manager, monitors the performance of customer service and submits weekly reports to Ree Sherer, the General Manager, on the workflow status and currency of responses to customer correspondence.
•!• Our goal is to handle correspondence the day it comes in and maintain a current status on a daily basis. All customer correspondence should be handled within three days of receipt.
h) Provide sample invoices.
Based on feedback from library customers, EBSCO has recently redesigned our invoice. A sample version ofthe new invoice is attached in Section 2; however invoices are also available via PDF, Excel, or FTP for a load into your Integrated Library System.
2. Pricing and Payments
a. Provide pricing for all continuations as listed in Attachment D.
Please see Section 5 for pricing for continuations.
b. Comment on your willingness to hold pricing firm through the initial five-year contract period and all subsequent renewals.
It is EBSCO's intent to hold Virginia Tech's pricing firm. However, the pricing can be impacted-either positively or negatively-by the additions or deletions to the current mix of your subscription list. EBSCO will monitor the libraries' subscription list and notify the libraries if an adjustment in the service charge or discount is warranted.
c. Describe any terms and/or discounts applicable for one-line invoice payments, prepayments, deposit accounts, and other payment options.
EBSCO will provide a pro forma invoice for payment of the Libraries' account if desired or a one line invoice if preferred. A definitive invoice will be provided in November. The option of early pay of the renewal invoice will be offered to the Libraries. Early payment is stated as a reduction in service fee from a base rate depending on the date and amount of payment. The base rate is established for the titles that the University would order through EBSCO. By paying in advance of the invoice date, the effective service charge is adjusted downward.

The early pay option for Virginia Tech is detailed in the financial proposal letter accompanying this RFP. By taking advantage of this early payment program, the University will realize savings through a reduced service charge or discount. This reduced service charge or discount will be applied to all invoices, including supplemental and original (for standing order/billlater titles) throughout the year. Publishers' electronic packages will not be invoiced below retail.
d. Provide a brief narrative outlining how Virginia Tech's prepayment and/or current subscription payments are insured or otherwise protected.
Each year in the February/March time frame, we determine what the amount of interest we will pay on receipt of monies paid to EBSCO by libraries prior to October. This interest, which equates to a percentage reduction per month for early payment, is derived from reviewing the current market interest rates for secure governmentbacked securities such as United States Treasury Bills for three and four month maturities. We will always be competitive or a little higher than these rates as we want to provide incentive for the universities to allow the libraries to pay early and receive the benefit rather than have the universities' administration invest the monies elsewhere. These monies are set aside in a version of an escrow account where the monies are exempt from use for such things as operating expenses. If at any time Virginia Tech would like to have this money refunded, it is readily available.

3. Reports:

Sample reports are attached in Section 3 for those requested in Section VI, Gland G2, with the exception of the Average Total Service Charge and Individual Service Charges. These can be produced upon request.
b. Indicate any applicable policies, such as cost or advance time, required for preparation of customized or nonstandard reports.
EBSCO's primary source of reporting is via EBSCONET, although additional reports can be requested through the regional office. Many EBSCONET reports are viewable immediately online. The remainder of reports is typically available within 24 hours. Reports viewed online can be sorted by sub-account. Reports can also be
downloaded in a variety of formats such as Excel, and tab- or comma-delimited which allows for the library to sort and limit the report results by criteria such as ship-to location or fund code. Reports requested through the office and delivered via FTP or e-mail offer the same flexibility. Reports can be requested by any user and sent to any location.
c. Provide an overview of the features of the subscription management database.
EBSCO will provide the Virginia Tech Libraries access to EBSCONET, our Web-based subscription service, at no charge. EBSCONET links the Libraries with the Birmingham office and International Headquarters and allows library staff real-time access to EBSCO's title database and the Libraries' current subscription orders and subscription history.
The database provides information on format availability, publisher restrictions, inclusion of a title in bundled packages (publisher packages, aggregated databases, and indexes). Each library will have its own EBSCONET account; a master account covering all libraries will also be available.

We would like to respond by explaining that approximately 85 to 90 percent of EBSCO's costs are for the actual information purchased (journals, magazines, databases, series, etc.) The customer decides what they will purchase and therefore decides on the vendors (in this case the publisher) we contract for the bulk of our cost.
The next largest expense in the company is personnel. We utilize a direct-selling sales
force and this is personnel expense. We are an equal opportunity employer and seek to hire and retain the best people regardless of race, sex, color, origin, religion, etc.
We generally do not do a lot of subcontracting for the remaining small percentage of our overall cost. As a service business, we find we can keep better control of the quality of our services by handling in-house as appropriate. We write most of our software inhouse. Our huge mainframe computer and associated software and other hardware are also significant expenses and only a few vendors worldwide can handle them {IBM and Amdahl). Whenever subcontracting of services or other purchases are contemplated, EBSCO seeks first to find the best value, which demands we consider quality and price. We sell in a competitive marketplace that demands top service and competitive pricing. Accordingly we must find the best quality alternative at the lowest possible cost. By doing this we ensure quality and low cost to our customers. Our policy is not to discriminate nor show preference on the basis of race, sex, color, origin, religion, etc. As a result, EBSCO does not use that much contracted work {85 to 90 percent journal cost, 3 to 4 percent personnel and payroll taxes, interest cost, profit). If a SWAM

business meets our technical, quality, pricing, etc. specifications and requirements, EBSCO uses its best efforts to purchase from the SWAM for the particular service or product being considered.

To the right of each code is a list of all subscriptions ordered for that particular identification number.

PAYMENT INCENTIVE LETTER FOR VIRGINIA TECH LIBRARIES
The service charge to handle a percentage of the subscriptions for Virginia Tech Libraries for 2010 and forward would be as follows (cumulative business that of less than $500,000):

Virginia Tech Libraries chooses which month they can pay their invoice and the service charge becomes the established service charge for that invoice and any subsequent invoices for the balance of the year.
The October service charge is based on your current mix of titles. Additions or deletions of subscriptions to the title list may impact your base rate. To take full advantage of the payment incentive, payment must be received by the date specified above and must be for the full amount. Incentive will be prorated for partial payment. Also, the reduction from the base service charge for early payment is calculated/based on the current interest rate environment and may fluctuate from year to year.
EBSCO's intent is to hold the library's service charge firm. However, the service charge can be impacted- either positively or negatively- by factors listed above. EBSCO will monitor the library's subscription list and notify the library if an adjustment in the service charge is warranted.
IMPORTANT
The service charge will remain in effect for the entire subscription year. For example, on the total list, with payment in June, the service charge would be 2.3% on the main invoice. This is truly a discount deducted from the bottom line of the main invoice. It is not a credit. All additional invoices throughout the year will reflect this service charge. All rate adjustments and new titles entered would reflect the 2.3% service charge. Also, for any new titles ordered throughout the year, there are no minimum line item charges.
This will constitute a considerable savings for the library.

To take full advantage of the payment incentive, payment must be received by the date specified above and must be for the full amount. Incentive will be prorated for partial payment. EBSCO's intent is to hold the library's service charge firm. However, the service charge can be impacted- either positively or negatively- by factors listed above. EBSCO will monitor the library's subscription list and notify the library if an adjustment in the service charge is warranted.
IMPORTANT
The service charge will remain in effect for the entire subscription year. For example, on the total list, with payment in June, the service charge would be 1.3% on the main invoice. This is truly a discount deducted from the bottom line of the main invoice. It is not a credit. All additional invoices throughout the year will reflect this service charge. All rate adjustments and new titles entered would reflect the 1.3% service charge. Also, for any new titles ordered throughout the year, there are no minimum line item charges.
This will constitute a considerable savings for the library.

If Virginia Tech Libraries chose to make payment to EBSCO in October, the service charge is fixed at 2.9% and will remain at 2.9% throughout the subscription year.

EBSCO Information Services
1. Virginia Tech Question: Are there any fees associated with cancellations?
Contractor Answer: A $10 cancellation fee is charged on any order cancelled after the order has been processed for entry. If the cancellation is a result of our error, there is no charge
2. Virginia Tech Question: What are the fees associated withe-only subscriptions from publishers that do not offer an agency discount for handling the e-only subscription?
Contractor Answer: There is $12.00 net title fee charged as there is on any other title where we do not receive an agency discount from the publisher.
3. Virginia Tech Question: Section VI.C.lO. ofRFP 0007932 states that "The Contractor shall alert Virginia Tech for the presence of any license agreements before placing the order with the publisher." Please elaborate on how you intend to fulfill this alerting requirement and ensure that Virginia Tech does not pay for any subscriptions before they have an opportunity to examine the license agreement.
Contractor Answer: Through EBSCONET®, the customer can access license information prior to placing an order. We provide information regarding the license type, various terms of use, and if the license is available online, a link is provided.
4. Virginia Tech Question: Virginia Tech is precluded by law from entering into a contract that contains a cost plus a percentage of cost price arrangement. Therefore, please propose another pricing arrangement.
Contractor Answer: EBSCO is able to present an alternative pricing method where we will offer a flat rate per individual title expressed in dollars.
The service charge to handle a percentage of the subscriptions for Virginia Tech Libraries for 2010 and forward would be as follows:
For cumulative annual fiscal year business totaling less that $500,000.00, there would be a service charge of $14.00 per individual title.
For cumulative annual fiscal year business totaling $500,001.00 to $1,000,000.00, there would be a service charge of $9.00 per individual title.
For cumulative annual fiscal year business totaling $1,000,001.00 to $1,500,000.00, there would be a service charge of $5.00 per individual title.
For cumulative annual fiscal year business totaling $1,500,000.00 or more, there would be a service charge of $0.00 per individual title.
5. Virginia Tech Question: Do you agree that the initial contract period shall be five (5) years?
Contractor Answer: Yes.
6. Virginia Tech Question: Upon completion of the initial contract period, does EBSCO Industries, Inc. agree that the contract may be renewed by Virginia Tech upon written agreement of both parties for two (2) one year periods, under the terms of the current contract?
Contractor Answer: EBSCO agrees that the contract may be renewed by Virginia Tech upon written agreement of both parties.
7. Virginia Tech Question: If awarded a contract, are you willing to hold prices firm for the initial contract period and all subsequent renewals?
Contractor Answer: EBSCO would hold the base service fee firm provided there is no significant change in the mix of titles ordered. The individual prices of the titles are based on the publishers' retail price and change from year to year.
8. Virginia Tech Question: Virginia Tech is initiating this contract, but any Commonwealth of Virginia institution or agency who wishes to attach to it may use it to fulfill their continuations services requirements. With this in mind, please provide your best schedule of prices for all services offered.
Contractor Answer: EBSCO understands Virginia Tech wishes to allow Commonwealth of Virginia institutions or agencies to attach to the contract to fulfill their continuations services requirements. EBSCO reserves the right to assign a service fee to each agency or institution based on their unique mix of titles. However, the acceptance to offer this service to any Commonwealth of Virginia institution or agency does not change the pricing offered in this RFP to Virginia Tech.
9. Virginia Tech Question: Does EBSCO Industries, Inc. acknowledge, agree, and understand that the terms and conditions ofthe RFP #000794 3 shall govern the contract if a contract is awarded to your company?
Contractor Answer: EBSCO acknowledges, understands and agrees to the conditions of the contract with the exceptions of the following:
E (5) On claims for missing issues submitted by Virginia Tech within the publisher's o cover the cost for purchasing the missing issues.
EBSCO will supply replacement issues free of charge from the Missing Copy Banlc In the event of an EBSCO error, the replacement issue will be free of charge or a credit will be provided to cover the cost of replacing the missing issues identified by the claim. EBSCO will work with the Library to obtain missing issues at no additional cost from the publisher; however, EBSCO will not be held responsible for issues lost in the postal system, in the campus mailroom or in the library. If the publisher is out of stock, EBSCO will contact back issue dealers. If the publisher is not out of stock and for some reason will not supply the issues in question at no additional charge, EBSCO will notifY the Library of the replacement cost.
F. (1) The Contractor shall cancel individual titles at any time during the subscription year when notified by Virginia Tech.
Cancellations are accepted at any time during the subscription year when notified by Virginia Tech, except for non-cancellable subscriptions as governed by the publisher. Even on non-cancellable titles, we will make every attempt to achieve cancellation but this is totally subject to the publisher's discretion.
H. (2) Virginia Tech shall not be held responsible for shipments lost in transit or otherwise not received. The Contractor shall provide replacement copies at no charge for defective, mutilated, or damaged issues, or those that are not delivered within publisher policies.
EBSCO will supply replacement issues free of charge from the Missing Copy Bank. In the event of an EBSCO error, the replacement issue will be free of charge or a credit will be provided to cover the cost of replacing the missing issues identified by the claim. EBSCO will work with the Library to obtain missing issues at no additional cost from the publisher; however, EBSCO will not be held responsible for issues lost in the postal system, in the campus mailroom or in the library. Ifthe publisher is out of stock, EBSCO will contact back issue dealers. If the publisher is not out of stock and for some reason will not supply the
issues in question at no additional charge, EBSCO will notify the Library of the replacement cost.
10. Virginia Tech Question: Are the prices for all good/services listed in your proposal inclusive of all applicable eVA system transaction fees?
Contractor Answer: No. There is an eVA transaction fee of 1% ofthe purchase order, not to exceed $1,500.00 for that purchase order. This fee is not figured into the prices for all goods/services listed in the proposal.
11. Virginia Tech Question:
Since our purchasing system requires precise and accurate information, please provide the following:
a. Legal name of your company.
b. Trade name (DBA) if different from legal name.
c. Taxpayer identification number.
d. Company name and address to which Virginia Tech should mail purchase orders.
e. Company name and address to which Virginia Tech should mail payments.
f. IRS W -9 form (Request for Taxpayer Identification Number and Certification).

12. Virginia Tech Question: Do you acknowledge, agree and understand that Virginia Tech cannot guarantee a minimum amonnt of business if a contract is awarded to your company?
Contractor Answer:
It is understood and acknowledged that Virginia Tech cannot guarantee a minimum amount of business should a contract be awarded to EBSCO. We have accounted for this allocation of business in our pricing methodology.
13. Virginia Tech Question: Regarding EBSCO's response to question #1 0, I seek further clarification. Please respond the the following: By registering in Virginia's EVA system, you agreed to pay the transaction fee of 1%, capped at $1500.00. Would you be willing to reconsider your answer and agree to build the 1% fee into your prices?
Contractor Answer: In response to question# 10, I offer the following: if Virginia Tech issues only one blanket purchase order that covers the life of the contract (5 years plus two 1 year renewals for a total of7 years) then EBSCO agrees to absorb the 1% EVA transaction fee capped at $1,500.
14. Virginia Tech Question: In light of the revised flat rate pricing structure addressed in number 4 above, how will pre-payment discounts be applied for the duration ofthe contract?
Contractor Answer: Each year EBSCO offers prepayment credit to any library that pays us prior to October for January renewal start dates. The percentage of credit applied for any account will vary from year to year based on the current money market conditions. The payment deadline dates will vary based on the current calendar. If prepayment credit is earned through EBSCO receiving payment prior to September from the Virginia Tech Libraries, a credit is issued based on the current rate schedule and the payment amount received. The credit is added to your payment and applied to your main renewal invoice. Once your main renewal invoice is produced, any credit balance including remaining prepayment credit can be used in any way that the library chooses. That choice may be a refund check, application of the credit against outstanding invoices which result from an interim order or a supplemental billing. Please refer to Exhibit 1.
