3 PROJECT DESCRIPTION

3.1 General

ADC has been awarded the right to develop, construct and operate the Anaklia Deep Water Black Sea Port

on a design, finance, build, operate and transfer basis under the Investment Agreement executed with the

Grantor (the “IA”, as amended from time to time). The Anaklia Port is a greenfield port project located on

the Black Sea at a focal point on the historic Silk Road between China and Europe. The Anaklia Port site

is located just south of the Enguri River and the village of Anaklia on the Black Sea, and just north of the

Kolkheti National Park in the Samegrelo‐Zemo Svaneti Region of Georgia. The multi-commodity terminal will

be developed in phases on approximately 340 hectares. Phase 1 will include a container terminal capable of

accommodating a 10,000 TEU vessel and a dry bulk terminal capable of handling Panamax vessels with

subsequent phases to expand container and dry bulk capacity in addition to constructing an unspecified

liquid bulk terminal in future phases. ADC has prepared a concept design Master Plan for the Anaklia Port as

per the guidelines of the IA, completed the project’s environmental assessment, undertaken a wide range of

feasibility, technical, and engineering studies, in addition to obtaining regulatory approvals and project

permitting for the facility development. Additional information on the Anaklia Port project can be found at

www.anakliadevelopment.com

The Master Plan for the Anaklia Port has been prepared by ADC and comprises the planned development of

Phases 1‐9. The site earmarked for port development is located near Anaklia, Georgia (42°23´ N, 41°43´ E).

Refer to Figure 1 for the on‐shore boundary of the proposed development. The marine part of the project

covers 225 ha.

Anaklia Special Economic Zone (SEZ) project was initiated in mid of 2017 year. JSC ”Anaklia City” was

established as separate legal entity to develop and manage the project implementation. Anaklia SEZ is

envisaged as first multi-functional special economic zone in Georgia with key advantage of location adjacent

to the first Deep Sea Port in Georgia. The project was supported by the Government of Georgia and special

legal and economic status of the territory was defined in the Constitution of Georgia.

Currently, the procured consortium of leading professional consulting companies BuroHappold Engineering

(UK) and Moffatt & Nichole (US) is working on the study to deliver the economic demand forecast, business

model and master plan for Anaklia SEZ project. According to ongoing study the zone will comprise of logistics,

light industrial and trading/wholesale clusters to capitalize on the proximity to the new maritime

infrastructure, access to the multimodal transportation links (road and railway) and advantages of Georgia’s

FTAs with the markets of over 2.3 billion population (EU, China, EFTA, CIS and Turkey). Based on the current

master plan the Phase 1 of the Anaklia SEZ (by 2027 year) will encompass development of up to 110 hectares

of territory, which will be dedicated for the logistics facilities, light industrial park, office spaces,

trading/wholesale facilities, auxiliary infrastructure and green/public spaces. The first phase of the project

will also have sub-phase by 2024 year, which will comprise of about 55 hectares mainly for logistics and light

industrial parks. In long-terms the project is envisaged to become a large-scale Special Economic Zone

consisting of different industrial, business service clusters and modern logistics platform for the region of

Caucasus and Central Asia.

In addition, in mid of 2018-year, JSC “Anaklia City” procured consortium of UK based Shearman & Sterling

and top tier Georgian law firms to develop the concept of legal framework for the SEZ to be translated into

Organic law of the zone. The incentives packages of the Anaklia SEZ will consist of fiscal reliefs, special

customs regimes, international regulations and dispute resolution solutions.

The Anaklia SEZ will be commenced simultaneously with the phase 1 of Anaklia Deep Sea port project by end

of 2020 year to complement and capitalize on the integration of the zone with new multimodal infrastructure

(maritime, road and railway).

3.2 Project scope

General dredging activities are the part of Phase 1 port development. During implementation of above

mentioned works, about 10M m3 marine sediments will be dredged from port Phase 1 area and

disposed/reclaimed on Anaklia SEZ Phase 1 (110ha) and further development Phases area (140ha). High of

reclamation area should not exceed 6.5m.

Performing of these activities requires SEZ site clearance and preparation for reclamation. Therefore,

Environmental and Social Impact assessment studies shall perform prior to activities start. Assessment of

marine part of the proposed project has been completed as part of Port Phase 1 EIA and ESIA and could be

used during preparation the Environmental and Social assessment documentations for SEZ
