What you should know about reported disclosure events:
1. All individuals registered to sell securities or provide investment advice are required to disclose customer complaints and arbitrations,regulatory actions, employment terminations, bankruptcy filings, and criminal or civil judicial proceedings.
2. Certain thresholds must be met before an event is reported to CRD, for example: o A law enforcement agency must file formal charges before a broker is required to disclose a particular criminal event. o A customer dispute must involve allegations that a broker engaged in activity that violates certain rules or conduct governing the
industry and that the activity resulted in damages of at least $5,000. o
3. Disclosure events in BrokerCheck reports come from different sources: o As mentioned at the beginning of this report, information contained in BrokerCheck comes from brokers, brokerage firms and

Allegations: Without admitting or denying the findings, Bashaw consented to the sanctions andto the entry of findings that he borrowed a total of approximately $200,000 from acustomer without seeking or obtaining prior approval of the loans from his memberfirm. The findings stated that Bashaw did not make repayment on the loans. Thefindings also stated that in annual compliance questionnaires, Bashaw falsely toldhis firm that he had not borrowed any money from another individual, which thequestionnaires identified as a prohibited activity.

Broker Statement The [CUSTOMER NAME] parties never complained, suggested, or accused FA ofunsuitable investments or private securitiestransactions until LPL Financial submitted and issued defamatory statements toFINRA and the media in September of2014. FA did not recommend any investment in Texas Air Shuttle and the multi-million-dollar sophisticated lenderinvested in FA's company (and several unrelated companies and enterprises) inthe regular course of its business inthe pursuit of above-market gains over a course of 15 years or more. FA repaidhundreds of thousands of dollars onthe notes between 2011 and his termination by LPL Financial. LPL Financialbelatedly used the [CUSTOMER NAME] business loan, that its President [THIRDPARTY NAME] approved and that FA disclosed to LPL Financial auditors yearsbefore his termination, in order to terminate him and seize his employees,representatives, and clients. In doing so, LPL Financial prevented FA from fullysatisfying his obligations to a highly sophisticated long-time friend and LPLFinancial client that LPL Financial itself injured with its strategic termination of FAwithout just cause or notice. FA's Company never denied its repayment obligationsand it made substantial ongoing payments until LPL Financial destroyed FA'sCompany.
