BSNL is pleased to invite EoI for “Managing BSNL Telephone
Exchanges/ Mobile Towers i.e. provisioning,
maintenance & development of Landline/Broad band services, very
high speed internet through FTTH (up to
100 Mbps)/Leased Lines etc., marketing of BSNL Products &
promotion of Mobile Services.
BSNL will provide available exchange setup viz. Telephone Exchange,
DSLAMs, Battery Power plant, last
mile copper network.
Unique opportunity to earn revenue by different services
provisioning in exchange areas;

Telecom Infrastructure Providers (TIPs)
Telecom Service Providers (TSPs)

Important Note: For 1 st SIX Month, 100% Revenue (FMC/ Rental

in this EOI documents
1.0 BSNL is providing unique opportunity through this Expression of
Interest (EOI) to Telecom
Infrastructure Providers, Franchisees, System Integrators, DIDs,
Franchisees of BSNL, any registered
company or society, Local Cable TV Operators, Telecom Service
Providers, Local Shop Owners, BSNL
Retailers, Direct Selling Agents, Unemployed Graduates, Local Youth
having matriculation/degree or ITI,
Start-ups or local entrepreneurs, Spouses and Wards of Retired
BSNL/DOT employees, Spouses and
Wards of serving BSNL/DOT employees etc. ( Herein after Referred to
as BSNL Exchange Operating
Partners or BEOPs in short) for providing BSNL Telecom Services in
the existing and upcoming
residential/commercial areas and all other parts of rural and urban
areas on revenue sharing basis.
The conditions are as follows:-
1.1 Agreement under above subject shall be applicable for all kinds
of Telecom Services (Fixed, Wireless,
Wi-Fi hotspots, Broadband, Broadband over Wi-Fi, CDN ( Content
Delivery Network) Services,
VPNoBB, Leased line, High Speed Internet i.e. FTTH (up to 100 Mbps
etc.)
1.2 Revenue sharing shall be from overall realized revenue (i.e.
including rental/FMC and usage,
excluding Taxes, license fee, Broadcaster Payment, rent rebate if
any etc.). The details of revenue
share model is given below
1.3 All commercial documents viz. CAF etc. shall be collected by
BEOP and forwarded to BSNL or
Customers may be on boarded directly through FMS portal by BEOPs.
All such customers shall be
BSNL customers.
1.4 Hand holding and Technical knowhow shall be provided by
BSNL.
2.0 BSNL Role and Responsibilities :
Build/extend and maintain OFC network/ alternate Media for Backhaul
up to the designated point/
Telephone Exchanges.
Resources likely to be provided by BSNL (ON AS IS WHERE BASIS
)
2.1 ANRAX (256 Line rural exchange), LM Racks of CDOT
exchanges
2.2 Battery Sets
2.3 Power Plant
2.5 MSEB Electricity connection with Meter
2.6 Copy of rent agreement with the Owner in case of Rented/Leased
premises
2.7 Transmission Equipments( STM/CPAN etc.)
2.8 Any additional facilities, if available, AC Units, Furniture,
cabin setup etc.
2.9 All above will remain property of BSNL

2.10 All last mile network viz. UG Copper Cable Network ,OFC/ILL,
Microwave Radio etc. in and
around the Exchange Area.
2.11 BSNL will identify for Card(s)/Part(s) repair of
Exchange/DSLAM/CPE/CPAN, and all
expenses for repair of these Cards/parts shall be borne by BSNL.
Standard list of AMC, OEM
vendors shall be shared to BEOP for further maintenance and follow
up activities with the
respective vendors.
2.12 BSNL representatives viz. GM, DGM, SDE, SDO in-charge, JTO,
Line Staffs etc. shall visit
the exchange premise regularly for coordination, technical support
,maintenance and launch of
new services etc. BEOP shall provide free access to such
representatives of BSNL.
Note: BEOP, if possible can refurbish Battery set/Power Plant etc.
as per requirement to extend its life
span and use after taking over.
BEOP shall be provided access to (Franchisee Management System) FMS
Portal
2.13 Username & password for FMS will be provided.
2.14 Through FMS, BEOP can book new connections through OCOC- One
call One Click option
and further do D-KYC (Digital –Know Your Customer) after collecting
CAF and related
documents. This generated lead will then be approved by SDO
in-charge or commercial
officer.
2.15 BEOP can print invoices of monthly Revenue share through FMS
and shall forward it over
mail id at
[email protected] for further processing and
payment.
2.16 BEOP can check details of working customers, can print
duplicate bills, see usage pattern of
Internet, payment details, outstanding etc. and collect Bills from
the customer through
CBP/FTTH wallet provided for the purpose.
2.17 No access to CDR/Clarity will be extended to BEOP.
3.0 BEOP Responsibilities
1.5 Managing, operating and maintaining one or more Telephone
exchanges in Maharashtra & Goa State
and providing Telecom Services on revenue sharing basis viz. Fixed
Landline Telephone connections
, Wireless, Wi-Fi hotspots, Broadband, Broadband over Wi-Fi using
Sector Antennae and required
Customer Premises Equipments, CDN ( Content Delivery Network)
Services, VPNoBB, Leased line,
High Speed Internet i.e. FTTH (up to 100 Mbps etc.)and Customer
Service facilities on revenue share
basis
To Bear all expenses to operating exchange viz.,
3.1 Maintenance of customers connections including last mile &
timely attending of faults in CPE
/ONT etc. installed at customer premises
3.2 Payment of Rent of premises (if Rented/Leased premises)
3.3 Regular Payment of Electricity bills and expenses for
refuelling of Diesel in DG Sets as per
requirement to provide uninterrupted services.
3.4 Housekeeping activities for exchange premises i.e. security
& cleaning etc.
3.5 To coordinate for providing/ withdrawal of add on and VAS
services for customer connections
(as per customers’ requests)
3.6 To print and distribute bills of wireline / wireless customers
for which billing address is
within designated exchange area. BEOP may devise any other suitable
digital means for
providing bills to the customer as per their request. Bills of
customer connection may be
viewed generated and printed through FMS portal.
3.7 Collections of these customers’ bills (through CBP/FTTH Wallet
etc.)
3.8 For provision of new connections, BEOP shall lay and maintain
last mile Copper (UG cable)/
optical Fibre Cables as per requirement.
3.9 If required and agreed BEOP can maintain the restore the
fault(s) of backhaul up to nearest
OCLAN/SDCA HQ, if not restored within 6 hours. Payments for such
cases will be done as per
prevailing rates (approx. Rs 3000/- per fault)
3.10 Faults booked on IVRS system of BSNL in CDR will be shared to
BEOP through SMS, E-Mail
or can be monitored through FMS (Franchisee Management Portal)
System.
3.11 Customers can also directly book the faults with BEOP for
which one dedicated mobile /
Landline/Email etc. may be shared with the customers.
3.12 BEOP shall have to attend and clear the booked faults/any
other faults promptly and any other
faults as required for smooth running of services.
TARGET Time to clear Faults & Penalty
3.13 BEOP, on its own set the target time to clear the faults and
maintain MTTR less than 8 hours.
Endeavour of BEOP shall be to provide best customer services in the
industry.
3.14 There will loss of revenue for delayed faults to BEOP.
Therefore it will be in BEOP interest
regularly attend faults in time and ensure customer satisfaction/
retention will be very good.
3.15 In case of prolonged duration of faults, if BSNL grants, any
rent rebate to customers, there will
be revenue loss to BEOP also.
Arrangements & establishments by BEOP
3.16 BEOP has to keep manpower required for upkeep of exchange,
equipments, external and
internal plants, last mile/lines
3.17 All expenses for this manpower/cables etc., if any shall be
borne by BEOP on its own and
BEOP will be the principal employer for this manpower. BEOP shall
be responsible for
compliance of all statutory provisions like labour laws, EPF, ESI
Acts etc. for these manpower
employed by him.
4.0 Benefits and Revenue shares for BEOP
4.1 BEOP shall have to QUOTE Revenue share for Landline/Broadband
Connections revenue.
4.2 For FTTH Connections provisioning Revenue share will be 50%
maximum.
4.3 For leased lines and value added service (VAS, which are being
offered by BSNL in partnership
with other VAS providers), BEOP shall get a revenue share of 8% for
maintenance of existing
leased line and for provisioning and maintenance of new leased
lines by BEOP after award of
work will be 10%.
4.4 10% The revenue share for VAS service shall be paid on the net
amount after deducting all
statutory taxes and levies like license fee, taxes, Rebate and Cost
paid to VAS providers etc. from
the amount billed for VAS service.
4.5 BEOP can install Cable TV Setup and provide Cable TV
Connections in exchange area.
4.6 Attractive incentives for new connections, New SIM Sale,
Recharge of mobile connections, or any
other incentive scheme.
4.7 Bill collection incentives for Bill collection through CBP
Wallet
4.8 Fixed onetime acquisition charges of Rs. 500/- shall be given
on per customer basis for the cases
where the FTTH customer is acquired by the BEOP. These acquisition
charges will be paid after
receipt of first bill from the customer.

5.0 Information to BEOP
5.1 List of exchanges to be outsourced under this model are
available with SSA Nodal officers.
5.2 List of customers working with details of address, plans, add
on services will be provided after the
award of work
5.3 Tentative monthly expenses for upkeep of exchange are available
with SSA Nodal officers.
5.4 BEOP can investigate and reduce/enhance these expenses, as per
requirements and market
conditions.
6.0 Request for proposal documents can be done with designated
officer(s) at below BSNL
offices.
6.1 The duly filled proposal documents along with necessary
enclosures shall be sent to address
mentioned above.
6.2 This EOI shall remain OPEN up to 13:00 Hrs. of 03/09/2019. Date
of opening of EOI is
03/09/2019 at 15:30 Hrs.
6.3 Minimum period of Contract: 1 year and will be extended up to 5
years.
6.4 For 1 st SIX Months, 100% Revenue consisting FMC (fixed Monthly
Charges) i.e. Rental and
usage, excluding Taxes, License Fee etc. for Landline/ Broadband
connections in allotted BSNL
exchange shall be given to BEOP and after Six Month, BEOP’s Revenue
share shall be in
accordance to the percentage of revenue share quoted by BEOP in
schedule A.

6.5 Security Deposit:

WHERE AS BSNL is in the business of providing Basic Telephone
Services (Landline), Cellular Mobile
Telephone Services (CMTS), Internet and high speed broadband

(NLDS) in its licensed areas of operation in the geographical
territory of India.
AND the BEOP, operating in the area ____________________________

telecom services to the people /
Residents/ occupants/ inhabitants in area
Whereas BSNL is pursuing this collaborative Model with BEOP to
provide Broadband and telecom services to
various customers.
Whereas BSNL GMTD has approached “M/s ………………………………….” Offering to
provide the BSNL
telecom services to the residents of areas of operation (herein
after referred to as “Projects in Annexure”) of
BEOP.
AND WHEREAS M/s ………………………………………. BEOP, in the intention that the
residents of the
area” shall utilize the offer of BSNL, has agreed to the proposal
of BSNL GMTD based on the terms and
conditions contained herein under.
NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:
(1) In consideration of the due observance and performance of all
the terms and conditions of this agreement,
the BSNL and BEOP agree to sign this agreement on nonexclusive and
revenue sharing basis to provide the
BSNL telecom services.
(2) BEOP agrees that the infrastructure provided by BSNL GMTD will
be utilized exclusively for BSNL
telecom services only.
(3) BEOP shall ensure the execution of services as per this
agreement and continuance of the same by himself
or through the future association with any other outside agency,
who may continue to maintain the telecom
and other services in the residential / commercial area (Projects
in Annexure) for the entire agreement period.
(4.1) BSNL Responsibilities:
1.0 BSNL Role and Responsibilities :
Build/extend and maintain OFC network/ alternate Media for Backhaul
upto the designated point/
Telephone Exchanges.
Resources likely to be provided by BSNL (ON AS IS WHERE BASIS

and around the Exchange Area.
1.11 BSNL will identify for Card(s)/Part(s) repair of
Exchange/DSLAM/CPE/CPAN, and all
expenses for repair of these Cards/parts shall be borne by BSNL.
Standard list of AMC,OEM
vendors shall be shared to BEOP for further maintenance and follow
up activities with the
respective vendors .
1.12 BSNL representatives viz. GM, DGM, SDE, SDO in-charge, JTO,
Line Staffs etc. shall visit
the exchange premise regularly for coordination, technical support
,maintenance and launch of
new services etc. BEOP shall provide free access to such
representatives of BSNL.
Note: BEOP, if possible can refurbish Battery set/Power Plant etc.
as per requirement to extend its life
span and use after taking over.
BEOP shall be provided access to (Franchisee Management System) FMS
Portal
1.13 Username & password for FMS will be provided.
1.14 Through FMS, BEOP can book new connections through OCOC- One
call One Click option
and further do D-KYC (Digital –Know Your Customer) after collecting
CAF and related
documents. This generated lead will then be approved by SDO
in-charge or commercial
officer.

1.15 BEOP can print invoices of monthly Revenue share through FMS
and shall forward it over
gmail at id
[email protected] for further processing and
payment.
1.16 BEOP can check details of working customers, can print
duplicate bills, see usage pattern of
Internet, payment details, outstanding etc. and collect Bills from
the customer through
CBP/FTTH wallet provided for the purpose.
1.17 No access to CDR/Clarity will be extended to BEOP.
2.0 BEOP Responsibilities
Managing, operating and maintaining one or more Telephone exchanges
in Maharashtra & Goa State
and providing Telecom Services, and Customer Service facilities on
revenue share basis
To bear all expenses to operating exchange viz.,
2.1 Maintenance of customers connections including last mile &
timely attending of faults in CPE
/ONT etc. installed at customer premises
2.2 Payment of Rent of premises (if Rented/Leased premises)
2.3 Regular Payment of Electricity bills and expenses for
refuelling of Diesel in DG Sets as per
requirement to provide uninterrupted services.
2.4 Housekeeping activities for exchange premises i.e. security
& cleaning etc.
2.5 To coordinate for providing/ withdrawal of add on and VAS
services for customer connections
(as per customers’ requests)
2.6 To print and distribute bills of wireline / wireless customers
for which billing address is within
designated exchange area. BEOP may devise any other suitable
digital means for providing bills
to the customer as per their request. Bills of customer connection
may be viewed generated and
printed through FMS portal.
2.7 Collections of these customers’ bills (through CBP/FTTH Wallet
etc.)
Responsibilities of BEOP for maintenance of Customers last
Mile
2.8 For provision of new connections, BEOP shall lay and maintain
last mile Copper (UG cable)/
optical Fibre Cables as per requirement.
2.9 If required and agreed BEOP can maintain the restore the
fault(s) of backhaul upto nearest
OCLAN/SDCA HQ, if not restored within 6 hours. Payments for such
cases will be done as per
prevailing rates (approx. Rs 3000/- per fault).
2.10 Faults booked on IVRS system of BSNL in CDR will be shared to
BEOP through SMS, E-
Mail or can be monitored through FMS (Franchisee Management Portal)
System.
2.11 Customers can also directly book the faults with BEOP for
which one dedicated mobile /
Landline/Email etc. may be shared with the customers.
2.12 BEOP shall have to attend and clear the booked faults promptly
and any other faults as required
for smooth running of services.
TARGET Time to clear Faults & Penalty
2.13 BEOP, on its set the target time to clear the faults and
maintain MTTR less than 4 hours.
Endeavour of BEOP shall be to provide best customer services in the
industry.
2.14 There will loss of revenue for delayed faults to BEOP.
Therefore it will be in BEOP interest
regularly attend faults in time and ensure customer satisfaction/
retention will be very good.
2.15 In case of prolonged duration of faults, if BSNL grants, any
rent rebate to customers, there will
be revenue loss to BEOP also.
Arrangements & establishments by BEOP
2.16 BEOP has to keep manpower required for upkeep of exchange,
equipments, external and
internal plants, last mile/lines cables etc.
2.17 All Expenses for this manpower shall be borne by BEOP on its
own and BEOP will be the
principal employer for this manpower. BEOP shall be responsible for
compliance of all
statutory provisions like labour laws, EPF, ESI Acts etc. for these
manpower employed by him.
3.0 Benefits and Revenue shares for BEOP
3.1 BEOP shall have to QUOTE Revenue share for Landline/Broadband
Connections Revenue.
3.2 For 1 st SIX Months, 100% Revenue consisting FMC (fixed Monthly
Charges) i.e. Rental
and usage, excluding Taxes, License Fee etc. for Landline/
Broadband connections in
allotted BSNL exchange shall be given to BEOP and after Six Month,
BEOP’s Revenue
share shall be in accordance to the percentage of revenue share
quoted by BEOP in
schedule A. 3.3 For FTTH Connections provisioning Revenue share
will be 50% maximum.
3.4 For leased lines and value added service (VAS, which are being
offered by BSNL in partnership
with other VAS providers), BEOP shall get a revenue share of 8% for
maintenance of existing
leased line and for provisioning and maintenance of new leased
lines by BEOP after award of
work will be 10%.
3.5 10%. The revenue share for VAS service shall be paid on the net
amount after deducting all
statutory taxes and levies like license fee, taxes, Rebate and Cost
paid to VAS providers etc. from
the amount billed for VAS service.
3.6 BEOP can install Cable TV Setup and provide Cable TV
Connections in exchange area.
3.7 Attractive incentives for new connections, New SIM Sale,
Recharge of mobile connections, or any
other incentive scheme.
3.8 Bill collection incentives for Bill collection through CBP
Wallet.
3.9 Fixed onetime acquisition charges of Rs. 500/- shall be given
on per customer basis for the cases
where the FTTH customer is acquired by the BEOP. These acquisition
charges will be paid after
receipt of first bill from the customer.
3.10 If required and agreed BEOP can maintain the restore the
fault(s) of backhaul upto nearest
OCLAN/SDCA HQ, if not restored within 6 hours. Payments for such
cases will be done as per
prevailing rates (approx. Rs 3000/- per fault)
(4) BEOP shall not charge any money from the customers. No
additional services other than those contained
within the scope of this agreement shall be provided to any person
or the customers of BSNL either free or
for a cost through the BSNL network laid for the above purpose
without the written approval of BSNL.Also,
the complete exchange premises and the equipments shall not be used
for any other purpose, other than that
provided in this agreement.
(4.1) BEOP shall not create any secondary tenancy or do any
addition alteration or construction activities
without written permission of CGM, MH circle, BSNL.
(5) All deposits, levies, including security deposit, installation
charges and rentals of CPE /STB /ONT
registration amounts as decided by BSNL, shall be billed and
collected by BSNL and no revenue share shall
be payable to BEOP from such receipts
(6) Terms and conditions of payments by customers shall be governed
by BSNL’s rules from time to time.
The disconnection and resolution practice from payment defaulters
shall be enforced.

(7) Revenue share payment process:
(7.1) Revenue sharing will be on overall realized revenue
consisting of Fixed Monthly charges i.e. rental and
usage charges but excluding taxes, license fee and rebate if any
granted to customer (i.e. including Fixed
Monthly Charges rental (FMC rental) and Usage).
(7.2) All the customers falling under the purview of this agreement
shall be identified separately and the
revenue share may be paid to the BEOP as per the terms &
conditions of this agreement for such customers.
(7.3) The payment of revenue share to the BEOP will be made by BSNL
by 28th of the following month in
which the revenue is actually realized.
(7.4) The payment of revenue share shall be made to the BEOP after
the deduction of applicable statutory
levies which includes license fees payable by BSNL and/ or taxes
applicable from time to time and necessary
rebate granted to customer for faulty service from the revenues
realized on account of provision of telecom
services under the agreement. All such taxes / levies and
deductions shall be a pass-through item and shall be
billed to and collected from the customers and paid to the
respective statutory bodies by BSNL, except such
cases where liabilities arise on account of claims raised by
concerned authorities in a post-facto manner,
wherein such liability shall be shared in the same ratio as the
revenue share for the respective services.
(7.5) Any discrepancy found would be mutually discussed and
resolved. Balance of payments arising due to
any reason shall be adjusted in future payments by BSNL.
(8) Tariff: Tariff for various BSNL services to be offered through
BSNL network to the customers shall
be decided by BSNL
(9) Revenue sharing will be on overall realized revenue ie
including Fixed Monthly Charges rental (FMC
rental) and Usage excluding taxes, license fee and necessary rebate
for faulty service. The details of revenue
share under various cases is as follows:-
(10) For leased lines and value added service (VAS, which are being
offered by BSNL in partnership with
other VAS providers), BEOP shall get a revenue share equal to 10%
of revenue.
a) There shall be no payment other than the revenue share to be
paid to the BEOP. All cost incurred on
account of above is part of revenue share and shall not be charged
extra from BSNL by BEOP.
(11) Fixed onetime acquisition charges of Rs. 500/- shall be given
on per customer basis for FTTH
connections in the cases where the customer is acquired by the
BEOP. These acquisition charges will be paid
after receipt of first bill from the customer.
a) BEOP shall follow all the guidelines/rules/regulations of Govt.
Of India/ DOT, ensure compliance of
TRAI parameters which include provision of service connections,
restoration of faults etc.
b) Customer Acquisition, marketing of BSNL services, identification
and enrolment of prospective
BSNL customers shall be done by BEOP. BEOP shall obtain
authorization and No Objection
Certificate (NOC) from the customer premises for installing and
operating BSNL services as per
Appendix-II and shall also submit the details of location/ premises
within area of operation along with
application as per Appendix-I.
c) BEOP shall maintain the packages and Tariff Plans of BSNL as it
is, while serving BSNL customers.
d) All commercial documents viz. Customer Application Form (CAF)
etc. shall be collected by BEOP
and filled in CAF to be forwarded to BSNL. BEOP shall ensure
collection of Know Your Customer
(KYC) documents as per DOT guidelines, along with signed Customer
Application Form (CAF) by
each of BSNL customers. BEOP shall verify the copies of document
collected from the customer
against the originals, attest the CAF related documents and affix
the seal of BEOP with date and name
of signatory. All customers shall be BSNL customers.

e) BEOP shall ensure that all new connections are provided within
24 hours of the issue of advice note
by BSNL.
(12) The MTTR shall generally be maintained below 4 hours.
(13) General Conditions:
(13.1) This agreement is applicable for all kinds of telecom
services (fixed, wireless, WiFi, VPN, Leased
Lines, Broadband, FTTH,CDN etc.) being offered presently and in
future also.
(13.2) This agreement is a confidential document. The BEOP shall
not divulge any part of the agreement,
customer details either through oral or written communication or
through any other mode to any third party.
(13.3) This agreement shall not be amended or modified or altered
or changed in any way except in writing
and duly executed by the authorized representatives of each
party.
(13.4) Period of agreement: This agreement shall be valid initially
for a period of One year from the date of
signing and is renewable thereafter on similar/ mutually agreed
terms and conditions for a further period of 5
years.
(13.5) Termination of the agreement: This agreement may be
terminated by BSNL after, serving 30 days’
notice on account of unsatisfactory service ,failure to meet
TRAI/DOT guidelines , repeated failure to provide
new connections within 24 hours of issue of Advice Note, Repeated
failure to maintain desired MTTR as per
clause 12 and non-compliance of other agreement conditions etc.
Notwithstanding any terms and conditions
herein, this agreement may also be terminated by the mutually
written consent of the parties giving one month
notice. Termination of the agreement shall be without prejudice to
the accrued rights and liabilities of the
parties at the date of termination. On termination of this
agreement the telecom services may continue to be
used by the BSNL customers as per applicable terms and
conditions.
(13.6) Severability: Should TRAI / DoT declare any part of this
agreement unenforceable through direction /
order / regulation or if terms of license of BSNL are changed
through any amendment or order of the
Government, the parties will cooperate and take all appropriate
steps to amend, modify or alter this agreement.
(13.7) This agreement shall be binding upon all respective
successors of the parties.
(14) Compliance of laws: BSNL and BEOP shall perform their duties
in strict compliance with all applicable
laws in India along with rules and regulations of the duty
constituted Govt. authorities in India and shall obtain
all licenses, restrictions or other approval, if any, required by
laws in India in connection with the services to
be rendered hereunder. Further, service provided to the customers
shall be subject to Indian Telegraph Act
1885, TRAI directions and tariff circulars issued by BSNL Corporate
Office.
(15) Indemnification: BEOP agrees to protect, defend, indemnify and
hold harmless BSNL and its
employees, officers, directors, agents or representatives room and
against any and all liabilities, damages,
fines, penalties and costs (including legal costs and
disbursements) arising from or relating to:
(a) Any breach of any statue, regulation, direction, orders or
standards from any governmental body, agency,
telecommunications operator or regulator applicable to such party;
“or”
(b) Any breach of the terms and conditions in this agreement by the
BEOP.
(16) Relationship: Each party understands that it is an
independently owned business entity and this
agreement does not make it, its employees, associates or agents as
employees, agents or legal representatives
of the other party for any purpose whatsoever. Neither party has
express or implied right or authority to
assume or to undertake any obligation in respect of or on behalf of
or in the name of the other party or to bind
the other party in any manner. In case, any party, its employees,
associates or agents hold out as employees,
agents, or legal representatives of the other party, the former
party shall forthwith upon demand make good
any / all loss, cost, damage including consequential loss, suffered
by the other party on this account.

(17) ARBITRATION
(17.1) In the event of any question, dispute or difference arising
under this agreement or in connection there-
with (except as to the matters, the decision to which is
specifically provided under this agreement), the same
shall be referred to the sole arbitration of the CGM, BSNL or in
case his designation is changed or his office is
abolished, then in such cases to the sole arbitration of the
officer for the time being entrusted (whether in
addition to his own duties or otherwise) with the functions of the
CGM, BSNL or by whatever designation
such an officer may be called (hereinafter referred to as the said
officer), and if the CGM or the said officer is
unable or unwilling to act as such, then to the sole arbitration of
some other person appointed by the CGM or
the said officer. The agreement to appoint an arbitrator will be in
accordance with the Arbitration and
Conciliation Act 1996 and amendment thereof. There will be no
objection to any such appointment on the
ground that the arbitrator is a Government Servant or that he has
to deal with the matter to which the
agreement relates or that in the course of his duties as a
Government Servant he has expressed his views on all
or any of the matters in dispute. The award of the arbitrator shall
be final and binding on both the parties to the
agreement. In the event of such an arbitrator to whom the matter is
originally referred, being transferred or
vacating his office or being unable to act for any reason
whatsoever, the CGM, BSNL or the said officer shall
appoint another person to act as an arbitrator in accordance with
terms of the agreement and the person so
appointed shall be entitled to proceed from the stage at which it
was left out by his predecessors.
(17.2) The venue of the arbitration proceeding shall be the office
of the CGM BSNL, Maharashtra or such
other places as the arbitrator may decide.
18. Continuing Obligation
Any rights and obligations under this AGREEMENT that by their
nature extend beyond the terms of this
AGREEMENT shall survive any expiration or termination of the
AGREEMENT and shall remain in effect
until complete performance thereof has occurred.
19. Successors
The AGREEMENT shall be binding upon and insure to the benefit of
Parties and their respective heirs,
successors, permits assigns and representatives.
20. Waiver
No waiver, delay, indulgence or failure to act by either party
regarding any particular default of omission by
the other shall affect or impair any rights or remedies that or any
subsequent default or omission that are
expressly waived in writing.
20. Force Majeure
Both parties should be excused and not be held responsible for
performance of its obligations under this
agreement in the event of force majeure circumstance like civil
commotion, fire, tempest, earth quake, terrorist
action, war, floods, any action or order by government, delay in
grant of permission by any authority and/ or
any act of God or other event of like nature either party on
becoming aware of such event shall inform the
other party in writing of such force majeure event within three
days from the date of occurring such force
majeure event. If the force majeure event continues for more than
fifteen days, an emergency meeting shall be
called between BSNL and BEOP to take not of the situation and to
take further necessary action.
