    TERMS AND CONDITIONS

    SECTION I - GENERAL

    DEFINITION OF A "CUSTOMER":

    A "customer", as used in this tariff schedule is defined as one individual,partnership, association, firm, public or private corporation, or governmental agency at asingle location receiving one class of service.

    The three principal classes of customers are described as follows:

    a. Residential Customer - One whose service is furnished for domesticpurposes.

    b. Commercial Customer - One whose principal operation is providing ordistributing a service or product at wholesale or retail. Examples of thisclass include stores, supermarkets, shops, shopping centers, offices,office buildings, restaurants, hotels, motels, clubs, theaters, hospitals,research laboratories, recognized rooming and boarding houses, one-meter apartment houses (but not individual tenants therein), servicestations, garages, warehouses, churches, and schools.

    c. Industrial Customer - One whose principal operation is manufacturing orprocessing and consists of creating or changing raw or unfinishedmaterials into another form or product. Examples of this class includefactories, machine shops, mines, mills, quarries, oil wells, refineries,foundries, pumping plants, creameries, hatcheries, canning and packingplants, and others engaged in extractive, fabricating, or processingactivities. Incidental retail sales do not affect the customer's industrialstatus.

    APPLICATION OF RATES:

    The Company's published schedule of rates states the conditions under which each rateis available for electric service. The Company, at any time upon request, will determine for the

    customer the rate best adapted to existing or anticipated service requirements.However, the responsibility for the choice between two or more applicable rates willalways rest with the customer.

    Rates are normally established on the basis of twelve months' application andthe customer, having selected a rate adapted to the customer's requirements, may notchange to another rate within a twelve-month period unless there is a substantial andreasonably permanent change in the character or conditions of the customer'srequirements, or unless a substantial change affecting the customer's service is made

    in the Company's rate schedules.

    FIRE OR OTHER CASUALTY -- CUSTOMER'S BUSINESS PREMISES:

    In case a fire or other casualty shall occur on the premises, rendering them unfitfor the purposes of the customer's business, the customer's contract, having a definiteterm under the applicable rate, shall thereupon be suspended until such time as thepremises shall have been reconstructed and reoccupied by the customer for thepurposes of his business.

    RULES AND REGULATIONS:

    Conditions of electric service are also subject to the Rules and Regulations ofthe Company as filed with the Illinois Commerce Commission.

    CHANGES AND MODIFICATIONS:

    The Company, notwithstanding any other provision of this Electric TariffSchedule, shall have the right to make and file changes or modifications in theprovisions of the Rates, Terms and Conditions, Riders, or the Company's Rules andRegulations, at any time by a subsequent filing with the Illinois Commerce Commission,made pursuant to the provisions of Ill. Rev. Stat., Ch. 111-2/3, an Act concerning publicutilities, as amended, and the rules and regulations of the Commission.

    COMPLAINTS:

    Complaints concerning charges, practices, facilities or services provided by theCompany shall be investigated promptly and thoroughly. All written complaints will beacknowledged in writing or verbally. The Company shall keep such records ofcomplaints as required by 83 Ill. Admin. Code Part 410.

    If the complaint cannot be resolved at the initial inquiry point, the informationshall be promptly referred to the employee or department who has authority to takeappropriate action to resolve the complaint. Any complaint, if unresolved by the prioraction, shall be referred to the appropriate management employee for action.

    The final step for any unresolved informal complaint shall be a filing with theConsumer Affairs Division of the Commission, by either the complainant or theCompany, for a resolution of the issue.

    SECTION II

    CONDITIONS OF SERVICE

    APPLICATION FOR SERVICE:

    Applicants for residential service may be required to apply for service in personat any of the Company's local commercial offices. If Company records indicate theapplicant has a prior unpaid balance for the same class of utility service, the applicant

    shall be required to pay a security deposit unless the applicant pays past due balanceor at the Company's option enters into a Deferred Payment Agreement for the unpaidpast due bill. Proof of identity may be required from any applicant.

    All potential commercial or industrial customers shall be required to complete anapplication for service. A deposit shall be required from a commercial applicant whoowes for past due utility service for the same class at the same or another address.Payment in full of any past due service bill shall also be required as a condition ofservice. A deposit may also be required from commercial applicants who are unable toestablish satisfactory credit references.

    EQUIPMENT FURNISHED AND MAINTAINED BY CUSTOMER:

    All wiring and other electrical equipment on the premises, or connecting thepremises with the Company service, furnished by the customer shall be suitable for thepurposes hereof and shall be installed and maintained by the customer at all times inconformity with the requirements of the National Board of Fire Underwriters, theproperly constituted local authorities and such reasonable rules and regulations asmay be from time to time promulgated by the Company.

    MUNICIPAL PERMITS AND INSPECTION FEES:

    The customer agrees to secure, without cost to the Company, all necessarymunicipal permits for the installation and operation of the electrical wiring andequipment on the premises.

    LANDLORD'S CONSENT:

    In case the applicant is not the owner of the premises or of intervening property betweenthe premises and the Company's lines, the applicant agrees to obtain from the proper owner, orowners, the necessary consent to the installation and maintenance on said premises and onsuch intervening property of all wiring and other electrical equipment required for supplyingelectricity to the applicant.

    CONTINUOUS SERVICE:

    The Company shall not be responsible in damages for any failure to supply electricity orfor interruption or reversal of supply if such failure, interruption, or reversal is without grossnegligence on its part. In the event damages are payable, such damages shall be limited to anyresultant property damage and personal injury.

    ACCESS TO PREMISES:

    The properly authorized agents of the Company shall at all reasonable hours have freeaccess to the premises for the purpose of reading, examining, repairing, or removing theCompany's meters or other property.

    EXCLUSIVE ELECTRIC SERVICE:

    Except in cases where the customer has written authorization from the Company or acontract with the Company for either Auxiliary and Standby Service or Cogeneration and SmallPower Production Facilities, the Company's standard electric rate schedules are based onexclusive use of electric service. No other electric service shall be used by the customer inconjunction with the Company's service either by means of a "throw-over" switch or any otherconnection. Parallel connection and/or operation of a customer's installation shall be permittedonly when specifically provided for in written authorizations and/or contracts.

    RESALE:

    The Company will not furnish electricity for resale except as an undefined part of a fixed

    rental or except at those premises at which submetering or resale of service was permitted priorto March 21, 1966.

    SECTION III

    BILLING AND PAYING FOR SERVICE

    BILLING:

    Bills shall be rendered monthly for service hereunder unless otherwisespecified. The term "month" for billing purposes shall mean the period between anytwo consecutive regular readings by the Company of the meters at the premises.

    Electric meters are read as nearly as practicable every thirty days and chargesfor electric service will be computed and billed at monthly intervals. When the numberof billing days varies from less than twenty-eight days or greater than thirty-three daysand the meter read dates for the electric meter differ from the monthly cycle billingmeter read dates, charges for electric service will be prorated. When the Company isunable to read the meter after reasonable effort, the customer will be billed for anestimated consumption based on the customer's previous usage after weathernormalization, when applicable. Billing will be automatically adjusted at the time of thenext regular meter reading.

    The customer may not terminate service for one or more months in a year toavoid payment of a minimum bill at the same location.

    If the Company is called upon for the convenience of the customer to furnishtwo or more metering installations per customer, each such installation will beconsidered a separate point of delivery and charges will be calculated separatelytherefore.

    If a meter fails to register correctly, billings shall be adjusted in accordance withapplicable 83 Ill. Admin. Code Part 410.

    Where service is supplied for a load having a known wattage and operated on afixed schedule, the Company may provide unmetered service and calculate thequantity to be charged for under the applicable rate.

    All bills for electric service are due and payable within twenty-one days or inaccordance with provisions of 83 Ill. Admin. Code 280.90 regarding preferred paymentdates for residential customers and fifteen days for non-residential customers from thepostmark of the bill, if mailed, or date of delivery, if delivered by other means. Failure toreceive a bill does not exempt the customer from payment for service.

    Bills may be paid at any office of the Company, at any authorized paystation, orby mail.

    CHARGE FOR RETURNED CHECKS:

    When the customer pays by a check which is not honored by the customer'sbank and is returned to the Company, the customer will be assessed a charge of $5.00.

    DELINQUENT BILLS:

    All bills presented for payment become delinquent after twenty-one days or inaccordance with provisions of 83 Ill. Admin. Code 280.90 regarding preferred paymentdates for residential customers and after fifteen days for non-residential customers fromthe postmark of the bill, if mailed, or date of delivery, if delivered by other means. TheCompany may discontinue service and remove the meter for such delinquency aftereight days' written notice to the customer and compliance with rules established by theIllinois Commerce Commission.

    ALLOWANCE FOR LATE NET PAYMENT:

    On one monthly bill in each calendar year, but not more often, the Company willaccept the net amount of such bill as full payment for such month after expiration of thenet payment period. The customer shall be notified of the month that allowance wasgranted by a monthly period designation printed on all subsequent regular monthly billsrendered during the applicable calendar year.

    PAYMENT BY MAIL:

    When net payments are remitted by mail after the net payment period has expired, asdetermined from the date of the postmark, the payment will be credited to the customer'saccount, then, except as provided under ALLOWANCE FOR LATE NET PAYMENT, above,the amount omitted from the gross payment due will be added to the customer's next bill.

    OBJECTION TO BILL FILED WITHIN NET PAYMENT PERIOD:

    Where written objection to any bill is filed by the customer within the net payment

    period and the time required for investigation of such objection extends beyond the netpayment period, the Company will accept net payment in full of such bill if payment is madewithin fourteen days after the customer has been notified of the results of such investigation.

    RECONNECTION CHARGES:

    If service has been discontinued at the meter because of non-payment of the bill or fora violation of Company rules, the customer shall pay all delinquent bills plus a $25.00 charge,plus applicable tax, for reconnection at the meter before service will be reestablished. Thereshall be one reconnection charge waived each calendar year. Customers may be liable for theadditional costs incurred in disconnecting and reconnecting service other than at the meter. Adeposit may be required before reconnection.

    DEFERRED PAYMENT AGREEMENT:

    Any residential customer disconnected or about to be disconnected who is unable topay in full a delinquent bill may be granted an opportunity to enter into a reasonable paymentagreement in order to bring the account to a current status in accordance with 83 Ill. Admin.Code 280.110.

    Pursuant to the Illinois Patriot Act (220 ILCS 5/8-201.5), military service membersreturning from active duty are eligible for an original payment agreement at least equal to thenumber of months they were deployed.

    PREFERRED DUE DATE:

    A residential customer may have the monthly due date extended in accordance with 83Ill. Admin. Code 280.90.

    by the customer will be metered separately and billed as a separate account unless otherwiseprovided in the rate or where determined by the Company that load size and engineeringrequirements make multiple service necessary.

    COMPANY'S PROPERTY AND PROTECTION THEREOF:|

    All meters, transformers, poles, structures, underground facilities, and other equipmentplaced on the customer's premises by the Company for the purpose of rendering electricservice to said premises, unless otherwise expressly provided, shall be and remain theproperty of the Company and the customer shall exercise reasonable care to protect such

    property from loss or damage. The customer shall not authorize anyone who is not anemployee of the Company to remove or tamper with Company property. If requested, for theconvenience of the customer, the Company will move any such facilities to another acceptablelocation on the premises, at the customer's expense.

    NET MONTHLY RATE PER METER:

    Subject to fuel adjustment clause,nuclear decommissioning factor, energy efficiency costrecovery adjustment, energy assistance charge, and renewable energy resources and coal technologydevelopment assistance charge.

    Basic Service:

    $5.12 per month

    Energy Charge:

    Summer Winter xFor all kWh 8.84 per kWh For the first 800 kWh 7.02 per kWh

    For all over 800 kWh 3.58 per kWh

    Summer - Applicable during the four monthly billing periods of June through September.Winter - Applicable during the eight monthly billing periods of October through May.

    Minimum Charge:

    RIDER FAC ELECTRIC FUEL ADJUSTMENT CLAUSE

    This rider is applicable to all kilowatthours (kWhs) of energy supplied tocustomers served by the Company under all rates, riders, and individual contracts onfile with the Illinois Commerce Commission (Commission) where the charge for suchenergy is subject to adjustment for increases and decreases in the cost of fuel.

    Costs passed through the Fuel Adjustment Clause represent estimates of actualcosts to be incurred, with adjustment to actual costs as they become available. The fuelcosts used in calculating the fuel adjustment charge are the total of allowable fuel andfuel-related costs as identified herein.

    The charges for all kWhs of energy supplied to designated customers shall beincreased or decreased by a fuel adjustment charge or credit determined as follows:

    FAC = (CF + CPP - CNS) x 100 - BFC + Ra + Ro + DS

    where:

    FAC = Fuel adjustment charge or credit per kWh. The amount in cents perkWh, rounded to the nearest .001, to be charged for each kWh billedduring any monthly billing period.

    The FAC is subject to adjustment to minimize accumulatedover/under recoveries of fuel costs by application of the automaticreconciliation factor (Ra) and the ordered reconciliation factor (Ro) asdefined herein.

    CF = Allowable cost of fuel associated with Company-owned generatingplants. Fuel cost includes the cost of all fossil and nuclear fuel to beconsumed in the Companys own plants, in plants owned by wholly-owned subsidiaries of the Company, and/or the Companys share offossil and nuclear fuel to be consumed in jointly-owned or leasedplants during the period for which the FAC is being determined.

    Ro = Ordered reconciliation factor in cents per kWh. The FAC is subject toan ordered reconciliation factor as may be required by theCommission.

    D = Desulfurization fee in cents per kWh. Payment for professionalservices, licenses, etc. for the implementation and operation of aprocess for the desulfurization of the flue gas when burning highsulfur coal within the State of Illinois, irrespective of the attainmentstatus designation of such location, except for any fees or costs

    related to a service contract to the extent that recovery of comparablecosts would not be permitted through the FAC if incurred directly by autility owning and operating such a facility (Section 9-220 of the Act).The desulfurization fee may not exceed 10% of the estimated fuelcost for the month (CF + CPP - CNS) excluding the desulfurizationfee. Excess desulfurization fee amounts shall be deferred. Deferredamounts will be amortized in current calculations at a rate permittingthe charge off of deferred amounts in the shortest time frame, whileconforming to the 10% restraint.

    The billing period is the period beginning with the first billing cycle of the monthfor which the FAC is being determined and ending with the last billing cycle thereof.

    The allowable fuel and fuel-related costs (CF) will include the direct cost of fueldelivered at the Companys generating plants. The direct fossil fuel costs are limited tocosts entered into fuel expense Accounts #501 and #547 which have been clearedupon consumption from Fuel Stock Account #151, or in the case of gas fuel the amountwhich is charged directly to Accounts #501 and #547. Costs cleared from Fuel Stock

    Accounts #152 and #153 are specifically excluded. The cost of fuel used in thegeneration or production of electric power shall include the cost of coal transportation.

Such Annual Reconciliation Report shall also include a verifiedstatement from a Company representative regarding the reasonableness and prudenceof the Companys Incremental Costs included in the reconciliation and set forth therevenue collected under the EECR rider and the Companys EE Programs costs for theProgram Year compared to Commission approved budgets.

    The first such Annual Reconciliation Report is for the period beginning with theJune 2008 monthly billing period, and extending through the December 2008 monthlybilling period.

    An Annual Internal Audit Report shall be provided to the Manager of Accountingof the Commission by March 20thof each year beginning in 2009.

    The Annual Internal Audit report will include the results of an internal audit thatincludes, but is not limited to:

    1. A test that costs recovered through EECR rates are associated with theCommission approved programs and not recovered through other approvedtariffs.

    2. A test of customer bills that EECR rates are being properly billed tocustomers.

    3. A test that EECR rates revenues are properly stated.

    4. A test that any reimbursements of costs are being identified and recordedproperly to be reflected in the calculations of the rates and reconciliations.

    Upon the Company filing the Annual Reconciliation Report, the Commission shallinitiate a proceeding to review the reconciliation of any amounts collected under theEECR rider with the actual EE Programs costs and to determine any resultingadjustment to the annual tariff rate. The Commission shall make a determination within90 days after the date the proceeding is initiated.

    3. The customer shall have made application to the Company for servicehereunder and shall have furnished information relative to the estimatedkilowatt capacity of the space heating facilities to be used and the designconditions upon which such kilowatt capacity was determined.

    CHARGES:

    The net charge for electricity used exclusively for space heating hereunder shallbe 3.64 cents per kilowatthour, subject to fuel adjustment clause, nucleardecommissioning factor and energy efficiency cost recovery adjustment.

    There is no minimum charge associated with this rider.

    A late payment charge of 1% per month of the utility service past due amountwill be added to the amount of the bill where payment is not made within fifteen daysfrom the date of the bill.

If acustomer's failure to interrupt its contract Interruptible Load when requested results ina Company purchase of replacement energy or results in other charges levied by theMidwest Independent Transmission System Operator, herein referred to as MidwestISO, or any other entity with jurisdiction to levy fines or penalties relating to load andcapability compliance, the customer shall reimburse the Company for a proportionateshare of resulting charges. These charges will not exceed the customer's total annualcredit for contract Interruptible Load and any such charges, fines, or penalties inexcess of the customers total annual credit for contract Interruptible Load shall beborne by the Company.

    * In the event of a failure of the customer's standby generating equipment, orother unanticipated non-recurring condition (excluding the customer's failure to reduceproduction levels), the Company, at its sole discretion, may waive the customer'sproportionate share of replacement energy or other charges levied by Midwest ISO, orany other entity with jurisdiction to levy fines or penalties related to compliance withload capability requirements. The customer shall notify the Company immediately bytelephone, e-mail or facsimile after obtaining knowledge of a condition contemplatedby this paragraph.

    * Any payment made to the Company for a customer's proportionate share of

    replacement energy or other charges levied by Midwest ISO, or any other entity withjurisdiction to levy fines or penalties related to compliance with load and capabilityrequirements, shall not be construed as giving the customer the right to interrupt lessthan its contract Interruptible Load during any subsequent interruptible periods.

    * Any requests to cancel participation in this Rider No. 4 Interruptible Servicemust be received by the Company in writing no less than sixty (60) days before thefirst of the month in which the cancellation is to be effective. Customer may forfeit part or all of its interruptible credit ifit fails to reduce demand as agreed during interruptible period(s).

    The Expected Demand may be adjusted by the Company no less than sixty(60) days before the first month in which the adjustment is to be effective. The FirmPower Level may be adjusted by mutual agreement of the Company and thecustomer no less than sixty (60) days before the first month in which the adjustment isto be effective. These adjustments may result in a revised contract Interruptible Loadto be provided by the customer during any subsequent curtailment periods.

    Minimum Charge:

    The minimum charge is as specified by the applicable price schedule, less theinterruptible credit.

    STANDBY GENERATOR PROVISION:

    Customers who have standby generation may operate that generation duringthe specified interruptible periods as a means of attaining the customer's specifiedcontract Interruptible Load. Customers standby generation shall be tested annuallyand customer shall submit generation test data as required for accreditation byMidwest ISO.INTERRUPTIBLE PERIODS:

    * This Rider is designed to serve reliability and energy efficiency purposes.Below are five criteria that the Company will use when deciding whether to call an

    RIDER NO. 5 LIMITED TERM CONTRACT SERVICE

    PURPOSE:

    The purpose of this rider is to retain, attract, and expand electricity sales in a mannerwhich allows economic operation by the customer and provides a contribution to theCompanys fixed costs.

    AVAILABILITY:

    This rider is available to any non-residential customer having, in the judgment of theCompany, economically feasible and practical competitive alternatives to the Companyselectric service. This rider is also available to any non-residential customer for the purpose ofload retention or economic development.

    CONTRACT TERMS:

    The customer shall enter into a written contract with the Company specifying the natureof the service to be supplied, the prices to be paid, and such other terms and conditions ofservice as are mutually agreeable. The term of the contract shall not exceed 5 years exceptwhere service to the customer requires the Company to expend more than $1 million intransmission or distribution facilities. If such facilities are required, the term of the contract shallnot exceed 7 years.

    All contracts for service under this rider shall terminate no later than May 15 of the yearin which the Company must commit to construct intermediate or base load capacity to serveultimate consumers and full requirements wholesale service. Not more than 3 contracts shallbe in effect under this rider at any one time.

    Prior to signing the contract, the customer shall be informed of the possibility that retailwheeling may be authorized during the term of the contract. The contract shall containlanguage addressing the intent of the parties if retail wheeling should become available duringthe term of the contract.

    The contract shall contain language addressing the intent of the parties relative to newriders or clauses that may be instituted during the term of the contract.

    The contract shall become effective upon submission to the Commission unlessotherwise specified in the contract.

    PRICE:

    The customer shall receive and pay for electric service as provided in the contract. TheCompany shall supply all electric service required by the customer to the premises specified inthe contract. Prices for the duration of the contract must be greater than the summation ofincremental customer costs, incremental transmission and distribution

The customershall provide reasonable assistance in obtaining regulatory approval of the contract asrequested by the Company.

    LIMITATIONS:

    The prices negotiated hereunder are specifically limited to the service provided to thespecific premises identified and particular configuration utilized in the contract and are notavailable for any of the customers other premises or other configurations.

    SUBMISSION TO ILLINOIS COMMERCE COMMISSION:

    All contracts under this rider shall be submitted to the Illinois Commerce Commissionfor informational purposes. Not less than ten days before submitting such contract to theCommission, the Company shall submit the contract to the Commission Staff for review, alongwith the following documentation:

    1. The prices in the proposed contract.2. A description of the incremental costs of serving the customer.3. Calculations of the amount by which anticipated contract revenues exceed the

    Unless otherwise agreed upon between the customer and the Company, the terms andconditions of service provided under this rider shall be considered as confidential information,as governed by Section 9-102.1 of the Public Utilities Act, and will not be disclosed to any thirdparty.

    GENERAL:

    All confidential information applicable to the rider and information and documents

    obtained by the Company from the customer shall not be disclosed to any non-regulatedaffiliated interest of the Company, as defined in Section 7-101 of the Public Utilities Act, andno representative of any such affiliated interest shall be involved in determining the eligibility ofthe applicant for the riders.

    ADDITIONAL CHARGE FOR ELECTRIC SERVICEON ACCOUNT OF STATE UTILITY TAX:

    The Electricity Excise Tax Law of 1997 requires a public utility to charge itscustomers a tax imposed on the privilege of using electricity purchased for use orconsumption and not for resale, other than by municipal corporations owning andoperating a local transportation system for public service, in this State at the followingrates per kilowatt-hour delivered to the purchaser:

    (1) For the first 2,000 kilowatt-hours used or consumed in a month: 0.330

    cents per kilowatt-hour;(2) For the next 48,000 kilowatt-hours used or consumed in a month: 0.319cents per kilowatt-hour;

    (3) For the next 50,000 kilowatt-hours used or consumed in a month: 0.303cents per kilowatt-hour;

    (4) For the next 400,000 kilowatt-hours used or consumed in a month: 0.297cents per kilowatt-hour;

    (5) For the next 500,000 kilowatt-hours used or consumed in a month: 0.286cents per kilowatt-hour;

    (6) For the next 2,000,000 kilowatt-hours used or consumed in a month:0.270 cents per kilowatt-hour;

    (7) For the next 2,000,000 kilowatt-hours used or consumed in a month:0.254 cents per kilowatt-hour;

    (8) For the first 5,000,000 kilowatt-hours used or consumed in a month: 0.233cents per kilowatt-hour;

    (9) For the next 10,000,000 kilowatt-hours used or consumed in a month:0.207 cents per kilowatt-hour;

    This tax constitutes an additional charge to customers for electric service. Theamount of such additional charge will be separately designated on each customers bill.

    In lieu of the foregoing rates, non-residential electric customers have the optionto register with the Department of Revenue of the State of Illinois to become a self-

    assessing purchaser of electricity. A self-assessing purchaser will pay a tax at the rateof 5.1% of the self-assessing purchasers purchase price for all electricity distributed,supplied, furnished, sold, transmitted and delivered to the self-assessing purchaser in amonth. The tax will then be paid directly to the Department of Revenue of the State ofIllinois.
