OverviewBelize

Belizes democratic government, and itstrack record of political stability make itunique in Central America. The officiallanguage of Belize is English, thoughSpanish is also widely spoken.

Belize operates under the Britishparliamentary system, with executiveauthority exercised by the PrimeMinister, currently the Hon. DeanBarrow.

Belize is a member of the BritishCommonwealth and the United Nations.

As such, it demonstrates an excellenthuman rights record and freedom of thepress is practiced without censorship.

OverviewMesoamerica Barrier Reef/Lighthouse Reef Atoll

The Mesoamerica Barrier Reef is the second

longest barrier reef in the world, ranking rightbehind Australias Great Barrier Reef. The reefitself is part of a fragile and complex coastalecosystem of incredible environmental value.

This spectacular reef runs the length of Belizeand supports a tremendous number of patchreefs, shoals, and over 1,000 "cayes"(pronounced keys), most of which are

comprised of, or surrounded by, extensivemangrove forests.

The Lighthouse Reef Atoll, located 45 mileseast of Belize City, is one of just four atolls inthe Western Hemisphere. With its magnificent,healthy corals and extraordinary marine life,The Lighthouse Reef Atoll is one of theworlds most coveted examples of a pristine

coral reef ecosystem.

The world famous Great Blue Hole, locatedwithin the Lighthouse Reef Atoll, was madefamous by Jacques Cousteau and is both thelandmark of Belize, and the countrys mostmarketed natural attraction.

Long Caye

Approximately two and a quarter miles in

length, three quarters of a mile in width andapproximately 500 acres in size, the island ofLong Caye is the largest of the five land

masses located on the Lighthouse Reef Atoll.

It is also the closest developable real estate

to both Half Moon Caye and the Great Blue

Hole. The island is situated in the southern-

most part of the atoll, less than 1 mile from

the tiny, but spectacular, Hat Caye and lessthan two miles from the UNESCO World

Heritage site at Half Moon Caye. The famous

Great Blue Hole lies approximately eightmiles to the north, making Long Caye the

closest potential development site to both the

Great Blue Hole and Half Moon Caye. It is also

home to the highest concentration of worldclass dive sites in all of Belize. Many of the

best dive sites in the western hemisphere are

found less than a mile off the Long Cayecoast.

Eco Reef Overview

Eco Reef Asset Management Limited (EcoReef) is a Belize company that was formedin August 2008 for the purpose of

acquiring, selling and developing realestate in Belize. Since its inception, EcoReef has been active in negotiating andexecuting land purchase optionagreements with the major landholders onLong Caye.

The shareholders of Eco Reef includeindividual equity investors, long time owners ofproperty on Long Caye and members of theEco Reef Board of Directors.

In November of 2008 Eco Reef executed aLetter of Intent with BV Resorts(www.bvresorts.com) to form a joint venturecompany for the purpose of developing a

luxury hotel and residential resort complex onLong Caye.

Eco Reef Strategy

Given the current global economicenvironment, Eco Reef has adopted aconservative approach to the Long Cayedevelopment project. Eco Reefs financial planhas been created to mitigate market and cashflow risk by the adoption of a highly variablecost structure and an ongoing investmentstrategy that is both time phased and limitedto a minority portion of the companys excesscash flow.

The timing of the proposed luxury resortdevelopments will be determined by severalfactors including, but not limited to, Eco Reefand or BV Resorts ability to raise the requiredproject financing as well as a variety of othermicro and macro economic factors that would

be prudently considered before moving aheadwith a development project of the size andscope anticipated by BV Resorts and EcoReef.

In additional to the land in the northern sectionof Long Caye that will be set aside forindividual home site sales, Eco Reef will have

in reserve, over 150 acres available forinclusion in planned luxury resort andresidential development projects. As part of itsoverall commitment to the preservation andconservation of Long Caye and the LightHouse Reef atoll, Eco Reef has 200 acrestargeted for conversion into a nature preserveand research center.

Eco Reef OverviewLong Term Vision

Together with BV Resorts, Eco Reef will puttogether a project plan for the developmentof a Luxury Resort and residential complexon Long Caye. The timing of the resortdevelopment activity will be dictated byexternal economic factors and the

availability of project financing.

Once BV and Eco reef are successful inattracting project financing for the plannedresort and residential complex, Eco Reef willcontribute the portion of its land assets notheld in reserve for home site sales to thedevelopment project in exchange for cashand or Preferred Equity in the resortdevelopment project.
