Skills:

Summary of experience in Senior Finance roles: I completed my ACCA exams in 1999, and have through my years of experience gained Fellowship status with the ACCA. Since 2003 I have worked in industry in a variety of roles from Financial Controller of OMC Engineering Limited to Managing Director of Zinc Processors Limited in 2009. All of my roles since 2003 have been at senior management level. These roles have aided my development as a senior financial accountant, with extensive knowledge in relation to accounting, budgeting, forecasting, reporting, auditing, taxation, company secretarial, human resource management, marketing, health and safety and environmental matters. My senior Accountancy and Finance experience was garnered in the following roles;

MDG – Audit Senior – 20 months experience within this role having begun my career as a trainee

OMC Engineering Limited – Financial Controller – 56 months experience

Zinc Processors Limited / United Metal Recycling (Ireland) Limited – Managing Director / Financial Controller – 80 months experience

Canyon CTS – Senior Client Manager – 8 months

James McMahon Limited – Finance Manager – 6 months

Financial Management and Budgeting skills: My industry roles from 2003 have been with companies seeking to expand their operations, through acquisition or organically. Part of my role in attaining these aspirations, was to develop the finance function within these companies, to aid the growth strategy, while also enhancing the deliverables from that function. My role in budgeting, financial management and commercial awareness had assisted in achieving the following;

OMC Engineering Limited growing from 120 employees in 2003 to 320 in 2008, and being the largest stainless steel fabrication company in Ireland. This company was profitable in all of these years.

Zinc Processors Limited developing their plant to that of as the largest capacity galvanizing plant in the British Isles. This company, despite being strongly impacted by the economic downturn, due to our dependence on the construction industry, and with the expense of developing the new plant, operated profitably in our production offering during my tenure, though property write downs based on acquisitions in the early 2000’s did see losses recorded in two years of my tenure. I expanded the company into new markets for our production offering, while also undertaking cost reduction strategies, which insulated the company through the construction downturn.

In helping to establish United Metal Recycling (Ireland) Limited in 2010, and assisting in growing the operations to a turnover of €19 million within four years. In these four years we generated increased profits annually.

While only employed with James McMahon Limited for a short period of time, I was actively involved in budgeting and financial management, which were tightly controlled as the company worked to tight margins on sales. In my time with the company, we managed to reduce debtor days, in a time of increased sales. This increased cash flow allowed us to avail of increased trade and settlement discounts with our suppliers.

Experience of ensuring compliance with financial regulation and in the preparation of Financial Statements and Audits: I have extensive knowledge of the preparation of financial statements and the auditing of same. I was responsible for the preparation of the financial statements for OMC Engineering Limited and the associated Group companies, Zinc Processors Limited and United Metal Recycling (Ireland) Limited and their associated companies, and James McMahon Limited. As part of the finalising of these financial statements, I would liaise with the external auditors and deal with their queries, to ensure that clean audit opinions were delivered for all of the entities. Furthermore, I drove efficiencies within the accounts team, which saw year on year reductions in the audit fees, as auditors received more detailed audit files. In my roles, I have helped to develop various policies and procedures across departments in order to aid in the effective management of the organisations. I have helped to develop the audit functions to ensure that the prescribed policies and procedures are followed, and that non-compliance with same is monitored and reported on in the appropriate format. While working for MDG, Canyon CTS and Doran + Minehane, I was involved in the preparation of financial statements for domestic companies, US multinational companies, a large Treasury Company and Investment Fund companies, which were prepared across all of the reporting frameworks, International Financial Reporting Standards (IFRS), Irish GAAP, US GAAP, and other domestic GAAPs. In my time with MDG and Arthur Bell my role included Audit Senior duties, which has given me extensive experience in auditing as a part of an external audit team. While in MDG, I was the audit senior for the audit of an indigenous Irish group (turnover €130 million per annum) and the Irish subsidiary of a worldwide group whose Irish turnover was €50 million (worldwide turnover of €6 billion). I have worked with Doran + Minehane on various assignments throughout my career, as a methodology to keep myself abreast of

Page 10 of 12 Todd Fitzgerald

evolving requirements and best practices, while also undertaking external training on these matters. I have also undertaken training in relation to Internal Auditing, Forensic Accounting, Preventing Financial Crime and Risk Management. I have also undertaken training in other areas, which I believe has aided me, in developing a more rounded approach in all commercial environments e.g. a degree in Human Resource Management, training in Health and Safety requirements, training in lean and six sigma methodologies.

Evidence of supervisory management experience and strong people management skills: As my roles have been senior in nature of the last number of years, I have had to manage teams and individuals throughout. My industry experience has seen me manage the entire workforce of Zinc Processors Limited as Managing Director for 5 years (36 employees), while my senior finance positions within OMC Engineering Limited, United Metal Recycling (Ireland) Limited and James McMahon Limited, has seen me manage smaller more finance orientated teams successfully. I believe that I have learned over the years how to motivate and encourage staff. I have sought to develop these skills through informal mentoring from senior management and in house developmental opportunities, and through formal training, which involved undertaking a degree in Human Resource Management in the University of Limerick (Winning the Kemmy Business School / Northern Trust Outstanding Scholar Award 2014 and the Dermot Foley Memorial Award - Student Award Best BA (Hons) in HRM). I believe that my success in my roles to date is evidence of my experience in people management.

Evidence of excellent organisational skills: As stated previously, I have throughout my career established and developed the accounting and finance function within the various companies I have worked for, in order to develop functions that are fit for purpose, and capable of meeting all current and possible future requirements. Also within these roles I have undertaken various ad hoc projects for the benefit of the companies I have worked for, and one of the underpinning skills I have used to accomplish these has been planning. It is my belief that properly planning each task, allows for the efficient direction of resources to complete same, within the required time frame. Communicating this and ensuring that the correct resources are utilised, increases the probability that a successful result will ensue. As part of the original management team in United Metal Recycling (Ireland) Limited, we successfully opened the business within an eight month time frame, and achieved turnover of €19 million within four years. The licencing and regulatory requirements around opening such a business are quite onerous, and to achieve same, while also being involved in the construction of the waste recycling facility, within this time frame, is testament to a high level of organisational skill, which our team displayed. I believe that my organisational skills strongly contributed to the success of this company. I have undertaken studies in Project Management in order to develop my skill set around organisational control, receiving a Diploma in Certified Project Management Diploma – IPMA in February 2015 (84.6% exam mark), and a Certificate in Project Management from the Institute of Technology Tallaght in July 2015 (GPA 4.0).

Evidence of excellent analytical skills with a strong focus on organisational outcomes: As I stated previously, my previous employers have sought to grow in their respective markets, in conjunction with increasing profits. In attempting to attain these results, I would examine the company strategies, and based on these formulate my plans for the management of my deliverables. From these plans, I would exercise continuing due diligence to ensure that decisions and investment of resources are revisited, with metrics gauging their returns against our designed Key Performance Indicators (KPIs) being accurately recorded and effectively communicated. At times I have revisited our designed KPIs to ensure that they continue to measure accurately the results of decisions taken, and that they continue to provide information relevant in achieving our long term goals. Further to helping attain organisational goals, I have also looked at internal processes, with a view to ensuring that these are aligned with the corporate objectives, and to drive efficiencies within them to increase employee engagement, reduce costs and waste, and give all employees ownership of their roles with a vision of how their role is an integral part of the organisations goals. During my stewardship of Zinc Processors Limited, we developed the plant into the largest capacity galvanising plant in the British Isles. This involved a large scale construction project, carried out under strict planning regulations and under extensive Environmental Protection Agency (EPA) licencing requirements. While handling this project, I also had to manage the transition of

Page 11 of 12 Todd Fitzgerald

the company into new sales markets, as our main customer sector, construction, had seen a decline of 60% in our turnover. I identified key targets in the agricultural machinery sector, and developed that market for our company, while also undertaking cost saving initiatives across the company, in order to operate profitably within this highly competitive, lower margin sector. For each year of my tenure our operations division was profitable. I have undertaken training in Lean and Six Sigma methodologies, to understand the work practices of more developed organisations and to also offer an insight to both management and employees on how we could work more productively and efficiently. I have also undertaken training in Project Management, as an aid to ensure that projects which I work on, have an increased likelihood of success.

Evidence of excellent communication and interpersonal skills, with the ability to work with both internal and external stakeholders: The roles that I have taken have seen me engage within the organisations on many levels. In order to facilitate buy in to my agenda or to effectively communicate a message, I have found that I can vary my communication approach to the relevant audience, based on identifying the level of the audience and their requirements on the subject. I think it is imperative to ask the question “what is in it for the audience I am speaking to?” and tailoring the delivery of the information based on this. As part of my role in Canyon CTS, I was a director on the board for some large US Multinational Companies, and attended and contributed at board meetings. These companies were involved in complex transactions, involving Intellectual Property Transfers and other commercially sensitive issues (e.g. inversions), and my remit was to offer my opinions on same, and to action resolutions agreed at these meetings. I am quite passionate in relation to my work, and try to lead by example. In demonstrating this engagement, through a hands on approach, I have found that I am better able to translate my message more effectively with increased understanding and buy-in from my audience. In my role as Managing Director of Zinc Processors Limited, I undertook external training in many aspects of Health and Safety, as this was at the time a serious issue for the company, in order to personally train the staff. In being so active in this training I felt that I was better able to communicate to the staff the importance of Health and Safety within the organisation. This initiative saw a reduction in the number of workplace accidents thereafter, and reduced insurance premiums as a result. In undertaking the degree in Human Resource Management in the University of Limerick, a key component of many of the modules was to present in front of lecturers and classmates. Following on from my successful completion of the degree, I have delivered guest lecturers in 2014 and 2015 on Human Resource Management Practices in Engineering Companies. I have also a strong background in the Microsoft suite which affords me the opportunity to effectively communicate in presentations, and in report formats.

Evidence of advanced IT skills: I have extensive knowledge of the entire Microsoft Office Suite, and have completed an EDCL and an Advanced Excel Programme. I have been involved in the introduction of accounting and finance packages throughout my career, and have helped to design bespoke applications for reporting requirements for companies which I have worked in. This has included the bespoke design of a weighbridge application for Zinc Processors Limited in conjunction with a software development company. This application was designed to provide key metrics for our production requirements while also offering full audit capabilities for income completeness purposes. I aided in the design of the website for Zinc Processors Limited and United Metal Recycling (Ireland) Limited, and have an interest in the expansion of companies through on line platforms. I have a wide variety of experience in relation to Accounting, Payroll, Materials and Stock systems. In the past I have used; Agility Accounting, Access Accounting, Navision, Biztrack, Quantum Payroll, Quickbooks, RECY Accounts & Stock, TAS Books, Viztopia, Oracle, Hyperion and Basware. I believe that with my experience in using accounting and information systems that I have an aptitude to quickly adapt to new systems. I have used the on-line ROS system for the last number of years and I am quite knowledgeable in relation to same. I have also used the commercial banking on line systems across most of the banks over the last number of years.
