TrademarkDueDiligenceinMergersandAcquisitionsDue diligence examines information concerning a target company’s intellectual property portfolio and determines the risks, exposure and benefits associated with the proposed transaction. Failing to identify and thoroughly investigate the target’s trademarks in the early stages of a deal may result in price adjustments, structural changes to the transaction, and even termination of a deal. Comprehensive due diligence involves identifying and evaluating documents to review, people to interview, and the target’s trademarks, licensing agreements, and lawsuits or settlements involving the relevant trademarks. Learn about key considerations for conducting trademark due diligence in M&A deals and strategies for using the results of due diligence to negotiate pricing and other deal terms. – Barbara Grahn, Jacqueline A. Leimer & Paul W. Mussell– Moderator: Bradley J. Walz
