SECTION - I

Notice Inviting Consultancy Services for “Preparation of Detailed Project Report(DPR) including Planning, Design, Engineering along with Architectural finishings of 4-Lane

Flyover at NAD junction in Greater Visakhapatnam.

RFP No.01/2015-16/CE/EE-V/VUDA Dated. 30.01.2016

1.1 Introduction of the Project:Visakhapatnam Urban Development Authority (VUDA) is desirous of obtaining

Consultancy Services for “Preparation of Detailed Project Report (DPR) includingPlanning, Design, and Engineering along with Architectural finishings of 4-Lane Flyover

at NAD junction in Greater Visakhapatnam”.

1.2 The objectives and description of the services are :

Consultancy Services for Planning, Design & Engineering including preparation of DetailedProject Report for 4 Lane Flyover at NAD Junction (on NH-16) in Greater VisakhapatnamLimits as per the specifications and standards prescribed by MoRTH, Govt. of India andother relevant standards.

The existing 4 Road junction at NAD in Greater Visakhapatnam Limits, which is anintersection of NH-16 and Arterial road of Marripalem – Pendurthi, has been experiencinglot of moment of Vehicular traffic from all four directions with the development of cityand increase of both Public and Private vehicles in the city. The junction is considered asone of the important junctions of the city leading to Airport, Industries at Gajuwaka areaon one side and down town city on the other side of the NH-16. The City Arterial roadintersecting with the Highway at this place also connects to many residential areas atMarripalem, Kancharapalem & Railway station on one side and Gopalapatnam,Simhachalam, Pendurthi etc. on the other side. The junction is experiencing lot of trafficjams with the increase of city traffic and PCUs at the junction are almost reaching 10,000nos. Considering the traffic problems being faced at this junction and future growth inmind, it is proposed to construct a 4-lane Flyover at NAD Junction as per the relevanttechnical standards.

To achieve the above objective, the client is proposed to engage highly qualifiedconsultants with proven relevant experience in Planning, Designing & Preparation of DPRsof Road Flyovers. The consultants are expected to study and survey all relevant aspectssuch as traffic, geographical, technical, engineering, socio-economic etc and prepareDetailed Project Report (DPR) for the Grade Separator of suitable size, shape, length,direction duly exploring all possible alternatives. The consultant is expected to makealignment proposals duly considering the upcoming mega transport project like Metroat this junction and ensure no interference with any other project crossing the junction.The consultants are expected to prepare DPR considering latest construction technologiesand exploring various financial options.

1.3 The Eligibility and Qualifications are as follows:

1 . El igibi l ity : This inv itat ion to Consultancy Serv ices is open to allAgencies that have been offering simi lar Consultancy Serv ices inpreparat io n of DPRs of Road Flyovers as per NHAI standards in thelast 5 years during Apri l -2010 to March – 2015 (Cert if icate fro mthe Client shall be enclosed).

2. Quali f icat ion:

(a) The Agency sho uld have prepared DPR of at least 2 DPRs of 4 -lane f ly ov ers of min 1.00km each along NH as per the relev antstandards i n the precedi ng 5 fi nancial years i .e. , after 31 s t

March 2010 (cert i f ica te from the Client shal l be enc losed asproof). .

(b) The Annual Turnover of the agency should not be less thanRs. 2.00 Crores in any one year in the last 5 financial years(statement showing Annual Turnover for the years 2010 -11,2011-12,2012 -13,2013-14 and 2014 -15 duly cert if ied by aChartered Accountant shal l be enclosed).

3. The Consultant shall furnish, Earnest Money Deposit (EMD) equivalent toRs.50,000 (Rs. Fifty thousand Only) along with Tender documents in the form of aBank Demand Draft/ Bank Guarantee from a Scheduled Bank. (Refundable for un -successful Tenderers).

4. An amount of Rs. 10,000/- (Non refundable) should be paid towards the cost ofTender Document in the shape of DD drawn in favour of Vice Chairman,Visakhapatnam Urban Development Authority payable at Visakhapatnam,otherwise the bids will summarily be rejected.

5. The client will provide the inputs in the Data Sheet and will assist the Consultantsin obtaining licenses and permits needed to carryout services.

6. The selected Consultant is expected to commence the assignment on the datespecified in the Data Sheet.

7. Time is the essence of the project. Hence, the consultant should be prepared toput their efforts right from the beginning.

9. Pre - Bid meeting will be held on 12-02-2016 at 3.00 PM in the office of the ChiefEngineer, VUDA, Siripuram, Visakhapatnam.

11. Consultants have to submit their sealed Tenders on or before 17-02-20163.00 PM which will be opened at 4.00 PM on the same day.

12. The Vice-Chairman, VUDA reserves the right either to accept or reject any or allTenders at any stage without assigning any reason.

SECTION – 2

INFORMATION TO CONSULTANTS

2.1 INTRODUCTION :

2.1.1 Visakhapatnam Urban Development Authority (VUDA), “the Client” is desirous ofobtaining Consultancy Services for Preparation of Detailed Project Report (DPR) includingPlanning, Design, And Engineering Along With Architectural Finishings for constructionof 4-lane Flyover at NAD jn., in Visakhapatnam city limits.

The objective and description of the services are:

To prepare Detailed Project Report of Fly-over (Grade separator) at NAD JN inVisakhapatnam city limits including alignment fixing, Planning, Design, Engineering,Detailed Surveys and BOQ as indicated in the Scope of Services including tendering withtender document preparation as per Govt. procedures. The project is located inVisakhapatnam city having a population of 2 millions along NH-N-16 and hence theconsultant should familiarize with working in urban conditions, NH norms andspecifications, city traffic conditions etc.

The VUDA will select one consulting firm based on evaluation work criteria mentioned inthis document and awards the contract.

2.1.2 The aim of this proposed project is to ensure a safe, reliable, hassle-free trafficflow at the NAD inter section by providing a good, and sound flyover withaesthetic look to cater the traffic requirements of present and future. Theconsultants are expected to prepare a DPR for the above purpose.

2.1.3 Therefore the VUDA desires to invite the consultants to submit a technicalProposal and a Financial Proposal, for “(i). Preparation of Detailed Project Report(DPR) including Planning, Design ,Engineering along with Architectural finishings forconstruction of 4 lane fly-over at NAD Jn. in Visakhapatnam city. The Proposal willbe the basis for contract negotiations and ultimately signing of a contract with theselected consulting firm(s) or panel of Firms.

2.1.4 The Consultant must familiarize themselves with local conditions and take theminto account in preparing the Proposal. To obtain first-hand information on theAssignment and on the local conditions, the consultant is encouraged to pay a visitto the Client’s office before submitting a Proposal, and to attend a pre-proposalconference on the date specified in the data sheet. All requests for clarificationsshould reach the client’s office on or before the data specified in the data sheet.

2.1.5 The Client will provide the inputs specified in the Data sheet and createaccessibility to relevant data and reports.

2.1.7 Please note that (i) the costs of preparing the proposal and of negotiating thecontract, including a visit to the client site, are not reimbursable as a direct cost ofthe Assignment, and (ii) the client is not bound to accept any of the Proposalssubmitted.

2.1.8 The firm which has been engaged by the VUDA to provide Consultancy servicesfor this project shall be disqualified from providing goods or works or servicesrelated to assignments for the same project to any other promoters. Consultantsshould clarify their situation in that respect with the Client before preparing theProposal.

2.1.9 It is VUDA’s policy to require that Consultants (including theiraffiliates/associates/partners) to observe the highest standard of ethics during theselection and execution of such contracts. In pursuance of this policy, VUDA.

(a) Will reject a proposal for award, if it determines that the firm recommended foraward has engaged in corrupt or fraudulent activities in competing for the contract inquestion.

(b) Will cancel the firm’s contract if it at any time determines that corrupt or fraudulentpractices were engaged in by the representatives of the Consultants or theirassociates during the selection process or the execution of that contract.

(c) Will declare a firm ineligible, if it at any time determines that the firm has engaged incorrupt or fraudulent practices in competing for, or in executing the VUDA FinancedProject.

(d) Will have the right to require that, in contract financed by VUDA, a provision beincluded requiring the financed project VUDA to inspect their accounts and recordsrelating to the performance of this contract and to have the same audited by auditorsappointed by VUDA

For the purpose of above:

(i) “Corrupt practice” means the offering, giving, receiving, or soliciting of anything ofvalue to influence the action of a VUDA official in the selection process or in contractexecution; and

(ii) “Fraudulent practice” means a misrepresentation of facts in order to influence aselection process or the execution of a contract to the detriment of VUDA andincludes collusive practice among consultants (prior to or after submission orproposals) designed to establish prices at artificial, non-competitive levels and todeprive VUDA of the benefits of free and open competition.

2.1.10 Consultants shall not be under a declaration of ineligibility for corrupt and fraudulentpractices issued by any clients in India or abroad, in accordance with the above sub para(1.8).

At any time before the submission of Proposals, the Client may, for any reason, whether at itsown initiative or in response to a clarification requested by an invited firm, modify the RPFdocuments by amendment. The Client may at its discretion extend the deadline for the submissionof Proposals. This amendment will be kept in the VUDA website.

2.3 PREPARATION OF PROPOSAL :

2.3.1 Consultants are requested to submit a Proposal (para 1.2) written in thelanguage(s) specified in the data sheet.

Technical Proposal

2.3.2 In preparing the Technical Proposal, Consultants are expected to examine thedocuments comprising this RFP in detail. Material deficiencies in providing theinformation requested may result in rejection of a Proposal.

2.3.3 While preparing the Technical Proposal, consultants must give particular attention to thefollowing:

(i) An amount of Rs. 10,000/- (Non refundable) should be paid towards the cost ofTender Document in the shape of DD drawn in favour of Vice Chairman,Visakhapatnam Urban Development Authority payable at Visakhapatnam

(ii) It should pay an EMD of Rs. 50,000/- by way of D.D. in favour of Vice-Chairman,VUDA valid for a period of 6 months from the date of receipt of Tender. The samewill be refunded to the unsuccessful tenders after finalization of Tender

(iii) Firm should have all the expertise for the execution of Assignment.(iv) It is desirable that the majority of the professional staff proposed should be

permanent employers, of the consultant firm.(v) Proposed professional staff must have at least the experience indicated in the

ToR, preferably under conditions similar to those prevailing in India.(vi) Reports to be issued by the consultants as part of this assignment must be in the

language(s) specified in the Data sheet. It is desirable that the firm’s personnelhave a working Knowledge of English.

2.3.4 The Technical Proposal should provide the information using the forms in Sections 4 andgive the following:(i) A brief description of the firm’s organization and a list of recent

experience on assignments (Section 5B and 5H) of a similar nature.(ii) Description of the methodology (work plan) by which the firm proposes to

execute the services illustrated, as appropriate, with bar charts of activities andgraphics, or the Program Evaluation Review Technique (PERT) Type (Section 5D)

(iii) Deleted

(iv) CV’s (Curriculum vitae) recently signed by the proposed professional staff and theauthorized representative submitting the proposal (Section 5F), Key information

should include number of years working for the firm/entity, and degree ofresponsibility held in various assignments during the last ten (10) years.

The Technical Proposal shall not include any financial information.

Financial Proposal

2.3.5 The financial proposal is a lump sum for the services which will be the ceilingcontract price. However, the break-up of costs for arriving at the lump sum beindicated. The rates given in the break-up of costs will be used (a) during financialnegotiation, if any, and (b) for fixing remuneration for unexpected majorincrease/decrease in scope of any work.

2.3.6 In preparing the Financial Proposal, consultants are expected to take into accountthe requirements and conditions of the RFP document. The lump sum fee shall beall inclusive, containing all costs associated with the Assignment, including (a)remuneration for staff and (b) reimbursable such as subsistence, transportationservices and equipment (vehicles, office equipment, furniture, and supplies),office rent, insurance, printing of documents, all other miscellaneous expensesetc.

2.3.7 The Financial Proposal should clearly identify, as a separate amount, the taxesduties, fees, levies, and other impositions imposed under the applicable law, on theconsultants, and their personnel unless the Data Sheet specifies otherwise.

2.3.8 Commissions and gratuities, if any, paid or to be paid by Consultants and relatedto the Assignment will be specified in the Financial Proposal submission form

.2.3.10 Costs must be expressed, and will be paid, in the currency mentioned in the data

sheet.

2.3.11 The Data Sheet shows for how many days after the submission date the proposalsmust remain valid, during this period, the consultants are expected to keepavailable the professional staff proposed for the assignment. The Client will makeits best effort to complete negotiations within this period. If the Proposal validityperiod is extended, the consultants have the right not to maintain their Proposals.

2.3.12 An agreement in usual format shall be drawn up and entered into with thesuccessful bidder for the consultancy work entrusted to him on negotiated termsand conditions within the stipulated time as per LOA.

2.4 SUBMISSION, RECEIPT AND OPENING OF PROPOSAL

2.4.1 The original Proposal (Technical Proposal and Financial Proposal) shall be prepared inindelible ink. It shall contain no interlineations or overwriting except as necessary tocorrect errors made by the firm itself. Any such corrections must be the person or personswho sign(s) the Proposals.

2.4.2 An authorized representative of the firm shall initial all pages of the Proposal. Therepresentative’s authorization is to be confirmed by a written power of attorney,accompanying the Proposal.

2.4.3 For each Proposal, you should prepare the number of copies indicated in the Data Sheet.Each Technical Proposal and Financial Proposal should be marked “Original” or “Copy” asappropriate. It there are any discrepancies between the original and the copies of theProposal, the original governs.

2.4.4 The original and copies of the Technical Proposal along with cost tender document of Rs.10,000 (Non-refundable) and EMD of Rs.50,000 (Returnable for Un-SuccessfulTenderers) shall be placed in a sealed Cover (Cover-A) clearly marked “TechnicalProposal”, and the original and all copies of the Financial Proposal in a sealed envelopeclearly marked “Financial Proposal” (cover B) and warning. “Do Not Open with theTechnical Proposal.” Both covers ‘A’ and ‘B’ shall be placed into an outer sealed cover i.e.,cover ‘C’ bearing the submission address and other information indicated in the DataSheet and clearly marked, “DO NOT OPEN, before 4.00 P.M.

2.5 PROPOSAL EVALUATION

General

2.5.1 Consultants shall not contact the Client on any matter relating to their Proposal from thetime of opening of the Technical Proposal till the contract is awarded. If a firm wishes tobring additional information to the notice of the client, it should do so in writing at theaddress indicated in the Data Sheet. Any effort by the firm to influence the Client in theClient’s Proposal evaluation, Proposal comparison or contract award decisions may resultin the rejection of the consultant’s Proposal.

2.5.2 Evaluators of Technical Proposals shall have no access to the Financial Proposals until thetechnical evaluation, including any reviews and no objection, is concluded.Evaluation of Technical Proposals:

2.5.3 The Client will carry out the evaluation of proposals on the basis of their responsiveness tothe Terms of Reference, applying the evaluation criteria and marking system specified inthe Data Sheet. A proposal to be considered unsuitable shall be rejected at this stage if itdoes not respond to important aspects of the Terms of Reference.

Opening and Evaluation of Financial Proposals:

2.5.3 The Client shall notify only such applicants whose technical proposals are foundacceptable and who are invited for opening of financial bids, intimating the date, time andplace of opening of financial bids. The notification may be sent by registered letter, cable,telex, facsimile, or by electronic mail or phone.

2.5.4 Financial Proposal will be opened in the presence of the applicants who have elected toattend. The names of applicant and the financial proposal will be announced. The Clientwill kept a register or representatives attending the meeting and prepare minutes of theopening.

2.5.5 The Consultants should quote their lump sum fee required for the assignment in Indianrupees and the lowest financial offer out of all the offers will be considered foracceptance. The amount will be paid as per the milestones indicated in the RFP.

2.5.6 The Client will determine whether the Financial Proposals are complete and correctany computational errors. The evaluation shall include all taxes.

2.6 NEGOTIATIONS

2.6.1 Negotiations will be held at the address indicated in the data sheet. The aim is to reachagreement on all points and sign a contract.

2.6.2 Negotiations will include a discussion on the Technical Proposal, the proposedmethodology (work plan), staffing and any suggestions made by the firm to improve theTerms of Reference. The Client and firm will then work out agree final Terms of Reference,staffing, and bar charts indicating activities, staff, periods in the field and in the homeoffice, logistics and reporting. The agreed work plan and final Terms of Reference will thenbe incorporated and form part of the Contract. Special attention will be paid to optimizingthe required outputs from the firm within the available budget and to clearly defining theinputs required from the Client to ensure satisfactory implantation of the Assignment.

2.6.3 The financial negotiations will include a clarifications of the firm’s tax liability in India (ifany), and how it will be reflected in the Contract and will reflect in the agreed technicalmodifications in the cost of the services.

2.6.4 The Client expects to negotiate a Contract on the basis of the experts named in theProposal. Before contract negotiations, the GVMC will require assurances that the expertswill be actually available. VUDA will not consider substitutions during Contractnegotiations unless both parties agree that under delay in the selection process makessuch substitution unavoidable or that such changes are critical to meet the objectives ofthe assignment. If this is not the case and if it is established that key staff was offered inthe proposal without confirming their availability, the firm may be disqualified.

2.6.5 The negotiations will conclude with a review of the draft form of the contract. Aftercompletion negotiations, the VUDA and the firm will sing the agreed Contract.

2.7 AWARD OF CONTRACT

2.7.1 The Contract will be awarded following negotiations with the successful firm.

The successful consulting firm is expected to commence the assignment by the datespecified in the data sheet.

2.8 PERFORMANCE SECURITY:

Performance Security for an amount equivalent to 5 % of the Contract amount of thesuccessful bidder (Consultancy fee of this Project) is to be given to VUDA towardsPerformance of the successful consulting firm. This Performance Guarantee shall be in theform of Bank Guarantee issued by a Nationalized Bank / Scheduled Bank in the format tobe approved by VUDA and shall be submitted at the time executing the agreement whichshall be valid for 40 months from the date of agreement. The firm should extend in case itis required by VUDA.

2.9 Performance Clause

Consultants shall be expected to fully comply with all the provisions of the ‘Terms ofReference’ (ToR), and shall be fully responsible for supervising the Construction andMaintenance of the facility takes place in accordance with the provisions of the ContractAgreement and other schedules. Any failure of the Consultant in notifying to VUDA andthe Contractor on non-compliance of the provisions of the Contract Agreement and otherand other schedules by the Contractor, non-adherence to the provision of ToR and non-adherence to the time schedule prescribed under ToR non-servicing the interests &directions of client shall amount to non-performance.

2.10 In the event of non-performance by the consultant, the VUDA will retain the right toen-cash the Performance Guarantee. The decision of Vice-chairman, VUDA is final andbinding on both parties.

3.4. Assignment :

The timing, scope and composition of the Construction Supervision Team may be adjusted,depending on the contract period.

3.5.2 The Technical Proposal should include:

1. Details of back up facilities available with them in respect of services required.2. A list of concurrent commitments and also indicate availability of their staff with relevant

3. The Composition of the proposed staff team, the task assigned to them and their timings.4. Details to demonstrate capacity to mobilize resources properly so as to complete the

assignment in time.5. EMD by way of D.D. or B.G. for Rs. 50,000/- drawn in favour of Vice-Chairman, VUDA valid for

a period of 6 months from the date of submission of ‘RFP’ which will be returned to the un-successful firm after concluding agreement with successful firm.

3.6 Taxes: All taxes shall be included in the offer.3.6.1 The currency in which the proposals can be expressed and contract payments will be made is:

SECTION – 4

TERMS OF REFERENCE (TOR)

4.1 BACK GROUND:

VUDA is desirous of obtaining Consultancy Services for “Preparation of Detailed ProjectReport (DPR) including Planning, Design, Engineering along with Architectural Finishingsfor construction of 4-lane Flyover at NAD jn in Visakhapatnam city limits.

The Terms of Reference concerning to the above assignment broadly are:.

The project area comprises of Visakhapatnam city in general and NAD Jn inspecific

Traffic studies, sesimic studies,cyclonic wind velocities etc and all other relevantstudies including total station survey

Alignment,Plan, design, survey, detailed engineering, Geo-investigation, estimatealong with architecture,finishings,Drainage facilities, Provision for Utilities,Development of Median, Electrification with Modern lighting,signallin, jnimprovement etc .

Integration improvement of traffic. Planning and design of Intelligent transport system (ITS). Land acquisition plan, socio-ecomic studies etc. Financial structuring/ modeling, FIRR,EIRR as per requirements All drawings like L-sections, cross sections, structural drawings, foudations,

finishings, greenery, electrical etc Preparation of BOQ and tender documents in e-procurement mode as per Govt

norms and standards. Operation plan and O&M plans. Modifying the DPR if required to suit external funding like ADB,WB etc Tendering.

The consultant should prepare the DPR in full shape to go in for tenders immediately,.

The consultant needs to verify the Metro DPR prepared by DMRC, GVMC and NHAI officialsince the junction covers BRT corridor and NH16.

The consultants are expected to familiarize themselves with the existing conditions andpropose suitable Grade separator (fly-over) duly considering all technical, financial,transport and aesthetic aspects etc. The services for the execution of the workscontract(s) procured through Domestic Competitive Bidding..

4.2 OBJECTIVES

4.2.1 The Objective of the consultants’ services are:

To ensure that high quality and timely preparation of DPR including Planning, Design,Engineering along with Architectural Finishings for construction of 4-lane Flyover at NADjn in Visakhapatnam city limits and invitation of tenders for the construction contractorsand to

(i) Assist VUDA in approval of project, answering queries, presentations etc

4.4 DETAILED SCOPE OF SERVICES:

4.4.1 The Scope of the Study of this assignment comprises the following of :

THE CONSULTANT SHOULD ALSO UNDER TAKE THE FOLLOWING WHILEPREPARING THE DPR.

To prepare the techno – economic viability of the proposal. To explore the various options of project structuring and arrive at the most optimal

and economically appropriate business model for the proposals. To finalize the alignment, width of the road, lanes of the road, keeping in view of the

projected traffic volume and characteristics and the proposed land developmentstrategy.

To demarcate the project influence area and develop a comprehensive planningscheme for regulating the development of the adjoining areas in the proposed roadswith various guidelines

To recommend an appropriate phasing for improvement of the proposed and existingLink Roads and other proposed structures.

To organize and conduct consultation with various stakeholders including governmentagencies, lorry / bus owners / operators associations, prospective developers andother project affected persons as may be required for developing the fly-over, bridgesetc.

To assess the financial viability of the proposals depending upon the projected trafficvolume and characteristics on a stand – alone basis

To develop the commercial implementation framework for implementing the projectunder each option envisaged above and analyzes the merits and demerits of theseoptions and recommendation for the most feasible options.

Any other activity as may be incidental and relevant to the above activities. Should be ready to modify DPR to suit to the requirements of ADB,JICA etc if required

Alignment study:

The Consultant shall study the alignment and recommend the alignment consideringbenefits in terms of better engineering, geometric, avoidance of steep curves, reduction incosts or distance or time, traffic and future proposals in mind. This study shall be taken into the account of traffic projections and viability before finalizing the alignment . Based onthe above and the discussions with the VUDA, the Consultant shall prepare detailed stripplans showing all the features along the preferred alignment and the same has to beapproved by the VMC.

Demarcation of Project Influence Area:

Based on al detailed survey of the proposed alignment and the study of relevant plans, theConsultant shall demarcate the project influence area with regard to residential,commercial, institutional, recreational and industrial and other developments in the region.The criterion and models use shall also be elaborated.

Parking Facilities:

Bidder should identify the various sited all along the proposed corridor for setting up ofparking lots. The location of the parking lots should be in such a way that it should beintegrating with all modes of traffic. The bidder also should identify the revenue generationthrough various ticketing systems for parking. The parking policy should be commerciallyattractive and peoples friendly.

Traffic Potential

The Consultant shall assess the traffic generation / attraction potential on the proposedfacilities based on current traffic scenario and with respect to various proposeddevelopments on the project influence area for the next 20 years. Directional flow patternsof the projected traffic shall also be considered and their impact has to be reviewed basedon the traffic projection.

PLANNING & DESIGNING

Consultant should plan for traffic management, pedestrian safety, environmental pollution,economy, social development; land development etc. bidder should emphasis on pedestriansafety and road safety aspects besides improving the efficiency of traffic. While planningbidder should give due concentration to parking facilities, physical integration, interlinkingof arterial and NH.. Due priority should be given for safety and due respect for needs ofcommuters.

The geometric designs of Fly-over, lane demarcation, and road furniture should be cared properlyin the design aspect as per standard norms. Preparation of structural designs for all structuralelements of the Fly-over should be done as per relevant IS Codes. The DPR submitted by theconsultant should be in a shape be in a shape where it can be taken off the shelf and put totender.

ESTIMATION OF COSTS

1. The Consultant shall prepare Detailed Rate Analysis and Schedule of Quantities to estimatethe project cost accurately with an accuracy of + 3%. The Cost should include the impact ofprice and physical contingencies etc.. The studies for financing options like BOOT / BOT /Annuity should be undertaken to work out appropriate Bussiness model for the project forthe BRTS Corridor.

2. The Estimation of Quantities of Cost would have to worked out separately of each Civil workpackage and defined in the TOR. The Consultant shall make detailed analysis for computingthe Unit Rate for different items of works. The Unit rate analysis shall duly take in to accountthe various inputs, and their basic rates, Suggested location of Plants and respective leaddistances for mechanized constructions. The unit rate for each item of works shall be workedout in terms of Manpower, Machinery and Materials. The Project Cost estimates so preparedare to be checked against rates for similar ongoing works in VUDA.

3. The Consultant should prepare bill of quantities for all the units as per the currentSSR and prevailing market rates. The estimates prepared by the bidder will bescrutinized by the VUDA or by any consultant appointed by the VUDA. Consultantshould modify the estimate if required by the VUDA authorities and submit finalversion of estimates with supporting documents to the VUDA for accordingtechnical sanction and permission for inviting tenders from the executive authority.

While preparing the estimates bidder should proposed best quality of materials forconstruction.

Economic Viability:

The economic analysis using proven methodologies as are generally adopted for projects ofsimilar nature may be carried out. The economic benefits and cost streams shall beassessed for the project and the economic Internal Rate of Return (EIRR), Net PresentValue (NPV), employment potential of the Project, both in its implementation and O&Mstage, savings in vehicle operating cost and times and other key economic impacts

Financial Viability:

The consultant shall assess the financial viability (in terms of Financial Internal Rate ofReturn (FIRR), Debt Service Coverage Ratio (DSCR) etc., based on the estimate cost ofproject (at prevalent market rates), reasonable O & M expenses and the estimated revenuestreams form the project on a stand – alone basis. The phasing of the project asrecommended by the consultant shall be taken into account while assessing the financialviability of the project.

1) The hard copies / soft copies of plans, designs, drawings, estimates, engaged documentsof all / any work/s should not be reproduced or sold to any other agencies without priorwritten approval of the client.

2) No information / certificates should be given to any agencies without the written approvalof the client.

7 Contract Schedule

The Consultant is expected to put lot of efforts in the preparation of DPR and Calling Tendersin the time that is given to ensure the process to be completed with in the stipulated time. Noextra time will be awarded fro the DPR stage. Suitable penal actions as deemed fit will betaken, if the targets are not reached with in the scheduled period. The decision of vice-chairman, VUDA is final and binding on both the parties.

4.8 Schedule of Reports

The Consultant shall prepare and submit four (4) copies both hard and soft to VisakhapatnamUrban Development Authoity of each of the following reports and documents in English.Apart , any other report as required by the client is to be submitted.

4.9 Contents of Reports

All reports and documents relevant to the services, maps, field survey notes,computer programmes, etc., shall become the property of the VUDA. The consultantshall provide one reproducible copy each of constructional and as-built drawings.

f. Penalty / Fine

The client is at liberty to impose penalty / fine as deemed fit for non-performance.The decision of VICE-CHAIRMAN, VUDA will be final in this regard. The penalty / fineso imposed will be deducted from the invoices payable to the Consultants. Theamount of penalty / fine would be decided at the time of concluding agreement.

4.11.1Amicable settlement

The parties shall use their best efforts to settle amicably all disputes arising out of orin connection with this contract or the interpretation thereof.

Which cannot be settled amicably within thirty (30) days after receipt by one party ofthe other party’s request for such amiable settlement may be taken up by either partyfor settlement in accordance with the Applicable Law / Arbitration.

All the disputes under this Agreement shall be subject to the jurisdiction of theVisakhapatnam Courts only.

In consideration of M/s. (hereinafter referred as the “Client”, which expression shall,unless repugnant to the context or meaning thereof include it successors, administrators and assigns)having awarded to M/s. (hereinafter referred to as the“Consultant” which expression shall unless repugnant to the context or meaning thereof include itssuccessors, administrators, executors and assigns), a contract by issue of client’s Contract AgreementNo. dated and the same having been unequivocally accepted bythe Consultant, resulting in a Contract valued at for Contract (hereinaftercalled the “Contract”)

The Client shall have the fullest liberty without affecting in any way the liability of the Bank under thisGuarantee, from time to time to vary the advance or to extend the time for performance of thecontract by the Consultant. The Client shall have the fullest liberty without affecting this guarantee, topostpone from time to time the exercise of any powers vested in them or of any right which they mighthave against the Client and to exercise the same at any time in any manner, and either to enforce or toforebear to enforce any covenants, contained or implied, in the Contract between the Client and theConsultant any other course or remedy or security available to the Client. The bank shall not berelieved of its obligations under these presents by any exercise by the Client of its liberty with referenceto the matters aforesaid or any of them or by reason of any other act or forbearance or other acts ofomission or commission on the part of the Client or any other indulgence shown by the Client or by anyother matter or thing whatsoever which under law would but for this provision have the effect ofrelieving the Bank.

The Bank also agrees that the Client at its option shall be entitled to enforce this Guarantee against theBank as a principal debtor, in the first instance without proceeding against the Consultant andnotwithstanding any security or other guarantee that the Client may have in relation to theConsultant’s liabilities.
