The PROINVERSION Committee in Road Infrastructure Projects, Railway Infrastructure and Airport Infrastructure-PRO INTEGRACION, informed stakeholders that it has approved non-substantial modifications to the Terms and Conditions, according to the following:

2.1 Confidentiality agreement

It is the agreement that the authorized agent or legal representative must sign before using the Data Room. The text of the Confidentiality Agreement attached as Form 4 of Annex No. 8.

2.24 Concession Agreement or Agreement It is the binding document including its ANNEXs, Appendices, concluded between the GRANTOR and the CONCESSIONAIRE, the same one that governs relations between the parties during the term of the concession of the Longitudinal de la Sierra Highway Section 4: Huancayo - Izcuchaca - Mayocc - Ayacucho / Ayacucho - Andahuaylas - Bridge Sahuinto / Dv. Pisco - Huaytará - Ayacucho.

2.32 A. Banks

Those companies thus defined under Law No. 26702, General Law of the Financial System and the Insurance System and Organic Law of the Banking and Insurance Superintendence, referred to by Listing 1 ANNEX N° 1.

B. Insurance companies Those companies thus defined under Law No. 26702, General Law of the Financial System and the Insurance System and Organic Law of the Banking and Insurance Superintendence, referred to by Listing 3 to ANNEX N ° 1.

2.38 Guarantee of Validity, Validity Term and Serio usness of the Proposal First paragraph It is the standby letter of credit or letter of guarantee that the Bidder submitted for PROINVERSION, for an amount totaling ________ thousand and 00/100 US Dollars (US$ _____, 000.00) to ensure the validity , duration and seriousness of their offer (including Technical and Economic Proposal), conforming to the model attached as Form 1 of ANNEX 5.

Second paragraph The guarantee must be issued by a Banking Company, an International Financial Institution or an Insurance Company as detailed in Listing 1, Listing 2 or Listing 3, respectively, of ANNEX No. 1 of these Terms and Conditions, which should be supportive, unconditional, and irrevocable, without benefit of discussion or division and of automatic execution.

Third paragraph In the case of a letter of a standby guarantee or letter of credit issued by an International Financial Institution, will require it to be endorsed and confirmed by any of the Banking Entities contained in Listing 1 of ANNEX N ° 1.

Fourth paragraph A standby letter of guarantee or letter of credit confirmed by a Banking Entity means that the confirming Banking Company is the recipient of the letter of implementation and responsible for making the required payment.

2.40 Performance Bond for the Execution of Rehabili tation and Improvement

The Guarantee is granted to ensure the proper execution of the rehabilitation and improvement, including the payment of fines and other penalties and other liabilities, the timing of presentation, amount, terms and conditions will be defined in the Concession Agreement.

2.41 Performance Bond of Execution of the Initial P eriodic Maintenance Is the Guarantee granted to ensure the proper execution of the Initial Periodic maintenance, including payment of the penalties and other sanctions and other liabilities; the timing of presentation, amount, terms and conditions will be defined in the Concession Agreement.

10.2 b) Confidentiality agreement

Authorized agents or legal representatives must sign a Confidentiality Agreement that is included in Form 4 of ANNEX 8 in order to have access to the Data Room.

10.2 e) iii . Scope of the Limitation of Liability First paragraph The limitation set forth in Section 10.2 e) ii. reached, as widely as possible, to all the information related to the Bid that is effectively known, information not already known information that at some point should have been known, including any errors or omissions contained therein, by the state or any department, agency or official thereof, or PROINVERSION, the Committee or its advisers. Likewise, this limitation of liability extends to all information, whether or not supplied or prepared directly or indirectly by any of the parties mentioned above.

12.2 Bidder's Prequalification requirements b) Legal requirements

v. The Bidder, or one of its shareholders or partners, or any company affiliated to the Bidder or one of its shareholders, partners or members, has been the person who paid or acquired through a transfer of rights, the right to participate in the Bid. To prove this

fact, simply submit certified copy of proof of payment of such right or communication by which the transfer is credited in his favor, as stated in paragraph d) of section 12.2, as applicable. Additionally, you must submit a Sworn Statement explaining how to acquire the right of participation.

16.2 Evaluation of Envelope N° 3

2.1 Island toll system

The essential characteristics of the line installation to detect with precision the following elements: Vehicles: The number of vehicles made by detecting the width of the tire and the number of axis (including the lifted one), differencing individual tires and double to identify light vehicles and load vehicles.

Preventive measures against corruption: The axis number detection system, etc., confirms the difference in the type of vehicle and arbitrary changing of vehicle made by any worker (repots the number of axis of the vehicle and the image of the vehicle and identification plate). This is made with the following equipment: Numeric Treadle sensor : classifies vehicle by measuring the width of the tire and width of the treadle. Optical Vehicle detector : detects the trailer connection and axis through the interconnection of the treadle sensor. Toll information scree (TID): LED screen to show the number of the identification plate of the vehicle, amount paid and other information so the driver can see the status of the transaction. Warning lamp (WL): rotating lamp and buzzer activates in abnormal situation when modifying the type of vehicle or plate number, changes in the amount counted.

2.2 Cabin toll system The cabin toll system controls all peripheral installed in the collection island and keeps the database with the information generated. Toll terminal (PC with touch-screen monitor): to manual record of vehicle plates for each transaction Ticket printer: thermal printer for each transaction, to pay with cash E-card reader: capture information upon approximation of the card to the reader. Tag reader: captures tag devices.

6. Responsibilities a) Existing toll units have a Toll system – Detraction and equipment, the

CONCESSIONAIRE will pay the licensing and evaluate the renewal of equipment.

b) For projected toll units, the CONCESSIONAIRE will pay the licensing of software and will consider the equipment for its operation, which relation and technical specifications are contained in this Appendix.
