Role of the Community Board
• A board has a fiduciary relationship to the community.
• Fiduciary duty requires directors to act in the best interests and for the benefit of the community as a whole.
• To apply the business judgment rule to the board’s actions, to exercise reasonable business judgment in making a decision.
Fiduciary Duty
• Fiduciary=One who holds something in trust for another
• Duty=Any task assigned or required by one’s work,
Board Members
• Each Board member has a responsibility
• Each to fulfill their fiduciary duties
