NOTICE OF 43 ANNUAL GENERAL MEETING TO BE HELD OVER VIDEO CONFERENCE

1. Shareholders may note that the 43 Annual General Meeting (AGM) of the Company will be held over Video Conference (VC/ Other Audio Visual Means (0AVM) on Friday, 30 April 2021 at 3.00 pm IST in compliance with the General Circulars numbers 02/2021, 20/2020, 17/2020, 14/2020, and all other applicable laws and circulars issued by the Ministry of Corporate Affairs (MCA), Government of India and Securities and Exchange Board of India (SEBI), to transact the business as set forth in the Notice of the Meeting.

2 In compliance with the above circulars, electronic copies of the Notice of the AGM and Annual Report for the Financial Year ended on 31 December 2020 have been sent to all shareholders whose email addresses are registered with the Company/Depository Participant(s). Shareholders holding shares in the dematerialized mode, are requested to register their email addresses and mobile numbers with their relevant depositories through their Depository Participants. Shareholders holding shares in physical mode are requested to furnish their email addresses and mobile numbers to the Company's Registrar and Transfer Agent, Link lntime India Private Limited at https://finkintime.co.in/emailreg/email_register.html. The notice of the 43 AGM and Annual Report for the Financial Year ended on 31 December 2020 have also been made available on the Company's website, at https://www.castrol.com/en_in/india /home.html, and thewebsites of BSE Ltd. and National Stock Exchange of India Limited at www.bseindia.com and www.nseindia.com respectively.

3 Shareholders will have an opportunity to cast their votels remotely on the business as set forth in the Notice of the AGM through electronic voting system (remote e-voting) Additionally, the Company is providing the facility of voting through e-voting system during the AGM(e-voting"). The manner of voting remotely and during the AGM, for shareholders holding shares in dematerialized mode, physical mode and for shareholders who have not registered their email addresses is provided in the Notice to the shareholders. The details will also be made available on the website of the Company. Shareholders are requested to visit https://www.castrol.com/en_in/india/home.html to obtain such details.

4 The cut-off date to determine eligibility to cast votes by electronic voting s 23 April 2021.The e-voting period commences on 9.00 a.m. (ST) on 26 April 2021 and will end at5.00 p.m. (ST) on 29April 2021 for all the shareholders, whether holding shares in physical form or in dematerialized form. The remote e-voting module shall be disabled by CDSL for voling thereafter. Remote e-voting shall not be allowed beyond the said date and lime.

5. The members who have not cast their votes by remote e-voting can exercise their voting nights during the AGM.

6 A member may participate in the meeting even after exercising his night to vote through remote e-voting, but shall not be allowed to vote again during the meeting.

7 A person, whose name is recorded in the register of members or in the register of beneficial owners maintained by the depositories as on cut-off date only shall be entitled to avail the facility of remote e-voting as well as voting at the meeting. A person, who acquires shares and becomes shareholder of the Company after dispatch or the notice and holding shares as of the cut-off date can do remote e-voting by obtaining the login-id and password by sending an e-mail to investorrelations.india@castrol.com or dinesh.suvarna@linkintime.co.in or helpdesk.evoting@cdslindia.com by mentioning their Folio No./DP ID and Client ID No. However, if such shareholder is already registered with CDSL for remote e-voting then existing user-id and password can be used for casting vote.

8 The Company has appointed Mr.K.G. Saraf, Proprietor of Saraf and Associates, Company Secretaries as the Scrutinizer to scrutinise the remote e-voting process in a fair and transparent manner.
