DEMONSTRATION PLANT (ck;ks&,FksukWy izn'kZuh la;a=) AT CBDA
BIOFUEL COMPLEX SITE, VILL: GODHI, DIST: DURG.
Chhattisgarh Biofuel Development Authority (CBDA) has been formed by the
Government of Chhattisgarh through a gazette notification on 25th January 2005 for
promotion of bio-fuel activities in the State. CBDA is recognized as Scientific &
Industrial Research Organization (SIRO) by Department of Scientific & Industrial
Research (DISR), Government of India.
To give a further boost to the Ethanol Blending Program(EBP), grain based
distilleries, having zero liquid discharge (ZLD) and setup to produce only ethanol for the
purposes of EBP of the Government, and keeping in view overall environmental, social and
economic benefits in production of ethanol from surplus food grain (e.g. rice, maize, wheat,
barley, sorghum, etc.) including reduction in Green house Gas emissions in comparison to
conventional fossil-fuel, less water and air pollution, potential boost to agricultural
economy and reduced dependence on imported fossil fuel by equivalent amount, the
Government has granted several special dispensation as well as incentives to promote them.
The National Policy on Biofuels -2018 specifies that, for the purpose of Research &
Development and demonstration, pilot/ demonstration projects to be set up for bio-fuel
production. CBDA therefore, desires to Construct a Shed for 1G Grain based Bio-ethanol
demonstration Plant (ck;ks&,FksukWy izn'kZuh la;a=) of around 100 ltr. per day production capacity at
CBDA Biofuel Complex site at Vill: Godhi, Dist: Durg, to further research and development
activity in this direction.

therefore, solicits your interest through the form of a „Quotation‟ in competition with other
interested parties for provision of Construction of Shed for 1G Grain based Bio-ethanol
Demonstration Plant (ck;ks&,FksukWy izn'kZuh la;a=) at CBDA Biofuel Complex Site, Vill: Godhi,
Dist: Durg. Sealed Quotes are invited for & on behalf of CBDA in two-bid system, (Part-I
i.e. Techno-Commercial bid and Part-II, i.e. Price bid) from bonafide experienced &
reputed Agencies/Manufacturers/Suppliers/Engineering works (Bidder or Bidders) for the
subject work as detailed in this tender Document.
A set of tender documents along with „Price Bid‟ format are enclosed for submission of
your offer:
1.0 BRIEF DETAILS OF THE WORK ARE AS UNDER :-
1.1 TENDER COST
(NON-REFUNDABLE)
Rs. 1000/ - (Rs. One thousand only) by demand draft
in favour of CHHATTISGARH BIOFUEL
DEVELOPMENT AUTHORITY, payable at Raipur,
CG or by cash at CBDA‟S Head Office at Raipur.
Tender document can also be downloaded from the
CBDA website (www.cbda.in). Prospective Bidder
downloading from the website shall be required to pay
tender cost of Rs. 1000/- by demand draft/ online
transfer to CBDA along with the bid.
1.2 EARNEST MONEY
DEPOSIT (EMD)
The EMD shall be Rs. 40,000/- (Rupees Forty thousand
only)
EMD of unsuccessful Bidder(s) will be refunded after
award of work and receipt of security deposit from the
successful Bidder.

Techno-commercial bids (Part-I) shall be opened on 31st
August 2021 at 15:30 hrs. Authorized representative of
Bidder shall attend.
Price-bid (Part-II) of the Bidders whose Techno-
commercial bid has been found acceptable by CBDA,
shall be opened at a later date. Such bidder(s) will be
intimated by e-mail/post/message/telephonically.
1.10 PLACE OF TENDER
SUBMISSION The tender document can be submitted by post so as to
reach at the following address before the last date and
time for submission of the bid:

If submitted in person, the same could be submitted in
the tender box placed at the above office address.
1.11 VALIDITY OF OFFER 06 (six) months from the last date of submission of
tender.
1.12 DURATION OF THE
PROJECT Duration of the project could be 90 (ninety) days, further
extendable for another 30 (thirty) days, subject to pre-
conditions, at the sole discretion of CBDA.
2.0 SUBMISSION OF BIDS
Bids shall be submitted in the manner as described in “Instructions To Bidders” (ITB)
of this bidding document. Techno-Commercial Offer (Part 1) shall contain original un
priced offer along with EMD.
Price Bid (Part 2) shall contain only price bid without any condition/deviation.
The Rate shall be filled up, both in figures (in rupees and paisa) and in words. No
overwriting or use of correction fluid shall be accepted. Any correction shall be legible
and signed by the authorized signatory. In the event of difference between figures and
words the amount mentioned in words shall prevail.

3.0 ELIGIBILITY CRITERIA
The Bidder should satisfy itself regarding the eligibility criteria before submission of the
bid.
The Bidder should fulfill all of the following eligibility criteria from Para 3.1 to 3.4
below and provide necessary documents (annual report, related work-order, payment
vouchers approved by the project promoting agency, project completion report/payment
proofs etc.) for verification:
3.1 The Bidder applying for the tender must have executed projects in any one or more out
of the following:
1. Agency/ Manufacturer/ Contractors/ Engineering Firms (AGENCY or Bidder or
Bidders) engaged in the construction of similar kind of sheds/ godowns for
reputed public or private sector companies/ organizations, any government
recognized laboratory, government research institutes, OMCs laboratory, BIS
accredited laboratory, agriculture universities, private distillery owners, State/
Central govt. funded research projects of similar kind.
2. Agency engaged in the erection, construction of overhead sheds for testing
laboratory(ies) of Govt. of Chhattisgarh/ Govt. of India/ OMC will be given
preference.

3.2 The Annual Turnover of the Bidder applying for construction of shed for complete
unit of 1G ethanol demonstration Plant shall be minimum Rs. 40,00,000/- (Rupees
Forty Lacs only) during any of last three financial years (i.e. 2020-21, 2019-20 &
2018-19).
and
3.3 The Bidder applying for the tender should have executed works as mentioned in Clause
3.1 above during any of the last three preceding financial years of following value:
3.3.1 Three completed work orders, each of minimum value of Rs. 4,00,000/- (Rupees
Four lacs only)
or
3.3.2 Two completed work orders, each of minimum value of Rs 5,00,000/- (Rupees
Five lacs only)
or
3.3.3 One completed work order of minimum value of Rs 10,00,000/- (Rupees Ten lacs
only)
3.3.4 Work orders for the current financial year i.e. 2021-22 shall not be considered.

3.4 Past experience of the Bidder
3.4.1 Bidders executing work orders shall submit their past experience certificates
indicating work orders completed as per Scope of work, within given time
schedule & quality of work (as per specification) to the satisfaction of owners.
3.4.2 Bidder has to submit minimum 3 works completed as per 3.3.1, Two works as
per 3.3.2 or minimum 1 work as per 3.3.3 within given time schedule, as per
Scope & quality of work (as per specification given in the tender) to the
satisfaction of owners.
3.5 The Bidder shall submit the details of the Eligibility Criteria (Para 3.1 to 3.4) in the
format attached as Annexure-II & Annexure-III of Instruction to Bidders (ITB).
3.6 A Ready Reckoner for calculating eligibility criteria and turnover requirements for
being eligible for consideration for the subject work:

Value of the three completed work orders (in Rs.) or 4,00,000
Value of two completed work orders (in Rs.) or 5,00,000
Value of one completed work orders (in Rs.) or 10,00,000

3.7 Tender can be purchased as mentioned in Para 1.1 above by paying Rs 1000/-
(Rupees One thousand only) thru' Demand Draft in favour of CHHATTISGARH
BIOFUEL DEVELOPMENT AUTHORITY, payable at Raipur or by cash or by
online transfer/net banking deposit to CBDA account.
3.8 EMD as mentioned in Para 1.2 above shall be paid only by crossed Demand Draft or
Pay Order issued by any scheduled Bank, in favour of M/s CHHATTISGARH
BIOFUEL DEVELOPMENT AUTHORITY or submit online transfer receipt to
CBDA Bank account. Particulars of CBDA Bank account are as under:

Tenders without EMD will be rejected. Bidders shall ensure submission of
complete information/documentations in the first instance itself. CBDA reserves the
right to complete the evaluation based on the basis of details furnished by the
AGENCY without seeking any subsequent additional information. Bids not in
compliance with Tender Document or with incomplete information documents are
liable for rejection.
3.9 CBDA reserves the right to accept/ reject any tender in part or full, without assigning
any reason whatsoever.
3.10 CBDA takes no responsibility for delay, loss or non-receipt of tender documents sent
by post /courier. Telex/Telegraphic/Fax/E-mail, offers in soft copy i.e. CD etc. shall
not be accepted.
3.11 Bidder is advised to visit and examine the site(s) of works and its surroundings and
obtain for himself on his own responsibility all information that may be necessary for
preparing the bid and entering into the Contract. The cost of visiting the site shall be
at Bidder‟s own expenses.
3.12 If the last date of receiving/ opening of the tenders coincide with a holiday, then the
next working day shall be the receiving/ opening date.
3.13 Please acknowledge receipt of this tender document as per format enclosed as
Annexure-I of NIT of the Tender Document within 1 week of taking Tender
Document.

INSTRUCTION TO BIDDERS (ITB) 1.0 DESCRIPTION
CBDA proposes to set up a surplus grain based bio-ethanol production unit of 100 ltr./day
capacity, where day signifies 08 (eight) hours of continuous operation, for demonstration
purpose to further research and development in the field of biofuel. Shed to be constructed
for proposed 1G Grain based Bio-ethanol demonstration Plant (ck;ks&,FksukWy izn'kZuh la;a=) of
100 ltr. per day production capacity at CBDA Biofuel Complex site at Vill: Godhi, Dist:
Durg, to further research and development activity in Biofuel.
1.1 Interested Bidder/ bidders(s) is/are advised to visit the Biofuel Complex Project Site at Vill:
Godhi, Dist: Durg and familiarize himself of the existing facilities & environment, and shall
collect all other relevant information, which he may require for preparing and submitting the
bid and entering into the contract. Claims & objections due to ignorance of existing
conditions or inadequacy of information will not be considered after submission of the bid
and during its implementation.
2.0 INFORMATION REQUIRED WITH BIDS
Techno-Commercial and Un-priced Bid (Commercial Part) shall comprise the attachments,
specifying attachment number arranged in the order as follows:
A. Mandatory Documents:
i) Submission of bid letter on Bidder‟s letter pad, the format of which is attached as
Annexure I to ITB,
ii) Submit past experience certificates indicating work orders completed as per Scope of work,
iii) Compliance to Bid Requirements as per Annexure-I (A) to ITB. Tender documents along
with amendments if any, all pages including attachments duly numbered, signed & stamped
in token of acceptance.
iv) Earnest Money Deposit and its details.
v) Details of projects undertaken (as mentioned in Para 3.2 and 3.5 of NIT) executed in the last
three financial years by bidder as per Annexure-II to ITB along with Work Order copies
and Completion Certificates for the highest valued similar executed work.
vi) The Eligibility Criteria (EC) requirement as mentioned in Para 3.2 and 3.4 of NIT should be
submitted in the format attached as Annexure-III to ITB.
vii) Proposed Organization Chart together with an assignment schedule (By position), proposed
for the execution of this work along with the bio-data of key personnel as per Annexure-IV
to ITB.
viii) Audited Balance Sheet/Statement of Affairs and Profit & Loss Account/Income &
Expenditure Accounts for last three financial years along with annual turnover statement
as per Annexure-V to ITB.
ix) Valid Income-Tax Clearance Certificate/ Assessment orders for the last three years/ copy of
the Income Tax return of last three years duly acknowledge by Income tax Department.
x) Exception/ Deviations statement as per Annexure-VI to ITB.
xi) Information regarding blacklisting/holiday listing according to appropriate type of firm /
concern, the tenderer subject to among the types mentioned in Section-9 in General
Conditions of Contract (GCC).
xii) Details of PAN No., GST Registration number and Service Tax Registration number.

B. Desirable Documents
i. Power of Attorney in favour of authorized signatory of the bid document, if not applicable
kindly mention.
ii. Organization details
In case of a proprietorship firm, the name and address of proprietor, and certified
copy of 'Certificate of Registration of firm'.
In case Bidder is a partnership firm, certified copy of the partnership deed,
Certificate of Registration.
In case of company (whether private or public), certified copy of the `Certificate of
Incorporation' together with certified Memorandum/ Articles of Association.
In case of Civil Society Organizations, certified copy of the Certificate of
Registration together with certified Memorandum/Articles of Association.
iii. Latest Solvency Certificate from a scheduled bank.
iv. Details of Declaration about the relationship, if any with CBDA‟S Directors/ Officials as per
Annexure-VII to ITB.
v. Any other relevant document, Bidder desires to submit.
Checklist of submission of bid as per Annexure-VIII to ITB.
However the bidders are requested to furnish the information mentioned in desirable
documents in the attached relevant Annexure(s).
3.0 EXPENSES TO BE BORNE BY BIDDER
All expenses in preparation and submission of bids and visits to the biofuel complex project
site, office or any place in connection with the preparation of Bid shall be borne by Bidder.
CBDA in no case shall be responsible or liable for these costs regardless of the outcome of
the Bidding process.
4.0 BIDDER CAN APPLY FOR CONSTRUCTION OF SHED FOR 1G GRAIN BASED
BIO-ETHANOL PRODUCTION UNIT
CBDA intends to award work order for Construction of Shed for 1G Grain based Bio-
ethanol Demonstration Plant (ck;ks&,FksukWy izn'kZuh la;a=) at CBDA Biofuel Complex Site,
Vill: Godhi, Dist: Durg to produce denatured anhydrous ethanol

5.0 EMD AND SECURITY DEPOSIT
5.1 EMD:
The AGENCY/Bidder shall deposit EMD by way Demand Draft / Pay Order payable at
Raipur in favour of M/s CHHATTISGARH BIOFUEL DEVELOPMENT AUTHORITY or
thru' online transfer to CBDA Bank account, no interest shall be payable by CBDA for
Earnest Money Deposit. Bids not accompanied by Earnest Money are liable to be rejected.
For Bidders applying for Construction of Shed for 1G Grain based Bio-ethanol
Demonstration Plant (ck;ks&,FksukWy izn'kZuh la;a=), the EMD amount should be as per Para 1.2
of the NIT. In the event amount of EMD deposited by the Bidder is insufficient, the
technical bid will be rejected, without any reference to the Bidder.
5.2 SECURITY DEPOSIT:
The AGENCY shall have to maintain a security deposit of 10% of the value of the Work
order with the CBDA.
Security deposit shall be provided by payment in Bank Draft or Pay Order of a scheduled
Bank or thru' online transfer to CBDA Bank account at Raipur. Within seven days of
acceptance of work order by the selected vendor, the AGENCY must deposit an amount
equal to 10 % of the work order value. The EMD deposited by the AGENCY along with the
tender shall be converted into security deposit. in case the successful bidder submits a
request for the same. No interest shall be payable against EMD and security deposit, by
CBDA.
6.0 BIDDING DOCUMENT NOT TRANSFERABLE
Bidding document once issued shall not be transferable in any other name.
7.0 PRICES, TAXES, DUTIES & GST
The quoted prices shall be deemed to be inclusive of all taxes, duties, octroi, levies,
overheads, applicable GST, etc. unless separately specified. Income Tax and Works
Contract Tax on any of the activities shall be deducted at source as applicable. In the event
of any increase or decrease in the taxes, GST or duties, the quoted price shall be accordingly
increased or decreased so that there is no additional burden/benefit to the Bidder on account
of changes in taxes/duties.
CBDA is registered with the Department of Scientific & Industrial Research (DISR),
Government of India, as Scientific & Industrial Research Organization (SIRO), and the
Integrated tax leviable thereon shall be in accordance with Ministry of Finance, Department
of revenue, Government of India Notification No. 47/2017-Integrated Tax (rate), dated 14th
November, 2017 and its amendments from time to time.

8.0 BID VALIDITY
Bid submitted by Bidder shall remain valid for a period of 06 (six) months from the last date
of submission of tender. Bidder shall not be entitled during this period to revoke or vary the
content of Bid or any term thereof. In such case of making any variation subsequent to
submission of bid at their own, the offer shall be treated as “REJECTED” and EMD shall be
forfeited or Bank Guarantee en-cashed without any reference to the Bidder.
9.0 PRE-BID MEETING
9.1 The prospective Bidder (who has purchased the tender document) or his designated
representative may be invited to attend a pre-bid meeting. The time and venue of Pre-Bid
meeting shall be communicated to the prospective Bidders. The purpose of the meeting will
be to clarify issues and to answer questions on any matter that may be raised at that stage.
9.2 The Bidder is requested to submit any queries or seek any clarification in the format
(Annexure-IX) provided herewith by e-mail/courier so as to reach CBDA at least one week
before the pre-bid meeting. These queries shall be replied during pre-bid meeting.
9.3 The text of the queries raised/clarification sought and the responses given, together with any
responses prepared after the meeting will be transmitted without delay (without identifying
the sources of the question) to all parties who have purchased Tender document or
downloaded from the CBDA website and confirmed their intentions to bid as per
Annexure-I of NIT. Bidders can also seek any clarification from the office of signatory of
the tender. Copy of the Clarification sought and CBDA‟S reply would be provided to all
parties who have purchased Tender document and confirmed their intentions to bid as per
Annexure-I of NIT. The Bidder who has downloaded from the website must inform its
intention to bid as per Annexure-I, otherwise the Bidder may not receive clarification /
addendum issued by CBDA.
9.4 Any modification of the bidding documents that may become necessary due to:
i) New issues emerging at the time of the pre-bid meeting which were not thought of
earlier or
ii) Clarifications sought by the Bidders or
iii) Due to any other reason which in the opinion of CBDA requires modification shall be
made by CBDA exclusively through the issue of an Addendum and not through the
minutes of the pre-bid meeting.
All such addendums issued shall form part of tender documents.

10.0 BID SUBMISSION
Bids shall be submitted in single stage in two parts (Techno-commercial and UnPrice Bids)
as below.
10.1 Part 1: Techno-Commercial and unpriced bid- This part shall contain 2 envelopes as
given below:
ENVELOPE NO. 1: TECHNO-COMMERCIAL AND UNPRICED PART
This envelope should contain techno-commercial details in the order as mentioned in Para
2.0 of ITB, including all supporting document as asked in the Tender Document, copy of
ORIGINAL Bidding Document duly signed & stamped on each page of document without
filling the prices. The envelope should mention “TECHNO-COMMERCIAL AND
UNPRICED PART” and name & address of the Bidder.
ENVELOPE NO. 2- This envelope shall contain EMD. The Bidder, who has downloaded
the tender document from the CBDA website must also deposit tender cost of Rs. 1000/-
(Rupees One thousand only) as mentioned in Para 1.1 of NIT. The envelope should mention
“EMD” and name & address of the Bidder.
10.2 Part 2: Priced bid
ENVELOPE NO. 3: PRICED PART
The Bidder shall submit Price bid as per Annexure I to Price Part without any condition.
Condition indicated, if any, in this part shall not be taken cognizance of.
Bidders shall submit price bids for Construction of Shed for 1G Grain based Bio-ethanol
Demonstration Plant.

12.0 OPENING OF BIDS
12.1 Part – I: Techno-Commercial and un-priced bid shall be opened by CBDA as mentioned
under Para 1.9 of NIT. The bid document without EMD in the form of Demand Draft/Pay
Order/ online transfer receipt will not be valid and the same is liable to be rejected.
12.2 Part –II: Those Bidders, whose Techno-Commercial and un-priced bid is found acceptable
after evaluation of their offers by CBDA, their Price bid shall be opened at a later date in the
presence of the authorized representatives of such Bidders. The date of Price bid opening
shall be communicated to those Bidders, whose Techno-Commercial and un-priced bid is
found acceptable. During opening of Price bid, the name of Bidder, and Bid price(s) shall be
read.

13.0 PRICE EVALUATIONS AND AWARD OF WORK
13.1 The bidders shall quote for the complete job as detailed in Scope of Work (Annexure A of SCC).
13.2 The bids of those Bidders, whose bids are incomplete or not accompanied by EMD & tender
cost (applicable only for Bidders downloading tender document from the CBDA website) or
Bidder(s) who are Black listed/put on Holiday by CBDA/Govt. of Chhattisgarh/ shall be
rejected and not evaluated further. The Techno-Commercial and unpriced bids of other
Bidders shall be technically evaluated by CBDA.
13.3 The Price Bids of technically acceptable Bidder(s) shall be evaluated in the following
manner.
Step 1- Price bid/quote of all technically qualified Bidders shall be opened.
Step 2- Lowest price/quote (i.e. L1 bid) for entire work as per Scope of Work shall be
arrived.
Step 3- L1 bidder shall be awarded work for Construction Of Shed for 1G Grain based
Bioethanol pilot plant of 100 ltr. per day production capacity to CBDA Biofuel
Complex site at Vill: Godhi, Dist: Durg.
13.4 L1 Bidder shall have to undertake scheduled maintenance of Shed during the initial warranty
period which shall be minimum 12 (twelve) months or higher without any extra cost to
CBDA.
13.5 CBDA reserve its rights not to award Construction Of Shed for 1G Grain based Bio-ethanol
Demonstration Plant (ck;ks&,FksukWy izn'kZuh la;a=) at CBDA Biofuel Complex Site, Vill: Godhi,
Dist: Durg to any Bidder, if in the opinion of CBDA all price quotes for such work is
abnormally high or abnormally low.
14.0 CONTRACT AGREEMENT
The successful Bidder(s) shall be required to execute a contract Agreement (s)
(ANNEXURE X of ITB) with CBDA as per Performa attached with this document on the
non-judicial stamp paper of Rs. 100/- (Rupees One hundred only) to be purchased from
Raipur. The cost of stamp paper shall be borne by successful Bidder.
CBDA reserves the right to amend the terms & conditions of contract after mutual
discussions and shall only do so in writing.
15.0 CONTRACT PERIOD
Duration of the project is for 90 (ninety) days and may extended further, at the sole
discretion of CBDA.

16.0 AMENDMENT OF TENDER DOCUMENT
16.1 CBDA may, for any reason whether at his own initiative or in response to the clarification
requested by the prospective Bidder, issue amendment in the form of addendum during the
bidding period and subsequent to receiving the bids. Any addendum/corrigendum thus
issued shall become part of tender document and Bidder shall submit `original‟ addendum/
corrigendum duly signed and stamped in token of his acceptance along with the bid
document .
16.2 For addendum/ corrigendum issued prior to submission of the bids, Bidder shall consider the
impact in his bid. For addendum/ corrigendum issued subsequent to receiving the bids,
Bidder shall follow the instructions issued along with addendum/ corrigendum with regard
to submission of impact on quoted price.
16.3 All amendments/ information with respect to this tender will be uploaded on CBDA‟S website www.cbda.in and notice thereof will not be published in any newspaper. All
tenderers are therefore, advised to visit the said website regularly for updated information, if
any.
17.0 APPLICABLE LANGUAGE
The bid and all correspondence incidentals to and concerning the bid shall be in the English
Language. For supporting document and printing literature submitted in any other language,
an accurate English Translation shall also be submitted. Responsibility for correctness in
translation shall lie with the Bidder.
18.0 COMPLIANCE TO TENDER REQUIREMENT
CBDA expects Bidder‟S compliance to the requirement of tender document without any
deviation. In any case, no exception or deviation shall be accepted to the following clauses
of tender document:
i) Earnest Money Deposit
ii) Bid Validity Period
iii) Security Deposit
iv) Termination
v) Scope of Work
vi) Force Majeure
vii) Arbitration
viii) Preamble to Schedule of Rates

Deviation on other clauses, if felt absolutely necessary, should be furnished only in a
Performa given as Annexure-VI to ITB. Deviations, if accepted shall be intimated to all
Bidders. In case Bidder stipulates deviations, and there are sufficient bids without any

deviation, CBDA will have the right to reject such bid at its absolute discretion and without
giving any opportunity for such Bidder to make good such deficiency.
19.0 PROCESS TO BE CONFIDENTIAL
Information related to the examination, clarification, evaluation and comparison of bids and
recommendations for award of contract shall not be disclosed to Bidder or other person not
officially concerned with such process. Any effort by Bidder to influence the CBDA‟S
processing of bidding or award decisions may result in rejection of such Bidder's bid.
20.0 CBDA’S RIGHT TO ANNUL BIDDING PROCESS OR ACCEPT/REJECT A BID
CBDA reserves the right to accept a bid other than the lowest and to accept or reject any bid
in whole or part, to annul the bidding process or to reject all bids with or without notice or
reasons. Such decisions shall be without any liability whatsoever upon the CBDA. CBDA‟S
decision in this regard shall be final and binding for all Bidders.
21.0 AWARD OF WORK
i) The Bidder, whose bid is accepted by CBDA shall be issued, Fax of Acceptance /
Letter of Acceptance (FOA / LOA) through regular post/ email, prior to expiry of bid
validity. Bidder shall return signed & stamped copy of the FOA / LOA for our record.
CBDA shall not be obliged to furnish any information / clarification / explanation to the
unsuccessful Bidders as regards non-acceptance of their bids. Except for refund of EMD to
unsuccessful Bidders, CBDA shall correspond only with the successful Bidder(s).
ii) The Bidder, whose bid/quote is accepted by CBDA shall have priority in
undertaking Construction Of Shed for 1G Grain based Bio-ethanol Demonstration Plant
(ck;ks&,FksukWy izn'kZuh la;a=) at CBDA Biofuel Complex Site, Vill: Godhi, Dist: Durg. CBDA
shall not be obliged to furnish any information / clarification / explanation to the
unsuccessful Bidders as regards non-acceptance of their bids. Since no refund of EMD to
successful Bidders shall be required, CBDA shall correspond only with the successful
Bidder(s). Price bid of only technically qualified bidders shall be opened and evaluated.

WHEREAS
The CBDA desires to have executed the work Construction Of Shed for 1G Grain based Bio-
ethanol Demonstration Plant (ck;ks&,FksukWy izn'kZuh la;a=) at CBDA Biofuel Complex Site, Vill: Godhi,
Dist: Durg, more specifically mentioned and described in the Contract Documents (hereinafter
called the ''WORK'' which expression shall include all amendments therein and/or modifications
thereof) and has accepted the tender of the AGENCY for the said WORK.

The contractor shall during the validity period of work order and 10 (ten) years thereafter undertake
on their own behalf and on behalf of their subcontractors/employees/ representatives/associates to
maintain strict confidentiality and prevent disclosure thereof, of all the information and data
exchanged/ generated pertaining to the work under this agreement for any purposes.

NOW, THEREFORE THIS CONTRACT WITNESSETH as follows:
ARTICLE - 1
CONTRACT DOCUMENTS
1.1 The following documents shall constitute the Contract Documents, namely:
(a) This contract;
(b) Tender documents as defined in the Instructions to Bidders;
(c) Letter of Acceptance (LoA) of Tender along with signed acknowledgement of Work
Order copy.
1.2 A copy of each of the Tender Documents is annexed hereto and the said copies have been
collectively marked Annexure 'A' while a copy of the Letter of Acceptance of Tender along
with annexure thereto and a copy of signed acknowledgement of Work Order dated
_____are annexed hereto and said copies have been collectively marked as Annexure - 'B'.
ARTICLE - 2
WORK TO BE PERFORMED
The AGENCY shall perform the said work upon the terms and conditions and within the time
specified in the Contract Documents.
ARTICLE - 3
COMPENSATION
Subject to and upon the terms and conditions contained in the Contract Documents, the CBDA shall
pay AGENCY compensation as specified in the Contract Documents upon the satisfactory
completion of the WORK and/or otherwise as may be specified in the Contract Documents.
ARTICLE - 4
JURISDICTION
Notwithstanding any other court or courts having jurisdiction to decide the question(s) forming the
subject matter of the reference if the same had been the subject matter of a suit, any and all actions
and proceedings arising out of or relative to the contract (including any arbitration in terms thereof)
shall lie only in the court of competent civil jurisdiction in this behalf at RAIPUR (where this
Contract has been signed on behalf of the CBDA) and only the said Court(s) shall have jurisdiction
to entertain and try any such action(s) and/or proceeding(s) to the exclusion of all other Courts.
ARTICLE - 5
ENTIRE CONTRACT
The Contract Documents mentioned in Article - I hereof embody the entire Contract between the
parties hereto, and the parties declare that in entering into this Contract they do not rely upon any
previous representation, whether express or implied and whether written or oral, or any inducement,
understanding or agreements of any kind not included within the Contract Documents and all prior
negotiations, representations, contracts and/or agreements and understandings relative to the work
are hereby cancelled.

ARTICLE - 6
NOTICES
6.1 Subject to any provisions in the Contract Documents to the contrary, any notice, order or
Communication sought to be served by the AGENCY on the CBDA with reference to the
Contract shall be deemed to have been sufficiently served upon the CBDA (notwithstanding
any enabling provisions under any law to the contrary) only if delivered by hand or by
Registered acknowledgment Due Post to the project of CBDA.
6.2 Without prejudice to any other mode of service provided for in the Contract Documents or
otherwise available to the CBDA, any notice, order or other communication sought to be
served by the CBDA on the AGENCY with reference to the Contract, shall be deemed to
have been sufficiently served if delivered by hand or through Registered Post
Acknowledgement Due to the principal office of the AGENCY at …………… or to the
AGENCY's representatives as referred to in the General Conditions of Contract forming part
of the Contract Documents.
ARTICLE-7
WAIVER
No failure or delay by the CBDA in enforcing any right or remedy of the CBDA in terms of the
Contract or any obligation or liability of the AGENCY in terms thereof shall be deemed to be a
waiver of such right, remedy, obligation or liability, as the case may be, by the CBDA and
notwithstanding such failure or delay, the CBDA shall be entitled at any time to enforce such right,
remedy, obligation or liability, as the case may be
ARTICLE-8
NON-ASSIGNABILITY
The Contract and benefits and obligations thereof shall be strictly personal to the AGENCY and
shall not on any account be assignable or transferable by the AGENCY IN WITNESS WHEREOF the
parties hereto have executed this Contract in duplicate the place, day and year first above written.
ARTICLE-9
EXTENSION(S)
The Contract may be extended for 90 (ninety) days at the sole discretion of CBDA‟s management
based upon the satisfactory performance.

ARTICLE 10
TERMINATION
Upon termination of the contract as per the provisions in the Contract Documents, CBDA shall be
entitled to get the work completed by itself or through any other party as contemplated in the Scope
of Work at the risk and expenses of the AGENCY. If the cost incurred by CBDA is more than the
amount of security deposit and payment due to the AGENCY, CBDA shall have the right to recover
such cost, claim compensation or damages as required from the AGENCY.

CHAPTER 3
GENERAL CONDITIONS OF CONTRACT
SECTION 1
1. DEFINITIONS
The following expressions hereunder and elsewhere in the Contract Documents used, unless
repugnant to the subject or context thereof shall have the following meanings hereunder
respectively assigned to them, namely:
1.1. The "OWNER" shall mean CHHATTISGARH BIOFUEL DEVELOPMENT
AUTHORITY. (CBDA), formed by the Government of Chhattisgarh through a gazette
notification on 26th January 2005 and having its registered office at V.I.P. Road, Biofuel
Complex, Post-Deopuri, , Raipur (CG) – 492015, India and shall include its successors and
assigns.
1.2. The "CONTRACTOR" shall mean Individual, Agency, Firm or Company (whether
incorporated or not) selected by the OWNER for the performance of the Contract and shall
include its legal representatives, successors and permitted assigns.
1.3. The "Contract" shall mean the agreement between the parties as derived from the Contract
Documents.
1.4. The "Contract Documents" shall mean the contract documents defined in the Form of
Contract (ANNEXURE X of ITB).
1.5. The "Concerned Officer(s) of CBDA" shall mean the Officer(s) of the OWNER, Consultant
or other organization nominated by the OWNER from time to time in writing to act as
concerned Officer(s) of CBDA for the purpose of the Contract or any specific works.
1.6. "Order" and "Instruction" shall respectively mean any written Order or Instruction given by
the concerned Officer(s) of CBDA within the scope of their respective powers in terms of
the Contract.
1.7. "Project" shall mean the project embracing the work(s) forming the subject matter of the
Contract.
1.8. "Work", "Scope of Work", shall mean the totality of the work, services and activities to be
performed or undertaken and the totality of the responsibilities to be discharged, as
envisaged by expression or implication in the contract and shall include all inputs required
for such performance
1.9. "Acceptance of Tender" shall mean the Acceptance of Tender issued by the OWNER to the
CONTRACTOR, and shall include a letter or fax of acceptance or other notification of
award of work, and a detailed Letter of Acceptance.
1.10. Time Schedule" shall mean the Time Schedule for final completion of the Works as
mentioned in the Contract or as may be extended by the OWNER or concerned Officer(s)
of CBDA pursuant to the provisions hereof and shall include interim time schedules set up
for achieving interim/phase-wise/stage-wise progress/ completion/ testing/ commissioning/
handing over, as may be prescribed by the OWNER/ concerned Officer(s) of CBDA,
within the overall Time Schedule as originally envisaged or as extended.
1.11. The "Total Contract Value" shall, up to calculation of the entire remuneration due to the
CONTRACTOR in terms of the contract on successful completion of the work, mean the
Total Contract Value as specified in the Acceptance of Tender, and after calculation of the
entire remuneration due to CONTRACTOR under the contract on successful completion of
the contract, shall mean the totality of such remuneration.

SECTION - 2
2. INTERPRETATION OF CONTRACT DOCUMENTS:
2.1. Should there be any doubt or ambiguity in the interpretation of the Contract Documents or
error, omission or contradiction therein or in any of them, the CONTRACTOR shall, prior
to commencing the relative work, apply in writing to the concerned Officer(s) of CBDA for
his decision in resolution of the doubt, ambiguity or contradiction or correction of the error
or omission, as the case may be.
2.2. In the event of the CONTRACTOR having already performed or executed any work at
variance with the decision of the concerned Officer(s) of CBDA as aforesaid, then,
notwithstanding payment in respect of such work having been made to the
CONTRACTOR, such work shall be deemed to be a defective work and the concerned
officer of the “OWNER” shall be entitled to reject at any time such work done/materials
employed and the CONTRACTOR shall either redo the work or improve the materials
employed or replace it at his own cost and expense.
2.3. It will be binding on the CONTRACTOR to complete the assigned work/activities in toto
and shall in no way be half done or incomplete as this would tantamount to breach of
contract. For any other reason of non completion of work, concerned Officer of OWNER
should be given in writing and reasons thereof which if adjudged valid will be considered
on case basis.
2.4. The OWNER shall be entitled at any time at his discretion to cancel the contract, if, in the
opinion of the OWNER, the cessation of the work becomes necessary owing to any cause
whatsoever, and a notice in writing from the OWNER to the CONTRACTOR of such
cancellation and the reason(s) therefore shall be conclusive proof of such cancellation and
the reasons therefore.
2.5. The concerned Officer of OWNER shall have the power by written notice to the
CONTRACTOR at any time prior to or in the course of the execution of the works to alter
or amend the specifications, order and or any of them and the CONTRACTOR shall carry
out the related work in accordance with such altered specifications, order and/or
instructions as the case maybe on same terms and conditions on all respect, subject to
provision in Clause 2.6 hereof.
2.6. If such alteration or amendment, as mentioned in Clause 2.5 above, shall, in the opinion of
the concerned Officer(s) of CBDA (whose opinion in this behalf shall be final and binding
upon the CONTRACTOR), necessitate the performance of any work not covered under the
Tender documents then the remuneration for such work or portion or item thereof shall be
determined on the prevailing market rates.
SECTION-3
3. EMD & SECURITY DEPOSIT
3.1. The CONTRACTOR shall abide by the EMD & SECURITY DEPOSIT Clause as
mentioned in the Tender document
3.2. If at any time during the course of the work, the gross value of the work, as reflected by the
Running Bills submitted by the CONTRACTOR has in the opinion of the OWNER (which
shall be final and binding on the CONTRACTOR), exceeded or is likely to exceed the Total
Contract Value indicated in the acceptance of Tender, the CONTRACTOR shall be bound
to pay further Security Deposit as will make up the total Security Deposit to 10% (Ten
percent) of the then anticipated Contract Value, failing which the OWNER shall be at

liberty to make such deductions towards Retention Money(ies) from the CONTRACTOR's
Running Bills, and will, at all times, ensure that the Security Deposit does not fall below
10% (Ten percent) of the gross value of the work, as reflected by the gross payments made
to the CONTRACTOR, without taking into account any deductions. If the shortfall in
Security Deposit is discovered after completion of the work, the shortfall shall be made
good by the CONTRACTOR on demand from the OWNER, failing which, it will be
recovered from any money (ies) due to the CONTRACTOR from the OWNER under this
contract and/or any other contract with the OWNER.
SECTION-4
4. CANCELLATION OF CONTRACT
4.1. The OWNER shall be entitled at any time at his discretion to cancel the contract, if, in the
opinion of the OWNER, the cessation of the work becomes necessary owing to any cause
whatsoever, and a notice in writing from the OWNER to the CONTRACTOR of such
cancellation and the reason(s) therefore shall be conclusive proof of such cancellation and
the reasons therefore.
4.2. Upon cancellation of the Contract, the concerned Officer(s) of CBDA may require the
CONTRACTOR to complete the intermediary task undertaken to the satisfaction of the
Officers of CBDA.
4.3. Upon cancellation of the Contract, the CONTRACTOR agrees to waive any claim for
damages, including loss of anticipated profits on account thereof, and as the sole right and
remedy of the CONTRACTOR against the OWNER resultant upon such cancellation, the
CONTRACTOR agrees to accept from the OWNER payment for the supplies of inputs &
payment for the work actually performed by the CONTRACTOR calculated on the basis of
Unit Rates or lump sum rates wherever applicable.
SECTION-5
5. MATERIALS, LABOR AND INPUTS
5.1. Notwithstanding anything to the contrary in the Contract Documents express or implied, the
CONTRACTOR shall be and remain at all times exclusively responsible to provide all
material and inputs required for or in connection with the work, including, but not limited
to those indicated by expression or implication in the Scope of Work and/or other Contract
Documents in or relative to the execution and performance of the work.
5.2. The CONTRACTOR shall be and remain at all times responsible for the quality & quantity
of the materials and inputs employed in the execution of the work and shall at no time
compromise on the materials and inputs quality and quantity and any confirmation, of
dubious materials and inputs being used in the execution of the work at CONTRACTOR‟s
end, by the Officers of the OWNER, shall oblige the CONTRACTOR to replace such
materials and inputs with the standard quality of material and inputs at his own cost.
5.3. The CONTRACTOR is expected to co-operate in providing samples of inputs employed to
Officers of OWNER for its analysis and quality check from any locations where the lot is
stored or is in use.
5.4. The CONTRACTOR shall be and remain responsible for the timely completion of the work
assigned and no issues on inputs, labor and material required for the execution of the work
shall come on the way of timely completion of the work assigned.

SECTION-6
6. REPORTS AND RECORDS
6.1. The CONTRACTOR shall, from time to time, maintain at place of Construction of Shed.
(in addition to any records or registers required to be maintained by the CONTRACTOR)
such records and registers as the concerned Officer(s) of CBDA shall or may require the
CONTRACTOR to keep and/ or maintain from time to time.
6.2. In addition to any other records or registers required to be maintained by the
CONTRACTOR from time to time and/ or to the reports required to be furnished by the
CONTRACTOR, the CONTRACTOR shall daily or otherwise as may be prescribed by
concerned Officer(s) of CBDA a Progress Report of all work done and/ or progress
achieved by the CONTRACTOR at each job site within the preceding day or the period of
last report, as the case may be.
6.3. The CONTRACTOR shall also complete the MV (Monitoring and verification) form or any
such format by whatever name it is mentioned in the contract document formed for each
activity, as given in Tender documents, from time to time as the work progresses and same
shall be made available to Officers of CBDA after filling the relevant details.
SECTION-7
7. MEASUREMENTS, CLAIMS AND PAYMENTS
7.1. All Material jointly by the concerned Officer(s) of CBDA or his representative on the one
hand and the CONTRACTOR or his representative on the other hand and the
CONTRACTOR shall be bound to present himself or his authorized representative
whenever so required by the concerned Officer(s) of CBDA, and shall remain present
throughout the time required for joint measurements.
7.2. The CONTRACTOR shall submit claims for the work completed. Based on the claims
made and subsequent confirmation/ratification by the Officers of the respective work,
which may involve third party inspection or maybe completed by the Officers by his own
use of the resources, as the case maybe, shall payment be made to the CONTRACTOR.
7.3. Any deviation in the claims made and quanta of work completed, it shall become binding
on the CONTRACTOR to resubmit the re-adjusted claim and CONTRACTOR shall have
to make good of the time lost and also the expense made by the OWNER for third party
inspection, as mentioned in the Tender document.
7.4. Notwithstanding the existence of any claim by the CONTRACTOR in terms hereof or
otherwise, the CONTRACTOR shall continue and be bound to continue and perform the
works to completion in all respects according to the Contract (unless the Contract or works
be priory determined by the OWNER in terms hereof) and shall remain liable and bound in
all respects under the Contract.
7.5. Should the CONTRACTOR consider that he is entitled to any extra payment or
compensation in respect of the works over and above the amounts due in terms of the
Contract or should the CONTRACTOR dispute the validity of any deductions made or
threatened by the OWNER from any Running Account Bills, the CONTRACTOR shall
forthwith give notice in writing of his claim in this behalf to the concerned Officer(s) of
CBDA and the concerned Officer(s) of CBDA within 10 (ten) days from the date of the
issue of orders or instructions relative to any works for which the CONTRACTOR claims
such additional payment or compensation or of the happening of other event upon which
the CONTRACTOR bases such claim, and such notice shall give full particulars of the
nature of such claim, grounds on which it is based, and the amount claimed. The OWNER

shall not anywise be liable in respect of any claim by the CONTRACTOR unless notice of
such claim shall have been given by the CONTRACTOR to the concerned Officer(s) of
CBDA and the concerned Officer(s) of CBDA in the manner and within the time aforesaid
and the CONTRACTOR shall be deemed to have waived any and all claims and all his
rights in respect of any claim not notified to the concerned Officer(s) of CBDA and the
concerned Officer(s) of CBDA in writing in the manner and within the time aforesaid.
SECTION-8
8. MISCELLANEOUS
8.1. No Officer or other employee of the OWNER shall anyway be personally bound or liable to
the CONTRACTOR for the acts, omissions or obligations of the OWNER under the
Contact otherwise or be personally answerable to the CONTRACTOR for or in respect of
any default or omission in the performance of any act(s), deed(s), matter(s) or things to be
observed and/or performed by the OWNER under the Contract.
8.2. The CONTRACTOR shall not under any circumstances pay or advance to any officer(s),
servant(s) or agent(s) of the OWNER any sum or money on any account without prior
authority of the OWNER in writing and any such payment made or money advanced by the
CONTRACTOR without such authority shall be entirely at the risks of the CONTRACTOR
without any liability to the OWNER in respect thereof.
SECTION 9
PERFORMA OF DECLARATION OF BLACK LISTING/ HOLIDAY LISTING
In the case of a Proprietary Concern:
I hereby declare that neither I in my personal name or in the name of my Proprietary concern M/s.
____________________________________________which is submitting the accompanying
Bid/Tender nor any other concern in which I am proprietor nor any partnership firm in which I am
involved as a Managing Partner have been placed on Black List or holiday list declared by CBDA
or Govt. of Chhattisgarh, except as indicated below:

SPECIAL CONDITIONS OF CONTRACT (SCC)
1.0 GENERAL
1.1 Special Conditions of Contract shall be read in conjunction with the General Conditions of Contract
and all other documents forming part of this contract. Notwithstanding the sub-divisions of the
document into these two sections, every part of each shall be deemed to be supplementary to and
complimentary of every other part and shall be with and into the document as far as it may be
applicable to do so.
1.2 Where any portion of the General condition of Contract is repugnant to or at variance with any
provision of Special Conditions of contract, then unless a different intention appears, the provisions
of Special Conditions of Contract shall be deemed to over ride the provisions of General Conditions
of Contract and shall be to the extent of such repugnancy or variation prevail.
2.0 SCOPE OF WORK
The scope of the entire work under this tender would be in general but not limited to the following,
which briefly comprises;
Construction Of Shed for 1G Grain based Bio-ethanol Demonstration Plant (ck;ks&,FksukWy izn'kZuh la;a=)
at CBDA Biofuel Complex Site, Vill: Godhi, Dist: Durg. The detailed scope of work and time
schedule is attached as Annexure - A of SCC
3.0 LOCATION / SITES FOR MAINTENANCE
CBDA Biofuel Complex, Vill: Godhi, Dist: Durg, mentioned in Annexure XII.
4.0 PAYMENT METHODOLOGY:
4.1 AGENCY will submit the bill after achievement of milestones against the activity assigned for
that particular work. Similarly liquidation damage to be levied as mentioned in Clause 8.0 of SCC,
if applicable would be also considered separately for each work. In other words for all practical
purposes, each activity would be treated as separate assignment.
4.2 AGENCY will submit work wise claim for each activity within 30 days of the completion of
activity. After submission of claims with all the proper and supporting documents, owner‟s
representatives verify the claim through complete/random verification. If the claim is found correct
as per verification report the payment shall be released within 15 days after submission of claims
by the AGENCY.
4.3 In case of variations in the claim on either side (i.e. less than or more than actual claim based on
verification conducted by owner‟s representative), AGENCY would have the option to resubmit its
claim with all the proper and supporting documents after rectifying the variations as per verification
of owner‟s representative. The payment shall be made within 15 days after re-submission of claims.
4.4 In case AGENCY is not satisfied with verification survey report, conducted by owner‟s
representative. The re-verification of the same activity would be carried out by joint verification
team comprising including AGENCY and CBDA/Third Party appointed at sole discretion of
CBDA. Based on the re-verification report the AGENCY will rectify the variations in the claims
and resubmit the same with all the proper and supporting documents for payments. The payment
shall be released within 15 days after re-submission of the claims by AGENCY.
4.5 During verification by Owner‟s representative or Joint verification, if the work/activity is found to be
incomplete or inadequate, the AGENCY would be asked to complete the said work within the time
frame as decided by Owner‟s Representative. Subsequent joint verification for such activity by the

representatives of both parties will be again carried out. The work/activity in question is found
incomplete or inadequate, even after the second joint verification, CBDA reserve the right to recover
its liquidated damages as and/or terminate the Contract.
5.0 PAYMENT AND RELATED TERMS AND CONDITIONS
5.1 Payment will be made to the AGENCY after completion of the respective milestones, quantitative and
qualitative verification for each work. The AGENCY will give intimation to CBDA upon completion
of the activity in appropriate reporting format. The verification will be done by Owner‟s
Representative and payment shall be made within 30 days of submission of claims. Payment against
each activity as mentioned under Payment Schedule will be made only when respective milestone is
completed and verified for which claim has been made. If payment after 15 days of submission of
bills could not be made due to incomplete verification or other reasons, payment of running bills will
be made on provisional basis subject to appropriate adjustment after final verification in subsequent
payments.
5.2 CBDA reserves the right to modify/change above verification method and payment terms and
conditions.
5.3 CBDA representative will issue a certificate of completion of work, which is an integral part at the
time of submission of bill to CBDA.
5.4 Release of payment to Contractor will be done as following methodology:
5.4.1 30% of total work order value upon supply of Materials.
5.4.2 60% of total work order value upon successful Construction Of Shed
5.4.3 Balance 10% will be released after successful completion of Shed/Material warranty period
i.e. 180 (one hundred eighty) days.
6.0 TIME OF COMPLETION
The work shall be carried out within the stipulated period of 90(ninety) days from the date of
award of work.)as per Scope of Work (Annexure-A SCC).
The time schedule given in Annexure A is tentative. CBDA has a right to modify the time schedule
if required due to change in the monsoon period.
7.0 RATES
7.1 Rates of all materials required under the provision of this contract are inclusive of cost of transport,
profit, interest, insurance, overhead and all other duties royalties, GST etc. as may have to be
incurred by the AGENCY for getting the respective materials at site.
7.2 All expenses towards mobilization at place of Construction and demobilization including bringing in
materials, work force, materials, assembling, work force, materials assembly/ dismantling the
materials, clearing the site etc. shall be deemed to be included in the prices quoted and no separate
payments on account of such expenses shall be entertained.
8 REASONABILITY
8.1 Care must be taken while carrying out the job so that no damage or loss incur to the property of
CBDA. Any damage done to the same or any other property will have to be
compensated/repaired/replaced by the AGENCY, failing which the same will be got done at his risk

and cost. The contractor/AGENCY shall not build permanent structure at the plantation and related
location. These structures if made temporarily should be demolished after the completion of project
related activities and land should be brought to original condition and no extra cost shall be paid for
the same. The decision of CBDA in this regard shall be final and binding on the AGENCY.
8.2 All work shall be carried out with due regard to the convenience of the CBDA officials. No extra cost
shall be paid on this account.
8.3 It shall be entirely the AGENCY‟s responsibility to supply, all necessary materials and complete all
the jobs as per time schedules.
8.4 In case the AGENCY is not in a position to complete the job in stipulated time the CBDA shall be at
liberty to have the work done at his cost, risk an expenses and recover the expenditure so incurred
from his bills.
9.0 SAFETY
The AGENCY must ensure the safety of his workforce working at the location and observe all the
Safety Rules.
10.0 CARRYING OUT WORK
10.1 The AGENCY will have to complete the whole work as laid down in the Scope of Work
(Annexure A of SCC) to its full completion and shall in no way be half done or incomplete. Any
incomplete work will make the AGENCY liable for penalties to be levied on him as mentioned in
Clause 15.0 of SCC
10.2 The AGENCY will work in close co-operation and co-ordination with other agencies involved in the
project.
10.3 The AGENCY has to deploy and execute job during holidays and Sundays according to the time
schedules and quantity of work.
10.4 All works shall be executed with skillful workmanship. No extra cost shall be paid on this account.
10.5 The AGENCY shall carry out required supervision to ensure proper Quality Assurance and furnish
all assistance required by the CBDA in carrying out third party inspection work. The CBDA will
have authorized representatives, who would have free access to the work at all times. If any
CBDA‟s representative notifies the AGENCY‟s representative of any deficiency, the AGENCY
shall make every effort to carry out such instructions consistent with best industry practice.
10.6 The AGENCY shall at his own expense provide all assistance including manpower, tools etc.
which inspection team may require for checking and verifying the works.
10.7 The AGENCY will familiarize itself with and obtain information and details about the place of
installation and its surrounding environment on its own cost.
10.8 CBDA reserves their right to execute any additional works / extra works/ unfinished works by
contractor, during the execution of work, either by themselves or by appointing any other agency,
even though such works are incidental to and necessary for the completion of works awarded to the
AGENCY. In the event of such decisions taken by CBDA, AGENCY is required to extend necessary
cooperation, and act as per the instructions of CBDA.

10.9 The AGENCY shall provide for purposes of inspection, monitoring and verification the required
assistance as asked by CBDA at his own cost.
10.10 The AGENCY shall provide the details of proposed organization structure for carrying out the
work mentioned in the contract.
11. STATUTORY OBLIGATIONS
11.1 All statutory obligations under various laws as may be applicable to the contract labour from time to
time will have to be met by the AGENCY for which no extra payment shall be made to him at any
time during the contractual period.
11.2 In case of labour unrest / dispute arising out of non-implementation of any law, the responsibility shall
solely lie with the AGENCY and he shall remove/resolve the same satisfactorily at his cost and risk.
12. INDEMINITY AND INSURANCE
The AGENCY shall at all times indemnify and keep indemnified the CBDA and its officers,
servants and agents from and against all third party claims whatsoever including but not limited to
property loss and damage, personal accident, injury or death of person of any sub-agency and or the
servants or agents of the AGENCY, any sub-contractor(s) and or the CBDA and the AGENCY
shall at his cost and initiative at all times, maintain all liabilities under workman‟s Compensation
Act/Fatal accident Act, Personal Injuries, Insurance Act and/or their Industrial/Agricultural/Labour
legislation in force from time to time.
13 OTHER CONDITIONS OF CONTRACT
13.1 AGENCY shall ensure that his representative is available for proper administration and supervision
of the work.
13.2 The AGENCY shall on award of the contract, furnish a list containing names and addresses of his
workmen / employees as and when required.
13.3 The AGENCY shall engage his own laborers for all the necessary job at its own risk and cost and
shall be responsible for fulfilling and the statutory provisions of Contractor Labour (Regulations
and Abolition) Act, 1970 Minimum wages Act, Gratuity Act, Industrial Disputes Act, 1947,
Provident Fund Act, Shops and Commercial Establishment Act, Workmen‟s Compensation Act,
ESI Act and all other labour and industrial enactment which may come into force from time to time
in respect of all workmen employed by him. If due to any reasons, whatsoever, the CBDA is made
liable in respect of the above; the AGENCY shall indemnify the CBDA from all such
encumbrances. Loss(es) suffered by the CBDA shall be recoverable from the dues payable by the
CBDA to the AGENCY.
13.4 The AGENCY will be solely responsible for any loss, damage to CBDA‟s property while it is in his
charge due to negligence and or fraud etc. on part of his personnel. CBDA shall have no liability
whatsoever concerning AGENCY‟s employees.
13.5 In case, it is felt by the CBDA team that any Workforce or Supervisor of AGENCY is not suitable
for carrying out the work at the project site/project premises then the Workman or Supervisor is to
be replaced immediately by the AGENCY.

13.6 CBDA shall have the power to reduce the rates at which payments shall be made, if the quality of
work is not up to the required standard. CBDA shall also have the power to order the AGENCY to
remove any inferior items from the site or rectify any work of inferior workmanship. If the
AGENCY fails to do the works as directed, CBDA may arrange for any such work to be rectified
by any of the other agencies at the AGENCY‟s expenses. CBDA may issue to the AGENCY from
time to time during the progress of the work, such further instructions which shall be necessary for
the purposes of proper and adequate execution and maintenance of the work and the AGENCY
shall carry out the work as directed and shall be bound by such directions.
13.7 AGENCY shall read all the clauses carefully and inspect the site before quoting rates.
13.8 AGENCY shall use the place of installation identified by CBDA only for the purpose of this
agreement/contract and he shall not permit it to make, any structural additions or alternations to the
same without the prior approval in writing of the company.
13.9 The AGENCY shall ensure timely payment of wages to all workmen employed by him or sub-
AGENCY or by any other agency on his behalf in connection with the work and shall ensure wages
standards, period and provisions (including the provision of wages, privilege and facilities) for all
workmen in this behalf, prescribed under the payment of wages Act, the Contract Labour
(Regulation & Abolition) Act-1970 and rules framed there under, the Minimum Wages Act and any
other applicable law, rule or regulation in this behalf.
13.10 The AGENCY shall ensure that local labour, skill and/ or unskilled, to the extent available shall be
employed in this work. In case of non-availability of suitable labour in any category out of the
above persons, labour from outside may be employed.
13.11 The AGENCY has to keep record of all the activity e.g. payment to labours, vendors etc and the
same will be inspected by CBDA as and when required.
13.12 The rates quoted by the Bidder shall be all-inclusive and shall apply for this contract and nothing
extra will be paid to the AGENCY on this account. The AGENCY shall quote the rates considering
the impact due to all the terms and conditions of the contract and nothing shall be paid to the
AGENCY over and above the quoted rates.
13.13 The AGENCY shall provide details of the manpower deployed for this project including his name,
contact number etc before and during the commencement of project work as the case may be. These
people can be contacted any time as and when required.
13.14 The AGENCY has to complete the activities as per time line. In case and if any increase / decrease
in manpower are required in order to complete the work in time, AGENCY shall have to arrange
for the same.
13.15 The work is Time/Schedule bound and the AGENCY will have to maintain both speed and quality.
13.16 The AGENCY shall maintain register for materials and resources bought, materials and resources
used, labour employed for the activities, payment records to vendors including labour,
transportation agencies/parties, warehousing agency/parties etc. The AGENCY or his authorized

representative shall sign these registers. CBDA shall have the right to inspect these records. These
records will be the property of CBDA.
13.17 The contactor shall dispose off garbage, malba, rubbish and other unserviceable materials and waste
at their own cost to the notified/specified area.
13.18 The contract price shall be deemed to be FIRM and valid for the entire duration of the contract till
the completion of work in all respects and shall not be subject to any adjustment due to increase in
price of materials, consumables, labour etc., or any other input for performance of work and the
contract.
14. TERMINATION OF CONTRACT
14.1 If it is found that the quality of materials supplied by the AGENCY and / or the services/work
rendered are unsatisfactory or that the AGENCY has violated any term and conditions of the
contract and agreement, then in that event, the Company will be entitled to terminate this contract,
at any time without assigning any reasons whatsoever, and without notice.
14.2 If at any stage during the period of the contract any case involving moral turpitude is instituted in a
Court of Law against the AGENCY or his employees, the CBDA reserves the exclusive and special
right to the outright termination of the contract and the AGENCY shall not be entitled to any
compensation from the company whatsoever.
14.3 In the event of the AGENCY suspending or abandoning subject contract work without giving proper
notice to the Company; he shall be liable for legal action deemed fit and proper for breach of
contract.
14.4 Upon termination of the contract, CBDA shall be entitled to get the work completed by itself or
through any other party as contemplated in the Scope of Work at the risk and expenses of the
AGENCY. If the cost incurred by CBDA is more than the amount of security deposit and payment
due to the AGENCY, CBDA shall have the right to recover such cost, claim compensation or
damages as required from the AGENCY. In such case SD & EMD of the AGENCY will be
forfeited.
15. LIENS AND LIABILITIES
If at any time there is evidence of any lien or claim for which the CBDA might be or become liable
and which in terms of the Contract or otherwise is chargeable to or payable by the AGENCY, the
CBDA shall have the right to retain out of any payment then due or thereafter becoming due to the
AGENCY.
16. ARBITRATION
16.1 The provisions of the Indian Arbitration & Conciliation Act, 1996 and any re-enactment(s) and/ or
modification(s) thereof and of the Rules framed there under shall apply to arbitration proceedings
pursuant hereto subject to the following conditions:
16.2 The Arbitrator shall give his Award SEPARATELY in respect of each Claim and Counter-Claim;
and
16.3 The Arbitrator shall not be entitled to review any decision, opinion or determination (howsoever
expressed) which is stated to be final and/ or binding on the AGENCY in terms of the Contract
Documents.

16.4 The venue of the arbitration shall be Raipur, provided that the Arbitrator may with the consent of the
CBDA and the AGENCY agree upon any other venue.
17. FORMATS
Nil.
18. FORCE MAJEURE
18.1 If the performance of any obligation is delayed for any period because of hostilities, embargo,
blockades, Governmental action or interference, civil commotion, war (declared or undeclared), act
of God or for any other reason beyond either party‟s reasonable control, the parties shall not be held
to the date of performance of such obligation and the representatives of the parties shall
immediately consult each other and agree upon the necessary measures to be taken.
18.2 Each party affected by Force Majeure shall promptly inform the other in writing of the occurrence and
of the cessation of the Force Majeure. The existence of such circumstances within the territory of
the countries of the parties shall, if required by the other Party be confirmed by certificates to be
issued by the appropriate authorities in the countries concerned.
19.0 DISQUALIFICATION: The following are not eligible:
19.1 Relationship clause for Individual including Partnerships- In a given “family unit “ consisting of
Father ,Mother and unmarried brothers, sisters, spouse , unmarried sons/daughters will be treated as
single entity and are not eligible for multiple applications
19.2 Relationship clause for Non Individual entities like Companies Registered under Companies Act
1956, Organized bodies, Charitable Trusts registered with the Charity Commissioner of the
respective State Government and Societies, Registered under Societies Registration Act 1860- Any
of the Director or his family members (family as defined above), the entity itself or its holding
company, are not eligible for multiple applications.

GENERAL SPECIFICATIONS FOR: Construction Of Shed for 1G Grain based Bio-ethanol
Demonstration Plant (ck;ks&,FksukWy izn'kZuh la;a=) at CBDA Biofuel Complex Site, Vill: Godhi,
Dist: Durg, as per specific quality criteria given above.
1.0.0 GENERAL:
1.1.0 The Contractor shall get all materials approved by the Officer-in-Charge/ CBDA
representative prior to raising of Invoice. The tests shall be conducted jointly by CBDA
Scientists/ Engineers/ Officers/ any other agency nominated by CBDA as detailed in the scope
of work. A separate register shall be maintained indicating the details of tests conducted/reports
from laboratories and tests conducted/ result at work site.
1.2.0 The Contractor shall keep a proper register at work site indicating the details of materials brought
in work site. The register shall be submitted to Officer-in- charge/ CBDA representative. The Contractor shall also keep, readily available at site, a copy of all Delivery Challans and Invoices of materials and shall produce the same on demand by Officer-in-charge/ CBDA representative.
1.3.0 The Contractor shall maintain the supply of the material as per the requirement indented by
Officer -in-charge/ CBDA representative for every batch of material.
1.3.1 AGENCY has to maintain a track record of regular movement of the Materials from stock point to
the installation site.
NOTE:
1. CBDA will have the right to inspect and decide satisfactory level of the activity carried out by
AGENCY. shall be regularly maintained by the vendor to the satisfaction of CBDA during the
warranty period.
2. AGENCY entered into the contract with CBDA shall not abandon the work or discontinue the activity
without the prior NOTICE and approval by CBDA. If the AGENCY discontinues the activity, CBDA
shall have rights to forfeit both EMD and any work done till such time of abandoning the activity,

Reporting Formats
General Guidelines:
The purpose of monitoring and verification is to ensure satisfactory completion of activity with respect
to quantity, quality and time schedule so that payment can be made to the party as per schedule of
payment.
AGENCY will convey in advance (7 days), and date wise schedule of activity proposed to be
undertaken by the AGENCY as mentioned under Scope of Work.
Verification of activities viz. no. of Materials supplied to site for Construction/installation,
Construction/installation of Shed completed, timeline for completion of all Construction/installations.
Construction/Installation of Material for Shed formation and allied activities shall be started only under
the presence of authorized representative of CBDA.
Quality Check for Activity Performed:
In case of Construction Of Shed for 1G Grain based Bio-ethanol Demonstration Plant (ck;ks&,FksukWy
izn'kZuh la;a=) at CBDA Biofuel Complex Site, Vill: Godhi, Dist: Durg, as mentioned in Scope of Work,
sample(s) will be checked for quality. If the results are at variance from the quality certificate of the
party, then necessary action will be taken.
In all the cases, physical observation shall be done by Officers of CBDA.
Before verification is carried out by the CBDA, the AGENCY will monitor and verify the activities.
They will certify the quantum of work done.
During Verification by CBDA, all necessary support should be provided by the AGENCY.

1. The schedule of rates shall be read with all other sections of this tender document including General
Conditions of Contract and Special Conditions of Contract (SCC) where ever it is applicable.
2. The Bidders shall be deemed to have visited the site and studied the specifications and
details of works to be done within the time schedule and to have acquainted him of the conditions
prevailing at site.
3. The Bidder should quote in the format attached as ANNEXURE- I to Price part.
4. As per requirement the value of the work executed and the quantity of any item may vary up to any
extent in course of execution and no claim for compensation in the eventuality of variation shall be
entertained at all.
5. PRICES, TAXES, DUTIES
The quoted prices shall be deemed to be inclusive of all taxes, GST, duties, octroi, levies, overheads
etc. unless separately specified. Income Tax and Works Contract Tax on any of the activities shall be
deducted at source as applicable. In the event of any increase or decrease in the taxes or duties, the
quoted price shall be accordingly increased or decreased so that there is no additional burden/benefit
to the Bidder on account of changes in taxes/duties.
6. TERMS AND CONDITIONS
6.1 The CBDA shall not be in any manner, concerned with the internal affairs of Supplier / tenderer /
AGENCY i.e. dispute and dissolution etc., or affair concerning any other third party that
the supplier / AGENCY may be having.
6.2 Failure to discharge the contractual obligations by the tenderer may lead to black-listing of
the firm for future supplies / tendering into the CBDA and the security deposited shall be
forfeited in whole.
6.3 This contract shall remain in force for period up to 90 (ninety) days and the contract may be
extended further for another 90 (ninety) days at the sole discretion of CBDA‟S management.
Extension will also factor in AGENCY‟s completion of the said work/task much to the
satisfaction of Officers of CBDA.
7. DECLARATION
I / We are giving a declaration that I/We are agreeable to all terms & conditions of Special
Conditions of Contract and General Conditions of Contract.
