    Incorporated on 15.9.2000, vide Registration No. 55-107739, dated the 15th September, 2000 and becameentitled to commence business with effect from 19th

    September, 2000. The Company (BSNL) took over the .business of

    providing telecom services and network managementthroughout the country except the metro cities of Delhi

    and Mumbai of the erstwhile service providingdepartments of the Govt. of India, i.e., the Departmentsof Telecom Services and Telecom Operations w.e.f.1.10.2000 pursuant to an MoU signed between the

    BSNL and the Govt. of India.

    DEVELOPMENT OF RURALTELECOM NETWORK BY BSNL

    As on 31.1.2006, there are 1.425 crore ruraltelephones working in BSNL network.

    BSNL, in its unstinted efforts to make the slogan

    Connecting India, a reality, had provided VPTs in5,18,992 villages up to 31.03.2005.

    The Company entered into an agreement with USOFund for expansion of rural telecom network by

    November 2007, by providing VPTs in 66,822undisputed, undisturbed, accessible and inhabitedvillages having population more than 100 as perCensus, 1991 in the country.

    BSNL provided VPTs in 5,28,886 villages up to31.01.2006. There are plans to replace allMARR VPTs in the country . As of now total

    123194 MARR VPTs already replaced in thecountry by BSNL.

    BSNL is also committed to provide the Rural

    Community Phones as per the USO Fundagreement. As of now around 13713 RCPsalready provided by BSNL.

    NETWORK MANAGEMENT

    BSNL is committed to provide a robust state of the artinfrastructure that will provide stable and superiorservices to its customers. Accordingly, the MLLN

    network covering more than 200 cities was madeoperational in May 2004. Since then, about 22000circuits have been provided on this network.

    BSNL has more than 4.7 Lakhs Route Kilometers of

    optical fibre network in the country & has installedcapacity more than 6.4 million lines for the TAX meantfor the STD/ISD network.

    COMPUTERISATIONIN BSNL

    Implementation of Inter Operator Billing andAccounting system (IOBAS) has been completed. YourCompany plans to provide CDR based Customer Care

    and Convergent Billing system. This will help Companyin providing effective and efficient billing & customercare solutions for its fixed line subscribers. It envisagesbuilding of country wide intranet to reduce the cost of

    operation, increase realization, stop leakage ofrevenue and minimize frauds, besides providing roundthe clock best customer care services to theCompanys subscribers.

    Call center facility has been introduced for 71 SSAs,which is a single point approach for addressing allcustomer needs cum grievances. Web based Public

    grievance Management System has been implementedfor speedy disposal and monitoring of publicgrievances. Web based Inventory Managementpackage has also been introduced, through which,

    material management functions are beingcomputerized gradually in different circles.

    Web based Inventory Management package has alsobeen introduced, through which, material managementfunctions are being computerized gradually in different

    circles. Online Mobile Bill viewing facility has been made

    available to all Cell One Mobile Customers (all States)through Companys Portal (http://bsnl.in). Duplicate

    Telephone bill viewing facility for landline telephonehas also been made available at many places throughWebsites of respective telecom circles.

    BUSINESS DEVELOPMENT IN BSNL

    BSNL is offering customized enterprise networksolution and services to the corporate customers onturnkey basis. The Company has empanelled system

    integrators as business associates to implement theWAN solution through leased line/ MPLS. YourCompany has provided bandwidth for WAN network ofcorporate like SBI, PNB, ICICI, HPCL etc. Some of theworks were awarded to BSNL after competitive bid.

    CUSTOMER CARE

    BSNL, for high customer satisfaction, has been paying greatattention by means of opening of more and more customerservice centers. In its ongoing endeavour to expand modesof bill payment options for its customers, several new

    arrangements are in advanced stage of negotiation/finalisation/implementation. Some of these include:Recharge of Excel pre-paid cards through the ATMs of PNBand SBI; bill payment through M/s Easy Bill retail outlets

    presently available at Bangalore, Gurgaon and NOIDA likelyto be expanded to other cities; payment throughinternet/ECS using the services of intermediaries M/s BillDesk and M/s Bill Junction respectively, and, through

    credit/debit cards.

    MANAGEMENT OF THE COMPANY

    Overall management of the Company is vestedwith the Board of Directors of the Company.

    The Board of Directors is the highest decisionmaking body within the Company.

    As per the provisions of the Companies Act,

    1956 certain matters require the approval ofthe shareholders of the Company in GeneralMeeting.

    The Board of Directors is accountable to theshareholders of the Company, which is the ultimateauthority of a Company. Bharat Sanchar Nigam

    Limited being a Public Sector Enterprise (PSE), theBoard of Directors of the Company is also accountableto Government of India.

    The day-to-day management of the Company is

    entrusted with the Chairman cum Managing Directorand the Functional Directors and Executives of theCompany.

    Board of Directors have delegated powers to theChairman and Managing Director, Functional Directors,and the Executives of the Company through

    Delegation of Financial and Administrative Powers. The Board of Directors have also delegated few of its

    specific powers to a committee, known asManagement Committee comprising of CMD and

    Functional Directors. Functional Directors andexecutives exercise their decision-making powers asper this delegation of powers.

    The Chairman cum Managing Director,Functional Directors and other Executives areaccountable to Board of Directors for proper

    discharge of their duties & responsibilities. Thepowers, which are not delegated are exercisedby the Board of Directors subject to the

    restrictions and provisions of the CompaniesAct, 1956 and the Articles of Association of theCompany.
