Mr. Swope moved and Mrs. French seconded that the Board of Education approve the minutes of

the Zanesville Board of Education Regular meeting on March 17, 2015 and the Zanesville City

Schools Special board meeting on March 23, 2015.

Mr. Swope moved and Mrs. French seconded to go into executive session:

WHEREAS board of education and other governmental bodies are required by statue “to take

official action and to conduct all deliberations upon official business only in open meetings, unless

the subject matter is specifically exempted by law”;

WHEREAS “the minutes need only reflect the general subject matter of discussions in executive

session”, and

WHEREAS the members of a public body may hold an executive session only at a regular or

special meeting for the sole purpose of consideration of any of the matters set forth below.

NOW THEREFORE BE IT RESOLVED under the provisions of ORC 121.22 the board hereby

enters executive session for the reason(s) herein stated:

21, 2015, commencing at 5:30 p.m., at National Road Elementary School, 3505 East Pike, Zanesville,

RESOLUTION NO. _15-113 A RESOLUTION REJECTING THE HIGH PUBLIC AUCTION BID FOR

THE PURCHASE OF THE ADMINISTRATION BUILDING. WHEREAS, this Board is the owner of certain real property identified in the records of the Muskingum County, Ohio Auditor as Parcel Identification No. 84-24-04-02-000, located at 160 N. Fourth Street, Zanesville, Ohio and known as the Administration Building (the “Property”); and WHEREAS, after notice was given as required by law, a public auction for the sale of the Property was held on April 21, 2015 pursuant to Revised Code Section 3313.41(A), and the highest bid for the Property at that auction was submitted by The Community Bank in the amount of $225,000.00; and WHEREAS, immediately upon completion of the public auction, that bid was reduced to writing by the Bidder on a Bid and Offer to Purchase Certain Property on file with the Board and submitted to this Board together with the requisite bid deposit; and WHEREAS, this Board has carefully considered the high bid received at that auction and believes that it is in the best interests of this School District to reject that bid.

THE PURCHASE OF THE ADMINISTRATION BUILDING-continued NOW, THEREFORE, BE IT RESOLVED by the Board of Education of the Zanesville City School District, Muskingum County, State of Ohio, that: Section 1. Rejection of Bid. This Board hereby rejects the high bid for the Property received at the public auction. Section 2. Return of Security Deposit. The Treasurer is authorized and directed to deliver promptly to the high bidder the security deposit provided for the bid. Section 3. Approval and Execution of Related Documents. The President or Vice-President

and Treasurer of this Board and the Superintendent, or such other School District officials as shall be

designated by those officials, as appropriate, are each authorized and directed to sign any certificates

or documents, and to take such other actions as are desirable, advisable, necessary or appropriate, to

consummate the transactions contemplated by this Resolution.

Section 4. Compliance with Open Meeting Requirements. This Board finds and determines

that all formal actions of this Board and any of its committees concerning and relating to the adoption

of this Resolution were adopted in an open meeting of this Board or committees, and that all

deliberations of this Board and any of its committees that resulted in those formal actions were in

meetings open to the public, in compliance with the law.

Section 5. Prior Acts Ratified and Confirmed. Any actions previously taken by School

District officials or agents of this Board in furtherance of the matters set forth in this Resolution are

hereby approved, ratified and confirmed.

Section 6. Captions and Headings. The captions and headings in this Resolution are solely

for convenience of reference and in no way define, limit or describe the scope or intent of any

Elementary School (the “Property”); and

WHEREAS, after notice was given as required by law, a public auction for the sale of the

Property was held on April 21, 2015 pursuant to Revised Code Section 3313.41(A), and the highest

bid for the Property at that auction was submitted by Zemba Brothers, Inc. (the “Bidder”) in the

amount of $20,000.00 (the “Purchase Price”); and

WHEREAS, immediately upon completion of the public auction, that bid was reduced to

writing by the Bidder on a Bid and Offer to Purchase Certain Property on file with the Board and

submitted to this Board together with the requisite bid deposit; and

WHEREAS, this Board has determined to accept that bid and to sell the Property to the Bidder
