NOTICE IS HEREBY GIVEN that pursuant to SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014 (as amended), the Bank is seeking consent as set out in the Postal Ballot Notice dated 25.04.2019 to create, offer, issue and allot such number of Equity Shares of face value of Rs. 2/- (Rupees Two) each to the Government of India ("GOI") aggregating to Rs. 5,042 Crore (Rupees Five Thousand Forty Two Crore only) on preferential basis inclusive of premium for cash at an Issue Price to be determined in accordance with Regulation 164 of the SEBI (I CDR) Regulations 2018.
Notice of Postal Ballot dated 25.04.2019 along with Postal Ballot Form has been dispatched on 08.05.2019, by email to the Shareholders whose email IDs are registered with the Bank I RTAI Depositories and in physical mode, together with self-addressed Business Reply Envelope to all other shareholders at their registered addresses in the permitted mode, for seeking consent to the Special Resolution bye-voting I voting through Postal Ballot. The shareholders can also download said Postal Ballot Notice from the Bank's website www.bankotbaroda.com and from the website https:llevoting.karvy.com of the e-voting agency i.e. Karvy Fintech Pvt Ltd. The shareholders may apply to the Bank or the RTA, at Mr. S,V. Raju, DGM of Karvy Fintech Pvt. Ltd. (Unit: Bank of Baroda), Karvy Selenium Tower B, Plot 31-32, Gachibowli, Financial District, Nanakramquda, Serilingampally, Hyderabad - 500 032 at e-mail [email protected] at phone no. 040 6716 2222 OR at 1800 3454001 (toll free). for obtaining duplicate Postal Ballot Form.
In terms of Regulation 44 of the SEBI LODR Regulations, the Bank is providing e-voting facility to its shareholders to enable them to cast their votes electronically on the agenda item mentioned in the Notice of Postal Ballot. Only those shareholders whose names appear in the Register of Shareholders I Beneficial Owners of shares as on the Cut-off Date i.e. 26.04,2019 will be entitled to vote through postal ballot or through e-voting. Voting rights shall be reckoned on the number of fully paid equity shares registered in the name of the Shareholders as on the Cut-off Date and a person who is not a Shareholder as on the Cut-off Date should treat this Notice for information purposes only.
The e-voting will commence on and from 09.00 AM on 10,05.2019 up to 05.00 PM on 08.06.2019 and shall not be available for voting thereafter. Duly filled in Postal Ballot Form(s) should reach the Scrutinizer by 05:00 PM on 08.06.2019. Postal Ballot Form(s) received after the said time and date will not be considered valid. Ms. Malati Kumar (COP No. 10890) or failin9 her Ms. Ashwini Vartak (COP No. 16723) of Mis. S. N. Ananthasubramanian & Co., Company Secretaries, have been appointed as Scrutinizer for conducting the Postal Ballot and e-voting process in a fair and transparent manner.
