Limited WarrantyKyocera Mita America, Inc. warrants its plain paper copier(s) against any defects in material and workmanship for a period of ninety (90) days from the date of installation by Kyocera Mita America or an Authorized Kyocera Mita Dealerexcept for lamps and photo conductor which are limited to proper performance at the time of installation. In the event this product is found to be defective within the warranty period, Kyocera Mita’s only obligation and your exclusive remedy shall be replacement of any defective parts. These warranties would be void if the equipment is not operatedproperly or misused. Drum warranties are limited to electrical functioning of the drum and are void if misused or physicallydamaged by the operator.

10. Limited Warranty

Kyocera Mita America, Inc. warrants its plain paper copier(s)against any defects in material and workmanship for a period ofninety (90) days from the date of installation by an AuthorizedKyocera Mita Dealer except for lamps and photo conductor is limit-ed to proper performance at the time of installation. In the event thisproduct is found to be defective within the warranty period, KyoceraMita’s only obligation and your exclusive remedy shall be replace-ment of any defective parts.

11. Export Packing Charges

Commercial and Military packaging on all models at standard com-mercial rates are on an Open Market basis.

RENTAL TERMS AND CONDITIONS

1. Copiers To Be Rented

Customer agrees to rent from Kyocera Mita copiers and accessoriesaccording to the terms of this price schedule. A written order shall bethe only basis for rental in accordance with these terms and conditions.

2. Rental (For each copier installed)

Customer agrees to pay to Kyocera Mita the rental MonthlyMinimum Rental Charge(s) and Excess Meter Charge(s) set forthherein. There are no installation or removal charges to the govern-ment for the equipment (copiers and accessories) listed herein.

3. Rental Term

All equipment rented under this price schedule will be for the rentalterm indicated on the government’s Purchase Order. The effectivedate of said rental will commence on the date of installation of sub-ject equipment. The rental terms available under this contract are forthe following contract periods:

Kyocera Mita will bill and the customer agrees to pay to KyoceraMita the Monthly Minimum Rental Charge(s), monthly in thearrears. Rental charges will be computed on the basis of thirty (30)days a month. Charges for fractional parts of a calendar month willbe computed at the rate of 1/30th of the monthly charge for each daythe equipment is installed ready for use by the customer.

Excess meter charges will be based on meter readings and billedmonthly in the arrears.

ORDERING INFORMATION

Equipment rental for less than three (3) months will be installedonly if Kyocera Mita receives written confirmation that it is theexpressed intent of the Government agency to issue a renewal pur-chase order for the following fiscal period.

4. Payment

5. Purchase Option

(1) Rental charges which have been paid, or rental charges accruedbut unpaid, may be applied as partial payment towards the pur-chase price of equipment rented under SIN 51-55. The purchaseprice shall be the Federal Supply Schedule Rental Option toPurchase Base Price prevailing at either the time of the initialrental or purchase option conversion, whichever price is lower.The percentage of rental accruals to be applied towards the pur-chase price shall be that in effect at the time of the initial rentalor purchase option conversion, whichever is higher.

The amount of rental payments to be applied by Kyocera Mitatowards the Rental Option to Purchase Base Price as a credit, andhow the option may be exercised is as follows:

At the end of: Rental Equity:1 - 4 Months 100% of monthly base rental5 - 8 Months 75% of monthly base rental9 - 12 Months 65% of monthly base rental13+ Months 50% of monthly base rental

The maximum rental equity is 75% of the purchase price of theequipment, exclusive of maintenance.

The customer understands that the equipment may be new or reman-ufactured.

(2) All equipment purchased by the Government under a rental pur-chase option conversion will receive a ninety-(90) day warranty.This warranty shall include all necessary adjustments andreplacement of broken or defective parts not caused by negli-gence or misuse by the Government during the warranty periodwithout charge provided that no repairs, alterations, or additionshave been made to the equipment, except by Kyocera Mita’sauthorized representative.

6. Warranty

Kyocera Mita warrants that the copiers are free from defect andworkmanship, and Kyocera Mita will repair or replace, at its option,copiers found to be defective. KYOCERA MITA MAKES NOOTHER WARRANTIES AND ALL OTHER IMPLIED OR STATUTORY CONDITIONS AND WARRANTIES (INCLUDINGWARRANTIES OF MERCHANTABILITY AND FITNESS FOR APARTICULAR PURPOSE) ARE HEREBY WAIVED BY THECUSTOMER. Kyocera Mita shall not be liable for any special, incidental or consequential loss or damage arising out of the use of,delay, in repair of, or inability to use, any copier.

7. Title

Title of copiers remains at all times with Kyocera Mita, and the customer agrees that Kyocera Mita’s label affixed to the copier andevidencing its ownership will not be removed, covered or altered.

8. Care and Operation of Copier

Customer agrees to use reasonable care in the use and handling ofthe copier and agrees to use only consumable supplies in the copierthat do not damage it. All maintenance and service work which thecopier requires because of customer’s failure to use reasonable carein its handling or operation or caused by customer’s use of non-Kyocera Mita brand consumable supplies will be provided byKyocera Mita or an authorized Kyocera Mita Servicing Dealer andpaid for by the customer on an OPEN MARKET BASIS.

9. Notification of Intent to Cancel

Customer agrees to provide in writing to Kyocera Mita, no less thanthirty (30) days prior to the proposed removal date, and written noti-fication of intent to terminate the rental of Kyocera Mita equipment.

If an agency fulfills the requirement of a rental agreement then notermination charges will be applied. No termination charges willapply if an annual (1-year) plan is terminated at any time during theyear, upon thirty- (30) days written notice to Kyocera Mita.

If the Government terminates an order prior to the expiration of therental agreement (other than one (1) year agreement) the govern-ment shall be liable for any difference in the rental rate. Example: Ifan agency issues an order based on a two (2) year rental rate, butterminates the rental after six (6) months, the agency owes the dif-ference between the two (2) year rate and one (1) year rate for thesix (6) months the equipment was rented.

10. Service

Unless otherwise specified by the using activity, the Kyocera MitaAmerica, Inc. must repair or replace equipment within nine (9)working hours after it receives written or oral notice of a breakdownin equipment. If not, deductions of rental charges will be made onthe basis of 1/30th of the monthly rate for each day the equipment isinoperative. The Kyocera Mita America, Inc. shall grant a credit tothe Government for any machine which fails to perform at an effec-tiveness level of ninety percent (90%) during any month. The effec-tiveness level for a machine is computed by the formula: one (1)minus the total number of hours downtime divided by the total pro-ductive time in the month. Total productive time shall be computedby multiplying 8 hours per day by the number of working days inthe month (weekends and Federal Holidays excluded). The creditshall be a percentage amount of the fixed monthly rental charge,which is determined by subtracting the actual percentage of effec-tiveness level attained during the month from 100.

Example: If a machine was down for 20 hours a month,which had 168 hours of total/productive time, the percent-age downtime would be 11.9% (20 hrs/168 hrs), the effec-tiveness level would be 88.1% (100% - 11.9%); however,if the effectiveness level were 90% or higher, no credit isdue the government.

In the event that a piece of rental equipment is inoperative due tomachine failure, through no fault or negligence of the Government,and the total number hours of downtime exceeds ten percent (10%)of the total productive use of time for three consecutive calendarmonths, the government reserves the right to require Kyocera Mitato replace the equipment or terminate the order with no terminationor removal charges being assessed to the Government. The purchaseoption credits for the replacement equipment shall be not less thanthe credits accrued from the date of installation of the originalequipment, regardless of whether the replacement is made at therequest of the government or for the convenience of the KyoceraMita America, Inc..

Kyocera Mita and/or its Authorized Dealer will provide all routinemaintenance and service during their regular business hours (9:00AM through 5:00 PM) Monday through Friday, except for recog-nized state and federal holidays. Kyocera Mita reserves the right toinspect a government rented copier and/or read the meter(s) at anytime during the customer’s business hours. Kyocera Mita may sub-stitute an equivalent model copier for any copier, which requires service under this agreement.

11. Alterations

Customer agrees neither to make any alterations to any equipmentnor to remove any equipment from the installation address withoutprior approval, which will not be unreasonably withheld.

12. Risk of Loss

While the equipment is installed on the Government’s premises,Kyocera Mita shall assume all responsibility for loss or damages tothe equipment, except for loss or damage caused by the negligenceor willful act of the Government.

13. Movement of Equipment

The Government shall give at least thirty (30) days written notice ofthe movement of equipment, unless such move is required becauseof an emergency.

Shipment to the new installation site shall be at the Government’sexpense by padded van or airfreight. The Government may ship theequipment by Government transportation or by commercial carrier.

When the shipment is under the control of Kyocera Mita and/or itsauthorized representative and damage is incurred which results incosts for either labor or parts to restore the equipment to good operatingcondition at the new site, such costs shall be borne by Kyocera Mita.

When the shipment is under the control of the Government anddamage is incurred which results in costs for either labor or parts torestore the equipment to good operating condition at the new site,such costs shall be borne by the Government.

FULL SERVICE MAINTENANCE1. Full Service Maintenance Agreement

Full Service Maintenance provided under this agreement shallinclude and be limited to replacement of all parts, photoconductordrum, labor and maintenance required to keep the copier in goodoperating condition. Staples and paper are not included.

2. Replacement of the Photoconductor Drum

Replacement of the photoconductor drum shall be limited to normalwear based upon normal operation of the copier and will not bereplaced when abuse, neglect, vandalism, or unauthorized repair(s)are the cause for replacement.

3. Provision of Service

Failure to perform inspection service as stipulated in the contract(unless unlimited repair calls are allowed) will result in a deductionof 1/12th of the yearly rate for each month of such delay. Further,failure to render emergency service within nine (9) working hours(maximum), after written or oral notification, unless otherwise stat-ed, will be subject to a deduction of 1/30th of the monthly rate foreach day the equipment is inoperative.

Kyocera Mita America, Inc. (Kyocera Mita) shall grant a credit tothe Government for any pieces of equipment, which fails to performat an effectiveness level of ninety percent (90%) during any month.The effectiveness level for the equipment shall be computed in the

same manner as under SIN 51-55. The credit shall be the percentageamount of the fixed monthly maintenance charge, which is deter-mined by subtracting the actual percentage of effectiveness levelattained during the month from 100.

Example: If the effectiveness level for a machine is 87%for the month, the credit would be 13% of thefixed monthly maintenance charge; and, if theeffectiveness level is 90% or higher, there is nocredit due under this provision.

4. Termination of Maintenance Agreement

No Termination charges will apply to maintenance agreements ter-minated at any time, upon thirty- (30) days written notice toKyocera Mita.

5. Inspection/Maintenance Coverage

Equipment being placed under this Agreement shall be in goodoperating condition and shall be subject to inspection by KyoceraMita. Equipment that requires an overhaul or repair will have thesame completed on an Open Market Basis, prior to the initiation ofthis Agreement. There will be no charge for the inspection, providedthe equipment remains within the service area of the AuthorizedKyocera Mita Servicing Dealer that originally installed the equipment.

Relocated equipment, which is placed outside of the originalAuthorized Kyocera Mita Servicing Dealer’s jurisdiction, will besubject to an inspection charge on an Open Market Basis.

Equipment placed under this Agreement immediately followingexpiration of the initial ninety-(90) day warranty will not be subjectto this provision.

6. Relocation

Relocation of equipment covered under this Agreement will be atthe expense of the Government and the Government will be respon-sible for all costs associated with that relocation. Should the equip-ment be moved to a distant location or beyond twenty (20) milesfrom the original installation address, there will be an increase in theMaintenance Charge under this Agreement.

Copiers located more than a fifty-(50) mile radius from a KyoceraMita service point (dealer) will be negotiated on an Open MarketBasis.

7. Exclusions

This Agreement does not include repairs made necessary by acci-dent, abuse, misuse, neglect, theft, riot, vandalism, electrical powerfailure, fire, water, nuclear accident, or other casualty, or to repairsmade necessary by service personnel other than Authorized KyoceraMita Service.

Units that are placed on maintenance after previously canceling thisAgreement are subject to inspection and associated charges, underitem #5 above.

LEASE TO OWNERSHIP (LTOP) TERMS & CONDITIONS

1. ORDER

The Purchase Order must state that the order is for an LTOP Plan inaccordance with the terms of this contract, and shall refer to KyoceraMita America, Inc. Federal Supply Schedule Contract Number GS-25F-0062M. The minimum LTOP Term is for twelve (12), twenty-four (24), thirty-six (36), forty-eight (48), and sixty (60) months.

The Government, as Lessee, will make best efforts to fulfill thatagreement, and is not entering into agreement for the purpose ofacquiring LTOP Equipment for a period of time shorter than theLTOP Term.

2. LTOP CHARGES

The basic monthly LTOP charges entitle the Government to unre-stricted operational use time of all LTOP Equipment. LTOP leasecharges are exclusive of any and all consumable supplies andMaintenance Service.

3. LTOP TERM

The Government must lease the copier equipment placed under theLTOP Plans, uninterrupted for full term. Early termination will incurcancellation charges; see Paragraph, (10).

Upon delivery of the LTOP Equipment by Kyocera Mita, theGovernment agrees to promptly inspect the Equipment and, upon accep-tance thereof, sign a delivery and acceptance certificate (InstallationReport) acknowledging the receipt and acceptance of the equipment insatisfactory working order. The date on which Kyocera Mita delivers therelevant LTOP Equipment shall be the Acceptance Date.

4. TITLE

The Government shall be presumed to have title to the equipmentimmediately upon delivery and shall be deemed to be the owner ofthe equipment as long as it is not default under the LTOP, in theevent of default, title to the equipment shall revert back to theKyocera Mita free and clear of any interests the Government mayhave in the equipment. At the conclusion of the LTOP term, titleshall permanently pass to the Government upon payment, in full, ofall outstanding charges, if any.

5. ALTERATIONS AND ATTACHMENTS

Alterations to the equipment and/or attachments may not be madewithout prior written approval by Kyocera Mita. If in KyoceraMita’s opinion, an alteration or attachment interferes with the nor-mal operation or maintenance of any LTOP Equipment in a way thatcreates a safety hazard or substantially increase the cost of maintain-ing it, the Government will promptly remove the alteration orattachment and restore the equipment to its normal configuration atthe Government’s expense.

6. BILLING INVOICES AND PAYMENT

Kyocera Mita shall submit invoices for payment on a monthly basis;Payment of invoices shall be made in full within thirty (30) daysafter the dare of the invoice. Payment terms are net 30 days.Authorized Kyocera Mita Dealers are not certified to issue invoicesor accept payment of Federal Government Funds for transactionsreferencing Kyocera Mita’s GSA Contract.

7. RENEWAL

The Government cannot obligate funds beyond September 30th ofeach year. The initial term shall be from date of award and continueuntil expiration of the fiscal year.

Except as specifically provided herein, the Government shall reneweach Purchase Order at the conclusion of the initial term, and at theenc of any renewal term thereof, for a period of one year or until theend of the LTOP Term, whichever is sooner, for all the LTOPEquipment, by giving written notice to renewal to Kyocera Mita assoon as practicable, but not more than thirty (30) days after the datethe Government receives formal notification from its funding sourceof its approval budget.

An LTOP renewal Purchase Order must incorporate the terms andconditions by the reference of Kyocera Mita’s GSA Contract, andinclude the installed machine model, location and serial number.

8. PRICE VARIANCE

The monthly LTOP price stated at the beginning of the LTOP termshall remain the same throughout the entire term.

9. PURCHASE OPTION OF LEASED EQUIPMENT

The Government shall have the right to purchase the LTOP Equipmentleased under a Purchase Order at any time by submitting to KyoceraMita a written Purchase Order specifying each item of LTOPEquipment by model and serial number, and by authorizing payment ofthe purchase option price. The purchase option price shall be equal tothe net present value of the monthly payments remaining through thecompletion of the relevant LTOP term, discounted to present value atthe same interest rate charge upon execution of the original LTOP order.Title will pass to the Government, and LTOP will terminate on the dateof the Purchase Order providing for exercising the purchase option. The

purchase option price can be calculated with the following formula:

10. CANCELLATION TERMS

a. For Equipment Ordered and Installed Under Kyocera Mita’sprior GSA Contract (GS-26F-1006B) and renewed under thesubject GSA Contract:All provisions for termination, including cancellation for Non-Appropriation of Funds and Termination for Convenience, underKyocera Mita’s prior GSA Contract, will apply.

b. For Equipment Ordered and Installed Under the subject GSAContract:

Kyocera Mita National Accounts Department must receive notifi-cation of cancellation, in writing thirty (30) calendar days prior tothe designated removal date.

The Government (or its authorized agents) may not terminate anLTOP under this contract in order to avoid its buyout obligationsor to obtain the same or similar equipment at more favorableterms. Should early termination be required, the cancellationcharge shall be equal to the net present value of the monthly pay-ments remaining through the completion of the relevant LTOPterm, discounted to present value at the same interest rate chargedupon execution of the original LTOP order. The termination valuecan be calculated with the following formula:

All cancellation charges must be paid to Kyocera Mita at the remit-tance address specified on Kyocera Mita’s invoices.

c. Termination for Convenience of the Government

Equipment ordered under the LTOP plan is intended to provide for afirm commitment by the Government to continue the plan and remitall monthly payments through completion of the committed term. Itis understood that for various reasons, the Government may exercisecancellation of the LTOP prior to completion of the committed termunder the Termination for Convenience clause of the Contract.Should the Government exercise early cancellation of an LTOPunder this clause, the cancellation charge shall be calculated asdescribed in 10(b) above.

d. Abolishment of the Using Activity

There will not be a cancellation charge if the particular using activityis abolished or funds are not appropriated to this activity and KyoceraMita receives a minimum of 30 days written notice from the contract-ing officer of cancellation, which shall be effective as of the date ofsuch abolishment, and a copy of the documentation that abolishes theusing activity.

11. REMOVAL TERMS

When the Government removes equipment under LTOP, theGovernment shall, all its own risk and expense, have the LTOPEquipment packed for shipment in accordance with Kyocera Mita’sspecifications and shall return the LTOP Equipment to Kyocera Mita’s atthe location specified by Kyocera Mita in the continental United Statesin the same condition as when delivered, ordinary wear and tear accept-ed. Any expenses necessary to return the LTOP Equipment to goodworking order shall be at the Government’s expense. Upon request bythe Government, and at the Government’s expense, Kyocera Mita shallassist the scope of the removal of Kyocera Mita equipment; such assis-tance does not relieve the government of its return or payment obliga-tions hereunder. The Government must deliver a valid Purchase Orderfor such services prior to the performances of such services.

12. STATE AND LOCAL TAXES

Notwithstanding the provisions of the clause entitled "Federal, Stateand Local Taxes" (see FAR 29.401-1), the contract price excludes allstate and local taxes levied on, or measured by, the contract or saleprice of the supplies or completed services furnished under this con-tract. Taxes excluded from the contract price shall be separately stat-ed on Kyocera Mita’s invoice. The Government agrees either to payto Kyocera Mita amounts covering such taxes, or to provide Evidence necessary to sustain an exemption therefrom.

13. RISK OF LOSS OR DAMAGE

Kyocera Mita shall be responsible for the risk of loss or damage tothe LTOP Equipment during periods of manufacture, transportationand delivery up to the Acceptance Date. As of the Acceptance Date,the Government shall be responsible for risk of loss or damage tothe LTOP Equipment except for (i) normal wear and tear, and (ii)loss or damage caused by the negligence of Kyocera Mita, itsagents, subcontractors or employees that would be repaired orplaced at Kyocera Mita’s expense.

No loss or damage to the LTOP Equipment or any part thereof shallimpair any obligation of the Government to pay the periodic LTOPpayments due under the Purchase Order, which shall continue in fullforce and effects. In the event of any such loss or damage after theAcceptance Date, then the Government shall at Kyocera Mita’soption either repair such LTOP Equipment, reimburse Kyocera Mitafor the reasonable cost of repairing such LTOP Equipment, orpromptly pay Kyocera Mita an amount equal to the Purchase OptionPrice determined as of the effective date of such purchase in accor-dance with paragraph 1 above.

14. MOVEMENT OF INSTALLED LTOP EQUIPMENT

In the event that equipment being maintained under maintenance inaccordance with terms and conditions and requirements of KyoceraMita, including this modification, is moved to another location,Kyocera Mita shall continue to maintain the equipment at the newlocation unless the equipment is moved to a geographical locationnot covered by this Contract. If the equipment is moved to a geo-graphical area not serviced by this Contract, the maintenance ordershall be terminated without further obligations being incurred byKyocera Mita. The Government shall give at least thirty (30) dayswritten notice of its intentions to move LTOP equipment unless suchmove is required due to emergency. Shipment to the new installationsite shall be at Government expense by padded van or airfreight.The Government may ship the equipment by Government trans-portation or commercial carrier. When the shipment is under controlof Kyocera Mita and damage is incurred that results in costs forlabor or parts to restore the equipment to good operating conditionat the new site, such costs shall be borne by Kyocera Mita. Whenthe shipment is under the control of the Government and damage isincurred that results in costs for labor or parts to restore the equip-ment to good operating condition at the new site, such costs shall beborne by the Government.

15. MAINTENANCE

The Government must enter into a Maintenance Agreement asdescribed under SIN 51-57 "Terms and Conditions Applicable toMaintenance" for all equipment under an LTOP.

16. ASSIGNED AND/OR TRANSFER

The Government shall not assign or transfer the lease of the LTOP,sublet or lend the Equipment under LTOP, or permit it to be used byanyone other than Government and the Government’s employees, orfor official Government business without the prior written consentof Kyocera Mita.

17. RATES

LTOP rates offered to the Government are available for 12, 24, 36,48 and 60 month terms. The monthly LTOP rate stated at the begin-ning of the LTOP term shall remain the same throughout the entireterm.

4. Response to Service Calls

Normal response to service calls will be in nine (9) working hours orless for any emergency service call. Routine maintenance or calls forpreventative maintenance where the machine is fully operational willbe taken on an as available basis, but will be responded to in a timelymanner and commensurate with good service practice and procedures.

5. Service Maintenance and Rental Maintenance

The following items are included in all full service maintenanceagreements for purchased and leased units, and included in rentalagreements:

6. Supply Orders (when not choosing optional maintenance contracts with supplies)

All supply orders will be filled on a case quantity basis only. Ordersfor less than a case will be returned to the ordering agency. All sup-plies will be shipped FOB destination. Supply orders should beprocessed at the time of ordering copier equipment. Local KyoceraMita Authorized Dealers may be willing to sell consumable supplieson an OPEN MARKET BASIS in quantities smaller than one (1)case as set forth herein, but are not obligated to do so.

7. Returned Invoices

When returning an invoice to Kyocera Mita for correction or for anydisputed amount, please include the following:

a) A brief written narrative detailing the alleged problem.

b) Identification of a contact person by name, phone/fax numbersto include an area code for commercial transmission.

8. Local Dealer Service

In most service areas Kyocera Mita America, Inc. has more than (1)local authorized servicing dealer. If the ordering agency has prefer-ence for a particular dealer that assisted them in securing this order,please indicate that dealer’s name on your purchase order asKyocera Mita Servicing Dealer. If no dealer is listed, Kyocera Mitawill assign a servicing dealer from your local area.

9. Electricity

The Government must furnish the proper electrical current andrequired receptacles for any equipment ordered under this contract.

12. Networking

The Government must furnish the proper Network connection forany connected equipment ordered under this contract. A NetworkAdministrator must be present during installation of the equipmentto provide access to the network, facilitate configuring the equip-ment, and is responsible for configuring the network. For informa-tion on Network compatibility see the specifications section of thedescription for each machine.
