The following constitutes Addendum No. 4 to SEPTA's RFQ 17-00174-AMZK. ThisAddendum must be acknowledged by inserting the date of the Addendum on theAcknowledgement Form (Attachment 6 Proposal Package) and submitted with yourproposal. Failure to do so may render the Offerer's proposal as non-responsive.

Questions and Responses

Ql. In the prequel in Criteria part 5 - Financial & Project Surety, you request a letter from our insurancecarrier / agent that the Contractor can meet the limits required in "Attachment 4" 1 do not see anattachment 4 and the only insurance limits I see are in Attachment 5. Please advise if there is anattachment 4, and if there are additional insurance requirements not included in attachment 5.

Q2. Section XIX of the contract states "The decision of the Assistant General Manager of Procurement,Supply Chain & DBE shall be binding upon the Contractor and SEPTA." It is highly unusual for apublic contract to not provide the Contractor with an ability to appeal the owner's decision on adispute to a court of competent Jurisdiction. Will SEPTA amend this clause to allow Contractor sucha right to an equitable dispute resolution process?

A2. See Contract, XIV.H and XVIII

Q3. (meetings) It is typical on design build projects of this nature with Govemment entities to allowconfidential one-on-one meetings with proposers to discuss technical alternatives and other issues. Thisallows the proposer to coordinate closely with the client and has proven to be extremely effective for boththe client and proposer in preparing compliant bids. Will SEPTA amend the contract documents to allowone-on-one meetings?

A3. Per Instructions; ^^Step One will consist of the request for, submission, evaluation, and (ifdeemed necessary by SEPTA) discussion of the RFQ Proposal."

Q4. Refer to section XII.C - 4th paragraph. This paragraph appears to allow SEPTA to withhold ALLpayment for ANY default, regardless of how minor. Please revise the language to allow SEPTA towithhold payment only to the extent necessary to protect SEPTA from subject default. Proposedmodification: In the first sentence of the subject paragraph replace "shall not be obligated to make" with"may withhold" and insert "to the extent reasonably necessary to protect SEPTA from said conditions"after the word "exists".

Q5. Refer to Section VIII.G - Indemnification. The following modifications are proposed to thereferenced indemnity clause: In the first paragraph delete "release and be liable for and to" and delete"consequential damages," and delete "whether or not" In the third paragraph delete "be liable for and to"

Q6. Refer to Section XIV.H - Prior Notice Required as Express Condition of any Claims for AdditionalCost. Proposed modifications: Replace the last sentence of the first paragraph with "The Contractorexpressly agrees that it shall not make any claim, nor be entitled to any additional cost, against SEPTA tothe extent resulting from the actions of any Subcontractor on the Project it being clearly understood thatthe Contractor's sole avenue of recovery is against such Subcontractor."

Q7. Refer to Section XVIIl.N - Overhead Obstacles. Proposed modifications: Replace "No adjustments tothe Contract price or completion date will be granted based on the Contractor's failure to provide for anyoverhead obstacle in the prosecution of the Work." with "No adjustments to the Contract price orcompletion date will be granted based on the Contractor's failure to provide for any overhead obstaclewhich was reasonably discoverable prior to bid in the prosecution of the Work"

Q9. Refer to Section 01010-14 - Milestone table. At this stage in the process, it is not possible todetermine the achievability of the interim milestones. We suggest that SEPTA allow the proposer todefine these interim milestone dates with the final proposed schedule. Note, final completion date canremain unchanged.

A9. The RFP requires that the DB contracting teams provide a Technical Proposal (TP), a portionof which will include providing a milestone/construction schedule that indicates the durations thatthe DB team anticipates in performing the various work scope items/tasks at each location.

QIO. What is the anticipated duration between release of the Step 2 Invitation to Bid documents andsubmission of the price proposal? We request a minimum of 8 weeks.

AlO. SEPTA anticipates two (2) weeks from Step 2 Invitation to Bid (Price Proposal) beingreleased.

Qll. What is the bid date for step 2?

Q12. The last paragraph of page 12 of the Request for Qualifications document states that SEPTA hasalready purchased the (5) Autotransformers. However according the 01010 (Summary of Work) page 5,18.d there are (6) Autotransformers, two per site. Please confirm whether there are (5) or (6) and thatSEPTA is furnishing all Autotransformers.

A12. There will be six (6) autotransformers supplied by SEPTA for this project; two (2) at eachTPSS site.

Q13. (ATC) It is typical on design build projects of this nature with Government entities to allowproposers to submit confidential technical alternatives or approaches for approval pre-bid. This willbenefit both SEPTA and the proposer. When approved these usually result in a reduction in bid price,improvement in schedule, improvement in quality, and/or some other benefit to SEPTA, which allows theproposer to be more competitive. Will SEPTA amend the contract documents to allow submission ofconfidential Alternative Technical Concepts (ATC) for approval pre-bid?

Q14. (Property) Please confirm that SEPTA owns all property needed for the contract and if not willacquire it or otherwise obtain access for the proposer. See drawing C20I, Note 4 for an example.

A14. The property required to upgrade each of these 3 TPSSs is all presently owned by SEPTA.However, any other property (s) near the sites that may be needed to stage/storeequipment/materials will be the responsibility of the Contractor. This includes the wooded parceladjacent to Neshaminy TPSS (north side) that SEPTA forces will clear and make horizontal for theContractor to then finish as he sees fit to use for delivery/storage and activities.

Q15.Specification 01010, Table 01010-2, defines the final design milestone to be completed 6 monthsafter NTP, with permitting to be completed 8 months after NTP. However, drawing G110 shows thedevelopment of the final design to take place over the full project duration. Please clarify if theContractor may propose a different milestone schedule for the design of the substations, which follows amore staggered approach as the substation construction completion periods.

A15. Specification Section 01010 specifies target milestone durations. Drawing GllO describes asuggested staging sequence. The Contractor shall consider this information while developing amilestone schedule that accommodates the Contractor's means and methods.

Q16. Please confirm that SEPTA will supply all 50% design drawings in AutoCAD electronic format andall 50% specifications in Microsoft Word electronic format for the final designer's use.

A16. SEPTA will provide all 50% drawings in AutoCAD electronic format and all 50%specifications in Microsoft Word electronic format. These electronic format documents will beprovided to the selected Contractor only.

Q17. Please clarify whether the 10ft working clearance to live electrical parts stated in Specification01065 1.05.H.1.C and on drawing GI04 Note 24 can be reduced based on the Final Designer'sinterpretation of IEEE and OSHA allowable working clearances.

A17. When doing work with NO SEPTA support, 10 foot working clearance can be reduced ifallowed by and meets lEEE/ANSI/OSHA requirements.

Q18. We request that the RFI submittal period is extended 14 calendar days.

Q19. We request that the RFQ Step 1 period is extended 30 calendar days due to the amount of materialsrequired to be provided.

A19. See Addendum No. 4. SEPTA is extending proposal due date to 10/18/17 for the Step OneTechnical Proposal due date.

Q20. We request that the Bidder be given 60 calendar days to prepare a final bid after receivingnotification that they have been requested to submit a bid.

Q2I. Please clarify where the Contract design and construction scope ends with respect to the two new12 kV feeders at Yardley. Dwg G108 shows one line extending south of sectionalizing switch YA2 andthe other at West Trenton Yard.

A21. Contract scope ends at the trackside gantry structure - the feeders from the trackside gantryto West Trenton Yard are not in this contract scope.

Q22. Please confirm that the sketches on GllO are proposed plans, not existing plans.

A22. Sketches shown on GllO depict suggested staging plans.

Q23. Drawing GllO states that site work at Bethayres may be started with SEPTA approval, while finaldesign of other substations is in progress. Please confirm that final design for the second and thirdsubstations may continue beyond the 6 month milestone shown in Specification 01010, Table 01010-2.

Q24. Specification 01010 l.Ol.F states, "The Contract is intended to rehabilitate the substations to a likenew state. All equipment, components, installations, SCADA, lighting, auxiliary power systems,conductors, and cables, unless expressly stated otherwise, shall be replaced. The only exceptions are thecontrol house building and the outdoor steel structure which shall be repaired, cleaned, primed andrepainted to a like new state." However, Neshaminy drawing E201 shows "NIC" for the 100 Hz signalpower panel, 480 V switchgear, signal power 4.2 kV control panel, and M-A set. Please clarify if thesignal power equipment is not-in-contract and not to be rehabilitated as part of this project scope. Also,please confirm that the Neshaminy 100 Hz transformers are not-in-contract - they are not marked "NIC"on drawing E201.

A24. Neshaminy Signal power equipment is not part of this contracts work scope and the HZtransformers are also not in contract. There is traction power equipment - such as the new RTU towhich the signal points will be transferred - that is located in the signal power room and IS in thescope of this contract.

Q25. Please confirm that the Neshaminy Halon fire suppression system shall be removed, but notreplaced with another type of fire suppression system.

A25. The Halon fire suppression system will be removed, and not replaced with any other firesuppression system.

Q26. On drawings TP106, TP206, and TP306, please clarify the intent of these clearances. Somereferences are applicable for clearances between conductors (NESC 235-1), while other clearances are forsafety from live parts to any permanent supporting surface for workers (NESC 441-1). Are theseintended to be safety clearances for protecting personnel or for installing permanent equipment?

A26. The clearances on Drawings TP106/206/306 are for installation of permanent equipment. Theclearances for live part to fence and vertical clearance to ground are for personnel safety.

Q27. Contract section XI.C.l states that the Contractor cannot make any claims for increased costs,charges, expenses or damages against SEPTA for any delays or hindrances experienced in theperformance of the Work, whether caused by any act or omission of SEPTA or from any causewhatsoever. This does not seem reasonable, due to the fact that this work is being performed on an activerailroad. The contractual schedule is based on obtaining substation outages when needed. If outage timesare denied or cut short, this impacts the schedule and costs. Also, major equipment is being supplied bySEPTA, which can affect the schedule due to failed factory tests or other deliveiy delays, such as damageduring shipping. Contractor working times can be affected by shortages in SEPTA safetypersonnel. Will SEPTA amend the Contract to allow change orders for schedule and costs associatedwith delays caused by SEPTA?

Q28. Is any insulation required to be added to bring the exterior building envelope up to current codes forthe heated and air conditioned spaces?

A28. Insulation Is required as part of the roof systems per specification section 07500 - MembraneRoofing. Insulation is not required to be added to existing exterior wall assemblies.

Q29. Is there any heating, ventilation, or air conditioning required in the following spaces?

a. Bethayres - Breaker Roomb. Neshaminy - Breaker Roomc. Neshaminy - Fire Protection Roomd. Neshaminy -Storage Room

A29. These rooms will not require heating, ventilation or air conditioning since they will beabandoned.

Q30. Specification Section 15700 lists Outdoor Air Temperatures of 104°F dry bulb temperature, 78°Fwet bulb temperature in summer and -10°F dry bulb temperature in winter. Are these the outdoor airtemperatures to be used for sizing mechanical equipment at all three locations?

A30. These outdoor air temperatures shall be used to size mechanical equipment at all threelocations.

Q31. Specification Section 15700 lists Inside Temperatures for Switchgear Area, Battery Room, andCommunications Room.

a. There are no spaces in the plans identified as Switchgear Areas. Are there any unlabeledareas that should be conditioned to meet the summer dry blub of 80°F and winter dry bulb of68°F as a Switchgear Area?

b. There are no spaces in the plans identified as Communications Room. Are the three roomslabeled Control Room to be conditioned to meet the summer dry blub of 80°F and winter drybulb of 68°F?

c. There are two Battery Rooms indicated on the plans, however, they appear to only be heatedand ventilated and not air conditioned. Without air conditioning the summer dry bulb of 80°Fcannot be achieved. Should these spaces be maintained at 10°F above ambient (designed as114°F dry bulb) in summer and 68°F dry bulb in winter?

A31.

a) There is no indoor medium voltage switchgear.

b) Existing communication equipment is installed in the existing non-air conditioned spacesidentified as Control Rooms. Proposed new communication equipment will be provided in theexisting Control Rooms, which shall be conditioned as described in Specification Section 15700. \

c) There are separate battery rooms at Neshaminy & Bethayres TPSSs; Yardley TPSS only has onecontrol room, which contains the batteries.

All battery rooms only have heating and ventilation. The intent is to control the space at ambienttemperature during the summer.

Should the project be constructed to meet IMC-2009 and lECC 2009 (or ASHRAE 90.1-2007 asallowed by lECC 2009)?

a. Should the Control Rooms be ventilated as office spaces with 5 cfm/ person and 0.06cfm/sf per IMC 2009?

b. Should the Battery Rooms be ventilated per IMC 2009, 502.4 for stationary storage batterysystems?

A35. The project shall be constructed to meet IMC-2009 as described in PA Uniform ConstructionCode.

a. The control rooms shall be ventilated as an electric room following IMC 2009 as noted inPA Uniform Construction Code.

b. The battery rooms shall be ventilated using the stationary storage battery systemrequirements.

Q36. Do the remaining spaces (Breaker Rooms, Fire Protection Room, and Storage Room) require anymechanical ventilation? If so what criteria should be used to size the ventilation?

A36. See response to Q29.

Q37. None of these building spaces indicate any form of mechanical humidification nordehumidification. Are there no humidification nor dehumidification criteria for any of these spaces?

A37. The design includes energy recovery ventilator and air conditioning in each space requiringtempered air which will control the humidification and dehumidification.

Q38. Will there be another period of time allowed to ask additional technical RFls?

A38. See RFQ Instructions ^^Any questions relating to the technical requirements must beaddressed in Step One".

Q40. Please confirm that he the awarded contractor will receive the CADD files of the drawings, and theMicrosoft word files of the Specifications included in the bidding package for use on the project.

Q41. Drawing A303 there is a note regarding the existing exterior trench duct to remove the cover andreplace indicating to review drawing S201 does not have a detail of the construction of the new trenchcover. What is the new trench cover material required to be?

A41. Replacement cover shall be composite boards per drawings S102, S202 & S302. Additionally,the trench interior should be restored (the existing trench duct shall remain and just the top coversreplaced with the composite material).

Q42. Will SEPTA be delivering the autotransformers and circuit breakers that were pre-purchased toeach substation location?

A42. SEPTA will deliver the autotransformers & circuit breakers to the parking lots at each TPSSsite - however, the Contractor is responsible for unloading and final placement of this equipment,including all cross- track movement required at Neshaminy TPSS.

Q43. Will Septa be removing the asbestos from the existing indoor breaker prior to the contractor'sremoval?

A43. No. This will be the Contractor's responsibility.

Q44. Regarding the contractor supplied vehicle that is required. Will the vehicle left on SEPTA propertyat the end of each shift?

A44. Yes.

Q45. Will the person or persons using the vehicle have to abide by the contractors vehicle operatingregulations?

A45. Yes.

Q46. Each site plan for all three substations show the conduit and junction box system require for theimpedance bond and refers to note 7 or 8 however there is no work shown in the track area. Is SEPTAconnecting at the junction box location or does the contractor have to excavate in the track area? If trackarea excavation is required please show the exact location of the excavation.

A46. The contractor is responsible for renewing rail returns all the way to the impedance bond -see Section 01010, Part 1,1.05 - 6 -1) (1.07 - A) .

Q47. At the Neshaminy location SEPTA is going to provide a rail crossing is the contractor responsibleto stabilize the track side area from the Rail crossing location to the parking lot?

A47. Contractor will be responsible to install, stabilize and maintain the rail crossing, including thetrack-side area from the rail crossing location to the parking lot - SEPTA track staff will superviseonly. Neshaminy grade crossing details will be added to the contract documents as part ofAddendum No. 5.

Q48. Will the contractor have to have all employees SEPTA Roadway worker Trained?

A48. Yes - all contractor employees that will be occupying each of these sites will need to beRoadway-worker-trained.

Q49. Specification section 01010 summary of work has a table 01010-2 indicating that Bethayres is to becompleted first then moving on to the second station and so on. Will it be possible to work on multiplelocations at the same time but not interfering with track outages? Will SEPTA be able to support this typeof work?

A49. (SEPTA believes this question was meant to refer to Section 01010 - Part 3). Support forwork at multiple locations is not out of the question - however a special request and a long lead timefor this request will be required after NTP. PLEASE NOTE THAT AT NO TIME WILLEQUIPMENT BE REMOVED FROM SERVICE AT MULTIPLE LOCATIONS.

Q50. Drawing C201 Note 6 states to remove a sanitary tank. Was this tank ever used? What size is thetank? What is it made of? How old is it?

A51. This tank was used for the existing bathroom, which contains a lavatory, mop sinks, and awaterless water closet - these facilities are presently not in use.

• The tank has a capacity of 2000 gallons• The tank is fabricated of fiberglass• The tank was installed circa 1987

Q52. Drawings ClOl note 6, C201 note 7 and C301 note 5 states that the contractor is to replace theexisting communication cable. Is the existing cable in conduit if so what size is the conduit. To whatextant is the cable to be replaced. What type and size ofjunction box is required?

A52. a) The existing cable is not in a conduit.b) The communication cable is to be replaced between the termination cabinet within the

TPSS to the nearest outdoor junction box.c) The Contractor shall design the type and size of junction box.

Q53. Specification section 16760 states that installation of the fiber communication cable along the rightaway will have to be done between the hours of 12:00 AM to 4:00 AM. How far down the right away isthe contractor responsible for? Is there existing conduit?

A53.

a) The Contractor shall assume that any additional fiber communication cable necessary will beinstalled in a conduit for a distance of up to % mile to the nearest node at each substation site.

b) There are no existing conduits.

Q54. Attachment One - Lists Specifications, Project Requirements and Design Criteria. Volume 1 of 2has Specifications we could not find Project Requirements and Design Criteria. Please indicate where

these sections are located. Considering these sections are missing and the walkthrough was just this weekwill SEPTA consider moving the RFQ due date back two weeks?

This procurement is being conducted by SEPTA using a Two (2) Step process:Step One will consist of the request for, submission, evaluation, and (if deemed necessary by SEPTA)discussion of the RFQ Proposal. The objective of Step One is to determine the overall acceptability of theRFQ Proposal submitted by the Proposer. No pricing or bid documents are required or involved in StepOne. As used in this context, the word "RFQ Proposal" has a broad connotation and includes allrequirements set forth in this Section 1, including the Attachments. Q69. 16310 Is there a specific requirement for interlocking (via Kirk key) traction power disconnectswitches and breakers (especially with regard to the ground switch on the transfer bus)?

A69. The interlock is only between the breaker and its isolating switch (there is no requirement forKirk Key interlocks).

Q70. 16052.2.03.5 Specification requires performance of a "lightning shielding study" to determinethe need for additional shielding. If additional shielding is required, will this be paid for by SEPTA aschange order to the contract?

A70. Yes.

Q71. 16791 & 16290 - Is the requirement for an HMI for local control and indication necessary?Previously, these have been provided for substation locations with indoor switchgear to provide a safeplace for substation maintainers to operate breakers (away from potential arc flash hazards). Since thecontrol panel is inside and all breakers are outdoor, the control panel itself becomes the HMI with controlswitches, indicating lights and panel meters. A simple monitor, keyboard and mouse can be provided toaccess the gateway for status and troubleshooting.

A71. Yes, an HMI is required. Contractor will also be required to load station drawings to theseHMIs.

Q72. 16792 & 16290- If HMI is to be provided, please indicate location where it is to be connected.System / site block diagrams (TP 120 for example) do not show the connection / location of the HMI.

All. The HMI will be mounted on the RTU and connected to the LAN network.

Q73. 16793 & 16290 - If HMI is required, please indicate required size and location of the unit. Thereare conflicting directions in the specification on physical location of the HMI (control panel vs RTUcabinet). There is likely not enough room in the control panels (as shown) to install an HMI screen. Isthe HMI to be "touch-screen" or provided with keyboard & mouse? Addition of these (and other) points at a later date can cause confusion, leave potential gaps inprograming and create additional costs to the contractor. It is imperative that SEPTA list ALL OWNERREQUIRED status, analog & control points at this juncture so that the SCADA & network equipment canbe priced and bid accordingly.

A76. It is the responsibility of the Contractor to develop the point assignment chart with the help ofSEPTA. This will take place very early in the project after NT? and have a defined cut-off date forthe FINAL point chart. The point chart for Jenkintown TPSS is provided as a reference documentfor this guidance.

Q77. Reference attachment Drawing 1VSR630254C0001 included with attachment 4 indicates thatcross beam and fixing parts for the single pole ABB breakers is included in the scope of supply(equipment provided by SEPTA). Contract drawings indicate that new steel is to be provided by theContractor. Please clarify. Also, there appears to be some type of vertical mast or arm for mounting thecontrol box for the breakers (this is also shown in the contract drawings but not detailed). Is this providedwith the equipment supplied by SEPTA or is the contractor to include this as well? Please providedetails. Also, please confirm that SEPTA will be supplying vertical supports for the 2 Pole Breakers andthat the details of these supports are the same as shown on drawing 1VSR630253C001 in the sameattachment.

A77. Reference documents have no contractual basis for design or construction.

Except for the 2-pole breakers, all new steel will be provided by the Contractor. The vertical beam

(mast or arm) for mounting the control box shall be supplied by the Contractor. Vertical supportsfor the 2-pole breakers are supplied by SEPTA with the breakers. The Contractor shall provide all

other structural steel and mounting hardware, such as for grounding & bonding and attachments

for control cables. Addendum No. 5 will have revised drawings S106,8207,8208,306 & 8307.

Q78. Site Visit - we would like to request a site visit to SEPTA's Ambler Substation. It was stated at theprequalification meeting that the exact equipment to be provided by SEPTA is installed at this location. Itwould benefit the contractors to see the equipment installation to help develop the understanding ofhandling and installing.

A78. Visit to the substation will be scheduled at a future date.

Q79. 01380.3.01.G - Specification requires photos of traction power equipment during stages ofmanufacture. SEPTA is providing major traction power equipment (Circuit Breakers &Autotransformers). Please advise if this section is applicable to this contract.

A79. This clause is applicable since the Contractor will be purchasing other electrical equipment(trolley breakers, for example) than the SEPTA-provided equipment.

Q80. 16772.2.04 Specification requires "Genetic Pro" base software and licenses. Will "as equal"such as "Hikvision" be acceptable? "Hikvision" has been specified for other SEPTA projects.

A80. "Hikvision" is acceptable to SEPTA.

Q81. What is the completion schedule for the work currently being performed at Yardley Station. Thecontractor there is currently occupying the access and staging areas allotted for this project. Time line ofcompletion ofcurrent work could affect schedule and approach for the substation rehabilitation.

Q83. Are the new transformers to be delivered with or without oil? Please provide shipping weights.

A83. Each autotransformer will be supplied with oil. The autotransformers will be supplied incomponent parts of 5 or more packages with the heaviest weighing 18000 kg.

Q84. Drawing TP355 Drawing indicates that there are 2 new cross feeders added on this project (YIT& Y2T). Are these cross feeders to be tapped at the tracks or will this be done by SEPTA in the future(NIC).

A84. These new cross feeders will be tapped by Contractor in at the time of installation.

Q85. 16050.2.01.1 Specification lists padlocks to be provided "if required by SEPTA". Can youplease advise if SEPTA will require the contractor to provide padlocks and for which equipment?

A85. Yes. Contractor will provide and install all control handles and access to control panels (thatwill be locked) with new locks, all keyed different.

Q86. 16310.2.01. A.3 - Specification states "Switches shall be manually operated per the contractdrawings, with limited current interrupting capability. Continuous rating shall be 1,200A with no loadbreak interrupting capacity." This statement is conflicting. Please indicate if switches are to be currentinterrupting / load break or not. If they are to be load break, please provide current interrupting rating.Please provide current intupting / load break requirements for all other switches.

A86. The disconnect switches shall be no-load type, and be capable of breaking a) the line chargingcurrent repeatedly and b) nominal load current - which is expected to be 200A - for a minimalamount of operations.

Q87. Drawing E-203 Is the RTU shown on this drawing (and detailed elsewhere) specifically for thetraction power substation or does this need to interface with the signal power substation also?

A87. The TPSS will have its own RTU located in the traction control room.

Q90. 01010.1.06.1.a.5.a - Specification says to "coordinate with SEPTA to jumper the section switch ontrack 1 to maintain continuity of catenary power during outage". Will SEPTA install this Jumper or willthe contractor be responsible? This will tie the trolley feeds from Jenkintown (JIB) to Neshaminy (NIB).Does SEPTA foresee any temporary changes to the protection settings at the outlying substations toaccommodate for the extended reach of the circuit? Will SEPTA make relay settings changes or will thisbe the responsibility of the contractor. NOTE - Same situation / question is applicable to all locations andstages.

A90. The Contractor will install the jumpers - SEPTA will not change any relay settings at theexisting substations. If required at the new installations, the Contractor will then make theseadjustments. The Contractor will also need to perform and submit proposed relay settingcalculations for SEPTA's approval prior to implementation. In addition, a SEPTA relay technicianwill need to be with the Contractor when any relay setting revisions are made both at theinstallation of the jumper and the removal of the jumper. All electronic relay files before and afterthe installation of the jumper will need to be saved by the Contractor.

Q91. Will existing survey information and electronic survey files be provided to DB Contractor Team?

A91. Any survey that the Reading Company did 90 years ago and that is still available will be

provided to the selected Contractor after NTP.

• Electronic base mapping, used to generate the bid documents, will be provided in AutoCAD(dwg) format to the selected Contractor after NTP.

• Scans of as-built plans and Reading Company Val maps can be provided to the selectedContractor after NTP (the scans are of varying quality and detail).

Q92. What are the flood zone elevations? Does the design need to take flooding into designconsideration?

A92. The Neshaminy & Yardley TPSSs are located at elevations significantly above the nearestFEMA defined 100-year flood elevation.

Neshaminy TPSS is at an elevation of approximately 97 feet, and the nearest 100-year floodelevation is approximately 50 feet. Yardley TPSS is at an elevation of approximately 86 feet, andthe nearest 100-year flood elevation is 64.8 feet.

Bethayres TPSS is located just outside of the FEMA defined 100-year water surface elevation forPennypack and Huntingdon Valley Creeks. The TPSS yard is at an elevation of approximately 122feet, while the 100-year flood elevation is 118.9 feet.

Q93. The roof plan drawings call out polystyrene, however the specification calls out for polyiso. Pleaseclarify.

A93. Polyisocyanurate insulation is required per Specification Section 07500 part 2.06B.

Q95. Specification section 01010.1.03.5 requires that the contractor employ a "CommunicationsSpecialist" with RCDD certification. Will SEPTA accept an electrical communication engineer's PELicense as a substitution for RCDD certification?

Note - The Company that we intend to employ for the communications engineering is a well-regardedminority communication engineering firm with many years ofexperience in transit communicationsdesign, inclusive of traction power substations. They have successfully performed communicationsdesign engineering on over 20 projects for SEPTA and hold professional engineering licenses inPennsylvania and other states. They have five experienced communications engineers who follow RCDDdesign principles, but none have the formal RCDD certification.

A95. Yes - SEPTA will accept a Communications Specialist that possesses a PE license.

Q96 Specification 01065 l.OS.G.l.a states, "All Contractor employees prior to working in any capacity

that has the potential to foul, and/or working within 10 feet of railroad tracks shall attend a SEPTA

safety seminar full day class on safety rules and operating procedures (SRW Course)." Please clarify

whether personnel working at Bethayres, Neshaminy Falls, and Yardley Substations need Roadway

Worker Protection (RWP) Training if their activities are confined to work that is 10 feet away from

railroad tracks, or if they are crossing the tracks at Neshaminy Falls under SEPTA's direction.

Subcontractors in accordance with Paragraph IX., and supported by such data to substantiateits correctness as the Project Manager may require. Each item in the schedule ofvalues shallinclude its proper share of overhead and profit. The schedule and cash flow projections,when approved by the Project Manager, shall be used as a basis for the Contractor'sapplication for payment.

C. Interim Progress Pavments

Until fifty percent (50%) ofthe Work is completed (as determined exclusively by SEPTA),progress payments will be made monthly on the basis ofninety percent (90%) ofthe value oflabor, overhead, equipment, materials and other direct costs incorporated into the Work inthat calendar month, as verified by SEPTA's Project Manager. Upon completion of fiftypercent (50%) of the Work, one-halfof the amount retained by SEPTA shall be returned tothe Contractor, provided, however, that the Project Manager approves the application forpayment and that the Contractor is making satisfactory progress and there is no specificcause for greater withholding. Upon completion of fifty percent (50%) of the Work,progress payments will be made monthly on the basis of ninety-five percent (95%) of thevalue of labor, overhead, equipment, materials, and other costs incorporated into the Work inthat calendar month, as verified by SEPTA's Project Manager. All such monies retained bySEPTA may be withheld from the Contractor until substantial completion ofthe Work. Suchpayments shall be made within thirty (30) days after approval of a request for a progresspayment ("Invoice") by the Project Manager. Such Invoice shall be submitted in such formand detail as required by the Project Manager, within ten (10) days after the end of eachcalendar month. Such invoice shall include a DBE Invoice Payment Report (a sample copyofthe DBE Invoice Payment Report that is to be utilized by the Contractor is attached to theContract).

Payments will be made for materials or equipment which are not incorporated in the Workbut delivered and suitably stored at the site and for materials or equipment properly storedoffthe site and all ofwhich can be determined by the Project Manager to be specifically forthe Work; such payments shall be conditioned upon submission by the Contractor ofbills ofsale or such other procedures and documents are satisfactory to the Project Manager toestablish SEPTA's title to such materials or equipment or otherwise protect SEPTA's interest.

The Contractor warrants and guarantees that title to all Work, materials, and equipmentcovered by an Invoice and incorporated in the Project, will pass to SEPTA upon the receiptof such payment by the Contractor, free and clear of all liens, claims, security interests orencumbrances, hereinafter referred to in this Paragraph as "liens"; and that no Work,materials, or equipment covered by an Invoice will have been acquired by the Contractor, orby any other person performing the Work at the site or furnishing materials and equipmentfor the project, subject to an agreement under which an interest therein or an encumbrancethereon is retained by the seller or otherwise imposed by the Contractor or such other person.If payment is to be made for materials or equipment delivered to the Work site but notincorporated into the Work, the Contractor shall not be paid until satisfactory evidence oftitle to the equipment or materials, free and clear of any liens or encumbrances, shall bedelivered to SEPTA. Further, the Contractor shall provide adequate safeguard of thematerials or equipment against loss or destruction and shall be financially responsible toSEPTA for any failure to do so which results in such loss or destruction.

The parties expressly agree that any provision hereofto the contrary notwithstanding SEPTAshall not be obligated to make may withhold payment to the Contractor hereunder if anyone or more of the following conditions exists to the extent reasonably necessary toprotect SEPTA from said conditions and the parties expressly agree that the aforesaid andbelow-stated provisions are express conditions subsequent to the payment obligation and thatpayments under Paragraph XII.C. ofthe Contract are made expressly subject to the followinglimitations:

F. Contract Security

The Contractor shall furnish and maintain properly executed Performance Bonds and Laborand Material Payment Bonds, each written by good and sufficient sureties and in formacceptable to SEPTA, each in the amount ofone hundred percent (100%) ofthe Contract Sum.If any of the sureties on these bonds should become insolvent or bankrupt in a technical orequitable sense, or otherwise become unqualified to underwrite these bonds for one hundredper cent (100%) of the Contract Sum, or the Contract Sum is adjusted so as to exceed thepenalties ofsuch bonds, SEPTA may require, on ten (10) days written notice, the Contractor tofurnish new or additional bonds from the same or different sureties so as to be fully secured atall times for one hundred percent (100%) ofthe Contract Sum. The desired form ofLabor andMaterial Payment Bond consists ofAlA Document A311, while the Performance Bond mustbe in form acceptable to SEPTA.

The Performance Bond and Labor and Material Payment Bond must be issued by a fullyqualified surety company acceptable to SEPTA and listed as a company currently authorizedunder 31 CFR Part 223 as possessing a Certificate of Authority as described thereunder.

G. Indemnification

Contractor agrees torelease and be liable for and to defend, indemnify and save harmless SEPTA, its BoardMembers, officers, agents, servants, workmen, employees, subsidizers and indemnities, thePennsylvania Department of Transportation, the City of Philadelphia and any and allgovernment funding agencies providing fiinds or services in connection with this Project(hereinafter collectively referred to as "SEPTA"), from and against any and all loss, cost,damage, liability and expense, including consequential damages, counsel fees, whether or notarising out of any claim, suit or action at law, in equity, or otherwise, of any kind or naturewhatsoever, including negligence, arising out ofthe performance ofthe work by reason ofanyaccident, loss or damage of property, including the work site, property of SEPTA andContractor, or injury, including death, to any person or persons, including employees ofSEPTA, Contractor, subcontractors at any tier or any person working on Contractor's behalf,caused by Contractor, which may be sustained either during the term ofthe Contract, or uponor after completion of the Project, whether brought directly by these persons or by anyoneclaiming under or through them including heirs, dependents and estates.

Contractor also agrees for itselfand on behalfof its agents, servants, subcontractors, materialmen and employees to defend, indemnify and hold harmless SEPTA from and against any andall claims of any kind or nature whatsoever regarding subcontractors and material men andagrees to assume the defense of SEPTA to any such suit at its cost and expense. TheContractor further assumes the risk of loss and damage to materials, machinery and equipmentto be incorporated in the Work at all times prior to delivery to the Project site or while in thepossession or under the control of the Contractor.

Contractor, for itselfand its employees. Board members, officers, agents, servants, workmen,contractors, subcontractors, licensees and invitees, or any other person working onContractor's behalf, hereby releases and agrees to bo liable for and to defend, indemnify andsave harmless SEPTA, except to the extent that SEPTA is negligent in whole or in part, for anyclaims made by an employee. Board member, officer, agent, workman or servant ofContractor's or any other person working on Contractor's behalf, including claims forcompensation or benefits payable to any extent by or for Contractor under any workers' orsimilar compensation acts or other employee benefit acts, and Contractor expressly waives itsstatutory protection under §303, as amended, of The Pennsylvania Workers' CompensationAct, 77 P.S. §481 (b).

or such other address as SEPTA may from time to time designate.

FOR CONTRACTOR;

M. Unforeseen Underground Conditions

Should concealed conditions encountered in the performance of the Contract below thesurface ofthe ground be at variance with the conditions indicated in the Contract Documentsor should unknown physical conditions below the surface ofthe ground ofan unusual nature,differing materially from those ordinarily encountered and generally recognized as inherentin work of the character provided for in the Contract, be encountered, the Contract Sumand/or the Completion Date shall be equitably adjusted by Change Order in accordance withParagraph XIV. as deemed and judged by SEPTA after due deliberation ofall the facts in itsreasonable discretion.

N. Overhead Obstacles

It shall be the responsibility of the Contractor to become familiar with and to makeappropriate provisions for any and all overhead obstacles, regardless whether noted in theContract Documents that may prevent or inhibit the performance ofthe Work in accordancewith the Contract Documents, Contractor's chosen means and methods, or access to the worksite. No adjustments to the Contract price or completion date will bo granted based on theContractor's failure to provide for any overhead obstacle in the prosecution ofthe Work. Noadjustments to the Contract price or completion date will be granted based on theContractor's failure to provide for any overhead obstacle which was reasonablydiscoverable prior to bid in the prosecution of the Work Providing for an overheadobstacle could include the removal and reinstallation or the temporary relocation of theobstacle by the Contractor, its subcontractor or a third party.

O. Third Partv Contract Rights

It is agreed that SEPTA, neither by this clause nor by any other provisions in thisAgreement or other statements prior to or contemporaneous with this Agreement createsany right or expectation in any third party or third parties (including, without limitation,subcontractors) enforceable at law or in equity or any other proceeding against SEPTA, itsofficers, board, subsidizers, employees, agents or assigns.

P. Disadvantage Business Enterprise (DBE) Requirements

The Contractor shall fully comply with the DBE requirements as found in Exhibit III whichis attached hereto and made a part hereof.
