up to 50% commissionable volume is paid through the compensation plan.

DefinitionsIndependent Ambassador – A social entrepreneur who chooses to enroll as an independent Zilis Ambassador with one of four enrollment options. Ambassadors are capable of earning commission by referring and gathering Zilis partners and overriding the sales of their organization. All Ambassadors must also adhere to the Zilis Policies and Procedures. Zilis Nutrition Pack – A 30 serving box of vitamin and mineral powder sold exclusively by Zilis. Each nutrition pack is designed to provide a complete month of nutrition for a child between the ages of six to 59 months with a full RDA of 15 essential vitamins and minerals.

Nutritional Sponsorship – Occurs when a Zilis Ambassador or Partner purchases a Zilis Nutrition Pack for delivery to a malnourished child. Partner – An individual who has not enrolled as a Zilis Ambassador and purchases at least one Zilis Nutrition Pack. Continuity – The term designating a Zilis Partner who purchases at least one nutrition pack each month on a pre-scheduled basis. Continuity Partners can set their order for the date of their choosing between the 1st to the 20th of each calendar month.

Enroller – The person who introduced a new Partner or Ambassador to Zilis.

QV (Qualifying Volume) – The value placed on new orders for qualification purposes.

PQV (Personal Qualification Volume) – The collective qualification volume from your own and your Partners nutritional sponsorships for purposes of qualification.

PCV (Personal Commissionable Volume) – The collective commissionable volume from your own and your Partner’s nutritional sponsorships.

PTQV (Personal Partner Qualification Volume) – The total qualification volume from your personal Partners during a qualification period.

PTCV (Personal Partner Commissionable Volume) – The total commissionable volume from your personal Partners during a qualification period.

NPTQV (New Personal Partner QV) – The total qualified volume from a new Partner’s initial (first) order.

EQV (Enrollment Tree Qualifying Volume) – The amount of volume attached to each Commissionable order in your organization for purposes of qualification.

CV (Commissionable Volume) – The value assigned to each order sold for purposes of commission calculations.

Active Partner – A Zilis Partner who has placed an order for at least one commissionable item in the current calendar month.

Enrollment Tree – The Ambassadors and Partners enrolled that can be linked back to one of your direct personal enrollment. This is separate from the Placement Tree.

Placement Tree – The Ambassadors and Partners enrolled in your dual team organizational structure by either you or placed below you by another Ambassador in your upline organization do the same.

Definitions Continued...Dual Team – A dynamic two leg structure which pays you for generating nutritional sponsorships within “left” and “right” placement tree legs and helping your organization do the same.

PDEV (Personal Dual Team Enrollment Tree Volume) – The volume generated by Ambassadors in your enrollment tree within your Dual Team structure.

Weekly Cap – The maximum amount of dual team commissions an Ambassador can earn each week based on rank qualification.

SSV/LSV (Stronger/Lesser Leg Volume) – A description of the two dual team legs to denote which legs are producing greater and lesser CV during a qualification period.

Carryover/Stored Volume – CV that is generated during a previous period and carried forward due to a lack of matching volume on the opposite Dual Team leg.

Generation – The chronology, or level, of where new Ambassadors (and therefore their Partners) are placed in the Dual Team or Generational tree.

Rank – Denotes qualification achievement within the Comp Plan. Rank is used to calculate compensation, rewards qualification and recognition of productivity.

Distribution Partner – Indigenous organizations that contract with Zilis for distribution to malnourished children in their local area.

Hero Pool Credits – The number used to calculate continued earnings of shares by weekly hero pool members.

Ambassador Comp PlanNine Ways to Earn Rewards by Providing Proper Nutrition to the Children Who Need It Most

1. Personal Partner Bonus (PPB) are paid monthly on all active personal Partners

and designed to reward you for your initial and ongoing Partner gathering efforts.

2. Fast Start Bonus (FSB) rewards for helping your personally sponsored

Ambassadors buy and sell Nutrition packs.

3. Weekly Hero Pool (WHP) qualify for the opportunity to share in a 5% revenue

pool each week by earning shares of the weekly hero pool.

4. Matching Bonus (MB) enjoy lifelong matching bonuses on the LRBs earned

by all personally enrolled Ambassadors with a special incentive your first 90 days

in the business.

5. Dual Team (DT) This dynamic structure allows you to earn income on the

total starter pack product volume generated by your left and right sales teams

through unlimited depth in your placement tree.

6. Generational Bonus (GB) the foundation of your long-term residual income.

Qualify to get paid monthly on the total Commissionable Volume up to six

generations of your organization.

7. Global Bonus Pool (GBP) this unique component allows you to enjoy the

success of the entire company by earning quarterly shares derived from the

total company generational volume.

8. Leadership Fast Start Bonus (LFS) paid to those in Leadership positions to

unlimited generations of depth on the product volume generated by Ambassador

enrollment packs in your leadership teams.

9. Leadership Residual Bonus (LRB) is designed to reward and encourage

those in Leadership positions to build and sustain a large Partner base. Earn an

Choosing Your Enrollment PackThe first step in the enrollment process is choosing your pack. Zilis offers

multiple enrollment options to meet every budget and goal. New Ambassadors

should begin with asking several important questions. First, how many children

do they desire to impact? Second, what type of benefits do they want to derive

from the reward plan?

The goals of each Ambassador will help each new enrollee determine

which enrollment pack is the best choice. In addition to selecting their

initial order, each Ambassador should consider the number of Nutrition

Packs they desire to have on continuity. For each Nutrition Pack purchased,

Ambassadors will receive and valuable hero points for redemption on a

wide variety of health and wellness products through our unique Partner

Reward program.

Choosing ContinuityThe next step in the enrollment process is choosing your Continuity order. How

many children do you wish to provide proper nutrition each month? How many

hero points do you want to accrue toward the Partner Rewards? What products

would you like to receive? All Ambassadors and Partners are encouraged to

select two or more nutrition packs. Not only will you maximize the impact by

providing nutrition to children, you’ll also receive higher point matches.

While Continuity is not required, it is highly encouraged. According to the

World Health Organization, the formulation in a Zilis Nutrition Pack will stop

malnutrition after only sixty days of use. However, it will return if children do not

continue receiving proper nutrition.

Residual BonusesPersonal Partner Bonus (PPB)

- PAID MONTHLY

Initiate success with the Personal Partner Bonus. These accelerated rewards

on all purchases made by your Partners encourage each Ambassador to build

a large and loyal Partner base. PPBs are among the most lucrative retail sales

commissions in the industry and are a primary way many Ambassadors earn

their first commissions.

Earn a PPB on every nutrition pack you sell to a Partner. The more Partners

you gather, the more nutrition packs they provide, the more you earn .

EXAMPLE

You approach your Pastor who takes advantage of the free enrollment for nonprofits to enroll the Church as a Zilis Ambassador. Your Pastor then shares the mission with his/her congregation and 50 Members see the opportunity for less than $75 a month to support their Church and receive valuable hero points by sponsoring three (3) total children each month. The net results are as follows:

• Your Church is responsible for sponsoring a total of 150 children with Nutrition Packs each month.

• Your Church earns $5 on every Nutrition Pack sold.

• 150 Nutrition Packs X $5 = $750/month to your Church in residual income.

• Annually this equates to $9,000 in additional income to the Church.

Zilis places 5% of total new enrollment CV each week into the Zilis weekly hero

pool.. This unique feature encourages Ambassadors to continue an activity that

FAST-START MATCHING BONUS DETAILS1. To qualify for 40% matching, new enrollee start date must fall within 90

days of the enrolling Ambassador’s start date.

2. To earn LRB matching, you must be qualified at the rank from which you desire to earn a match. If the enrolling Ambassador is not qualified at the same level as their personally enrolled Ambassador, matching is adjusted to the include the LRB earned at the highest level the enroller is currently qualified.

3. Enrollers must earn equivalent rank of their personally enrolled within twelve (12) months for Area Ambassador, eighteen (18) months for Regional Ambassador and twenty-four (24) months for National Ambassador of the initial qualification date of the personally enrolled. If Enroller does not qualify at equivalent rank within this timeline matching bonuses for the individual rank in question are permanently forfeited.

Dual Team Builder (DTB)

- PAID WEEKLY

The Dual Team builder is one of the key components of the Zilis Comp Plan. This

dynamic structure pays you for generating nutritional sponsorships within your

two placement tree legs and helping your organization do the same. Earn up to

20% of the lesser leg CV fom nutritional sponsorships that you, your upline team

and your downline generate in the form of Ambassador enrollment packs.

Every Ambassador has a placement tree with two sides, a left team and a right

team. Either of these teams can be considered a stronger or lesser leg during

any particular bonus period. Each nutritional sponsorship sold throughout your

Dual Team organization in the form of an Ambassador enrollment pack counts.

Earning potential is determined by rank and other factors as outlined below.

Begin by setting your foundation and activating your Dual Team by developing

two (2) personally enrolled and active Ambassadors, one on the left team and

one on the right team. The best part is like rollover minutes on cell phone plan,

you are able to “store” volume for future payouts when necessary.

QUALIFICATION: You must meet the requirements as listed below for each Dual

Team payout you desire to earn.

DUAL TEAM BUILDER DETAILS1. Only CV from Bronze, Silver and Gold pack enrollments or upgrades pay in

the Dual Team.

2. A minimum of 300CV on each leg is required to generate a Dual Team bonus. When a Dual Team bonus is paid, an equal amount of CV is deducted from each leg.

3. Carryover volume requirements apply. After any maximum weekly payout is met (per rank definitions) within a bonus period, any unused lesser leg volume will be reset to zero and will not carry over into the next bonus period.

4. Lesser side volume is only calculated using PDEV. Any CV on the lesser side that is not PDEV will not count toward Dual Team commissions and will be flushed at the end of each weekly period.

Carryover Volume

An active Ambassador may carryover up to 500,000 in strong-side volume

(SSV) each period based on personal activity, as outlined. Carryover volume

acts like rollover minutes on a cell phone plan. Even though the volume may

have been generated months prior, as long as volume is stored it may be used

for commission purposes at a later time. Maintaining stored volume gives

Ambassadors the ultimate in flexibility.

GENERATIONAL BONUS DETAILS1. GBs are paid on enrollment tree volume only. GBs exclude all join packs.

3. All re-occurring Partner orders occur between the 1st through the 20th day of each month, giving Ambassadors an average of ten days to add additional volume for qualifications.

determines the number of generations you will be paid GBs.

Global Bonus Pool (GBP)

Reaching for the stars has its own reward. The Global Pool rewards Leaders who

reach beyond their dreams and continue building the company and their future by

generating a high nutrition pack volume. Two percent (2%) of Worldwide Unilevel/

Generational Commissionable Volume (CV) will be shared by qualified Regional

Ambassadors and above. The Pool pays in direct proportion to one’s sales

contributions to the total Unilevel/Generational CV.

Leadership Fast Start (LFS)

- PAID WEEKLY

Earn lucrative LFS bonuses as new Ambassadors enter your leadership

organization and gather Partners. This bonus rewards you for working in depth

within your organization and creating duplication of Partner gathering efforts by

your team. You are eligible for LFS bonuses on all directly coded Ambassadors

who join your leadership teams. Since you are encouraged to continue personally

enrolling, it is possible to earn multiple LFS rank bonuses simultaneously.

The more Ambassador enrollment packs within your leadership teams, the more

LFS bonuses you’ll earn and the more children reached with proper nutrition.

ADDITIONAL DETAILS

• Your qualified leadership level, as well as the type and total of Ambassador enrollment packs purchased within your Leadership teams will determine the amount of LFS bonuses you earn each week .

• For LFS earnings you must have achieved the rank in question in the previous calendar month or in the current calendar month prior to the close of the weekly pay period in question . Ambassadors who rank advance to a new level higher than their lifetime rank will begin earning LFS bonuses in the week in which they rank advance and will be considered qualified for the new rank achieved for the remainder of the month. If you are not qualified at the time the LFS bonus is run, the LFS bonus will be purged .

Ambassador RanksOur desire is for you to succeed and become the best leader possible in your business and the Comp Plan rewards you for building your organization by gathering new partners (your customers) and new Ambassadors (your distributors) and helping those Ambassadors build their own teams. Leadership levels are also available to be earned by the gathering of larger numbers of personal Partners. To help you accomplish your goals, Zilis has established a very simple and easy-to-follow system of achievement levels, identified by ranks. Each Ambassador has “current” rank within the current bonus period, as well as the highest “lifetime” rank in the last twelve months. Commissions are determined by the level of qualification you meet within a given bonus period, otherwise known as “paid-as rank”.

ASSOCIATE AMBASSADOR• Previously achieve active Ambassador in the calendar month.• Accumulate 200 PQV – no time limit.

• Maintain at least 100 PQV in the current calendar month with at least 25 PTQV coming from one or more Partners.

• Maintain at least (2) personally enrolled active Ambassadors who generate a minimum of 50 PQV each calendar month (1-left Dual Team leg and 1-right Dual Team leg).

COMMUNITY AMBASSADOR • Previously achieve Associate Ambassador in the calendar month.• Accumulate 600 PQV – no time limit.

AppendixFurther Rewards InformationPAY CYCLESZilis pays commissions on a weekly and monthly basis through a convenient

electronic deposit. Once you receive your initial commission, you’ll be notified of

how to access your funds via a simple online transfer in a few short steps. This

easy and secure method of receiving your commissions means you can receive

your commissions even when you’re traveling or on the go. Funds are available

for transfer on the same day commissions are paid.

Your weekly pay cycle begins Sunday at 12:00am ET and end Saturday evening

at 11:59pm ET. All weekly bonuses are paid on the following Friday for the

previous week (5 days after the weekly period ends).

Your monthly pay cycle is based on a calendar month. Monthly Commissions

are paid on the 15th of the current month for the prior month.

GENERAL NOTESZilis reserves the right to modify the Comp Plan without prior written notice.

Zilis will pay up to a maximum of 50% of commissionable volume. In the

instance the 50% cap were to be reached, Zilis will make appropriate deductions

from Dual Team payouts based on the number of 300CV cycles each

Ambassador earned.

Ambassador accounts that remain inactive for a period of six (6) months will be

converted to Partner status.

ALTERNATIVE QUALIFICATIONS FOR EACH RANK:Ranks may be initially achieved by acquiring the following number of active
