1. Introduction

1.1. Overview This document provides the instructions for upgrading 8100 Mobile Device Test System – Location Test System (LTS) Module version 13.0 to version 13.1. 8100 Mobile Device Test System LTS version 13.1 consists of the software components listed in the following table.

2. System Upgrade Instructions

2.1. Overview The following sections contain the steps necessary to install the LTS version 13.1 software and the necessary supporting software components on an existing system. These steps include: 1. Download and unzip the software update package from the Spirent Customer Service

Center website. 2. Install the LTS 13.1 Software Personality 3. Activate the LTS 13.1 software personality. 4. Configure the Controller PC. 5. Configure the Application Server. 6. Verify the Qpoint VM. 7. Reactivate the software personality. 8. Install Universal DM V2 on the Controller PC. 9. Update Spirent LTS OTA test pack. 10. Modify the DNS entry in the hosts file on the Controller PC. 11. Configure LTS software applications on the Controller PC. 12. Upgrade the E2010S. 13. Upgrade the secondary E2010S (if present). 14. Configure TTworkbench Express. 15. Update the EMQuest plug-in. 16. Update Microsoft Security Essentials. 17. Install the test suites. 18. Upgrade the GSS7000.

2.2. Prerequisites Before upgrading the system, make sure the following criteria is met:

• You have an external USB drive with 50GB of available space to which you will download and unzip the software update from the Spirent Customer Service Center.

• LTS 13.0 is installed currently on the system.

2.3. Download and Unzip the Software Update In this section, you will download and unzip the LTS software update from the Spirent Customer Service Center to an external USB drive with 50GB of available space. The LTS software update consists of the following files:

• 8100_SW_LTS_BSeries_v13.1.0-5.tar file • LTS BSeries v13.1 Windows Installer

NOTE: Spirent recommends that you extract the zipped package file to a portable USB device with 50GB of available space. These files are needed to update multiple computers on the system.

Also, you will need a zip application (for example, 7-Zip) to unzip the zipped package file you download from the Spirent CSC.

Before performing this procedure, make sure you have an external USB drive with 50GB of available space. Perform the following steps to download and unzip the software update: 1. Connect the external USB drive to your PC. 2. Log into the Spirent Customer Service Center website at http://support.spirent.com using

the e-mail address and password assigned to you by Spirent. 3. On the Customer Service Center page, click the Downloads tab.

The Downloads page appears. 4. From the Release Type box, select Controlled Release. 5. From the Product Line box, select 8100 Platforms. 6. In the Categories area, check the B-Series check box. 7. Download the following software to the external USB drive: LTS Bseries SC10 Installer Controlled Release, v13.1.0 for VM Image File 1 of 2 LTS Bseries SC10 Installer Controlled Release, v13.1.0 for VM Image File 2 of 2

8. After the zipped files are downloaded, open Windows Explorer and go to the folder on the external USB drive that contains the downloaded files.

9. Right-click on the file 30-013445.vA5-4.zip.001. A menu appears.

10. Select 7-Zip > Extract files. The Extract dialog box appears.

11. Click the OK button. The LTS v13.1.0 files are extracted and combined into a single tar file.

12. After the files are extracted, disconnect the external USB drive from your PC. 13. Connect the external USB drive to an available USB 2.0 port on the SC10.

14. Go to the next section to install the LTS 13.1 software personality.

2.4. Install the LTS 13.1 Software Personality Perform the following steps: 1. Make sure the USB drive containing the software update is connected to an available USB

2.0 port on the SC10. 2. From the QEMU menu at the top, left corner of the VM window, select 8100 Services

Management Utility - Chromium. The 8100 Services Management Utility appears.

3. In the 8100 Services Management Utility, click the Software Personalities button. The Software Personalities page appears.

4. In the Action column, click the Deactivate button. A dialog box appears prompting you to confirm your action.

5. Click the OK button. When the action is complete, the message Operation Complete appears.

6. Click the Return to Software Personalities button. The Software Personalities page appears.

7. Click the Software Installation button. The Software Installation page appears.

8. In the Software Channel area, click the Add Local Channel (USB) button. The Input Required dialog box appears.

9. Click the Choose File button. The Open File dialog box appears.

10. Click the media button. 11. Double-click on the external USB drive that contains the file

8100_SW_LTS_Bseries_v13.1.0-5.tar. The external USB drive will typically be displayed as sdc1 or sdd1 depending on what other items are currently installed on the USB drive.

12. Select 8100_SW_LTS_Bseries_v13.1.0-5.tar, and then click the Open button. A dialog box appears and displays the message that it is searching for removable media for 8100 software. When the software is found, the message Channel Added Successfully appears.

13. Click the Close Results Window button. The Software Installation page appears. The table in the Software Channel area displays 8100Local1. This is the .tar file you just loaded.

14. In the Software Channel area, click the Enable button for 8100Local1. A dialog box appears and shows the message Channel Enabled.

15. Click the Close Results Window button. Y appears in the Enabled column for 8100Local1 in the Software Channel area table, and the software component from the .tar file for 8100Local1 appears in the table in the Software Releases Available area. The Install button appears next to 8100 LTS BSeries Version 13.1.0.

16. If the message In order to proceed with a release install, the Instrument Management Utility must be updated appears in the Software Releases Available area, perform the following steps: a. Click the Upgrade button.

A confirmation dialog box appears. b. Click the OK button to upgrade the 8100 Services Management Utility.

A dialog box displays the message This webpage is not available. c. Click the Reload button in the dialog box.

After the 8100 Services Management Utility is upgraded, the Software Personalities page appears.

d. Click the Software Installation button. The Software Installation page appears.

NOTE: If you want to install LTS – ADS 13.1 only, go to Step 19-j.

17. In the Software Releases Available area, click the Install button for 8100 LTS BSeries Version 13.1.0. A dialog box appears prompting you to confirm that you want to install the selected software package.

18. Click the OK button. The Operation in Progress status box appears showing the status of the installation. The software installation process may take up to 30 minutes.

WARNING: Do not refresh the browser or power down the SC10 during the installation process.

After the software personality is installed, the SC10 reboots automatically, and the Software Personalities page appears.

19. If you want to install LTS – ADS 13.1, perform the following steps: a. In the 8100 Services Management Utility, click the Software Installation button.

The Software Installation page appears. b. In the Software Channel area, click the Add Local Channel (USB) button.

The Input Required dialog box appears. c. Click the Choose File button.

The Open File dialog box appears. d. Click the media button. e. Double-click on the external USB drive that contains the file

f. Select 8100_SW_LTS_Bseries_v13.1.0-5.tar, and then click the Open button. A dialog box appears and displays the message that it is searching for removable media for 8100 software. When the software is found, the message Channel Added Successfully appears.

g. Click the Close Results Window button. The Software Installation page appears. The table in the Software Channel area displays 8100Local1. This is the .tar file you just loaded.

j. In the Software Releases Available area, click the Install button for 8100 LTS BSeries Version 13.1.0 For ADS. A dialog box appears prompting you to confirm that you want to install the selected software package.

2.5. Activate the LTS 13.1 Software Personality This section describes how to activate the LTS 13.1 software personality. Perform the following steps: 1. In the 8100 Services Management Utility, click the Software Personalities button.

The Software Personalities page appears. 2. Click the Activate button of 8100 LTS Version 13.1.0 in the Action column of the table.

A dialog box appears prompting you to confirm your action. 3. Click the OK button.

After the personality activates successfully, the 8100 Services Management Utility window closes, and the Controller PC password window appears.

4. Go to the next section to configure the Controller PC.

2.6. Configure the Controller PC In this section, you will perform the following steps to configure the Controller PC: 1. Configure the network settings. 2. Configure the local area connection. 3. Verify the USB-ENET adapter. 4. Select the vmsync data file. 5. Select the Qpoint license. 6. Shut down the Controller PC.

2.6.1. Configure the Network Settings for the Controller PC Perform the following steps: 1. In the Controller PC password window, enter Sp!rent and press the ENTER key. 2. If the Windows Activation dialog box appears, perform the following steps:

a. Click the Ask me later button. The Windows Activation message box appears stating that importance of using genuine Microsoft software.

b. Click the OK button. 3. If a message box appears stating that you may be a victim of counterfeiting, click the Close

button. 4. If the Simple DNS Plus Licensing dialog box appears, ignore it. 5. If the User Account Control dialog box appears, click the Yes button.

6. If a Microsoft Windows dialog box appears prompting you to restart your computer to apply these changes, click the Restart Later button. The VMSync dialog box appears, prompting you to select the vmsync.data file.

NOTE: Ignore the VMSync dialog box for now. You will configure VMSync later in this section.

7. In the Set Network Location dialog box, uncheck the Treat all future networks that I connect to as public, and don’t ask me again check box.

8. Click on Home network. 9. In the Create a Home group dialog box, click the Cancel button. 10. Go to the next section to configure the Controller PC local area connection.

2.6.2. Configure the Controller PC Local Area Connection Perform the following steps: 1. On the Controller PC desktop, select Start > Control Panel.

The All Control Panel Items window appears. 2. Click on Network and Sharing Center.

The Network and Sharing Center window appears. 3. Click on Change adapter settings.

Guide (71-007020). 2. From the Controller PC desktop, select Start > Control Panel.

The All Control Panel Items window appears. 3. Click on Network and Sharing Center.

The Network and Sharing Center window appears. 4. Click on Change adapter settings.

The Network Connections window appears. 5. Double-click on ASIX AX88722 USB 2.0 to Fast Ethernet Adapter (or something similar).

The Local Area Connection Status dialog box appears. 6. Click the Properties button.

The Local Area Connection Properties dialog box appears for the selected adapter. 7. Double-click on Internet Protocol Version 4 (TCP/IPv4).

4. Click the Open button. The VMSync Tool accesses the license and password information from the previous release and registers your various licenses. For the license registration to succeed, the system must have an internet connection. If there is a problem with the internet connection, the following Internet Connection Test dialog box appears.

5. Perform one of the following steps: If the Internet Connection Test dialog box does NOT appear, go to the next section to

select the Qpoint license. If the Internet Connection Test dialog box appears, perform the following steps:

a. Click the Yes button to retry the connection test. If the system does not have an internet connection, the Internet Connection Test dialog box appears again.

b. If the Internet Connection Test dialog box appears again, click the No button. The Windows Activation message box appears.

c. Click the OK button, and then go to Chapter 3 to activate Windows and Simple DNS Plus. After you activate Windows and Simple DNS Plus, go to the next section to select the Qpoint license.

2.6.5. Select the Qpoint License After you select the VMSync data file and activate Windows, the following message box appears prompting you to select the Qpoint license file to transfer.

2.6.6. Shut Down the Controller PC Perform the following steps: 1. On the Controller PC desktop, click Start and then click the Shut down button.

The Time_Broker.exe – Application Error message box appears.

After the VM shuts down, the Application Server desktop appears. 3. If the Application Server desktop does not appear, click on QEMU and select

2.7. Configure the Application Server In this section, you will perform the following steps to configure the Application Server: 1. Configure the network settings. 2. Configure the local area connection. 3. Select the vmsync data file.

2.7.1. Configure the Network Settings for the Application Server Perform the following steps: 1. If the Windows Activation dialog box appears on the Application Server, perform the

following steps: a. Click the Ask me later button.

The Windows Activation message box appears stating that importance of using genuine Microsoft software.

b. Click the OK button. 2. If a message box appears stating that you may be a victim of counterfeiting, click the Close

button. 3. If a Microsoft Windows dialog box appears prompting you to restart your computer to apply

these changes, click the Restart Later button. The VMSync dialog box appears, prompting you to select the vmsync.data file.

NOTE: Ignore the VMSync dialog box for now. You will configure VMSync later in this section.

4. On the Application Server, select Start > Control Panel. The All Control Panel Items window appears.

5. Click on Network and Sharing Center. The Network and Sharing Center window appears.

2.8. Verify the Qpoint VM Perform the following steps: 1. From the QEMU menu at the top, left corner of the VM window, select QEMU (Qpoint).

The Qpoint login screen appears and displays the Password box. 2. Perform one of the following steps: If the Password box appears, go to the next section to reactivate the software

personality. If the message Errors were found while checking the disk drive for / appears,

perform the following steps: a. Press the F key on your keyboard. b. After the errors are fixed, select 8100 Services Management Utility - Chromium

from the QEMU menu at the top, left corner of the VM window. The 8100 Services Management Utility appears.

c. In the 8100 Services Management Utility, click the Tools button. The Tools page appears.

d. In the 8100 Commands section, click the Commit VM Changes button. The Input Required dialog box appears.

e. Make sure Qpoint is selected in the dropdown list box. f. Click the Save button.

A dialog box appears prompting you to confirm your action. g. Click the OK button.

The Operation in Progress message appears. After the changes are saved for the Qpoint VM, the software personality reactivates automatically. The 8100 Services Management Utility window closes, and the Controller PC password window appears.

h. Go to the section “Install Universal DM V2” on page 31.

2.9. Reactivate the Software Personality Perform the following steps: 1. From the QEMU menu at the top, left corner of the VM window, select 8100 Services

Management Utility - Chromium. The 8100 Services Management Utility appears.

2. In the 8100 Services Management Utility, click the Software Personalities button. The Software Personalities page appears.

3. In the Action column, click the Reactivate button. A dialog box appears prompting you to confirm your action.

4. Click the OK button. After the personality activates successfully, the 8100 Services Management Utility window closes, and the Controller PC password window appears.

5. Go to the next section to install Universal DM V2 on the Controller PC.

drive to the D: drive on the Controller PC. 4. Go to the folder D:\8100 MDTS LTS BSeries v13.1.0\LBS Utilities\UDM. 5. Double click on the file UDM_V2_MSI.msi.

The Welcome to the Universal DM V2 Setup Wizard dialog box appears.

2.14. Upgrade the E2010S This section provides the procedure for manually upgrading the E2010S.

NOTE: Perform this procedure if you have an E2010S.

The SPARC Server requires .NET Framework 3.5 and 4.0. If a message displays requesting .NET Framework 3.5 or 4.0, install the program from the 8100 Utilities DVD under the Microsoft .NET Framework 3.5 and 4.0 folder.

The E2010S must be connected to the switch.

The procedure could take up to 45 minutes.

Perform the following steps: 1. On the Controller PC, open Windows Explorer and navigate to the folder 8100 MDTS LTS

BSeries v13.1.0\SPARC\Command Processors on the D: drive. 2. Double-click on the file SPARCUpgrader.

The SPARC Upgrader Tool appears, as shown in the following figure. This tool is designed to upgrade the SPARC framework components on the Controller PC, Application Server, Client laptop, and E2010S.

the D: drive of the Controller PC. 10. In the folder 8100 MDTS LTS BSeries v13.1.0\eAirAccess, double-click on the file

E2010UpgradeTool. The following E2010 Activate dialog box appears prompting you to update the software.

2.15. Upgrade the Secondary E2010S Perform this procedure if the system has dual E2010S units.

NOTE: This procedure could take up to 45 minutes.

Perform the following steps: 1. Unplug the network cable of the primary E2010S unit. 2. On the secondary E2010S unit, select Start > Control Panel.

The Control Panel window appears. 3. Double-click on Network Connections.

The Network Connections window appears. 4. Right-click on Local Area Connection 2 and select Properties.

The Local Area Connection 2 Properties dialog box appear. 5. On the General tab, select Internet Protocol (TCP/IP) and click the Properties button.

The Internet Protocol (TCP/IP) Properties dialog box appears. 6. Change the IP address from 192.168.0.190 to 192.168.0.180. 7. Click the Advanced button.

20. Click the Yes button. During the upgrade, the Install License dialog box appears and prompts you to manually install the Spirent license on the E2010S.

21. Click the OK button. When the update is complete, the E2010 Activate dialog box appears.

22. Click the Yes button. The E2010 Reboot dialog box appears.

23. Click the Yes button, and wait for the E2010S to restart completely. The restart may take up to 5 minutes. When the restart is complete, the CS8 IT Activation message box appears.

24. Click the OK button. 25. At the end of the process, restart the E2010S.

The restart may take up to 5 minutes. 26. After the secondary E2010S unit restarts, go to the folder

D:\8100 MDTS LTS BSeries v13.1.0\eAirAccess\E2010EmbeddedPC\Logging Framework.

27. Rename the file Logging Framework Runtime Setup EmbeddedPC1.exe back to Logging Framework Runtime Setup EmbeddedPC2.exe.

28. Rename the copy of the file Logging Framework Runtime Setup EmbeddedPC1.exe back to Logging Framework Runtime Setup EmbeddedPC1.exe.

29. On the secondary E2010S, select Start > Control Panel. The Control Panel window appears.

30. Double-click on Network Connections. The Network Connections window appears.

31. Double-click on Local Area Connection 2 and select Properties. The Local Area Connection 2 Properties dialog box appears.

32. On the General tab, select Internet Protocol (TCP/IP) and click the Properties button. The Internet Protocol (TCP/IP) Properties dialog box appears.

2.16. Configure TTworkbench Express Before performing this procedure, make sure you have the new TTworkbench Express 27 license file on the external USB drive. 1. Make sure the USB drive containing the new TTworkbench Express license file is connected

to an available USB 2.0 port on the SC10. 2. Using Windows Explorer, select the new TTworkbench Express license on the USB drive,

and copy it to the folder C:\Program Files\Spirent Communications\TestDrive ULTS\TTworkbenchExpress.

3. Right-click on the new license file in the folder C:\Program Files\Spirent Communications\TestDrive ULTS\TTworkbenchExpress and select Rename.

4. Change the file name to LicenseFile.lic. 5. Double-click on the file Setup TT FLEXnet Licensing Server.bat in the folder

C:\Program Files\Spirent Communications\TestDrive ULTS\TTworkbenchExpress. 6. Delete the file license.dat. 7. Double-click on the TTworkbenchExpress desktop shortcut.

2.17. Update the EMQuest Plug-in Perform this procedure if you are using EMQuest software. Perform the following steps: 1. Connect the external USB drive containing the software update to an available USB port on

the PC running the EMQuest software. 2. On the PC running the EMQuest software, select Start > Control Panel.

The Control Panel window appears. 3. Click on Programs and Features.

The Programs and Features window appears. 4. Select Spirent Communication LTS OTA plug-in as shown in the following figure.

2.18. Update Microsoft Security Essentials In this section, you will update Microsoft Security Essentials on the Controller PC and the Application Server.

NOTE: The Controller PC and Application Server must have internet access to update Microsoft Security Essentials.

Keep in mind the following information:

• The Real-time protection feature is turned on by default for the Controller PC. You must enable this feature manually on the Application Server.

• The Scheduled scan feature is turned off by default to prevent a scan from interfering with any tests you may be running.

• Spirent recommends that you perform manual scans (instead of scheduled scans).

• Spirent recommends that you only run a scan when you are NOT running a test.

NOTE: By default, the Windows Update feature is disabled on the Controller PC and Application Server to prevent an automatic update from interfering with any tests you may be running.

2.18.1. Update Microsoft Security Essentials on the Controller PC Perform the following steps: 1. On the Controller PC, access the System tray, and double-click on Microsoft Security

Essentials as shown in the following figure.

b. Click the Close button. c. Click on the History tab. d. Click the check box for the detected item. e. Click the Remove button.

The selected item is removed. 8. Close the Microsoft Security Essentials window. 9. Go to the next section to update Microsoft Security Essentials on the Application Server.

2.18.2. Update Microsoft Security Essentials on the Application Server Perform the following steps: 1. At the top of the window, click QEMU (ControllerPC) and select

QEMU (ApplicationServer). The Application Server desktop appears.

2. Access the System Tray, and double-click on Microsoft Security Essentials as shown in the following figure.

• If the GSS7000 is using Windows 10, go to the folder LTS BSeries v13.1.0 SC10 Installer\8100 MDTS LTS BSeries v13.1.0\LBS Utilities\GSS7000\PosApp Launcher\Win10 OS on the external USB drive, and double-click on the file PosAppLauncher.msi to install PosApp Launcher.

j. After the PosAppLauncher is installed, press the Power button on the front panel of the GSS7000 to reboot the GSS7000. The GSS7000 upgrade is complete.

3. Windows and Simple DNS Plus Activation

3.1. Overview This chapter describes how to activate Windows and Simple DNS Plus. Perform the procedures in this section if you are unable to activate Windows and Simple DNS Plus automatically using the VMSync Tool (for example, there is no internet connection).

3.2. Step 1: Activate Windows via a Phone This section describes how to activate Windows via a phone. Perform the procedure in this section if you are unable to activate Windows automatically using the VMSync Tool (for example, there is no internet connection).

NOTE: To activate the Windows license, you can use a smart phone. You will receive a text message from Microsoft containing a link that will enable you to activate the license.

3.3. Step 2: Activate Simple DNS Plus This section describes how to manually activate the Simple DNS Plus license for the Controller PC. Before performing this procedure, make sure you have:

• A valid Simple DNS Plus license • A PC that has internet access • A USB drive to transfer a text file from the SC10 to the PC that has internet access Perform the following steps: 1. In the Simple DNS Plus Licensing dialog box, click the I already have a license option

button. 2. In the associated text box, type the Simple DNS Plus license, and then click the Activate

button. A message appears stating that it is requesting activation from the internet server. After the request fails because there is no internet access, the message Failed to activate license automatically! appears, and a link to activate the license manually is provided. The following figure shows a sample link.

6. Click the File menu and select Save As. The Save As dialog box appears.

7. In the File name box, type SimpleDNSlicense and then click the Save button. 8. Exit the Notepad window. 9. Insert USB drive into an available USB 2.0 port on the SC10. 10. Using Windows Explorer, go to the folder Libraries\Documents and copy the file

SimpleDNSlicense.txt to the USB drive. 11. Remove the USB drive, and connect it to an available port on the PC that has internet

access. 12. Open a web browser on the PC. 13. Double-click on the file SimpleDNSlicense.txt on the USB drive.

The Notepad window appears and displays the link you copied from the Controller PC. 14. Select and copy the link in the Notepad window. 15. Paste the link into the browser, and press the ENTER key.

The Product Activation page appears and displays the license activation signature for Simple DNS Plus. The following figure shows a sample license activation signature.

The activation link appears at the bottom of the Notepad file. 19. Click the File menu, and select Save. 20. Exit the Notepad window. 21. Remove the USB drive and connect it to an available USB 2.0 port on the SC10. 22. Copy the new file to the D: drive on the SC10. 23. Access the D: drive on the SC10, and double-click on the file SimpleDNSlicense.txt.

The Notepad window appears and displays the license activation signature you copied from the browser on your PC.

24. Select and copy the license activation signature that is located at the bottom of Notepad window.

25. Paste the license activation signature into the text box at the bottom of the Simple DNS Plus Licensing dialog as shown in the following figure.

4. Software License Agreement By using Spirent 8100 Mobile Device Test System Location Test System Module version 13.1, you accept the terms of the following Spirent Communications Inc. software license agreement.

SPIRENT COMMUNICATIONS, INC. SOFTWARE LICENSE AGREEMENT

This Software License Agreement (“Agreement”) is made by and between (i) Spirent Communications, Inc. and its affiliates (“Spirent”), and (ii) you, the user ("Customer"), who, intending to be legally bound and for good and valuable consideration hereby acknowledge and agree as follows. If you are accepting the terms of this Agreement on behalf of an entity, you and such entity represent and warrant that you have the authority to bind such entity to this Agreement, and, in such event, “Customer” will refer to such entity.

THIS AGREEMENT GOVERNS CUSTOMER’S USE OF SPIRENT SOFTWARE, INCLUDING EMBEDDED OR PRE-INSTALLED SOFTWARE IN SPIRENT HARDWARE, (THE “SOFTWARE”), UNLESS SPIRENT AND CUSTOMER HAVE EXECUTED A SEPARATE AGREEMENT THEREFOR. BY CLICKING “I ACCEPT” OR OPERATING, DOWNLOADING, INSTALLING, REGISTERING OR OTHERWISE USING THE SOFTWARE, CUSTOMER IS EXPRESSLY ACKNOWLEDGING AND AGREEING THAT THIS IS A BINDING AGREEMENT AND CUSTOMER HEREBY AGREES TO THE TERMS OF THIS AGREEMENT. IF CUSTOMER DOES NOT ACCEPT ALL THE TERMS AND CONDITIONS SET FORTH HEREIN, CUSTOMER MAY NOT OPERATE, DOWNLOAD, INSTALL, REGISTER OR OTHERWISE USE THE SOFTWARE.

1. SOFTWARE LICENSE 1.1. Licensed Rights. Subject to the terms and conditions of this Agreement, Spirent grants to Customer a limited, nonexclusive, nontransferable license, without right of sublicense, to use, solely for Customer’s internal business purposes, the Software, in object code form only and only in accordance with (a) the technical specification documentation generally made available by Spirent to its customers with regard to the Software (“Documentation”), (b) this Agreement and (c) any term, user, number of licenses or other restrictions set forth in the applicable Spirent quotation (“Quote”) or, if not expressly specified in such Quote, the number of licenses, users and/or test sessions for the part numbers listed in Spirent’s price list as of the date of such Quote. Licenses designated as “subscription” licenses are for a twelve (12) month period only (unless otherwise designated in the Quote), and shall automatically renew for subsequent periods of the same length at the then-current price unless either party provides the other party with notice of cancellation thirty (30) days or more prior to the expiration of the then-current term. Software shall also include any Documentation and any maintenance and support releases, improvements, enhancements, and other updates of the same Software product provided to Customer under this Agreement. The Quote shall specify the license type for each license of the Software:

Global Floating: Customer may install the Software on any number of internal systems and any of Customer’s employees, consultants or agents may use the Software on behalf of Customer, provided however, no more than the specified maximum number of simultaneous instances may be executed at any one time.

Floating: Customer may install the Software on any number of internal systems and any of Customer’s employees, consultants or agents may use the Software on behalf of Customer, provided however, that (i) no more than the specified maximum number of simultaneous instances may be executed at any one time, and (ii) the Software may not be installed on any system or used by any user outside of the specified jurisdisction(s).

Named: Customer may only permit one registered, unique named individual to use each licensed instance of the Software and may only be installed on a reasonable number of systems utilized by such individuals. Named licenses must be registered with the individual’s actual name and may not be shared by individuals or allocated to a job function. Once a license is associated with an individual, the license may not be transferred to another individual without the express prior written consent of Spirent.

Node Locked: Customer may install each license of the Software on one specific system and that system is the only one which may access that instance of the Software. Once a license is associated with a specific system, the license may not be transferred to another system without Spirent’s prior written consent.

Spirent and Customer may agree on alternate types of licenses as set forth in a Quote. If no license type is specified in a Quote, the Software is licensed as a one-year subscription of a single Named license.

1.1.1. Pre-installed Software. To the extent that the Software is pre-installed on Spirent hardware acquired by Customer, Customer may use such Software solely as installed on and to the extent necessary for the normal and intended uses of, such Spirent hardware, subject to the terms of this Agreement.

1.2. Restrictions on Licensed Rights. Customer acknowledges that the components of the Software are subject to copyrights owned by Spirent or its licensors and the Software is licensed, and not sold, to Customer. Customer is prohibited from modifying or permitting anyone else to modify the Software or any module or other portion thereof. Except as necessary to exercise the rights expressly granted in this Agreement, Customer is prohibited from copying or duplicating, or permitting anyone else to copy or duplicate the Software or any module or other portion thereof, other than for purposes of replacing a worn copy or creating an archive copy. Any such copy shall contain the same copyright notice and proprietary markings as the copy of the Software furnished by Spirent to Customer hereunder. In addition to the other restrictions in this Agreement, and other than as may be required or impermissible by applicable law or third-party licenses, Customer shall not, and shall not permit others to: (i) create derivate works, distribute, transmit, license or otherwise transfer the Software directly or through third parties; (ii) reverse engineer, disassemble, decompile the Software or any component of the Software or otherwise attempt to obtain the source code of the Software; (iii) use the Software in a service bureau environment nor use the Software to process any data other than Customer’s own internal data; or (iv) use the Software for any illegal or malicious purpose or to access any information not owned by Customer or for which it does not have express permission to access; (v) tamper with, or attempt to circumvent or disable, any license key; or (vi) use the Software on any networks, devices or applications not owned or controlled by the Customer. The Software may contain certain devices or mechanisms that Spirent may use to disable or terminate Customer’s access to or use of the Software upon the breach or termination of Customer’s license thereto. Nothing in this Agreement limits or restricts the rights granted to Customer under the license terms applicable to the open source or other third-party software provided hereunder.

1.3. U.S. Government Users. The Software is commercial computer software and commercial computer software documentation within the meaning of the applicable acquisition regulations. If acquired by or on behalf of a civilian agency of the United States government, the Software will be subject to terms of this Agreement as a “license customarily provided to the public” as specified in 48 C.F.R. ch. 1 Part 12.212 of the Federal Acquisition Regulations and its successors. If acquired by or on behalf of units of the Department of Defense, it will be subject to the terms of this Agreement as a “license customarily provided to the public “as specified in 48 C.F.R. ch. 1 Part 227.7202, DFAR Supplement and its successors. If Spirent receives a request from any Customer agency of the U.S. Government to provide Software with rights beyond those stated above, Spirent will promptly, in its sole discretion, accept or reject such request.

2. INVOICING/PAYMENTS 2.1. License subject to Payment. The license of the Software granted under this Agreement is subject to the payment of Spirent’s then-current list price for the Software or such other amount as set out in the Quote (“Fees”).

2.2. Payment of Fees. Customer shall pay Spirent the Fees for the Software and any associated software or services net thirty (30) days from the date of Spirent’s invoice for the same. Spirent reserves the right to establish or change credit terms based on Customer’s payment history and financial condition. If Customer wishes to expand the scope of its license, additional agreed-upon license fees shall become due and payable to Spirent prior to the effective date of any expansion of the scope of the Customer’s license. Such invoice shall be issued in accordance with the Quote or absent such a Quote upon the delivery or download of the Software whichever is the earlier. Any amounts not paid within such thirty (30) day period shall bear interest at the lesser of the maximum rate allowable in the Customer’s state or two percent (2%) per month. Customer’s payment of such interest on late payments shall not prevent Spirent from exercising any other rights under this Agreement or applicable law. Except as required by applicable law or as set forth in Section 5.2.1, all Fees are non-refundable and non-cancelable and will be paid in US dollars.

2.3. Taxes. All amounts described herein are exclusive of all federal, state, municipal or other governmental excise, sales, value-added, use, personal property and occupational taxes, excises, withholding obligations and other levies now in force or enacted in the future and accordingly, all Fees are subject to an increase equal to the amount of any tax Spirent may be required to collect or pay in connection with the Software, other than any tax on the net income of the Spirent.

3. PROPRIETARY RIGHTS; CONFIDENTIAL INFORMATION 3.1. Ownership of Software. Other than the limited licenses set forth in this Agreement, any and all rights, title and interest in and to the Software, and the intellectual property and proprietary rights to the Software, shall not pass to Customer, but shall remain the exclusive property of Spirent or its licensors.

3.2. Spirent Confidential Information. Customer acknowledges that the following categories of information constitute Spirent Confidential Information: (a) all components of the Software; and (b) the terms and conditions of this Agreement; and (c) other information disclosed by Spirent that would reasonably be understood to be confidential or proprietary. Spirent Confidential Information will not include, however, any information which: (a) is or becomes part of the public domain through no act or omission of Customer; (b) was in the Customer’s lawful possession prior to the disclosure and had not been obtained by Customer either directly or indirectly from Spirent or the Software; (c) is lawfully disclosed to Customer by a third party without restriction on disclosure; or (d) is independently developed by the Customer. For a period of ten (10) years from and after disclosure of Spirent Confidential Information to Customer, Customer agrees to hold all such Spirent Confidential Information in strict confidence, and agrees not to disclose (or permit others to disclose) it to others or use it in any way, commercially or otherwise, except in exercising its rights pursuant to this Agreement. Customer shall not disclose any Spirent Confidential Information to a recipient not authorized in writing by Spirent or use the Confidential Information for any purpose not expressly authorized by this Agreement. Any disclosures by Customer of Spirent Confidential Information shall only be to Customer’s employees, consultants, or agents as expressly permitted hereunder on a “need to know” basis for the purposes of this Agreement and subject to such third parties’ acceptance of terms and conditions with respect to the disclosed information at least as restrictive as those set forth in this Agreement. If Customer is compelled by law or a court of competent jurisdiction to disclose Spirent Confidential Information, Customer will promptly notify Spirent in writing and will cooperate at Spirent’s expense in seeking a protective order or other appropriate remedy. If disclosure is ultimately required, Customer will furnish only that portion of Spirent Confidential Information that is legally required and will exercise reasonable efforts to obtain assurance that it will receive confidential treatment.

3.3. Equitable Relief. Licensee acknowledges that any breach of its obligations with respect to the proprietary rights or confidential information of Spirent or its licensors may cause Spirent and its licensors irreparable injury for which there would be inadequate remedies at law, and Spirent and its licensors will be entitled to equitable relief, in addition to all other remedies available to it, without the payment of any bond.

4. TERMINATION 4.1. Termination. This Agreement may be immediately terminated by Spirent in the event: (a) Customer becomes insolvent, files or has filed against it a petition in bankruptcy, or ceases doing business; or (b) the Customer breaches the terms this Agreement.

4.2. Customer Obligations Upon Termination. Upon termination of this Agreement for any reason, (a) all licenses granted to Customer hereunder shall immediately terminate and Spirent may disable access to the Software, (b) Customer shall discontinue use of the Software and the other Spirent Confidential Information, and any portion thereof, and return the Software and any and all other Spirent Confidential Information in its possession to Spirent, or, at Spirent’s option, destroy the Software and such other Spirent Confidential Information, including all copies or partial copies thereof, and shall certify to Spirent in writing that Customer has retained none of the Spirent Confidential Information, and (c) all outstanding Fees shall become due and payable immediately. The following Sections will survive the expiration or termination of this Agreement: 1.2, 2, 3, 4.2, 5, 7, and 8.

5. LIMITED WARRANTIES AND INDEMNIFICATION; EXCLUSIVE REMEDIES 5.1. Software. For a period of ninety (90) days from the date of delivery of the Software to Customer, or such other period as stated in the Quote accepted in writing by Spirent, Spirent warrants to Customer that the Software, if used in accordance with this Agreement, will operate in material conformity with the specifications for the Software which Spirent may publish. The warranties set forth herein do not apply to any material deviation from the accompanying documentation or specifications which results from (a) modification of the Software by anyone other than Spirent or in accordance with Customer’s instructions, (b) use of the Software for any purpose other than intended, (c) use of Software in combination with any other software or devices, if such claim would have been avoided but for such combination, (d) any misuse or incorrect use of the Software, (e) Customer’s failure to use the latest release of the Software provided by Spirent, or (f) any hardware malfunction. CUSTOMER EXPRESSLY ACKNOWLEDGES THAT BECAUSE OF THE COMPLEX NATURE OF COMPUTER SOFTWARE, SPIRENT CANNOT AND DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET A SPECIFIC REQUIREMENT OR THAT THE OPERATION OF THE SOFTWARE WILL BE WITHOUT INTERRUPTION OR ERROR-FREE. During the aforementioned warranty period, Spirent will, at Spirent’s expense and as its entire liability (and Customer’s exclusive remedy) for any breach of the warranty and provided Customer has notified Spirent in writing of the nature of the non-conformity within ten (10) days of Customer’s discovery of the non-conformity and provided Spirent is able to verify such non-conformity: (i) correct the non-conformity or (ii) replace the non-conforming Software with Software meeting Spirent’s then-current published specifications.

5.2. Infringement

5.2.1. Cure. In the event of a determination that the Software infringes, or is likely to infringe, any proprietary right of any third party, Spirent shall have the option, at its own discretion and expense, to (a) obtain for Customer the right to continue using the actual or potential infringing component of the Software or (b) replace the actual or potential infringing component of the Software or modify such component so that it becomes non-infringing, or (c) terminate the licensed rights granted herein and grant Customer a refund of the license fee, less reasonable depreciation based on usage, which shall in no event be less than the result of a straight-line computation based upon a five (5) year usable life.

5.2.2. Indemnification. Spirent shall indemnify, defend and hold Customer harmless from and against any and all liability, damages, loss or expense (including reasonable fees of attorneys) arising from any claim, demand, action or proceeding initiated by any third party alleging the Software infringes the copyright, US registered patent or trademark of any third party; provided, however, that as a condition to this

indemnification obligation, Customer shall promptly (a) notify Spirent of any threat or initiation of any claim, demand, action or proceeding to which the indemnification obligation may apply, (b) assist Spirent in the defense or settlement of the matter, and (c) provide Spirent sole control over the defense and settlement of such matter.

5.2.3. Exclusions. Spirent shall have no obligations under Section 5.2 for any alleged infringement based upon: (a) modification of the Software by anyone other than Spirent, (b) use of the Software in combination with other software or any other Software or devices if such claim would have been avoided but for such combination, (c) Customer’s continued use of the infringing Software after receipt of notice of an infringement claim or after receipt of a remedy from Spirent under this Agreement, (d) Customer’s use of the Software other than in accordance with the terms of this Agreement or Documentation, or (e) modifications to the Software made pursuant to Customer’s express instruction.

THIS SECTION 5.2 STATES SPIRENT’S ENTIRE LIABILITY, AND CUSTOMER’S EXCLUSIVE REMEDY, WITH RESPECT TO ANY INFRINGEMENT OF ANY THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS.

5.3. Disclaimers. THE LIMITED WARRANTIES AND INTELLECTUAL PROPERTY INDEMNIFICATION SET FORTH HEREIN ARE EXCLUSIVE AND IN LIEU OF, AND CUSTOMER HEREBY WAIVES, ALL OTHER REPRESENTATIONS, WARRANTIES AND GUARANTEES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS OF THE SOFTWARE FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT, AND ANY WARRANTIES ARISING BY STATUTE OR OTHERWISE IN LAW OR OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

5.4. Customer Indemnity Against Other Third-Party Claims. If and to the extent that the Software Cyberflood™, AvalancheNEXT™ or Avalanche Commander™ are included in the related Quote or used by the Customer, the Customer further agrees to indemnify, defend and hold harmless Spirent, and any of Spirent’s parent and affiliated companies, and the present and former officers, members, shareholders, directors, employees, representatives, attorneys, insurers and agents of any of these, and their successors, heirs and assigns (each, a “Spirent Indemnified Party”) from and against any and all liability, damages, losses, or expenses (including reasonable attorneys’ fees) incurred by the Spirent Indemnified Party as the result of any claim, demand, action, or proceeding initiated by any third party for Customer’s use of (i) the aforementioned Software or (ii) any other software, devices, or materials used with any of such Software (including, without limitation, a claim of intellectual property infringement), except if and to the extent that such claim is attributable to Spirent’s gross negligence or willful misconduct or is subject to Spirent’s obligations under Section 5.2 of this Agreement. The Spirent Indemnified Party shall promptly notify the Customer of any potential claim covered by this indemnity, and shall cooperate with the Customer, at Customer’s cost, in the investigation and defense of the same. The Customer shall have sole control over the defense and/or settlement of any such claim, but the Spirent Indemnified Party may participate at its own expense with counsel of its choosing and the Customer will not settle any such claim without the Spirent Indemnified Party’s prior written consent (unless such settlement does not impose any obligations, admissions, or liabilities upon the Spirent Indemnified Party).

6. LIMITATION OF LIABILITY 6.1. Limitations and Exclusions. IN NO EVENT SHALL SPIRENT OR ANY OF ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, (INCLUDING WITHOUT LIMITATION ANY DAMAGES OR LIABILITY RELATING TO INTERRUPTION OF SERVICE, COST OF PROCUREMENT OF SUBSTITUTE SOFTWARE, LOST PROFITS, OR LOSS OF DATA), INCURRED BY THE CUSTOMER, WITHOUT REGARD TO CAUSE OR THEORY OF LIABILITY AND REGARDLESS OF WHETHER OR NOT SPIRENT OR ITS SUPPLIERS WERE ADVISED SUCH DAMAGES MIGHT ARISE.

6.2. Maximum Liability. THE LIABILITY OF SPIRENT AND ITS SUPPLIERS UNDER THIS AGREEMENT, WHETHER ARISING OUT OF BREACH OF CONTRACT (INCLUDING BUT NOT LIMITED TO BREACH OF WARRANTY) OR TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE AND STRICT LIABILITY) OR ANY OTHER REASON, SHALL IN NO EVENT EXCEED THE TOTAL

FEES PAID TO SPIRENT BY CUSTOMER FOR THE SOFTWARE TO WHICH SUCH LIABILITY RELATES DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY SUCH CLAIM (OR IN THE CASE OF FIRMWARE, TOTAL FEES PAID BY CUSTOMER FOR THE APPLICABLE HARDWARE).

7. DISPUTE RESOLUTION & CHOICE OF LAW AND FORUM 7.1. Governing Law. This Agreement and any disputes arising from or related to it, or its subject matters, shall be governed, resolved and remedied in accordance with the laws of the State of California, USA, without resort to conflict of law principles. The Parties agree that the United Nations Convention on Contracts for the International Sale of Goods is specifically excluded from application to this Agreement.

7.2. Forum. Any action to enforce, arising out of, or relating in any way to, any of the provisions of this Agreement shall be brought and prosecuted in the Federal and State courts of California and the parties consent to the jurisdiction of said courts.

7.3. Compliance with Laws; Export Control Laws. Customer shall be solely responsible for its compliance with, and agrees to comply with, all applicable laws in connection with its use of the Software. Customer acknowledges that the Software may be subject to export controls imposed by the U.S. Export Administration Regulations (the "EAR"). Customer will not export or reexport (directly or indirectly) the Software, or any derivatives of the Software without complying with the EAR or other applicable laws with respect to the export of technology from the United States.

8. GENERAL TERMS 8.1. Amendment; Waiver. No amendment, modification or discharge of this Agreement, and no waiver hereunder, shall be valid or binding unless set forth in writing and duly executed by the party against whom enforcement of the amendment, modification, discharge or waiver is sought. Failure of either party to insist upon strict performance of any of the terms and conditions hereunder, or the delay in exercising any of its remedies shall not constitute a waiver of such terms and conditions or a waiver of any default or remedy.

8.2. Audit. Customer shall maintain complete and accurate records of its use of the Software during the applicable subscription term (if applicable, or otherwise the term of the Agreement) and for 2 years thereafter. Upon 10 days’ written notice from Spirent, and no more than once per calendar year, Customer shall provide Spirent with reasonable access to Customer’s premises during normal business hours to conduct an audit of Customer’s records and systems to verify compliance with this Agreement, including calculation of Fees. Spirent shall bear the costs of any such audit, except that if Customer is found to have violated the terms of this Agreement, in addition to any and all remedies available to Spirent in law or equity, Customer shall reimburse Spirent for all reasonable audit expenses.

8.3. Assignment. This Agreement and any rights granted hereby may not be assigned by Customer, directly or indirectly, including without limitation by merger, sale of assets or stock, change of control, or operation of law, without the prior written consent of Spirent. Spirent may assign any or all of this Agreement and it rights and obligations hereunder. Any attempt by Customer to assign any rights, duties or obligations without such consent shall be void and without force or effect.

8.4. Force Majeure. Spirent shall not be liable for any damages or penalty for any delay in performance of, or failure to perform, any obligation hereunder due to any elements beyond its reasonable control.

8.5. Attorneys fees. If any action is necessary to enforce the terms of this Agreement, Spirent will be entitled to reasonable attorneys' fees, costs and expenses in addition to any other relief to which it otherwise may be entitled.

8.6. Severability. In the event that any of the provisions of this Agreement shall be held by a court or other tribunal of competent jurisdiction to be unenforceable, the remaining portions of this Agreement shall remain in full force and effect.

8.7. Entire Agreement. This Agreement, together with the Quotes, embodies the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all oral and written prior or contemporaneous agreements related to such subject matter.

8.8. Headings. Section and subsection headings contained in this Agreement are inserted for convenience of reference only, shall not be deemed to be a part of this Agreement for any purposes, and shall not in any way define or affect the meaning, construction or scope of any of the provisions hereof.

8.9. Relationship of the Parties. Spirent and Customer will be and shall act as independent contractors, and neither party is authorized to act as an agent or partner of, or joint venturer with, the other party for any purpose. Neither party by virtue of this Agreement shall have any right, power or authority to act or create any obligation, express or implied, on behalf of the other party.

8.10. Third-Party Components. Customer acknowledges that the Software contains components made available to Spirent by third-party suppliers, and Customer agrees that each such supplier is a third-party beneficiary of this Agreement with the right to enforce Customer’s obligations hereunder with respect to the individual components such supplier has supplied.

8.11. Precedence of Documents: The terms and conditions of this Agreement, insofar as they relate to the rights licensed to the Software will control over any conflicting or inconsistent terms contained in any Quote, or Spirent invoice unless otherwise mutually agreed to in writing. No terms in any quotation, purchase quote, acknowledgment or other form provided by Customer will modify this Agreement, regardless of whether Spirent objects to such terms, and any such additional or conflicting terms are expressly rejected. Notwithstanding Section 8.7, the terms and conditions of this Agreement insofar as they relate to matters other than the rights licensed to the Software shall be subject to the terms and conditions of the master purchase agreement between Spirent and Customer (if any) (the “Master Agreement”) only to the extent that such Master Agreement expressly contradicts the terms and conditions of this Agreement.
