ABOUT MCIA

Mission Statement

Minnesota Crop Improvement Association is an organization dedicated to improving the productivity, profitability, and competitive position of producers, processors, and distributors of agricultural products by providing services to enable them to provide high-quality products to Minnesota, the United States, and the World.

Background

Minnesota Crop Improvement Association (MCIA) provides a diverse offering of certification and quality assurance services to a wide array of agricultural and food product producers and handlers. Products certified by MCIA include field crop seed, turf seed, sod, native plant seed, noxious weed seed free forage and mulch, identity-preserved grains for specialty grain markets as well as numerous organic crops, livestock, and food products. MCIA also provides customized quality assurance services such as field inspections, seed and grain facility evaluations, as well as other third-party audit and on-site evaluations. MCIA produces and distributes Foundation seed of publicly developed crop varieties and serves as the marketing agent for licensing varieties developed at the University of Minnesota.

MCIA is a 501(c)(5) not-for-profit association funded by the fees it charges for the services it provides. MCIA operates from its offices on the Saint Paul campus of the University of Minnesota. MCIA serves its over 750 members with 19 full-time employees, including three field supervisors located at various locations throughout the state. In addition, MCIA utilizes over 20 part-time employees to assist with field inspections and other seasonal work. MCIA is governed by an 11-member board of directors elected from its membership.

History

MCIA has served the agricultural industry in the Upper Midwest for over 100 years. MCIA was founded in 1903 to promote the breeding, growing, and distribution of improved field crop varieties developed at the University of Minnesota to crop producers throughout the state. A directory of members was first published in 1906 and the publication of a list of those with inspected and approved seed began in 1912. In 1955, the Minnesota Seed Law was amended to officially recognize MCIA as the official seed certifying agency of Minnesota. Over the years, MCIA has expanded its programs and related services to meet the needs of its members and the demands of a changing agricultural and food industry. It was formally designated as the official certification agency in Minnesota for noxious weed seed–free forage and mulch in 1997 and was accredited as an organic certifier under the National Organic Program in 2002.

As an independent third party, MCIA strives to provide superior programs and services to meet the needs of today’s changing agricultural world.

VARIETY LICENSING

What is variety licensing?Minnesota Crop Improvement Association (MCIA) is the licensing agent for agronomic crops developed at the University of Minnesota. Plant breeders at the University continue to develop new varieties of soybeans, wheat, barley, oats, and grasses. MCIA serves as the primary point of contact for producers and pro-cessors interested in new Minnesota varieties.

Why are some varieties licensed? Crop varieties that are suitable for large-scale commercial production are released as public varieties through the traditional Foundation Seed distribution program. However, many recent releases are food-grade or special-use varieties that require unique production and handling capabilities or access to specialty markets.

Who is eligible to license varieties?Producers or companies that can demonstrate their capability to successfully produce and commercialize products of the type to be licensed will be considered as licensing part-ners to the University.

How are varieties licensed? MCIA provides a Material Transfer Agreement (MTA) which allows an individual or company to evaluate the agronomic traits and to assess the potential for commercialization. Parties interested in licensing may submit a proposal for licensing to MCIA. Proposals are reviewed based on criteria established to identify licens-ing partners most appropriate for the variety being released.

9. No Warranties or Liability. The Tester acknowledges its understanding that the Plant Material is experimental in nature. THE TESTER ACCEPTS THE PLANT MATERIAL "AS IS, WITH ALL FAULTS." THE TESTER ACKNOWLEDGES THAT IT HAS NOT RELIED UPON ANY STATEMENTS MADE BY THE UNIVERSITY OR THE UNIVERSITY’S REPRESENTATIVE CONCERNING THE PLANT MATERIAL. THE UNIVERSITY DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND THAT THE USE OF THE PLANT MATERIAL WILL NOT INFRINGE ANY THIRD PARTY'S PATENT, COPYRIGHT, TRADEMARK, OR OTHER RIGHTS. IN NO EVENT SHALL THE UNIVERSITY OR THE UNIVERSITY’S REPRESENTATIVE BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, PECUNIARY, EXPECTANCY OR COMPENSATORY DAMAGES, INCLUDING (A) PERSONAL INJURY, PROPERTY DAMAGES OR (B) LOST PROFITS, LOST BUSINESS OPPORTUNITY, INVENTORY LOSS, WORK STOPPAGE, LOST DATA OR ANY OTHER RELIANCE OR EXPECTANCY, DIRECT OR INDIRECT, SPECIAL, INCIDENTIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND. EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, IN NO EVENT SHALL THE UNIVERSITY’S TOTAL LIABILITY FOR THE BREACH OR NON-PERFORMANCE OF THIS AGREEMENT EXCEED THE AMOUNT OF PAYMENTS PAID TO THE UNIVERSITY UNDER THIS AGREEMENT. THIS LIMITATION SHALL APPLY TO CONTRACT, TORT AND ANY OTHER CLAIM OF WHATEVER NATURE

10. Release and Indemnification. The Tester, for itself and its employees and agents, releases the University and its employees and agents and the University’s Representative and its employees and agents from any claim, suit, action or liability arising out of this Agreement, including, without limitation, the Tester's use of the Plant Material. The Tester shall defend, indemnify, and hold the University harmless from any loss, claim, damage, or liability, of whatsoever kind or nature, which may arise from or in connection with this Agreement or the use of the Plant Material.

11. No Sale or Offer to Sale Acknowledgement. The parties hereby acknowledge that no provision of this Agreement (and no aspect of the negotiation of this Agreement) shall constitute an offer to grant or a grant to the Tester of any rights in the Plant Material, including any license, assignment or ownership rights.

12. General Terms. This Agreement constitutes the entire understanding of the parties with respect to the subject matter hereof, and shall supersede all prior agreements and understandings of the parties on such subject matter. This Agreement shall be amended only in a writing duly executed by all the parties. No party may assign or delegate any right or duty under this Agreement unless the other party has consented in writing to such assignment or delegation. An assignment or delegation made in violation of this Sectionshall be void and shall not bind the other party. This Agreement shall be interpreted in

3.2. Promptly after planting of the Plant Material, the Tester shall deliver to the University to the person identified in Section 3 of attached Schedule A (the “University’s Representative”) written notice of the location on which the Plant Material is being grown or propagated. Except as permitted in this Section 3, the Tester shall not use, alter (genetically or otherwise), propagate, divide or reproduce the Plant Material, in any form. The Tester shall abide by the University's written instructions concerning the Tester's use of the Plant Material.

4. Annual Reports. No later than December 31 of each year during the term of this Agreement and thirty (30) days after the date of termination, the Tester shall deliver to the University’s Representative a report of the general agronomic performance and market characteristics of the Plant Material.

5. Inspections. If requested by the University, the Tester shall permit the University (including its agents and contractors) to enter the site(s) on which the Tester is growing or propagating the Plant Material to inspect and to confirm the Tester's compliance with the terms of this Agreement.

6. Confidentiality. The Tester shall not disclose (i) any report delivered to the University pursuant to Section 4 of this Agreement and (ii) any information concerning the results of any test conducted or evaluation made by the Tester on or with the Plant Material (such reports and information being collectively referred to as the “Confidential Information”);provided, however, the Tester may disclose such Confidential Information to a person then employed by the Tester who has a legitimate business reason to know, and the Tester may discuss with others the general agronomic traits and related aspects of the Plant Material in connection with promoting the use of the Plant Material.

7. Limited Rights. Except for the right to use the Plant Material and the Confidential Information as described in Sections 3 and 6 of this Agreement, the Tester shall have no right to use or disclose the Plant Material or the Confidential Information. The Tester acknowledges and agrees that no provision of this Agreement grants it (i) any right or interest (including any ownership interest) in the present or future patent, copyright, trademark, or equivalent rights in the Plant Material or Confidential Information, nor (ii) any license, right, or option to commercially utilize the Plant Material or Confidential Information under such patent, copyright, trademark, or equivalent right. No provision of this Agreement limits, conditions, prohibits or otherwise affects the University’s right to deliver Plant Material or Confidential Information to another person or entity or to enter into any related agreements.

8. Termination. A party may terminate this Agreement by delivering to the other party a written notice of termination at least thirty (30) days prior to the date of termination. Upon the termination or expiration of this Agreement, unless the University otherwise agrees in writing, the Tester shall destroy all specimens of the Plant Material then in its possession and, within ten (10) days of such destruction, shall deliver to the University written confirmation of the destruction. Sections 3 through 7 and 9 through 11 of this Agreement shall survive termination or expiration.

PLANT MATERIAL TRANSFER AGREEMENT

This Agreement is dated and effective as of the date of last signature (the “Effective Date”), and is made by and between Regents of the University of Minnesota, a constitutional corporation under the laws of the state of Minnesota (the “University”), having an office at 200 Oak St. SE, Suite 280, Minneapolis, MN 55455, acting by and through its agent, Minnesota Crop Improvement Association (“MCIA”), and the individual or business entity identified in Section 1 of attached Schedule A (the “Tester”).

Purpose

The parties desire that on the terms set forth in this Agreement, the University provide the Tester with a sample of the Plant Material described in Section 2 of attached Schedule A (the “Plant Material”) so as to permit the Tester to evaluate the Plant Material to determine the Tester's interest, if any, in the use, development and/or commercialization of the Plant Material.

NOW, THEREFORE, the parties agree that:

1. Term and Termination. The term of this Agreement shall be three (3) years, starting on the Effective Date and, unless terminated earlier as provided below in Section 8, expiring on the third (3rd) anniversary of the Effective Date.

2. Delivery of the Plant Material. Subject to the terms of this Agreement, the University shall deliver the Plant Material to the Tester to the address described in Section 1 of attached Schedule A.

3. The Tester's Use of the Plant Material.

3.1. The Tester shall use the Plant Material only to discern its agronomic traits and/or to evaluate its potential for development and/or commercialization. Solely in connection with its use of the Plant Material as permitted under this Agreement, the Tester may propagate individual plant specimens of the Plant Material in the Territory specified in Section 4 of attached Schedule A. The Tester shall not sell, give, deliver or otherwise provide any of the Plant Material to a third party, except the Tester may deliver samples of the Plant Material to a third party end user provided the third party end user agrees to use the sample of the Plant Material only for its internal, evaluative purposes and to not sell, give deliver or otherwise provide samples of the Plant Material to another person or entity.

The developer of a new distinct variety may obtain protection for that variety, provided the variety meets the requirements of the Plant Variety Protection Act (PVPA). A certificate is provided to the developer of a variety that grants exclusive rights for reproducing and marketing the seed. The PVPA is administered by the United States Department of Agriculture.

Many of the varieties listed in this publication have either a Certificate of Plant Variety Protection (PVP) issued to them or an application has been made for Plant Variety Protection. PVP Title V specifies seed be sold by variety name only as a class of certified seed. If a variety is not protected with the Title V option, the owner of the variety still has the exclusive right to determine who can produce and market the variety as a seed product.

PVP-protected varieties may be saved for your own planting only; you may not provide/sell seed to a neighbor without specific permission of the certificate holder.

Varieties listed on the following page were commonly grown in Minnesota in the last few years. Additions or deletions may occur at any time. It is the responsibility of the buyer and seller to confirm the PVP status of a crop variety before buying or selling a specific variety. It is illegal for anyone to purchase “grain” of a protected variety and utilize it for planting purposes.

SEED LABORATORY SERVICES

What is the purpose of the seed laboratory?The MCIA laboratory tests seed for quality. Germination, physical purity—including other crop and weed con-taminants, varietal verification, vigor, and herbicide tol-erance tests are conducted by the lab, as well as other crop-specific tests.

Who determines how seed is tested?The MCIA seed laboratory follows testing rules es-tablished by the Association of Official Seed Analysts (AOSA). These rules, used by regulatory agencies and commercial labs throughout the U.S., set the standard for seed testing in North America and are recognized internationally.

Why should my seed be tested?Seed testing is the final step in the seed certification process. The test results will be used to verify that the seed standards have been met for that particular crop and seed class. Seed lots certified by MCIA are required to be tested at the MCIA seed laboratory, ex-cept for native species, which may be tested at MCIA or authorized labs. Testing information can also be used for labeling and/or quality assurance. Service testing is available for unconditioned seed and seed that is not in the certification program. A host of tests offered,

including germination, vigor, purity, and moisture, can help a seed producer, seller, or buyer assess seed quality.

How do I submit samples?Sample bags are available from the MCIA office for sub-mitting your samples. Fill the bag up to the top line for large-seeded agronomic crops, and to the middle line for most natives, grasses, and small-seeded legumes. Include an MCIA Sampling Report, available on our website or from the MCIA office, to provide information about your seed lot. The form is required for certified samples and is beneficial for service samples.

What should I look for after testing?Seed tested as part of final certification will receive a Seed Certification Report, indicating the test results and a passed or failed status. Preliminary samples, carryover seed, and non-certified seed will receive a Laboratory Report of Analysis, which will indicate the results of the tests requested. You can receive prelimi-nary and final results by e-mail, and a final report will be mailed to you.

Occasionally someone asking how to complete seed certification or a farmer unfamiliar with the process will comment that their field was inspected and it is now certified. They have to be reminded that the field inspection is just one step in the overall Seed Certification process.

Field Inspection: The process starts with a field inspection application. MCIA staff will verify the seed source used and check the previous crop history. MCIA-trained inspectors will inspect the field to determine if it meets the standards for varietal identity, purity, isolation, and the presence of weeds and other crops.

Congratulations! Your field inspection is complete and you received a report that shows your field passed this first step. Now what?

• Harvest, Handling, and Storage: Proper cleaning of harvesting and handling equipment as well as storage bins is essential to maintaining varietal purity. Also, seed is a living organism and proper storage is very important, as high moisture or heating can cause reduced germination.

• Seed Conditioning: Certified seed must be conditioned at an MCIA-approved seed conditioning facility. Approved facilities have been inspected by MCIA personnel to determine if they meet the facility and equipment requirements for conditioning a specific crop. When you deliver your seed to the approved seed conditioner take along a copy of your field inspection report.

• Seed Sampling: Once the seed is conditioned, a sample must be taken by approved personnel at the seed conditioning facility or by an MCIA representative.

• Seed Testing: The official seed sample must be sent to the MCIA seed laboratory. A germination and purity test are conducted along with any other required tests. Once testing is completed you will receive a certification report indicating if your seed lot passed or failed.

• Labeling Certified Seed: Whether you sell the seed yourself or the approved facility is selling the seed, all seed sold must be properly labeled. Depending on how the seed will be distributed, certified seed can be sold using a certification tag or a Bulk Certificate.

• More to Remember: Most small grain or soybean varieties are protected by the Plant Variety Protection Act (PVPA) or through license agreements, meaning that seed sold of those varieties must be certified or sold only with the permission of the variety owner.

• Royalties and Fees: Most crops produced as seed are subject to royalty and/or fee assessments. A seed producer or seller must be sure they understand their obligations regarding the payment of royalties or fees.

What is the Approved Facility Program?MCIA’s Approved Facility Program provides an evaluation and approval process for facilities processing seed and identity-preserved (IP) grain products. Facilities processing and/or handling products sold under the seed certi-fication, QA seed, and IP grain programs must be inspected and approved by MCIA staff.

How is a facility approved?To be approved, facilities must meet equip-ment and labeling requirements appropriate for the seed or grain to be processed. Approval is granted on an annual basis for conditioning, handling, and labeling specific seed types, or for processing grain products for specified end uses.

Why use an approved facility?Approved facilities are inspected annually to determine their ongoing conformance to

requirements necessary to preserve prod-uct identity and quality and to assure proper labeling.

What should I look for?Approved facilities are issued Certificates of Approval annually that are to be prominently posted in their place of business. MCIA also provides Approved Facility signs.

What is noxious weed seed–free forage and mulch?The intention of this certification program is to limit the spread of noxious weeds. MCIA is desig-nated under Minnesota law as the state’s official Noxious Weed Seed–Free Forage and Mulch Certification Agency. MCIA’s program conforms to standards developed by the North American Invasive Species Management Association (NAISMA), which allows properly labeled forage (hay, cubes, and pellets) and mulch certified by MCIA to be shipped into restricted areas of the United States and Canada.

Why buy certified noxious weed seed–free forage and mulch?Buyers using certified noxious weed seed–free forage and mulch help minimize the spread of noxious weeds onto private and public lands. In Minnesota, certified mulch is often used by government agencies for roadside and other revegetation projects. Most public lands in the

western United States require that hay transport-ed into those areas be certified noxious weed seed–free.

How is noxious weed seed–free forage and mulch certified?Certification requires that fields and storage sites to be inspected by MCIA within 10 days of harvest. If the fields and sites conform to stan-dards for freedom from noxious and undesirable weeds, the harvested crop will be eligible for certification labels. Producers should apply for field and storage site inspection no later than 30 days prior to crop-cut date.

What should I look for?MCIA issues tags with unique serial numbers for the labeling of certified forage and mulch pro-duction. For certification to be valid, an official certification label (tag) must be securely attached to the eligible product (bale) prior to delivery to the buyer.

Where can I find a list of certified noxious weed seed–free forage and mulch producers?MCIA surveys eligible producers every spring and fall to determine availability. You’ll find the results of those surveys on the MCIA website.

QUALITY ASSURED SOD

What is Quality Assured Sod?The Sod Quality Assurance Program estab-lishes high quality standards for the produc-tion and on-going improvement of sod types suitable for installing in challenging environ-ments. The program is a collaborative effort of the Minnesota Turf Association, the University of Minnesota, the Minnesota Department of Transportation (MnDOT) and the Minnesota Crop Improvement Association (MCIA).

How is Sod Quality Assured?To be Quality Assured, sod must meet specific standards, including utilizing approved seed mixes, meeting field requirements, and main-taining required documentation. The program provides third-party assurance to end users to ensure that sod meets specifications and was produced according to rigorous production standards.

Who Produces Quality Assured Sod? Quality Assured sod is produced by care-ful, conscientious sod producers who utilize

approved seed mixtures and required sod pro-duction practices to meet program standards.

Why Utilize Quality Assured Sod?The first sod type available is salt tolerant sod suitable for use along streets, parking areas, and roadsides where saline soil conditions frequently occur. This sod type has been ap-proved by MnDOT and will be required where MnDOT projects specify salt- or shade-tolerant sod. It is anticipated that sod products devel-oped through this program will continually evolve and improve as better suited turf seed varieties become available and are utilized to produce sod.

What Should I Look for?A Sod Quality Assurance Certificate must ac-company each sod delivery as proof of confor-mance to program standards.

NATIVE SEED CERTIFICATION

What is native seed certification?Native plants are often used for re-vegetation of roadsides, construction sites, wildlife plant-ings, and other projects. MCIA’s Native Seed Certification Program verifies that the genetic identity of native grasses and forbs (wildflowers) has been maintained through all phases of seed production.

How is native seed certified?The certification process consists of several steps, including seed source verification, inspec-tion of seed production sites, and seed testing. MCIA issues seed labels or certificates to pro-ducers whose production has met all certifica-tion standards.

Who produces native certified seed?Native seed is produced by careful, conscien-tious growers according to certification stan-dards designed to preserve the genetic identity of native plant species. MCIA surveys producers in the fall and spring to determine availability. The survey results are posted on the MCIA web site.

Why buy certified native seed?Certified native seed provides seed buyers with third-party assurance that the genetic identity or source of native grasses and forbs is accurately described on the label.

What should I look for?Three different germplasm types are possible based on the amount of intentional selection that has taken place. They are:

What is organic certification?Certification is the process whereby a produc-er or handler is approved by an ACA as being in compliance with the NOP regulations and is then authorized to sell, label, or represent products as being “Certified Organic.”

Where does MCIA get its authority?MCIA is an Accredited Certifying Agent (ACA) authorized by the USDA National Organic Program (NOP). MCIA is authorized to provide organic certification services to producers, handlers, and processors.

Who uses MCIA organic certification services?Operations certified by MCIA include food pro-cessors, distributors, retailers, agricultural han-dling facilities, wild crop collectors, livestock producers, and field crop, vegetable, and fruit producers.

Why use MCIA as your organic certifier?MCIA provides its clients with a user-friendly, efficient, cost-effective certification process. MCIA’s service-oriented staff is available to provide prompt, professional assistance to help organic producers and handlers understand organic program requirements and guide them through the organic certification process.

How do you complete organic certification?The Certification process requires an applica-tion, inspection, and review to determine if a producer or handler is in compliance with the NOP regulations. Upon completion of the pro-cess the operation is then authorized to sell, la-bel, or represent products as being “Certified Organic.” All operations must apply and be inspected annually.

There are often questions regarding the requirement for the use of organic seed and other planting stocks in organic production systems. NOP §205.204 states that an organic “producer must use organically grown seeds, annual seedlings, and planting stock, Except, That, (1) Nonorganically produced, untreated seeds and planting stock may be used to produce an organic crop when an equivalent organically produced variety is not commercially available,” and “(4) Nonorganically produced planting stock to be used to produce a perennial crop may be sold, labeled, or represented as organically produced only after the planting stock has been maintained under a system of organic management for a period of no less than 1 year.”

Most certifiers require organic producers to conduct thorough and diligent searches for organic seed before authorizing the use of non-organic seed. Consult the list of producers in this directory to locate seed and to identify seed conditioners that have been certified to process organic seed. However, not all sources of organic seed are listed and it must be understood that seed availability changes throughout the season. Call MCIA if you need assistance in locating organic seed.

It is important to remember that pro-ducing high quality seed (whether conventional or organic) requires planning, use of effective production practices and proper handling and conditioning methods. MCIA pro-vides certification, quality assurance

and other services for seed produc-ers and conditioners and can provide assistance to those interested in get-ting started in organic seed produc-tion. Those wishing to offer organic seed for sale must understand and meet federal and state seed law labeling and other requirements pertaining to seed in addition to the organic requirements.
