TERMS AND CONDITIONSBilling and Payment• PAYMENT IN ADVANCE REQUIRED FOR ALL ADVERTIS-ERS.• Customers who do not put a credit card on file forper insertion billing must pre-pay the entire advertisingrun by check or money order before the first insertion ispublished.• Advertisers will be charged a return check fee of $40per returned check. Credit cards will be charged be-tween the 15th and 20th of the month for the followingmonth’s insertion, and Advertisers will be charged a feeof $20 if the credit card on file fails to authorize.• Accounts on which any charge enters a 30 day pastdue status shall be immediately placed on hold and nofurther advertising shall be run for that Advertiser untilsaid account is paid in full. Late fees of 24% annual (2%per month) will accrue. Accounts on which any chargeenters a 60 day past due status shall be deemed delin-quent. Once an account is considered delinquent, Out-look Media has the right to terminate the contract.Advertisers may also choose to terminate a contract atany time by giving written notice to Outlook Media. Upontermination of a contract, Outlook Media will notify theadvertiser in writing, and will bill the advertiser for anyunpaid balance on the account, plus an amount equal toone-half of the remaining contract value, and all adver-tising values will be calculated at the open (non-fre-quency rate) and any offered discounts or specialpricing will be rendered void. All terminated accountswill be sent to collections attorneys for immediate ac-tion. Other costs, such as legal fees derived from thedelinquency, may be added to the account balance, ifcollection through the courts is required.General Policies• A contract must be signed by an authorized repre-sentative of the Advertiser and an authorized represen-tative of Outlook Media and submitted with spacereservation requests. Advertisers understand and agreethat rates cited on this agreement are per insertion, un-less otherwise specified in writing. Frequency advertis-ing will run consecutively unless otherwise specifiedabove.• Outlook Media art design time billed at $125/hr un-less otherwise noted above. All costs for purchasing/li-censing commercial art and images will be billed toAdvertiser.• An Advertiser may not make cancellations orchanges after 9 am on the 15th of the month prior topublication, and all publication artwork and payment infull are due at 9 am on the 15th of the month prior topublication. Notice of cancellation or changes must besubmitted in writing. All ads cancelled after the deadlinewill be billed at 100%. If Outlook Media agrees to acceptan ad for publication after the deadline, there will be a15% surcharge added to the cost of that ad. Further, ifOutlook Media agrees to make changes to artwork Out-look Media has produced for an ad or accept a replace-ment ad from an advertiser that is different in size tothe original ad placed after the deadline, there will be asurcharge of $25 added to the cost of that ad. OutlookMedia reserves the right to charge for unused space orrun the most recent advertisement to fulfill a contractagreement when no acceptable copy is furnished by thedeadline.• Outlook Media will not be liable for omission of anyadvertisement or for errors on the part of the Publisherappearing in any advertisement beyond crediting thecost of the space occupied by the error. No allowancewill be made for errors that do not materially affect the

value of the ad. Credit will be applied at the end of theadvertising run. No refunds will be made under any cir-cumstances, including pre-paid agreements that are notfulfilled by the Advertiser. Notification of error must bemade in writing within one week of publication of theerror. Verbal notifications of errors will not result in acredit.• Outlook Media will not be subject to any liabilitywhatsoever for any failure to publish or circulate all orany part of issue or issues because of circumstancesnot within the control of Outlook Media. Furthermore,the Advertiser assumes full responsibility and any and allliability arising out of any claim associated whether di-rectly or indirectly from said advertisement and shallhold harmless and/or indemnify Outlook Media, Inc. andassociated individuals and companies for any and allcosts arising from said claim.• Positioning of advertisements is not guaranteed andis at the discretion of Outlook Media. Ads are not subjectto adjustments, reinsertions, or refunds due to the posi-tion in which an ad appears. All rates listed are net. Ad-vertisers are responsible for advertising charges andassociated fees in the event an Advertiser’s agency/rep-resentative defaults on payment due Outlook Media. It isclearly understood that forwarding an insertion orderand/or submitting a signed contract constitutes an ac-ceptance by the Advertiser and agency of all terms andconditions of the current Outlook Media rate card andcontract in effect at the time of agreement.• Discounted rates for non-profit organizations are ex-tended only to verifiable 501(c)(3) not-for-profit groupsthat provide Outlook Media with a copy of their IRS sta-tus letter. Discounted rates are not available for pur-chased “in kind” advertising. The least expensivefrequency rate will be used for all political candidates,issues campaigns, and political influence advertising.• It is clearly understood and agreed that advertisingand editorial are independent and that no special edito-rial consideration of any kind shall be part of the salesagreement. Outlook Media reserves the right to add ordelete distribution locations and print run without noticeto the Advertiser. Said additions or deletions will have noeffect on Advertiser’s individual rates unless an across-the-board notice is provided regarding it to all Advertis-ers.• Outlook Media reserves the right to edit, refuse, can-cel or reject any material at any time for any reason.Outlook Media, Inc. holds the copyright to all materialsproduced by the company.• This Agreement shall be construed and governed ac-cording to the laws of the State of Ohio. Advertisers con-sent to the jurisdiction and venue of any Court located inthe State of Ohio, and expressly waive any right to a trialby jury.

This authorization is to remain in full force and effectuntil Outlook Media, Inc. has received written notifica-tion from me of its termination in such time and in suchmanner as to afford Outlook Media, Inc. a reasonableopportunity to act on it. With my signature, I certify thatI have the authority to execute this advertising contracton behalf of the above-named company and I authorizeOutlook Media to publish advertising for the company asoutlined above. I have read and understand all termsand conditions specified above, and acknowledge thatthis advertising contract is subject to all of those termsand conditions. My signature authorizes Outlook Mediato debit the above credit card as payment for advertis-ing fees, if applicable. My signature personally guaran-tees payment of this contract.
