The documents specifically provided for the purpose of tendering (herein after called “Tender Documents”)

General Conditions of Contract
1.1. In addition to the documents listed above the tenderer is deemed to have in his possession copies of
the following documents:
a. The Qatar National Building Specifications (QNBS) published by the Ministry of Public Works.
b. The Regulations for the Installation of Electrical Wiring, Electrical Equipment and Air Condition
Equipment, fifth re-issue dated June 1986 issued by the Ministry of Electricity and Water.
c. The Rules, Regulations and Code of Practice for Design and Installation of Mechanical
Ventilation and A/C Systems in Government Buildings, first edition 1985 issued by the
Ministry of Electricity and Water.
d. Any local Municipality Regulations.
e. Any current and relevant regulation, notice or circular issued by the Qatari competent
Authorities.
f. Kahramaa Standards / Requirements
All Supplies, Works, Equipments, Workmanship, Cables should fully comply with kahramaa
Standard Specifications, Technical and Safety Requirements
g. Ministry of Environment and Natural Reserves (SCENR) Standards / Requirements.

All Works of the Contractor should fully comply with “SCENR” Standard Specifications,
Technical and Safety Requirements.
2. Submission of Tender Offer
2.1 The tenderer must adhere to the conditions stated in these tender documents and write the total
tender offer prices on Tender Form and its Annexures-I&II Format of the Bill of Quantity
Annexure-I and Format of Breakdown of the Prices Annexure-II boths duly filled on the participant
company„s letters head in accordance with the provisions of these tender documents. Any tender
offer that does not comply with these provisions shall be considered null and void.
2.2 Should there be any comments, qualifications, reservations or amendments, alterations to
specifications or conditions they must be stated in a separate letter on the tenderer„s participant
company„s letter head as the format of qualifications/exceptions enclosed in these Tender
Documents attached to this tender offer and indicated on the enclosed tender offer.
2.3 The tender offer must be submitted in (3) three separate wax-sealed envelopes with the information
fill out on the provided sticker together with these tender documents for each envelope as
mentioned below:
a) Tender Bond Envelope and should be contained the tender bond only.
b) Technical Offer Envelope (submitted in original plus 2 additional copies)
c) Commercial Offer Envelope(submitted in original plus 2 additional copies).
The envelope (a) and (b) should have no bearing of prices anywhere. The three (3) separate envelopes
must be placed into an outer sealed bigger envelope clearly marked on the cover the Number of
Tender, Name of tenderer, Submission Date, Closing Date of Tender and the Title of Tender .
2.4 Alternate Options
The tenderer may submit alternative tender offer(s) in addition to the original tender offer and
should these tender documents so stipulate and if the tenderer deems to be in the interest of this
Tender„s required work or project financially or technically or with respect to completion period or
for any other consideration.
These alternative tenders offer(s) will be presented in separate envelopes in the same manner as
the original tender offer(s) enabling a comprehensive evaluation of all the submitted tender offers
under this public tender No.: GTN0 10/17 and should be clearly marked as Alternate tender offer A,
Alternate tender offer B….. etc.
2.5 The tenderer must include in his tender offer the following duly filled in:

a. The tenderer shall clearly stated in details the time schedule plan for the supply, packing details,
fabrication, implementation & completion of complete installation work in the site at Umm-Bab.
b. Each page of these tender documents shall be initialed by the tenderer„s duly authorized person
to represent, bind and stamped by the tenderer/bidder as token of their acceptance.
c. The tenderer should express that he has no objection to enter into a final contract based
substantially upon the content of the Form of Agreement, General Conditions of Contract and
other documents described in these tender documents and any others subsequent documents
agreed and approved by signing the final contract.
d. Format of Breakdown of the Prices.
e. The tenderer shall submit copy of Annual Accounts duly audited by professional certified
accountants for the proceeding three years.
f. The tenderer should submit a current copies of both Commercial Register and Computer Card.
g. Organizational chart, indicating the name of companies and organizations which shall or may
become responsible for the major activities. Site Organizational chart indicating the number of
personnel to be timely employed on site.
h. Layout and site installation camp including list of major equipment for the execution of design,
materials supply.
i. Detailed diagram for training of QNCC personnel, if required. (Not Applicable)
j. The tenderer shall propose and implement the progress reporting on Manufacture, supply, and Works.
3. Filling of Tender„s Formats /Corrections & Adjustment of Errors
3.1 No erasures, alteration or additions shall be made by the tenderer to these tender documents formats
(other than filling in blanks where intended for that purpose), unless such alteration is made in
accordance with an addendum issued by QNCC as hereinafter described.
3.2 Should there be any erasures or scratching out on these tender documents, it must be signed and
stamped by the tenderer„s Company/Establishment.
3.3 Prices and their Particulars must be typed written or written in ink and should not be written in pencil.
All pages of these tender documents, especially those containing the total prices and their term must
have the stamp of the tenderer„s company/establishment affixed to them.
3.4 The tenderer shall submit his tender offer in Qatari Riyals or US Dollars. The related breakdown of
the stipulated formats for details & total fixed price and all other monetary statements in connection
with this tender offer are to be in Qatari Riyals or in US Dollars.
3.5 The name of the authorized person signing must be typed or printed below signature. The official
stamp of the tenderer must be fixed.

3.6 In case of any differences, ambiguity or discrepancy between the original and other copies of the
tender offer, the original documents shall prevail.
4. All questions/query or requests for clarifications pertaining to commercial, contractual or technical matters
of these tender documents prior to submission of duly completed tender offer shall be addressed to
address as per Section 7 below in writing, quoting Tender number and Title.
4.1 The tenderer„s query should reach the address mentioned in Section 7 at least seven (7) days before
the closing date and send to email address [email protected]. Queries raised therafter may be ignored.
5. Incase of any discrepancy ambiguity omission conflict appearing in the contents of these tender
documents, the tenderer must notify QNCC timely and in writing.
6. Any request for the Tender status after delivery of the tender offer should be sent in writing to the email of
[email protected] and no phone call will be accepted.
7. The tender offer duly sealed shall be addressed to.

The tender offer must be handed over to the Tender and Procurement Committee„s General Secretary before
being deposited in the respective tender box. The Tender and Procurement Committee„s General Secretary
will issue a tender offer receipt against each received tender offer, indicating the time and date of receipt.

1. Brief Meaning
1.1 The tenderer means any legal entity who has collected these tender documents against the payment of tender fee
and is in agreement with the conditions, scope of supply and work, technical specs., tender general conditions, general
conditions of contract and others relevant documents described in these tender documents and abiding by them &
quoting /bidding in accordance with them.
1.2 QNCC means Qatar National Cement Company Q.P.S.C. P.O. Box 1333, Doha, State of Qatar announced this Public
Tender No.: (GTNO 10/17) to execute the Manufacturing, Supply and Replacement New Ducts & its Expansion Joints
of Raw Mill no. 361-RM1 in Cement Plant No. 2 @ Umm-Bab as prescribed in this tender documents.
1.3 Variation orders means an appendix or appendices to the conditions of the Contract which specify amendments
including variations to any part of this Contract which may be mutually agreed upon between the Parties after the
signing of this Contract.
1.4 Integral Conditions to Contract includes tender general conditions, scope of supply and works, particular technical
terms, annexes, appendices, drawings and schedules annexed thereto, if any or subsequently issued.
1.5 Contract means the signed agreement (Contract) between QNCC referred in as the Contract the Owner and the
successful tenderer referred in the Contract as the Contractor who will be assign this Contract for execution and
completion of the required Scope of Supply and Works at the site.
1.6 Contract Validity Period include the execution & completion period of the Supply and Works and twelve (12) months
of defect liablity period commencing from the date of issuance of the Provisional Acceptance Certificate.
1.7 Insurance means the necessary insurance policies shall be arranged by the Contractor for his personnel in the site and
the Third Party Liability as per the Conditions of Contract.
1.8 Drawings & Documentations means all drawings, information and documentation specified in the Contract and all
other documents required to be submitted by the successful tenderer to the Owner for the design, engineering,
fabrication and implementation of all the required items and all the required installation works at the site(s) as
prescribed in this tender documents.
1.9 Sub-Contractor/S means any person/s (other than the Main Contractor) nominated and recommended by him and
approved by the Owner for the execution & completion of any part of this Tender„s Scope of Supply & Work to whom
any part of the Contract has been sub-let with the written consent of the Owner.
1.10 Provisional Acceptance Certificate means: the certificate issued by the Owner after successful completion and tests
of all the required items supplied and the Works at the site(s) as per Contract s terms & conditions.
1.11 Final Acceptance Certificate means: the certificate issued by the Owner upon the expiry of the Defect Liability Period
of twelve (12) months calculated from the issuance date of the Provisional Acceptance Certificate (PAC) and the
Contractor has fulfilled his complete obligations as per the terms and conditions of Contract.

2. Validity of Tender
2.1 The tender offer(s) must remain valid for the acceptance for a period of 90 days commences from the closing date of
this Tender.
3. Tender Bond
3.1 The tender bond shall be enclosed with the tender offer in the form of bank guarantee issued by one of the first class
reputable bank operating in the State of Qatar acceptable by QNCC amounting of QAR 50.000/=(Qatari Riyals Fifty
Thousand only) or equivalent to the same amount in US dollar. It must be unconditional and valid for (120) days
commencing from the closing date of this tender. The Tender and Procurement Committee reserves the right to
exclude any tender offer which does not include the required tender bond.
3.2 Upon the receipt of the 10% bank letter of guarantee/performance bond from the successful tenderer, all tender
bonds should be returned to the relevant banks for cancellation and notifying all unsuccessful tenderers accordingly,
the successful tenderer„s tender bond would be returned after signing of the Contract by the Owner/QNCC and the
successful tenderer.
3.3 The tenderer may not withdraw his tender offer or amend their offered prices after the closing date of tender. In the
event of the withdrawal of the tender offer, the tender bond would stand forfeited.
4. Expenses of tendering
QNCC will neither be responsible for any expenses nor losses which may be incurred by any tenderer either in the
preparation of his tender offer or in any way whatsoever arising out of the invitation and elaboration of tender offer for the
required items and execution of the required works subject to this tender.
5. Cancellation of the Tender and Rejection of any Tender Offer
5.1 QNCC has the right to cancel the tender at any time without giving any reason(s) at any stage and/or award it on
partial basis. It is understood by submission of each tenderer/bidder his tender offer in this Public Tender deemed that
he agreed to accept awarding the Tender on partial basis with no any objection from the tenderer and at the same
prices as offered prices in their tender offer already submitted & received within the closing date of the Public Tender
referred in above.
5.2 QNCC is “Not” committed to accept any tender offer with the least price.
5.3 QNCC has the right to exclude any offer(s) that is/are not conforming to conditions of this Tender such as offer(s) that
is/are submitted after the closing date and/or submitted without tender bond, not pay the Tender fee at any time of the
Tender proccess.
6. Each of the tenderer must demonstrate, that he and his employees had previously implemented other
similar project subject of this public tender, together with evidence that this similar project has continued to
be successfully operative for a period of time.

7. Evaluation of tender offer(s): All confirming & complete tender offer(s) submitted to QNCC will be
evaluated and if any clarifications on one of any submitted tender offer, QNCC will communicate in writing
with the tenderer to the fulfillment of further formalities/conditions.
8. Performance Bond
The Successful Tenderer shall submit bank letter of guarantee/performance bond as per the format provided in this tender
documents amounting to 10% (ten percent) of the total Contract Total fixed Price and issued by a first class reputable bank
operating in the State of Qatar acceptable to QNCC/Owner. The performance bond shall be effective before signing the
Contract and its validity period shall be covering the execution period plus twelve (12) months of the defects liability until the
issuance of the Final Acceptance Certificate (FAC) by “The Owner”. The said guarantee is covering any default that maybe
appeared in the supplied items or in any portion/part or section of completed works and/or delay or failure in fulfilment of
“the Contractor„s” contractual obligations during such period.
9. Addenda
Addenda means instruction issued at any time prior to the date fixed for submission of the tender offer. QNCC may issue
Addenda in writing to all the participants in this Tender instructing them to delete or extend any item(s) into these tender
documents. Any such addenda shall be construed as forming part of these tender documents.
10. Examination of Tender Documents/Site Conditions /Site Visit
10.1 The tenderer(s) are advised to examine and thoroughly acquaint themselves with the contents of this tender
documents and take all further steps necessary to ascertain for themselves entirely at their own expense, any
additional information necessary for submitting a comprehensive tender offer.
10.2 Submission of tender offer shall be deemed to indicate that the tenderer has satisfied himself regarding and
undertakes to accept and comply with all the obligations, liabilities, responsibilities and risks imposed upon him by
these tender documents. Submission of tender offer shall deemed to indicate that the tenderer has made himself
acquainted & satisfied himself with the prevailing risks site conditions, circumstances, procurement, manufacturing,
fabrication & transportation, customs, laws in order to discharge his responsibilities/obligation associated with
business in order to discharge his responsibilities/obligation under these tender documents.
10.3 The tenderer(s) at their own expenses shall visit the site and obtain by themselves all information which may be
deemed necessary to enable them to submit a fully comprehensive and a sufficient tender offer.
10.4 No claim whatsoever will be entertained arising out of the tenderer„s failure to study/understand the project, risks,
laws, duties,and taxes as well as specifications, drawings, existing facilities etc. or to obtain reliable information in
respect of the project and its required supplies and works, or otherwise.
10.5 The attention of the tenderer is drawn to the fact that the tender offer has to be on fixed price basis with no
provision for price variations for labor, materials, currency variation taxes and duties, which may arise during the
execution/implementation period of the Contract.

11. The tenderer shall submit his tender offer with a comprehensive bar chart indicating and distinguishing
between the time for preparation, fabrication, implementation & completion of complete installation work
in the site at Umm-Bab. The tenderer„s time schedule shall be subdivided in various sub activities. Time
schedule will become part of Contract.
12. Assignment and Sub-Contractor
The Contractor shall execute the Contract himself and he shall not assign it in whole or in part or sub-let it wholly or partially
without the prior written consent of the Owner/QNCC.If permitted by the Owner/QNCC to assign the whole contract or
part thereof, the Contractor shall guarantee the proper execution of the contractual obligations by the assignee. The
Contractor and the assignee shall be jointly responsible on sub-letting. The Contractor shall be responsible for the acts,
defaults and neglects of any sub-Contractor, their agents, servants or workman as fully as if they were the acts, defaults or
neglects of the Contractor, his agents, servants or workmen.
13. Payment Terms
The proposed payment under Contract, shall be settled as per the payment terms mentioned in the General Conditions of
Contract Clause No.(7) in these tender documents.
14. Mistakes & Errors
14.1 The tenderer shall be responsible for any discrepancies, errors or omissions in the drawings and information supplied
by him, whether they have been approved by Owner/QNCC or not.
14.2 The tenderer, however, shall be responsible for any misunderstanding or incorrect information obtained by him.
14.3 The tenderer shall at his own expense carry out any alterations or remedial service necessitated by reason of such
discrepancies, errors or omissions for which he is responsible and modify the drawings and information accordingly,
or if the same be done by or on behalf of QNCC shall bear all costs reasonably incurred therein. The performance of
his obligations under this clause shall be in full satisfaction of the discrepancies, errors or omissions.
15. Correspondence/Notices should be done by the Tenderer(s) on the address of QNCC stipulated
elsewhere giving Tender Number and Title of Tender. All invoices/notices should mention the Tender
Number and Title/Name of the Tender.
15.1 QNCC shall issue/send correspondence/notices to the Representative of Tenderer as provided.
15.2 QNCC and Tenderer shall immediately notify each other in case of any change in such address for any reason
whatsoever.
16. Contract Documents
16.1 The successful tenderer would enter in a Contract with QNCC outlining the conditions as enumerated in these
tender documents and with the Contract total fixed prices and any additional conditions as agreed by either Party to
the Contract.

16.2 The Contract will be drawn up in three originals duly signed at QNCC Head Office in Doha by authorized signatories
and stamped by official seal of either party to Contract. The successful tenderer/Contractor would receive one
original Contract.
16.3 The Contract shall be binding on the successor/s in the event of change in Ownership of either party
17. Settlment of Dispute and Applicable Law
All disputes shall be settled by Qatari competent court/s in accordance with applicable Qatari Laws.
The tenderers shall be fully conversant with the laws, regulations and practices prevailing in State of Qatar.

Having examined these tender documents and having visited and inspected the project„s site and fully acquainted ourselves to the
conditions of the contract, requirements and specifications thereon, responsibilites execution and completion. We undertake to

the contractual rights and liabilities of “the Owner” and “the

5. It is understood that “the Contractor” has obtained for himself all
information complete in every respect including all technical aspects, the

8. The period of manufacture and supply of the new ducts with new expansion
joints to the site at Umm.Bab shall be sixty (60) days commences from the
date fixed by the Owner in his written notification letter, which shall be
delivered to the Contractor after the signing date of this Contract. The period of
execution and complete all the replacement works in the site @ Umm.Bab shall be
within Twenty One (21) days, which shall be fixed by the Owner in his written
notification letter, shall be delivered to the Contractor earlier before atleast Thirty
(30) days prior to the date defined to stop the raw mill for starting replacement
works at the site .

10. “The Owner” has the right at any time to appoint a person(s) or company(s)
to represent him in the execution of the Contract and the supervision on the
manner of execution of the Works as Engineers, Inspectors or Supervisors and
that “the Owner” can replace them with others and he shall communicate
the same to “the Contractor” in writing.

Income Tax amount due on “the Contractor” as per Income Tax Law No.
21/2009.

12. Apply the provisions of Section No. (8) of General Conditions of the
Contract for liquidated damages for delays, in the event of failure of "the
Contractor" in the Supply or execution or complete the works within the
period for completion agreed upon in this Contract.
The “Owner” has the right to appoint another Contractor to Supply or
execute or complete the Works on the account of Contractor deducting from the
Contract value.

company operating in the State of Qatar approved by “the Owner”.

B. SCOPE OF TENDER: Includes Fabrication/Manufacturing of New Ducts and their Expansion Joints and Supply to the Raw Mill 361-RM1 Site in Cement Plant No.(2) @ Umm.Bab, State of Qatar and To Execute, Complete of all Replacement works comprises of Dismantling, Removing of existing Ducts & their expension joints and Installation of New Fabricated & Supplied Ducts and their Expansion Joints includes new Insulation & Cladding as mentioned in details herein under:-
I ) . FABRICATION / MANUFACTURING
- Fabricating/Manufacturing of Complete ducts and expansion joints as per above listed items parts quantities to be
supplied referred above which are mentioned in details in format of Bill of Quantity(B.O.Q) stipulated in these
Tender Documents.
- Dismantling of the existing ducts and other parts included in the listed items
- Installation of the readily fabricated parts for all the listed items.
- All the necessary erection and manufacturing jobs needed to keep the ducts in good Engineering and reliable
condition for the operation.
II). DISMANTLING JOB:
1. Dismantling of complete duct 361DU1 mill outlet to twin cyclones with expansion joint.
2. Dismantling of 361-DU2 complete duct between mill fan outlet to twin cyclones with expansion joints.
3. Dismantling of 361-DU3 complete recirculated duct with expansion joints.
4. Dismantling of dip tube and other parts for cyclones 361-CN1 & 361CN2.
5. Dismantling of 361-DU5 hot gas duct with expansion joints.
6. Dismantling of 421DU6 duct between EP and Mill fan with expansion joint.
7. Dismantling of 421DU4 duct between EP and EP fan 421FN2 with expansion joint.
III). INSTALLATION JOB:
1. Installing of complete duct 361DU1 mill outlet to twin cyclones with expansion joints.
2. Installation of 361-DU2 complete duct between mill fan outlet to twin cyclones with expansion joints.
3. Installation of 361-DU3 complate recirculated duct with expansion joints.
4. Installation of cyclone 361-CN1 complete set of body liners cylindrical portion + hopper up to rotary valve
complete set bolting system.
5. Installation of cyclone 361-CN2 complete set of body liners cylindrical portion + hopper complete set bolting
system.
6. Installation of dip tube hardfaced on both sides of the tube for both cyclone 361-CN1 &2.

C. PARTICULAR TECHNICAL TERMS :
1. The dip tube in side the Cyclone must be both sides hard faced.
2. Where ever supports are required to be provided suitable to that area.
3. After final installation of all the parts, system integration must be ensued i.e. if found damages at connecting parts must be
repaired / replaced.
4. Higher section thicknes is to be provided at bends and flow diversion points.
5. The Material used for fabricating the shells of ducts a special wear resistant material (mild steel sheet covered with
chromium carbide from one side by automated welding.
6. The chrominum carbide side of the plates must be towards the internal surfaces of the fabricated duct parts that have
contact with gases and materials passing through.
7. The new chromium carbide pltates to be fixed are either 10 mm thick (6+4) OR 13 mm (8+5). The parts to be replaced with
these items are specified in the format of bill of quantity (Appendix-II) to form of tender for each individual item with no
consideration to the existing thickness of the old part unless otherwise specified.
8. The Contractor is responsible for calculating the exact weights and demensions of the parts to be fabricated. In the cases
where the thickness of the new part is bigger than the thickness of the existing one, the contractor should consider the inner
diameter and/or the external dimensions as a reference. Changes should be allowed internally with the support of the ducts.
9. The Contractor should provide standard test certificates for all the materials used for fabrication.
10. The erection will be done during the shutdown of the Plant, the date of which will be decided after the receipt of all
fabricated parts on site and according to the operating conditions of the plant. The date of the shutdown will be advised to
the bidder thirty (30) days ahead.
11. The Contractor should complete the fabrication work and shift the materials to the plant within shortest period of
rewarding the tender.

12. Fabricated parts should be painted with one coat of heat resistant primer paint from outside only (300⁰C) with a minimum
thickness of 150 microns.
13. Fabrication of the expansion joints includes the fabrication of metallic parts. The Contractor is responsible for fixing the
expansion joints fabric and fix the stuffing of expansion joints (Rock Wool rolled in chicken wire mesh). The Contractor is
responsible for supplying the bolts, nuts,ceramic fiber and fabric.
14. All expansion joint must be new. Internal parts must be cladded sheets with new expansion joint fabric.
15. For all the above works, new cladding sheets must be used, and new sheets should be strapped by metallic strap after
fixation (cladding material is aluminum sheet of 1 mm thickness).
16. The old insulation materials should be completely replaced with new one and held from outside by one layer of chicken wire mesh.
17. Thickness of the insulation material should be 80 mm.
18. The duct weight should be calculated by the Contractor for the support new duct and necessary engineering for the
supports.
D. PARTICULAR TECHNICAL CONDITIONS :
For all the jobs (Fabrication, Dismantling and Erection and Cladding).
1. All the drawing given are for guidlines only. The bidder / Contractor is sole responsible for all the dimensions for
manufacturing and installation works.
2. Prices should be provided in breakdown basis as follows:
a) Fabrication & Supply to site.
b) Dismantling & Installation.
c) Cladding & Insulation.
3. The Contractor should submit all the manufacturing drawings to the Owner for approval prior to proceed with the
manufacturing.
4. The Contractor should provide a bar chart showing total required time details as follows:
a) Time required for Dismantling.
b) Time required for Erection.
c) Time required for Cladding & Insulation.
5. The Contractor is responsible for the supply of all his requirements such as:
a) Welding & Cutting equipments, crane/s etc.
b) Consumables like welding electrodes, gas etc.
c) All tools & equipments required for the job.
d) Transportation & Accommodation of personnel engaged in the work at site.
6. The Contractor / bidder must visually / physically check / inspect the parts to be replaced / attended prior to bidding.
7. Shortest time for executing works especially installation and cladding is a credit to the bidder. Dismantling, erection,
insulation work should be carried out during maintenance stoppage of maximum 21 days.
8. The Contractor is to provide an experienced Engineer to be available on site supervision, safety and co-ordination of the work.
9. The Contractor is responsible for the scaffolding system that will serve both the cladding and insulation job in addition to
facilitating the dismantling and instalation of the erection job.

10. The Contractor should clear all the site debris such as old replaced parts, cladding and insulation materials after the
completion of the job to the area advised by QNCC.
11. QNCC will provide area for site office, if required.

F. Appendix -II :
1. Items specifications for ducts:
The items of the sheets to be used for fabricating the shells of the ducts and cyclones is a special chromium carbide cladded
mild steel plates made by automated welding with the following speciications:
a) Sine Wave pattern Chromium Carbide Cladded Plate with complex carbides of Niobium, Vanadium and Boron.
b) Hardness of the chromium carbide cladding > = 63 – 65 HRC
c) Base plate thicknes is 6 mm / 8 mm (Mild Steel)
d) Chromium Carbide Cladding thickness is 4 mm / 5 mm
e) Uniform dilution & hardnes and minimum penetration.
Test Certificate:
Standrd test certificate provided with the material should show the following:
- Porosity and homogeneity of structure
- Penetration to the base metal
- Hardness of surface and depth of hardness
- Process used for cladding
2. Material specification for insulation:
- Mineral wool material with galvanised quality stitching wire galvanised metal mesh.
- Bulk density ≥ 80 kg/m³.
- Durable for permanent working temperature ≥ 500°C.
- Thickness ≥ 80 mm.

GENERAL CONDITIONS OF CONTRACT
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions
In this part/section the following expressions shall have the meanings prescribed to them hereunder except where the context
otherwise requires.
“Contract” shall include the Form of Agreement, General Conditions of the Contract, Scope of Supply and Works,
Technical Specification, Reports, Bill of Quantities, Format of Breakdown of the Prices and all agreed documents in
relation to the items shall be supplied and works shall be executed at site.
“The Owner” means Qatar National Cement Company (Q.P.S.C.) or his Lawful assignee or Successor.
“The Contractor” means the successful tenderer has signed the Contract or his lawful assignee or Successor.
“Parties” means the Owner and the Contractor.
“Scope of Supply and Works” means the items required to be suppllied and the works to be executed at site by the Contractor
as described in the tender documents.
“Contract Total Price” means the fixed total lump sum price as set out payable to the Contractor by the Owner in accordance
with the terms and conditions of Contract.
“Design” means all the items to be provided and the works to be executed by the Contractor in accordance with
Scope of supply and works and others Contractor„s responsibilities mentioned in this General Conditions of
Contract described in the tender documents.
“Outline Drawings” means the drawings prepared by the Contractor and annexed to or issued with this Standard Conditions
and contained in the Contract.
“Provisional Acceptance Certificate” means a certificate issued and signed by the Owner and delivered to the Contractor
stating that the works have been substantially and successfully completed at site in accordance with the terms and conditions of
Contract.
“Defect Liability Period” shall have the meaning assigned to this term in the Defect Liability Period Section to be contained in
the Contract which covers the default in the supplied items or in performance in any part or section works for a period of four
hundred (400) days from the date of issuing the Provisional Acceptance Certificate to the Contractor.
“Test of Completion” means such tests to be undertaken by the Contractor in accordance with the terms of the
Contract with such additional tests as agreed upon between the Contractor and the Owner for the issuance of the
Provisional Acceptance Certificate.
“Final Acceptance Certificate” means a certificate issued and signed by the Owner and delivered to the Contractor stating
that all the supplied items and executed replacement works are successfully completed with no defect and issued by the end of

twelve (12) months calculated from the issuance date of Provisional Acceptance Certificate and with no default as per Terms
and Conditions defined in the Contract.
1.2 INTERPRETATIONS
1.2.1 A reference to an individual or person includes a corporation, firm, partnership, joint venture, association, authority, trust,
state or government and vice versa.
1.2.2 Words importing the singular shall include the plural and vice versa.
1.2.3 A reference to any gender includes all genders.
1.2.4 A reference to any agreement or document is to that agreement or document (and where applicable any of its provisions)
as amended, innovated, restated or replaced from time to time.
1.2.5 A reference to any agreement or any other document or arrangement includes that party„s executors, administrators,
substitutes, successors and permitted assigns.
1.2.6 Article headings and index are for reference only and shall not affect interpretation.
1.2.7 The Annexes (if any) to this Schedule shall form a part thereof, however in the event of any conflict between the Annexes
and Articles of this Schedule, the articles shall prevail.
1.2.8 If any terms or any part thereof (in this Article called the “offending term”) contained in this Schedule shall be or be
declared or become unenforceable, invalid or illegal for any reason whatsoever then provided the commercial intent of the
agreement is not adversely affected the other terms of this Schedule shall remain in full force and effect as if the Agreement
had been signed without the offending terms appearing herein. The Parties hereto agree to substitute if possible for such
offending term a new tern to the fullest possible extent.
2. COMMENCEMENT PERIOD FOR COMPLETION.
2.1 The Period for completion commences with a notice to proceed letter issued by “the Owner” for commencement of the
supply of the items for execution and completion of the Works at Site once “the Contractor” acknowledges and accepts the
notice to proceed letter sent to him by “the Owner”.
2.2 Items and works required shall supply, execute and complete in accordance with the time schedule contained in the Contract.
2.3 There shall be no extensions to the period for the delivery and completion of the works unless the Contract period is extended
with the written consent of “the Owner” in which case the corresponding extension shall be granted to “the Contractor”
provided such extension is required due to the default of “the Owner” or “the Contractor” or for reasons as stated in the
contract.
2.4 Terms defined in the other documents of Contract where applicable to have the same meanings used herein unless the context
requires otherwise.

3. SCOPE OF SUPPLY AND WORKS
The Contractor shall undertake to supply the items & execute the works @ site in accordance with the terms and conditions as set
out in the Contract.
4. CONTRACTOR„S FACILITIES AND TOOLS
4.1 Facilities Required During the Execution at Site.
During the execution period of Contract, “the Contractor” shall arrange to provide himself and his personnel with the necessary
accommodation and facilities at the site.
4.2 Equipment and Items
Specialized equipment and items furnished by “the Owner” to “the Contractor” or purchased by “the Owner” for the Contractor
with funds wholly supplied or reimbursed by “the Owner” shall be the property of the Owner and shall be marked for identification
purposes by “the Contractor” and/or “the Owner”. The Contractor shall be responsible for ensuring that any such equipment and
items provided by “the Owner” are maintained in good condition.
4.3 Disposal of Equipment and Items
Upon completion or termination of the Scope of works at site, “the Contractor” shall furnish to the Owner inventories of the
equipment and items supplied to him by the Owner, which are to be disposed or deliver the equipment to “the Owner” and dispose
of any unwanted items as directed by “the Owner”.
4.4 Site Personnel
All persons/manpower working for “the Contractor” shall be under his direct employment/sponsorship and supervision.
5. TIME SCHEDULE FOR THE SUPPLY & COMPLETION OF THE WORKS
Have been identified for execution and completion of the Supply and Works subject of this Contract as mentioned below:
Fabrication & Supply to site within two (2) months.
Dismantling, erection, insulation work should be carried out during maintenance stoppage of maximum twenty-one (21) days.
Starting from the date fixed by the Owner in writing under the notice letter to proceed that will be delivered to the Contractor after
the signing of this Contract.
6. CONTRACT TOTAL PRICE PAYABLE TO THE CONTRACTOR
The Contract Total Fixed Price payable to the Contractor for the provision and completion of the Scope of Supply and works shall
be allocated and payable in respect of the different stages of the Scope of Supply and Works as provided hereunder.
6.1 Contract Total Price for Modified in the Scope of Supply & Works.
Where additional works are necessary due to changes within the Scope of Supply or Works requested by the Owner an additional price
to be mutually agreed upon by the Owner and the Contractor shall be granted to the Contractor.
The basis for the additional price shall be agreed to in writing between the Owner and the Contractor prior to the commencement of
provision of the additional materials supply or works.

6.2 Inclusive Contract Total Price
6.2.1 The Contract Total Price payable to the Contractor shall include all cost, overhead, profits, taxes, charges, payments to his sub-
contractor(s) and all costs and expenses of whatsoever nature for the performance and completion of the Scope of Supply &
Works pursuant to the terms of the Contract.
6.2.2 The Contractor signing the Contract confirms that he is aware of all other cost or charges to be incurred and which are necessary
for it to carry out and complete the Scope of supply and works required under the contract.
6.2.3 No claim will be accepted by the Owner from the Contractor due to the Contractor„s lack of knowledge in respect of any matter
affecting the level or adequacy of the Contract Total Price payable to the Contractor pursuant to the terms of the Contract.
7. PAYMENT TERMS
100% of Contract fixed total lump sum price shall be released by the Owner in accordance with the methods & payment terms
which are mentioned herein below:
7.1 05% of 100% of the Contract total fixed lump sum price If necessary, shall be paid to the Contractor within 10 days following the
Contract concluded date as advance payment, upon the Owner receipt of advance payment guarantee amounting equal to same 05%
and to be issued as per the form of Advance Payment Guarantee provided in the tender documetns of this Public Tender No.:(GTN0
10/17. The advance payment guarantee to be issued by a first class bank operating in the State of Qatar, shall be valid until the total
amount of this advance payment guarantee is fully recovered.
7.2 85% of 100% the total value for manufacturing & supplying of new ducts and their expension joints to the site @ Umm.Bab, shall be
paid to the Contractor on progress of supply and completion of all the replacement works of the new supplied ducts & their expension
joints with the existing ducts and their ezpension joints of Raw Mill(361- RM1) in Cement Plant No.(2) Site @ Umm.Bab.
7.3 10% of 100% Retention money shall be released upon issuance of Final Acceptance Certificate.
7.4 Payment shall be made by Letter of credit / Transfer or A/C payee cheque shall be established / issued subject to point 7.5 above and
withholding tax / Retention as per Income Tax Law No. 21 of 2009 of the State of Qatar.
7.5 The TT or Letter of credit LC to be established upon the Contractor„s written request along with the Proforma Invoice including name,
address with telephone & fax number, bank account number, branch, name of bank, amount, dated, description of item(s) & validity
required for the Letter of Credit. The Letter of Credit shall be non-transferable and non-divisionable. All L/C expenses of LC in Qatar
would be to the account of applicant. All expenses outside Qatar and extension fees would be to the account of beneficiary.
7.5 Advance Payment Bond/Guarantee
The Contractor shall issue an Advance Payment Guarantee in an amount equivalent to the down payment amount, through a first class
reputable Bank operating in Qatar or any other Bank acceptable to the Owner. This guarantee will be issued at the signature of the
Contract, and shall be valid until the amount of the Advance Payment is fully recovered and released against issuance of Final
Acceptance Certificate.
7.6 Performance Bond
Performance/Bid Bond of 10% of the Contract Total Price will be issued by a first class reputable Bank operating in the State of Qatar
acceptable to the Owner and the validity start of this letter of guarantee on or before signing the Contract and remain valid until the
issuance of the Final Acceptance Certificate after the expiry of twelve (12) months of the Defect Liability period, which should be
calculated from the date of issuance of the Provisional Acceptance Certificate.
7.7 Currency

The Contract Price payable to Contractor shall be calculated and paid in QAR.
8. LIQUIDATED DAMAGES FOR DELAYS
Should the Contractor delay or fail to supply the Items or execute or complete the Works within the contractual completion time
schedules as defined in the Contract and should the damage be deferred due exclusively to such delay, the Owner shall be entitled
to receive/impose liquidated damages calculated on the basis of 0.5% of each day or part of day of such delay up to a maximum of
10% of the Contract Total Price.
9. FORCE MAJEURE
9.1 Circumstances Beyond Control
Any of the Parties affected by Force majeure shall promptly notify the other Party in writing of any situation or event arising from any
circumstances beyond it„s control, which is unavoidable and which could not reasonably be foreseen and which makes it impossible for
the affected Party to carry out in whole or in part its obligations under the Contract.
9.2 Default
Neither Party shall be considered to be in default in the performance of its obligations hereunder as a result of Force majeure, which as implied herein,
shall mean Acts of God, War (declared or undeclared), riots, civil commotions, revolutions, hostilities, strikes, epidemics, accidents, fire, floods, earth-
quakes, explosions, blockages, nuclear hazards, extreme weather conditions and any other cause similar to the kind herein mentioned or of equivalent
force occurring within the State of Qatar which is beyond the control of the parties, unavoidable which could not reasonably be foreseen and which
renders impossible the fulfillment of the contract.
9.3 Delays in Performance
If the performance of any obligations or responsibilities of any Party is delayed for more than Thirty (30) days, the term of this Contract
shall either be extended for such period or the contract may be terminated at the Owner„s choice. In the event that the performance of the
works is prevented in whole or in part due to an occurrence referred to in Sub-Section 9.2 (Default) hereof, then the Owner shall have the
option at any time after the commencement of such occurrence to terminate the Contract by giving written notice to the Contractor. The
payment on termination shall be assessed as the reasonable and actual cost incurred by Contractor to demobilize those staff whose
works are related to the Scope of works.
9.4 Notice of Termination
If a termination notice is given as a result of Force Majeure as per Clause 9.2 (Default) above, the termination shall become effective upon
receipt by Contractor of the Owner„s notice to terminate.
10. TERMINATION OF THE CONTRACT
Should the Contractor fail for more than Thirty (30) days after written notice to discharge its contractual obligations as set out in
the contract and cease to comply with provisions of the scope of Supply and Works except in the case of Force Majeure, the
Owner shall have the right to terminate immediately the Contract.

11. CONFIDENTIALITY
11.1 The Contractor shall treat the details of this Contract and all documents prepared hereunder as private and confidential (save in so far
as it may be necessary to pay any such decisions for the performance of its duties hereunder) and shall not publish or disclose the same
or any particulars thereof in any trade of technical paper or elsewhere without the prior written consent of the Owner. The Contractor
shall ensure that its personnel and sub-contractors enter into similar confidentiality undertakings towards the Owner.
11.2 Documents shall remain the property of the Owner
11.3 All Documents prepared by the Contractor for the works or provided to him by the Owner shall remain confidential during the
contract execution period, the drawings shall remain in the sole custody of the Owner.
12. INFORMATION REQUIREMENTS
12.1 The Contractor shall submit the following information to the Owner at such regular interval as appropriate:
a) All communications which:
1. State or indicate the possibility of an intention to claim additional time or money.
2. Relate to security, access or personnel to the site area, accidents and safety of personnel, insurances or other matters, which may
be considered of interest to the Owner or may require action by him.
b) Programme and Schedules as follows:
1. All programmes and schedules of information requirements from the Owner to the Contractor and vice versa.
2. All interim or stage programmes issued by the Owner.
c) Monthly item required and execution of Works status reports, which must include statements on :
1. Progress of items and works.
2. Performance of the Contractor„s manpower in particular with regards to non-compliance with all such duties and obligations as
contained in the Contract and the Specifications.
3. Quality of the Works.
4. Supply or delivery problems and action taken.
5. Any items or works variation to the Contract period or Contract price with financial details and any reasons which indicate, in view
of the Contractor, that these are likely to be varied in the future.
d) Full details of the Contractor„s manpower maintained on the site, calculated and reported on a monthly basis.
12.2 Variations
The Contractor shall clearly identify any Variation Orders as being issued one of the following categories:
a) Variations which alter, amend or delete items contained in the Contract and which Variation does not alter the Scope of works, is not
charged against contingencies and which does not increase the Contract Value;
b) Variations which will increase the Contract Value and will require the commitment of additional funds
c) Variations which are charged against contingencies as per Sub-Section 12.3 hereunder.

12.4 Handling Over
When the Contractor shall determine that all of the works has been completed at the site and the ducts is acceptable for use by the
Owner then the Contractor shall give sufficient prior written notice to the Owner that such works are substantially completed and is
ready for handing over and the Owner shall check and approve, then if accepted the Owner will issue the Provisional Acceptance
Certificate as per applicable Clause (Provisional Acceptance Certificate).
13. ASSIGNMENT
The Contractor shall not assign or transfer the benefit or obligation of the Contract or any part thereof to any third party without
the prior written consent of the Owner. However, the Contractor shall be entitled at any time to take into partnership another
partner or partners (or directors) and he or they shall be deemed to be included in the expression “the Contractor”.
14. TAXES
The Contractor shall be responsible for the payment of all taxes including income tax, customs or import duties, training levies
and all other levies and taxes applicable by laws, any regulatory or concerned authorities in the State of Qatar. Any new taxes
decided by State of Qatar Authorities or modifications of the existing taxes after the date of signing of the contract shall be
mutually discussed in order to adapt the contractual price accordingly.
15. THE OWNER„s RESPONSIBILITY
15.1 Information to the Contractor
The Owner shall furnish all pertinent data and information available and shall give such assistance as reasonably be required by the
Contractor for performing its duties and discharging its obligations under the Contract.
15.2 Decisions
The Owner shall give its decisions on all sketches, drawings, report recommendations and other matters properly referred to it by
Contractor in writing and in reasonable time so as not to delay the performance of the Contractor in respect of the Scope of Supply
and Works under this Contract.
16. THE CONTRACTOR„S RESPONSIBILITY
16.1 Supply the items as per the agreed specifications and the approved time schedule.
16.2 Supply trained direct and indirect manpower for erection works.
16.3 Responsible for the supervision on his supplied manpower for completion of the works at site.
16.4 Provide Medical and Accidental Insurance.
16.5 Providing Visa Arrangement, immigration fee and other convinient cost for manpower, what ever is required.
16.6 Covering all workers salaries, wages and workers compensations.
16.7 Cost of personnel air flights, visas as well as internal transportation to and from the sites.
16.8 Obligate his manpower to follow the discipline, Safety and rules of the Owner.
16.9 Responsible for the safety of his people working (Manpower) at sites.
16.10 Responsible for the compensation of his manpower for any damages occur to them or the theft or loss of his equiment.

16.11 To comply with all applicable Qatari Laws and Regulations.
16.12 Provide an experienced Engineer to be available on site supervision, safety and co-ordination of the works.
17. THE OWNER„S APPROVAL
The Owner„s specific approval in writing shall be required by the Contractor prior to the following:
a) Assignment or subletting by the the Contractor of any part of the items required or any section/part of the works. Any direct instructions by
the Contractor imposing to its provided manpower a method of working different to that stated in the Contract or modifying the accepted
method included and agreed at tender stage.
18. SCOPE OF LIABILITY OF CONTRACTOR
18.1 Errors and Omission
The Contractor is liable for all the detrimental consequences of its recommendation, negligent acts, errors and omissions on its part or
on the other parts of its employees, Sub-Contractor, agents or assignees in discharge of its contractual obligations under this contract.
The Contractor„s Manpower shall execute the works in accordance with all the requirements and criteria in the Contract and in
accordance with standards of care and diligence generally practice and expected by the Contracting Firms possessing high level of skill,
experience and expertise and in a manner suitable for the intended purpose.
18.2 Defects
The Contractor at his own expense, carry out any alterations or remedial maintenance works necessitated by reason of such errors and
omissions for which he is responsible and modify the drawings and information accordingly.
18.3 Limitation
It is also understood that the Contractor has no responsibility of fulfilling any obligations out of the obligations defined in
this Contract.
18.4 Insurance Cover
The Contractor shall take all insurance covers for his own provided manpower at site (such as medical, life, accident, workmen
compensation etc.) in accordance with the Qatari Laws and Regulations of the State of Qatar.
Such certificate and policies shall be issued by a reputable insurance company operating in the State of Qatar and acceptable to the
Owner.
18.5 Violation of Rights of Third Parties
The Contractor shall be responsible for violation of the rights of third parties unless he has not been given correct information
concerning these provision or rights or that he has brought to the notice of the Owner such liability beforehand.
18.6 Contracts by the Contractor
The Contractor shall collect all the necessary information required for the execution and discharge of its obligation as stated under this
Contract and shall initiate and activate all necessary contracts for this purpose. The Owner shall assist in facilitating when possible.
19. DEFECT LIABILITY PERIOD

Defect liability/Maintenance Period means the respective period covering any default/failure/neglects in the items supplied or
works executed by the Contractor such period is starting from the date of issuing of the Provisional Acceptance Certificate for a
period of twelve (12) months.
20. NOTICES
All notices under this Contract shall be given in writing and will be deemed to have been given if delivered by one of the following means:
- By fax transmission
- By e-mail transmission confirmed by fax or express courier
- By express courier or telegram transmission
21. LANGUAGE OF THE CONTRACT
The language of the Form of Agreement in Arabic and English, in case of a conflict found in the Form of Agreement between the Arabic text
and English Text, the Arabic text shall prevail. All reports, designs, drawings, correspondence, General Conditions of Contract etc. shall be in
the English language. In case of these Contract documents being translated into Arabic Text for the benefit of any regulatory body in the State
of Qatar and will arise a conflict between the English and Arabic text, the English text shall prevail.
22. SETTLEMENT OF DISPUTES AND APPLICABLE LAWS
22.1 Settlement of Disputes
In case of any dispute arising between the Contractor and the Owner, the Parties shall first make an attempt to settle the
same amicably as early as possible. If the dispute cannot be settled within ninety (90) days of its arising, the same shall be
referred to the competent Qatari Court(s).
22.2 Applicable Law
Applicable law shall be Qatari Laws.
22.3 Works to Continue
Performance of the contract shall continue during judicial proceedings unless the Owner shall order suspension thereof, and if any
such suspension shall be ordered, the reasonable expenses of the Contractor occasioned by such suspension shall be included in the
Contract Total Price of the Contract if the competent Qatari Court(s) so decides. No payment due or payable by the Owner shall be
withheld on account of pending reference to the competent Qatari Court(s).
