Policy for the Las Vegas Sands Corp.

Anti-Corruption Policy

Including Guidelines on Travel and Entertainment Expenses and Customer

Complimentaries for Government Officials

This Policy is issued to assure that the hospitality and business development practices of all

operations of Las Vegas Sands Corp., its affiliates and its subsidiaries (collectively, “LVSC”)

anywhere in the world are fully consistent with applicable record keeping and anti-corruption

laws, including the U.S. Foreign Corrupt Practices Act (“FCPA”) and the Sarbanes-Oxley Act of

2002. This Policy reflects the fundamental values of LVSC, and all employees, consultants and

agents employed by LVSC are expected to honor them fully, both in letter and spirit. Violation

of this Policy can be grounds for immediate termination.

Under the laws of every state and country in which we do business, it is a crime to pay a bribe to

obtain or maintain government business or to obtain an unfair advantage. Under U.S. law,

LVSC, its affiliates and subsidiaries may not give anything of value, directly or indirectly, to, or

for the benefit of, any (i) foreign government official, (ii) foreign government agency, (iii)

foreign political party, or (iv) candidate for foreign political office, in exchange for influencing

any official action in favor of the Company.

“Anything” means anything as liability can attach from the first dollar and includes currency,

monetary instruments and in-kind payments and gifts.

“Directly and indirectly” includes to the official (as broadly defined above), to their family

members, and through third-parties such as agents, consultants, junketeers, and other contractors.

The term “foreign official” is interpreted broadly and includes employees as well as those who

are appointed or elected. It also includes employees of state owned or controlled enterprises as

well as governmental bodies. This means gaming licensing officials outside the U.S. are

“foreign officials” for purposes of this Policy.

It is the policy of LVSC to comply with all applicable laws, including anti-corruption laws

such as the FCPA, and to avoid even the appearance of impropriety.

U.S. law allows companies to promote their businesses to government customers even though

there may be a benefit – travel, lodging, entertainment, meals – given to the official.

Promotional expenditures, like meals and entertainment, are subject to local and Company

restrictions. This Policy is intended to provide general guidance on appropriate promotional

activity. Further detailed guidance is provided in the Company’s Complimentary Policy.

As all of our financial records must be complete and accurate, any payments to or for the benefit

of foreign officials or entities must be recorded accurately and fairly in our books, records, and

accounts. The records for all such payments shall be made available to the Company's auditors

and others responsible for the preparation and review of the Company's financial statements to

ensure that the Company's financial statements are accurate and comply with all applicable

accounting principles.

Travel Expense Guidelines for “Foreign Officials”

We are privileged to welcome many “foreign officials” to our hotels, resorts, and other facilities

around the world every year. Indeed, as a regulated business and major corporate citizen of the

locales where we operate, we necessarily deal with public officials on a regular basis, and we

must do so professionally, openly, with integrity, and in full compliance with all applicable laws.

Given the broad reach of the FCPA, the regular interaction that foreign officials have with our

operations, and the nature of our hospitality and entertainment businesses, it is essential that we

have guidelines that are both reasonable and consistent with all applicable laws.

In the Guidelines below, we set forth standards for our hotel, resort, and convention operations

and for our gaming businesses. Within these Guidelines we distinguish, as we must, among

different categories of individuals who come within the broad definition of “foreign official” set

forth in the FCPA. These Guidelines are designed to be as practical and administrable as

possible while at the same time respecting the legal limitations that apply to our operations. As

these Guidelines are implemented, we welcome your comments and suggestions as the

Guidelines will be reviewed and updated on a periodic basis.

Hotel and Resort Operations

Different guidelines apply for the provision of hospitality for foreign officials depending on

whether a given foreign official falls within one of the four categories outlined below. In all

cases where LVSC knows it is interacting with a foreign official, LVSC must follow the local

written law as well as this Policy.

1. Regulatory and Decision-making Officials. No benefits shall be provided to government

officials who exercise regulatory authority over LVSC, those who have presently pending before

them a decision directly related to the business of LVSC (“Regulatory and Decision-making

Officials”), or those we reasonably anticipate may have such decisions pending before them in

the future, unless the provision of such benefits has been approved in advance and in writing by

the Chief Compliance Officer and is consistent with the Guidelines applicable to Visiting

Officials below. Examples of Regulatory and Decision-making Officials include gaming

licensing officials of jurisdictions where the Company enjoys a gaming license (or plans to

obtain one), officials who are considering a bid by LVSC to provide conference facilities and

services for a government-sponsored event, tax authorities who are considering an appeal of a

disputed tax issue, labor officials with authority over our employees and employee practices, and

officials who approve or inspect construction or health/safety at our facilities.

2. Visiting Officials. Periodically, individual foreign officials or delegations of foreign officials

visit LVSC properties to observe their operations (“Visiting Officials”). This may occur when

Visiting Officials are considering legislation permitting gaming within their jurisdictions or

whether to hold a convention at a LVSC property. It may also occur when Visiting Officials

Page 3: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

otherwise visit our facilities for reasons related to their official responsibilities, such as to

conduct a contractually required inspection of our gaming operations. U.S. law permits

reasonable and bona fide expenditures on foreign officials where the expenditure is directly

related to (a) the promotion, demonstration, or explanation of our products and services; or (b)

the execution or performance of a contract. However, such expenditures must not be intended

toimproperly influence in any way the Visiting Official’s exercise of his or her discretionary

authority as a public official. In these situations, the following general guidelines apply.

The visit must be for a bona fide business purpose and not primarily or substantially

personal, recreational, or otherwise unrelated to the Visiting Official’s official

responsibilities.

The visit and associated expenditures must be lawful under the law of the Visiting

Official’s home country.

The expenditures must not be lavish.

The expenditures must be accurately reported and recorded in the Company’s books,

records and accounts.

The Company generally will not advance funds for travel, lodging, entertainment or

other expenditures but rather will provide directly such complimentaries if permissible

and appropriate.

The Company will not fund any side travel, lodging or excursions.

The Company will not provide per diems or other cash payments.

No benefits of any sort may be provided to spouses or other immediate family members

of Visiting Officials, although family members are permitted to stay in the Visiting

Official’s hotel rooms.

The benefits provided are permitted under local law and law of official’s host country.

The following additional specific limitations apply to the provision of complimentary or

discounted hospitality to Visiting Officials:

Any hotel accommodations, whether provided without charge or discounted, for Visiting

Officials must be reasonable under all the circumstances. For example, VIP suites are

not to be used without the advanced written approval of the Chief Compliance Officer.

Visiting delegations should be reasonable in size in relation to the purpose of the visit.

Rooms that are provided without charge or discounted should only be provided for as

many nights as are reasonable and necessary in light of the business purpose of the visit.

In no case can the visit be for more than three nights without the advance written

approval of the Chief Compliance Officer.

Page 4: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

Discounted or paid commercial airfare may be provided to Visiting Officials under

appropriate circumstances and with the advanced written approval of the Chief

Compliance Officer. Visiting Officials may not, however, be provided with

transportation on LVSC aircraft. The Company will not pay for first class air travel.

Business class airfare may be provided for international trips of 6 hours and longer with

the advanced written approval of the Chief Compliance Officer.

Permissible hospitality may be provided to Visiting Officials from a single jurisdiction

no more than twice in any calendar year without the advanced written approval of the

Chief Compliance Officer.

Visiting Officials must pay for any incidental expenses they occur such as telephone,

mini-bar, laundry, or other expenses or charges, and they must be so advised upon their

arrival at the property.

Entertainment for Visiting Officials who are visiting for purposes of promotion,

demonstration or explanation of the Company’s products and services must be limited to

one ticket per Visiting Official per visit for on-site entertainment. No entertainment may

be provided where the visit relates to the execution or performance of a contract.

Visiting Officials may be provided with only one free meal at which LVSC personnel

are not present and any hosted meals, whether or not LVSC personnel are present, must

be reasonable in cost considering both the location where the meal is provided and where

the official is from.

Other welcome or hospitality benefits of minimal value -- such as a fruit basket or

flowers in a guest’s room -- are permissible for Visiting Officials.

Visiting Officials may not be provided with any other hospitality, including alcohol

(apart from reasonable beverages at an approved meal), casino benefits, or adult

entertainment.

3. Customer Visits by Unidentified Officials. Other patrons and guests may come within the

broad definition of “foreign official” that is found in the FCPA, but their status may be unknown

to the LVSC personnel who are recommending or authorizing a benefit. These foreign official

guests may be treated the same as any other guest and may be provided any complimentary or

discounted hospitality or benefits on same basis as guests who are not public officials.

Casino Operations

Many players or other patrons of LVSC casinos may be “foreign officials” as that term is defined

under the FCPA. From time to time, even some Premium Players at our casinos may be

classified as “foreign officials” under the FCPA. These individuals may be provided no special

hospitality or benefits different from those that are provided to other similar players or patrons.

1. Foreign Officials Generally. Casino players who are known to be or are identified as

foreign officials are to receive no complimentary or preferential treatment in our casinos on

account of their status as foreign officials -- no free chips, extensions of credit, VIP treatment, or

other benefits.

Page 5: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

5

2. Premium Players. Premium Players are those patrons whose level of business is such that

LVSC, as a matter of general policy, provides certain courtesies, benefits, or complimentary

services.

Premium Players who are foreign officials, but whose status is unknown to LVSC

personnel who are recommending or authorizing the benefit, are entitled to benefits on

the same basis as Premium Players who are not foreign officials.

Where Premium Players are known to be foreign officials by LVSC personnel who are

recommending or authorizing the benefit, casino managers are required to confirm with

the Chief Compliance Officer that any benefits provided are consistent with local law and

the law of the foreign official’s home country and are extended on the same basis as

benefits provided to Premium Players who are not foreign officials.

Record-Keeping

It is the responsibility of every employee and agent of LVSC to ensure that all benefits provided

under this Policy be fully and accurately reflected on the Company’s books and records. The

following information must be documented to substantiate each benefit provided under this

Policy:

Benefit provided and its value

Date

Location and establishment

Name, title and employer/government affiliation of the official(s)

Names and affiliations of all other persons participating

Business purpose.

Questions and Written Exceptions

For the avoidance of doubt, to the extent this Policy or the Guidelines contained in this Policy

may appear inconsistent in any way with LVSC’s Complimentary Policy, this Policy and the

Guidelines control. Any questions about this Policy or these Guidelines should be directed to the

General Counsel or the Chief Compliance Officer of Las Vegas Sands Corp.. Other than where

this Policy has expressly assigned approval authority to the Chief Compliance Officer, no

exceptions to these guidelines may be authorized without the prior written consent of the General

Counsel of Las Vegas Sands Corp.

Thank you for being constantly attentive and sensitive to these critically important ethical

standards, which apply to all LVSC properties and operations worldwide.

those of Singapore, the U.S. Foreign Corrupt Practices Act (“FCPA”) and the Sarbanes-Oxley Act of

2002. This Policy reflects the fundamental values of Marina Bay Sands and LVSC, and all employees,

consultants and agents employed by Marina Bay Sands are expected to honor them fully, both in letter

and spirit. Violation of this Policy can be grounds for immediate termination.

Under the laws of every state and country in which we do business, it is a crime to pay a bribe to obtain or

maintain government business or to obtain an unfair advantage. Under applicable law, Marina Bay Sands

may not offer or give anything of value, advantage or gratification, directly or indirectly, to, or for the

benefit of, any (i) public servant or government official, (ii) government agency, (iii) officer of political

party, or (iv) candidate for political office, in exchange or as an inducement for influencing any public or

government official action in favor of the Company.

“Anything” means anything as liability can attach from the first dollar and includes currency, monetary

instruments and in-kind payments and gifts.

“Directly and indirectly” includes to the public servant or government official (as broadly defined above),

to their family members, and through third-parties such as agents, consultants, junketeers, and other

contractors.

The terms “public servant” and “government official” are interpreted broadly and include employees as

well as those who are appointed or elected. It also includes employees of state owned or controlled

enterprises including public bodies as well as governmental bodies. This means gaming licensing

government officials are “public servants” and “government officials” for purposes of this Policy.

It is the policy of Marina Bay Sands and LVSC to comply with all applicable laws, including anti-

corruption laws such as the FCPA, and to avoid even the appearance of impropriety.

The laws of the various jurisdictions in which we operate allow companies to promote their businesses to

government customers even though there may be a benefit – travel, lodging, entertainment, meals –

offered or given to the public servant or government official, provided that no corruption or intent to

corrupt is involved and in certain circumstances within prescribed financial limits. Promotional

expenditures, like meals and entertainment, are subject to local laws and regulations and Company

restrictions. This Policy is intended to provide general guidance on appropriate promotional activity.

Further detailed guidance is provided in the Company’s Complimentary Policy.

As all of our financial records must be complete and accurate, any payments to or for the benefit of public

servants, government officials or entities must be recorded accurately and fairly in our books, records, and

Hotel and Resort Operations

Different guidelines apply for the provision of hospitality for public servants and government officials

depending on whether a given public servant or government official falls within one of the four categories

outlined below. In all cases where Marina Bay Sands knows it is interacting with a public servant or

government official, Marina Bay Sands must follow the local written law as well as this Policy.

1. Regulatory and Decision-making public servants and Government officials. No benefits shall be

provided to public servants and government officials who exercise regulatory authority over Marina Bay

Sands, Sands China Limited (“SCL”), Venetian Macau Limited (“VML”) or LVSC, those who have

presently pending before them a decision directly related to the business of Marina Bay Sands, SCL/VML

or LVSC (“Regulatory and Decision-making public servants and Government officials”), or those we

reasonably anticipate may have such decisions pending before them in the future, unless the provision of

such benefits has been approved in advance and in writing by the Chief Compliance Officer of LVSC and

is consistent with the Guidelines applicable to Visiting public servants and Government officials below.

Examples of Regulatory and Decision-making public servants and Government officials include gaming

licensing government officials of jurisdictions where the Company enjoys a gaming license (or plans to

obtain one), public servants and government officials who are considering a bid by Marina Bay Sands,

SCL/VML or LVSC to provide conference facilities and services for a government-sponsored event, tax

authorities who are considering an appeal of a disputed tax issue, public servants or government officials

with discretion over the company’s construction permits or land concessions, labor public servants and

government officials with authority over our employees and employee practices, and public servants and

government officials who approve or inspect construction or health/safety at our facilities.

2. Visiting public servants and Government officials. Periodically, individual public servants and

government officials or delegations of public servants and government officials visit Marina Bay Sands or

other LVSC properties to observe their operations (“Visiting public servants and Government officials”).

This may occur when Visiting public servants and Government officials are considering legislation

permitting gaming within their jurisdictions or whether to hold a convention at Marina Bay Sands or

another LVSC property. It may also occur when Visiting public servants and Government officials

otherwise visit our facilities for reasons related to their public or government official responsibilities, such

as to conduct a contractually required inspection of our gaming operations. Provided that no corruption

or intent to corrupt is involved and that such benefits are allowed under the law of the country where the

Visiting Official is from, Singapore and U.S. law permit reasonable and bona fide expenditures on public

servants and government officials where the expenditure is directly related to (a) the promotion,

demonstration, or explanation of our products and services; or (b) the execution or performance of a

contract. However, such expenditures must not be intended to improperly influence in any way the

Visiting public servant’s or Government official’s exercise of his or her discretionary authority as a public

servant or official. In these situations, the following general guidelines apply.

The visit must be for a bona fide business purpose and not primarily or substantially personal,

recreational, or otherwise unrelated to the Visiting public servant’s or Government official’s

government official responsibilities.

The visit and associated expenditures must be lawful under the law of the Visiting public

servant’s or Government official’s home country.

No benefits of any sort may be provided to spouses or other immediate family members of

Visiting public servants and Government officials, although family members are permitted to

stay in the Visiting public servants and Government official’s hotel rooms.

The following additional specific limitations apply to the provision of complimentary or discounted

hospitality to Visiting public servants and Government officials:

Any hotel accommodations, whether provided without charge or discounted, for Visiting public

servants and Government officials must be reasonable under all the circumstances. For example,

VIP suites are not to be used without the advanced written approval of the Company’s General

Counsel.

Visiting delegations should be reasonable in size in relation to the purpose of the visit. Rooms

that are provided without charge or discounted should only be provided for as many nights as are

reasonable and necessary in light of the business purpose of the visit. In no case can the visit be

for more than three nights without the advance written approval of the Company’s General

Counsel.

Discounted or paid commercial airfare may be provided to Visiting public servants and

Government officials under appropriate circumstances and with the advanced written approval of

the Company’s General Counsel. Visiting public servants and Government officials may not,

however, be provided with transportation on the Company or other LVSC aircraft. The

Company will not pay for first class air travel. Business class airfare may be provided for

must be limited to one ticket per Visiting public servant and Government official per visit for on-

site entertainment. No entertainment may be provided where the visit relates to the execution or

performance of a contract.

Visiting public servants and Government officials may be provided with only one free meal at

which the Company or LVSC personnel are not present and any hosted meals, whether or not the

Company or LVSC personnel are present, must be reasonable in cost considering both the

location where the meal is provided and where the public servant or government official is from.

Other welcome or hospitality benefits of minimal value -- such as a fruit basket or flowers in a

guest’s room -- are permissible for Visiting public servants and Government officials.

Visiting public servants and Government officials may not be provided with any other

hospitality, including alcohol (apart from reasonable beverages at an approved meal), casino

benefits, or adult entertainment.

3. Customer Visits by Unidentified public servants and Government officials. Other patrons and

guests may come within the broad definition of “public servant” and “government official” that is found

in applicable anti-corruption laws, but their status may be unknown to the Company’s personnel who are

recommending or authorizing a benefit. These public servant and government official guests may be

treated the same as any other guest and may be provided any complimentary or discounted hospitality or

benefits on same basis as guests who are not public servants or government officials.

Casino Operations

Many players or other patrons of the Company’s casino may be “public servants” or “government

officials” as that term is defined under the applicable anti-corruption law. From time to time, even some

Premium Players at our casinos may be classified as “public servants” or “government officials.” These

individuals may be provided no special hospitality or benefits different from those that are provided to

other similar players or patrons.

treatment in our casinos on account of their status as public servants or government officials -- no free

chips, extensions of credit, VIP treatment, or other benefits.

2. Premium Players. Premium Players are those patrons whose level of business is such that the

Company, as a matter of general policy, provides certain courtesies, benefits, or complimentary services.

Premium Players who are public servants or government officials, but whose status is unknown to

the Company’s personnel who are recommending or authorizing the benefit, are entitled to

benefits on the same basis as Premium Players who are not public servants or government

officials.

Where Premium Players are known to be public servants or government officials by the

Company’s personnel who are recommending or authorizing the benefit, casino managers are

required to confirm with the Company’s General Counsel that any benefits provided are

consistent with applicable law and are extended on the same basis as benefits provided to

Premium Players who are not public servants or government officials.

Record-Keeping

It is the responsibility of every employee and agent of Marina Bay Sands to ensure that all benefits

provided under this Policy be fully and accurately reflected on the Company’s books and records. The

following information must be documented to substantiate each benefit provided under this Policy:

Page 13: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

3

Page 14: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

4

Las Vegas Sands Corp.

Page 18: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

3

Page 19: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

4

Las Vegas Sands Corp.

entregan a funcionarios públicos

indirectamente a cualquier (i) funcionario de gobierno extranjero, (ii) organismo gubernamental

Page 21: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

2

Page 22: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

3

efectivo.

Page 23: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

4

funcionario.

Page 24: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy

5

Page 25: 1 Policy for the Las Vegas Sands Corp. Anti-Corruption Policy
