q  Debt:

•  gets  paid  back  first,  before  any  dividends  get  paid  

•  secured  by  assets  (company,  your  personal)

•  once  debt  is  repaid  (with  interest  of  course),  lender  gets  nothing  else

•  never  has  to  be  “repaid”

•  keeps  on  “paying”  forever
