2. PRE-REQUISITE FOR REAL ESTATE OWNERSHIP: Clients must

first be a share owner of any leisure club in Anvaya before they can

be eligible to purchase a lot or unit.

3. NO DIVIDENDS: Club has been organized on a non profit basis for

the sole benefit of its shareholders (no dividends)

4. DUES: Monthly dues shall be payable to the Club

5. HOLDING PERIOD: Holding period of 3 years from start of

commercial operations March 2008

6. RIGHT OF FIRST REFUSAL: Shares will be subject to the Club’s

right of first refusal to purchase the share at the offered price

7. REGULAR DEPENDENTS: Spouse & unmarried legitimate children
