The Companies Act 2013 ( Amendment)( Section 149) Mandatory RequirementsThe Securities and Exchange Board of India vide its circular dated 17th April, 2014 made it mandatory for
a) All the listed companies to appoint at least one Woman Director on their Board of Directors by 31st March, 2015 in alignment with the requirement of Section 149 of the Companies Act, 2013, under corporate governance norms.
b) Every other public company having paid up share capital of Rs. 100 crores or more or
c) turnover of Rs. 300 crore or more as on the last date of latest audited financial statements,
shall also appoint at least one woman director within 1 year from the commencement of second proviso to Section 149(1) of the Act.
