Introduction

1. Purpose of the CodeTheAirEnergiCodeofBusinessConductgovernshowAirEnergiconducts itsbusinessaffairsacrosstheworld.Thegroupiscommittedtocomplyingwithallapplicablelegalrequirementsandtheethical/conductstandardssetoutinthiscodewhereverweoperate.

2. A Cornerstone and Starting PointThecodeisthecornerstoneofourcommitmenttointegrityandissupportedbyadditionaldetailedpoliciesandprocedurestofurtherimplementitsprinciples.ItcannotaddresseverysituationandthereforeanyareasofdoubtmustberaiseddirectlywiththeRegionalVPorFunctionalDirectororGroupCEO.Thecodeisnotasubstituteforourindividualresponsibilitiesforexercisinggoodjudgementandcommonsenseandprotectingthegroup’sreputationforintegrity.

3. Differing Laws in Differing CountriesThecodesetsoutthebusinessconductrequirementsweexpectregardlessofoperatinglocation.Wheredifferencesexistasaresultoflocalcustoms,norms,lawsorregulationsthehigheststandardofbehaviourshould be applied. Any areas of doubt in this regardmust be raised directly with the Regional VP orFunctionalDirectororGroupCEO.

4. Who Must Follow the Code?Allstaffmustadheretothecodeinalltheirconductonbehalfofthegroup.Supervisorystaffhaveadditionalresponsibilitiestoleadbyexample;ensurethosethatreporttothemunderstandandcomplywiththecode’srequirements,andsupportemployeeswho,ingoodfaith,raisequestionsorconcerns.

Otherpartiesincludingconsultants,agentsorsupplierswhoareengagedtoworkonbehalfofthegroupshouldbemadeawareofthecodebythestaffmemberengagingthemandshouldoperateincompliancewithitwiththiscommitmentbeingacontractualrequirementwherepossible.

Thecodeappliestoalloperationsundergroupcontrol.Whereweareinvolvedinassociatedcompanies,jointventuresandallianceswherewedonothaveoperationalcontrolwewilla)seektoinfluencethoseincontroltoadoptsimilarprinciplesand/orb)onlyenterintosucharrangementswithpartieswhoadoptsimilarprinciples.

5. Breaches of the CodeWehavea zero tolerancepolicy forbreachesof thebusiness conduct code. Any suchbreacheswill betakenveryseriouslyandmayresultindisciplinaryactionuptoandincludingdismissal.Forsomebreachesadditionalconsequencescouldincludefinesandimprisonment.

6. Questions and Raising of ConcernsIfyouhaveanyquestionsabouttheapplicationofthecodeorthepropercourseofactionunderthecodeyoushouldconsultyourlinemanager,yourRegionalorFunctionalVPortheGroupCEO.Youhaveadutytospeakupifyouidentifyanybreachesorpotentialbreachesofthecodeofwhichyoubecomeaware,whethertheserelatetoyourself,directreportsorothers.Againthelinesofreportingareyourlinemanager,yourRegionalorFunctionalVPortheGroupCEO.

Anystaffmemberorconsultantwhoingoodfaithseeksadvice,raisesaconcernorreportsmisconductisfollowingthiscodeanddoingtherightthing.Noretaliationagainstthatpersonwillbetolerated.Anysuchretaliationwillbeinvestigatedandappropriateactiontakenincludingdisciplinaryactionuptoandincludingdismissal.

AtAirEnergiouraspirationsare-noaccidents,noharmtopeopleandminimisedimpactontheenvironment.Nothingwedoissoimportantthatwecannottakethetimetodoitsafely.Weallhavearesponsibilitytoworksafelyandtoprotectourselves,othersandtheenvironment.Everyonehastherighttohaltworkatanytimeifhealthandsafetyisbeingcompromised. Health, Safety and SecurityWeregardthemanagementofhealthandsafetyasanintegralpartofourbusinessandasamanagementpriority.Itisourpolicythatallactivitieswillbecarriedoutinasafemannerandwewillensurethehealth,safetyandwelfareofouremployeesandotherswhomaybeaffectedbyouractivities.Allapplicablehealthandsafetylawswillbefullycompliedwith.

Weworkinconjunctionwithourclientstoensurethesafetyandwell-beingofconsultantsatclientsites.Weensureallconsultantsonclientsitesaremadeawareofandareinstructedandcontractuallyboundtofollowallapplicableclientsafetyrules,policiesandcodesofpractice.

We take all reasonable steps to ensure the health, safety, security andwelfare of staff and consultantswhentheytraveloverseasaspartoftheirwork.Adviceonoverseastravelisobtainedfromtherelevantgovernmentbodiesandadvisors.Wheretheriskisconsideredunacceptable,staffandconsultantsarenotbeallowed to traveloverseasaspartof theirwork.Weensure thatarrangements, includingemergencyarrangements,areinplacepriortotravelandprovideadequateinformation,instructionandtrainingtothoseworkingoverseas.Specificpoliciesandinstructionsregardingmedicalcareandevacuationarecommunicatedtostaffandconsultantspriortomobilisationandanychangesaremadeknowningoodtime.Intheeventofamedicalemergencyand/orevacuation,weliaisewithallapplicablepartiestoensureitseffectiveandefficientoperation.

Wemaintainadrugandalcoholfreeworkplacetoworksafely,effectivelyandproductively,andtoremainalertandresponsivetoinstructionandawareoftheconsequencesofouractions.Theuseofillegaldrugsortheinappropriateuseoflegaldrugsoralcoholisnotpermittedwhilecarryingoutgroupbusinessnorisitcondonedatothertimes.

Wemaintainareportingsystemforincidents,accidentsandanyconcernsabouthealth,safetyorsecurity.Allsuchreportsareinvestigatedandappropriateactiontakenwhetherthatbeactiontoeliminateorminimiseriskortolearnandimproveperformance,policiesorproceduresgoingforward.

Asweconductbusinesswemayencounteravarietyofcomplianceissues,particularlyintheareasdescribedbelowandelsewherewithinthecode. Whileweaimtoensureawarenessoftherelevant legalposition,ignoranceofthelawisnodefenceandeachofushasapersonalresponsibilitytoensurewearefamiliarwiththelawswhichapplytoourjobduties.

Bribery and CorruptionWearecommittedtoazerotoleranceofbriberyandcorruption.Thiscommitmentextendstoallthegroup’sbusinessdealingsandtransactionsinallourcountriesofoperation.Fortheavoidanceofanydoubt,staffandconsultantsmustneveracceptorgiveabribeorbeinvolvedinanyotherimproperconduct,whilstactingonbehalfoftheGroup.Ourzerotolerancepolicyisgivenforceinadetailedanti-briberyprogrammewhichisregularlyreviewedtocapturechangesinlaw,reputationdemandsandchangesinthebusiness. CompetitionWeact incompliancewithallapplicablecompetition/anti-trust laws.Whilewecompetevigorously inourmarketplacewedosoonthebasisofthemeritsofourservices,thepriceswechargeandtheloyaltyweearn.Wedonotmakearrangementswithcompetitorstosetprices;allocateclients,territory,marketsorservices;fixconditionsofsaleordeterminetowhomtobidorfromwhomtopurchasegoodsandservices.

Consultants/CandidatesWeunderstandourconsultants’/candidates’careerrequirementsandaspirationsandstrivetointroducethemtoalignedopportunitieswithourclients. Information, Assests and Financial Integrity

Wehavearesponsibilityaswellasalegaldutytoprotecttheintellectual,physicalandfinancialcorporateassetsofAirEnergi.Inappropriateorunauthoriseduseofourassetsdiminishesourabilitytoperforminthebestwaywecan.Wemustsafeguardcorporateassets,dealappropriatelywithconfidentialinformation,andavoidinsidertradingandconflictsofinterest.

Data, Records, Reporting and AccountingWearecommittedtohonest,accurate,complete,reliableandobjectiverecordingandreportingofinformation,whetherfinancialornon-financial.Thiscommitmentisessentialforourcredibilityandreputation,meetinglegalandregulatoryobligations,meetingourcommitmentstoourstakeholdersandinformingandsupportingourbusinessdecisionsandactions. FinancialdatamustconformwithgenerallyacceptedaccountingprinciplesandAirEnergireportingpolicies.Otherdatamustalsobeaccurateandcomplete.

We maintain proper internal controls to ensure truthful, accurate, complete, objective, timely andunderstandablefinancialandmanagementreports.

Documentsandrecordsareretainedinaccordancewithapplicablelawsandregulationsonrecordretention.

Protection of AssetsAirEnergiandclientassets,includingproperty,time,proprietaryinformation,corporateopportunities,fundsandequipmentarenotmisusedorwasted. Equipmentprovided forwork isnotused fornon-corporatebusinessthoughincidentalpersonalusemaybepermittedaslongasitdoesnotviolateanyprovisionofthisCodeofBusinessConductorothercorporatepoliciesandprocedure.

Confidentialinformationisprotected.Anynecessaryinformationsharingwiththirdpartiestoenableeffectiveworkingissubjecttodirectorapproval.

Conflicts of Interest/Outside WorkAir Energi respects the privacy of its staff howeverwhen personal, social, financial or political activitiesinterfereorhavethepotentialtointerferewithloyaltyandobjectivitytothegroupaconflictofinterestariseswhichmustbesatisfactorilyresolved.Actualconflictsshouldbeavoidedbutalsotheappearanceofconflicts.

ThefollowingsituationsrequiredisclosuretoandreviewbytherelevantVP/FunctionalDirectorand/ortheGroupCEOtoavoidorresolveanyapparentconflictsofinterest:

• Outsideworkforbusinesspartners(clients,consultants,suppliersetc)

• Ownershipbystaffmemberortheirfamilyofasignificantinterest(>1%)inacompanywhich doesorseekstodobusinesswithorisacompetitorofthegroup

• Servingasadirector,officer,partner,consultant,manageroremployeeofanoutsidecompany whichdoesorseekstodobusinesswithorisacompetitorofthegroup

• Actingasabroker,finder,go-betweenorotherwiseforthebenefitofathirdpartyintransactions involvingorpotentiallyinvolvingthegrouporitsinterests

• Anyotherarrangementorcircumstance,includingfamilyorpersonalrelationships,which mightdissuadethestaffmemberfromactinginthebestinterestofAirEnergi

Additionalpart-timeworkwithorganisationswhicharenotcompetitorsorbusinesspartners issubjecttomanagementapprovalwhichwillnotbeunreasonablywithheldsubjecttooutsideworknotbeingdoneonAirEnergitime,notinvolvinguseofgroupresources,andnotinterferingorpreventingthestaffmemberfromdevotingthetimeandeffortneededtofulfiltheirprimarydutiesandobligationsasanAirEnergiemployee.

Data Privacy and ProtectionWe are committed to respecting the confidentiality of our staff members’ and consultants’/candidates’personalinformation.Itisourpolicytoacquireandretainonlypersonaldatathatisrequiredfortheeffectiveoperationofthegrouporthatisrequiredbylawinthecountrieswhereweoperate.Accesstopersonaldataislimitedtopersonnelwhohavetheappropriateauthorisationoravalidbusinessreason.Useofpersonaldataisrestrictedtothepurposeforwhichitwascollectedandthedataisonlyheldforaslongasnecessarytomeetthelegalorbusinessreasonforwhichitwascollected.Wearecommittedtocompliancewithalldataprivacy/protectionlawsapplicabletoouroperations.
