NOTICE OF 38TH ANNUAL GENERAL MEETING, E-VOTING AND BOOK CLOSURENOTICE is hereby given that the 38th Annual General Meeting (the Meeting) of the members of ZF STEERING GEAR(INDIA) LIMITED will be held on Monday, August 27,2018 at 3.00 p.m. at Gat No. 1242144, Village Vadu Budruk, Tal.Shirur, Dist. Pune-412 216.

Notice is also given pursuant to Section 91 of the Companies Act, 2013 (the Act) and Regulation 42 of the SEBI (ListingObligations and Dtsclosure Requirements) Regulations, 2015 the .Register of Members and Share Transfer Books of theCompany will remain closed from August 21,2018 to August 27,2018 (both days inclusive) for the purpose of AnnualGeneral Meeting.Notice of the Meeting, setting out the Ordinary business to be transacted thereat, together with the Audited FinancialStatement including the Consolidated Financial Statement for the financial year ended March 31, 2018, Auditors' Reportand Directors' Report has been sent to the members to their registered addresses by courier! registered post andelectronically to those members who have registered their e-mai addresses. Members are hereby informed that theNotice of the meeting and the aforesaid documents are available on the Company's website (www.zfindia.com) andcopies of the said documents are also available for inspection at the Registered Office of the Company on all workingdays, exceptThursdays, during business hours up to the date of the meeting.

A member entitled to attend and vote at the meeting is entitled to appoint a Proxy to attend and vote on a poll instead ofhimself! herself and the Proxy need not be a member of the Company. The instrument appointing Proxy to be validshould be deposited at the Registered Office of the Company not less than 48 hours before the commencement of themeeting.REMOTE E·VOTING INFORMATION FOR 38TH ANNUAL GENERAL MEETING (AGM)

The members are hereby informed that pursuant to Section 108 of the Act, read with Rule 20 of the Companies(Management and Administration) Amendment Rules, 2015 (the Rules), the Company is pleased to provide itsMembers the facility to cast their vote by electronic means on all the Resolutions setforth in the Notice. Members holdingshares either in physical form or in dematerialized form, as on the cut-off date of August 20,2018, may cast their voteselectronically on the Ordinary Business as set out in the Notice of the AGM through electronic voting system of CentralDepository Services Limited (CDSL). The details pursuant to the provisions of the Act and the Rules are givenhereunder:

a) Date of Completion of Sending of Notice: August 1,2018.b) Date and time of Commencement of e-voting: August 24, 2018 (9 a.m.)

c) Date and time of end ofe-voting: August 26, 2018 (5 p.m.)d) Voting through electronic means shall not be allowed beyond 5.00 p.m. on Sunday, August 26, 2018. Once the vote

on a resolution is cast by the Member, the Member shall not be allowed to change it subsequently.

e) The Company has appointed Mr. I. U. Thakur, Practicing Company Secretary, as the Scrutinizer for conducting thee- voting process in fair and transparent manner.
