IntroductionOn November 9, 2015, Susquehanna officially will become fully integrated into BB&T. The cash management services you used on Susquehanna Cash Management Online Banking will transition to CashManager OnLine, BB&T’s internet based cash management service. This will be your portal for ACH Origination, Positive Pay, Reverse Positive Pay, Wire Transfer Services, Account Transfers, Current and Previous Day Information in addition to full administration functionality and a dashboard view of vital data.

Getting StartedWe are delighted to offer you a “preview period” which will afford you the opportunity to log on to CashManager OnLine on Monday, October 26, 2015, two weeks prior to the transition date of November 9, 2015. While you will not be able to transact business (wire funds, etc.) during the preview period, you will be able to establish and entitle templates and users, and become familiar with the application. It’s also important that all users participate in all training sessions relevant to their role prior to November 9. The preview period allows you to transition from the Susquehanna Cash Management Online banking service to BB&T CashManager OnLine as seamlessly as possible. We want to help you make the transition – so at any point, no matter how insignificant a question might seem to be, we invite you and all users of online banking to call us to assist you. Our transition team is ready to help! 800-525-8763, 8 a.m. - 6 p.m. ET, Monday through Friday.

Your logon credentials, a Quick Desktop Guide, Step-by-Step Guide, webinar training schedule and a Transition Checklist are included in this package. Your tokens will be sent under separate cover.

REMINDER: As you transition to CashManager OnLine during the week of November 9, 2015, please remember that Wednesday, November 11, is Veterans Day. Banks are closed so please plan your payments accordingly.

General Information ■ CashManager OnLine does not support Direct Connect for Quicken® or Quickbooks®. CashManager OnLine does support WebConnect which provides a file export option.

■ Mobile Deposit is not available for commercial customers through the CMOL mobile application. If you are identified as an active mobile deposit user, you will be setup on BB&T’s Small Business OnLine platform where you can continue to enjoy mobile deposit functionality via the BB&T Mobile Banking app.

■ CashManager OnLine does not support personal accounts. Clients with personal accounts automatically will be enrolled in BB&T Online Banking.

■ Susquehanna Online Banking will be available for 90 days post conversion for view only. ■ You will receive your statements electronically through CashManager OnLine. You also will receive a paper statement. You can elect to suppress the paper statement by calling 800-774-8179.

Trusteer Rapport: ■ BB&T’s CashManager OnLine has a unique logon requiring a Vasco token and Trusteer Rapport. ■ If you do not have Trusteer Rapport installed on your computer, you will be prompted to install it when you log on to CashManager OnLine.

Bill Pay:If your organization was identified as an active Business Bill Pay commercial client on Susquehanna Cash Management Online Banking, that functionality will transition to BB&T’s Small Business Online®. You will be able to access Small Business Online after the conversion date of November 9, 2015. There will not be early access to BB&T’s Small Business Online. You will receive a separate mailing with your User ID, temporary password and transition information. Small Business Online will be converting your bill pay payees and recurring or future dated bill payments. For additional information on BB&T online banking, you can go to BBT.com/WelcomeToBBT.

New CashManager OnLine Features: ■ Data history retention at BB&T is 187 days. ■ CashManager OnLine clients will be able to view images of return deposit items through prior day reporting.

■ BB&T can set your dual approval requirements so that all payments functions always require dual approval and cannot be changed by fraudulent access. If you would like BB&T to establish this additional security feature for your business, please contact our transition team at 800-525-8763.

Transition Steps by Service

Administration: ■ The primary user of record is the recipient of this package and will serve as the company administrator to begin the transition. Enclosed are your administrator credentials and temporary password.

w As part of BB&T’s Standard Security Protocol, BB&T cannot serve as administrator for your business. You can however delegate administrator functions to as many users as necessary.

■ It is recommended that the primary administrator establish a secondary user with administrator rights.

OK – what’s next…

■ NEW: Administrators will be able to create new, modify existing and disable individual users. Important note: these functions are managed by the administrator, not by BB&T on behalf of your company. BB&T recommends that the primary administrator also entitle a secondary administrator to perform administrative tasks such as resetting passwords and user entitlements.

■ The primary administrator will start by creating and entitling users to accounts and services, determine limits for transactional services, and determine levels of access (initiate, approve.) Start by creating one user, then use the “Copy” feature to speed up the new user set up process. You can then edit entitlements! Pay attention during the training to this – it will save you time now and down the road too!

■ One more important point for the primary administrator. CashManager OnLine Mobile App. Be sure to entitle all users and then ask them to go to the Apple App Store or Google Play to download the app. Using the app you can:

w Receive notifications for pending wire and account transfer approvals w Receive “push” notifications (no need to log on to CashManager OnLine to approve pending wires

or transfers requiring next level approvals!) w Please note that at this time, the mobile app does not support ACH approvals w Transfer funds between accounts at BB&T w Select administration functions to reset a user password, activate/deactivate a user or delete

a user token w Users can change their password w See current day and previous day balances and transactions (no full statement view) w Perform transaction search w Find the nearest branch or ATM

Alerts: ■ Alerts are referred to as event notifications and each user must set up their personal event notifications.

■ Users can select multiple accounts and event notifications will be sent to the email address displayed on the My Notification screen. To modify your email address, go to “My Profile.”

■ Administrative alerts also may be sent to a mobile device via text. ■ E-statements - You no longer will receive an email notification when statements are available. Instead, simply go to Reports/Image Statements/Deposit Savings Statements.

Account Transfer: ■ You will be prompted to use your token to complete an account transfer. ■ Account Transfer cut-off is 9 p.m. ET; Loan Transfer cut-off is 7 p.m. ET. ■ Any pending Account Transfers with a scheduled transfer date after 3 p.m. ET on November 6, 2015, will not be processed.

■ The Account Transfer Service does not allow a draw on lines of credit or loans. ■ We’re sorry! Recurring transfers will not be migrated to CashManager OnLine. Be sure to re-establish any recurring transfers during the Preview Period.

Stop Payment: ■ BB&T has more stop payment duration options. In addition to 6 months, you can select 12, 18, 24, 36, 48, 72, and 84 and you now can cancel a stop payment on line via CashManager OnLine.

■ You can now place a stop payment up to 9 p.m. ET. ■ While your existing stop payment orders will be carried to the BB&T system, you only will be able to view those stop payment orders you originate in CashManager OnLine.

ACH ■ Any pending ACH batches in your Susquehanna Cash Management Online Banking service that you desire to be processed should be approved and submitted by 3 p.m. November 6, 2015. If you have future dated transactions that have been previously approved and are now poised to be processed after November 6, they will be processed, however you only will have access to view and will not be able to modify or cancel those transactions. We strongly recommend, if at all possible, that you do not submit and approve any ACH batches with effective dates beyond November 6. If you have questions about ACH processing on November 6, or processing of future dated transactions after November 6, please contact our transition team at 800-525-8763.

■ Do not submit any ACH batches for processing via CashManager OnLine until Monday, November 9, 2015. ACH batches initiated via CashManager OnLine during the Preview Period will not be processed.

■ Your Susquehanna Cash Management Online Banking ACH template batches or Bill Pay Direct Deposit Payroll transactions will not be migrated to CashManager OnLine. All ACH template batches and Bill Pay Direct Deposit Payroll transactions should be recreated on CashManager OnLine during the Preview Period.

■ When you create your ACH template batches on CashManager OnLine during the Preview Period please do not include ACH settlement offset entries. BB&T will automatically generate ACH origination settlement entries to your predefined ACH settlement account(s).

■ Below are instructions for retrieving copies of your ACH template batches or Bill Pay Direct Deposit transactions from Susquehanna Cash Management Online Banking.

ACH File Download / Export to NACHASusquehanna Bank requires balanced ACH batches. BB&T requires unbalanced (debits or credits ONLY)

ACH batches. Based on the type of file you have built, you will need to remove the offsetting item (debit or credit) in your batch prior to downloading / exporting.

1. On the initial landing page, click Cash Management. The ACH Batch List appears.

2. Locate the batch you would like to download / export in the Options dropdown box to the right, select Edit. The Edit Batch detail appears.

3. Locate the offsetting debit or credit item, select Delete. The Delete ACH Record appears.

4. Select Delete, to confirm your prior selection. The Edit Batch detail appears with a note: Information Message: Record successfully deleted.

5. Select Submit at the bottom of the batch detail. The ACH Batch List appears.

6. Locate the batch you just edited. NOTE – batch amounts (debit and credit) column will be in RED. In the Options dropdown box to the right, select Download. The Download Batch appears.

7. In the Select Format dropdown box, select the download format NACHA. The page will refresh with an additional option of Submit.

9. Select ACH Record Download hyperlink. A browser dialog box will appear to Open or Save the file.

8. Select Submit. The page will refresh with instructions to download or view.

11. Log on to BB&T CashManager OnLine to upload your ACH file and originate.

10. Select Save. You will be prompted to save the NACHA file to a local directory on your computer.

Susquehanna Cash Management Online Banking

Enabled the current business day to be assigned as the effective date to an ACH batch, resulting in you receiving a same day memo-post for the ACH origination settlement dollar amount.

Susquehanna memo-posts received ACH credits and debits at 8 a.m., 11 a.m., 3 p.m. and 5 p.m. ET

Memo-posts ACH origination balanced offset settlement entries at 8 a.m., 11 a.m., 3 p.m. and 5 p.m. ET.

CashManager OnLine

Does not support the ability to assign the current business day to your ACH batch.

Memo-posts received ACH credits at 7:30 a.m. ET. Currently BB&T does not memo-post received ACH debits.

Memo-posts ACH Origination CR/DR settlement entries to your ACH settlement at opening of business on the effective date of the ACH transactions with a hard post at end of the business on day.

CashManager OnLine Product Features Comparison

■ BB&T will post any received ACH return item to your account(s) that were designated previously with your Susquehanna Cash Management Online Banking service.

■ CashManager OnLine requires the final approver of an ACH template batch to provide their security token code to complete the approval process.

■ You are not required to send ACH batch control totals to BB&T. CashManager OnLine ACH batch control totals is not supported, instead you can rely on the ACH batch status (Pending, Released, Extracted) that CashManager OnLine assigns to the processing of your ACH batch.

■ CashManager OnLine supports recurring ACH payments that gives you the ability to create and submit ACH payments based on a recurring schedule.

■ CashManager OnLine offers a NACHA File Pass-Through feature that gives you the added convenience to upload and deliver a NACHA formatted file to BB&T through the CashManager OnLine platform.

■ You will receive your ACH Notifications of Return (NOR) and ACH Notifications of Change (NOC) as an online report via CashManager OnLine (users are entitled to CashManager OnLine’s Image Statement service). If you previously received your NOR and NOC information via secure email, you will continue to receive it via secure email.

■ BB&T automatically will generate ACH origination settlement entries to your predefined ACH settlement account(s); therefore, balanced offset settlement entries are not required nor allowed when creating your ACH template batches in CashManager OnLine. Administrator(s) should attend the CMOL CashManager OnLine: Your Role as Adminstrator training session to learn more about how to verify the predefined ACH settlement accounts that BB&T has established for your company.

■ BB&T requires ACH origination settlement accounts to be predefined and tied to a specific ACH Origination Company ID. See below for how to verify what ACH settlement Account is associated to an ACH Company ID.

How to verify what ACH Settlement Account is associated to an ACH Company ID

Click Path: Administration>Manage Users> locate Admin User and then select Edit> click Continue at bottom of screen until you reach the ACH Settings and Accounts Selection screen>Scroll to bottom of ACH Settings and Accounts Selection screen until you reach the Account Selection section which displays the following: Company ID, Company Name, Bank ID and Settlements Accounts.

When creating an ACH Template click on the Routing: drop down box and select the desired settlement account. In the below example, 8888888888/ACH Company2 has been selected. ACH settlement will be generated by BB&T and will post to settlement account XXXXXXXX4922 that’s associated with Company ID 88888888888 as noted in the above Account Selection screen.

Bill Pay Direct Deposit Payroll ■ If you used the Susquehanna Bill Pay Direct Deposit service, please complete the ACH Transition Steps outlined in this Guide. Your new Direct Deposit Payroll service will continue to require that you fund your payroll disbursement account prior to submitting your direct deposit payroll file to BB&T for processing.

■ Your Susquehanna Cash Management Online Banking ACH template batches or Bill Pay Direct Deposit Payroll transactions will not be migrated to CashManager OnLine. All ACH template batches and Bill Pay Direct Deposit Payroll transactions should be recreated on CashManager OnLine during the Preview Period.

■ Refer to your current Bill Pay information for individual employee detail. See example below: (If you need assistance, please contact our transition team at 800-525-8763).

1. On the initial landing page, click Bill Pay.

3. Select Payroll Deposits from the Payments landing page.

4. Select Employee Information to view employee list.

5. Select Edit for each employee listed to obtain Deposit Routing Number and Deposit Account Number.

6. Print and securely save each employee’s deposit account information.

7. Log on to BB&T CashManager OnLine during Preview Week to recreate your ACH Direct Deposit template batch.

Positive Pay

Positive Pay and Reverse Positive Pay (Important Reminders) ■ Your Stop Payment orders are handled separately from your Positive Pay information. Please review the Stop Payment section.

■ Your Positive Pay issue file must be separate from your void information. ■ If you have any Positive Pay or Reverse Positive Pay exceptions on Monday, November 9, a BB&T Treasury Management representative will be in contact with you to provide assistance and instructions.

■ Entitle your Positive Pay users to receive CashManager OnLine Event Notification email to notify users that Positive Pay or Reverse Positive Pay exceptions (or NO Exceptions) are available to review.

Positive Pay Deadlines ■ 11 a.m. ET, Friday, November 6, 2015, is the last business day and time to make your Positive Pay / Reverse Positive Pay decisions.

■ 3 p.m. ET, Friday, November 6, 2015, is the last business day and time to upload check issue information through your Susquehanna Cash Management Online Banking service.

■ Once you transition to CashManager OnLine, your exceptions will be available at 10:00 a.m. ET. ■ 2 p.m. ET is the deadline to submit return decisions for Positive Pay and Reverse Positive Pay exceptions on CashManager OnLine.

■ 7 p.m. ET is the deadline to submit issue files for same day processing. Issue files submitted after 7 p.m. are processed next business day.

Positive Pay (known as ARP - Account Reconcilement Process) Edit Upload File Format

Follow these steps to gather your ARP file format. Your file format options are CSV file or Fixed Position file.

1. On the initial landing page, click Cash Management.

2. Next click on ARP on the blue bar, then on the white bar click on Edit Upload Format.

Edit Upload Format: If Cash User is uploading a Fixed Position or CSV file they will need to establish where within their file various fields of information are contained. *Note: Item number and item amount are required fields.

Information Reporting ■ Susquehanna memo posts both debits and credits throughout the day. BB&T does not memo post debits on commercial accounts.

■ Information Reporting history will not be migrated. History will begin to accrue after the conversion.

■ Standard data retention is 187 days. For extended retention, we offer a variety of export options including .csv, BAI and Quickbooks.

■ You will receive Previous and Current day info as follows: w Prior Day Reporting:

§ Summary and Detail w Current Day Reporting:

§ Summary § Detail § ACH § Wire § Memo Posted Items. Note: Received ACH debits are not memo-posted. § Controlled Disbursement (If you are a Controlled Disbursement client at the time

of conversion). ■ Loan account information will be available for administrators to view and entitle users beginning Monday, November 9th.

Controlled Disbursement: ■ Two Controlled Disbursement reports are available at 7:30 a.m. and 10 a.m. ET.

Wire ■ The final approver of a wire transaction is required to provide their token code to complete the transaction.

■ All wire users should attend Wire Training. ■ BB&T’s Wire cut-off times are as follows:

w FED/Domestic - 5:30 PM ET w FED Tax - 3:00 PM ET w DRAW - 5:30 PM ET w INT - 5:00 PM ET

■ Any pending wires in your Susquehanna Cash Management Online Banking service that you desire to be processed should be approved and submitted by 3 p.m. November 6, 2015. Please review your Susquehanna “Wire Pending List” for a list of wires that will not be processed.

■ Wire templates will not be migrated from Susquehanna Cash Management Online Banking. ■ All wire templates should be recreated on CashManager OnLine during the Preview Period using the below instructions for retrieving copies of your wire templates from Susquehanna Cash Management Online Banking.

How to obtain Susquehanna Bank Online Wire Template Details1. Log in to Susquehanna Bank Online Banking

2. On the initial landing page, click Cash Management. Depending on the services you currently have with Susquehanna Bank, the ACH Batch List appears or the Wires Transmit List appears.a. If the ACH Batch List appears, select Wires from the blue menu bar below the Cash Management tab. b. If the Wires Transmit List appears, continue to step 3.

3. Select Edit/Add from the menu bar below Wires. The Edit/Add Wires List appears.

4. Locate the wire template you would like to obtain, to the right of the details, select Edit. The wire detail will display.

5. Print or save the details screen for use in re-entering your template information in BB&T’s CashManager OnLine. Repeat the process for each wire template you have established in Susquehanna’s Online Banking service.
