    Plaintiff World W restling Entertainment, lnc. ($$W WE''), by and through its undersignedattorneys, alleges the following in support of its Complaint against Defendants John and Jane

    Does and XYZ Corporations.

    NATURE O F THE CASE

    This is an action for trademark infringement, counterfeiting and dilution under the

    Larlham Act, 15 U.S.C. j 1051, #.1 seq., including the Trademark Counterfeiting Act of 1984, 15U.S.C. j 1 1 16(d), and related state law claims for trademark infringement and unfair competitionoccasioned by Defendants' unlawful m anufacture, distribution and/or sale of counterfeit

    merchandise bearing unauthorized copies of W W E's registered and unregistered trademarks and

    service marks. WW E brings this action to (i) protect its reputation for selling merchandise of the

    highest quality and grade; (ii) prevent deception of the consuming public by Defendants; (iii)retain control over the substantial goodwill associated with the numerous registered and

  • unregistered tradem arks and service m arks being unlawfully exploited by Defendants; and

    (iv) avoid thousands of irretrievably lost sales.To achieve these goals, W W E, through an Ey, Parte M otion for a Temporary

    Restraining Order ($1TRO''), Order f0r Seizure of Counterfeit Marked Goods and Order to ShowCause Why a Preliminary lnjunction Should Not lssue (t$Ex Parte Motion'') filed concurrentlyherewith and incorporated herein by reference, seeks an order from this Court authorizing the

    seizure of:

    (i) al1 counterfeit merchandise found in the possession, custody orcontrol of Defendants that bears any of W W E'S registered and/orunregistered m arks, any confusingly similar m arks, or the names orlikenesses of any of its m estlers;

    (ii) any means of making such counterfeit merchandise; and

    (iii) all records documenting the manufacture, receipt, distribution,offering for sale or sale of such counterfeit m erchandise.

    W W E seeks to have a11 such counterfeit merchandise and associated documents and materials

    seized until a hearing can be held before this Court to determ ine the disposition of any such

    goods, materials and/or documents seized.

    WWE also seeks a TRO and a preliminary and pennanent injunction barringDefendants from unlawfully infringing W W E'S intellectual property rights through Defendants'

    manufacture, distribution and/or sale of counterfeit m erchandise bearing any of W W E'S

    registered or unregistered marks, the nnmes or likenesses of its wrestlers, or any other word or

    name that is likely to cause confusion or mistake or to deceive during W W E'S nationwide totzr of

    live entertainment events beginning in Minmi, Florida on M arch 29, 2012 with W W E'S

    W restlemaniaf XXVIII weekend and ending Febnlary 17, 2013 (W WE'S final pay-per-view

    ' 1 ia* XXVIII event at Sun Life Stadium on April 1; and (4) WW E'S(3) W WE s Wrest eman

    Monday Night Raw event at the American Airlines Arena on April 2 (collectively, the'Wrestlemania* XXVIII W eekend Events'').

    PARTIES

    Plaintiff W W E is a Delaware corporation having its principal place of business at

    1241 East M ain Street, Stam ford, Connecticut 06902.

    5. Defendants John and Jane Does and XYZ Corporations, whose precise identities

    are not yet known to W WE, are individuals and entities who, upon infonnation and belietl have

    been doing business, continue to do business, or will be doing business in the Southel.n District

    of Florida, or are now conspiring and otherwise traveling to W W E'S 2012-2013 Live Events at

    the other states listed in Exhibit 4 attached hereto. The Complaint will be amended to include

    the names of individuals and companies if and when they pennit themselves to be identified.

    Upon inform ation and belief, a11 Defendants are acting in concert and active

    participation with each other in connection with the wrongf'ul acts alleged below.

    JURISDICTION AND VENUE

    This Court has personal jurisdiction over the Defendants because they reside inand/or have transacted or will be transacting business in this State, and have caused harm or

    tortious injury in this State by acts within this State. Upon information and belief, a11 Defendantsare individuals and entities who will be present in the Southern District of Florida in connection

    continue to do business, or will be transacting business in the Southern District of Florida.

    This Court has subject matter jurisdicticm over this action pursuant to 15 U.S.C. j1 121 and 28 U.S.C. j 1338(a) and (b).This Court has supplemental jurisdiction, pursuant to 28U.S.C. j 1367(a), with respect to the state law claims asserted herein.

    9. This Court is an appropriate venue for this action under 28 U.S.C. j 1391(a)(2),because a substantial part of the events giving rise to W W E'S request for relief will occur in this

    district.

    FACTUAL BACK GROUND

    A. W W E'S Business And M arlts

    10. Since at least as early as February 1983, W W E, first doing business as the

    SW orld W restling Federation'' and now doing business as SfW orld W restling Entertainment'' has

    provided to the public live and televised wrestling and entertainment events and services (the

    CIWWE Wrestling Services'') under the service mark WORLD W RESTLING* W W E is also the exclusive owner of a11 right

    , title and interest in theENTERTAINM ENT

    names, likenesses and rights of publicity for its current wrestlers. In connection therewith,

    W W E has used, advertised, publicized and presented the W W E W restling Services, and related

    souvenirs, merchandise and other products (ICWW E Merchandise'') under the W ORLD* k d certain other service marks and trademarksW RESTLING ENTERTAINMENT mar an

    (collectively, the ''W WE Marks'). A listing of those WW E Marks, both registered with theOffice and tmregistered but exclusively owned by orUnited States Patent and Trademark

    licensed to W W E, is set forth in Exhibits 1 and 2 hereto, respectively. Among the marks most

    important to this action are:

    The W W E M azks are well known to the public and have come to identify W W E to the public as

    the genuine source and sponsor of W W E W restling Services and W W E M erchandise.

    1 1. W W E'S 2012-2013 Live Events are a m ulti-city presentation of live wrestling

    entertainment events throughout the United States and in m any other cities throughout the world.

    The itinerary of WW E'S 2012-2013Live Events is attached hereto as Exhibit 4. Most majorU.S. cities will have a W W E live event appear in their city at least once or twice a year. W W E'S

    2012-2013 Live Events include all of the following types of programs: (1) pay-per-view events;

    (2) live, nationally-televised shows; (3) television tapings; and (4) non-televised events known asSlhouse shows.'' In addition to generating revenues through ticket sales and promoting its pay-

    per-view events, W W E sells a significant portion of W W E M erchandise at its 2012-2013 Live

    Events.

    1 W ORLD W RESTLING ENTERTAINM ENT* program s12. W W E presents regu ar

    featuring live wrestling events on a pay-per-view basis twelve (12) times a year. WWE'S almualmarquee pay-per-view dtW restlemania*'' which sells for $54.95 per view.event is called

    W restlemaniaf is considered one of the tdBig Four'' original annual W W E pay-per-view events,

    13. W W E'S pay-per-view events are the biggest wrestling events of the year for

    W W E and offer an occasion for, inter alia, detennining and crowning W W E'S various

  • champions and/or elucidating the various story lines developed by W W E throughout the year.

    These live pay-per-view events are extensively prom oted and widely attended and viewed.

    and over 890,000 pay-per-view customers and one million pay-per-view customers, respectively.

    * XXVI andCanada, averaging over $18.00 per atlendee in merchandise sales. W restlemania

    XXVII had merchandise sales per capita of over $17.00 and $19.00, respectively.* held at Ford Field in Detroit

    In addition to its pay-per-view events, W W E currently presents two two-hour

    $tlkAW*'' and Stsmackdomp'' that feature wrestlingweekly WW E programs calledentertainment progrnmm ing every M onday and Friday night nationwide on the USA Network

    (.( TM,,cable television channel and the SyFy cable television channel, respectively. NXT is a

    weekly program shown on NXT.W W E.com 's Video On Dem and feature on the internet every

    V ( X33Tuesday night. W W E Superstars is a weekly program shown on W W E.com on the internet

    * i blecast live from various W W E live events around theevery W ednesday night. RAW s ca

    TM @ @country, and NXT , Smackdown , and W W E Superstars are pre-recorded live W W E events.

    W W E also presents other weekly wrestling

    including CCA.M . Raw.''

    entertaimnent program s on the USA Network,

    ln retail stores nationwide and via on-line catalogs, W W E sells a large variety of

    W W E Merchandise featuring the W W E M arks. The W W E M erchandise typically displays

    the W W E M arks, its events, its programs,prominently the name and logo of the company,

    and/or the wrestlers and other personalities involved with the events and program s. Examples of

    W W E M erchandise are listed in Exhibit 3 attached hereto, and include, without lim itation, T-

    shirts, jerseys, sweatshirts, caps, hats, belts, sunglasses, key rings, action tigures, posters, andDVDS.

    B. Counterfeitinz At Previous Live Events

    19. For many years, W W E has sold the W W E M erchandise at and in cormection with

    its live events. Typical W W E M erchandise sold at a W W E live event refers specitically or

  • 11 to W ORLD W M STLING ENTERTAINM EN T* W W E* the W W E* logo, and/orgenera y , ,

    one or a number of other W W E M arks included in Exhibits 1 and 2 hereto.

    20. W W E M erchandise is of the highest quality and grade. These genuine goods are

    currently being sold only at authorized locations throughout the United States including, but not

    limited to, the house show arenas and live event venues, and retail stores in the Southern District

    of Florida.

    21. Based upon information and belief, W W E'S past experiences and its investigation

    into the matter, WWE has learned that Defendants, alone and in conjunction with other, similarlysituated individuals and entities, specitically numerous peddlers and manufacturing and

    distribution companies, will be attempting to sell or distribute goods of inferior quality to those

    sold, or licensed for sale, by W W E at or near W W E'S 2012-2013 Live Events. These goods,

    which are marked with imitations or counterfeits of the W W E Marks, include, inter alia, T-shirts,

    sweatshirts, caps, hats, posters, and other souvenirs, merchandise and memorabilia (dfounterfeit

    Merchandise').22.

    Houston, Texas, W W E encountered an overwhelming number of individuals, who came from a1l

    over the United States, distributing and selling Counterfeit M erchandise. W ith the aid of an #.-x

    ' W tlem aniaf XXV event, held on April 5, 2009 inFor exam ple, at W W E s res ,

    parte TRO and seizure order granted by the United States District Court for the Southern District

    of Texas, W W E was able to gain som e m easure of control over such counterfeiting by seizing

    * XXV event alone.m ore than 1,000 articles of counterfeit merchandise at the W restlemania

    ' W restlemania* XXVII weekend events, held M arch 30-April 4, 201 1,23. At W W E s

    in Atlanta, Georgia, W W E similarly encountered an untold number of individuals, who came

    from all over the United States, distributing and selling Counterfeit Merchandise. W ith the aid

    x parte TRO and seizure order granted by the United States District Court for the Northern

    District of Georgia, W W E was able to gain some measure of control over such counterfeiting by

    * XVll weekend events.seizing m ore than 3,000 counterfeit t-shirts during the W restlemania X

    The t-shirts were being sold for at least $ 10 per shirt.

    24. At no time has W W E authorized Defendants to manufacttzre, distribute, offer for

    sale or sell any Counterfeit M erchandise, nor any W W E M erchandise or goods or m aterials

    bearing the W W E M arks not specifically licensed and approved by W W E.

    25. As described m ore fully in the Declarations of Richard S. Hering and Lauren

    Dienes-Middlen, Esq., attached to WWE'S> Parte Motion and incorporated herein by

    reference, W W E has undertaken, and continues to undertake significant, extensive measures to

    guard against the unauthorized distribution and sale of Counterfeit M erchandise at live events.

    26. Based upon its investigation into the matter, and as described more fully in the

    Hering and Dienes-M iddlen Declarations, W W E has observed that the design, materials and

    quality of most of the Counterfeit Merchandise being distributed and sold at W W E live events

    throughout the United States is poor and uniform from event to event and city to city. lndeed,

    W W E has encountered Counterfeit M erchandise that lists multiple W W E live events making it

    easy for such m erchandise to be sold from venue to venue. Based in part on this uniformity,

    W W E has concluded that Defendants distributing and selling Counterfeit M erchandise are part

    of a concerted operation that travels from venue to venue selling unauthorized Counterfeit

    M erchandise likely acquired from com mon sources of manufacture. M any of the individual

    Defendants sell the same Counterfeit Merchandise in different cities. Groups of these

    individuals travel together from event to event, including in the Southern District of Florida.

  • 27. Thus, without the aid of a federal court order authorizing seizure of Counterfeit

    M erchandise, W W E is tmable to combat the network of individuals and entities distributing and

    selling unauthorized Counterfeit M erchandise at W W E'S nationwide 2012-2013 Live Events and

    is effectively rendered unable to protect its rights, and the rights of the consuming public, against

    the unauthorized and unlawful distribution and sale of Counterfeit Merchandise at W W E'S 2012-

    2013 Live Events.

    28. As demonstrated by the Hering and Dienes-Middlen Declarations, throughout the

    past several years of W W E live events, W W E has encountered num erous sellers of Counterfeit

    M erchandise at various locations throughout the United States, including in the Southern District

    of Florida.

    29. During the course of W W E'S enforcement of TROs, Seizure Orders and

    nationwide preliminary injunctions entered by the District Court for the Southern District ofTexas, the District Court for the District Court of M assachusetts, the District Court for the

    Middle District of Florida, the District Courts for the Eastena and Southern Districts of New

    York, and the District Court for the Northern District of Georgia, and prior similar orders, W W E

    seized thousands of counterfeit T-shirts, caps, posters, pictures and other items of Counterfeit

    M erchandise m arked with im itations of the W W E M arks. As a result of W W E'S ability to seize

    Counterfeit M erchandise, W W E was able to avoid hundreds of thousands of dollars in lest sales,

    as well as irreparable injury to W WE'S reputation and goodwill with the consuming public.30. Pursuant to past TROs, Seiztlre Orders and nationwide preliminary injunctions,

    W W E posted bond and proceeded at a11 times with the utmost caution in seizing only those

    goods that W W E'S enforcement team determined to be Counterfeit Merchandise. W W E

    enforced the TROs, Seizure Orders and nationwide preliminary injuncticms in a manner designed

  • to protect its trademarks and service m arks without com promising the rights of the Defendants in

    those actions.

    Many of the individuals served under these priorTROs, Seizure Orders and

    nationwide preliminary injunctions refused to identify themselves, refused to accept service, orboth. Moreover, none of the Defendants in those actions came forward with objections to thecourt. Such behavior is typical of counterfeiters who distribute and sell unauthorized

    merchandise at live entertainment events.

    32. The TROs, Seizlzre Orders and nationwide preliminary injunctions issued in thepast enabled W W E to effectively police distribution and sale of Counterfeit Merchandise

    The Defendants' conduct, however,throughout W W E'S nationwide series of live events.

    represents a continuing problem , not yet abated, and the only effective relief available to W W E

    is the x pal'te seizure process.

    33. W ithout the ability to seize Counterfeit M erchandise at and neaz W W E'S 2012-

    2013 Live Event venues,including, but not limited to, at or near the W restlemaniaf XXVIII

    W eekend Events in M iami, Florida from M arch 29-Apri1 2, 2012, W W E stands to lose untold

    and irrecoverable sums in merchandise sales and suffer incalculable, irreparable damage to its

    reputation and goodwill in addition to the harm such counterfeiting will cause to the consum ing

    public.

    * XXVIII W eekend Events in M iam i andExpected Counterfeitinz At W restlem aniaElsewhere

    ' W tlemaniaf XXVIII W eekend Events are scheduled for March 29,W W E s res

    ' W restlem aniaf Axxess event at the2012 to April 2, 2012. The events include (1) W WE s

    Miami Beach Convention Center from March 29-April 1 ; (2) the 2012 WWE Hall of Famelnduction Ceremony at the American Airlines Arena on March 31; (3) WWE'S WrestlemaniaW

  • XXVIII event at Sun Life Stadium on April 1; and (4) WWE'S Monday Night Raw event at theAm erican Airlines Arena on April 2. W W E'S 2012-2013 Live Events will proceed throughout

    the United States according to the schedule attached hereto as Exhibit 4.

    * XXVIII W eekend Events and its nationwide35. In cormection with its W restlem ania

    2012-2013 Live Events, W W E has advertised and prom oted heavily, and will continue to

    advertise and promote heavily, the W W E M arks in interstate com merce.

    As the foregoing dem onstrates, the only effective means of protecting W W E'S

    trademarks and service marks from unlawful counterfeiting by Defendants at W W E'S 2012-2013

    Live Events is through the x parte seizure process, which provides W W E with the ability to

    tight against unlawful counterfeiting. To m aintain any meaningf'ul defense against the unlawful

    distribution and sale by Defendants of Counterfeit Merchandise at W W E'S 2012-2013 Live

    Events, which is an ongoing problem inherent in the live entertainm ent industry, W W E m ust be

    allowed to proceed with the x parte seizure process.

    37. lndeed, Defendants are habitual isrepeat offenders'' who refuse, even when

    apprehended, to identify themselves or accept service, much less appear in court in connection

    with the seizure of their unlawful goods. Aware of the illegality of their activities, these

    individuals and groups, if caught, will quickly hide or dispose of their Counterfeit M erchandise,

    or load it into a waiting vehicle and lock the vehicle or drive it away.

    38. Defendants are typically street peddlers, without offices, identification, licenses or

    addresses. ln this manner, they can avoid having to respond to an ordinary civil lawsuit and thus

    are essentially immune from an injtmction unlessit is accompanied by authority to seizeCounterfeit M erchandise.

    x parte TROs, Seizure Orders and

    nationwide preliminary injunctions, W WE has attempted to serve hundreds of counterfeiters andhas seized thousands of items of Counterfeit M erchandise. M ost of the apprehended

    counterfeiters refused to identify them selves and refused to accept service, and none of them

    came forward to respond formally in court.

    40. The Defendant bootleggers will continue, undaunted, to attempt to peddle

    Counterfeit M erchandise at W W E'S 2012-2013 Live Events, and W W E'S only means of keeping

    their conduct under control is through the .x parte seizure process.

    41. Based upon the foregoing, and based upon its experience enforcing earlier TROs,

    Seizure Orders and nationwide preliminary injunctions as explained in the Hering and Dienes-M iddlen Declarations, W W E believes and therefore avers that Defendants will follow W W E'S

    2012-2013 Live Events from city to city, throughout the country, selling Counterfeit

    M erchandise. Defendants constitute bootlegging rings that operate in this District by obtaining

    Counterfeit M erchandise from a small number of manufacturers.

    On infonnation and belief, Defendants will continue to attem pt to sell Cotmterfeit

    ' 2012-2013 Live Events, including at the W restlem ania * XXVIIIW W E M erchandise at W W E s

    W eekend Events.

    43. Ex parte seizure relief is thus essential if W W E is to m aintain a defense against

    and effectively police the unlawful activities of Defendants at the nationwide series of W W E

    * XXVIII W eekend Events in M iami,2012-2013 Live Events, including at the W restlemania

    Florida. W ithout such relief, W W E will have no effective remedy against Defendants' continued

    distribution and sale of Counterfeit M erchandise that infringes W W E'S registered and

    unregistered trademarks and service marks, threatens lost sales in untold dollars, deceives the

    D. Irreparable H arm To W W E

    44. Defendants' use of counterfeits of the W W E M arks on the Counterfeit

    M erchandise will deceive the consuming public into believing that they are purchasing genuine

    goods which have been manufactured, authorized, or apmoved by W W E, and will likely cause

    confusion and mistake in that consumers are likely to assume that W W E has manufactured,

    authorized, or approved the Counterfeit M erchandise sold by Defendants.

    45. ln addition to causing W W E to suffer incalculable, irrecoverable and irreparable

    lost sales, Defendants' m anufactttre, distribution and sale of inferior quality Counterfeit

    Merchandise displaying the W WE Marks will irreparably injure WW E'S reputation for themanufacture and sale of the highest quality souvenirs, m erchandise, and m emorabilia and poses a

    potential safety risk to the public because W W E is unable to control the quality of the materials

    used by the bootleggers.

    Based on W W E'S prior encounters with sellers of Counterfeit M erchandise at live

    events, other W W E events, and in the retail and wholesale distribution context, on information

    and belief, W W E alleges that, if Defendants are notified that W W E has filed this lawsuit and has

    filed a M otion for TRO, Defendants will cause the unauthorized Counterfeit M erchandise to be

    dispersed and, thereafter, sold at other locations on or near the premises of the event arenas or

    elsewhere with the result that W W E will be unable to obtain an effective remedy for Defendants'

    wrongful conduct.
