1. Abstract
According to a report by ICO analyst ICODATA.IO, the total size of ICO in
2017 was 6.1 billion dollars. But according to cryptocurrency media
Bitcoin.com, the failure rate of the last year was 59%, 142 of total 902 ICO
failed to raise funds, 276 failed after raising funds, and 113 businesses of the
rest were categorized to have almost no possibility of succeeding their
proposed projects.
The reason the failure rate of the existing ICOs were high is analyzed to be the
result of investing to corporates with Business Concept as the major standard
of decision. Whether the business will succeed or fail can be judged by the
references of the corporate, such as practical experiences and market
experiences, where as the previous ICOs were proposed with impractical
theoretical concepts. In addition, the roles of advisors were limited to gaining
trust from the market rather than practical communications on advancing the
business, and the act using their name were paid as coins which exhausted the
business fund.
Another problem of ICO is that the investors cannot demand the business
profit of the issuing company. Publicized coins only functioned as payment
options, thus only the raise of the value and arbitrage trading were expected,
and the purpose of speculation grew.
To eradicate the evil of the abovementioned ills of ICO, Security Token
Offering was proposed as an alternative, which is a method of issuing
cryptocurrency based on actual commercialized business and distributing
business profit to token holders. USA’s Securities and Exchange Commission
also appreciate STO as marketable securities under certain circumstances.
These circumstances are ‘if there is business with actual sales’ and ‘if the issuer
can distribute business profit to investors.’

2. Cellpinda 2.1 Overview
Cellpinda Co., Ltd., is a biofood manufacturing and distributing corporate, a

which Cellpinda started to deliver to Jeil Pharmaceutical Co., Ltd., since 2016.

it changed its name to Cellpinda and established a corporation.

2.2 Core Competencies & Strengths 2.2.1 Core Competencies
Unlike Cellpinda’s previous ICO, Cellpinda is a corporate with sales achieving a
stable sales growth. It is distributing hangover cure product S’tei to about
4,000 pharmacies in South Korea by delivering the product to Jeil
Pharmaceutical. In June, Cellpinda ordered manufacture of 5,000 boxes of S’tei
to sell them on the main company, and the supply contract with Jeil
Pharmaceutical was 30,000 boxes as first delivery, and another 30,000 boxes
as the second, which increased the sales of the second half of 2018 to be 12
times than the sales in the first half.
Cellpinda is a leading company that applied enzyme technology-based

2.2 Core Competencies & Strengths 2.2.2 Strengths (1) Biosimilar Applied Health Function Food
Cellpinda’s method for Biosimilar application is applying enzyme technology
on health function foods.
Its strength is on having similar effect to the medicines while not having the
side effects and addictive elements of the medicines.
Also, as it is health function food, it has great market accessibility as the
customers may easily buy the products from ordinary markets like online stores,
large stores, convenience stores, pharmacies, etc. unlike how the medicines
needs to be prescribed.

(3) Pure GABA & R&D Skills
Cellpinda can produce high-purity GABA with abovementioned patent
‘Method for the Manufacture of High-purity GABA by using Enzyme’ (No:10-

2.3 Brands
Cellpinda has other products than hangover cure S’tei currently being sold in
the market total of 7 brand products: brain health food and stress reliever
GABA100 being prepared to be launched in 2018; Sleeping Disorder
Treatment Sweet Dream (temporal name) which the clinic trial is finished; Inner
beauty product I•B, the eating cosmetic; ONKI (temporal name) for blood
stream improvement; and energy drink Ready Bear; Cellpinda aims at
increasing the market share of the products each category of the market it is in.

2.3.1 Hangover Cure, S’tei
The Korea hangover cure market is showing higher growth rate than the
growth rate of the size of liquor market. Liquor Market achieved 2.7% growth
of size to 6 trillion 120 billion won liquor market in 2016 from 2015, but the
hangover cure market showed a growth of 15.1% from 135.3 billion won in
2015 to 155.7 billion won in 2016.
The reason for this growth is analyzed to be the demand of young adults with
age of 20s and 30s, and people tended to seek for hangover cure even if they
drank lightly. According to AC Nielsen, the total market size of hangover cure
products in 2016 was 180 billion won, and expected it to grow to 200 billion
won by 2017.
The hangover cure market showed high market share of drinks, and recently
the hangover cure pills appeared to the market. It is seemed that being easy to
take and psychological factor of taking pill being effective on curing hangover

in the name of Cellpinda as well. S’tei, currently being sold to about 4,000
pharmacies in South Korea, is the popular product the customers who
experienced its effect come back for and became famous. Continuous supply
contracts are made, and is planned to be sold in 10,000 pharmacies in South
Korea. Moreover, it is sold on Cellpinda’s online store, social commerce, online
open markets, and aims to reach 4 billion won per year, which is 2% of the

2.3.2 Brain Amino acid, GABA100
Above mentioned GABA helps brain to function normally by improving

According to the data by Sandoz, the multinational pharmaceutical, the size
of the drugs for erectile dysfunction market is 1 billion 7 thousand dollars.
Cellpinda set the market goal of XL as 11 billion won, the 1% of the market
size. The clinic trial of XL has ended, and is planned to be released by the first
half of 2019.
2.3.4 Product Development Plan

Cellpinda is currently developing GABA Water for easier consumption of

2.4 Product Distribution 2.4.1 Product Distribution in the Korea
The distribution of Cellpinda products in South Korea are done both in online
and offline circumstances: the offline distribution consists of pharmacies, large
stores like E-mart, Homeplus, etc., convenience stores like CU, Seven Eleven,
etc. Shop-in-shop of coffee brands like Starbucks, etc., and Cellpinda Café
(Direct Store under Cellpinda); and online distribution consists of Online
commerce like Coupang, Tmon, online open markets like G-market, Auction,
etc., 5 major home shopping – Lotte/GS/CJ/Hyundai/NS, & own Online store.
2.4.2 Global Product Distribution
Global distribution would be made firstly to USA, China, Thailand, Philippines,
where the market appeal of S’Tei and GABA100 is easy, and by building
product manufactures and distribution hubs on the listed companies to enter
global market with fast product supply. The second global market extension
would be to Germany and Japan, where the GABA market is already
established.
Similar to online distribution in South Korea, Products will be sold on online

2.4.3 Cell’in (Authorized Seller & Investor)
Cell’in refers to an authorized seller that can sell Cellpinda’s products, and
Cellpinda grants agency rights and qualification to Cell’ins. A similar business
model would be ‘cody’ of Woongjin Coway. Codies sold Woongjin Coway’s
various products via direct consultation with customers. This was directly
related to the sales of the business and the enterprise, raising the enterprise
value of Woongjin Coway by several tens of percent in the enterprise value
evaluation.
The premium for being a Cell’in, the agent businessperson of Cellpinda, is 5.5
million won(KRW) or 400 thousand Cellpinda Tokens. Cellpinda guarantees
40% of product sales profit to Cell’in, and if Cell’in owns more than 400
thousand Cellpinda Tokens, they are granted with rights to receive distribution
of 20% of the overall business profit.
2.5 Sales Goal
The sales goal of Cellpinda for 2019 is total at 20 billion won by the home
market of hangover cure S’tei, brain health product GABA100, sleeping
disorder improver Sleep Tight, and sexual improver XL, and we expect sales
growth of over 5 times via entry of markets of China, Japan, USA, and South

3. Cellpinda Token 3.1 Security Token Offering
3.1.1 Background
Previously issued utility tokens by ICO (Initial Coin Offering) had rights to
purchase products and services of the company, but the holders couldn’t
demand for the business profit. Security Token Offering (STO) was suggested
as the alternative method for remedying the disadvantage of ICO.
STO’s security tokens functions similar to securities, thus the token holders can
receive distribution of the profit the company gained. USA’s NASDAQ is known
to be developing a platform for STO, and Bithumb, the representative
cryptocurrency exchange of South Korea is cooperating with seriesOne of USA
to establish a Securities Token Exchange; STO is expected to replace ICO.
3.1.2 Purpose
STO requires a consideration of investors and clients’ demand of the payment
function for purchasing the products the company offers. Thus Cellpinda issued
Cellpinda Token, the security token where the holders can receive the
distribution of business profit that also has function of utility tokens that allows
to be exchanged for points to purchase products when needed. Its purpose is
also on raising funds for distribution channel diversification, global market
entry, and product diversification research.

3.1.3 Feature
Cellpinda Token is fundamentally Security Token, which means a portion
business profit is distributed to the token holders, and owned tokens can be
exchanged for points at Cellpinda Wallet to use it as a payment option for
purchasing products.
The exchange rate of Cellpinda Token for Cellpinda Points is
[Number of Tokens] × [Points], and we plan to increase the exchange value in
phase by increasing the number of points by multipliers. The increase of
exchange rate for points is applied after being listed on the exchange and the

3.2 Dividend & Benefit
Cellpinda distributes business profit to Cellpinda Token owning investors.
The distribution is made every quarter of year beginning from 2018 Q4, and
the amount of distribution is based on the grade determined by the amount of
tokens owned. 20% of the business profit is distributed to token holders with
400 thousand Cellpinda Tokens or more, and the amount of distribution is
differentiated by every 400 thousand tokens. 10% of the business profit is
allocated for token holders less than 400 thousand Cellpinda Tokens, and the
amount of distribution is differentiated by every 40 thousand tokens.
The unit(level) is determined by the floor of the amount of tokens owned with
standard of the applied width, and the token holders may buy more tokens to
increase the distribution unit(level) before the distribution qualification
examination period. The subjects of distribution are limited to the investors
who purchased the tokens before the token being listed on the cryptocurrency

4. Policy 4.1 Risk and Uncertainty
This white paper is a Cellpinda’s business plan, and is not a guarantee for the
business, thus the investors must understand that the actual procession of business
is subject to the business or operational environment.
4.2 STO Participants
The residents of nations that prohibited STO by law cannot participate STO of
Cellpinda Token. If the resident of nations that prohibited STO by law participated
the investment, all legal responsibilities are solely on the investor.
4.3 Usage of Token
