Confessed Judgment—Petition to Open/Strike Judgment—Meritorious Defense—Acceleration of Rent.

Defendants’ Petition to Open/Strike Judgment was denied for failure of Defendants to provide evidence to support a meritorious defense to the extent of creating a jury issue. Defendants failed to identify any fatal defects in the documentation or violations of the Rules of Civil Procedure that permit striking or opening the confessed judgment. The unambiguous language of the contract permits acceleration upon default. Defendants were admittedly in default. Further, Defendants cited no authority as to why there should not have been an acceleration of rent, and Pennsylvania has upheld the validity of acceleration of rent provisions in lease agreements, especially in the context of commercial lease agree-ments.

MEMORANDUM OPINION

Johnson, J., September 8, 2017. Before the Court for con-sideration is Defendants’ Petition to Open/Strike Judgment filed on July 7, 2017. A hearing was held on August 15, 2017.

Defendants’ counsel withdrew their Petition to Strike Judg-ment by oral motion at the Hearing held on August 15, 2017. Thus, our analysis will focus only on Defendants’ Petition to Open (“Pe-tition”).

In seeking to open a confessed judgment, the petitioner must 1) act promptly, 2) allege a meritorious defense, and 3) provide enough evidence to support the defense to the extent of creating a jury issue. Liazis v. Kosta, Inc., 421 Pa. Superior Ct. 502, 506, 618 A.2d 450, 452 (1992) (citing Pa. R.C.P. 2959).

Under Pa. R.C.P. 2959, a petitioner must file a petition within thirty (30) days of service of the notice to obtain relief from the judgment or to prevent execution. After thirty (30) days, the petitioner is barred from relief unless there are “compelling reasons for the delay.” Whether there is undue delay is a matter largely within the discretion of the court to which a petition to open is submitted. Allied Bldg. Prod. Corp. v. Delco Roofing Co., 951 F. Supp. 1183, 1195 (E.D. Pa. 1996) (citing Haggerty v. Fetner, 332 Pa. Superior Ct. 333, 481 A.2d 641, 648 (1984)). The crucial factor in determining whether a petition is timely is not the spe-cific time which has elapsed but rather the reasonableness of the explanation given for the delay. Id. (citing First Seneca Bank & Trust Co. v. Laurel Mountain Dev. Corp., 506 Pa. 439, 485 A.2d 1086, 1088 (1984)).

In this case, the confessed judgment was entered on May 19, 2017 and Rule 236 notices were provided. Defendants were served with execution papers on June 6, 2017. The Petition was filed on July 7, 2017. Thus, it was thirty-one (31) days after receiving notice of the confessed judgment when Defendants filed their petition, one (1) day over the thirty (30) day threshold set forth in Pa. R.C.P. 2959(a)(3). No compelling reasons were presented to the Court as to why there was a delay in filing, so the Petition could be denied as untimely. However, being only one (1) day late, the Court will use its discretion and examine the merits of the Petition.

Defendants must assert a meritorious defense and provide enough evidence to support the defense to the extent of creating a jury issue. Pa. R.C.P. 2959(e) sets forth the standard by which a court must determine whether a moving party has properly averred a meritorious defense. “If evidence is produced which in a jury trial would require the issues to be submitted to the jury the court shall open the judgment.” Furthermore, the court must view the evidence presented in the light most favorable to the moving party, while rejecting contrary evidence of the non-moving party. Liazis, supra at 507, 618 A.2d at 453.

Defendants filed said Petition basing its petition on proposed preliminary objections that Defendants allege demonstrate a meritorious defense. None of these preliminary objections provide a meritorious defense to the entry of the confessed judgment or create a jury issue in this matter.

Defendants’ primary issue with the confessed judgment is the acceleration of rent. Defendants argue that the acceleration clause is unfair and, that at no time did the Plaintiff make a claim against Defendants for the amount sought in the complaint, namely $188,652.82. This is not a meritorious defense as the lease agreement Defendants signed clearly permits the confession of judgment and acceleration of rent upon default. These provisions of the lease agreement are conspicuous in capitalized letters, and Defendants initialed their agreement to such provisions in addition to signing the lease agreement and personal guarantees. The con-fessed judgment provision of the lease agreement states:

UPON THE OCCURRENCE OF ANY EVENT DE-SCRIBED ABOVE, TENANT IRREVOCABLY AUTHO-RIZES AND EMPOWERS THE PROTHONOTARY OR ANY ATTORNEY OF ANY COURT OF RECORD TO APPEAR FOR TENANT IN ANY SUCH COURT AT ANY TIME THEREAFTER TO WAIVE THE ISSUANCE AND SERVICE OF PROCESS AND TO CONFESS AND EN-TER JUDGMENT AGAINST TENANT AND IN FAVOR OF LANDLORD FOR SUCH AGGREGATE AMOUNT OF RENT AND OTHER SUMS DUE TO LANDLORD AS IS UNPAID UNDER THIS LEASE (INCLUDING THE ACCELERATED RENT COMPONENT TOGETHER WITH COSTS AND ATTORNEYS FEES ...

Once the Defendants defaulted on their payments, it was proper for Plaintiff to confess judgment, including the acceleration of rent in the amount of $188,652.82. Defendants have not alleged that they did not sign the agreement or that there is some type of defect in the agreement.

Further, the confessed judgment amount was not only entered against Mr. Trade LLC, but also against the individual Defendants, Mohamed Elsayed and Reem Eid, since the individual Defendants signed personal guarantees, which provided that:

Guarantor does hereby personally and unconditionally guarantee to Landlord … the performance and payment when due of all obligations of Tenant, as well as Tenant’s obligations to comply with environmental laws under the lease.

Landlord does not have to notify Guarantor that Tenant has failed to meet any of its obligations under the Lease, or that Guarantor is obligated to make a payment or perform any obligations pursuant to this Guaranty.

Defendants take issue with Plaintiff ’s claims against the in-dividual Defendants. However, as illustrated, these individual Defendants were guarantors to the lease agreement, and under the provisions of the agreements they signed, holding them liable is proper.

Without citing any authority, Defendants have filed the Peti-tion and supporting brief arguing that no acceleration should have occurred and the individual Defendants should not be held liable as Guarantors. Defendants have not provided any evidence that they did not sign the lease agreement or guarantees and have not presented any evidence to show that there is a zero ba1ance on the account. In fact, Defendants concede that at least $9,002.72 is past due. See Defendants’ brief.

Defendants have not identified any fatal defects or violations of the Rules of Civil Procedure that permit striking or opening the confessed judgment. The unambiguous language of the contract permits acceleration upon default. Defendants cite no authority as to why there should not have been an acceleration of rent, and Pennsylvania has upheld the validity of acceleration of rent provi-sions in lease agreements, especially in the context of commercial lease agreements. See, e.g., Pierce v. Hoffstot, 211 Pa. Superior Ct. 380, 236 A.2d 828 (1967). Further, Defendants had notice of Plaintiff ’s right to accelerate rent since it was an express term of the lease agreement which Defendants signed and personally guaranteed. In conspicuous capitalized letters, the lease agreement permitted confession of judgment and acceleration of rent upon default and that individual guarantors will be held liable. Thus, Defendants have failed to present evidence of a meritorious de-fense.

Without presenting any issues or meritorious defenses that would allow this case to go to a jury, Defendants have not met the necessary criteria to open the judgment.

Based on the above analysis, Defendants’ Petition To Open/Strike filed on July 7, 2017 is DENIED.
