I. BENDROSIOS NUOSTATOS

1. VĮ Lietuvos oro uostų, juridinio asmens kodas 120864074, adresas Rodūnios kelias 10a, LT-02189 Vilnius (toliau – LOU) patikėjimo teise valdomo ir VĮ Lietuvos oro uostų Vilniaus filialui (toliau – LOUVF) perduoto valdyti valstybės materialiojo turto viešojo nuomos konkurso sąlygos (toliau – Konkurso sąlygos) reglamentuoja LOU patikėjimo teise valdomo ir LOUVF perduoto valdyti valstybės materialiojo turto, nurodyto 5 punkte (toliau - turtas) viešo nuomos konkurso (toliau – Konkursas) tvarką ir sąlygas.

2. LOUVF, organizuodama Konkursą, vadovaujasi Lietuvos Respublikos valstybės ir savivaldybių turto valdymo, naudojimo ir disponavimo juo įstatymu, Lietuvos Respublikos Vyriausybės 2001 m. gruodžio 14 d. nutarimu Nr. 1524 „Dėl valstybės materialiojo turto nuomos“, kitais Lietuvos Respublikos teisės aktais, reglamentuojančiais nuomos santykius, bei šiomis Konkurso sąlygomis. Tai, kas nenurodyta šiose Konkurso sąlygose, yra atliekama vadovaujantis minimais teisės aktais.3. Konkursą organizuoja ir vykdo LOU generalinio direktoriaus įsakymu sudaryta materialiojo turto viešo nuomos konkurso komisija (toliau – Komisija).

4. Konkurso sąlygos skelbiamos viešai LOUVF interneto tinklalapyje http://www.vno.lt bei LOUVF „Facebook“ paskyroje „Vilnius Airport“.

TANGIBLE PROPERTY OF THE STATE ENTERPRISE LITHUANIAN AIRPORTS

I. GENERAL PROVISIONS

1.The terms and conditions of the Public Tender Procedure for Lease of State Tangible Property managed by the State Enterprise Lithuanian Airports, legal entity registration number 120864074, located at the address Rodūnios kelias 10a, LT-02189 Vilnius (hereinafter referred to as the “LOU”) by the right of trust and transferred to the State Enterprise Lithuanian Airports Vilnius Branch (hereinafter referred to as the “LOUVF”) for operation (hereinafter referred to as the “Terms and Conditions of the Tender Procedure”) shall regulate the procedure for and terms and conditions of the public tender procedure for lease of the state tangible property provided for in paragraph 5 hereof (hereinafter referred to as the “property”) managed by the LOU by the right of trust and transferred to the LOUVF for operation (hereinafter referred to as the “Tender Procedure”).2. When organising the Tender Procedure the LOUVF shall follow the Republic of Lithuania Law on the Management, Use and Disposal of State and Municipal Assets, 14 December 2001 Resolution No 1524 of the Government of the Republic of Lithuania “On the Lease of State Tangible Property”, other legal acts of the Republic of Lithuania governing lease relationship and these Terms and Conditions of the Tender Procedure. The provisions not set out herein shall be complied with the afore-mentioned legal acts.3. The Tender Procedure shall be organised and conducted by the Commission of the Public Tender Procedure for Lease of Tangible Property (hereinafter referred to as the “Commission”) formed by an order of the Chief Executive Office of the LOU.4. The Terms and Conditions of the Tender Procedure shall be published on the website of the LOUVF at http://www.vno.lt and in Facebook account of the LOUVF “Vilnius Airport”.

II. OBJECT OF THE TENDER PROCEDURE FOR LEASE OF PROPERTY

5. Following the Terms and Conditions of the

Nr. 1097-0044-5205; patalpų, kuriose yra nuomojamas turtas, unikalus Nr. 4400-1477-7692:2434, adresas - Rodūnios kelias 2-3, Vilnius ir unikalus Nr. 4400-1477-7727:2437, adresas - Rodūnios kelias 2-5, Vilnius), pažymėtos plane indeksais: 2-140 (dalis), 2-148 (dalis), 2-149, 2-153 (dalis), 2-160 (dalis), 2-161 (dalis), 2-195 (dalis), 2-196 (dalis), 2-200, 2-202 (dalis), 2-206 (dalis) (patalpos pavadinimas – „parduotuvė Nr.1“), 1-461 (dalis) (patalpos pavadinimas – „parduotuvė Nr.2“), 2-227 (dalis), 2-132 (patalpos pavadinimas – „parduotuvė Nr.3“), 2-213, 2-254 (patalpos pavadinimas – „parduotuvė Nr.4“), 2-230 (dalis), 2-179, 2-192 (patalpos pavadinimas – „parduotuvė Nr.5“), 2-216, 2-256 (patalpos pavadinimas – „parduotuvė Nr.6“), kurių bendras plotas yra – 1500,69 kv. m (toliau – Patalpos1), skirtos tarptautinio registruoto prekės ženklo neapmuitinamų prekių („duty free“) parduotuvėms įrengti ir eksploatuoti.LOUVF yra suinteresuotas nuoseklia komercinių patalpų plėtra, todėl planuojant Keleivių terminalo plėtrą numato, kad Keleivių terminale bus suformuota daugiau prekybinei veiklai naudoti tinkamų patalpų. Dėl šių priežasčių LOUVF kartu su Patalpomis1 išnuomoja ir negyvenamąsias patalpas, esančias Keleivių terminale, kurio pagrindinė tikslinė naudojimo paskirtis – transporto, adresas Rodūnios kelias 2, Vilnius, (Un. Nr. 1097-0044-5205; patalpų, kuriose yra nuomojamas turtas, unikalus Nr. 4400-1477-7727:2437, adresas - Rodūnios kelias 2-5, Vilnius), pažymėtos plane indeksais: 2-140 (dalis) ir 2-198, kurių bendras plotas yra – 46,26 kv. m (toliau – Patalpos2). Patalpos2 bus perduotos Konkurso dalyviui, laimėjusiam Konkursą dėl Patalpų1 tuo atveju, jei Keleivių terminalo plėtros techniniai sprendimai ir keleivių aptarnavimui reikalingo ploto kiekiai leis Patalpas2 panaudoti komercinei veiklai, o Konkurso dalyvis turės teisę jas priimti nuomos sutartyje aptartomis sąlygomis, vykdyti Patalpose2 nuomos sutartyje aptartą veiklą ir mokėti nuomos sutartyje aptarta tvarka paskaičiuotus nuompinigius.Patalpos1 ir Patalpos2 bendrai vadinamos Patalpomis.

6. Pažymime, kad LOUVF turi teisę koreguoti Patalpas charakterizuojančius ir (arba) Patalpų kadastro duomenis, t.y. Patalpų pavadinimus, indeksus ir kt., nurodytus Konkurso sąlygų 5 punkte bei Nekilnojamojo turto registre, o taip pat visuose

Tender Procedure, the property which shall be leased together:the non-residential premises in the Passenger Terminal the main intended purpose of which is transportation and which are at the address Rodūnios kelias 2, Vilnius (unique No 1097-0044-5205; unique No of the premises in which is the leased property 4400-1477-7692:2434, address Rodūnios kelias 2-3, Vilnius, and unique No 4400-1477-7727:2437, address Rodūnios kelias 2-5, Vilnius), designated in the plan by indexes: 2-140 (part), 2-148 (part), 2-149, 2-153 (part), 2-160 (part), 2-161 (part), 2-195 (part), 2-196 (part), 2-200, 2-202 (part), 2-206 (part) (the name of the premises is “shop No 1”), 1-461 (part) (the name of the premises is “shop No 2”), 2-227 (part), 2-132 (the name of the premises is “shop No 3”), 2-213, 2-254 (the name of the premises is “shop No 4”), 2-230 (part), 2-179, 2-192 (the name of the premises is “shop No 5”), 2-216, 2-256 (the name of the premises is “shop No 6”) the total area of which is 1500,69 sq. m (hereinafter referred to as the “Premises1”, Annex 3) intended for equipment and operation of duty-free shops with the international registered trademark.The LOUVF is interested in consistent development of the commercial premises; thus, more area and premises suitable for commercial activities are expected as a result of planned development of the Passenger Terminal. For these reasons, the Premises1 shall be leased by the LOUVF together with the non-residential premises in the Passenger Terminal the main intended purpose of which is transportation and which are at the address Rodūnios kelias 2, Vilnius (unique No 1097-0044-5205; unique No of the premises in which is the leased property 4400-1477-7727:2437, address Rodūnios kelias 2-5, Vilnius), designated in the plan by indexes: 2-140 (part) and 2-198, the total area of which is 46.26 sq. m. (hereinafter referred to as the “Premises2”). The Premises2 shall be transferred to the Tenderer that is successful in the Tender Procedure for the Premises1 if the technical solutions of development of the Passenger Terminal and the quantities of the area required for service of passengers enable using the Premises2 for commercial activities and the Tenderer shall have the right to accept them under the terms and conditions defined in the agreement, carry out the activities provided for in the agreement in the Premises2 and pay the lease payments calculated in accordance with the procedure prescribed in the lease agreement.The Premises1 and the Premises2 shall be collectively referred to as the “Premises”.6. It is to be noted that the LOUVF shall be entitled to specify the data characterising the Premises and/or cadastral data of the Premises, i.e. names, indexes of the Premises and other data specified in paragraph 5 of the Terms and Conditions of the Tender Procedure and

dokumentuose, kurie Nekilnojamojo turto registre nurodyti kaip Patalpų įregistravimo pagrindai. Toks Patalpas charakterizuojančių ir (arba) Patalpų kadastro duomenų keitimas (tikslinimas) neturės įtakos galimybei Patalpas naudoti pagal paskirtį (tikslą), kuriai šios Patalpos yra planuojamos išnuomoti. Jei bus duomenų pakeitimų, Konkurso dalyvis, laimėjęs Konkursą apie tai bus informuotas raštu.

7. Atsižvelgiant į tarptautinių oro uostų praktiką, į tai, kad Patalpos yra keleivių išvykimo terminalo riboto patekimo zonoje, per kurią pereiti turi visi keleiviai, praėję aviacijos saugumo patikrą, taip pat keleivių laukimo salėse, t.y. itin aktyviose zonose, kuriose aptarnaujamas didelis keleivių srautas ir keleiviai laipinami į tarptautinius skrydžius, vykdomus į Europos Sąjungos bei ne Europos Sąjungos šalis, todėl LOUVF mato būtinybę įkurdinti neapmuitinamų prekių („duty free“) parduotuves, kurias valdytų veiklos tarptautiniuose oro uostuose patirtį turintis, aukštus keleiviams teikiamų paslaugų kokybės standartus taikantis ir keleiviams atpažįstamą prekės ženklą valdantis operatorius. Dėl šių priežasčių, Patalpos bus išnuomojamos išskirtinai tik tarptautinį, registruotą prekės ženklą valdančiam subjektui, kuris laimėjus Konkursą privalės vadovautis LOUVF parengtu neapmuitinamų prekių („duty free“) prekybos koncepcijos aprašu, pridedamu prie Konkurso sąlygų (priedas Nr.4, toliau - Aprašas). Konkurso laimėtojas privalės užtikrinti, kad Patalpose būtų prekiaujama daugeliui keleivių atpažįstamų prekių ženklų produktais. Vykdant prekybinę veiklą Patalpose, prekių asortimentą, kurį privaloma iš anksto suderinti su LOUVF, gali sudaryti: parfumerijos ir kosmetikos dirbiniai, alkoholiniai gėrimai (alus ir sidras gali būti parduodami išskirtinai tik ne mažiau kaip 6 butelių arba skardinių pakuotėse išskyrus alų, pagamintą mažųjų alaus daryklų, kuris gali būti parduodamas vienetais), geriamas vanduo, tabako gaminiai (blokais ir pakelių vienetais), saldumynai pakuotėse, gurmaniški maisto produktai pakuotėse, rankiniai laikrodžiai, saulės akiniai, juvelyriniai ir bižuterijos dirbiniai, odos gaminiai ir aprangos aksesuarai (t.y. rankinės, pirštinės, skaros, diržai, šalikai), žaislai, reikmenys kelionėms (t.y. pagalvėlės, ausų kištukai, dokumentų dėklai), elektronikos prekės (t.y. mobilieji telefonai, kompiuteriai, planšetės, jų priedai, ausinės, kita smulki elektronikos įranga), mados prekės (t.y. rūbai, avalynės ir kt. aprangos aksesuarai) bei lietuvių gamintojų Lietuvoje pagamintos prekės (t.y. lietuviški alkoholiniai gėrimai, saldumynai

data available in the Real Property Register and data indicated in all the documents which are specified in the Real Property Register as the basis for the registration of the Premises. Such amendment (specification) of the data characterising the Premises and/or cadastral data of the Premises shall have no influence on the possibility to use the Premises for the intended purpose for which the Premises are leased. In case of any changes in the data, the Tenderer which is successful in the Tender Procedure shall be notified in writing.7. In the light of the practice of the international airports and the fact that the Premises are in the security restricted area of the passenger departure terminal which must be passed by all passengers who have passed the aviation security check and in the passenger waiting areas, i.e. particularly active areas in which a large flow of passengers is served and the passengers are boarded for international flights operated to the European Union countries and non-European Union countries; therefore, the LOUVF sees the necessity to equip duty-free shops which would be operated by an operator which has experience in operations in the international airports, applies high quality standards for the services provided to the passengers and owns a trade mark recognised by passengers. Due to these reasons, the Premises shall be leased only to the entity which owns an international registered trade mark and which, if it is successful in the Tender Procedure, must follow the Description of Duty-Free Retail Concept which is attached hereto (Annex 4 (hereinafter referred to as the “Description”)). The successful Tenderer shall be obliged to ensure that the products of brands, which are recognised by the majority of passengers, were sold in the Premises. As regards carrying out of commerce in the Premises, the range of the goods which must be agreed with the LOUVF may include: perfumery and cosmetics, alcoholic beverages (beer and cider may be sold only in packages of at least 6 bottles or cans, except for beer produced by small breweries which can be sold in units), drinking water, tobacco products (cartons or packets of cigarettes), packaged confectionery, packaged gourmet foods, watches, sunglasses, jewellery and costume jewellery, leather goods and clothing accessories (i.e. handbags, gloves, shawls, belts, scarves), toys, travel essentials (i.e. pillows, ear plugs, document holders), electronic goods (i.e. mobile phones, computers, tablet computers, accessories thereof, earphones, other small electronic equipment), fashion goods (i.e. clothes, footwear and other clothing accessories) and products manufactured by the Lithuanian manufacturers in Lithuania, i.e. Lithuanian alcoholic beverages, packaged confectionery, packaged gourmet foods, souvenirs

pakuotėse, gurmaniški maisto produktai pakuotėse, Lietuvą reprezentuojantys išskirtinai tik Lietuvoje pagaminti suvenyrai, tekstilės gaminiai (vilnos, lino, veltinio ir pan.), parfumerijos ir kosmetikos gaminiai, dizainerių kurti aksesuarai, autoriniai kūrėjų darbai). Patalpos bus skirtos tik prekybai vykdyti ir jose negalės būti vykdoma viešojo maitinimo veikla (įskaitant, tačiau neapsiribojant, negali būti parduodamas maistas ir gėrimai, skirti vartoti vietoje).8. Patalpose vykdydamas neapmuitinamų prekių („duty free“) parduotuvės veiklą nuomininkas privalės visu nuomos termino metu naudoti Konkurso sąlygų 17.1.-17.2. punkte nurodytus reikalavimus atitinkantį tarptautinį, registruotą prekės ženklą (-us), kuris bus nurodytas Konkurso paraiškoje.

9. Pažymėtina, kad Konkurso vykdymo metu Patalpos1 nėra parengtos Konkurso sąlygose nurodytai veiklai ir yra naudojamos kitoms LOUVF funkcijoms arba išnuomotos trečiosioms šalims. Tačiau LOUVF yra parengęs Vilniaus oro uosto terminalo kapitalinio remonto techninį darbo projektą (projektuotojas – UAB "Vilniaus architektūros studija") Nr. 2017-32/1 (toliau – Techninis projektas) ir suplanavęs iki Patalpų1 perdavimo dienos atlikti Keleivių terminalo kapitalinio remonto darbus, į kurių apimtį patenka ir Patalpų1 išplanavimo bei paskirties pakeitimas. LOUVF įsipareigoja iki Patalpų1 perdavimo Konkurso laimėtojui dienos, bet ne vėliau kaip iki 2018 m. liepos 31 d., suformuoti prekybines (komercines) zonas pagal Konkurso sąlygų priede Nr.1 pateiktus Techninio projekto sprendinius bei užtikrinti, kad Patalpos1 būtų atlaisvintos ir paruoštos perdavimui. Vadovaujantis Techniniame projekte aprašyta apimtimi bei Techniniame projekte numatytose vietose LOUVF Patalpose1 įsipareigoja: atlikti Patalpų1 perplanavimą, išgriauti pertvaras, demontuoti esama grindų dangą, įrengti naujas išorines pertvaras, įrengti elektros ir silpnų srovių įvadus, įrengti bendrą Patalpų1 apšvietimą, priešgaisrinę signalizaciją, perkelti vėdinimo ir vėsinimo sistemų vamzdžius. Patalpos1 išnuomojamos be neapmuitinamų prekių („duty free“) parduotuvių veiklai reikalingos įrangos ar baldų. Konkurso dalyvis, laimėjęs konkursą ir pasirašęs valstybės materialiojo turto nuomos sutartį, privalės pagal iš anksto su LOUVF suderintą projektą, parengtą atsižvelgiant į Techninio projekto sprendinius ir Aprašą, savo jėgomis ir lėšomis pilnai įrengti Patalpas1 ir pritaikyti jas Konkurso sąlygose nurodytai veiklai vykdyti, t.y. įrengti grindų dangą, Patalpų vidaus elektros bei silpnų srovių instaliaciją, baldus, prekybinę įrangą, apšvietimo techniką, vizualinės bei garsinės reklamos pateikimo priemones, kompiuterinę įrangą, telefonus, parduotuvių uždarymo bei apsaugos sistemas, žaliuzes ir kt. Investicijų dydis į Patalpų1

representing Lithuania and manufactured only in Lithuania, textile products (wool, linen, felt and similar), perfumery and cosmetics, designer accessories, artworks. The Premises shall be intended only for commerce and no catering activities (including, but not limited to sales of food and beverages and beverage serving activities) may be carried out in the Premises.

8. When carrying out the activities of duty-free shops in the Premises the Lessee shall be obliged to use an international registered trademark or international registered trademarks indicated in the Tender application and meeting the requirements provided for in paragraphs 17.1.–17.2. hereof throughout the entire Lease Period.9. It is to be noted that at the time of conducting the Tender Procedure the Premises1 are not prepared for the activities provided for in the Terms and Conditions of the Tender Procedure and are used for other functions of the LOUVF or are leased to third parties. Nevertheless, the LOUVF has drawn up the Technical Overhaul Repair Project of Vilnius Airport Passenger Terminal (designer Vilniaus architektūros studija UAB) No 2017-32/1 (hereinafter referred to as the “Technical Project”) and has planned to carry out the works of overhaul repair of the Passenger Terminal till the date of transfer of the Premises1 which include change of layout and purpose of use of the Premises1. The LOUVF shall undertake to form retail (commercial) zones according to the solutions of the Technical Project described in Annex 1 to the Terms and Conditions of the Tender Procedure and ensure that the Premises1 were vacated and prepared for transfer till the date of transfer of the Premises1 to the successful Tenderer, but not later than till 31st July 2018. The LOUVF shall undertake to carry out the following works within the scope described in the Technical Project and in the places specified in the Technical Project in the Premises1: carry out rearrangement of the Premises1, demolish the partitions, disassemble current flooring, erect new external partitions, install electrical and communication networks wiring inputs, install common lighting of the Premises1, fire alarm, reposition pipes of ventilation and air-conditioning systems. The Premises shall be leased without equipment or furniture necessary for the activities of duty-free shops. The Tenderer which is successful in the Tender Procedure and is awarded the state tangible property lease agreement must, at its own resources and expenses to fully equip the Premises1 and adapt them to performance of the activities specified in the Terms and Conditions of the Tender Procedure in accordance with the solutions of the Technical Project and the Description, i.e. install floor

įrengimą turės būti ne mažesnis, nei nurodyta Konkurso dalyvio paraiškoje.

10. Konkurso dalyvis, laimėjęs Konkursą, privalės įrengti Patalpas ne vėliau kaip per 3 (tris) mėnesius nuo Patalpų perdavimo dienos ir nepertraukiamai vykdyti veiklą visu nuomos termino metu. Patalpų perdavimo tvarka aprašyta nuomos sutarties projekte (Priedas Nr.5). Taip pat, Konkurso dalyvis, laimėjęs Konkursą, privalės užtikrinti, kad dalyje Patalpų1 būtų vykdoma laikina prekyba pereinamuoju laikotarpiu, tai yra nuo Patalpų1 (ar dalies Patalpų1) perdavimo dienos iki tol, kol per šiame punkte minimą laikotarpį Patalpos1 bus įrengtos pilna apimtimi. Išsamesnės laikinos prekybos sąlygos nurodytos nuomos sutarties projekte (Priedas Nr.5).

11. Konkurso dalyvis, laimėjęs Konkursą, įsipareigoja vykdydamas nurodytą veiklą vadovautis patvirtintu VĮ Lietuvos oro uostų klientų aptarnavimo standartu (toliau – Standartas). LOUVF turi teisę nuomos sutarties galiojimo laikotarpiu keisti ar papildyti Standartą.

12. Suinteresuoti asmenys ne vėliau kaip likus 3 darbo dienoms iki Konkurso dalyvių registracijos pradžios, t.y. ne vėliau kaip iki 2017 m. lapkričio mėn. 28 d. 17 val. darbo metu (nuo 8 iki 17 val.) gali apžiūrėti Patalpas1, iš anksto kreipęsi į LOUVF pardavimo vadovę Eglę Kiekšienę telefonu +370 5 2739 354 arba elektroniniu paštu e.kieksiene@vno.lt.

13. Pradinis nuompinigių dydis – 260.000 Eur be PVM už visą Patalpų1 plotą per mėn. (314.600 Eur su PVM per mėn.). Konkurso dalyvio, laimėjusio Konkursą ir pasirašiusio nuomos sutartį, pasiūlytas nuompinigių dydis bus perskaičiuojamas kas mėnesį proporcingai nuomininko gaunamoms pajamoms iš veiklos Patalpose1 vykdymo. Išsamesnės nuomos mokesčio perskaičiavimo sąlygos numatytos Patalpų nuomos sutarties projekte. Nuomininkas privalės mokėti nuomos mokestį kas mėnesį pagal pateiktą sąskaitą. Mokėjimai už praėjusį mėnesį atliekami iki to mėnesio, kai pateikiama sąskaita-faktūra, paskutinės kalendorinės dienos. Laiku nesumokėjus nuompinigių ir kitų nuomos sutartyje numatytų mokėjimų,

covering, internal electrical and communication networks wiring for the Premises, furniture, retail equipment, lighting equipment, visual and audio means of advertising, computer equipment, telephones, closing and security systems for shops, roller shutters and other. The amount of the investment in equipment of the Premises1 shall be not lower than indicated in the Tender application of the Tenderer.10. The successful Tenderer shall be obliged to equip the Premises not later than within 3 (three) months from the date of transfer of the Premises and carry out the activities throughout the entire lease period on a continuous basis. The procedure for transfer of the Premises shall be described in the draft lease agreement (Annex 5). Furthermore, the successful Tenderer shall be obliged to ensure that during the transitional period, i.e. from the date of transfer of the Premises1 (a part thereof) to the date of full equipment of all Premises1 to the extent provided for in the Premises1 and commencement of activities in all Premises1 within the time limit referred to in this paragraph the Lessee shall undertake to ensure that temporary retail was carried out in a part of the Premises1. More detailed conditions of temporary retail shall be set out in the draft lease agreement (Annex 5).11. When carrying out the afore-mentioned activities, the successful Tenderer shall undertake to follow the Customer Service Standard of the State Enterprise Lithuanian Airports (hereinafter referred to as the “Standard”). During the term of the lease agreement, the LOUVF shall be entitled to amend or supplement the Standard.12. The parties concerned shall be entitled to examine the Premises1 not later than 3 working days to the start of registration of the Tenderers, i.e. not later than till 28th November 2017 5:00 p.m. during the opening hours (from 8:00 a.m. to 5:00 p.m.) if they apply to LOUVF Sales Manager Eglė Kiekšienė in advance by telephone +370 5 2739 354 or by e-mail e.kieksiene@vno.lt.13. The initial lease payment shall be EUR 260.000 excluding VAT for the whole area of the Premises1 per month (EUR 314.600 including VAT per month). The amount of the lease payment offered by the successful Tenderer which is awarded the lease agreement shall be recalculated on a monthly basis in proportion to the income received by the lessee from the activities carried out in the Premises1. More detailed conditions of recalculation of the lease payment shall be provided for in the draft Premises lease agreement. The Lessee shall be obliged to pay the lease payment on a monthly basis according to the issued invoice. Payments for the previous month shall be made till the last calendar day of the month in which

Nuomininkas privalės mokėti Nuomotojui 0,05% (penkių šimtųjų procento) delspinigius, skaičiuojamus nuo nesumokėtos sumos už kiekvieną uždelstą dieną. Nuomos mokestis bei visi kiti mokėjimai pradedami skaičiuoti nuo Patalpų1 perdavimo dienos arba veiklos vykdymo Patalpose1 pradžios. Nuomos mokestis už Patalpas2 bus skaičiuojamas nuo veiklos vykdymo pradžios Patalpose2, bet ne vėliau kaip po 3 mėn. nuo Patalpų2 perdavimo. Patalpų2 vieno kvadratinio metro nuomos mokestis bus lygus Patalpų1 vieno kvadratinio metro nuomos mokesčiui. Išsamesnės nuomos mokesčio skaičiavimo sąlygos numatytos nuomos sutarties projekte.

14. Turtas išnuomojamas 6 (šešerių) metų laikotarpiui, tačiau ne ilgiau kaip iki 2024 m. gegužės 31 d. Pasibaigus nuomos terminui, su nuomininku visiškai įvykdžiusiu pagal nuomos sutartį prisiimtus įsipareigojimus, sutartis galės būti atnaujinama iki 4 (ketverių) metų laikotarpiui LOUVF pasiūlytomis sąlygomis.15. Nuomos sutarties projektas yra pateiktas LOUVF interneto tinklalapyje http://www.vno.lt.

III. KONKURSO DALYVIŲ KVALIFIKACIJOS REIKALAVIMAI

16. Konkurse gali dalyvauti Lietuvos Respublikos ir užsienio valstybių fiziniai, juridiniai asmenys, juridinio asmens statuso neturintys subjektai, jų filialai ar atstovybės, asmenys, sudarę rašytinį susitarimą (toliau vadinama - Konkurso dalyviai). Paraišką konkursui gali pateikti ir šiame punkte nurodytų asmenų tinkamai įgalioti atstovai, kartu su paraiška pateikdami Konkurso dalyvio išduotą įgaliojimą.

17. LOUVF, siekdamas išsiaiškinti, ar Konkurso dalyvis yra kompetentingas, patikimas ir pajėgus įvykdyti Konkurso sąlygas ir vykdyti nuomos sutartį, nustato Konkurso dalyviams kvalifikacijos reikalavimus. Konkurso dalyvis, pageidaujantis dalyvauti Konkurse, turi atitikti visus šiuos kvalifikacijos reikalavimus ir kartu su paraiška privalo pateikti nurodytus kvalifikacijos reikalavimus patvirtinančius dokumentus (jeigu Konkurso dalyvis negali pateikti žemiau nurodytų dokumentų, jis turi pateikti kitus dokumentus, patvirtinančius jo atitikimą keliamiems kvalifikaciniams reikalavimams):

the invoice is issued. In the event of a failure to pay the lease payments and other fees and charges provided for in the lease agreement, the Lessee shall be obliged to pay to the Lessor the default interest at the rate of 0.05 % (five hundredths per cent) of the outstanding amount for each day of delay. The lease payment and all other fees and charges shall be charged from the date of transfer of the Premises1 or the commencement of performance of the activities in the Premises1. The lease payment for the Premises2 shall be charged from commencement of the activities in the Premises2, but not later than three months from the transfer of the Premises2. The lease payment of one square meter of the Premises2 shall be equal to the lease payment of one square meter of the Premises1. More detailed conditions of calculation of the lease payment shall be provided for in the draft lease agreement.14. The Property shall be leased for the term of 6 (six) years, but not longer than till 31st May 2024. Upon expiry of the lease period, the agreement with the lessee which fully performs its obligations assumed under the lease agreement may be renewed for the term of up to 4 (four) years subject to the terms and conditions offered by the LOUVF.15. The draft lease agreement shall be available on the website of the LOUVF at http://www.vno.lt.

III. QUALIFICATION REQUIREMENTS FOR THE TENDERERS

16. The natural persons, legal persons, legal persons not having legal personality, branches or representative offices thereof, persons that have entered into a written agreement of the Republic of Lithuania or foreign countries (hereinafter referred to as the “Tenderers”) shall be entitled to participate in the Tender Procedure. The duly authorised representatives of the persons referred to in this paragraph shall also be entitled to submit a tender application by providing the power of attorney issued by the Tenderer alongside with the tender.17. In pursuance of finding out if the Tenderer is competent, reliable and capable of complying with the terms and conditions of the Tender Procedure and performing the lease agreement, the LOUVF shall establish qualification requirements for the Tenderers. The Tenderer wishing to participate in the Tender Procedure shall meet all the following qualification requirements and provide the documents supporting conformity with the qualification requirements together with the tender application (if the Tenderer cannot provide the documents specified below, it shall provide other documents supporting its conformity with the set qualification requirements):

communications, i.e. shop signboards, shop interior, advertising means, staff uniforms etc., (hereinafter referred to as the “Trademark”) of at least 10 (ten) duty-free shops (including at least 5 (five) shops in which alcoholic beverages, tobacco products, cosmetics and perfumery, confectionery are sold and 5 (five) shops in which products of at least one of the afore-mentioned categories are sold) in international airports (including at least 1 (one) airport of which annual passenger traffic for year 2016 is over five million passengers or which is the airport with the highest passenger movement2 in the country) located in at least 3 (three) different countries of the European Economic Area (EEA), the Middle East or North America.

Aiškumo dėlei pažymėtina, kad Prekės ženklo neapmuitinamų („duty free“) prekių parduotuve nėra laikoma parduotuvė, kurios apipavidalinime (pvz., šalia pavadinimo, ant interjero detalių ar kt. parduotuvės elementų) pagal atskirus susitarimus su gamintojais ar tiekėjais yra naudojamas tik konkretaus gėrimo, maisto produkto, kosmetikos ar parfumerijos gaminio, tabako ar kt. prekių prekės ženklas, pavyzdžiui „Gucci“, „Marlboro“, „Jack Daniels“, „Hugo Boss“ ir pan. Komisija, siekdama patikslinti deklaracijoje pateiktą informaciją, turi teisę be išankstinio įspėjimo susisiekti su deklaracijoje nurodytais oro uostų kontaktais. Komisija paraiškos vertinimo metu turi teisę pareikalauti Konkurso dalyvio pateikti ir kitokius, deklaracijoje nurodytus duomenis patvirtinančius dokumentus./In the course of evaluation of the tender application, the Commission shall be entitled to request that the Tenderer provided certified extracts from the provided contracts (lease, sub-lease, concession contracts etc.) or copies thereof evidencing that the Tenderer operates at least 10 (ten) duty-free shops indicated in the afore-mentioned declaration of the Tenderer within the time limit set by the Commission (usually not later than within 5 (five) working days from the date of delivery of a written notice of the Commission). During the tender application evaluation, the Commission shall be entitled to request that the Tenderer also provided other documents supporting the data indicated in the declaration.

Konkurso dalyvis turi pateikti frančizės ar jungtinės veiklos sutarties kopiją ar kt. Prekės ženklo naudojimo teisę įrodančių dokumentų kopiją. Jei Konkurso dalyvis dar nėra sudaręs Prekės ženklo naudojimo teisę suteikiančios sutarties, jis gali pateikti franšizės davėjo garantinį raštą

(tinkamai patvirtintą jo kopiją), kad sudarius nuomos sutartį iki veiklos vykdymo išsinuomotose patalpose pradžios Konkurso dalyvis įgis teisę naudoti Prekės ženklą šiose Konkurso sąlygose ir nuomos sutartyje nurodytomis sąlygomis./The Tenderer shall provide a copy of the franchise agreement or joint venture agreement or a copy of other documents evidencing the right of using the Trademark. If the Tenderer has not concluded a contract granting the right of use of the Trademark yet, it may provide a guarantee letter issued by the franchisor (a duly certified copy thereof) evidencing that, after conclusion of the lease agreement, the Tenderer shall acquire the right to use the Trademark under the terms and conditions provided for in these Terms and Conditions of the Tender Procedure and the lease agreement till commencement of the activities in the leased premises.

3. the number of passengers served by the international airport during year 2016 specifying if it is the airport with the highest passenger movement in the country;

4. the contact person of the international airport in which is the shop and his/her telephone and e-mail address;

5. the categories of goods sold in the shop;

6. the address of the shop, the right of possession (lease, sub-lease, concession etc.);

7. the registered trademark used in the name of the shop,

endorsed by the signature of the manager of the franchisor or an authorised person thereof (also providing the power of attorney) and the seal of the franchisor (if any).

Komisija, siekdama patikslinti deklaracijoje pateiktą informaciją, turi teisę be išankstinio įspėjimo susisiekti su oro uostu deklaracijoje nurodytais kontaktais. Jei Komisijai tris kartus nepavyksta susisiekti su oro uostu, kurio kontaktai pateikti deklaracijoje,

17.2. Komisija, siekdama patikslinti deklaracijoje pateiktą informaciją, turi teisę be išankstinio įspėjimo susisiekti su oro uostu deklaracijoje nurodytais kontaktais. Jei Komisijai tris kartus nepavyksta susisiekti su oro uostu deklaracijoje nurodytais kontaktais, yra laikoma, kad Konkurso dalyvio paraiška gali būti atmesta Konkurso sąlygų 43.3 punkto pagrindu./In order to specify the information provided in the declaration, the Commission shall be entitled to contact the contact persons of the airports indicated in the declaration without prior notice. In the event of a failure to contact the contact persons of the airports indicated in the declaration for three times, it shall be considered that the tender of the Tenderer may be rejected on the grounds provided for in paragraph 43.3 hereof.

Komisija paraiškos vertinimo metu turi teisę pareikalauti, kad dalyvis per Komisijos nustatytą terminą (paprastai ne vėliau kaip per 5 (penkias) darbo dienas nuo Komisijos rašytinio pranešimo pateikimo dienos), pateiktų sutarčių (nuomos, subnuomos, koncesijos ir pan.) patvirtintus išrašus arba jų kopijas, kurios įrodo, kad Konkurso dalyvis valdo ne mažiau kaip 10 (dešimt) neapmuitinamų („duty free“) prekių parduotuvių, nurodytų aukščiau aprašytoje Konkurso dalyvio deklaracijoje. Komisija paraiškos vertinimo metu turi teisę pareikalauti Konkurso dalyvio pateikti ir kitokius, deklaracijoje nurodytus duomenis

patvirtinančius dokumentus./In the course of evaluation of the tender application, the Commission shall be entitled to request that the Tenderer provided certified extracts from the provided contracts (lease, sub-lease, concession contracts etc.) or copies thereof evidencing that the Tenderer operates at least 10 (ten) duty-free shops indicated in the afore-mentioned declaration of the Tenderer within the time limit set by the Commission (as a rule, not later than within 5 (five) working days from the date of delivery of a written notice of the Commission). During the tender evaluation, the Commission shall be entitled to request that the Tenderer also provided other documents supporting the data indicated in the declaration.

17.4. Konkurso dalyvis yra tinkamai įgyvendinęs bent 1 (vieną) projektą, kai perėmus neapmuitinamų („duty free“) prekių parduotuvės patalpas viename iš Europos Ekonominės Erdvės (EEE), Viduriniųjų rytų arba Šiaurės Amerikos valstybių tarptautinių oro uostų (kuris per 2016 metus aptarnavo daugiau kaip 5 mln. keleivių arba yra šalies oro uostas su didžiausiu keleivių judėjimu) Konkurso dalyvis įrengė ne mažiau kaip 500 kv. m parduotuvę arba parduotuvių grupę ir pradėjo joje(-se) prekybinę veiklą (t.y. prekybą įskaitant, bet neapsiribojant, alkoholiniais gėrimais, tabako gaminiais, kosmetikos ir parfumerijos prekėmis, saldumynais) ne vėliau kaip po 24 (dvidešimt keturių) valandų nuo neapmuitinamų („duty free“) prekių parduotuvės patalpų, kurias prieš tai valdė kitas neapmuitinamų („duty free“) prekių parduotuvių operatorius, perėmimo. Toks projektas turi būti įgyvendintas ne anksčiau kaip prieš pastaruosius 10 (dešimt) metų iki paraiškų pateikimo termino pabaigos arba per laiką nuo Konkurso dalyvio įregistravimo dienos, jeigu Konkurso dalyvis veiklą pradėjo vykdyti vėliau./The Tenderer has properly implemented at least 1 (one) project where, having taken over the premises of duty-free shops in one of the international airports (of which annual traffic is over five million passenger movements during year 2016 or which is the airport with the highest passenger movement in the country) of the European Economic Area (EEA), the Middle

East or North America countries, the Tenderer equipped a shop or a group of shops the area of which is not smaller than 500 sq. m and commenced retail activities (i.e. retail including, but not limited to alcoholic beverages, tobacco products, cosmetics and perfumery, confectionery) in it/them not later than 24 (twenty four) hours from the moment of takeover of the premises of duty-free shops which were earlier operated by another operator of the duty-free shops. Such project must be implemented not earlier than 10 (ten) years to the expiry of the time limit for submission of tender applications or within the period from the date of incorporation of the Tenderer if the Tenderer started carrying out its activities later.

17.6. Konkurso dalyvis nėra bankrutuojantis, bankrutavęs, likviduojamas ar laikinai sustabdęs veiklą./The Tenderer is not in bankruptcy, bankrupt, in liquidation and have not suspended its activities.

Valstybės įmonės Registrų centro arba atitinkamos užsienio šalies institucijos išduotas dokumentas (originalas arba tinkamai patvirtinta kopija), patvirtinantis, kad konkurso dalyvis nėra bankrutavęs, likviduojamas, sustabdęs veiklą, jam nėra iškelta bankroto byla ar vykdomas bankroto procesas ne teismo tvarka, nėra siekiama priverstinio likvidavimo procedūros ar susitarimo su kreditoriais). Jei Konkurso dalyvio įsisteigimo šalyje toks dokumentas nėra išduodamas, Konkurso dalyvis turi teisę

pateikti deklaraciją dėl atitikties šiame punkte nustatytam kvalifikaciniam reikalavimui./ A document issued by the State Enterprise Centre of Registers or the respective foreign institution (original or duly certified copy) evidencing that that Tenderer is not bankrupt, is not being wound up, has not suspended its activities, is not the subject of bankruptcy proceedings and no out-of-court bankruptcy proceedings have been instituted against the Tenderer, no forced liquidation or arrangement with creditors is being sought. If such document is not issued in the country of establishment of the Tenderer, the Tenderer shall be entitled to provide a declaration of conformity with the qualification requirement established in this paragraph.

17.7. Konkurso dalyvis privalo pateikti Patalpų1 interjero įrengimo prieš projektinius pasiūlymus, kurių sudėtinės dalys yra šios:/The Tenderer must provide the pre-design solutions of design of the interior of the Premises1 the components of which shall be the following:17.7.1. funkcinės schemos visoms Patalpų1 dalims, kuriose pateiktas detalus baldų, įrangos, prekių kategorijų, išdėstymas, nurodant kiek kiekvienai prekių kategorijai skiriama prekybinio ploto, nurodant matmenis, baldų medžiagiškumą, spalvas, apšvietimo sprendinius, grindų dangas, keleivių judėjimo trajektorijas ir kt. interjero elementus;/functional designs of all parts of the Premises1 showing detailed layout of furniture, equipment, categories of goods, arrangement specifying the retail area allocated for each category of goods, indicating dimensions, materials, colours of furniture, lighting solutions, floor coverings, passenger movement paths and other elements of the interior;17.7.2. ne mažiau kaip 10 visose Patalpų1 dalyse įrengtų parduotuvių vizualizacijų iš skirtingų žiūrėjimo krypčių, kuriose matomi interjero, išplanavimo, medžiagiškumo bei spalvų sprendiniai tiksliai atitiktų 17.7.1. punkto funkcinės schemos turinį;/visualisation of at least 10 shops equipped in all parts of the Premises1 from different viewing angles where the visible solutions of the interior, layout, materials and colours precisely met the content of the

Pradinių (prieš pradedant vykdyti veiklą) investicijų į Patalpas apimtis negali būti mažesnė kaip 1.800 Eur be PVM vienam Patalpų kvadratiniam metrui. Įvardintos minimalios pradinės investicijos į Patalpas neapima kompiuterinės, programinės, apskaitos, telefonų įrangos./detailed programme of investment in the Premises1 which must specify the estimated preliminary amounts of investments in preparation of Premises1 design concept, as well as equipment of the Premises1 (flooring, suspended ceilings, internal electrical wiring, lighting equipment), furniture, retail equipment, visual and sound advertising means and other elements of the interior according to separate points. The scope of initial investments (made before starting the activities) in the Premises cannot be lower than EUR 1.800 excluding VAT per 1 sq. m of the Premises. The provided scope of initial investments in the Premises does not include computer, software, accounting and telephone equipment.

Prieš projektiniai pasiūlymai privalo būti ruošiami, besąlygiškai vadovaujantis LOUVF parengtu patalpų įrengimo koncepcijos aprašu, pridedamu prie Konkurso sąlygų./Pre-design solutions must be prepared unconditionally in accordance with the equipment of the premises described in the Description of Duty Free Retail Concept prepared by the LOUVF attached hereto.

Pažymime, kad tai bus tik preliminarus Patalpų1 įrengimo projektas. Išsamų Patalpų1 interjero projektą Konkursą laimėjęs dalyvis privalės parengti ir atskirai suderinti su LOUVF./Please note that this shall be only the preliminary design of equipment of the Prenuses1. Detailed design of the interior of the Premises1 shall be prepared by the successful Tenderer and separately

confirmed by the LOUVF.

Pažymime, kad nurodyta minimali pradinių investicijų į Patalpas apimtis, t.y. 1.800 EUR be PVM vienam Patalpų kvadratiniam metrui, bus taikoma ir Konkursą laimėjusiam dalyviui įrengiant Patalpas2, jei jos bus perduotos Konkursą laimėjusiam dalyviui./Please note that the provided scope of initial investments in the Premises, which is EUR 1.800 excluding VAT per 1 sq. m. of the Premises, will apply for the successful Tenderer when equipping Premises2, if Premises2 will be transferred to the successful Tenderer.

17.8. Konkurso dalyvis privalo pateikti veiklos vykdymo planą, kurio sudėtinės dalys yra šios:/The Tenderer shall be obliged to provide a business plan the components of which shall be as follows:17.8.1. prekės ženklo pristatymas, kuriame aprašoma Prekės ženklo istorija, tarptautinė patirtis, žinomumas, naudojimo ypatumai („brandbook“ ištrauka, naudojami šūkiai, monochrominės versijos ir kt.);/presentation of the Trademark which describes the history, international experience, reputation of the Trademark, peculiarities of use thereof (extract from the brandbook, used slogans, monochromic versions etc.);17.8.2. planuojami pardavimai (Eur be PVM) išskiriant kiekvieną prekių kategoriją atskirai už 2018 metus pamėnesiui ir metiniai už 2019-2023 metus įvertinant prognozuojamus keleivių srautus, pateiktus priede nr. 7;/planned sales (EUR excluding VAT) distinguishing each category for the year 2018 by month and annual sales for the period of 2019-2023 taking into account the forecasted numbers of passengers specified in Annex 7;17.8.3. rinkodaros priemonių taikymo ir pardavimų skatinimo planas pirmiems 12 (dvylika) veiklos mėnesių, nurodant konkrečias planuojamas priemones, kurios bus taikomos ne mažiau kaip 3 kasmetinėms šventėms (Kalėdoms, Velykoms, Joninėms ir pan.)./plan for application of marketing measures and sales promotion for the first 12 (twelve) months of operations specifying the particular planned measures which shall be applied at least for 3 annual holidays (Christmas, Easter, Saint John’s Eve etc.).

Pastaba. Dokumentų kopijos yra tvirtinamos dalyvio ar jo įgalioto asmens parašu, nurodant žodžius „Kopija tikra“ ir pareigų pavadinimą, vardą (vardo raidę), pavardę, datą ir antspaudą (jei turi). Visi pateikti dokumentai privalo būti lietuvių kalba. Dokumentai išversti iš užsienio kalbos privalo būti patvirtinti vertėjo. LOUVF pasilieka sau teisę prašyti dokumentų originalų./Note. Copies of the documents shall be endorsed by the signature of Tenderer or an authorised person thereof indicating the words “True copy” and the title of the position, name (first letter of the name), surname, date and stamp (if any). All provided documents must be in the Lithuanian language. The documents translated from a foreign language shall be certified by the translator. The LOUVF shall reserve the right to request for original documents.

Jei Konkurse dalyvauja ūkio subjektų grupė, ji pateikia jungtinės veiklos sutarties kopiją. Jungtinės veiklos sutartyje turi būti nurodyti kiekvienos šios sutarties šalies įsipareigojimai vykdant numatomą su Nuomotoju sudaryti nuomos sutartį. Jungtinės veiklos sutartis turi numatyti solidarią visų šios sutarties šalių atsakomybę už prievolių Nuomotojui nevykdymą. Taip pat jungtinės veiklos sutartyje turi būti numatyta, kuris asmuo atstovauja ūkio subjektų grupei (su kuo Nuomotojas turėtų bendrauti paraiškos vertinimo metu kylančiais klausimais, o taip pat nuomos sutarties vykdymo metu). Nuomos sutartis bus sudaroma su jungtinės veiklos sutartyje nurodytu atsakingu partneriu. Jungtinės veiklos sutartyje turi būti nustatytas draudimas keisti ūkio subjektų grupės narių sudėtį iki ir po nuomos sutarties sudarymo, o taip pat turi būti numatyta atsakingojo ūkio subjektų grupės nario keitimo nekeičiant ūkio subjektų grupės narių sudėties tvarka. Be išankstinio raštiško LOUVF sutikimo jungtinės veiklos sutartis negali būti keičiama.

Jei Konkurse dalyvauja ūkio subjektų grupė, veikianti jungtinės veiklos sutarties pagrindu, Konkurso sąlygų 17.3, 17.4 ir 17.5 punktuose nustatytus kvalifikacinius reikalavimus turi atitikti ir pateikti nurodytus dokumentus ūkio subjektų grupės narys, kuris laimėjus konkursą Patalpose faktiškai vykdytų neapmuitinamų prekių („duty free“) parduotuvės veiklą, o kituose šių Konkurso sąlygų punktuose nustatytus kvalifikacinius reikalavimus turi atitikti ir pateikti nurodytus dokumentus bent vienas ūkio subjektų grupės narys arba visi ūkio subjektų grupės nariai kartu.

Jei Konkurse dalyvauja dalyvis, kuris nėra įsisteigęs Lietuvos Respublikoje, toks dalyvis Konkurso laimėjimo atveju nuomos sutarties vykdymo tikslu turi teisę per 30 (trisdešimt) kalendorinių dienų nuo

If a group of economic entities participates in the Tender Procedure, it shall submit a copy of the joint venture agreement. The joint venture agreement shall specify the obligations of each party to the agreement in relation to performance of the agreement to be concluded with the Lessor. The joint venture agreement shall provide for joint and several liability of all parties to the agreement for failure to fulfil their obligations to the Lessor. Furthermore, the joint venture agreement shall indicate the person representing the group of economic entities (the person with whom the Lessor should contact for the issues arising during the evaluation of tender application and in the course of performance of the lease agreement). The lease agreement shall be concluded with the responsible partner indicated in the joint venture agreement. The joint venture agreement shall provide for the prohibition to change the composition of the members of the group of economic entities till and after conclusion of the lease agreement and the procedure for replacement of the responsible member of the group of economic entities without changing the composition of the members of the group of economic entities. The joint venture agreement cannot be amended without a prior written consent of the LOUVF.If a group of economic entities acting on the basis of the joint venture agreement participates in the Tender Procedure, the qualification requirements provided for in paragraphs 17.3, 17.4 and 17.5 hereof must be met and the indicated documents must be provided by the member of the group of economic entities whom in case of success in the Tender Procedure, would actually carry out the activities of duty-free shops in the Premises and the qualification requirements established in other paragraphs hereof must be met and the indicated documents must be provided by at least one member of the group of economic entities or all members of the group of economic entities together.If a Tenderer not established in the Republic of Lithuania participates in the Tender Procedure, in case of success in the Tender Procedure, such Tenderer shall be entitled to establish a legal person in the

IV. PARAIŠKŲ RENGIMAS, PATEIKIMAS, KEITIMAS

18. Konkurso etapai:

18.1. Konkurso dalyvių vokų registracija;

18.2. Konkurso dalyvių pateiktų vokų atplėšimas bei Konkurso dalyvių finansinių pasiūlymų vertinimas;18.3. Konkurso dalyvio, pateikusio geriausią finansinį pasiūlymą, kvalifikacijos vertinimas.19. Konkurso dalyvis paraišką privalo parengti pagal šiose Konkurso sąlygose pateiktą paraiškos formą. Konkurso dalyvio paraišką sudaro šių dokumentų visuma:

19.1. užpildyta paraiškos forma (Priedas Nr.2 ir Nr.3; projektai yra pateikti LOUVF interneto tinklalapyje http://www.vno.lt) su priedais: dalyvio išrašo iš VĮ Registrų centras kopijos ar kitų dalyvio steigimo faktą patvirtinančių dokumentų kopijos bei Konkurso dalyvio atitikimą kvalifikaciniams reikalavimams patvirtinantys dokumentai, nurodyti šių Konkurso sąlygų 17 punkte;

19.2. nustatyta tvarka patvirtintas įgaliojimas, jeigu Konkurso dalyviui Konkurse atstovauja jo įgaliotas asmuo.20. Konkurso dalyvio paraiška turi būti parengta lietuvių kalba. Susirašinėjimas tarp Konkurso dalyvio ir LOUVF atstovų taip pat vykdomas lietuvių kalba. Jei paraiškoje nurodytą informaciją pagrindžiantys dokumentai (pvz., pažymos, sertifikatai, sutartys ir kt.), kuriuos kartu su paraiška pateikia Konkurso dalyvis, yra pateikiami kita nei lietuvių kalba, tokiu atveju prie šių dokumentų turi būti pridedamas tikslus vertėjo, turinčio teisę verstis tokia veikla, patvirtintas dokumento vertimas į lietuvių kalbą. Paraiškos, neatitinkančios šiame punkte nurodytų kalbos reikalavimų, svarstomos nebus.

21. Paraiškos su visais priedais lapai turi būti sunumeruoti, susiūti taip, kad nepažeidžiant susiuvimo nebūtų galima į paraišką įdėti naujų lapų, išplėšyti lapų arba juos pakeisti, ir paskutinio lapo antroje pusėje

Republic of Lithuania which shall carry out the activities in the leased Premises and with which the lease agreement shall be concluded in accordance with the procedure prescribed herein within 30 (thirty) calendar days since the time when Tender results have been received.

IV. DRAWING UP, AMENDMENT, AMENDMENT OF TENDERS

18. The stages of the Tender Procedure shall be as follows:18.1.Registration of the envelopes with tender applications of the Tenderers;18.2.Opening of tender applications of the Tenderers and evaluation of financial proposals of the Tenderers;18.3.Assessment of the qualification of the Tenderer who has submitted the best financial proposal.19. The Tenderer shall draw up a tender application in accordance with the form of the tender application laid down herein. The tender application of the Tenderer shall consist of the following documents as a whole:19.1.the completed form of the tender application (Annex 2 and Annex 3; the drafts shall be available on the website of the LOUVF at http://www.vno.lt) including annexes thereto: copies of an extract from the State Enterprise Centre of Registers concerning the Tenderer or copies of other documents supporting the fact of incorporation of the Tenderer and the documents supporting the conformity of the Tenderer with the qualification requirements set out in paragraph 17 hereof;19.2.the power of attorney certified under the established procedure if the Tenderer is represented by its authorised person in the Tender Procedure.20. The tender application submitted by the Tenderer shall be prepared in the Lithuanian language. Correspondence between the representatives of the Tenderer and the LOUVF shall be conducted in the Lithuanian language. If the documents supporting the information contained in the tender (for example, notes, certificates, contracts etc.) which are provided by the Tenderer together with the tender application are provided in a language other than the Lithuanian language, an accurate translation of the document into the Lithuanian language certified by the translator entitled to engage in such activities shall be attached to such documents. The tender applications not meeting the requirements of the language provided for herein above shall not be considered.21. The pages of the tender application with all annexes shall be numbered, thread-sewn so that new pages could not be inserted in the tender application, removed from the tender or replaced without damaging the binding and the overleaf of the last page must bear

22. Paraiška dedama į voką, kuris LOUVF pateikiamas užklijuotas. Ant voko turi būti užrašyta ši informacija: turto, kurio nuomos konkursas buvo skelbtas, pavadinimas, turto buvimo vieta (adresas), nuoroda „Turto nuomos konkursui" bei Konkurso dalyvio pavadinimas.

23. Vokas su paraiška neregistruojamas, jeigu Konkurso dalyvis nesumokėjo pradinio įnašo ir nepateikė finansų įstaigos išduotų dokumentų, patvirtinančių, kad šis įnašas sumokėtas, jeigu pateikė neužklijuotą voką arba pasibaigus skelbime nurodytam dokumentų registravimo laikui, jeigu pagal užrašą ant gauto užklijuoto voko neįmanoma identifikuoti norimo išsinuomoti valstybės turto, jeigu nurodyti trūkumai neištaisomi, kol dokumentai registruojami.

24. Vokai su paraiškomis turi būti pateikti ne anksčiau kaip 2017 m. gruodžio 4 d. 10 val. ir ne vėliau kaip 2017 m. gruodžio 15 d. 10 val. adresu: Rodūnios kelias 10A, LT-02189 Vilnius, sekretoriato specialistėms (kontaktai: tel. 8-5 2739068 arba 8-5 2739369, el. paštas r.cibiene@ltou.lt arba d.naruseviciene@ltou.lt ).25. Vėliau pateikti vokai yra neregistruojami ir grąžinami juos pateikusiems Konkurso dalyviams.

26. Nesibaigus paraiškų pateikimo terminui, LOUVF turi teisę savo iniciatyva paaiškinti, patikslinti Konkurso sąlygas.

27. Konkurso sąlygos gali būti paaiškinamos, patikslinamos Konkurso dalyvių iniciatyva, jiems elektroniniu paštu e.kieksiene@vno.lt kreipiantis į LOUVF. Konkurso dalyviai turėtų būti aktyvūs ir pateikti klausimus iš karto išanalizavę Konkurso sąlygas, atsižvelgdami į tai, kad pasibaigus paraiškų padavimo terminui paraiškų turinio keisti nebus galima.

28. the signature of the Tenderer or an authorised person thereof, the name, surname, position (if any) of the Tenderer or an authorised person thereof and the number of pages of the tender.22. The tender application shall be inserted in an envelope which shall be provided sealed to the LOUVF. The envelope must contain the following information: name of the property for the lease of which the Tender Procedure was published, the location (address) of the property, reference “For the Tender Procedure for the Lease of Property” and the name of the Tenderer.23. An envelope with the tender application shall not be registered if the Tenderer has failed to pay the initial contribution and has failed to provide the documents evidencing payment of the afore-mentioned contribution issued by a financial institution, if the tender application is submitted in a not sealed envelope or after expiry of the time limit for registration of the documents indicated in the notice, if the entry on the received sealed envelope does not allow identifying the state property the Tenderer wishes to lease, if the specified shortcomings are not remedied during the term of registration of the documents.24. Envelopes with the tender applications shall be submitted not earlier than on 4th December 2017 10 a.m. and not later than on 15th December 2017 10 a.m. at the address: Rodūnios kelias 10A, LT-02189 Vilnius, to the specialists of the Secretariat (contact details: tel. 8-5 2739068 or 8-5 2739369, e-mail r.cibiene@ltou.lt or d.naruseviciene@ltou.lt ).25. Envelopes which are submitted later shall not be registered and shall be returned to the Tenderers who have submitted them.26. Before expiry of the time limit for submission of tender applications, the LOUVF shall, on its own initiative, be entitled to clarify, fine-tune the Terms and Conditions of the Tender Procedure.27. The Terms and Conditions of the Tender Procedure may be clarified, fine-tuned on the initiative of the Tenderers if they apply to the LOUVF by e-mail e.kieksiene@vno.lt. The Tenderers should be active and ask questions immediately after analysing the Terms and Conditions of the Tender Procedure, taking into account the fact that, upon expiry of the time limit for submission of tenders, the content of the tender application cannot be changed.28. The Tenderers willing to access full Technical Overhaul Repair Project of the Passenger Terminal of Vilnius Airport shall be entitled to apply to the Sales Manager of the LOUVF Eglė Kiekšienė by telephone +370 5 2739 354 or by e-mail e.kieksiene@vno.lt till 13th December 2017.29. At least 2 (two) working days to the expiry of the deadline for submission of tender applications, i.e. till

termino pabaigos likus ne mažiau kaip 2 (dviem) darbo dienoms, t.y. iki 2017 m. gruodžio 13 d., turi teisę Konkurso sąlygų 27 p. nurodytu būdu kreiptis į LOUVF dėl Konkurso sąlygų paaiškinimo. Į kiekvieną Konkurso dalyvio paklausimą LOUVF atsako raštu (paklausimą pateikusio dalyvio nurodytu elektroniniu paštu) ne vėliau kaip per 2 (dvi) darbo dienas nuo paklausimo gavimo dienos ir paklausimo bei atsakymo turinį (jo esmę), viešina LOUVF interneto tinklalapyje adresu http://www.vno.lt, kad visi Konkurso dalyviai galėtų su jais susipažinti. Konkurso dalyvių paklausimai, gauti likus 2 (dviem) darbo dienoms iki paraiškų pateikimo termino pabaigos ar vėliau, nesvarstomi.

30. Įregistruotas Konkurso dalyvis iki registravimo termino pabaigos turi teisę atšaukti pateiktą paraišką ir pateikti naują paraišką ir kitus 17 punkte nurodytus dokumentus. Tokiu atveju Konkurso dalyvių registracijos pažymoje įrašoma, kad ankstesnė paraiška atšaukta ir, jeigu pateiktas naujas vokas, nurodoma naujo voko pateikimo data ir laikas. Konkurso dalyviui, pateikusiam voką su naujais dokumentais, suteikiamas naujas registracijos numeris. Draudžiama pateikti naują paraišką, neatšaukus ankstesniosios. Konkurso dalyviui, atšaukusiam pateiktą paraišką, jo pateikti dokumentai grąžinami įvykus Konkursui arba, jeigu dalyvauti Konkurse neįsiregistruoja nė vienas kitas asmuo, pasibaigus dokumentų registravimo terminui.

31. Konkurso dalyvis prieš atvykdamas registruotis konkurso dalyviu, privalo pervesti į LOUVF sąskaitą pradinį įnašą, lygų paskelbtam 3 mėnesių pradiniam nuompinigių dydžiui su PVM, t.y. 943.800 Eur. Konkurso dalyvių, kurie pradinio įnašo nustatytu laiku neperveda į kredito įstaigos sąskaitą ir nepateikia tai įrodančio finansų įstaigos dokumento, pateikti vokai su paraiškomis nėra registruojami ir neatplėšti ne vėliau kaip kitą darbo dieną po dokumentų gavimo grąžinami Konkurso dalyviui.

32. Kredito įstaigos ir sąskaitos, į kurią turi būti sumokėtas pradinis įnašas, duomenys: VĮ Lietuvos oro uostai, juridinio asmens kodas 120864074, A/s LT334010042500070513, AB DNB bankas.

33. Paraiškos teikėjai (jei paraišką teikia ūkio subjektų grupė, visi ūkio subjektų grupės nariai) paraiškos teikimo dieną negali būti skolingi LOU. LOU skolininkų pateiktos paraiškos svarstomos nebus.

13th December 2017, the Tenderer shall be entitled to apply to the LOUVF for clarification of the Terms and Conditions of the Tender Procedure in the manner provided for in paragraph 27 hereof. The LOUVF shall reply to each enquiry of the Tenderer in writing (by the e-mail indicated by the Tenderer that have provided the inquiry) not later than within 2 (two) working days from the date of receipt of the enquiry and shall publish the content of the enquiry and reply (substance thereof) on the website of the LOUVF at http://www.vno.lt so that all Tenderers could access them. The enquiries of the Tenderers received 2 (two) working days to the expiry of the time limit for submission of tenders or later shall not be considered.30. The registered Tenderer shall be entitled to withdraw his tender application and submit a new tender application and other documents set out in paragraph 17 hereof before expiry of the time limit for registration. In such case, the certificate of registration of the Tenderers shall state that a previously submitted tender application has been revoked and, a new envelope is submitted, the date and time of submission of the new envelope shall be indicated. A new registration number shall be assigned to the Tenderer that has submitted an envelope with new documents. Submission of a tender application without revocation of the previous tender application shall be prohibited. The documents shall be returned to the Tenderer that has revoked the submitted tender application after the Tender Procedure or, if no other persons register for participation in the Tender Procedure, upon expiry of the time limit for registration of documents.31. Before appearing for registration as a tenderer, the Tenderer must transfer the initial contribution equal to the indicated lease payment including VAT for 3 months, i.e. EUR 943.800, to the account of the LOUVF. The envelopes with tender applications of the Tenderers who fail to transfer the initial contribution to the account opened at a credit institution and fail to provide a supporting document issued by the financial institution shall not be registered and shall be returned to the Tenderer not later than on the working day following the date of receipt of the documents.32. The details of the credit institution and the account to which the initial contribution must be paid shall be as follows: State Enterprise Lithuanian Airports, legal entity registration number 120864074, a/c LT334010042500070513, DNB bankas AB.33. On the date of submission of the tender application, the Tenderers (if the tender application is submitted by a group of economic entities, all members of the group of economic entities) cannot be in debt to the LOU. The tender applications submitted by the debtors of the LOU shall not be considered.

V. OPENING OF ENVELOPES AND

V. VOKŲ ATPLĖŠIMAS IR PARAIŠKŲ VERTINIMAS

34. Komisijos posėdis, kurio metu bus atplėšti vokai su paraiškomis, vyks 2017 m. gruodžio 15 d. 13 val. LOUVF administracijos patalpose, adresu: Rodūnios kelias 10A, LT-02189 Vilnius (toliau – Komisijos posėdis). Komisijos posėdis vyks vadovaujantis aprašu.

35. Konkurso dalyviai ir/ arba jų įgalioti atstovai, norintys dalyvauti Komisijos posėdyje, turi pateikti konkurso dalyvio registracijos pažymėjimą ir asmens pažymėjimą (pažymėjimus);

36. Dalyvaujantiems Konkurso dalyviams ar jų įgaliotiems atstovams skelbiamas kiekvieną paraišką pateikusio Konkurso dalyvio pavadinimas, paraiškoje nurodytas nuompinigių dydis ir pranešama, ar pateikta paraiška yra susiūta, sunumeruota ir paskutinio lapo antroje pusėje patvirtinta Konkurso dalyvio ar jo įgalioto asmens parašu, ar nurodytas paraišką sudarančių lapų skaičius.

37. Atplėšus vokus, Komisija sudaro Konkurso dalyvių pasiūlymų eilę, atsižvelgdama į didžiausią pasiūlytų nuompinigių sumą.

38. Paskelbti Konkurso dalyviai ir jų pasiūlyti nuompinigių dydžiai yra įrašomi į protokolą. Eilėje pirmuoju įrašomas Konkurso dalyvis, pasiūlęs didžiausią nuompinigių sumą.39. Posėdžio, kurio metu yra atplėšiamos paraiškos, rezultatai įforminami protokolu, kurį ne vėliau kaip kitą darbo dieną po Komisijos posėdžio pasirašo Komisijos pirmininkas ir Komisijos nariai. Prie protokolo pridedama Konkurso sąlygų skelbimo spaudoje iškarpa, nurodoma data ir leidinio pavadinimas. Kiekvienas Konkurso dalyvis arba jo atstovas turi teisę nuo protokolo pasirašymo dienos susipažinti su protokolu.

40. Tolesnes paraiškų nagrinėjimo ir vertinimo procedūras Komisija atlieka Konkurso dalyviams ar jų įgaliotiems atstovams nedalyvaujant.

41. Tikrinami tik didžiausią nuompinigių sumą pasiūliusio Konkurso dalyvio kvalifikacinius reikalavimus įrodantys dokumentai bei kiti privalomi paraiškos duomenys. Komisija tikrina Konkurso dalyvio kvalifikacijos duomenų atitiktį Konkurso sąlygose nustatytiems kvalifikacijos reikalavimams.

EVALUATION OF TENDER APPLICATIONS

34. The meeting of the Commission during which envelopes with tender applications shall be opened shall take place on 15th December 2017 at 1 p.m. in the administrative premises of the LOUVF at the address: Rodūnios kelias 10A, LT-02189 Vilnius (hereinafter referred to as the “Meeting of the Commission”). The Meeting of the Commission shall be held in accordance with the description.35. The Tenderers and/or authorised representatives thereof willing to attend the Meeting of the Commission shall present the Tenderer registration certificate and the identification certificate (certificates).36. The name of each Tenderer that submitted a tender application and the amount of the lease payment indicated in the tender application shall be announced to the Tenderers participating in the Tender Procedure or authorised representatives thereof and they shall be notified if the submitted tender application has been thread-sewn and numbered and bear the signature of the Tenderer or its authorised representative on the backside of the last page or whether the number of the pages constituting the tender application has been indicated.37. After opening of tender applications, the Commission shall produce a ranking of the tender applications submitted by the Tenderers taking into account the highest amount of the offered lease payment.38. The announced Tenderers and the amounts of the lease payment offered by them shall be recorded in the minutes. The Tenderer which offers the highest amount of the lease payment shall be first in the ranking.39. The results of the meeting during which the tender applications are opened shall be executed by a minutes which shall be signed by the Chair of the Commission and the members of the Commission not later than on the next working day. A cutting of a notice of the Terms and Conditions of the Tender Procedure in the press shall be attached to the minutes, the date and name of the publication shall be indicated. Each Tenderer or a representative thereof shall be entitled to access the minutes from the date of signature of the minutes.40. Further tender examination and evaluation procedures shall be carried out by the Commission not in the presence of the Tenderers or authorised representatives thereof.41. Only the documents supporting conformity with the qualification requirements and other mandatory data of the tender application which are provided by the Tenderer which has offered the highest amount of the lease payment shall be verified. The Commission shall verify the conformity of the Tenderer’s

42. Jeigu nustatoma, kad didžiausią nuompinigių sumą pasiūliusio Konkurso dalyvio pateikti kvalifikacinius reikalavimus įrodantys dokumentai yra neišsamūs arba netikslūs, ar Komisijai kyla abejonių dėl Konkurso dalyvio deklaracijoje nurodytų duomenų realumo, Komisija prašo dalyvio juos patikslinti, t.y. papildomai pateikti kvalifikacinių reikalavimų atitikimą pagrindžiančių sutarčių kopijas, trečiųjų šalių deklaracijas, patvirtinimus ir pan. (jei Konkurso dalyvis nepateikė jokių kvalifikacijos atitiktį patvirtinančių dokumentų, jis neįgyja teisės paaiškinti savo kvalifikacijos). Šiam dalyviui dėl kokių nors priežasčių per Komisijos nustatytą terminą nepatikslinus minėtų dokumentų, nepateikus prašomų dokumentų, tikrinami kito pagal sudarytą pasiūlymų eilę Konkurso dalyvio kvalifikacinius reikalavimus įrodantys dokumentai. Komisijai nustačius, kad pateikti dokumentai atitinka visus kvalifikacinius reikalavimus, atitinkamas Konkurso dalyvis pripažįstamas Konkurso laimėtoju. Visus šiame punkte aptartus veiksmus Komisija atlieka ne vėliau kaip per 10 (dešimt) darbo dienų nuo posėdžio, kurio metu buvo atplėšti vokai su paraiškomis, dienos išskyrus atvejus, kai atsiranda aplinkybių, dėl kurių šis terminas objektyviai turi būti ilgesnis (pvz., Komisija pakartotinai prašo Konkurso dalyvio patikslinti duomenis, Komisijos narys atostogauja ar yra komandiruotėje ir Komisija negali priimti sprendimo ir pan.). Komunikacija tarp Komisijos ir Konkurso dalyvio vykdoma Konkurso dalyvio paraiškoje nurodyto elektroninio pašto adresu.

43. Konkursą laimi Konkurso dalyvis, paraiškoje nurodęs didžiausią nuompinigių sumą, pateikęs visus privalomus dokumentus bei atitinkantis visus kvalifikacinius reikalavimus. Jeigu tokią pat sumą (didžiausią) pasiūlo keli Konkurso dalyviai, laimėtoju pripažįstamas dalyvis, anksčiau įregistruotas Konkurso dalyvių registracijos pažymoje, pateikęs visus privalomus dokumentus bei atitinkantis visus kvalifikacinius reikalavimus.

44. Komisija Konkurso dalyvio paraišką atmeta, jeigu:44.1. Konkurso dalyvis pateikia daugiau kaip vieną paraišką;44.2. Konkurso dalyvio paraiška neatitinka Konkurso sąlygose numatytų reikalavimų;

If it is determined that the documents evidencing the qualification requirements provided by the Tenderer which has offered the highest amount of the lease payment are incomplete or inaccurate or the Commission has doubts as to reality of the data indicated in the declaration of the Tenderer, the Commission shall request to specify such data, i.e. additionally provide copies of the contracts supporting conformity with the qualification requirements, declarations, confirmations of third parties etc. (if the Tenderer has failed to provide any documents supporting their conformity with the qualification requirements, he shall not acquire the right to clarify his qualification). If the afore-mentioned Tenderer fails, for any reasons, to revise the afore-mentioned documents, fails to provide the requested documents within the time limit set by the Commission, the documents supporting the Tenderer’s conformity with the qualification requirements that is next in the ranking order shall be verified. If the Commission determines that the provided documents meet all qualification requirements, the respective Tenderer shall be recognised as the successful Tenderer. The Commission shall carry out all actions mentioned in this paragraph herein above not later than within 10 (ten) working days from the date of the meeting during which envelopes with the tender applications are opened, except for the cases where the circumstances due to which the time limit should reasonably be longer (for example, if the Commission repeatedly requests the Tenderer to specify the data, a member of the Commission is on lease or on a secondment and the Commission cannot take a decision etc.). Communication between the Commission and the Tenderer shall be conducted by the e-mail address indicated in the tender application submitted by the Tenderer.43. The successful Tenderer shall be the Tenderer that indicates the highest amount of the lease payment in the tender application, provides all mandatory documents and meets all qualification requirements. If such amount (the highest amount) is offered by several Tenderers, the tenderer which was earlier registered in the certificate of registration of the Tenderers, provided all mandatory documents and meets all qualification requirements shall be recognised as the successful Tenderer.44. The Commission shall reject the tender application submitted by the Tenderer if:44.1.the Tenderer submits more than one tender

application;44.2.the tender application submitted by the Tenderer does not meet the requirements provided for in the Terms and Conditions of the Tender Procedure;

44.3. Konkurso dalyvis neatitinka Konkurso sąlygų 17 punkte nustatytų kvalifikacijos reikalavimų ir (ar) per Komisijos nustatytą terminą nepatikslina duomenų apie atitiktį kvalifikaciniams reikalavimams;

44.4. Konkurso Komisija negali įsitikinti Konkurso dalyvio atitiktimi kvalifikaciniams reikalavimams dėl informacijos, kurią jai suteikia oro uostų, nurodytų Konkurso dalyvio deklaracijose, atstovai;

44.5. Konkurso dalyvis apie savo atitiktį kvalifikaciniams reikalavimams pateikia melagingą informaciją;44.6. Konkurso dalyvio paraiškoje numatytas nuomos tikslas neatitinka Konkurso sąlygų 8 punkte numatytų apribojimų;44.7. Siūlomas nuompinigių dydis yra mažesnis už minimalų nuompinigių dydį, nurodytą skelbime ir šiose Konkurso sąlygose.

45. Konkurso rezultatai įforminami protokolu, kurį ne vėliau kaip kitą darbo dieną pasirašo Komisijos pirmininkas ir Komisijos nariai. Prie protokolo pridedama visa Konkurso sąlygų 41 punkte nurodyta komunikacija tarp Komisijos ir Konkurso dalyvių (jei tokia buvo). Kiekvienas konkurso dalyvis arba jo atstovas turi teisę nuo protokolo pasirašymo dienos susipažinti su protokolu.

46. Jeigu dalyvauti turto nuomos Konkurse nustatytąja tvarka užsiregistravo tik vienas Konkurso dalyvis, kuris atitinka Konkurso sąlygose nustatytus kvalifikacinius reikalavimus, pasiūlęs nuompinigių ne mažiau už nustatytą pradinį nuompinigių dydį, ir atitinkantis visus kvalifikacinius reikalavimu, jis laikomas Konkurso laimėtoju. Jei Konkurse dalyvauja tik vienas dalyvis, Komisija turi teisę tokio dalyvio paraišką išnagrinėti ir iškart paskelbti Konkurso rezultatus Konkurso sąlygų 33 punkte nurodytame posėdyje, nerengdama atskiro posėdžio kvalifikacijai vertinti.

47. Jeigu dalyvauti Konkurse neužsiregistravo nė vienas dalyvis arba nei vienas Konkurso dalyvis neatitinka kvalifikacinių reikalavimų, arba visi Konkurso dalyviai pasiūlė mažesnį nuompinigių dydį už nustatytą pradinį nuompinigių dydį ir (ar) buvo atmestos visų Konkurso dalyvių paraiškos, Konkursas skelbiamas neįvykusiu.

VI. KITOS KONKURSO SĄLYGOS

44.3.the Tenderer does not meet the qualification requirements established in paragraph 17 hereof and/or fails to specify the data on his conformity with the qualification requirements within the time limit set by the Commission;44.4.the Commission of the Tender Procedure cannot satisfy itself of the Tenderer’s conformity with the qualification requirements due to information provided to it by the representatives of the airports indicated in the declarations of the Tenderer;44.5.the Tenderer has provided false information on his conformity with the qualification requirements;

44.6.the purpose of lease indicated in the tender application submitted by the Tenderer does not meet the restrictions set out in paragraph 8 hereof;44.7.the offered amount of the lease payment is lower than the minimum amount of the lease payment indicated in the notice and these Terms and Conditions of the Tender Procedure.45. The results of the Tender Procedure shall be formalized by the minutes which not later than on the next working day shall be signed by the Chair of the Commission and the members of the Commission. All communication between the Commission and the Tenderers (if any) as provided for in paragraph 41 hereof shall be attached to the minutes. Every Tenderer or a representative thereof shall be entitled to access the minutes from the date of signature of the minutes.46. If only one Tenderer that meets the qualification requirements established in the Terms and Conditions of the Tender Procedure, has offered the lease payment not lower than the established initial amount of the lease payment and meets all qualification requirements has registered for participation in the Tender Procedure for the lease of property under the established procedure, it shall be deemed to be a successful Tenderer. If only one Tenderer participates in the Tender Procedure, the Commission shall be entitled to examine the tender application submitted by such Tenderer and immediately announce the results of the Tender Procedure at the meeting referred to in paragraph 33 hereof without organising a separate meeting for assessment of his qualification.47. If no Tenderers register for participation in the Tender Procedure or none of the Tenderers meet the qualification requirements or all Tenderers offer the amount of the lease payment lower than the established initial amount of the lease payment and/or the tender applications of all Tenderers are rejected, the Tender Procedure shall be deemed to have failed.

VI. OTHER TERMS AND CONDITIONS OF THE TENDER PROCEDURE

48. The successful Tenderer shall be obliged, at his

Nuomininkui draudžiama išpirkti ir subnuomoti nuomojamą turtą, taip pat perleisti visas ar dalį teisių, kylančių iš nuomos sutarties.

50. LOUVF bet kuriuo metu iki nuomos sutarties sudarymo turi teisę nutraukti Konkurso procedūras, jei atsirado aplinkybių, kurių nebuvo galima numatyti ir (arba) paskelbus Konkursą paaiškėja, kad valstybės turto nuoma negalima. Konkurso procedūros bet kuriuo metu iki nuomos sutarties sudarymo taip pat gali būti nutrauktos, jei atsakingos valstybės institucijos ilgiau kaip iki 2017 m. vasario 5 d. neišduoda statybą leidžiančių dokumentų atlikti Pastato kapitalinį remontą pagal Techninio projekto sprendinius arba pareikalauja Techninio projekto sprendinius iš esmės keisti arba sprendimą dėl Techninio projekto sprendinių keitimo arba sprendimą nevykdyti Techninio projekto sprendinių priima LOUVF valdantis organas. LOUVF neatlygina Konkurso dalyvių nuostolių, susijusių su paraiškų rengimu, pateikimu ir pan. LOUVF neatlygina ir jokių Konkurso dalyvių nuostolių ar netekimų, jei Konkurso rezultatai Konkurso dalyvių ar bet kokių kitų trečiųjų asmenų iniciatyva būtų ginčijami, panaikinti, pripažįstami negaliojančiais bet kokiomis teisėtomis priemonėmis.

51. Konkurso dalyviai šias Konkurso sąlygas ar Konkurso rezultatus turi teisę apskųsti teisės aktų nustatyta tvarka.

52. Konkurso sąlygos pateiktos lietuvių ir anglų kalbomis. Esant neatitikimui tarp Konkurso sąlygų tekstų lietuvių ir anglų kalbomis, pirmenybė teikiama tekstui lietuvių kalba.53. Priedai:53.1. own expense and risk, obtain all documents including, but not limited to licences, authorisations, consents and arrangements required for use of the Premises.49. The Lessee shall be prohibited from redeeming and sub-leasing the leased property and fully and partially transferring the rights arising out of the lease agreement.50. The LOUVF shall at any time before conclusion of the lease agreement be entitled to terminate the Tender Procedure if any circumstances which suggest that the lease of the state property is impossible to occur and/or after publication of the Tender Procedure it becomes evident that the lease of the state property is impossible. The Tender Procedure may at any time before conclusion of the lease agreement be terminated if the responsible public authorities fail to issue documents permitting construction entitling to carry out an overhaul repair of the Building according to the solutions or the Technical Project or request to essentially change the solutions of the Technical Project longer than till 5th February 2017 or the management body of the LOUVF takes a decision on change of the solutions of the Technical Project or a decision on non-implementation of the solutions of the Technical Project. The LOUVF shall not indemnify the Tenderers against the losses related to drawing up, submission of tenders etc. The LOUVF shall not indemnify the Tenderers against any damages or losses if the results of the Tender Procedure would be disputes, cancelled, annulled on the initiative of the Tenderers or any other third parties by any lawful means.51. The Tenderers shall be entitled to appeal against these Terms and Conditions of the Tender Procedure or the results of the Tender Procedure in accordance with the procedure prescribed in the legal acts.52. The Tender Conditions have been provided in Lithuanian and English languages. In the event of discrepancies between the texts in Lithuanian and English, the text of the Tender Conditions in the Lithuanian language shall prevail.53.
