1. General/ Tng qut 1.1. Tenderers are invited to submit their tender for construction of Phase 2 Low-Rise

Building Foundation & On-Site Infrastructure Works, hereinafter referred to as the Project, by Vietnam International Township Development JSC., hereinafter referred to as the Employer. Tenders have been invited from a list of companies and approved by the Employer and only those companies will be allowed to submit a Tender. 1.2. These Instructions prescribe the procedures to be followed during the period of

Tender preparation until the Employer either enters into a Contract with the Tenderer or advises him that the Employer does not intend to do so. These Instructions to Tenderers shall not form part of the tenderers offer, nor be considered as part of the defined words Tender or Contract. 1.3. Words and expression defined in Sub-Clause 1.1 of the Conditions of Contract shall

1.4. The Tenderer shall bear all costs incurred in the preparation and submission of the

Tender, including visits and other actions mentioned or implied in these Instructions and the Employer will not be responsible or liable for such costs, regardless of the conduct or outcome of the tendering process.

1.5. The Employer reserves the right to accept or reject any Tender, or to annul the

tendering and reject all Tenders, without incurring liability to any Tenderer and without being obliged to inform any Tenderer of the reasons for the Employers action.

1.6. The Tenderers are to treat their tender as strictly confidential and shall not

1.7. The pricing of the Tender including all rates and prices therein shall be in Vietnam

2. Joint Operation or Joint Venture or Branch Office Tenders/ H s thu ca Lin

Joint Operation or Joint Venture Tender during the tendering process for execution of the Works of the Project.

2.2. The Joint Operation/Joint Venture partnership shall be properly constructed and constituted according Vietnam law. All members of the partnership shall be legally liable, jointly and severally, during the bidding process and until issuance of the Performance Certificate should they be appointed as Contractor. 2.3. The Joint Operation/Joint Venture agreement shall define the legal status of the

partners, their relationship, share of responsibilities and identification of the lead partner. It must also include provisions on the commitment of the partners to be jointly and severally liable for due performance and have recourse/sanctions within the partnership in the event of the default or withdrawal of any partner. The agreement must include arrangements for providing the indemnities/securities identified in the tender documentation.

2.4. Foreign partners shall be qualified by official certification to engage or assume

m nu c. 3. Scope of Tender/ Phm vi mi thu 3.1. The Works of this Tender Package are as described in the Drawings and

Specifications and Schedules included in The Tender Documents and as generally described in the Annex to Letter of Tender, Annex 03 - Scope of Works.

4. Tender Packaging/ Phn chia gi thu 4.1. The number and scope of these tender packages may be modified from time to time

5. The Tender Documents and Addendums/ H s thu v ph lc h s thu 5.1. The Tenderer shall be responsible to the complete set of Tender Documents and all

addenda for changes in design or specification to the Tender Documents which may be issued to the Tenderers by the Employer or Engineer during the tendering period. The Tenderer shall scrutinize each Tender Document immediately upon receipt and shall promptly give notice, to the party who issued the document, of any pages which appear to be missing.

5.2. The Tenderer must carefully examine all Tender Documents. Failure to comply with

these Instructions or with any other tendering requirements will be at the tenderers risk and could result in the Tender being considered as non-responsive.

5.3. If the Tenderer requires any clarification of the Tender Documents, he shall give

notice to the Employer or Engineer as soon as practicable in writing, in English as indicated as the language for communication pursuant to Clause 1.3 of the Conditions of Contract. Tender queries shall be issued via facsimile transmission or hand delivery to:

The Tenderer is to note that the closing date for clarification requests shall be seven

trc ngy ng thu. 5.4. Responses to Tenderers questions will be issued in the form of an Addendum. The

addenda may include the text of each query, but will not disclose its source. These Addenda shall be incorporated into and form part of the Tender Documents. The Tenderer is required to acknowledge receipt of each addendum, in writing in his tender submission.

Employer or the Engineer at any meeting or discussion held during the tender period shall not be binding or taken into account in preparing and evaluating Tenders unless and until such instructions, clarifications or information are confirmed in writing by the Employer. In no case will any procedure in connection with clarification and interpretation of Tender Documents give the right to the Tenderers to claim an extension of the time set for submitting their tender.

5.6. No alteration by the Contractor is to be made to the Tender Documents unless

authorized in writing by the Employer or Engineer. Any unauthorized alteration, notes, amplification and etc. to the Tender Documents will not be considered and the original text shall be strictly adhered to.

6. Site Visit / Tham quan cng trng 6.1. All Tenderers are advised to visit the Project site to examine for themselves the Site

and its surroundings and elsewhere and to obtain for himself on his own responsibility, all information which may be necessary for preparing a comprehensive Tender.

6.2. The Employer accepts no responsibility for providing any indication of relevant

aspects, or access to appropriate areas, which a competent Tenderer may consider necessary for the preparation of a Tender.

6.3. The Tenderer shall be deemed to have visited the site to examine and make

enquiries as to the physical conditions on and adjacent to the site including but not limited to; public roads and car parks, soil and sub-soil conditions, access to the site and restrictions to site access.

and providing the names and designation of the persons who will visit the site and also providing suitable identification of any equipment the Tenderer may wish to bring on the site visit. Specific written permission will be required from the Employer to bring to and use any equipment on the site during the tendering period.

7. Preparation of Tender/ Chun b H s thu 7.1. The Tenderer is informed that the Tender submitted by him is to be in the form of a

Lump Sum Fixed Price Tender for the Works described and indicated in the Conditions of Contract, Tender Drawings and Specification and generally indicated in the Letter of Tender, Annex 03 Scope of Works. These documents are intended to be mutually explanatory of the scope of the works.

7.2. The Letter of Tender, Annex 04 - Tender Schedule of Work is provided for the

purposes of identification of pay items for interim payments and for valuation of variations. The quantities indicated in this Annex are not to be taken as the actual quantities of work to be done or the quantities of the final works. The quantities will not be re-measured. The Contractor shall be responsible for all measurement of quantities required for his Tender estimation and shall utilize the Additional Items included in each section of the Schedule of Works to show any necessary corrections, either increase or decrease, to the quantities shown in the Schedule of Works.

7.3. Tenderers shall provide unit rates for labour and materials on the Daywork schedule

included in the Letter of Tender, Annex 05 Daywork Schedule. These unit prices will be used in the event of Variations to the Works where the nature of the changed work prevents its valuation using the unit rates provided in the Schedule of Works at the time of tendering. Unit rates which, in the opinion of the Employer, are unreasonable are subject to re-negotiation.

7.4. The Tender Documents issued to the Tenderer, including any amendments instructed

in the form of an Addendum to the Tender Documents, shall be used by the Tenderer for the Tender submission without further amendment.

7.5. Any unauthorized alteration or amendment made to the Tender Documents shall be

deemed to have no effect unless authorized in writing by the Employer and issued in the form of an Addendum to the tender. Any Addendums issued during the tender period will be stated in the Letter of Acceptance and will become part of the Contract Documents.

7.6. The Tenderer shall price the whole of the Works, and submit a Tender, in accordance

7.7. Notwithstanding the provisions of Article 7.4 above, the Employer reserves the right

to procure major items of equipment and materials which form part of the Works of this tender package himself and provide these item(s) Free Issue to the Contractor for installation in the Project. In the event of the Employer procuring and paying for such equipment and materials, the Contract Price will be adjusted accordingly and no claims for lost profit or for other related matters will be accepted by the Employer.

7.8. The Tender and all communications between the Tenderer and the Employer or the Engineer shall be typed or written in indelible ink in English. Supporting documentation submitted by the Tenderer may be in another language if he also submits an appropriate translation of all its relevant passages into English.

7.9. The Tenderer shall submit with his Tender, a Tender Security in the form annexed to

Letter of Tender at Annex 06, Tender Security shall be VND 1,000,000,000 entered upon the Letter of Tender. The Tender Security shall be issued by a bank approved by the Employer, and shall be valid for a period of not less than 90 days after the date on which the validity of the Tender expires.

7.10. The Tenderer shall also submit the following supplementary information with his

7.10.6. Detailed work procedures and the key personnel involved by which quality is

to be assured for the work performed during construction and the documentation against which such controls are to be undertaken.

8. Validity Period of Tender/ Hiu lc ca H s d thu 8.1. The Tender shall remain valid and open for acceptance for the period of 90 days

from the Tender submission date. Prior to expiry date of the period for acceptance, the Employer may by written notice request the Tenderer to extend the validity period. The Tenderer may refuse the request, but shall not modify his Tender other than by extending its validity.

The Conditions of Contract comprise the "General Conditions", which form part of the "Conditions of Contract for Construction" First Edition 1999 published by the Fdration Internationale des Ingnieurs-Conseils (FIDIC), and the following "Particular Conditions", which include amendments and additions to such General Conditions.

1.1.2.13 Quantity Surveyor: means the person named as Quantity Surveyor in the Appendix to Tender, or other person appointed from time to time by the Employer to act as the Quantity Surveyor to assist the Engineer in all matters of valuation or measurement and evaluation under the terms of the Contract.

1.1.2.14 Architect: means the person named as Architect in the Appendix to Tender, or other person appointed from time to time by the Employer to act as the Architect in all matters of project architectural design and management.

1.1.2.15 Landscape Consultant: means the person named as Landscape Consultant in the Appendix to Tender, or other person appointed from time to time by the Employer to act as the Landscape Consultant in all matters of project landscape design and management.

1.1.2.19 Free Issue means materials, goods or equipments supplied and paid for by the Employer and provided free of charge to the Contractor. In the event of the Employer procuring and paying for such materials, goods or equipments, the Contract Price will be adjusted accordingly and no claims for lost profit or for other related matters will be accepted by the Employer.

1.1.3.10 Practical Completion means the status of the entire works or sectional works once they are practically complete. Practically Completion means ready for legal occupation, operation and safe use by the Employer in accordance with the provisions of the Contract and the Laws of Vietnam. A condition precedent for practical completion shall include receipt of all relevant licenses, approvals, consents, occupation permits and independent testing certificates required by all relevant Government Authorities duly received by the Employer from the relevant Government Authorities and based on full and complete documentation provided by the Contractor to the Engineer for this purpose and practical completion shall take effect on such date that all relevant Government Authorities have approved the relevant sectional works insofar as such approvals are required.

1.1.4.14 Prime Cost Sum means a sum provided for work or services to be executed by a nominated subcontractor or specialists, a government or a statutory authority or for materials or goods to be obtained from a nominated supplier. Sub-Clause 1.13 Compliance with Laws

The Contractor shall, in performing the Contract, comply with applicable Laws and all permissions, permits, licences and approvals referred to in this Sub-Clause 1.13. Unless otherwise stated in the Particular Conditions:

The property in each item shall be deemed to revest in the Contractor when he is entitled either to remove it from the Site or to receive the Taking-Over Certificate for the Works, whichever occurs first.

The Employer shall not at any time be liable, save as mentioned in Clause 17.3 (Employers risks), for the loss of or damage to any of the said Contractors Equipment, Temporary Works and materials.

In respect of any Contractors Equipment which the Contractor has imported for the purposes of the Works, the Employer will use his best endeavours to assist the Contractor, where required, in procuring any necessary Government consent to the re-export of such Contractors Equipment by the Contractor upon the removal thereof pursuant to the terms of the Contract. Responsibility for such re export shall remain whatever event with the Contactor and shall not in any way pass to the Employer.

With a view to securing, in the event of termination under Clause 15, the continued availability, for the purpose of executing the Works, of any hired Contractors Equipment, the Contractor shall not bring on to the Site any hired Contractors Equipment unless there is an agreement for the hire thereof (which agreement shall be deemed not to include an agreement for hire purchase) which contains a provision that the owner thereof will, on request in writing made by the Employer within 7 days after the date on which any termination has become effective, and on the Employer undertaking to pay all hire charges in respect thereof from such date, hire such Contractors Equipment to the Employer on the same terms in all respects as the same was hired to the Contractor save that the Employer shall be entitled to permit the use thereof by any other contractor employed by him for the purpose of executing and completing the Works and remedying any defects therein, under the terms of the said Clause 15.

In the event of the Employer entering into any agreement for the hire of Contractors Equipment pursuant to Sub-Clause 4.17, all sums properly paid by the Employer under the provisions of any such agreement and all costs incurred by him (including stamp duties) in entering into such agreement shall be deemed, for the purpose of Clause 15, to be part of the cost of executing and completing the Works and the remedying of any defects therein.

The Contractor shall, where entering into any subcontract for the execution of any part of the Works, incorporate in such subcontract (by reference or otherwise) the provisions of this Clause in relation to Contractors Equipment, Temporary Works or materials brought on to the Site by the Subcontractor.
