I, DAVID M. BIRKA-WHITE, declare as follows:

1. I am an attorney at law duly licensed to practice before this Court and

all courts of the State of California. I am counsel of record for Plaintiffs United

Desert Charities, Fred Ede III, Emily Williams, Bruce Pritchard, and Jean Steiner.

I have personal knowledge as to the facts stated herein and, if called upon to do so,

could and would competently testify thereto.

2. I make this declaration in support of the motion for final approval and

fee application of Class Counsel for the 25% benchmark for fees and

reimbursement of costs.

3. Over the last 25 years, my practice has been almost exclusively

devoted to product failure and consumer fraud class actions. During that time, I

have served as lead or co-lead court-appointed class counsel in dozens of class

action and related complex cases. My further qualifications are set forth in my

resume attached hereto as Exhibit A.

4. My office has served as lead or co-lead counsel throughout the

pendency of this litigation. We were appointed Class Counsel on February 21,

2014, as part of the Court’s Order Preliminarily Certifying the Settlement Class and

the granting of Plaintiff’s Motion for Preliminary Approval of the Class Action

Settlement

5. I have been directly involved in the management and performance of

all work associated with the prosecution of this case. Mindy Wong, an associate

attorney from my office, provided invaluable assistance throughout the case.

6. My office handles a small volume of complex/class action cases at any

given time. During the last two years, a significant portion of my time was devoted

to this case. I believe that the successful outcome of class actions such as the

Flushmate litigation is, in part, directly related to our ability to focus intensely on

the complex issues presented by this case as well as the formidable defense asserted

by the defendants in this litigation.

BACKGROUND OF THE FLUSHMATE LITIGATION

7. In August and September 2012, my office filed three separate

nationwide class action lawsuit against Flushmate, a division of Sloan Valve

Company, Home Depot U.S.A., Inc., American Standard Brands AS America, Inc.,

Kohler Co., Gerber Plumbing Fixtures, LLC, and Mansfield Plumbing Products,

LLC (collectively, “Defendants”) on behalf of owners of toilets which incorporated

the Series 503 Flushmate III Pressure-Assisted Flushing System (“Flushmate

System”). These were the first such cases filed in the United States.

8. On October 5, 2012, these three Flushmate lawsuits were consolidated

in the Central District of California where the first-filed class action lawsuit

originated. An amended complaint was filed on February 7, 2013.

9. Five additional lawsuits were filed by other law firms in California,

Colorado, Illinois, New Jersey, and Florida asserting similar claims.

10. To effectively litigate these cases, we devoted a substantial amount of

time to consolidating the cases filed throughout the United States into the Central

District of California in order to reach a global settlement.

11. In October 2012, my office requested the firm of Lieff Cabraser

Heimann & Bernstein, LLP (“LCHB”) join us as co-lead counsel. I have worked

with LCHB on numerous class action cases over the past 25 years.

12. Defendants vigorously defended these cases. As the litigation

progressed, we spent significant time with Flushmate defense counsel discussing

the merits and weaknesses of the claims and defenses and meaningful ways to

potentially resolve the case. We believed that these cases were appropriate for

mediation, and Defendants ultimately agreed to explore settlement through

mediation.

13. On April 18 and 19, and May 13 and 14, 2013, the parties participated

in a mediation of this Consolidated Action before the Hon. William J. Cahill (Ret.)

at JAMS’ offices in San Francisco, California. The plaintiffs in Dimov, et al. v.

Sloan Valve Co. (currently pending in the Northern District of Illinois, Case No.

1:12-CV-09700) also participated in the mediation. On May 17, 2013, the parties

reached an agreement concerning basic settlement terms.

14. In addition to the mediation, many hours were consumed with detailed

settlement negotiations outside the presence of the mediator. After exchanging

drafts, the parties realized they had inconsistent views on certain terms of the

settlement which necessitated an additional full-day mediation session on July 25,

2014 before Judge Cahill.

15. The parties reached an agreement in principle regarding the disputed

claims on July 29, 2013. However, it took an additional five months of complex

negotiations, discovery and several face-to-face meetings with defense counsel

before a settlement was reached in January 2014. This includes the complexities

associated with the voluntary Recall.

16. The following is a general summary of the tasks which I, or members

of my office, undertook in this matter.

a. Research and analysis of the Flushmate System;

b. Retention and interaction with plumbing and engineering

experts to investigate the Flushmate System;

c. Research, analysis, and writing of the complaints, including the

retention of numerous experts to assess and evaluate the

Flushmate System;

d. Handling of numerous meetings and communications with Class

representatives United Desert Charities, Fred Ede III, Emily

Williams, Bruce Pritchard, Jean Steiner and dozens of other

class members.

e. Extensive research and preparation of pleadings and declarations

of Class representatives in opposition to Defendants’ motion to

transfer, including research related to Flushmate representations

to the distribution chain;

f. Research and preparation of pleadings in opposition to

Defendants’ motions to dismiss filed on November 5, 2012 and

March 3, 2013;

g. Retention and interaction with consultants and experts related to

the complex notice program and claims administration,

including several months strategizing with Notice Provider

Kinsella Media and Claims Administrator Class Litigation

Administration Support Services (“CLASS”) and its founder and

president, Arnold Rodio;

h. Conduct multiple mediation sessions;

i. Drafting and editing the settlement agreement, plan of

allocation, and claim protocols, and exhaustive revisions thereto;

j. Attend meetings with the proposed Claims Administrator and

Flushmate Counsel in Lancaster, California on October 25, 2013

and April 9, 2014;

k. Analyze all document production, including engineering reports

produced by Flushmate on August 8, 2013;

l. Preparation for and taking deposition of Flushmate regarding all

aspects of the Flushmate System and Repair Kit;

m. Administration of the Flushmate Settlement Fund Trust

Account;

n. Assistance with the preparation of the motion for preliminary

approval and presentation of arguments in support of the

settlement at the preliminary approval hearing; and

o. Weekly interaction with the Claims Administrator and

Flushmate regarding the claims administration process.

17. My office will continue to have the primary responsibility to oversee

the administration of the Settlement Fund Trust Account during the Claims Period.

RETENTION OF INSURANCE/SETTLEMENT COUNSEL

18. Over the course of the past 20 years, I have worked with John D.

Green of Farella, Braun & Martel, LLP (“FBM”) in many product liability and

consumer fraud cases.

19. Mr. Green has been practicing law for over 28 years and specializes in

insurance coverage practice, as well as product liability and consumer class actions.

He has served as class counsel and insurance coverage counsel for plaintiffs in

numerous product liability and securities class actions. Mr. Green has extensive

experience in the prosecution and settlement of class action litigation. Mr. Green’s

resume is attached hereto as Exhibit B.

20. I first utilized Mr. Green and FBM in the Fall of 2012 to assist in the

investigation of the case, the formulation of the legal theories and causes of action,

legal research on a number of such causes of action, and pleading the claims in a

manner that would assure that any available insurance would be triggered by the

claims. After Flushmate agreed to go to mediation, Mr. Green also provided

invaluable expertise during settlement negotiations with Flushmate and its

insurance counsel. Mr. Green personally contributed 238.1 hours of his time to

help bring about this settlement. Others in his firm contributed an additional 123.1

hours for a total lodestar of $251,418.50.

21. Throughout FBM’s involvement, I remained in regular contact with

Mr. Green and am personally familiar with the reasonableness and accuracy of his

lodestar.

22. FBM expended a total of $8,542.61in unreimbursed expenses, all of

which were reasonable and necessarily incurred, and for which reimbursement is

requested.

GENERAL PRINCIPLES APPLICABLE TO THE AWARD OF

ATTORNEYS’ FEES IN CLASS ACTIONS

23. My firm’s compensation for services rendered in this action is wholly

contingent. Any fees and reimbursement of expenses will be limited to such

amounts as may be awarded by the Court.

24. All attorneys at Birka-White Law Offices maintain contemporaneous

time records reflecting the time spent on this and other matters. During the last

24 months, I have personally contributed 1,156.90 hours of my time to bring about

the settlement presented to this Court for approval. Steve Oroza, a senior attorney

in my office, contributed 344.20 hours of time. Mindy Wong contributed 1,153.40

hours in associate time for a total of $1,618,945.50 in unreimbursed attorney time.

25. The hourly rates reflect the market rate for professionals of similar

experience in California, where my office is located. My firm’s rates have been

approved by courts in Garner v. State Farm Mutual Automobile Insurance

Company, U.S. District Court, Northern District of California, Case No. 4:08-cv-

01365-CW (Document No. 284); Cartwright v. Viking Industries, Inc., U.S. District

Court, Eastern District of California, Case No. 2:07-cv-02159-FCD-EFB

(Document No. 190). See also In re: Kitec Plumbing System Products Liability

Litigation, U.S. District Court, Northern District of Texas, Case No. 09-md-2098

(Document No. 155); In re: Uponor, Inc. F1807 Plumbing Fittings Products

Liability Litigation, U.S. District Court, District of Minnesota, Case No. 0:11-cv-

01684-ADM-JJK (Document No. 51).

26. All of the services performed by my firm were reasonable and

necessary to the prosecution of this action.

27. There has been no duplication of services for which Class Counsel

now seeks compensation.

28. My firm advanced a total of $50,844.29 in unreimbursed expenses, all

of which were reasonable and necessary to the prosecution of this action, and for

which reimbursement is requested.

29. The foregoing expenses were incurred solely in connection with the

Flushmate litigation and are reflected on the books and records of my firm which

are maintained in the ordinary course of business. This cost summary has been

prepared from expense vouchers and check records, and constitutes an accurate

record of the expenses incurred in this case.

SKILL OF REQUIRED COUNSEL

30. This case presented a range of difficulties requiring the efforts of

highly skilled and experienced attorneys. The combined experience and skills of

the firms appointed as Class Counsel were necessary to achieve the global

Settlement in this case.

PRECLUSION OF OTHER WORK

31. I averaged approximately 50 hours per month throughout the

prosecution of this litigation. The time commitment in some months was far

greater. I had to turn away opportunities to accept or participate in other substantial

cases in order to devote the appropriate level of time and resources to this matter.

Devoting such a disproportionate amount of my time to this case inevitably

increased the financial risk.

RISK OF LITIGATION

32. Class Counsel undertook this litigation on a contingent fee basis with

no guarantee of receiving anything in return, and have advanced all costs without

reimbursement. The litigation required counsel to assume an unusually high risk of

an adverse outcome because of the novelty of the legal issues presented and the

uncertainty of damages.

DISTRIBUTION OF FEE AWARD

33. I have been directly involved in all aspects of this litigation from the

initial filing of the complaint in August 2012 through settlement, design and

implementation of the administration, notice, and final approval. I have a complete

understanding of the relative roles and contributions of all firms. Class Counsel are

in a position to distribute the attorneys’ fee award among counsel assisting in this

case based upon both lodestar and the value of their contribution. To date, Class

Counsel have spent over 6,400 hours and incurred $134,076.25 in unreimbursed

costs.

34. Class Counsel seeks twenty-five percent (25%) of the settlement

payments made by Defendants into the Settlement Fund Trust Account over a three

year period, plus reimbursement of costs and expenses. Consistent with the terms

of the Settlement Agreement, in Year One, Class Counsel seeks to receive 25% of

the $9 million to be paid, plus 100% reimbursement of costs and expenses; 25% of

the $6 million to be paid in Year Two; and 25% of the $3 million to be paid in Year

Three, plus any additional sums paid in excess of $18 million if certain thresholds

are met. This agreement was reached only after the parties had reached an

agreement on the overall terms of the Settlement.

ADEQUACY OF SETTLEMENT

35. The Net Settlement Fund shall be determined after deducting from the

$18 million gross settlement costs, attorneys’ fees, notice and the projected cost of

administration. The Net Settlement Fund shall be distributed to Settlement Class

members in proportional amounts depending upon the claims rate.

36. By any standard, this Settlement of $18 million plus an uncapped

amount for qualifying Property Damage claims that exceed $1.5 million, constitutes

a favorable result made possible by the dedication and skill of Class Counsel.

INCENTIVE AWARD TO CLASS REPRESENTIVES

37. Class Counsel seek an incentive award for all Class representatives,

including my clients United Desert Charities, Fred Ede III, Emily Williams, Bruce

Pritchard and Jean Steiner, in the amount of $1,000 each. Defendants have agreed

not to oppose an incentive award of $1,000. (See Settlement Agreement, Section

VIII.)

38. Throughout the pendency of this case, it has been my responsibility as

Class Counsel to interact with Class representatives United Desert Charities, Fred

Ede III, Emily Williams, Bruce Pritchard and Jean Steiner, all of whom retained my

office. Consistent with my practice over the course of many years, I have served as

the primary contact person for our Class representatives.

39. I have met with or spoken by telephone with each of the above named

Class representatives, on many occasions.

40. I have discussed with Class representative Denise Latanzi, Executive

Director of United Desert Charities, the numerous issues and matters relating to this

case. Ms. Latanzi has been very responsive to all of our requests to speak with her.

She provided all necessary documents and information relating to the numerous

Flushmate Systems installed at UDC’s business offices. Our expert also inspected

these Flushmate Systems. Ms. Latanzi has set aside a considerable amount of time

to work with me and my staff to assist in the prosecution of this case. I have

discussed or reviewed major pleadings and settlement discussions in this case with

Ms. Latanzi.

41. I have spoken with Fred Ede III by telephone on many occasions

regarding the numerous issues and matters relating to this case. Mr. Ede was

uniquely qualified to serve as a Class representative because he is a plumber and

installed the Flushmate System in the homes of his customers and his own

residences. Mr. Ede has been very responsive to our requests to speak with him.

He provided all necessary documents and information relating to the Flushmate

Systems installed at his residences. He has set aside a considerable amount of time

to work with me and my staff to assist in the prosecution of this case. I have

discussed or reviewed major pleadings and settlement discussions in this case with

Mr. Ede.

42. I have met with Emily Williams on numerous occasions. She provided

all necessary documents and information relating to the Flushmate System installed

at her home. I have discussed by telephone the status of the case with Ms. Williams

on dozens of occasions. Ms. Williams has been very proactive in following the

status of the case and responsive to our requests to speak with her and provide any

necessary documents and information relating to the Flushmate Systems installed at

her home. She met with me and reporters from KTVU News Channel 2, and her

concerns about the Flushmate Systems were addressed in a KTVU Consumer

Special Report. She has set aside a considerable amount of time to work with me

and my staff to assist in the prosecution of this case. I have discussed or reviewed

major pleadings and settlement discussions in this case with Ms. Williams.

43. I have also discussed with Bruce Pritchard by telephone on numerous

occasions all major issues and matters relating to this case. He provided all

necessary documents and information relating to the Flushmate System installed at

his residence. Mr. Pritchard has been very responsive to our requests and has set

aside a considerable amount of time to work with me and my staff to assist in the

prosecution of this case.

44. Similarly, I have discussed with Jean Steiner by telephone on

numerous occasions all major issues and matters relating to this case. She provided

all necessary documents and information relating to the Flushmate System installed

at her home. Ms. Steiner has been very responsive to our requests and has set aside
