Real Property Disposal Authority §72-5-111:
72-5-111. Disposal of real property. (1)(a)Ifthedepartmentdeterminesthatanyrealpropertyorinterestinrealproperty,acquiredforahighwaypurpose,isnolongernecessaryforthepurpose,thedepartmentmaylease,sell,exchange,orotherwisedisposeoftherealpropertyorinterestintherealproperty.(b)(i)Realpropertymaybesoldatprivateorpublicsale. (ii)ExceptasprovidedinSubsection(1)(c)relatedtoexchangesandSubsection(1)(d)relatedto theproceedsofanysaleofrealpropertyfromamaintenancefacility,proceedsofanysaleshallbedepositedwiththestatetreasurerandcreditedtotheTransportationFund.(c)Ifapprovedbythecommission,realpropertyoraninterestinrealpropertymaybeexchangedbythedepartmentforotherrealpropertyorinterestinrealproperty,includingimprovements,forhighwaypurposes.(d)Proceedsfromthesaleofrealpropertyoraninterestinrealpropertyfromamaintenancefacilitymaybeusedbythedepartmentforthepurchaseorimprovementofanothermaintenancefacility,includingrealproperty.(2)(a)Inthedispositionofrealpropertyatanyprivatesale,firstconsiderationshallbegiventotheoriginalgrantor.(b)NotwithstandingtheprovisionsofSection78B-6-521,ifnoportionofaparcelofrealpropertyacquiredbythedepartmentisusedfortransportationpurposes,thentheoriginalgrantorshallbegiventheopportunitytorepurchasetheparcelofrealpropertyatthedepartment’soriginalpurchasepricefromthegrantor.(c)InaccordancewithSection72-5-404,thisSubsection(2)doesnotapplytopropertyrightsacquiredinproposedtransportationcorridorsusingfundsfromtheMardaDillreeCorridorPreservationFundcreatedinSection72-2-117.(d)NothinginthisSubsection(2)orSection78B-6-521createsanassignableright.(3)(a)Anysale,exchange,ordisposalofrealpropertyorinterestinrealpropertymadebythedepartmentunderthissection,isexemptfromthemineralreservationprovisionsofTitle65A,Chapter6,MineralLeases.(b)Anydeedmadeanddeliveredbythedepartmentunderthissectionwithoutspecificreservationsinthedeedisaconveyanceofallthestate’sright,title,andinterestintherealpropertyorinterestintherealproperty.
Disposition of Excess Property Rights
Ifthedepartmenthasaquiredpropertyrightsinlandinpreopsedtransportationcorridors,andsomeorallofthatlandiseventuallynotusedfortheproposedtransportationcorridors,thedepartmentshalldisposeofthepropertyrightsinaccordancewiththeprovisionofsection78B-6-521.

Distinction between “Excess” and “Surplus” Property
Section One: General Information
(1)Asusedinthissection,“condemnationorthreatofcondemnation”means:(a)acquisitionthroughaneminentdomainproceeding;or(b)anofficialbodyofthestateorasubdivisionofthestate,havingthepowerofeminentdomain,hasspecificallyauthorizedtheuseofeminentdomaintoacquiretherealproperty.(2)Ifthestateoroneofitssubdivisions,atitssolediscretion,declaresrealpropertythatisacquiredthroughcondemnationorthreatofcondemnationtobesurplusrealproperty,itmaynotselltherealpropertyontheopenmarketunless:(a)therealpropertyhasbeenofferedforsaletotheoriginalgrantor,atthehighestoffermadetothestateoroneofitssubdivisionswithfirstrightofrefusalbeinggiventotheoriginalgrantor;(b)theoriginalgrantorexpresslywaivedinwritingthefirstrightofrefusalontheofferorfailedtoaccepttheofferwithin90daysafternotificationbyregisteredmailtothelast-knownaddress;and(c) neitherthestatenorthesubdivisionofthestatesellingthepropertyisinvolvedintherezoningofthepropertyortheacquisitionofadditionalpropertytoenhancethevalueoftherealpropertytobesold.(3)ThissectionshallonlyapplytopropertyacquiredafterJuly1,1983.
Sale of Property Acquired by Eminent Domain (First Right of Refusal) UCA 78B-6-521
TherearerequiredproceduralstepsinplacebothattheRegionandComplex(Headquarters)levelsthatmust befollowedtodeclarepropertysurplus,meaningapprovedforsale.
ItisimportanttonoteherethatpropertyownedbythedepartmenthastobedeclaredexcessandnolongerneededfortransportationpurposesattheRegionlevelbeforeitisdeclaredsurplusandcanbesold.
Regionapprovedexcesslandisconsideredsurpluslandonly uponreceivingUDOT’sExecutiveDeputyDirector’ssignatureapprovaltodisposeoftheproperty.Upuntilsuchtime,anduponRegionreviewandapproval,thesubjectparcelisconsideredonlyasexcess tofuturehighwaytransportationneedsandnotsurplusforthepurposesofsellingtheproperty.
Please keep in mind that the time frames listed below are meant to be a guideline and may change significantly depending upon the property complexity and parties involved in the process.

First,thepropertyhastobereviewedattheRegion Level Authorization Process (Part I) todetermineifthereisanyfuturetransportationneedfortheproperty.Ifthepropertyisnotneededforfuturetransportationpurposes,itisdeemedexcessandforwardedtotheComplexforreviewandprocessing.
Second,thepropertyundergoesareviewandapprovalprocessattheComplex Level Authorization Process (Part II) todetermineiftheRegionlevelexcesspropertycanbedesignatedassurplusandsold.WhilethereareseveralstepsintheComplexauthorizationprocess,thepropertycanonlybesoldonceitisreviewedandauthorizedtobesoldbytheUtahDepartmentofTransportation’sDeputyDirector.
