www.simpliclose.com T: 571-418-7235 [email protected] TRANSACTION COORDINATOR AGREEMENT SIMPLICLOSE(sm) (a proprietary concept brought to you by Closing Concierge, LLC an entity affiliated with Strategic National Title Group, LLC) CLOSING COORDINATOR AGREEMENT The following shall constitute the terms of the agreement between Closing Concierge, LLC d/b/a/ Simpliclose (hereinafter “Simpliclose”) and the agent who appears below and in the attached addendum (hereinafter the “Agent”). 1. Services Provided. Simpliclose shall perform such services indicated by the Agent on the attached addendum. Further, Simpliclose will obtain a personal assistance ID through MRIS that allows the Transaction Coordinator (TC) to work in your MRIS/Matrix/Keystone files. This will allow your TC to enter listings into Keystone, set up client searches or CMAs based on your criteria. The service is FREE to our clients. Simpliclose will bear the cost. By its signature, the Agent hereby authorizes Simpliclose to access all necessary Agent accounts including but not limited to: Zipforms, Docusign, Dotloop, Instanet, Databases Companies and any other forms or signing platforms disclosed to SimpliClose. This Agreement gives SimpliClose permission to access agent’s MRIS, Matrix and Keystone accounts using SimpliClose access linking SimpliClose to the agents account. The Agent further authorizes SimpliClose to communicate on Agent’s behalf, to certain companies or individuals, including but not limited to companies such as: Title Companies, Home Inspectors, Home Warranty Companies, cooperating agents, pest companies, etc. 2. Method of Payment. In the event the Agent selects listing agent coordination services or buyer agent coordination services set forth on the addendum, unless the Agent directs otherwise, payment shall appear as a line item upon the HUD 1 payable at settlement. If the Agent selects a la carte services, payments shall be made at the time of purchase. All agents, regardless of package chosen shall maintain a separate method of payment (either credit card or ACH account [collectively “Account”]. In the event the HUD 1 does not include payment for Simpliclose, or the Agent chooses a la carte services, the Agent authorizes Simpliclose to access and withdraw payment for services from the Account if necessary. PLEASE MAKE ALL CREDIT, ACH OR OTHER SIMILAR PAYMENTS PAYABLE TO: CLOSING CONCIERGE, LLC. 3. Relationship of Parties. It is understood by both parties that Simpliclose is an independent contractor and not an employee of the Agent. This Agreement does not render authority for Simpliclose to act for or make commitments for the Agent, beyond the scope of services indicated by the Agent via the Order Sheet or this Agreement. Neither party hereto shall have any claim against the other for any employee benefits, nor will the Agent make any deductions from fees to Simpliclose for taxes, insurance, or otherwise. 4. Confidentiality. Simpliclose will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Simpliclose, divulge, disclose, or communicate in any manner any information that the Agent deems proprietary and Agent notifies Simpliclose of the same in writing. Simpliclose will protect such information and treat it as strictly confidential. This provision shall continue to be effective for one (1) year after the termination of this Agreement.

TRANSACTION COORDINATOR AGREEMENT

CLOSING COORDINATOR AGREEMENT The following shall constitute the terms of the agreement between Closing Concierge, LLC d/b/a/ Simpliclose (hereinafter “Simpliclose”) and the agent who appears below and in the attached addendum (hereinafter the “Agent”).

TRANSACTION COORDINATOR AGREEMENT

5. Representations and Warranties.

Simpliclose represents and warrants all work will be done in a competent fashion in accordance with applicable standards of the profession. Simpliclose makes no other warranties except as may be explicitly indicated in this Agreement. Simpliclose shall bear no liability to any buyer seller or other principal having an agency relationship with the Agent, except where due to the gross negligence or intentional misconduct of Simpliclose. The sole remedy of Agent, or any third party claiming damages by and though this Agreement shall be limited to the total amount paid or intended to be paid to Simpliclose hereunder.

6. Entire Agreement.

This Agreement and any terms indicated on the Addendum contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision' of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

7. Force Majeure.

If either party hereto is unable to perform any of its obligations hereunder by reason of fire or other casualty, strike, act or order of public authority, act of God, or other cause beyond the control of such party, then such party shall be excused from such performance during the pendency of such cause.

8. Business Activities.

Disclosure Agent is a business party and hereby acknowledges that during the term of this Agreement, Simpliclose will engage in business or other activities with competing Real Estate Agents/Realtors®, which are or may be, directly or indirectly, competitive with the business activities of the Agent.

9. Hold Harmless.

Indemnification Agent agrees to indemnify, defend and hold harmless Simpliclose, its officers, directors, employees, agents, licensors, suppliers and any third party information providers from and against all losses, expenses, damages and costs, legal liability, including reasonable attorneys' fees, resulting from any violation of this Agreement (including negligent or wrongful conduct), or any claim by any third party as a result of this Agreement between Agent and Simpliclose.

10. Term/Termination.

This agreement shall commence on the date set forth below and can be terminated by either party upon five (5) days notice and payment for services rendered as of the date thereof. Further, the Agent understands that Simpliclose may wish to amend the terms of its standard form agreement from time to time. In such event, this Agreement shall terminate at the end of the applicable month and a new agreement may be submitted to the Agent at that time.

CLOSING CONCIERGE, LLC t/a SIMPLICLOSE ADDENDUM to Closing Coordinator Agreement

PACKAGE SERVICES If choosing a package, please select from the following:

LISTING AGENT COORDINATION SERVICES ($349.00). Simpliclose to:

• Compile and circulate Listing Agreement for signatures.• Assist Agent in preparing CMAs.• Order sign post installation and removal.• Schedule stager if requested.• Order photo shoot and virtual tour.• Input listing into MLS using MRIS Keystone Profile Sheet.• Upload Photos and required disclosures.• Order HOA/Condo documents.• Schedule showings, if requested.• Schedule Open Houses or Broker’s Opens. Update MLS to reflect Opens.• Update brokerage with all documentation.• Assist agent during contract negotiations to compile counter offer and or obtain signatures from sellers.• Once ratified contract received, send email to buyer’s agent introducing transaction coordinator.• Send email introduction to the Title Company with a copy of the ratified contract and MLS Listing.• Send copy of ratified contract to the seller.• If property is in a HOA or Condo, send to recipient per contact all documents and acknowledgement form.• Calendar all contingencies and dead line dates.• Liaision between buyers’s agent and listing agent and seller with inspection dates and times.• Provide weekly status reports and reminders of upcoming deadlines and expirations.• Reminders to sellers regarding utilities, change of address, schedule inspections, closing.• If two title companies, verify with both that all documents needed have been provided and that they are working together.• Update all parties with closing date, time and location. Provide agent and seller with directions.• Remind seller to bring I.D. and other documentation that may have been requested by Title Company.• Submit all documents to Brokerage and complete any transaction coversheets or online forms such as GreenSheets.

BUYER AGENT COORDINATION SERVICES ($349.00). Simpliclose to:

• Compile and circulate Buyers Agreement for signatures• Assist Agent in preparing CMAs if required.• Update brokerage with all documentation.• Assist buyer’s agent to compile contract with all contingencies, disclosures, lender letter, EMD.• If buyer is signing via electronic platform, send documents to buyer per agents instructions.• Assist agent during contract negotiations to compile counter offer and or obtain signatures from buyers.• Once Ratified contract received, send email to listing agent introducing transaction coordinator.• Send email introduction to the Title Company and Lender with a copy of the Ratified Contract and MLS Listing.• Send copy of Ratified Contract to the buyer.• If property is in a HOA or Condo, schedule deadline once documents are received.• Calendar all Contingencies and dead line dates.• Liaision between buyers’s agent and listing agent and buyer with inspection dates and times.• Provide weekly status reports and reminders of upcoming deadlines and expirations.• Reminders to buyers regarding utilities, change of address, schedule inspections, closing.• Check with Title Company for Closing Documentation. Any other roles, responsibilities, tasks duties, or otherwise which is not listed as an obligation of Simpliclose shall be my roles responsibilities, tasks, duties or otherwise (as the case may be) as part of my regular work as an Agent.
