    COPIER EQUIPMENT RENTAL

    MASTER AGREEMENT

    FOR THE COUNTY OF MONTEREY

    This AGREEMENT is made and entered into by and between, the County ofpolitical subdivision of the State of California, hereinafter referred to as Cou

    Madden Company, hereinafter referred to as CONTRACTOR.

    RECITALS

    A. WHEREAS, the County has invited proposals through the Request for Pro10019) for a copier rental program in accordance with the specifications se

    AGREEMENT; and

    B. WHEREAS, the CONTRACTOR has submitted a responsive and responsibperform such services at County facilities; and

    C. WHEREAS, the CONTRACTOR has the expertise and capabilities necessthe services requested.

    NOW THEREFORE, the County and CONTRACTOR, for the consideration herei

    agree as follows:

    PERFORMANCE OF THE AGREEMENT

    After consideration and evaluation of the CONTRACTORS proposal, the Cengages the CONTRACTOR to provide the services set forth in RFP # 1001

    AGREEMENT on the terms and conditions contained herein and in RFP # 10019.

    this AGREEMENT is to summarize the contractual obligations of the parties. T

    parts of this AGREEMENT include the following:

    RFP # 10019 dated April 14, 2007

    1.0 PRODUCT SPECIFICATIONS

    1.1 Copiers must be new monochrome digital copiers.

    1.2 Copiers must use dry, mono or dual component toner, magnetic brush dev

    heat and pressure fusing.

    1.3 Copiers shall be capable of reproducing general office correspondence and rminimum of 600-dpi output. They shall reproduce acceptable copy qua

    following: solids, architectural patterns, graduated tones, lines and grids,photographs, standard black #2 graphite pencils, and blue and black ball pcopiers shall be able to reproduce 256 shades of gray for photographs, illu

    artwork.

    1.4 Copiers must be able to copy onto 16# to 28# bond paper from standard fee

    up to 90# index from its bypass tray.

    1.5 Copiers shall have the capability of producing copies on 5 x 8 , 8 x and 11 x 17 paper. A minimum of one paper drawer holding 500 sheets of 20must be included with each copier.

    1.6 The series of copiers must offer a range of five (5) copy speeds based on 8

    size starting with a minimum of 15 or 16 copies per minute and a maximucopies per minute.

    1.7 Copiers shall have preset reduction and enlargement settings plus offer minimum of 400 1% increments of a combination of reduction and enlargem

    1.8 Copiers shall have a scan once, print many scan input system.

    1.9 An optional finisher shall be available for all copiers. The finisher shall

    assemble, staple, and stack each set. The finishing requirement for staplin

    the low volume copiers is lifted, as most are not able to offer the stapfeature.

    1.10 Automatic duplexing shall be available for all copiers.

    1.11 Copiers shall have a LCD panel for option selections or problem solvi

    1.15 Networking and scanning capabilities, as an optional feature, shall be mad

    higher capacity copier models.

    2.0 PERFORMANCE SPECIFICATIONS

    2.1 All personnel performing maintenance on the copy machines shall be ful

    qualified technicians. This training shall be factory approved.

    2.2 Any additions, changes or replacements shall be pre-approved for plac

    requesting county department.

    2.3 The copy machine shall operate satisfactorily and produce acceptable copies

    available work time (7 a.m. to 6 p.m., Monday through Friday) , Pacific S

    over a four-week period. If the copy machine is not functioning properly duthen it shall be considered down. The copy machine shall be considered d

    time a service call is placed until the problem is corrected and the cop

    functioning properly.

    2.4 CONTRACTOR shall automatically install retrofits at no cost to County.

    2.5 CONTRACTOR shall, in the event, during the Agreement period, the m

    becomes unavailable supply a model equal to or better than the original mo

    higher charge or cost.

    2.6 All copiers and their associated electrical and mechanical components shal

    the California Code of Regulations, Title 8 (Industrial Relations) (CAL

    electrical equipment shall be grounded.

    2.7 All copiers offered shall be a cataloged item for which printed literature andare available.

    2.8 A full maintenance agreement for all copiers shall be provided for the

    2.9 CONTRACTOR shall provide necessary operator training and operator man

    replaced.

    2.12 CONTRACTOR shall maintain a service report on each copier. This report

    all services performed including Preventative Maintenance. The report shalof service, time of call, response time, problem and time to repair. Upon req

    shall be sent to the requesting county department.

    2.13 CONTRACTOR and all their employees or agents shall secure and maintain

    licenses and permits as are required by law in connection with the f

    materials, articles or services required for performance hereunder. The laws California shall govern all operations and materials.

    2.14 CONTRACTOR shall maintain an itemized inventory including model and

    of all equipment by type, location, and contract ending date. Upon request thbe sent to the requesting county department.

    2.15 The County does not guarantee a minimum or maximum number of machinunder this AGREEMENT. Nor does the County guarantee any minimum

    amount of dollars to be spent under this AGREEMENT.

    2.16 CONTRACTOR shall be required to deliver on ground floor or any floor v

    available, install per manufacturers specifications, and instruct personnoperation and maintenance of copier.

    2.17 CONTRACTOR shall affix and maintain a label or decal to equipment installation showing the name, address, and telephone number of the dealer r

    service of the equipment.

    2.18 County reserves the right to inspect CONTRACTORS facility during the coat any time during normal business hours upon prior notice.

    3.0 GENERAL DELIVERY/RECEIPT REQUIREMENTS

    3.1 Any copier that has the capability of network printing, must be pre-approvInformation Technology, and their signature must be on the

    4.0 COMPENSATION AND PAYMENTS

    4.1 The County acknowledges the attached CONTRACTORs proposed price l

    their bid, for the services stated herein.

    4.2 Invoice(s) amount shall be billed directly to the ordering department.

    4.3 Third-Party billing or financing must be pre-approved by the Contracts

    Manager prior to negotiation or equipment delivery.

    4.4 The County shall make payment for materials, supplies, or services furnservices stated herein, within 30 days after acceptance thereof and ap

    invoices by the authorized departmental representative.

    5.0 SAFETY AND HEALTH

    The CONTRACTOR agrees to comply with all conditions of the Federal Safety and Health Acts of 1970 (OSHA), as may from time to time be amended,

    Notices required to be given to the respective parties under this AGREEMENT shagiven by any of the following means: (1) when personally delivered to the Cou

    administrator or to CONTRACTORs responsible officer; (2) when personally departys principle place of business during normal business hours, by leaving no

    person apparently in charge of the office and advising such person of the import athe notice; (3) 24 hours after the notice is transmitted by FAX machine to the othe

    partys FAX number specified pursuant to this AGREEMENT, provided that the

    notice by FAX must promptly confirm receipt of the FAX by telephone to the rec
