    III. TBAC Speaker-Art Leahy. Metro CEO. Mr. Leahy announced that Metro has obtained federal funding to accelerate Phase II of the MWSE project. Mr. Leahy also encouraged attendees to get acquainted with new Metro executives Stephanie Wiggins (Procurement) and Bryan Pennington (Construction). Both Procurement and IT will report directly to Mr. Leahy. Mr. Leahy also thanked TBAC for the New Executives Reception held recently, and discussed the Union Station Master Plan, which will result in $2 billion in improvements to the facility.

    Elias Cortez stated that there was a disconnect at Metro between DEOD and Project Management. DEOD is working hard to recruit small, micro and disadvantaged businesses, while Project Management's procurement methods make it very difficult for such businesses to get work. Mr. Leahy suggested that Mr. Cortez speak to Ms. Wiggins and said that if he was not satisfied with his discussions with her, he could talk with Mr. Leahy.

    Tom Pringle asked about the status of the Regional Connector, and asked if potential litigation is posing a threat to the project. Mr. Leahy gave an overview of litigation involving the Bonaventure Group, which has claimed that extensive business disruption downtown would result from Metro's decision to use cut-and-cover construction for the tunnel extending north from 7th Metro Station. Mr. Leahy stated that cut-and-cover was needed because the tunnel alignment is too shallow for boring, and there is too much interference from existing foundation tiebacks. Last week the Bonaventure's claims were dismissed in court, so the project will go forward. He also stated that the Beverly Hills lawsuit against the MWSE project has been dismissed.

    Linda Clark complimented Linda Wright, Linda Perryman and Tashai Smith of DEOD for their work in assisting her company with Metro subcontracts.

    Edgar Zalaya also complimented DEOD's work on the 1-405 project.

    IV. Metro Contracting Onportunities -Frank Quon (Highways): Mr. Quon stated that the Highway group has been making efforts to unbundle projects, making them more accessible to SBE Primes. The ARTI project has been broken up and is being solicited in pieces, including a soundwall package, SR-71 contract, and improvements along 1-5. He also pointed out several projects that will be assigned to the bench.

    V. Anproval of May Meeting Minutes: Robert Guzman asked that his comments that in the early days of TBAC it was customary for the TBAC Board to meet with the Metro CEO and Board be included in the minutes.

    VI. Chair's Report-Lucia Tam: Ms. Tam thanked Ezekiel Patten for the refreshments, and noted that the next TBAC meeting will be on July 10 rather than July 3. She also invited all to come to the Meet the Buyers event on June 24. Ms. Tam reminded the audience that all TBAC Member Organizations will be required to renew their membership for the 2015-2016 term; Ms. Tam will provide renewal packages in July. All Organizations that renew will be able to nominate and vote for Officers for the coming term. Lastly, Ms. Tam congratulated Tashai Smith for her promotion to DEOD Deputy Executive Officer.

    VII. Metro SBE Set-aside Program - Tashai Smith (DEOD): Ms. Smith announced that the SBE Set-aside Program became effective on June 2. The Program applies to FfA and non-Federallyfunded procurements, to negotiated procurements (RFP's, RFIQ's), sealed bids and public works contracts. It is not applicable for purchases under $3,000. The program applies to all informal procurements from $3,000 to $100,000; for formal procurements, the program applies to negotiated procurements up to $3 million, sealed bids up to $2 million, and for public works up to $5 million. In the spring of 2014 DEOD solicited and received 194 comments from other departments within Metro, from TBAC; a handout containing the comments and DEOD's responses was included in the June information packet. Regarding the unbundling of contracts, DEOD has requested that Project Managers consider unbundling prior to sending scope information to Contract Administrators. Thresholds will be reviewed and potentially adjusted in a year. The set-aside program will be applied to existing bench contracts as well as new contracts. For all procurements, DEOD must determine that there are three or more SBE's matching the procurement's NAICS code for it to be placed in the set-aside program, and three or more SBE's must respond to the solicitation for it to remain in the program. While a procurement is in the set-aside program, no DBE/SBE goal will be attached to it. If a project is solicited as a set-aside and less than three SBE's respond, it will be opened to all businesses and goals will be established at that time. DEOD has established a tool that allows all departments at Metro to search for SBE's from the DEOD database.

    Robert Guzman questioned the $100,000 informal procurement threshold, and noted that Assembly Bill AB-31, which was written by Curren Price and signed into law by Gov. Schwartzenegger, allows agencies to make awards as high as $250,000 to small businesses without competitive bids. Ms. Smith said that DEOD is drafting a new bill for introduction to the State Legislature that would raise Metro's threshold to correspond to the AB-31 limit. She stated that Metro's current threshold is set by statute.

    Thomas Pringle asked if the paperwork for set-aside solicitations would be reduced, and if the solicitations would be made available on the Internet. Ms. Smith said that the current procedures would not be changed.

    Ezekiel Patten and Rubina Chaudhary voiced their appreciation to Tashai for her work in launching the set-aside program. Ms. Smith gave credit to other DEOD and Vendor Contract Management staff members.

    Al Solis asked if PLA and CCP rules would remain in force on set-aside projects. Ms. Smith said the PLA would apply for projects valued at $2.5 million or higher.

    Kathryn Padilla asked how her business could change its NAICS code. Ms. Smith said that she

    VIII. Metro Contracting Opportunities

    Don D\Y}'er (Procurement): J\fr. Dwyer presented the Procurement Department Future Opportunities lists, highlighting the items with established goals, including the Divisions 3, 6, and 7 Heater Upgrade, Environmental Engineering services, Pershing Square Canopy and Escalators, Division 20 Turnback Facility, El Monte Bike Hub, and Green Line Station Painting.

    Linda Clark asked if the small business preference program applied to SBE set-aside projects. Mr. Dwyer responded that it does not. It applies to larger non-federally-funded projects with SBE goals.

    Rajesh Soneja asked if Joint Ventures comprised of SBE's can pursue set-aside projects. J\fr. Dwyer stated that they could, but that the JV, as a separate entity, would have to go through the certification process. Ms. Smith stated there had to be a JV agreement between the firms involved. A question was asked whether JV's could be established involving both SBE's and large firms. Ms. Smith said that this could be done provided the SBE self-performed 30% of the work [however after the meeting she clarified this comment, and stated that because the JV is itself a business entity, it would need to be within the SBE size standard for the NAICS code applicable to the work being pursued. Therefore a JV between a small business and a large business would not be eligible for SBE set-aside work. Small businesses can hire large businesses as subcontractors, as long the SBE self-performs 30% of the work.]

    Ezekiel Patten asked if the Environmental Services procurement (#6 on the Procurement List and #1 on the DEOD list), were one and the same. Ms Smith responded that it was. Mr. Patten pointed out that the two lists showed different goals. J\fr. Dwyer stated that this would be clarified on the RFP.

    Ken Wong stated that it was his understanding that for the Pershing Square procurement, the escalator portion would be a design-build delivery but that for the canopy the design work had already been performed.

    Robert Guzman asked how Senate Bill 1008, which allowed the formation of LLC's for Engineering and Land Surveying firms, applied to SBE certification, set-aside work, and informal procurements. Mr. Dwyer stated that an LLC would be a separate entity and would need to be itself certified. He suggested that Mr. Guzman speak to the Certification Group and Dr. Licea for further clarification.

    In response to a question from Rubina Chaudhary, Tashai Smith stated that a JV made up of SBE's would need to self-perform at least 30% of the work, and could then sub out the remaining work to other firms which could be non-SBE firms. The bidding entity would have to be SBE certified.

    Tashai Smith (DEODJ: Ms. Smith presented the DEOD Contract Look-ahead list for June, Crenshaw Corridor DBE report, and Award Tracker. She also announced that the Metro Board has adopted a DVBE program, which will be rolled out in the fall. Miguel Cabral shared about June 24 Meet the Buyers event, and introduced new DEOD staff member Olga Lopez.

    IX. Committee Reports

    Commodities (Ezekiel Patten): The Committee met to discuss set-aside program implementation, whether commodities would be included in set-aside bids, and how many SBE's would be needed to

    validate a set-aside bid. He will provide Tashai Smith with new language for the inclusion of commodities in bid documents.

    Professional Services (Rod Garcia): Mr. Garcia was not present, however information discussed at the Professional Services committee meeting was already given by Frank Quon.

    Construction (Ken Wong): the Committee met with Victor Ramirez of Procurement and Frank Quon of Highways. They forwarded information regarding JOC Contracting to Sam Mayman of Metro.

    Membership (Lucia Tam): Ms. Tam stated that she will contact Jack Ochoa ofLAUSD SBC to get a formal statement of the group's position. Robert Guzman pointed out that TBAC has already expressed no interest in having the organization join the Council. Ms. Tam responded that all she is seeking is a formal statement of withdrawal.

    2. Robert Guzman asked for more advanced meeting notifications. Lucia Tam noted that there had not been emails from Metro in the last three months regarding upcoming TBAC meetings. Miguel Cabral said that it was because of delays getting agendas, but agreed to do email blasts without them as requested by M. Tam. Mr. Guzman commented that agendas are often boilerplate so it is not necessary to finalize them prior to sending the emails. Elias Cortez said notification should include major milestones. Mr. Cabral agreed.
