Welcome to the 2015 EPDA Conference! On behalf of EPDA’s Board of Directors it gives me great pleasure to welcome you to EPDA’s 42nd Annual Conference here in Barcelona. The Board and our new staff at SAS have organised a challenging and rewarding programme of events planned for the three days, including sessions that focus on successfully breaking into new markets and taking control of the digital revolution.

The business programme includes the popular “Ignite Sessions”, the “Distributor and Manufacturer council meetings”, and returning after great success in 2014 the “Round Table sessions” with three new topics to debate.

Other highlights of the conference include the manufacturer showcase, the Gala Dinner and plenty of opportunities to network with industry colleagues from all over Europe, and further afield.

We have also put together a lively extra-curricular programme, giving delegates a chance to experience some of the vibrant cultural scenes for which Barcelona is so famous.

I would ask you give a warm welcome to all first time attendees, to Polylanema, our newest distributor member from Portugal, to the representatives present from new EPDA management team, SAS Event Management, and to Allott and Associates, the specialist business-to-business agency heading an integrated international PR and marketing campaign to raise EPDA’s profile.

I am sure that you will give them all a very warm EPDA welcome and I hope that you have a very informative and enjoyable 2015 conference.

Yours sincerely

The following have joined EPDA since the 2014 Annual Conference:

POLY LANEMA, LDA (Distributor)

its rich history and culture as well as taking a look at the challenges facing this vibrant city in the 21st century.

• 11.00 – 12.30 Keynote Address (Nova Icària & Barceloneta

Successful Trading Across Borders and Cultures Keith Warburton, Director, Global Business Culture

Operating in overseas markets presents us all with cultural challenges. Understanding and addressing these challenges is critical to business success. Keith Warburton is internationally recognised as an expert on this topic and he will focus on day-to-day, practical issues which can result in both internal and external inefficiencies and ultimately in lost revenues. He will raise such topics as the need to fully understand the impact your approach might have on key contacts in overseas territories, overcoming communication barriers as well as addressing key topics such as understanding hierarchies in emerging markets and how to work with local decision-making processes.

E Commerce – The Digital Revolution Goes On Ville Tolvanen, Strategy Director, Digitalist Network

Ville Tolvanen takes a close look at digitalisation and how it changes our business environment. How do customers take advantage of new visibility and new-found power? How do we enhance and create new customer relationships in the digital era and how do we create community based business models and new profitability? Ville tackles these issues as well as the tricky question of what happens next and why we all need to be online.

1. Nature of an association

2. Strategic and operational issues, to include: a. What is an acceptable level of dues?

b. Should the complementary delegate be continued?

c. Has the table top option worked and is it of interest going forward?

d. Are the bylaws valid in today’s market?

e. What is expected of manufacturer members?

f. Is 51% distribution still valid (overall membership and on the board)?

g. Who should be able to attend the conference

3. Outline strategic plan

Chairman’s WelcomePresident David Ladyman called the Annual General Meeting (AGM) to order at 9.00 a.m. CEST on Friday 16 May 2014. David Ladyman confirmed the meeting had a quorum, and on behalf of EPDA’s Board of Directors, he welcomed everyone to EPDA’s 41st Annual Conference.

Association NewsDavid Ladyman referred to the reflective theme chosen for the 40th Anniversary Conference and confirmed that this year the keynote speakers and Conference content would embrace the future of the Association. He highlighted three changes that have happened since the 2013 Conference that impact directly on the Association:• Tan Ali’s resignation. Tan Ali was serving EPDA Vice President

and was due to assume the EPDA Presidency at this Conference.

• ASI has elected to not renew the management contract beyond 31 December 2014.

• EPDA/IAPD Alliance is now under review.

EPDA Vice PresidencyDavid Ladyman said that after exploring options within the current Board, both he and Steffen Oellers agreed to stand for election in their current roles as President and Past President until the 2015 EPDA Conference. He added that the Board are working hard to explore how best to proceed thereafter, and that a Presidential mandatary position will also be explored and discussed. David Ladyman also asked for anyone at the AGM interested in learning more about a role on EPDA Board to make contact.

Association Management CompanyDavid Ladyman reported that ASI have shared information that formed the basis of a brief, which was prepared and sent to nine European providers in Belgium, Netherlands, Germany, Cyprus and the United Kingdom. He said that further news will be shared with EPDA members when a new Association management company is chosen.

IAPD/EPDA AllianceThe alliance between IAPD and EPDA is under review by both Associations’ Boards. The agreement was first implemented in 2003 and it gives EPDA members access to IAPD programmes and services. The agreement has not been adjusted since implementation. In May, Nick Kraguljac conducted a survey of EPDA members to determine the level of awareness and usage of programmes and services available to them under this agreement.

EPDA MembershipDavid Ladyman directed everyone’s attention to page 3 of the Conference Guide. He said there would be no Association without commitment from members and he thanked the Past Presidents, former Board Members and contributors for their support and assistance over the years.

David Ladyman re-affirmed that EPDA Board took on the responsibilities of the Membership Committee in 2012. Since the 2013 Conference, five new members have joined the Association:• Sogimi Spa (Distributor member)

• Tecno Plastic Engineering srl (Distributor member)

• Aplast (Manufacturer member)

• Astari Europe GmbH (Manufacturer member)

• Nudec (Manufacturer member)

Formalities of the Annual General MeetingApproval of MinutesDavid Ladyman asked everyone to turn to pages 9-11 of their Conference Guides to review the 24 May 2013 minutes. There were no questions. The minutes were approved as presented. Duncan Smith of Brett Martin Ltd. called for approval. Steffen Oellers of SIMONA AG seconded.

Approval of FinanceEPDA members then studied the financial pages on 16-18 in the Conference Guides. David Ladyman pointed out the net gain in EPDA assets and positive income from the 2013 Conference. There were no questions. The financial statements were approved as presented. Steve Jones of Robert Horne Group t/a PaperlinX called for approval. Christina Granacher of Angst + Pfister Group seconded.

2015 Membership DuesDavid Ladyman shared news of a proposed dues structure that was agreed during the EPDA Board Meeting the day before. In light of members’ comments regarding the number of distributor members at each Conference, the Board had discussed at length how best to proceed. David drew the members’ attention to the fact that this year there are 32 distributor member companies, but only 14 of those member companies are represented at the Conference.

David Ladyman said that with this in mind the EPDA Board recommends that for 2015, Distributor member dues will increase by 3 per cent (to €1384). This payment will also include a complementary Conference registration. David Ladyman explained that this financial incentive is to encourage distributor members to attend the Conference, because it is their attendance that brings value to the manufacturer members.

With regard to Manufacturer member dues, there is a proposed increase in 2015 to €1950. This cost will include a complementary table top display at the 2015 Conference, but not a complementary registration.

David Ladyman explained the opportunities and value of the table top displays. He added that the EPDA Board will look into extending the viewing time of these displays in the 2015 Conference itinerary.

David Ladyman said that Steffen Oellers and Stefan Willing will be discussing this new dues structure again at the Manufacturers’ Council Meeting on Saturday 17 May. The new dues structure was approved by written ballot. Of the 28 votes cast in total there were 27 votes in favour. This equates to a majority of 96.5 per cent in favour.

Election of Board MembersThe re-election of David Ladyman of Vink Holdings Ltd. and Steffen Oellers of SIMONA AG as President and Past President respectively for a term of one year and the election of Lari Hahtonen of Aikolon Oy and Stefan Willing of Quadrant

EPP Deutschland GmbH to EPDA Board for two years were approved by written ballot. Of the 30 votes cast in total all were in favour. This equates to a majority of 100 per cent in favour.

EPDA Conferences 2015 and 2016David Ladyman confirmed that Barcelona had been chosen as the venue for EPDA’s 2015 Conference. He advised that details will follow regarding the Conference in 2016, and added that several cities in Germany are to be evaluated.

Further BusinessStatement by Nick KraguljacNick Kraguljac of Zell-Metall GmbH Engineering Plastics made a short statement about the IAPD/EPDA alliance. He spoke of the importance of an IAPD and EPDA alliance and the value this alliance adds to the Association. He referred to the alliance survey conducted in advance of the conference and asked members to raise their hands to convey support for the Board to finalise agreement for the alliance.

All members were in favour.

David Ladyman thanked Nick Kraguljac for his statement. He said that Kevin Short of Laird Plastics will be facilitating discussions with IAPD. David Ladyman confirmed that EPDA is keen to make an alliance work and negotiations are ongoing.

AdjournmentHearing no further business, David Ladyman adjoined the meeting at 11.45 a.m. CEST. Respectfully submitted, Jackie Driss Laurent, EPDA Accounts Services Coordinator.

AnnexI. Article 81 (ex art. 85) EC Treaty

“The following shall be prohibited as incompatible with the common market: All agreements between undertakings, decisions by associations of undertakings and concerted practices which may affect trade between member states and which have as their object or effect the prevention, restriction or distortion of competition within the common market (...).”(Article 81, Amsterdam Treaty)

The core provision of the EU competition law is Article 81. It outlaws agreements between undertakings, decisions by associations of undertakings and concerted practices which may affect trade between member states and which have as their object or effect the prevention, distortion or restriction of competition within the common market.

1. Definitions1.1. Agreements • An agreement is void when it leads to an appreciable

restriction of competition, interfering with the normal interplay of supply and demand.

• There is an agreement wherever there is the necessary consensus between the parties determining the lines of their mutual behaviour on the market.

• An agreement can be horizontal (entered into by undertakings at the same level of production) or vertical (between undertakings at a different level of production), formal or informal and does not need to be in writing or binding on the parties.

• It can also be implied from conduct.

1.2. Decisions • Resolutions of trade associations that act on behalf

of their members (resolutions of management committees, steering committees, general assemblies etc).

• Recommendations brought to the notice of members and followed by them as an association’s “policy”.

1.3. Concerted Practices • Coordinated behaviour or aware cooperation without

any formal agreement or decision having been reached.

2. Exemption2.1. “De Minimus” Notice The Commission issued the “de minimus” notice n the

ground of which Article 81 shall not apply to horizontal agreements where the aggregate market share held by the parties to the agreement does not exceed 10 percent and to vertical agreements where the market share held by each of the parties does not exceed 15 percent. In cases where it is difficult to define the agreement as horizontal or vertical, the 10 percent threshold will be applicable.

3. Effects of the Infringement3.1. The agreements breaching Article 81 are automatically

void and unforceable.

3.2. The EU Commission has wide-ranging powers. It can: • Inspect firms in search of evidence of secret

agreements

• Enter premises and demand documents* at short notice or without notice (“dawn-raid”).

• Impose fines of up to 10 percent of worldwide group turnover

* “documents” mean: information stored on computers, minutes of meetings, notes in diaries, agendas, sales figures etc.
