I. INVITATION FOR BIDS

THE STATE TRADING CORPORATION OF INDIA LTD. (STC), incorporated under the

Companies Act, 1956 having its registered office at Jawahar Vyapar Bhawan, No.1-Tolstoy

Marg, New Delhi – 110 001, and its Branch Office at “STC Trade Centre”, A-29, Thiru-Vi-Ka

Industrial Estate, Guindy, Chennai-600032, is a Government of India Enterprise under the

administrative control of Ministry of Commerce & Industry, Department of Commerce, New

Delhi. STC is a premier international trading organization of India with experience of

handling international and domestic business for over five decades and has also been

handling import and export of various kinds of products and commodities.

STC has been authorised by the Government of Tamil Nadu (GOTN) to dispose their BELL

412 EP HELICOPTER (2005 Model) along with all its spares, tools and ground equipment

purchased by them during Feb’2006. Accordingly, STC invites bids from interested

Domestic/Overseas buyers for sale of one BELL 412 EP HELICOPTER along with all its

spares, tools and ground equipment on behalf of Government of Tamil Nadu(GOTN).

II. LOCATION & OTHER DETAILS

The BELL 412 EP HELICOPTER owned by Government of Tamil Nadu is currently

grounded at Old Kingfisher Airlines Hangar, Chennai Airport, in Tamil Nadu-India. The

Government of Tamil Nadu has purchased the above BELL 412 EP HELICOPTER during

Feb’2006. The designated pilot and engineers of Government of Tamil Nadu has flown the

subject Helicopter recently during the month of December’2018 and it has only flown less

than 2500 Flying Hours from the date of its purchase. Details regarding the helicopter and

the spares, tools and ground equipment are available in Annexure I.

III. VISIT / INSPECTION DETAILS:

The interested bidders may visit/inspect the helicopter, spares, tools and equipment

between 1000 hrs. & 1600 Hrs IST on any working day, except Saturday, Sunday & other

Public Holidays. However, prior permission is required to be taken for issue of Airport Entry

Pass etc., for which they are required to inform STC 7 working days in advance (in case of

domestic bidder) and 35 days in advance (in case of foreign bidders) prior to the date of

visit, along with the following documents required for arranging the Airport Entry Pass.

a) Copy of Aadhar Card (Not applicable for foreign bidders)

b) 3 Passport Size Photographs.

c) Passport and VISA (Attested by Gazetted Officer-In case of foreign bidders)

d) Tour Programme of the bidder. (In case of foreign bidders)

e) Valid & Attested copy of company ID card of the bidder along with

authorization letter.



Note:

A) Before closing of tender date, a Ground Run of Bell EP 412 Helicopter would be

organized by the Govt of Tamil Nadu on 02.04.2019 (i.e after 51 days from the date

of tender publishing date) for all interested bidders.

B) All interested bidders need to provide the above mentioned documents to STC

latest by 27.02.2019 (i.e with 15 days from the date of publishing of tender) to

enable TN Aviation Wing to arrange for temporary air port entry passes for

attending the ground run of Bell EP 412 Helicopter on the scheduled date.

STC/GOTN/TN Aviation wing shall not entertain any request of prospective

bidders beyond the scheduled dates fixed for ground run on whatsoever grounds.

C) Subsequent to Ground Run, within next 10 days the interested bidders can do a

flight test with the prior approval of STC, GOTN and TN Aviation Wing at a mutually

convenient date and cost thereof shall be to the account of such bidder. The 10

days period includes the time required for obtaining necessary permissions from

all statutory authorities i.e. DGCA, AAI, BCAS etc., for conducting a test flight in

Chennai Airport by the prospective domestic bidders. In case of foreign bidders, all

relevant process to be started 35 days in advance for getting timely permission.

The responsibility for obtaining such permissions to the account of prospective

bidders.

D) For conducting such test flight the interested bidder has to arrange for one Bell-

412 qualified pilot who is having all required statutory licenses and necessary

statutory permissions from their side.TN Aviation Wing will make the helicopter

available with one qualified pilot and AME for the flight ex-Chennai airport for a

duration not exceeding 30 min for the test flight of interested buyer on the date

mutually agreed upon but within the 10 days period mentioned above.

IV. COST OF TENDER DOCUMENTS:

Interested Bidders on their own or through their Indian representatives can download the

tender documents from STC’s websites: www.stclimited.co.in & www.eprocure.gov.in

respectively for free of cost.

V. TENDER PROCESSING FEE:

All bidders participating in the tender will be required to make a non-refundable payment of

Rs. 11,800/-(Rs. Eleven Thousand Eight Hundred only) towards tender processing fee

(which is inclusive of 18%GST) through online payment to STC following bank account well

before the tender closing date of 22.04.2019 at 15:00 HRS IST. In case of foreign bidders,

the tender processing fee need to be remitted in Indian Rupees only and no FOREX payment

shall be accepted.

VI. TERMS AND CONDITIONS:

i. The helicopter along with its spares, tools and ground equipment mentioned above is

available for sale on "AS IS WHERE IS BASIS”. The helicopter can be inspected visually

including test flight at the site as per the details given regarding the visit/inspection

under clause III.

ii. The successful bidder, on intimation of the Award of the Sale of the helicopter, has to make

their own arrangement for movement and transportation of the helicopter including

packing etc., along with its tools, spares & ground equipment from the current location i.e.

Old Kingfisher Airlines Hangar, Chennai Airport to their place.

iii. Price quoted for the helicopter should include the Price for its spares, tools and ground

equipment excluding applicable taxes, statutory levies like GST, local levies, cess,

export duty, etc., as mentioned in Annexure-II. Price quoted only for the helicopter

without its spares are not accepted and same will be rejected.

iv. The price bid must be valid for a period of 150 days from the date of opening the tender.

v. The bidder need to transfer an amount of equivalent to 10% of the base/offset Price fixed

as mentioned below for the above helicopter as EMD to STC’s account through online

payment mode only.

vi. The details of EMD i.e RTGS/NEFT, UTR Number & date, Bank details must be

provided in the Annexure IV. EMD of the unsuccessful bidder(s) shall be returned



within 30 days from the date of award of the tender to the successful bidder. No

interest is payable for EMD deposited with STC. In case of refund of EMD to the

Dollar account of the unsuccessful foreign bidders, the prevailing exchange rate on

the date of remittance shall be taken for remittance and all exchange loss, if any,

shall be to the account of the respective foreign bidders and no claim shall be

accepted in this regard.

vii. The offer completed in all respect is to be put in a sealed envelope superscribing “OFFER

BID FOR SALE OF BELL 412 EP HELICOPTER- TENDER REF. NO. STC/CHN/GOTN-

BELL/SALE/2018-19/01 DTD 13.02.2019” and addressed to Branch Manager, The State

Trading Corporation of India Limited, STC Trade Centre, A – 29, Thiru-Vi-Ka Industrial

Estate, Guindy, Chennai – 600032. The sealed envelope should be either sent by

Post/Courier to reach us before the closing at 15 00 hrs IST on 22.04.2019 or dropped in

the tender box exclusively kept for above Tender at our Office between office hours (1000

hrs – 1700 hrs) before 22.04.2019 till 1500 Hrs IST.

viii. The offer shall be for BELL 412 EP HELICOPTER along with its spares, tools and ground

equipment and evaluation of the tender i.e. Highest Bidder (H1) will be determined by the

highest Price quoted out of all the bids received.

ix. EMD amount will be refunded to the successful bidder only after taking delivery of the

helicopter including its spares, tools and ground equipment from the Old Kingfisher

Airlines Hangar, Chennai Airport and after production of No Dues Certificate from the

Aviation Department Office, GOTN available at the Site, with respect to settlement of

any payment and/or other expenses incurred during the lifting/movement process

of the helicopter and from other allied activities. In case of refund of EMD to the

Dollar account of the successful foreign bidders, the prevailing exchange rate on the

date of remittance shall be taken for remittance and all exchange loss, if any, shall

be to the account of the respective foreign bidders and no claim shall be accepted in

this regard.

x. Once the bid is submitted, it will be deemed that the bidder has fully satisfied

himself/herself with the terms and conditions of the tender and will have to abide by the

same. The bid once dropped in the Tender Box shall not be allowed for withdrawal.

xi. The above helicopter and its spares, tools and ground equipment are kept at the Old

Kingfisher Airlines Hangar, Chennai Airport, Chennai and they will be sold purely on

“AS IS WHERE IS BASIS”.

xii. Any deterioration in quality/shortage in transit after the delivery is the sole responsibility

of the buyer and STC shall not be liable for any loss/consequential claim etc. STC should be

indemnified from any loss, consequential claim, and/or for any damages of whatsoever

nature under any circumstances or otherwise.



xiii. GOTN shall raise the invoice for 100% payment on the successful bidder in INR

towards the sale of the helicopter and the same shall be remitted by the successful

buyer directly to GOTN.

xiv. The successful bidder will be required to remit 100% sale value of Helicopter along with

applicable taxes, statutory levies like GST, local levies, cess, duty, etc., if any, through

online payment directly to the following account of Government of Tamil Nadu for

the Bell EP 412 Helicopter and all spares, tools &ground equipments, within 15 days

from the date of issuance of Letter of Award (LOA) through email.

Port Charges including any other statutory and incidental charges to be borne by

the successful bidder.

xv. GOTN shall issue the delivery order in favour of the successful bidder within 15

days from the date of receipt of 100% payment directly from the successful bidder.

xvi. The successful bidder will be required to lift the helicopter and its spares, tools and

ground equipment within 90 days (lifting free period) from the date of issue of delivery

order failing which all charges beyond 90 days as levied by the statutory bodies and

any other incidental charges shall be borne by them. In this regard, no waiver

request shall be entertained by the GOTN/STC.

xvii. Time is essence of the contract, and in case of default by successful bidder in making the

payment and/or taking delivery within the prescribed period, as mentioned above, the

EMD deposited by him/her with STC, shall be forfeited without any notice/intimation.

xviii. The delivery of the helicopter along with spares and accessories shall be made by

GOTN to the successful bidder on “ AS IS WHERE / WHAT IS DELIVERY BASIS

” i.e. the helicopter shall be made available to the successful bidder by GOTN from

the respective designated warehouse / hangar, and it is the responsibility of the

successful bidder to bear all the charges and expenses for taking delivery of

helicopter along with the spares and accessories within the stipulated period. It is

also the responsibility of the successful bidder to obtain necessary

clearances/permissions for export (as applicable) from the concerned authorities

and pay all local taxes, duties, charges etc. in connection with the same. The



successful bidder shall also be solely responsible for all the cost, expenses and

consequences whatsoever arising in this regard.

xix. GOTN shall monitor the delivery process of helicopter and STC shall not be held

responsible for any dispute or difference of any kind whatsoever arising between

GOTN and the buyer/successful bidder, on account of quality and shortage in

quantity of spares, etc.

xx. STC reserves the right to accept or reject the tender in full or in part at its Sole discretion

without assigning any reason whatsoever.

xxi. STC reserves the right to ask from the bidders, to furnish additional documents/ details

other than those specified in the tender, if deemed necessary.

xxii. No joint venture / consortium bidding is permissible and such bids shall be summarily

rejected.

xxiii. The Bidders shall undertake to abide by all the statutory regulations/ conventions/

policies of Indian Government.

xxiv. Authorized representative/ agent of foreign buyers are allowed to submit only one bid on

behalf of the bidder. Submission of multiple bids by an agent shall summarily be rejected.

xxv. The bidder should not have been black listed by any government agency at the time of

submitting the bids. The bidder shall have to submit an affidavit to this effect confirming

the same as mentioned in ANNEXURE-III.

xxvi. Each page of tender document must duly be signed by the bidder, as a token of their

accepting the terms and conditions of this tender. Unsigned bids shall not be accepted

and shall summarily be rejected.

xxvii. Tender incomplete or deficient, delay in submission and Tender received without the

EMD and the tender processing fee of Rs.11,800/- shall not be accepted.

xxviii. If any information furnished by the bidder is found to be incorrect/false, STC reserves the

right to disqualify the bidder and terminate the contract at any stage of its execution,

including forfeiture of the EMD.



VII. PRICE :

Price is to be quoted as per the price bid format in Annexure-II purely on “AS IS WHERE IS

BASIS” and “AS IS WHAT IS” above the Offset/Base Price of Rs. 35,00,00,000/-. All

statutory levies i.e. Taxes/Levies/Cess/Duty shall be applicable in extra at actuals and

shall be to the account of the buyer which shall not be included in the quoted price. In

the event of two or more offers quoting the same High Price (H1) then a re-bidding for a

higher price is allowed only among such bidders.

VIII. SUBMISSION OF BIDS :

Prospective bidders may download the tender document from our website:

www.stc.limited.co.in or www.eprocure.gov.in and can also obtain a copy of same from State

Trading Corporation of India Limited, STC Trade Center, A-29, Thiru-Vi-Ka Industrial Estate,

Guindy, Chennai – 600032 during office hours on any working day till one day prior to the

opening of tender.

All bidders are required to submit their offers in TWO BID SYSTEM i.e. in two separate

envelopes one to be superscribed as “Technical Bid” and the other as “Price Bid” as per

formats given in Annexure IV& II respectively. Both the envelopes should be separately

sealed and superscribed with Tender No., Date, Name & Address of Bidder and Date of

Tender Opening. Both envelopes should thereafter be kept in a single envelope and sealed.

This envelope should be superscribed as “OFFER BID FOR SALE OF BELL 412 EP

HELICOPTER- TENDER REF. NO. STC/CHN/GOTN-BELL/SALE/2018-19/01 DTD

13.02.2019” along-with the Name & address of Bidder and the date of Tender Opening

and shall be marked to The Branch Manager, State Trading Corporation of India

Limited, STC Trade Center, A-29, Thiru-Vi-Ka Industrial Estate, Guindy, Chennai –

600032. The sealed envelope should be either sent by Post/Courier to reach us before

the closing at 1500 HRS IST on 22.04.2019 or dropped in the tender box exclusively

kept for above Tender at our Office between office hours (1000 hrs – 1700 hrs) before

22.04.2019 2019 till 1500 HRS IST. No oral, telephonic, fax, telegraphic or email offers

will be entertained.

A. TECHNICAL BID :

The “Technical Bid” sealed envelope must contain the following:

a) Complete set of STC’s Tender Document and Annexure I, duly signed and stamped

on each page as token of bidder’s acceptance of all terms and conditions of tender

without any deviation.

b) An affidavit duly signed and stamped declaring that the individual or the Company is

not black listed by any government agency at the time of submission of bids

(Annexure III).

c) Duly filled, signed and stamped Technical Bid Format as per Annexure IV.

d) Proof of EMD and Participation fees in form of Demand Draft/Pay Order for the

value specified.

B. PRICE BID :

The sealed “Price Bid” envelope must contain Price Bid showing prices quoted strictly in

the format as per Annexure II of Tender document. The Price Bid must be duly signed

and stamped by the bidder.

Offer received with conditions and other deviations are liable for rejection.

Price Bid can be opened only in respect of those bidders who qualify and clear the

Technical-bid.

The bids complete in all respects should be submitted in sealed envelope latest by

22.04.2019 till 15 00 HRS IST. The sealed envelope should be either sent by

Post/Courier to reach us before the closing at 15 00 HRS IST on 22.04.2019 or dropped

in the tender box exclusively kept for above Tender at our Office between office hours

(1000 hrs – 1700 hrs) before 22.04.2019 till 15 00 HRS IST. Offers should be submitted

only to Branch Office, Chennai. Offers received via e-mail, fax, etc. will not be considered

and would be rejected.

The Technical Bids shall be opened on 22.04.2019 at 15 30 Hrs IST at 2nd Floor, STC

Chennai Branch Office. Representatives of the bidders’ are allowed being present at the

time of opening the bids.

Technical Bid strictly with an authorisation letter from the respective bidder to STC

requesting to permit them to witness the opening of Bids.

Time schedule of opening and closing of tender is as follows:

Tender Closing Time/Date : 22.04.2019 at 15 00 Hrs IST.

Tender Opening Time/Date : 22.04.2019 at 15 30 Hrs IST.

Date of opening the Price Bid shall be communicated only to those who qualify in

the Technical Bid.

Note: Any further corrigendum/Addendum to the tender documents will be uploaded by

press advertisements shall be published for the same.

C. PREBID-MEETING:

The pre-bid meeting shall be conducted on 11.03.2019 at 11:00 HRS IST in the

office of State Trading Corporation of India Limited, STC Trade Center, A-29, Thiru-

Vi-Ka Industrial Estate, Guindy, Chennai – 600032.




IX. EVALUATION OF PRICE BIDS :

i) Price bids in respect of those bidders who qualified the Technical Bid shall be opened.

The price quoted by the Bidder should not be less than the offset/base price of

Rs.35,00,00,000/-.and the value has to be both numeric and also in words.

ii) In case of any discrepancy arises between the RATES in FIGURES and WORDS, then

the rate quoted in words shall be taken as correct and final. Apparent spelling

mistakes will not be considered as major deviation and same is acceptable.

X. AWARD OF BID:

The Letter of Award will be given to the H1 (Highest Bidder). The successful bidder has to

directly remit the entire amount 100% sale value of Helicopter along with applicable taxes,

statutory levies like GST, local levies, cess, duty etc if any, through online payment

directly to Government of Tamil Nadu, within 15 days from the date of issuance of the

LOA through e-mail. Port Charges including any other statutory and incidental charges

to be borne by the successful bidder.

In case of failing to make 100% payment to Government of Tamil Nadu within 15 days

as stipulated, STC has the sole right to extend the period of Payment further or declare

the bidder (H-1) defaulter and forfeit their EMD submitted in the tender.

In the event of declaring the H1 bidder as defaulter, STC has the rights to offer sale

contract to the H2-Bidder on their acceptance to match the H1 rate. On refusal of H-2

bidder, the offer shall be passed on to the H-3 bidder and so on till last bidder.

XI. VALIDITY OF BIDS:

The validity period of the bids will be 150 days from the date of opening of bids.

XII. PAYMENT:

The successful bidder will be required to remit 100% sale value of Helicopter along with

applicable taxes, statutory levies like GST, local levies, cess, export duty, etc if any,

directly to the account of Government of Tamil Nadu through online as per the account

details given in the clause (xiv) under sub heading (VI) “TERMS AND CONDITIONS” for

the Helicopter and entire spares, tools & ground equipments, within 15 days from the date

of issuance of Letter of Award (LOA) through email. Port Charges including any other

statutory and incidental charges to be borne by the successful bidder.

XIII. ARBITRATION:

Any dispute or difference whatsoever arising between the parties out of or relating to the

construction, meaning, scope, operation or effect of this Contract or the validity or the

breach thereof shall be settled by arbitration in accordance with the Rules of Arbitration and

Conciliation Act, 1996 and amendment thereof and the Award made in pursuance thereof



shall be binding on the parties. In all such cases, the jurisdiction shall remain at Chennai only

and the venue for Arbitration shall be at Chennai.

XIV. CANCELLATION OF CONTRACT:

STC reserves the right to accept or reject the tender in full or in part at its Sole discretion

without assigning any reason whatsoever.

XV. FORCE MAJEURE :

Should any of the force majeure circumstances, namely act of God, natural calamity, fire,

Government of India Policy, restrictions, strikes or lock-outs by workmen, war, military

operations of any nature and blockades preventing the STC/Successful Bidder from wholly or

partially carrying out his contractual obligations, the period stipulated for the performance

of the Contract shall be extended for as long as these circumstances prevail.

In the event of these circumstances continuing for more than three months, either party shall

have the right to refuse to fulfil its contractual obligations without title to indemnification of

any losses it may thereby sustain. The party unable to carry out its contractual obligations

shall immediately advise the other party of the commencement and the termination of the

circumstances preventing the performance of the contract. A certificate issued by the

respective Chamber of Commerce shall be sufficient proof of the existence and duration of

such circumstances.

XVI. NO CONTRACTUAL OBLIGATION:

STC is not bound contractually or in any other way to any prospective buyers to this tender.

STC is not liable for any costs of compensation in relation to expenditure incurred by the

prospective buyer to this tender on whatsoever reasons/grounds whether or not STC

terminates, varies, or suspends the tendering process or takes any other action

permitted under this tender provisions during the course of execution.

XVII. DISCLAIMER:

The issue of this tender document does not in any way commit or otherwise obliges STC to

proceed with all or any part of tendering process. The tender is not the subject of any process

contract or any contractual obligations between STC and prospective bidder. STC may, at its

absolute discretion, elect to abandon any part or whole of the process without giving prior

notice to the prospective bidder.



XVIII. CONFIDENTIALITY:

This Tender’s provisions and existence, as well as any commercial data including price or

technical data and any information provided in accordance herewith to the other party shall

be considered as confidential. Such information shall not be disclosed to any third party

unless required by any applicable law or authorized in writing by the other party.

All such information shall be used by the other party only for the purposes of performance of

this Tender.

The restrictions here-in-above shall not apply to any information generally available to the

public or received in good faith from a third party without restriction. The parties hereto

agree to keep as confidential all documentation furnished or received by either party at any

time in connection with this Tender. This provision, as far as practicable, shall apply to all the

concerned officials of either party.

Confidentiality will be maintained during existence of this Tender and even on

termination/expiry.

XIX. INDEMNIFICATION:

The successful bidder shall fully indemnify, hold harmless and defend STC and its

directors, officers etc., from and against all claims, liabilities, suits, damages including

any criminal liability due to false declaration by the successful bidder with regard to

the subject tender transaction etc., caused due to negligence/commission/omission of
